A RESOLUTION OF THE MAYOR AND CITY COMMISSION
OF THE CITY OF SOUTH MIAMI, FLORIDA, RELATING TO
THE RESIGNATION OF MARIA DAVIS AS CITY MANAGER;
AUTHORIZING THE PAYMENT OF SEVERANCE BENEFITS
TO MS. DAVIS; PROVIDING AUTHORIZATION FOR USE OF
CASH RESERVE FOR THE DISBURSEMENT; APPROVING
THE ATTACHED ACKNOWLEDGEMENT AGREEMENT,
WAIVER AND RELEASE; AND PROVIDING AN EFFECTIVE
DATE.
WHEREAS, Maria Davis, the current City Manager, has tendered her
resignation as City Manager, effective immediately upon the City Commission's
approval of this Resolution and Agreement; and,
WHEREAS, the Mayor and City Commission have agreed to accept her
resignation; and
WHEREAS, the Mayor and City Commission in consideration for Ms.
Davis' years of service to the city have agreed to pay Ms. Davis severance
benefits.
NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA;
Section 1. Ms. Maria Davis' resignation as city manager is accepted by
the Mayor and City Commission.
Section 2. The Mayor and City Commission approve and incorporate by
reference into this resolution, the attached "Acknowledgment Agreement, Waiver
and Release, which agreement is attached as exhibit A to this resolution. Ms.
Davis, upon approval of this resolution, and upon return of all city equipment,
shall be compensated as provided for in the attached agreement within 15 working
days. The city shall not pay for automobile, gas and cell phone allowances,
professional fees or other expenses after the effective date of this resolution.
Severance payments shall be paid from the cash reserve which presently has a
balance of $1,565,659.
Section 3. This resolution shall take effect immediately upon approval.

8 WHEREAS, pursuant to art. III, sec. 4 of the city charter the Mayor and City
9 Commission of the City of South Miami have the authority to appoint an acting city
10 manager to serve for a period of no longer than 90 days upon the resignation or during
11 the leave of absence of the city manager; and,

13 WHEREAS, the city manager, Ms Maria Davis, has tendered her notice of
14 resignation effective immediately; and,

16 WHEREAS, the Mayor and City Commission desire to appoint Ms. Yvonne
17 Soler- McKinley to serve as acting city manager until a permanent city manager is
18 selected by the commission.

20 NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY
21 COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA;

23 Section 1. Ms: Yvonne Soler- McKinley is appointed to serve as acting city
24 manager until a permanent city manager is selected, or for a period of time of no longer
25 than 90 days. As acting city manager, Ms. McKinley shall have all of the powers and
26 responsibilities as the city manager under the city charter and the law. The acting city
27 manager shall not be eligible for appointment as the permanent city manager. The acting
28 city manager shall have the authority to co -sign checks on behalf of the city. The acting
29 city manager shall be paid a fee of $110,000 per year for the period of time she serves,
30 and no benefits.

32 Section 2. This resolution shall take effect immediately upon approval.

Unfortunately, these expenses were not included in the budget. The language in the resolution needs to include
that the money will have to come from the cash reserves. We will need to appropriate the funds to various
expense accounts. The projected cash reserve balance is $1,565,659. 1 anticipate that an additional $200,000
will be added to that balance, once the FY 04-05 audit is completed. In addition to that, the City just received a
$48,568 insurance refund that we were not anticipating.

Luis, Yes, I would like to meet her. I think that someone who works for the
city should be considered while all the others apply for the position. -A

proposes to appoint Mrs. Mckinley to serve in that capacity for 90 days, while the city looks for
a new city manager. As a result, I have attached a copy of the resume for Mrs. Yvonne Soler-
