AGREEMENT, WITH ENTERPRISE RENT -A -CAR FOR RENTAL
VEHICLES USED IN UNDERCOVER POLICE OPERATIONS BY THE
POLICE DEPARTMENT AND AUTHORIZING THE CITY MANAGER TO
DISBURSE UP TO $30,000.00 PER YEAR OVER A TWO YEAR
PERIOD FROM THE POLICE FEDERAL FORFEITURE RENTAL /LEASE
POLICE VEHICLES ACCOUNT #615 -1910- 521 -4450; PROVIDING FOR
AN EFFECTIVE DATE.
Request: The Police Department is requesting to use Enterprise Rent -a -Car to supply
rental vehicles for undercover police operations.
Reason /Need: The Police Department engages in various undercover and surveillance
operations through the Special Investigations Unit (SIU) using rental vehicles. Street
level crime interdiction and drug enforcement are both performed by the detectives
assigned to this unit. These are ongoing criminal investigations, short and long term.
Undercover rental vehicles can be used for only a short period of time before they are
identified. Hence, the Police Department is continuously exchanging these rental
vehicles. This allows the unit to continue operations at optimum levels. Enterprise
Rent -a -Car supplies vehicles to different area police departments which are appropriate
for the assignments while maintaining officer safety. We will be piggybacking on a City
of Miami contract. However, Enterprise Rent -a -Car has provided the attached two (2)
year contract at a lower price than the City of Miami contract. This will result in an
estimated savings of approximately $2,850.00. Some of the area police departments
using Enterprise- Rent -a -Car are Miami -Dade County, Monroe County, Miami, Miramar,
Homestead and Bal Harbour. The effective date of this contract and resolution is
retroactive back to December 15, 2006, due to payment discrepancies with the previous
vendor, Royal Rent -a -Car, which created a crisis situation for the police department.
Cost: $30,000.00

WHEREAS, the Police Department engages in certain special. undercover investigations which
sometimes requires the utilization of rental vehicles that need to be frequently replaced; and
WHEREAS, the requested expenditure is a lawful use under the Attorney General's Guidelines on
Federal Forfeitures; and
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF
THE CITY OF SOUTH MIAMI, FLORIDA THAT:
Section 1. The City Manager is authorized to` enter into a two (2) year agreement with Enterprise
Rent -a -Car to provide rental vehicles for undercover police operations.
Section 2. The City Manager is authorized to disburse a sum not to exceed $30,000.00 per year
over two (2) year period from the Police Federal Forfeiture Fund, Rentals /Lease Police Vehicles, Account #
615 - 1910 - 521 -4450 with a beginning balance of $ 0.
Section 3. This resolution shall be retroactive to December 15, 2006 upon execution.

2.0 SPECIAL CONDITIONS
2.1. PURPOSE
It is the intention of the City of Miami to establish a term contract for the
furnishing of rental of vehicles, to include compact, midsize sedans, full-
size sedans, new sport utility vehicles, sporty /sports cars, pick -ups, vans
and luxury vehicles on an as needed, when needed rental basis, citywide.
The contract shall include complete insurance coverage (as indicated in
Bid Form, Section 4.2).
2.2.. DEADLINE FOR RECEIPT OF REQUEST FOR ADDITIONAL INFORMATION!
CLARIFICATION
Any request for additional information or clarification must be received by
no later than the date specified on the cover sheet of this solicitation.
Bidders may fax, or email their requests to the attention of Terry S.
Byrnes, Sr. Procurement Specialist at the City of Miami, Purchasing
Department by facsimile number: 305 -416 -1925 or e- mail:
tbymes@ci.miami.fl.us.
2.3. TERM OF CONTRACT
The Contract shall commence upon the date of notice of award and shall be effective for
two years with the option to extend for two additional one (1) year periods, subject to the
availability of funds for succeeding fiscal years.
Continuation of the contract beyond the initial period is a City prerogative; not a right of
the bidder. This prerogative will be exercised only when such continuation is dearly in
the best interest of the City.
2A. CONDITIONS FOR RENEWAL
Each renewal of this contract is subject to the following:
a) Continued satisfactory performance compliance with the specifications,
terms and conditions established herein_
b) Availability of funds
In the event the Successful Bidder(s) is/are unable to extend the contract
for any subsequent period under the above conditions, or for whatever
cause, advance written notice and explanation must be submitted to the
Chief Procurement Officer, no later than ninety (90) days prior to the
annual expiration date. Such notification is subject to the acceptance of
the City, or the Successful Bidder(s) may be found to be in default.
2.5. BIDDER'S MINIMUM QUALIFICATIONS
The following are the minimum qualifications bidders must possess in
order to submit a bid. Failure to meet the minimum qualifications listed
below shall be cause for the City to deem bidder's bid non - responsive.
Bidder shall:
a) Have its facilitylies located within the City of Miami or Miami -Dade
County in order to expedite the provision of the required services as
specified within this solicitation. The City reserves the right to visit the
facility of bidder(s) to determine if bidder is responsive to this IFS
regarding its facility prior to bid award.
b) Be regularly engaged in the business of providing goods and services
as described in this Bid; that have a record of performance for a
reasonable period of time; and that have sufficient financial support,
equipment and organization to insure that they can satisfactorily provide
the goods and/or services if awarded a Contract under the terms and

c) Not have any member, officer, or stockholder that is in arrears or is
in default of any debt or contract involving the City, is a defaulter surety
otherwise, upon any obligation to the City, and /or has failed to perform
faithfully on any previous contract with the City.
d) Have no record of pending lawsuits or criminal activities, and have
never been declared bankrupt.
The term "equipment and organization" as used herein shall be construed to mean a fully
equipped and well established industry as determined by the proper authorities of the
City of Miami, Florida.
2.6. FIXED AND FIRM PRICING WITH PRICE ADJUSTMENT (3m and 4" contract years)
Bidders are required to bid fixed and firm pricing for each 'of the rental
rates (daily,.weekly, monthly) indicated on the Bid Form for the first two
years and may adjust pricing on the last two option to renew years. Pricing
on the third and fourth year shall also be fixed and firm.
2.7. METHOD OF AWARD
The method of award for this bid is to, at a maximum, the three (3) lowest responsive,
responsible bidder(s) when adding the vehicle monthly, weekly, and daily rate for each of
the category and arriving to an overall lowest four (4) year total on a group by group basis
or in the aggregate under the commercial insurance or self insurance vehicle rental rate
plan. Bidders must bid on all categories listed under a particular group to be considered
for award. It is also mandatory for bidder to submit vehicle rental rates for Group A for
award consideration for the other remaining particular groups (B -F). The City of Miami
reserves the right to award bid to the three (3) lowest responsive, responsible bidder(s), if
applicable, based on the insurance plan or any combination thereof, including, but not
limited to, bidder(s) under the two different insurance plans, if deemed to be most
advantageous and in the best interest of the City.
2.8. BID BOND
All responses shall be accompanied by a Certified Check, Cashier's Check or Surety
Bond in the amount of $5,000.00, payable to the City of Miami and conditioned upon the
successful bidder submitting the specified Performance Bond within ten (10) days
following notice of award, in the form and manner required by the City. In case of failure
or refusal to do so within the time stated, the security submitted with the bid will be
forfeited as liquidated damages because of such failure or default.
Bid Bond will be returned (except the three (3) lowest bidders) within ten
(10) days after Contract Award by the City Commission, and /or receipt of
an acceptable Performance Bond from the contractor.
The City of Miami reserves the right to reject any and all security tendered
to the City.
NOTE: (1) The bonds required above shalt be issued by companies authorized to do
business under the laws of the State of Florida with a general policyholders' rating of no
less than "A" and the amount of any required bond shall not exceed 5% of the reported
published by Alfred M. Best Company, Inc.
2.9. PERFORMANCE BOND
The bidder to whom a contingent award is made for this commodity shall
duly execute and deliver
to the City a Performance and Payment Bond in an amount equal to five
hundred thousand dollars ($500,000). the approximate annual value of
this contract. The Performance and Payment Bond Form supplied by the
City shall be the only acceptable form. The completed form shall be
delivered to the City within fifteen (15) calendar days after award by the
City Commission. if the bidder fails to deliver the Payment and
Performance Bond within this specified time, including granted extensions,
the City shall declare the bidder in default of the contractual terms and
conditions and the City shall have just cause for the annulment of the
award and the forfeiture of the Bid bond to the City, which forfeiture shall
be considered, not as a penalty, but in mitigation of damages sustained.
Award may then be made to the next lowest responsive, responsible
Bidder or all bids may be rejected.
2.10. FLORIDA MINIMUM WAGE
The Constitution of the State of Florida, Article X, Section 24. states that employers shall pay employee wages
no less than the minimum wage for all hours worked in Florida. Accordingly, it is the contractors and its`
subcontractor's responsibility to understand and comply with this Florida constitutional minimum wage
requirement and pay its employees the current established hourly minimum wage rate, which is subject to
Change or adjusted by the rate of inflation using the consumer price index for urban wage earners and clerical
workers. CPI-W, or a successor index as calculated by the United Stales Department of labor. Each adjusted
minimum wage rate calculated shall be determined and published by the Agency Workforce Innovation on
September 30M of each year and take effect on the following January 110.
At the time of bid, it is bidder and his /her subcontractor(s), if applicable, full responsibility
to determine whether any of its employees may be impacted by this Florida Law at any
given point in time during the term of the contract. If impacted, bidder must furnish
employee name(s), job title(s), job description(s), and current pay rate(s). Failure to
submit this information at the time of bid constitute successful bidder's acknowledgement
and understanding that the Florida Minimum Wage Law will not impact its bid prices
throughout the term of contract and waiver of any contractual price increase request(s).
The City reserves the right to request and successful bidder must provide for any and all
information to make a wage and contractual price increase(s) determination.
2.11. NON - APPROPRIATION OF FUNDS
In the event no funds or insufficient funds are appropriated and budgeted
or are otherwise unavailable in any fiscal period for payments due under
this contract, then the City, upon written notice to Successful Bidder(s) or
his assignee of such occurrence, shall have the unqualified right to
terminate the contract without any penalty or expense to the City.
2.12. SERVICE AND FACILITIES
The contractor shall maintain and /or operate a service /repair facility within
the Citx of Miami or Miami -Dade Counter area and shall provide
reasonably prompt service and /or repair for City rental vehicles,. as
needed. Service and repair required due to ordinary wear, mechanical
malfunction or manufacturer defect shall be the complete responsibility of
the contractor. Other service and /or repair as may be required shall be
covered by the Insurance Policies of the Contractor as detailed below,
subject to the deductible selected by the City of Miami. Additional service
requirements shall be as stipulated in the Specifications.
2.13. INSURANCE
Determination of award will be based, in part, upon the leaselrental rate
having Insurance Coverage that is most advantageous to the City.
Bidders are required to bid on the insurance option(s) summarized in
Section 2.15.
2.14. DELIVERY
Successful Bidders shall specify on the attached Bid Response Form the delivery time (in
calendar days) for each vehicle.
Point: Automobiles will be picked up by designated City personnel at the
Successful Bidder's facility.
2.16. INSURANCE REQUIREMENTS
Determination of award will be based, in part, upon the lease /rental rate having Insurance
Coverage that is acceptable to the City. Bidders are required to bid on the insurance
option(s) summarized on the Bid Form. The bidder shall furnish to City of Miami, c/o
Purchasing Department, 444 SW 2Ad Avenue, a Floor, Miami, Florida 33130,
Certificate(s) of Insurance which indicate that insurance coverage has .been obtained
which meets the requirements as outlined below:
COMMERICAL INSURANCE POLICY
Commercial General Liability with limits of at least $1,000,000 per occurrence,
$2,000,000 aggregate for bodily injury and property damage.
2. Automobile Liability Insurance covering all rental /ownedheased /hired vehicles used in
connection with the work in an amount not less than $1,000,000 combined single
limits for bodily Injury and property damage.
3. Comprehensive and Automobile Physical Damage — with a deductible
of $100 per occurrence for losses as a result of other than collision and
collision,
4. Worker's Compensation -As defined in section 440.107(2) FS.
The City must be named as additional insured. BINDERS ARE
UNACCEPTABLE.
SELF INSURANCE PROGRAM

commercial insurance policy, which meets or exceeds the coverage as
specified above. The City will at its sole discretion be entitled to accept or
reject the respondent's Self Insured Program.

operations of the bidder.
All insurance policies required above shall be issued by companies authorized to do
business under the laws of the State of Florida, with the following qualifications:
The Company must be rated no less than "A" as to management, and no less than "Class
Vas to financial strength, by the latest edition of Best's Key Rating Insurance Guide or
acceptance of insurance company which holds a valid Florida Certificate of Authority
issued by the State of Florida, Department of Insurance, and are members of the Florida
Guarantee Fund.
Certificates will indicate no modification or change in insurance shall be made without
thirty (30) days written advance notice to the certificate holder.
If bidding Self Insurance, prospective bidder should include a copy of current Certificate
Insurance. Certificates will indicate no modification or change in insurance shall be made
without thirty (30) days written advance notice to the certificate holder.
NOTE: CITY BID NUMBER ANDAOR TITLE OF BID MUST APPEAR ON EACH
CERTIFICATE.
Compliance with the foregoing requirements shall not relieve the bidder of his liability and
obligation under this section or under any other section of this Agreement.
--If insurance certificates are scheduled to expire during the contractual period, the
Bidder shall be responsible for submitting new or renewed insurance certificates to the
City at a minimum of ten (10) calendar days in advance of such expiration.
- -in the event that expired certificates are not replaced with new or renewed
certificates which cover the contractual period, the City shall*
a. Suspend the contract until such time as the new or renewed certificates are received
by the City in the manner prescribed in the Invitation For Bid.
b. The City may, at its sole discretion, terminate this contract for cause and seek re-
procurement damages from the Bidder in conjunction with the General and
SpecialTerms and Conditions of the Bid.
The Bidder shall be responsible for assuring that the insurance certificates required in
conjunction with this Section remain in force for the duration of the contractual period:
including any and all option terms that may be granted to the Bidder.
INDEMNIFICATION
Bidder shall pay on behalf of, indemnify and save City and its officials harmless, from and
- -- against -any and-all-claim., causes of actioni- which - may, arise out-cf.....................
bidders performance under the provisions of the contract, including all acts or omissions
to act on the part of bidder, including any person performing under this Contract for or on
bidder's behalf, provided that any such claims, liabilities, losses and causes of such
action are not attributable to the negligence or misconduct of the City and, from and
against any orders, judgments or decrees which may be entered and which may result
from this Contract, unless attributable to the negligence or misconduct of the City, and
from and against all costs. attorneys' fees, expenses and liabilities incurred in the
defense of any such claim, or the investigation thereof.
OTHER INSURANCE PROVISIONS
1. Discretionary Use:
The City of Miami Police Department has an established policy against
the use of nonowned, unmarked investigative vehicles as part of a
tactical mobile field force. This does not preclude the use of an unmarked
vehicle for assignment to ;perimeter posts or as originally intended as
undercover vehicles necessary for intelligence gathering on or near the
area of civil disturbance.
As such the City of Miami, agrees that use of a vehicle provided under this
agreement in violation of the police policy will be caused for contractor to
seek payment for the damage vehicle.
The City will have the first right to inspect and repair the damage vehicle,
The contractor will have the right to subrogation and pursue all avenues
of collection before presenting a reimbursement request for the
deductible amount.
2. Claim Monitoring:
The City of Miami requires full defense by the contractor for all claims,
and the Risk Management Liability Section shall monitor all claim files.
3. Depreciation:
The City shall not pay any depreciation for any rented vehicles.
2.15, METHOD OF PAYMENT
Payment will be made upon receipt of invoice ir! thirty (30) days arrears.
2.17. ADDITIONSIDELETIONS OF FACIUTIESRTEMSIPRODUCTS
Although this Solicitation identifies specific facifities/items /products to be serviced, it is
hereby agreed and understood that any City department or agency may be
added /deleted to/from this contract at the option of the City. When an addition to the
contract is required, the successful bidders) under this contract shall be invited to submit
price quotes for these new services/itemelpmducts. If these quotes are comparable with
market prices offered for similar serviceslitems /products, they shall be added to the

purchase order shall be issued by the City.
2.18, CONTRACT ADMINISTRATOR
Upon award, Successful Bidders) shall report and work directly with Terry Byrnes,
CPPB, who shall be designated as the Contract Administrator. Upon award, successful
bidder(s) will work directly with the department contract administrator or designee.
2.19. EQUAL PRODUCT
Selected manufacturer's names, brand names and models are used in these
specifications for the purpose of establishing minimum requirement of- level of quality,
standards of performance and design required for vehicles to be used and are in no way
intended to prohibit the bidding of other manufacturer's vehicles of equal quality, unless
otherwise indicated. Equal (substitution) may be bid, provided product so bid is found to
be equal in quality, standards of performance, design, etc. to item specified, unless
otherwise indicated. The City of Miami shall have the sole discretion as to what
manufacturer's brand and model is considered equal product.
2.20. ADVERTISING
No emblem, logo, tag or other device or design promoting the contracting
firm may be affixed in any manner to any vehicle furnished under this bid.
2.21. TIE BIDS
Whenever two or more Bids which are equal with respect to price, quality and service are
received by the City for the procurement of commodities or contractual services, a Bid
received from a business that certifies that is has implemented a drug -free workplace
program shall be given preference in the award process. Established procedures for
processing be Bids will be followed if none of the tied bidders have a drug -free workplace
program. In order to have a drug -free workplace program, a business shall:
a. Publish a statement notifying employees that the unlawful manufacture, distribution,
dispensing, possession, or use of a controlled substance is prohibited in the
workplace and specifying the action that will be taken against employees for
violations of such prohibition.
b. Inform employees about the dangers of drug abuse in the workplace, the business'
policy of maintaining a drug -free workplace, any available drug counseling,
rehabilitation, and employee assistance programs, and the penalties that may be
imposed upon employees for drug abuse violations.
c. Give each employee engaged in providing the commodities or contractual services
that are under Bid a copy of the statement specified in subsection (a.).
d. In the statement specified in subsection (a.), notify the employees that as a condition
of working on the commodities or contractual services that are under Bid, the
employee will abide by the terms of the statement and will notify the employer of any
conviction of, or plea of guilty or polo contendere to, any violation of Chapter 893 or
of any controlled substance law of the United States or any state, for a violation
occurring in the workplace no later than rive (5) days after such conviction.
6. impose a sanction on, or require the satisfactory participation in a drug abuse
assistance or rehabilitation program, if such is available in the employee's
community, by any employee who is so convicted.
f. Make a good faith effort to continue to maintain a drug -free workplace through
implementation of this section.
2.22. SERVICE AND FACILITIES
The successful bidder's maintenance facility shall be located no more than
within a five (5) mile radius from the boundaries of the City of Miami and
shall provide reasonably prompt service and /or repair for City rental
vehicles, as needed. Service and repair required due to ordinary wear,
mechanical malfunction or manufacturer defect shall be the complete
responsibility of the Successful Bidder(s). other service and /or repair as
may be required shall be covered by the Insurance policies of the

2.23. CONFIDENTIALITY
The successful bidder shall agree to comply with any confidentiality requirements
established by the City, if applicable, and successful bidder's personnel shall comply
with same.
2.24. WARRANTY
Manufacturers warranties on vehicles covered by this contract shall be
considered, whereas successful bidder shall obtain warranty schedules
and call upon manufacture for warranty claims. Bidders are requested to
bid credits for those months where warranties are in effect reducing the
scope of the contract.
2.25. REFERENCES
Each bid must be accompanied by a list of references, which shall include the name of
the company, dates of contract, description of contract, a contact person and the
telephone number. NO BID WILL BE CONSIDERED WITHOUT THIS LIST (See Section
4.3, Page 2 of 2).
2.26. FAILURE TO PERFORM / LIQUIDATED DAMAGES
Should it not be possible to reach the successful bidder or supervisor and /or should
remedial action not be taken within 48 hours of any failure to perform according to
specifications, the City reserves the right to declare successful bidder in default of the
contract or make appropriate reductions in the contract payment in the vehicle rental
amount established in the bid form for each vehicle per group and category, not as a form
of a penalty, but as mere compensation for the loss of required vehicle.

TERMS

accordance with the preceding years Consumer Price Index.
CARS TO BE PROVIDED
Enterprise will provide a selection of cars, SUVs, trucks, and vans from which City of South Miami may
choose. This selection will be classified in groups for pricing. During the terms of the agreement, City of
South Miami may exchange vehicles at any of our 125 locations in South Florida within the pricing groups
at any time. If at any time a vehicle is disabled due to mechanical or accidental reason, a replacement or
exchange vehicle will be issued immediately. Enterprise has the largest variety of makes, models, and
colors of any rental company in the industry and we will make every effort to get the exact Vehicle City of
South Miami requests.
MAINTENANCE
Enterprise will maintain the vehicles provided under this agreement both as to mechanical repairs and
routine maintenance. When an' agreement vehicle is down for service, a replacement or exchange vehicle
will be provided at no additional charge while the vehicle is repaired. It is required for City of South Miami
if the rental vehicles are returned for routine maintenance free of charge every 4,500 to 5,000 miles.
INSURANCE
GENERAL
Enterprise recognizes that "City of South Miami" is a pseudonym for a multi jurisdictional task force
comprised of personnel from various law enforcement agencies, which governmental entities are self
insured under appropriate state and federal laws. It is the responsibility of City of South Miami participants
to see that the risk management department of each agency /department is made aware of this agreement
and its obligations under such.
OPTION A
Enterprise will assume responsibility for damages to the rented vehicle. City of South Miami will be
responsible for only the first $250 in damages to the rented vehicle per accident or occurrence. This will
apply to Classes I, 1I, III, $750 for Class IV. Enterprise will provide third party liability coverage with
limits of $100k/$300k/$50K.
OPTION 1B
The City of South Miami participants may rent from Enterprise Rent -A -Car under the terms that each City
of South Miami participant will be responsible for all damages to the rental vehicle per accident
occurrence. Proper certification needs to be placed on file for all coverage's, inclusive of all third party
coverage's.
ORIGINAL RENTAL TICKETS
Each City of South Miami employee or agent will sign the original rental tickets. Since Enterprise rewrites

Given the nature of the use of these vehicles, Enterprise is fully aware of the need for confidentiality and
will do everything in its power to ensure the same.
VEHICLE USE:
It is understood and agreed that vehicles rented under this agreement are intended for undercover
investigation and surveillance. Vehicles rented under this agreement are not intended for use in a chase or
apprehension, or transportation of suspects under arrest.
