Re: Asking the City Commission
to rule on the RFQ Protest submitted
by LAZ Parking regarding RFQ# FN090303
On January 28, 2009 and February 2, 2009 we advertised Request for Qualification
for the Management, Operations and Maintenance of . Parking System (RFQ#
FN090303) in the Miami Daily Business Review. The RFQ is attached as Exhibit "A ".
As specified in the notice, all submittals were received until 3:00pm on
March 3, 2009. Attached as Exhibit "B" is the list of qualification packages received.
One of the submittal (IPS Group) did not meet the bid bond requirement of the RFQ
and the package was automatically disqualified.
On March 17, 2009, the following members of the Selection Committee commenced
the review of the submitted package:

On March 30, 2009 the three companies were asked to present a factual dissertation
of their organization and qualifications during a video - recorded Presentation and
interview process. Following the process, the Selection Committee ranked the
companies as follows:
1. Standard parking
2. Central parking Systems
3. LAZ Parking
In an effort to secure the City Commission's approval of the ranking and to commence
negotiation with the companies, a resolution package was placed on the April 7, 2009
City Commission agenda. The resolution package is attached as Exhibit "C ". Just
before the Commission meeting on April 7, 2009, LAZ Parking submitted a protest
letter expressing concerns to the RFQ process. The protest letter is attached as
Exhibit "D ". During the April 7, 2009 meeting, I asked the Commission to "table" the
resolution on the agenda until the protest is addressed.
On June 10, 2009 we (City Attorney, Finance Director, Collections & Parking Manager
and I) met with LAZ Parking to better understand their issues in the protest letter.
During the meeting LAZ Parking conceded that all their protest issues were not legally .
sufficient points for a protest. Notwithstanding, we listened to their issues and agreed
to make a recommendation to the City Commission that all three qualified companies
submit sealed bids for the Parking Management Services. Our former City Attorney,
Mr. Luis Figueredo sent the attached letter dated June 22, 2009 (Exhibit "E ") to LAZ
Parking reiterating our discussion during the June 10, 2009 meeting and stating:
"The City is of the opinion that the Request For Qualification (RFQ# FN090303) for the
City's parking meter management services was conducted in accordance with stated
law and the City's procurement regulations." In the same letter, Mr. Figueredo asked
LAZ Parking to submit a letter requesting that their protest be held in abeyance
pending the City Commission's decision on the revised resolution.
To our dismay, LAZ Parking submitted a letter dated August 28, 2009 (Exhibit "G ")
addressing the same issues as their April 7, 2009 letter and new issues that are not
legally sufficient for a protest of the RFQ.
At this point, I am asking the City Commission to consider /rule on this RFQ protest.
To ensure that all parties are given equal opportunities, we will be prepared to provide
supporting documents addressing every issue in LAZ Parking's protest letters at the
hearing.

2. Company Experience managing at a minimum of 2 municipal contracts similar to City of South Miami.
3. Company Experience managing at a minimum of 2 municipal contracts with a minimum of 700 on- street spaces and enforcement of Cit
Parking Garage.
4. Proven company experience developing marketing programs for parking programs.
5. Proven company experience in the insurance and management of parking citation system.
6. Proven experience with installing new parking equipment for a municipality either as an upgrade or implementation of pay and display parkin
program.
COMPANY QUALIFICATIONS:
1. Parking management company in business for a minimum of 10 years.
2. Company with an established management base in Florida for a minimum of 10 years with a previously established regional office.
3. Financial ability to fund capital improvements- provide 2 years of audited financial reports.
SERVICES REQUIRED:
1. Assistance and consultation with the City as necessary in any design of the program.
2. Assistance in implementing the program, including working with downtown businesses, neighborhood groups and other organizations
needed.
3. Financing and procuring of any capital improvements including parking meters, pay and display, support vehicles and computer equipment.
4. Be available to respond to city calls when needed and attend group and or City Commission meetings when asked by City:::

FORM OF RESPONSE: Respondent is to provide the following information.
Experience
1. Describe your established parking management experience, which are related to the
services to be provided in cities similar to South Miami.
2. Provide a minimum of three (3) references with which the proposer has contracted to
provide parking management services similar to these specified herein.
3. Detail any parking management contracts that have in the past five years been
terminated or cancelled, by either parry, prior to the completion of the contract term
describe the basis for termination.

Capability and Skill: Describe in detail the capability and skill of your organization to
provide the services specified herein. The description of your firm's capability and skill of your
organization to provide the services specified herein. The description of your firm's capability and
skill should include, at a minimum, the following:
1. Background information about the organization, e.g., philosophy, ownership, size
facilities, locations(s), etc.
2. Proposer's management structure both at the corporate level and at the project level
e.g. number of each of the following: management; supervisory, non - supervisory
personnel.
3. Proposer's qualifications to perform the services, including all resources available to
proposer for the performance of the contract.
4. Qualifications of management and/or supervisors who will be assigned to this contract.
5. Describe the proposer's Affirmative Active Program, and provide a plan to maximize
use of minorities and disadvantaged persons and firms in the provision of services
under this contract, as well as in internal operation of the program.
6. Description of proposer's financial stability and other resources that most adequately
ensure the delivery of services acceptable to the City.
7. Provide organizational chart and staffing schedule showing maximum use of full -time
permanent employees.
8. Provide information on employee, compensation packages that are available to project
employees, to include, at a minimum, hourly wage, leave programs, employee
performance incentives, etc. which all full -time permanent employees currently
receive.
9. Provide a detailed description of training, safety and certifications programs given to
all employees. Include excerpts from training manual for enforcement and collections
personnel.
10. Describe any changes to the existing program to be recommended by your company
including meter and citation rates.
11. Describe any advanced technology or processes you would recommend to improve
parking management.
12. Describe any special amenities or programs you would propose to implement include
any additional costs /charges that might be incurred through implementation of the
program.
ADDITIONAL SERVICES TO BE PROVIDED :Detail in your response any additional
services that would be provided should your firm be selected for negotiations. The services that
the City expects to receive as a result of this RFQ have been outlined in Section 2.3, Services
Required. Respondent shall include any additional information not required herein that may be
useful for the successful performance of the required services.
ADDITIONAL CONTRACTUAL REQUIREMENTS:
1. Proposal binding for one hundred twenty (120) days:Respondent agrees that any
negotiated pricing arising from the RFQ shall be good and may not be withdrawn for a
period of one hundred and twenty (120) calendar days.
2. Contract Term:
1. The initial contract period shall consist of 3 years.
2. Upon mutual agreement, any resulting contract may be extended for two (2)
additional yearly periods.
3. Award of Contract:The right to enter into negotiations and/or award a contract based
on the responses to this RFQ shall be at the sole discretion of the City. Any award shall
be based upl? the evaluation of all information as9e City may request. The City
reserves the right to accept or reject any or all responses in whole or in part and to
waive any informality in this RFQ process. Further, the city reserves the right to enter
into any contract deemed to be in the interest of the City.
ALTERNATIVES/EXCEPTIONS
1. In offering its best response, respondent may vote exceptions to any of the provisions
in this RFQ. Respondent is to specify the RFQ page number and section number and to
detail the exception. Respondent should not incorporate by reference its entire,
standard contract document.
2. Respondent may present alternative methods to the meet the City's 'objective for this
Contract. However, proposer is encouraged to first respond to the objectives detailed
in the SERVICE TO BE PROVIDED section.
EVALUATION: Selection shall be made of one qualified and best suited among those submitting
responses_on the basis of the factors listed below.
1. Proposer's experience in providing the services requested;
2. Proposer's financial worthiness;
3. Proposer's capability and skill to perform the services;
4. Responsiveness of the written proposal to the purpose and scope of services.
PRESENTATION: The City may elect, but is not obligated to do so, to offer to one or more
proposers the opportunity to present their program to the City. Presentations will be in a form an d
manner prescribed by the City
E. RECEIPT OF QUALIFICATIONS: unless otherwise stated in the technical specifications of the
RFQ, the City will accept one and only one proposal per respondent. In the event a team of firms is
entering into joint venture to respond to this RFQ, one firm shall be named the prime contractor and the
response shall be submitted in the name of the prime contractor. All correspondence concerning the RFQ
will be between the City and prime contractor.
F. SUBCONTRACTING: Should the respondent intend to subcontract all or any part of the work
specified, name(s) and address(es) of subcontractor(s) must be provided in the response.
G. PUBLIC INFORMATION: All information and materials submitted will become the property of the
City and shall be subject to the provisions of the public records laws in effect at the time. If awarded the
contract, the RFQ submission, in its entirety, will be included as part of the contact documents and filed,
as public record, with the Clerk of the City.
H. CONTRACT: Each response is received with the understanding that an acceptance in writing by the
City of the offer to furnish any or all of the services and materials described shall constitute a contract
between the respondent and the City. This contract shall bind the respondent to furnish and deliver the
services and materials specified, at the prices negotiated prior to award. In the event of an award of
contract it is agreed that the successful respondent will not assign, transfer, convey or otherwise dispose
of the contract or it's right, title or interest in or the same, or any part thereof, without previous consent or
it's right, title or interest in or to the same, or any part thereof, without previous consent of the City and
any sureties. Any part of any award, the City requires a $150,000 performance /security /bond.
I. NON - COLLUSION: Respondent declares that their response is not made in connection with any
other entity submitting a response for the same service, and that the response is bona fide, truthful and is
in all respects fair and without collusion or fraud.

J. INDEMNITY: The successful respondent agrees, by entering into a contract, to defend, indemnify and
hold City harmless from any and all causes of action or claims of damages arising out or under said
contract.
K. DISADVANTAGED BUSINESS ENTERPRISE CLAUSE: Disadvantaged Business Enterprises
(minority or woman-owned business) will be afforded full opportunity to submit a response to this
invitation and will not be discriminated against on the grounds of race, color, creed, sex or national origin
in consideration for an award. It is the policy of the City that disadvantaged business enterprises and
minority business enterprises have an opportunity to participate at all levels of contracting in the
performance of City contracts to the extent practical and consistent with the efficient performance of the
contact.
L. TAXES: State of Florida and City business licenses, personal property, real estate and other applicable
tax requirements shall be in full compliance at the time of submission.
M. DRUG -FREE WORKPLACE: The policy of the City requires all contractors maintain a drug free
workplace policy. Consequently, any vendor providing goods or services to the city must comply with all
applicable Federal and State Drug Free Workplace Acts.
N. FEDERAL, STATE, LOCAL LAWS: All respondents will comply with all Federal, State and Local
laws, ordinances, rules and regulations relative to conducting business in the City and performing the
prescribed service. Ignorance on the part of the respondent shall not, in any way, relieve the respondent
from responsibility for compliance with said laws and regulations or any of the provisions of these
documents.
O. INSURANCE: All respondents shall submit with the RFQ proof of insurance applicable for services
described in these specifications. The establishment of minimum limits of insurance by City does not
reduce or limit the liability or responsibilities of proposer.
P. CONE OF SILENCE:The "Cone of Silence" specifically prohibits communication in regarding
RFP's, RFQ's, RFLI's, IFB (bids) or any solicitation with the City of South Miami staff except by written
means, with copy filed with the City Clerk. Certain exceptions are made such as oral communications
during pre - proposal conferences. This takes effect upon advertisement for Request for Qualifications and
terminates when the City Manager makes recommendation for award to the City Commission. In
addition to any other penalties provided by law, violation of the Cone of Silence by any Proposer(s) shall
render any proposal disqualified.

Background: In January 2009 the City initiated a process of requesting qualifications for

Four sealed qualifications packages were submitted; only 3 companies
complied with the bond requirement. The qualification packages were
publicly opened the last day of the qualification submittal period, March 3,
2009 at 3:00pm.

Provide the City of South Miami with the management and operation
of parking in the City, and to perform such other tasks as specified.
The City Clerk's office must receive all responses by 3:00 P.M. on
March 3, 2009 at City of South Miami, City Clerks office located at
6130 Sunset Drive, South Miami, Florida. Responses submitted after

A. SUBMITTAL: Submit one original and five identical copies. of your response. For proper
identification, the proponent's complete name and address should appear on the exterior of the package
along with the RFQ number and name. The City shall not be held liable for any expenses incurred by the
respondent in preparing and submitting materials and/or attendance at any interviews, final contract
negotiations or applicable site visits. The City reserves the right to enter into negotiations and award this
work to the respondent which best meets the goals and objectives- of the city or to reject any and all
responses; whichever is in the best interest of the City.
B. QUESTIONS ABOUT THE RFQ: Communication is to the place in writing and addressed to the
City Clerks office, to e -mail MMenendez@cityofsouthmiami.net or fax: 305- 663 -6348.
C. REQUIRED BONDS: A respondent shall submit a qualification bond along with the response in the
amount of $100,000.00. The bond shall become forfeit if the respondent is accepted by the City but the
respondent does not accept the contract offered incorporating the elements of this Request for
Qualifications. The qualification bond shall expire upon execution of the contract with the selected
respondent, unless approved otherwise.
D. SPECIFICATIONS: The City is seeking a qualified Operator under a Management Contract for the
operations and maintenance management of City's parking. Other management arrangements will be
considered.
SCOPE OF SERVICE:
GOALS:
1. To enforce parking regulations in compliance with City, State and County Code.
2. To manage a limited resource by creating turnover of public parking spaces.
3. To fumish, install and maintain single head meters and pay and display parking systems.
EXPERIENCE QUALIFICATIONS:
1. 5 years of Company Experience managing municipal parking programs that include meters .
collection, maintenance and enforcement.
2. Company Experience managing at a minimum of 2 municipal contracts similar to City of
South Miami.
3. Company Experience managing at a minimum of 2 municipal contracts with a minimum of
700 on- street spaces and enforcement of City Parking Garage.
4. Proven company experience developing marketing programs for parking programs.
5. Proven company experience in the insurance and management of parking citation system.
6. Proven experience with installing new parking equipment for a municipality either as an
upgrade or implementation of pay and display parking program.
COMPANY QUALIFICATIONS:
1. Parking management company in business for a minimum of 10 years.
2. Company with an established management base in Florida for a minimum of 10 years with
a previously established regional office.
3. Financial ability to fund capital improvements- provide 2 years of audited financial reports.
SERVICES REQUIRED :
1. Assistance and consultation with the City as necessary in any design of the program.
2. Assistance in implementing the program, including working. with downtown businesses,
neighborhood groups and other organizations as needed.
3. Procurement of any capital improvements including parking meters, pay and display,
support vehicles and computer equipment.
4. Be available to respond to city calls when needed and attend group and or City
Commission meetings when asked by City.
5. Installation and maintenance of parking equipment. Installation shall be in accordance
with the standards by the City.
6. Provide sufficient personal to issue parking citations at a level of enforcement specified by
verification.
7. Provide special training for all enforcement personal. Provide training manual as
verification.
8. Provide towing and/or immobilization services as required by the City.
9. Handle all customer services associated with the program.
10. Provide weekly, monthly and annual reports as required by the City.
11. Any other services which the proposer is capable of providing.
FORM OF RESPONSE: Respondent is to provide the following information.
Experience
1. Describe your established parking management experience, which are related to the
services to be provided in cities similar to South Miami.
2. Provide a minimum of three (3) references with which the proposer has contracted to
provide parking management services similar to these specified herein.

3. Detail any parking management contracts that have in the past five years been
terminated or cancelled, by either party, prior to the completion of the contract term
describe the basis for termination.
Capability and Skill: Describe in detail the capability and skill of your organization to
provide the services specified herein. The description of your firm's capability and skill should
include, at a minimum, the following:
1. Background information about the organization, e.g., philosophy, ownership, size
facilities, locations(s), etc.
2. Proposer's management structure both at the corporate level and at the project level
e.g. number of each of the following: management, supervisory, non - supervisory
personnel.
3. Proposer,'s qualifications to perform the services, including all resources available to
proposer for the performance of the contract.
4. Qualifications of management and/or supervisors who will be assigned to this contract.
5. Describe the proposer's Affirmative Active Program, and provide a plan to maximize
use of minorities and disadvantaged persons and firms in the provision of services
under this contract, as well as in internal operation of the program.
6. Description of proposer's financial stability and other resources that most adequately
ensure the delivery of services acceptable to the City.
7. Provide organizational chart and staffing schedule showing maximum use of full -time
permanent employees.
8. Provide information on employee, compensation packages that are available to project
employees, to include, at a minimum, hourly wage, leave programs, employee
performance incentives, etc. which all full -time permanent employees currently
receive.
9. Provide a detailed description of training, safety and certifications programs given to
all employees. Include excerpts from training manual for enforcement and collections
personnel.
10. Describe any changes to the existing program to be recommended by your company
including meter and citation rates.
11. Describe any advanced technology or processes you would recommend to improve
parking management.
12. Describe any special amenities or programs you would propose to implement include
any additional costs /charges that might be incurred through implementation of the
program.
ADDITIONAL SERVICES TO BE PROVIDED: Detail in your response any additional
services that would be provided should your firm be selected for negotiations. The services that
the City expects to receive as a result of this RFQ have been outlined in Services Required section.
Respondent shall include any additional information not required herein that may be useful for the
successful performance of the required services.
ADDITIONAL CONTRACTUAL REQUIREMENTS:
1. Proposal binding for one hundred twenty (120) days: Respondent agrees that any
negotiated pricing arising from the RFQ shall be good and may not be withdrawn for a
period of one hundred and twenty (120) calendar days.
2. Contract Term:
1. The initial contract period shall consist of 3 years.
2. Upon mutual agreement, any resulting contract may be extended for two (2)
additional yearly periods.

3. Award of Contract: The right to enter into negotiations and/or award a contract based
on the responses to this RFQ shall be at the sole discretion of the City. Any award shall
be based upon the evaluation of all information as the City may request. The City
reserves the right to accept or reject any or all responses in whole or in part and to
waive any informality in this RFQ process. Further, the city reserves the right to enter
into any contract deemed to be in the interest of the City.
ALTERNATIVES/EXCEPTIONS
1. In offering its best response, respondent may vote exceptions to any of the provisions
in this RFQ. Respondent is to specify the RFQ page number and section number and to
detail the exception. Respondent should not incorporate by reference its entire,
standard contract document.
2. Respondent may present alternative methods to the meet the City's objective for this
Contract. However, proposer is encouraged to first respond to the objectives detailed
in the SERVICE TO BE PROVIDED section.
EVALUATION: Selection shall be made of one qualified and best suited among those submitting
responses on the basis of the factors listed below.
1. Proposer's experience in providing the services requested;
2. Proposer's financial worthiness;
3. Proposer's capability and skill to perform the services;
4. Responsiveness of the written proposal to the purpose and scope of services.
PRESENTATION: The City may elect, but is not obligated to do so, to offer to one or more
proposers the opportunity to present their program to the City. Presentations will be in a form and
manner prescribed by the City
E. RECEIPT OF QUALIFICATIONS: unless otherwise stated in the technical specifications of the
RFQ, the City will accept one and only one proposal per respondent. In the event a team of firms is
entering into joint venture to respond to this RFQ, one firm shall be named the prime contractor and the
response shall be submitted in the name of the prime contractor. All correspondence concerning the RFQ
will be between the City and prime contractor.
F. SUBCONTRACTING: Should the respondent intend to subcontract all or any part of the work
specified, name(s) and address(es) of subcontractor(s) must be provided in the response.
G. PUBLIC INFORMATION: All information and materials submitted will become the property of the
City and shall be subject to the provisions of the public records laws in effect at the time. If awarded the
contract, the RFQ submission, in its entirety, will be included as part of the contract documents and filed,
as public record, with the Clerk of the City.
H. CONTRACT: Each response is received with the understanding that an acceptance in writing by the
City of the offer to furnish any or all of the services and materials described shall constitute a contract
between the respondent and the City. This contract shall bind the respondent to furnish and deliver the
services and materials specified, at the prices negotiated prior to award. In the event of an award of
contract it is agreed that the successful respondent will not assign, transfer, convey or otherwise dispose
of the contract or it's right, title or interest in or the same, or any part thereof, without previous consent or
it's right, title or interest in or to the same, or any part thereof, without previous consent of the City and
any sureties. Any part of any award, the City requires a $500,000 performance /security /bond.

I. NON - COLLUSION: Respondent declares that their response is not made in connection with any
other entity submitting a response for the same service, and that the response is bona fide, truthful and is
in all respects fair and without collusion or fraud.
J. INDEMNITY: The successful respondent agrees, by entering into a contract, to defend, indemnify and
hold City harmless from any and all causes of action or claims of damages arising out or under said
contract.
K. DISADVANTAGED BUSINESS ENTERPRISE CLAUSE: Disadvantaged Business Enterprises
(minority or woman -owned business) will be afforded full opportunity to submit a response to this
invitation and will not be discriminated against on the grounds of race, color, creed, sex or national origin
in consideration for an award. It is the policy of the City that disadvantaged business enterprises and
minority business enterprises have an opportunity to participate at all levels of contracting in the
performance of City contracts to. the extent practical and consistent with the efficient performance of the
contact.
L. TAXES: State of Florida and City business licenses, personal property, real estate and other applicable
tax requirements shall be in full compliance at the time of submission.
M. DRUG -FREE WORKPLACE: The policy of the City requires all contractors maintain a drug free
workplace policy. Consequently, any vendor providing goods or services to the city must comply with all
applicable Federal and State Drug Free Workplace Acts.
N. FEDERAL, STATE, LOCAL LAWS: All respondents will comply with all Federal, State and Local
laws, ordinances, rules and regulations relative to conducting business in the City and performing the
prescribed service. Ignorance on the part of the respondent shall not, in any way, relieve the respondent
from responsibility for compliance with said laws and regulations or any of the provisions of these
documents.
O. INSURANCE: All respondents shall submit with the RFQ proof of insurance applicable for services
described in these specifications. The establishment of minimum* limits of insurance by City does not
reduce or limit the liability or responsibilities of proposer.
P. CONE OF SILENCE:The "Cone of Silence" specifically prohibits communication in regarding
RFP's, RFQ's, RFLI's, IFB. (bids) or any solicitation with the City of -South Miami staff except by written
means, with copy filed with the City Clerk. Certain exceptions are made such as oral communications
during pre - proposal conferences. This takes effect upon advertisement for Request for Qualifications and
terminates when the City Manager makes recommendation for award to the City Commission. In
addition to any other penalties provided by law, violation of the Cone of Silence by any Proposer(s) shall
render any proposal disqualified.

LAZ Parking wishes to formally protest RFQ # FN090303. We feel that many issues
regarding the RFQ process warrants a new bidding process. The entire selection
committee scoring and bids should all be thrown out and a new RFP, not a RFQ should
be issued regarding the scope of service. RFQ's are usually issued for new services that
are not currently provided. The only scope that could have been placed as an RFQ is the
actual purchase and installation of new Master Meters. These are two separate duties
that could have been issued as an RFQ for the Master Meters and an RFP to manage and
operate the city's meter collections and enforcement. Furthermore, scoring from the
selection committee evaluation form excluded several points such as financial stability
and written proposal responsiveness as required on the RFQ these items were never
listed on scoring criteria. Please review the following points and allow us the
opportunity as the incumbent to plea our points at the agenda meeting before a final
decision is rendered.
1. RFQ only allowed 3 .companies in the entire state to qualify. The 10 year
requirement did not allow many other qualified operators the opportunity to bid.
2. RFQ refers to the four qualifications on which bidders were to be evaluated
however, the overall scoring process criteria was different from the original RFQ.
Furthermore, the entire. process of the interview evaluation awarded the highest
points (15) to a category which is completely subjective. As a result points issued
on each individual score card reflect a wide range of disparity from highest to
lowest.
3. The selection process of members of the evaluation committee was not
disclosed to bidders nor was the scoring criteria.
4. Numbers were changed on several of the selection committee's forms. The
forms were not signed or initialed next to corrections.
5. Selection Committee scoring was incorrect on the sum of evaluation scores'sheet.
LAZ Parking was rated 3rd by Eddie Berrones and listed 1St on his evaluation form.
Scoring on Mr. Richard Sobaram scorecard was not correctly tabulated on the
Central Parking ranking.
6. RFQ requires 3 references. Standard Parking only had 2 in the agenda packet.
Reference form was not complete for Central Parking or Standard Parking. The
form does not list the entity name, not even the city or state where the work is
preformed. Our references were local municipalities and a large municipality.
7. Category #3 on Selection committee evaluation form (Previous Experience with
Public agencies, especially small municipalities) was scored subjectively, and not
according to facts. We currently operate the City of South Miami and have
served the city for the past 3 years without any written warning or any
disciplinary notice. LAZ Parking has increased citation revenue by over 42% in the
past 3 years. That represents a $500,000 increase for the City. This experience
completely qualifies us to continue to operate. Only two members of the
committee gave the appropriate scoring based on our current ability to operate
a small municipality (10 points). Three members of the committee ranked
another companies higher than us in this category. This score is completely
contrary to our experience and qualifications to operate a small municipality.
This raises questions on how this entire evaluation process measures the
decisive factor of previous experience.
We have proven our worthiness to continue to operate and administrate this contract,
our production speaks for itself. We have served the City by providing well trained and
productive employees. The RFQ never accounted for the actual cost to the city for hiring
a bidder or even the price of the equipment. Parking companies get preferred vendor
rates based on volume purchased. This MUST be taken into consideration when
selecting a parking operator. The RFQ describes to negotiate after recommendation.
This does not allow a true "apples to apples' comparison once the other bidders are
excluded. As the incumbent we ask for your consideration for a transparent process that
is part of an RFP.

In response to your Bid Protest dated April 7h 2009 we participated in a
preliminary meeting to better understand the issues raised in your letter.
The first issue raise addressed the concern that the requirements imposed by the
city, namely the "10 year requirement' effectively eliminated qualified operators. During
the meeting, you agreed that the city has the right to create and impose standards. This
prerequisite actually benefits Laz Parking.
I advised you during the course of the meeting that several of the issues contained
in your letter while critical of the process did not constitute in the city opinion violations
of the competitive selection process. By way of example, issue number 3 charges the city
did not disclose "the selection process of members of the evaluation committee..." As
we discussed, the decision process utilized by the city in selecting committee members
lies solely within the discretion of the city. The city is not required to disclose to
prospective bidders how and why it selected specific members to serve on the selection
committee. Laz Parldng did not assert that the selection committee members were not
qualified. It simply took issue with the fact that it had not received information which
explained the selection process for the committee members.
During the course of the meeting, it became clear that'Laz Parking was requesting
that the ordinance be modified to allow staff to negotiate with the three companies. The
differential in scoring between the companies was slight. As a result, you asserted that the
company with the lowest pricing should be the one selected. You expressed a concern
with the ordinance as currently drafted. The ordinance requires that negotiations with one
company be terminated prior to commencing negotiations with the next bidder. Your
concern was noted that under this procedure, Laz Parking may never have an opportunity
to submit its bid to manage and operate the city's meter collections and install new
master meters. I reviewed the ordinance and agree that the ordinance as currently drafted

would not afford the city to solicit and evaluate bids from the second and third qualifying
firm until negotiations with the firm ranked first overall are formally terminated. The city
administration is of the opinion that the .city will benefit from concurrently evaluating
pricing and terms from all three qualifiers. Moreover, you
indicated that your primary objective is to be given the opportunity to submit a bid for
managing and operating the city's meter collections and installing new master meters.
The City is of the opinion that the Request For Qualifications (RFQ #FN090303)
for the city's parking meter management services was conducted in accordance with state
law and the city's procurement regulations. Notwithstanding, the city has agreed to
recommend to the city commission that the subject ordinance be modified to specifically
allow all three qualifiers to submit bids. As we discussed the overall scoring process
utilized to rank the three qualifier's will be weighed and considered by the city in
selecting the winning bid.
Please confer with your legal counsel. If. the proposed modification to the city
ordinance addresses your concern in that it affords you an opportunity to bid on the scope
of services we would appreciate a letter requesting that your protest be held in abeyance
pending the city commission's decision to amend the ordinance. if the proposed
modification and opportunity to submit a bid does not satisfy your objectives, kindly
advise us in writing and we will forward your bid protest to the city commission for its
consideration.

Dear Mr. Balogun:
Thank you for your letter of June 22, 2009. We apologize for tardiness of this response as your letter was
sent to 1501 Collins Avenue and our offices moved to 777 Brickell Avenue some months ago.
Subsequently, LAZ has only just now received it via facsimile. We also had some confusion on the date
the response was due since your letter stated it was due Friday, August 31, 2009, the 31St being Monday.
We only received the correct due date today at 3:00 pm.
While we agreed on some of the points during our meeting, we kindly request written clarification on
several items also discussed at our meeting and in our original protest bid letter not yet addressed.
During our meeting both parties mutually agreed that the City would prepare language to modify the
related ordinance. We would appreciate the opportunity for LAZ to review that draft which should
include specific language regarding pricing from multiple vendors as well as the ability for all parties
involved to negotiate on a leveled playing field. At the same meeting, LAZ also requested a copy of the
City of South Miami's procurement regulations. We have not received a copy to date.
Further, we fully understand your argument that the decision process utilized by the city in choosing its
Selection Committee Members lies solely within the discretion of the city. Again, we were merely
pointing out that there were discrepancies in the RFQ process which should unequivocally invalidate
some of the scoring results.
• As previously stated in our original protest letter (Number #2) the RFQ lists four qualifications on
which bidders were to be evaluated. However, the overall scoring criteria on which the Selection
Committee deliberated and scored the responses were different from the> qualifications as
stated in the RFQ. Subsequently, the written responses provided by LAZ were properly based in
their entirety on the factors listed on the RFQ and were not considered on some of the
categories in the evaluation form. We would like an explanation regarding this inconsistency and
stating specific criteria in the RFQ and having different criteria in the competitive evaluation and
selection process.
• We would like clarification on whether the City was aware prior to the appointment of the
selection committee, of a previous complaint made by the City of South Miami public works
director against LAZ Parking. Also, please describe his knowledge and experience in municipal
parking management enabling him to serve as a capable and unbiased member of this selection
committee.
• The evaluation scoring on several of the selection committee's forms were changed. The
evaluation forms were not dated and initialed next to corrections, by the implication that these
modifications could have been made after the fact. We are merely seeking an explanation for
these changes in the interest of public perception.
• There were factual errors tabulating the scores on the Selection Committee's evaluation forms.
For example, LAZ Parking was rated 3rd by Eddie Berrones and yet listed 1st on his evaluation
form. Scoring on Mr. Richard Sobaram scorecard was not correctly tabulated on the Central
Parking ranking.
• The oral presentation and interview evaluation awarded the highest points possible in the
evaluation to a category which is completely subjective. As a result, points issued on each
individual score card varied widely depending on the individual Selection Committee members
experience and knowledge regarding the parking industry. A less subjective, highly comparable
and overwhelmingly. more important criteria, price, was omitted entirely from the evaluation
process because it was not called for in the RFQ.
• The RFQ required 3 references. Standard Parking only submitted 2 in their packet and should
have been disqualified for not meeting_ the minimum stated requirement. The supplied
Reference Form was not complete for Central Parking or Standard Parking, again grounds for
disqualification. Ultimately, the form itself did not list the entity name for which the services are
provided, not even an indication as to the City or State where the work is being preformed. The
fact that two of the three submissions were non - compliant, again are indicative of the

LAZ Parking has increased citation revenue by.over 42% in the past 3 years which represents a
$500,000 increase in revenues for the City. While our local hands -on experience and
performance in the public interest directly for the City of South Miami should have garnered LAZ
the maximum points allowed in this category, only two members of the Selection Committee
gave LAZ the appropriate scoring of 10 points.
In summation, we kindly request that our protest be held in abeyance pending the requested written
responses to our points which were not entirely addressed. We would like the city of South Miami to
offer, not just for LAZ, but all qualified Parking Management providers and uncluttered, fair and
equitable process in which to compete. More importantly, at the end of the process the citizens and
taxpayers of South Miami will be assured that they are receiving the best possible services available
from the selected provider whoever that may be.

Dear Mr. Macedo:
On June 10, 2009 we met with you to better understand the issues you raised in your RFQ Protest letter
dated April 7, 2009. During our meeting, you conceded that all your RFQ Protest issues were not legally
sufficient points. Notwithstanding, we listened to your issues and agreed to making a recommendation
to the City Commission that our proposed resolution be modified to specifically allow all three
qualified'vendors to submit sealed bids for the Parking Management Services.
In Mr. Luis Figueredo's letter dated June 22, 2009, he stated that: "The City is of the opinion that the
Request For Qualification (RFQ # FN0909303) for the City's Parking Meter Management Services was
conducted in accordance with State Law and the City's procurement regulations ". In the same the letter,
Mr. Figueredo requested that if the proposed modification to the proposed ordinance allowing all three
qualified vendors to bid on the scope of services addressed your concerns, that you submit a letter
requesting that your protest be held in abeyance pending the City Commission's decision on the
ordinance. However, your attached letter dated August 28, 2009 clearly indicates that you have no
intention of accepting our proposal; we will schedule your appeal before the City Commission. .

Dear Mr. Balogun:
Thank you for your letter of June 22, 2009. We apologize for tardiness of this response as your letter was
sent to 1501 Collins Avenue and our offices moved to 777 Brickell Avenue some months ago.
Subsequently, LAZ has only just now received it via facsimile. We also had some confusion on the date
the response was due since your letter stated it was due Friday, August 31, 2009, the 3V being Monday.
We only received the correct due date today at 3:00 pm.
While we agreed on some of the points during our meeting, we kindly request written clarification on
several items also discussed at our meeting and in our original protest bid letter not yet addressed.
During our meeting both parties mutually agreed that the City would prepare language to modify the
related ordinance. We would appreciate the opportunity for LAZ to review that draft which should
indude specific language regarding pricing from multiple vendors as well as the ability for all parties
involved to negotiate on a leveled playing field. At the same meeting, LAZ also requested a copy of the
City of South Miami's procurement regulations. We have not received a copy to date.
Further, we fully understand your argument that the decision process utilized by the city in choosing its
Selection Committee Members lies solely within the discretion of the city. •Again, we were merely
pointing out that there were discrepancies in the RFQ process which should unequivocally invalidate
some of the scoring results.
As previously stated in our original protest letter (Number #2) the RFQ lists four qualifications on
which bidders were to be evaluated. However, the overall scoring criteria on which the Selection
Committee deliberated and scored the responses were different from the qualifications as
stated In the RFQ. Subsequently, the written responses provided by LAZ were properly based in
their entirety on the factors listed on the RFQ and were not considered on some of the
categories in the evaluation form. We would like an explanation regarding this Inconsistency and
stating specific criteria in the RFQ and having different criteria in the competitive evaluation and
selection process.
• We would like clarification on whether the City was aware prior to the appointment of the
selection committee, of a previous complaint made by the City of South Miami public works
director against LAZ Parking. Also, please describe his knowledge and experience in municipal
parking management enabling him to serve as a capable and unbiased member of this selection
committee.
• The evaluation scoring on several of the selection committee's forms were changed. The
evaluation forms were not dated and initialed next to corrections, by the implication that these
modifications could have been made after the fact. We are merely seeking an explanation for
these changes in the interest of public perception.
• There were factual errors tabulating the scores on the Selection Committee's evaluation forms.
For example, LAZ Parking was rated 3rd by Eddie Berrones and yet listed 1st on his evaluation
form. Scoring on Mr. Richard Sobaram scorecard was not correctly tabulated on the Central
Parking ranking.
The oral presentation and interview evaluation awarded the highest points possible in the
evaluation to a category which is completely subjective. As a result, points issued on each
individual score card varied widely depending on the individual Selection Committee members
experience and knowledge regarding the parking industry. A less subjective; highly comparable
and overwhelmingly more important criteria, price, was omitted entirely from the evaluation
process because it was not called for in the RFQ.
The RFQ required 3 references. Standard Parking only submitted 2 in their packet and should
have been disqualified for not meeting the minimum stated requirement. The supplied
Reference Form was not complete for Central Parking or Standard Parking, again grounds for
disqualification. Ultimately, the form itself did not list the entity name for which'the services are
provided, not even an indication as to the City or State where the work is being preformed. The
fact that two of the three submissions were non - compliant, again are indicative of the
