As discussed during the budget process, this office will oversee the progress of the
Wounded Healer program. Although no CRA grant funds have been expended to date,
Reverend Gay has provided a report on the progress of the program for the first month.
I will continue to provide the Board and the Community with monthly updates
regarding the progress of the program as well as expenditures.

I take this opportunity to share in the progress of the Wounded Healers Inc.,
Education, Employment and Empowerment Program. We are please to announce that as
of Monday, October 25h we enrolled twenty -five (25) men and women with several
different work and skill qualifications.
We have also identified fourteen (14) persons who are in need of a GED. We
recently contacted the Miami -Dade Public Schools GED Department and spoke with
Mrs. Diana Ross concerning this program. She in turn referred me to South Miami
Senior High Adult Learning Center. We are in the process of obtaining their expertise in
this area.
The following action was taken:
✓ Acquired signage for outside display
✓ Purchased T -Shirts to issue to enrollees while assigned work placement.
✓ Employed four enrollees (2) Ocean Club -Key Biscayne, (2) Painting
✓ Interviewed two (2) young ladies for a full time secretary position.
These are names of potential Businesses and Sub - contractors that will be used in our
efforts to obtain permanent and temporary employment.

AGREEMENT BETWEEN
THE SOUTH MIAMI COMMUNITY REDEVELOPMENT AGENCY
AND ST. JOHN AME CHURCH WOUNDED HEALERS
THIS AGREEMENT is made this day of , 2004, between the
South Miami Community Redevelopment Agency ( SMCRA) and.St. John AME Church,
d/b /a Wounded Healers, Inc. (W.H.).
WHEREAS, the SMCRA and W.H. desire to coordinate their efforts in the
planning and operation of the project identified in exhibit 1 under its Residential
Reinvestment Program, as provided in the approved South Miami Community
Redevelopment Plan, and desire to enter into this agreement to memorialize their
obligations and responsibilities in regard to this project.
NOW THEREFORE, in consideration of the covenants and agreements below, the
parties agree as follows:
1. Proiec t Scope. W.H. will provide labor to accomplish the project with a
scope of services to be rendered under exhibit 1.
2. License Requirement. All work will be performed by W.H. under the
auspices of a licensed contractor. A copy of the license of the contractor shall be
provided to the SMCRA prior to the institution of any services.
3. Term. All services on the SMCRA residences shall be completed no later
than September 30, 2004.
4. Prior Approval by the SMCRA. The SMCRA will approve the homes
selected for services. The W.H. will be required to submit a release form signed by the
recipient of services to the SMCRA executive director and advisory board. This form
will be returned to the SMCRA Executive Director prior to providing services.
5. Payment. The SMCRA shall make 4 payments to W.H. for the services to
be provided. The first payment of $8,750 will be made within fifteen (15) days of the
joint execution of this agreement. Three additional payments of $8,750 each will be
made after the' SMCRA has confirmed and accepted completion of work as required by
this project for each subsequent payment. W.H. agrees that the services shall be provided
for the total amount of $35,000. Additional allocations for the completion of landscape
projects to coincide with the project may be provided upon approval of the SMCRA
Board.
6. No Interest Due to Late Payments. The SMCRA shall make payment to
W.H. within 30 days of receipt of the original written invoice and sufficient backup

documentation and acceptance of the work by the SMCRA. No interest shall accrue on
unpaid invoices. W.H. shall not be entitled to any carrying charges or finance fees due to
late payment by the SMCRA.
7. Termination Without Cause. The performance of services under this
agreement may be terminated upon ten (10) days written notice from the SMCRA. In the
event of termination by the SMCRA, W.H. shall not be entitled to any compensation
other than that earned during the period up to termination. W.H. may terminate this
agreement by giving sixty (60) days written notice to the SMCRA, and no compensation
shall be given to W.H. after the day the notice is received by the SMCRA.
8. Independent Contractor. W.H., its employees and agents shall be deemed
independent contractors and not agents or employees of SMCRA, and shall not attain any
rights or benefits generally afforded SMCRA employees.
9. Venue and Jurisdiction. This agreement shall be governed by and
construed in accordance with the Laws of the State of Florida, and venue for any action
shall be in Miami -Dade County, Florida.
10. Sovereign Immunity and Attorney's Fees. The SMCRA does not waive
sovereign immunity for any claim for breach of contract or for an award of prejudgment
interest; provided, however, that in any action arising out of or to enforce this contract,
the prevailing party shall be entitled to its reasonable attorney's fees and costs.
11. Assignment. W.H. may not assign, or transfer this agreement or any part of
this agreement.
12. Authorized Agent. The SMCRA and W.H. shall each designate one person
who shall be authorized representatives with respect to this agreement. The
representative of the SMCRA shall be the Executive Director, the representative of W.H.
shall be provided at the time of the joint execution of this agreement.
13. Notices.
All notices given or required under this contract shall be deemed sufficient
if sent by certified mail, return receipt requested, to the addresses of the contractor and to
the SMCRA specified in this contract, unless either party shall specify to the other party a
different address for the giving of the notices.
14. Contracting Officer Representation.
For the purposes of this contract, the contracting officers are as follows:

15. Force Ma'el ure. Neither party shall hold the other responsible for damages
or for delays in performance caused by force majeure, acts of God, or other acts or
circumstances beyond the control of a party or that could not have been reasonably.
foreseen and. prevented. For this purpose, such acts or circumstances shall include, but
not be limited to, weather conditions affecting performance, floods, epidemics, war, riots;
strikes, lockouts, or other industrial disturbances, or protest demonstrations. Should such
acts or circumstances occur, the parties shall use their best efforts to overcome the
difficulties and to resume the work as soon as reasonably possible.
16. Sovereign Immunity. The SMCRA desires to enter into this agreement
only if in so doing, the SMCRA can place a limit on the SMCRA's liability for any cause
of action or claim arising from this agreement, so that the liability be limited to a
maximum of $20,000. Accordingly, and notwithstanding any other term or condition of
this agreement, W.H. agrees that the SMCRA shall not be liable to W.H. for damages in
an amount in excess of $20,000 for any action or claim arising out of this agreement.
Nothing contained in this paragraph or elsewhere in the agreement' is in any way intended
to be a waiver of the limitation placed upon the SMCRA's liability as set forth in Section
768.28, Florida Statutes.
17. Indemnification. W.H. shall indemnify and hold harmless the SMCRA, its
officers, employees, agents and Commissioners from any and all liability, losses or
'damages, including attorney's fees and costs of defense, which the SMCRA, its officers,
employees, agent and Commissioners may incur as a result of claims, demands, suits,
causes .of actions or proceeding of any kind or nature arising out of the negligence of
W.H. relating to this agreement. W.H. shall pay all claims and losses and shall
investigate and defend all claims, suits or actions of any kind or nature in the name of the
SMCRA, where applicable, including appellate proceedings, and shall pay all costs,
judgments, and attorney's fees which may issue. W.H. expressly understands and agrees
that any insurance protection required by this agreement or otherwise provided by W.H.
shall in no way limit the responsibility to indemnify, keep and save harmless and defend
the SMCRA or its " officers, employees, agents and Commissioners. Nothing shall be

construed to effect or waive the SMCRA's limits of liability provided in Section 768.28,
Florida Statutes.
18. Entire Agreement. The agreement constitutes the entire agreement between
the SMCRA and W.H. in regard to the subject matter and supercedes all prior or
contemporaneous communications, representations, or agreements, whether oral or
written. It has been induced by no representations, statements, or agreements, other than
those expressed. No agreement hereafter made between the parties shall be binding on
either party unless reduced to writing and signed by the authorized representative of the
parties.
19. Severability. If any provision or provisions of this agreement shall to any
extent be invalid or unenforceable, the remainder of this agreement shall not be affected
thereby and the remaining provisions shall be valid and enforceable to the fullest extent.
20. Miscellaneous Provision. In the event a court must interpret any word or
provision of this agreement, the word or provision shall not be construed against either
party by reason of drafting or negotiating this agreement.

RELEASE, WAIVER AND INDEMNIFICATION AGREEMENT
WHEREAS, the South Miami Community Redevelopment Agency ( SMCRA)
established a program (Program) in the Community Redevelopment Area; and
WHEREAS, the undersigned has agreed to participate in the program on behalf of
St. John AME Church, d/b /a Wounded Healers, Inc. (W.H.); and
WHEREAS, the volunteers participating in the SMCRA Program shall perform
duties at the homes selected in the area.
NOW, THEREFORE, in consideration of allowing participation as a volunteer in
the Program, the undersigned covenants and agrees as follows:
The foregoing recitals are true and correct.
2. As a volunteer participant in the Program, the undersigned voluntarily
ASSUMES THE RISK of any loss, injury or damage to person or property, which in
any way arises out of participation in the Program, which loss, injury or damages , are
sustained upon the facilities of the SMCRA and /or the City of South Miami, or while
participating in the activities of ,the Program or while on private property or while being
in transit. Further, the undersigned WAIVES ANY CLAIM against the SMCRA and the
City of South Miami and their agents, servants, employees and Commissioners, arising
from loss, injury or damage and does COVENANT NOT TO SUE the SMCRA or the
City of South Miami. Further, the undersigned agrees to RELEASE, INDEMNIFY,
AND HOLD HARMLESS the SMCRA and the City of South Miami, their agents,
servants, employees and Commissioners from any and all claims, actions, demands,
rights, judgments or expenses arising from or by reason of any and all known or unknown
damages, claims or actions arising from participation in the Program.
3. The undersigned has become fully aware and familiar with all duties,
responsibilities, and procedures regarding all activity in the Program.
4. The undersigned has fully read, understood and agrees to each and every
term contained in this release, waiver and indemnification agreement.

Why Are These Services Needed?
The number of low- income homeowners increases each year.
The current 24 million low- income homeowner families is
expected to grow to an astonishing 28.5 million by the year
2010. This growth means that more and more families are
placed in the position of choosing between vital necessities,
such as food or medicine, or a roof that does not leak.
Rebuilding Together works to ensure that as many of those
families as possible do not have to make these difficult
choices.

What Type of Work is Done?

Each local program sets its own goals. An increasing number of affiliates provide emergency year -round
services in addition to the major rehabilitation projects they undertake on National Rebuilding Day. More and
more affiliates are reaching out to disabled homeowners to build ramps, install grab bars, and work on other
home modifications to allow these homeowners to safely "age in place."
Some affiliates also choose to do significant work preserving and revitalizing non - profit facilities. Some
affiliates organize their work in a one -day blitz while others work over several weekends. The unskilled
volunteers join with skilled tradespeople, painting, cleaning, and weatherizing, as well as doing carpentry,
plumbing, and electrical work. In 2004, each affiliate will rehabilitate from three to 600 houses and non - profit
facilities.

How are Homeowners Selected?

Homeowners must be low- income and elderly, disabled, or families with children, and unable to do the work
themselves. The site selection process takes place locally, within broad national guidelines. Criteria differ
slightly from affiliate to affiliate. Individual families are referred through neighborhood associations, churches,
synagogues, community organizations, and service groups, or by self - referral.

Do Homeowners Pay?
All repairs are free for homeowners. Labor and many supplies are typically donated. Homeowners and family
members are asked to welcome the volunteers into their homes and work alongside them to the extent
possible. Our work is done with families and neighborhoods, not for them. A homeowner brochure (pdf) is
provided to clarify our process and partnership.
How Can I Start an Affiliate?
Rebuilding Together is a nationally trademarked organization. Contact our national headquarters to discuss
the four -step affiliation process and request further information. A contract binds local communities to the
national initiative and allows use of the trademarked name and logo. The national headquarters has materials
available to assist any interested group and also maintains an updated list of affiliate locations at this Web
site (www. rebuild ingtogether.orci). Given that this is an ongoing and labor- intensive program, founders should
have administrative and organizational skills and a clear dedication to the cause. The appreciation of families
and communities makes the hard work a tremendous reward in and of itself.

Who Sponsors Rebuilding Together?
Funds come from generous individuals, corporations, labor organizations, foundations, civic organizations,
churches, and synagogues that are interested in helping to build a better world. Our local affiliates do their
own fundraising, publicity, volunteer recruitment, and management. Rebuilding Together is a non - profit, non-
sectarian organization supported by voluntary contributions of time and money. Every dollar given is wisely
spent and is an investment in building a better America.

BACKGROUND
The City of South Miami Community Redevelopment Agency Board on September 30th, 2004
approved a $35,000 budgeted line item for the non -profit corporation established by St. John's
AME Church known as Wounded Healers, Inc.
Wounded Healers, Inc. is an education, employment, and empowerment program established by
St. Johns AME Church designed to educate, train, develop and hasten the entry of African
American youth of South Miami into the job market, by assisting them in obtaining a High
School Diploma, developing and learning marketable job skills, learning and developing a
positive personal ambiance and in obtaining gainful employment upon the completion of the
program.
The program participants will assist a general contractor by providing repair services to
residents of the SMCRA and City of South Miami will provide the residents with repair services
while obtaining marketable job skills through on the job training and mentorship.

RECOMMENDATION
The Wounded Healers, Inc. program seeks grant funding from the SMCRA to assist the
program with its training efforts by sponsoring repair services to residents within the city and
SMCRA.
It is recommended that Wounded Healers, Inc. be awarded an amount of $35,000.
Attached as Exhibit 1 is an agreement between the SMCRA and St. John AME Church's
Wounded Healer, Inc.'s, which contains all the terms and conditions for providing the grant.

a paint-up/fix-up program (Program) in the Community Redevelopment Area; and
WHEREAS, the undersigned has agreed to participate in the program on behalf of St. John
AME Church, d/b /a Wounded Healers, Inc. (W.H.); and
WHEREAS, the volunteers participating in the SMCRA Program shall perform painting and .
repair duties at the homes selected in the area.
NOW, THEREFORE, in consideration of allowing participation as a volunteer in, the
Program, the undersigned. covenants and agrees as follows:
1. The foregoing recitals are true and correct.
2. Asa volunteer participant in the Program, the undersigned. voluntarily ASSUMES THE
RISK of any loss, injury or damage to person or property, which in any way arises out
of participation in the. Program, which loss, injury or damages are sustained upon the
facilities of the SMCRA and/or the City of South Miami, or while participating in the
activities of the Program or while on private property or while being in transit. Further,
the undersigned WAIVES ANY CLAIM against the SMCRA and the City of South
Miami and their agents, servants, employees and Commissioners, arising from loss,
injury or damage and does COVENANT NOT TO SUE'the SMCRA or the City of
South Miami. Further, the undersigned agrees to RELEASE, INDEMNIFY, AND
HOLD HARNMESS the SMCRA and the City of South Miami, their agents, servants,
employees and Commissioners from any and all claims, actions, demands, rights,
judgments or expenses arising from or by reason of any and all known or -unknown
damages, claims or actions arising from participation in the Program.
3. The undersigned has become fully aware and familiar with all duties, responsibilities,

AGREEMENT BETWEEN
THE SOUTH MIAMI:COMMUNITY REDEVELOPMENT AGENCY
AND ST. JOHN AME CHURCH WOUNDED HEALERS
THIS AGREEMENT is made this day of 2004, between the
South Miami Community Redevelopment Agency ( SMCRA) and St. John AME
Church, d/b /a Wounded Healers, Inc. (W.H.).
WHEREAS, the SMCRA and W.H. desire to coordinate their efforts in the
planning and operation of the project identified in exhibit 1 under, its Residential
Reinvestment Program, as provided in the approved South Miami Community
Redevelopment Plan, and desire to enter into this agreement to memorialize their
obligations and responsibilities in regard to this project.
NOW THEREFORE, in consideration of the covenants and agreements
below, the parties agree as follows:
1. Project Scope. W.H. will provide labor to accomplish the project with
a scope of services to be rendered under exhibit 1.
2. License Requirement. All work will be performed by W.H. under the
auspices of a licensed contractor. A copy of the license of the contractor shall be
provided to the SMCRA prior to the institution of any services.
3. Term. All services on the SMCRA residences shall be completed no
later than September 30, 2004.
4. Prior Approval by the SMCRA. The SMCRA will approve the homes
selected for services. The W.H. will be required to submit a release form signed by
the recipient of services to the SMCRA executive director and advisory board. This
form will be returned to the SMCRA Executive Director prior to providing services.
5. Payment. The SMCRA shall make 4 payments to W.H. for the services
to be provided. The first payment of $8,750 will be made within fifteen (15) days of
the joint execution of this agreement. Three additional payments of $8,750 each will
be made after the SMCRA has confirmed and accepted completion of work as
required by this project for each subsequent payment. W.H. agrees that the services
shall be provided for the total amount of. $35,000. Additional allocations for the
completion of landscape projects to coincide with the project may be provided upon
approval of the SMCRA Board.
6. No Interest Due to Late Payments. The SMCRA shall make payment
to W.H.. within 30 days of receipt of the original written invoice. and sufficient

backup documentation and acceptance of the work by the SMCRA. No interest
shall accrue on unpaid invoices. W.H. shall not be entitled to any carrying charges
or finance fees due to late payment by the SMCRA.
7. Termination Without Cause. The performance of services under this
agreement may be terminated upon ten (10) days written notice from the SMCRA.
In the event of termination by the SMCRA, W.H. shall not be I entitled to any
compensation other than that earned during the period up to termination. W.H.
may terminate this agreement by giving sixty (60) days written notice to the
SMCRA, and no compensation shall be given to W.H. after the day the notice is
received by the SMCRA.
8. ' Independent Contractor. W.H., its employees and agents shall ' be
deemed independent contractors and not agents or employees of SMCRA, and shall
not attain any rights or benefits generally afforded SMCRA employees. .
9. Venue and Jurisdiction. This agreement shall be governed. by and
construed in accordance with the Laws of the State of Florida, and venue for any
action shall be in Miami -Dade County, Florida.
10. Sovereign Immunity and Attorney's Fees. The SMCRA does not waive
sovereign immunity for any claim for breach of contract or for an award of
prejudgment interest; provided, however, that in any action arising out of or to
enforce this contract, the prevailing party shall be entitled to its reasonable
attorney's fees and costs.
11. Assignment. W.H. may not assign, or transfer this agreement or any
part of this agreement.
12. Authorized Agent. The SMCRA and. W.H. shall each designate one
person who shall be authorized representatives with respect to this agreement. The
representative of the SMCRA shall be the Executive Director; the representative of
W.H. shall be provided at the time of the joint execution of this agreement.
13. Notices.
All notices given or required under this contract shall be deemed
sufficient if sent by certified mail, return receipt requested, to the addresses of the
contractor and to the SMCRA specified in this contract, unless either , party shall
specify to the other party a different address for the giving of the notices..
14. Contracting Officer Representation.

15. Force Majeure. Neither party shall hold the other responsible for
damages or for delays in performance caused .by force majeure, acts of God, or
other acts or circumstances beyond the control of a party or that could not have
been reasonably foreseen and prevented. For this purpose, such acts or
circumstances shall include, but not be limited to, ' weather conditions affecting
performance, floods, epidemics, war, riots, strikes, lockouts, or other industrial
disturbances, or protest demonstrations. Should such acts or circumstances occur,
the parties shall use their best efforts to overcome the difficulties and to resume the
work as soon as reasonably possible.
16. Sovereign Immunity. The SMCRA desires to enter into this agreement
only if in so doing, the SMCRA can place a limit on the SMCRA's liability for any
cause of action or, claim arising from this agreement, so that the liability be limited
to a maximum of $201000. Accordingly, and notwithstanding. any other term or
condition of this agreement, W.H. agrees that the SMCRA shall not be- liable to
W.H. for damages in an amount in excess of $20,000 for any action or claim arising
out of this agreement. Nothing contained in this paragraph or elsewhere in the
agreement is in any way intended to be a waiver of the limitation placed upon the
SMCRA's liability as set forth in Section 768.28, Florida Statutes.
17. Indemnification. W.H. shall indemnify and hold harmless the
SMCRA, its officers, employees, agents and Commissioners from any and all
liability, losses or damages, including attorney's fees and costs of defense, which the
SMCRA, its officers, employees, agent and Commissioners may incur as a result of
claims, demands, suits, causes of actions or proceeding of any kind or nature arising
out of the negligence of W.H. relating to this agreement. W.H. shall pay all claims
and losses and shall investigate and defend all claims, suits or actions of any kind or
nature in the name of the SMCRA, where applicable, including appellate
proceedings, and shall pay all costs, judgments, and attorney's fees which may issue.
W.H. expressly understands and agrees that any insurance protection required by
this agreement or otherwise provided by W.H. shall in no way limit the
responsibility; to indemnify, keep and save harmless and defend the SMCRA or its
officers, 'employees, agents and Commissioners. I Nothing shall be construed to effect

or waive the SMCRA's limits of liability provided in Section 768.282 Florida
Statutes.
18.. Entire Agreement. The agreement constitutes the entire agreement
between the SMCRA and W:H. in regard to the subject matter and supercedes all
prior or contemporaneous communications, representations, or agreements,
whether oral or written. It has been induced by no representations, statements, or
agreements, other than those expressed. No agreement hereafter made between the
parties shall be binding on either party unless reduced to writing and signed by the
authorized representative of the parties.
19. Severability. If any provision or provisions of this agreement shall to
any extent be invalid or unenforceable, the remainder of this agreement shall not be
affected thereby and the remaining provisions shall be valid and enforceable to the
fullest extent.
20. Miscellaneous Provision. In the event a court must interpret any word
or provision of this agreement, the word or provision shall not be construed against
either party by reason of drafting or negotiating this agreement.

BACKGROUND
The SMCRA has adopted a Community Redevelopment Plan which authorizes the SMCRA to
conduct its infill housing programs; and the SMCRA has implemented the infill housing
program by increasing the number of affordable houses in the CRA area.
Habitat for Humanity of Greater Miami, Inc. (HGM) has constructed five new affordable homes
on the property formerly known as the Marshall Williamson Apartment property. Habitat for
Humanity is requesting $39,000.00 from SMCRA for additional infrastructure costs that were
not reimbursed under the grant monies for the paving of roads, planting coconut palm trees and
water and sewer connection fees under the previous agreement with the agency.
RECOMMENDATION
It is recommended that the Director be authorized to disburse up to $39,000.00 from the
Residential Reinvestment Account No.610- 1110 - 553 -34 -50 ($25,803.80 for Paving of Roads,
$1,200.00 for Coconut Palm Trees and $ 12,232.50 for Water and Sewer Connection fees.

DESCRIPTION TO MS. THERESA SAWYER FOR $10,000, AND AUTHORIZING
THE PLACEMENT OF A DEED RESTRICTION ON THE PROPERTY, WHICH
COVENANT AND DEED RESTRICTION PRECLUDES DEVELOPMENT OF THE
PROPERTY; AND PROVIDING AN EFFECTIVE DATE.
BACKGROUND
The South Miami Community Redevelopment Agency (SMCRA) owns the following described
property located on SW 591h Court:
Lot 54 and the West 11.25 Feet of alley lying East and adjacent thereto closed per Ordinance 7-
79 -1029, Block 9, FRANKLIN SUBDIVISION, according to the Plat thereof, recorded in Plat
Book 5, at Page 34 of the Public Records of Miami -Dade County, Florida. (Miami -Dade
County Property Identification Number: 09 -4025- 010 -0560) .
Ms. Theresa Sawyer lives adjacent to the parcel and has historically cared for it. She recently
appeared at a SMCRA meeting and voiced her desire to purchase the property and sought the
approval of the SMCRA.
RECOMMENDATION
It is recommended that the South Miami Community Redevelopment Agency (SMCRA) in
exchange for $10,000.00, sell the parcel to Ms. Theresa Sawyer. The quit claim deed, attached
as Exhibit 1 to this resolution contains a deed restriction precluding the development, of the
parcel and precluding the sale of the property. The parcel shall remain green space with no
structures being placed on the parcel and precludes sale of the property. Upon the SMCRA's
receipt of $10,000 from Ms. Theresa Sawyer, the director is authorized to execute the quit claim
deed, which is attached to this resolution as exhibit 1.

WITMSSETB, that the said First Party, for and in
consideration of the sum of 'PEN DOLLARS ($10.00), in hand paid by
the said Second Party, the receipt whereof is hereby acknowledged,
does hereby remise, release and quit - claim unto the said Second
Party forever, all the right, title, interest, claim and demand
which the said First Party has in and to the following described
lot, piece or parcel of land, situate, lying and being in the City
of South Miami, County of.Miami -Dade, State of Florida, to wit:
Lot 54 and the West 11.25 Feet of alley lying
East and adjacent thereto closed per Ordinance
7 -79 -1029, Block 9, FRANKLIN SUBDIVISION,
according to the Plat thereof, recorded in
Plat Book 5, at Page 34 of the Public Records
of Miami -Dade County, Florida (the "Land").
TO RAVE AND To HOLD the said Land subject, however, to the
following covenants and restrictions which shall constitute
covenants running with the Land and be binding upon the party of
the Second Part, her successors and assigns, for a term of thirty
(30) years from the date of this Deed:
No portion of the Land, or any interest therein, may be
transferred, and all types of improvement and construction in,
upon, under, and about the Land is prohibited. As used in this
paragraph, "interest in the Land" means any legal or beneficial
interest in the Land, including, but not limited to, legal or
beneficial interest transferred by deed, agreement for deed,
installment sales contract or escrow agreement, the ,intent of
which is the transfer of title of the party of the second part at
a future date to a purchaser. In the event that any of the
foregoing covenants and restrictions are violated, title to the
Land shall revert to the party of the First Part.
*Whenever used herein the terms "First Party" and "Second
Party" shall include singular and plural, heirs, legal
representatives, and assigns of individuals, and the successors of
corporations, wherever the context so admits or requires.
