BACKGROUND The Board approved the Tax Increment Financing Project for the City of South Miami on May 19, 1998 by Ordinances no. 98 -79 and 98 -80. An Interlocal Agreement was approved by the Board on September 9, 1999 (Resolution No. 99 -100). An amendment to the Interlocal Agreement, raising the administrative cap. to 20 %, was approved by the Board on March 16, 2004 (Resolution R- 327 -04). The agreement requires the City of South Miami to submit for County approval, the budget for the project when tax increment funds are used. The Board approved an extension of the project by Resolution R- 466 -05 on May 3, 2005. This extension of 15 years is contingent on the Agency obtaining a long term financing commitment, pledging TIF revenues, by June 1,2007. The budget reflects revenues and expenditures of $1,585,424. The major sources of revenues are tax increment proceeds ($1,187,124) and carryover from FY 2004 -05 of $388,800. The County's contribution to the revenues is $541,804. The City's contribution is $645,320. The major categories for expenditures are redevelopment grants given out ($280,000); building construction & improvements ($274,000); land and building acquisitions ($260,000); community policing and code enforcement ($123,600); infrastructure improvements ($152,500); legal costs ($45,000); operating salaries and fringes ($40,000); repayment of City advances ($24,000); administration ($232,246); contingency reserve ($63,578); and other operating costs such as property tax on rehab buildings, publishing, insurance, special events and a scholarship fund, totaling less than ($100,000). Administration expenses are 14% of total expenditures (and 19% of total expenditures excluding carryover revenue). This is below the 20% cap required by the Interlocal Agreement. Boutsis, office of General Counsel Date: December 14, 2005 Re: Rehearing on grant agreement modification request issued by Mr. George Johnson The SMCRA has several residential grant programs. All of the grant agreements require the grant recipient to complete necessary repairs with the funds the SMCRA provided to the recipient. The grant funds would become "non - refundable" upon the completion of repairs and three year's of continued ownership. Upon compliance with these conditions, the SMCRA would release its mortgage on the property. If a party failed to comply with these material terms, the grant recipient is required to refund a pro - rata share of the grant funds distributed to the grant recipient. As the grant agreement is secured by a mortgage, the grant recipient cannot enter into a new mortgage and cannot refinance his property, without violating the grant agreement. Should recipient seek to refinance, the recipient must request prior to taking any action for the SMCRA's to subordinate its mortgage /grant agreement. Subordination would allow the property to be refinanced and would place the SMCRA in a subordinate position to the refinanced loan. In other words, the SMCRA would be giving up its priority lien on the property. If the SMCRA board rejects the subordination request, the grant recipient would have to repay a pro -rata share of the grant agreement back to the SMCRA as part of the refinancing process. On August 3, 2001, Mr. George Johnson entered into a Homeowner Assistance Program Agreement under number HAP 01 -01 for his property Iocated at 6461 SW 59th Court, South Miami, Florida 33143. Thereafter, on October 14, 2002, Mr. Johnson sought to refinance his two existing mortgages with Chase Manhattan Mortgage Corp. And South Dade Title Company, Inc. In order to refinance, Mr. Johnson sought authorization from the SMCRA to subordinate The SMCRA's grant agreement. Mr. Johnson did not want to pay back the grant as part of his refinancing of his mortgages. To assist Mr. Johnson, the SMCRA board approved the subordination of the grant so that Mr. Johnson could refinance, without being found in default under the grant. On December 16, 2004, the grant agreement was subsequently satisfied and the mortgage and promissory note were released by the SMCRA. Memorandum to The Honorable Chair and SMCRA Board December 14, 2005 Page 2 of 3 On April 3, 2002, Mr. Johnson applied for and obtained a second grant from the SMCRA for $2,595.00. Like the prior grant agreement, this grant was secured by a mortgage and promissory note. ' The grant required Mr. Johnson was to make certain residential repairs to his property. Mr. Johnson was required to do the repairs, and keep the parcel for the next three years. Each year, as long as Mr. Johnson was not in default, a one -third pro -rata share would be forgiven by the SMCRA. By August 2003, Mr. Johnson sought to refinance the property. Refinancing is considered a default event under the grant agreement. On August ls`, 2003, Mr. Johnson issued a letter to general counsel advising that he wanted to request the "substitution of a cash deposit to be held in trust in lieu of a mortgage on his property." On August 6, 2003, I issued a letter to Mr. Johnson and advised him that he would have to go before the SMCRA advisory board and SMCRA board with his request. As general counsel, I did not have the authority to consent to Mr. Johnson's request, which request was contrary to the terms of the underlying grant agreement. The second grant agreement, like the first, was clear - -- failure to comply with the material terms would require repayment of a pro -rata share of the grant funds. As such, I advised Mr. Johnson that he would have to request, prior to taking any action to refinance the property, for the SMCRA board to waive, or subordinate its interest in the property. Mr. Johnson, rather than seeking subordination, requested to place the 2/3's pro -rata share in escrow with the SMCRA. In doing so, he wanted to be refunded the funds at the end of the grant term. I additionally asked that his counsel prepare a security document, which would tie the trust funds to the conditions outlined in the rehabilitation grant (repairs and maintaining home for three years) and to request prior approval of the SMCRA board. No further action was taken by Mr. Johnson. No security agreement was prepared. Nor did Mr. Johnson adhere to any of the procedures I outlined for him. At no point did he request any concessions from the SMCRA advisory board and SMCRA board. Rather, Mr. Johnson proceeded with re- financing his property. As part of the refinancing process, Mr. Johnson was required to pay back to the SMCRA $1,730.00, which reflect a refund of two- thirds (2/3) pro -rata share of the grant due to his failure to comply with the terms of the grant agreement. The city's interest was extinguished by the payment. In short, Mr. Johnson should have requested from the SMCRA board either a subordination of the grant agreement. Due to his non - compliance with grant agreement the refunded money belonged to the SMCRA. Had Mr. Johnson complied with the terms of the grant agreement, the three year forgiveness period would have expired in April 2005, and Mr. Johnson would not have Memorandum to The Honorable Chair and SMCRA Board December 14, 2005 Page 3 of 3 had to repay any funds to the SMCRA. Despite the foregoing, Mr. Johnson is requesting the "return" of the $1,730 refunded to the SMCRA. Mr. Johnson relies upon his August 1, 2003 letter to general counsel, in which he requested the concession of substituting the cash deposit in trust with the SMCRA in exchange for a "release" of the SMCRA's grant mortgage on the property, which mortgage secured the terms of the grant agreement. Mr. Johnson ignores my August 6, 2003 response to him in which I advised that he needed SMCRA approval for any such material modification of the underlying grant agreement. Mr. Johnson has requested a rehearing of this board's decision not approve his request for the funds. Please note there is no precedent in the SMCRA's history for refunding funds to a grant recipient who did not obtain prior approval from the SMCRA board for a material modification to a grant agreement. As further consideration for the purchase of the above referenced parcels the SMCRA agrees to advance to Graham Hanover, Inc., the following payments, which payments shall be credited against the final purchase price of $730,000.00. The SMCRA shall advance payments on behalf of Graham Hanover, Inc., in order to pay the following outstanding invoices for the parcels: $1,552.05 to pay outstanding Miami -Dade County Water and Sewer Invoices issued against the subject properties; $1,038.23 in Florida Power and Light invoices issued against the subject properties; $6,750.00 towards the cost of repairing the roof of 6442 SW 591h Place; $4,700.00 towards the cost of repairing the roof of 6443 SW 601h Avenue, which roofs were damaged during the Hurricane Katrina and Wilma storm events; and $1,264.00 to temporarily house residents during the repair of the hurricane damaged roof. In total, the SMCRA shall advance $15,304.28 to cover these expenses incurred by Graham Hanover, Inc., which payments shall reduce the purchase price of the parcels to $714,695.72. BACKGROUND The 1997 South Miami Community Redevelopment Plan authorizes the SMCRA to acquire real or personal property for approved redevelopment initiatives. As stated in Section 5B of the Plan, "if any unforeseen redevelopment project involving the SMCRA requires that even one person be involuntarily displaced from either a rented or owned housing unit, the project proposal must contain a relocation plan which adheres to all applicable laws. The relocation proposal must be approved by the board of the SMCRA in a publicly noticed Agency meeting prior to any final approval of the project." The plan goes on to state that "if any future projects were to require relocation and Agency monies were to be "partnered" with Federal funds, the SMCRA shall make it a condition of Agency participation that all provisions of the Uniform Relocation Assistance Act are met. This strategy adheres to the requirements of Chapter 163 and 421, Florida Statutes." It is important to note that the plan's relocation policy statement provided in Section 5B does not include requirements for non - federally funded SMCRA projects or projects involving displacement of residents on a voluntary basis. Based on this discrepancy, staff has drafted a policy derived from the Federal Uniform Relocation Act to mitigate hardships associated with residential displacement due to SMCRA land acquisition. CRA August 8, 2005 Page 2 of 2 Approval of the attached resolution will enable the SMCRA to provide a one -time reimbursement payment to the displaced resident for moving expenses or an alternative fixed payment based on a residential moving cost schedule (See Attached Resolution). As part of the proposed relocation program, relevant information regarding alternative housing opportunities would also be provided to affected residents. (Certified Notice) The SMCRA will provide the displaced 8 individual via certified or registered mail with: 9 A) a description of the SMCRA relocation assistance program and eligibility 10 requirements; 11 B) an outline of SMCRA guidelines for acquiring a reimbursement of moving and 12 related expenses 13 C) an explanation of procedures for attaining relocation referral services. 14 15 Section 3. To maintain budget continuity with the current fiscal year, bids have been modified to reflect total costs of services for the remaining eight months of the FY 05106 fiscal year. Joe's Lawn Service, the current CRA lawn service contractor, submitted a bid of $3,640.00 to provide the requested services for the remainder of the fiscal year. Lawn Keepers of South Florida submitted a bid for $21,000.00 and Greenscape Landscape Maintenance Corporation submitted a bid of $9,170.00 for providing the identical services. The SMCRA, along with its partner, the city of South Miami, is focused on, and dedicated to redeveloping the Community Redevelopment Area. The purpose of this scope is to select a vendor to provide lawn maintenance services on properties owned by the SMCRA. Responses by minorities and women are encouraged. The SMCRA does not discriminate based upon race, sex, color, creed, national origin, disability, age, sexual orientation or any other legally protected status. GENERAL TERMS AND CONDITIONS 1. The selected vendor shall be an independent contractor under this Request for Quotes (RFQ) and any subsequent Agreement. 2. The Respondent(s) acknowledges that he /she has not been convicted of a public entity crime or placed on the convicted vendor list. 3. The SMCRA reserves the right to delete or modify the services and scope of work under this RFQ and any subsequent Agreement at any time, or without cause. 4. The Respondent(s) may not change the principal person(s) fulfilling the terms of this RFQ and any subsequent Agreement without the express permission of the SMCRA. 5. Joint ventures are allowed. Lawn maintenance shall be twice weekly from April to September and once a month for all other months. 3. Contract term shall be for one year. GENERAL TERMS AND CONDITIONS The deadline for submitting RFQ responses to the SMCRA Office (6130 Sunset Drive, South Miami, Florida 33143) is 4:00 p.m. on Wednesday January 11, 2006. Submittals received after that date and time will not be considered. Responses shall consist of the following information list below: 1. A cover letter indicating the respondent's interest in participating in this SMCRA initiative. 2. Description of the vendor's organization and their qualifications. A. Organization Name, mailing address, e -mail address, telephone and fax numbers. B. Provide a statement relative to whether any of the principals referred to above have ever been indicted for, or convicted of , a felony. C. List any outstanding litigation matter in the past five (5) years involving projects similar in nature. D. A list of similar projects completed or in progress by the vendor including a description of the project, results achieved and a contact name and phone number for at least three (3) clients. 3. List three (3) references for which the team /firm has performed comparable work.
