Res No 019-25-16311RESOLUTION NO.019-25-16311 A RESOLUTION OF THE MAYOR AND CITYCOMMISSIONOFTHECITYOFSOUTHMIAMI, FLORIDA,APPROVING A MULTI-YEAR MEMORANDUMOFUNDERSTANDINGWITHTHEUNDERLINE MANAGEMENT ORGANIZATION,INC.D/B/A THEUNDERLINECONSERVANCYRELATEDTOINVESTMENTINTHEUNDERLINEOPERATIONS, PROGRAMMING,MAINTENANCE AND MANAGEMENT; PROVIDING FOR AUTHORIZATION, IMPLEMENTATION,CORRECTIONS,SEVERABILITY AND AN EFFECTIVE DATE. WHEREAS,on September 3,2024,the City Commission of the City of South Miami (“City”)adopted Resolution No.136-24-16241 provisionally approving the collaborative plan and approach to fund operations,maintenance and management of The Underline,based on the collaborative funding plan provided,and authorized the City Manager to negotiate a memorandum of understanding with The Underline Conservancy and bring the MOU back to the Commission for final approval;and WHEREAS,The Underline is an urban linear park,urban trail,and public art destination under development that will consist of over 120 acres of mobility and park spaces along the underutilized ten-mile corridor of land under the Metrorail extending from the Miami River to Dadeland South;and WHEREAS,The Underline is being developed in three (3)phases and will transform the land adjacent to and below the Metrorail into a first-class,multimodal urban trail and park area, and once all three (3)phases are completed,it will be Miami-Dade County’s first mobility corridor uniting all modes of transportation enhancing accessibility to eight Metrorail stations within its path and four municipalities;and WHEREAS,Phase 3 of The Underline,consisting of 7.36 miles connecting SW 19th Ave near the Vizcaya Metrorail station to the Dadeland South Metrorail station,includes a segment of land within the City running one full mile from Red Road to S W 80th Street (“Segment 8”),which segment is projected to open in 2026;and WHEREAS,The Underline Management Organization,Inc.d/b/a The Underline Conservancy,a 501(c)(3)nonprofit organization (the “Conservancy”),with a public-private board composed of appointees from Friends of The Underline,Inc.and publicly-appointed officials,manages all Underline maintenance and management,programs,and art,and when fully completed,will manage over 120 acres of mobility and park spaces along the 10-mile corridor; WHEREAS,as the organization responsible for the operations,maintenance and management of The Underline,the Conservancy has developed a pro forma expense and funding plan dependent upon contributions from both the private and public sectors,to be funded by the Page 1 of3 Res.No.019-25-16311 City,Miami-Dade County,City of Miami,City of Coral Gables,and Friends of The Underline, Inc.(a 501(c)(3)non-profit);and WHEREAS,The Conservancy has presented the Memorandum of Understanding ("MOU”)attached hereto as Exhibit “A”to be executed by the City,establishing the City’s pro¬ rate share of the total expenses towards the annual total estimated costs and expenses of operations (including programming and art)(“Total Expenses”),maintenance and management of The Underline contributions,and those of other participating municipalities,including existing commitments from the City of Miami,Miami-Dade County,and the Friends of The Underline,all in accordance with the Proposed Funding Plan attached hereto as Exhibit “B”;and WHEREAS,the Proposed Funding Plan included with the Memorandum of Understanding and attached hereto as Exhibit “B”will commence in 2026 and extend through 2030,with the City’s funding obligations for FY 2026 to be pro-rated and commence on the date Segment 8 (specifically,The Underline segment located within the City)is completed and operational for the use and enjoyment by South Miami residents;and WHEREAS,while it is projected that Phase 3 of The Underline,a portion of which be located within the City,will be constructed and completed in 2026,the City’s funding obligation shall only commence once Segment 8 (specifically,The Underline segment within the City)is completed and operational for the use and enjoyment by City residents;and WHEREAS,the City Commission desires to approve the MOU and Proposed Funding Plan attached hereto as Exhibit “A”and Exhibit “B”,respectively,in support of the operations (including programming and art),maintenance,and management of The Underline,subject to the annual budgeting,appropriation and approval of the City Commission;and WHEREAS,the City Commission desires to approve the MOU,in substantially the form attached hereto as Exhibit “A”,and the Proposed Funding Plan attached hereto as Exhibit “B”to provide for the City’s pro-rata share of the Total Expenses for Fiscal Years 2026 through 2030, and authorize the City Manager to negotiate and finalize the MOU and Proposed Funding Plan, subject to the final approval of the City Attorney as to form and legal sufficiency,and subject to the annual budgeting,appropriation and approval of the City Commission. NOW,THEREFORE,BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA,AS FOLLOWS: Section 1.Recitals.The above-stated recitals are true and correct and are incorporated herein by this reference Section 2,Approval of MOU and Proposed Funding Plan:Authorization,The City Commission hereby approves the MOU attached hereto as Exhibit “A”and the Proposed Funding Plan attached hereto as Exhibit “B”,in substantially the forms attached hereto,andauthorizestheCityManagertonegotiate,finalize and execute the MOU,subject to the final approval of the City Attorney as to form,content,and legal sufficiency. Section 4.Corrections.Conforming language or technical scrivener-type corrections may be made by the City Attorney for any conforming amendments to be incorporated into the final resolution for signature. Section 5.Severability.If any section,clause,sentence,or phrase of this Resolution is for any reason held invalid or unconstitutional by a court of competent jurisdiction,the holding shall not affect the validity of the remaining portions of this Resolution. D/B/A THE UNDERLINE CONSERVANCY RELATED TO INVESTMENT IN THE UNDERLINE OPERATIONS,PROGRAMMING,MAINTENANCE AND MANAGEMENT;PROVIDING FOR AUTHORIZATION, IMPLEMENTATION, CORRECTIONS, SEVERABILITY AND AN EFFECTIVEDATE ______________________________________________________________________________ This item was prepared and placed on the agenda at the request of Mayor Fernandez. 2 South'*’Miami THE CITY OF PLEASANT LIVING MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF SOUTH MIAMI AND THE UNDERLINE CONSERVANCY RELATED TO INVESTMENT IN THE UNDERLINE OPERATIONS,PROGRAMMING, MAINTENANCE AND MANAGEMENT This Memorandum of Understanding (“MOU”)is entered into this day of :|,2025 by and between the City of South Miami,Florida (“City of South Miami”or “South Miami”),and The Underline Management Organization,Inc.d/b/a The Underline Conservancy,a 501(c)(3)nonprofit organization (the “Conservancy”).South Miami and the Conservancy are collectively referred to as the “Parties”and individually as a “Party.” WHEREAS,South Miami is a neighboring municipality located within Miami-Dade County that borders The Underline,an approximately 120-acre linear set of parcels of land adjacent to and below the existing Metrorail guideway,from the Miami River (Brickell area)to the Dadeland South Metrorail Station,portions of which lie in unincorporated Miami-Dade County,the City of Miami,the City of Coral Gables and the City of South Miami (“The Underline”);and WHEREAS,The Underline is being developed in three (3)phases and will transform the land adjacent to and below the Metrorail into a first-class,multimodal urban trail and park area,and once all three (3)phases are completed,it will be Miami-Dade County’s first mobility corridor uniting all modes of transportation enhancing accessibility to eight Met.'orail stations within its path and four municipalities;and WHEREAS,regionally,The Underline will serve 1 12,400 residents within a 10-minute walk (.5-mile radius)and provide access to public transportation,two Universities and 24 schools (Childcare/K.-12),four hospitals,three urgent care facilities,four maj or malls,and approximately 19,000 businesses with 50 million in annual economic impact;and WHEREAS,regionally,the 10-mile corridor,which will vary from 70 to 170 feet wide, will provide pedestrian and bicycle paths,improvements to over 30 intersections,access to public transportation,lighting,and recreational features that are planned to include butterfly gardens, playgrounds,exercise equipment,basketball and volleyball courts,soccer fields,picnic areas, dog parks and more;and WHEREAS,through a collaborative approach between the U.S.Department of Transportation,the State of Florida,Miami-Dade County,the City of Miami,the City of Coral Gables and private donors,The Underline secured more than $140 million to complete the construction of a 10-mile multimodal trail,linear park and open space;and WHEREAS,Phase 1 of The Underline,the Brickell Backyard,opened to the public on February 26,2021 and is located between the Miami River and SW 1 3th Street,next to the Brickell 1 ! NOW,THEREFORE,the Parties agree as follows: 1.Recitals Adopted.The above recitals are true and correct and are incorpoi ited herein by reference. 2.Term/Commencement Date.The term of this MOU shall be from the Effective Date through September 30,2030,unless earlier terminated in accordance with Si :ction 8. 3.Pro-Rata Share of Total Expenses.The City of South Miami agrees to i1s annual share of the Total Expenses,as set forth in the Proposed Funding Plan attached he leto as Exhibit “A”,subject to the annual budgeting,appropriation and approval of its governing body. South Miami’s pro-rata share of the Total Expenses for Fiscal Year 2026,o •a subsequent year if Segment 8 is not completed in Fiscal Year 2026,shall be pro-rated as of die date Segment 8 (specifically,The Underline segment within the City of Soith Miami)is completed and operational for the use and enjoyment by South Miami residents. 4.Invoice and Final Funding Plan Required for Each Fiscal Year.Prior to the commencement of South Miami’s Fiscal Year on October 1st,and commencing in Fiscal Year 2026 (except as provided in Section 3 of this MOU for Fiscal Ye ir 2026,or a subsequent year if Segment 8 is not completed in Fiscal Year 2026,aid subject to completion and operations of Segment 8),the Conservancy shall prepare an invoice,final funding plan and budget for the upcoming fiscal year.The invoice shall nclude South Miami’s share of the Total Expenses for The Underline operations (including irogramming and art),maintenance,and management for the upcoming fiscal year.Soutl Miami shall pay its commitment within (30)days of the commencement of the fiscal yea :(by October 30,h). 5.Reporting on community impact:To ensure transparency and ongoing accountability, The Conservancy will provide Miami on an annual basis with a comprehens ive overview of its community impact,including a detailed financial report,total number of Visitors,total number of free programs,total number of individuals employed and other mi ually agreed upon metrics.i 6.Funding Obligations.South Miami’s obligation,provided it has been budgeted, 3 ! appropriated,and approved by its governing body on an annual basis,shall 1 e limited to its share of the Total Expenses,as invoiced by The Conservancy.Nothing in this MOU permits South Miami to exercise any control over any of The Underlin ’s operations, maintenance and management.Under no circumstance shall this MOU pn vide the basis for any claim that South Miami is responsible or liable for The Underlin ’s operations, maintenance and management,or are in any way responsible for the actions ir inactions of The Conservancy,and for any claims based on The Conservancy’s action >or inactions. The Conservancy shall be solely responsible for The Underline’s operation ,maintenance and management,and the distribution of all funding contributions from South Miami. Under no circumstance shall this MOU provide the basis for South Miam ;or any other party or claimant,to make a claim against South Miami or other party for in iemnification. Nothing herein is intended to serve as a waiver of sovereign immunity by So nth Miami nor shall anything included herein be construed as consent to be sued by third parties in any matter arising out of this MOU or any other contract.South Miami is sub ect to section 768.28,Florida Statutes,as may be amended from time to time.The pro isions of this section shall survive termination of this MOU. 7.Operations,Maintenance and Management of the Underline bv the Cor servancy. On an annual basis in a timely manner,the Conservancy shall provide South Miami with a final funding plan and budget including all revenue sources and projected expenses for the upcoming fiscal year.For Fiscal Year 2026,The Conservancy shall provide South Miami with a Funding Plan within 30 days of the date Segment 8 (specifically,'he Underline segment located within the City of South Miami)is completed and operational for the use and enjoyment by South Miami residents.(The Conservancy shall have sole responsibility to manage,operate,maintain,and keep in good repair The Underline facili les,and shall insure such facilities as necessary,provide adequate signage,promptly make repairs when necessary,and adopt best practices for ongoing operations and maintenance. 8.Effective Date;Termination.This MOU shall become effective upon approval and execution by the Parties and shall continue in full force and effect until sue i time as it is terminated by any Party.Any Party may terminate this MOU upon thirty (30 1 days written notice to the other Parties. 9.Notices/Anthorized Representatives.Any notices required by this MO'J shall be in writing and shall be deemed to have been properly given if transmitted by han 1-delivery,by registered or certified mail with postage prepaid return receipt requested,o “by a private postal service,addressed to the Parties (or their successors)at the addresse:listed on the signature page of this MOU or such other address as a Party may have design ted by proper notice. I 10«Entire Agreement/Modification/Amendment.This MOU contains the e itire agreementofthePartiesandsupersedesanypriororalorwrittenrepresentations.No epresentationsweremadeorrelieduponbyeitherparty,other than those that are expressly et forthherein.No agent,employee,or other representative of a Party is empowered to m idify or amendthetermsofthisMOU,unless executed with the same formality as this doc iment. 11.Ownership and Access to Records and Audits. a.The Conservancy agrees to keep and maintain public records in the Conservancy’s possession or control in connection with the Conservancy’s perform ance under this MOU.The City Manager or designee shall,during the term of this dOUandfora period of three (3)years from the date of termination of this MOU,have access to and the right to examine and audit any records of the Conservancy involving transactions related to this MOU,including,but not limited to,financial records pertaining to operations and all costs included in the annual Funding Plan.The Conservancy additionally agrees to comply specifically with the •provisions of Section 119.0701,Florida Statutes.The Conservancy shall ensire that public records that are exempt or confidential and exempt from public rec irds disclosure requirements are not disclosed,except as authorized by law,for the Juration of the MOU,and following completion of the MOU until the records are transferred to South Miami. b.Upon request from a South Miami’s custodian of public records,th ;Conservancy shall provide South Miami with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided by Chapter 119,Florida Statutes,or as otherwise prov ;ded by law. c.Unless otherwise provided by law,any and all records,including bu .not limited to reports,financial records,and other data and documents providec or created in connection with this MOU are and shall remain the property of the I arties. d.Upon completion of this MOU or in the event of termination by any ’arty,any and all public records relating to the MOU in the possession of the Con ervancy shall be delivered by the Conservancy to the City Manager at no cost,w thin seven (7) days.All such records stored electronically by The Conservancy sha '1 be delivered to South Miami in a format that is compatible with South Miami’information technology systems.Once the public records have been delivered up m completion or termination of this MOU,The Conservancy shall destroy any an all duplicate public records that are exempt or confidential and exempt from j ublic records disclosure requirements. e.The Conservancy’s failure or refusal to comply with the provisions if this section shall result in the immediate termination of this MOU by South Miai ri. f.Notice Pursuant to Section 119.0701121(a),Florida Statutes.IF THE CONSERVANCY HAS QUESTIONS REGARDING THE AP ’LICATION OF CHAPTER 119,FLORIDA STATUTES,TO THE CONSI|RVANCY’S 5 I DUTY TO PROVIDE PUBLIC RECORDS RELATING TO THIS AGREEMENT,CONTACT THE CUSTODIAN OF PUBLIC I ECORDS OFEACHPARTY. CITY OF SOUTH MIAMI: Custodian of Records:Nkenga “Nikki”Payne,CMC,FCI M Mailing address:6130 Sunset Drive South Miami,FL 33143 । Telephone number:305-663-6340 Email:NPayne@southmiamifl.gov 12.Nonassignability,This MOU shall not be assignable by The Conservan y unless such assignment is first approved by the City Manager of South Miami.South IV jami is relying upon the apparent qualifications and expertise of the Conservancy,and such organization’s familiarity with The Underline and the matters involved in this MOU. 13.Severability.If any term or provision of this MOU shall to any extent be held invalid or unenforceable,the remainder of this MOU shall not be affected thereby,and each remaining term and provision of this MOU shall be valid and be enforceab e to the fullest extent permitted by law. 14.Independent Contractor.The Conservancy and its employees,voluntee [rs,agents and subcontractors shall not be considered agents,employees or contractors of South Miami, and are at all times acting independently and not as agents,employees or contractors of South Miami with respect to all of the acts and services performed by and under the terms of this MOU.This MOU shall not in any way be construed to create an agenc y,partnership, association or any other kind of joint undertaking,enterprise or venture between the Conservancy and South Miami.South Miami maintains no control or dire ction over the Conservancy,or its operations,maintenance or management within.The Un lerline. 15.Compliance with Laws.The Conservancy shall comply with all applicable laws, ordinances,rules,regulations,and lawful orders of public authorities ir carrying out services under this MOU,and in particular shall obtain all required permits and approvals from all jurisdictional agencies to perform the services under this MOU at its »wn expense. 16.Waiver.The failure of any Party to this MOU to object to or to take affirmati ye action with respect to any conduct of the other which is in violation of the terms of this 1 (1OU shall not be construed as a waiver of the violation or breach,or of any future violat jon,breach or wrongful conduct. 17.Survival of Provisions.Any terms or conditions of this MOU that require a<its beyond the date of the term of the MOU,shall survive termination of this MOU,shall "emam in full 6 force and effect unless and until the terms or conditions are completed an i shall be fully enforceable by any party. 18.Governing Law.This MOU shall be governed by and construed in accor lance with the laws of the State of Florida,and venue for any dispute or litigation shall be i i Miami-Dade County,Florida. 19.Costs.Each Party shall pay its own costs and expenses of any and all cos s incidental to the negotiation,preparation,execution and implementation by it of this MC U. 20.Counterparts.This MOU may be executed in counterparts,each of which si all be deemed an original and such counterparts shall constitute one and the same instrum mt [Signature pages follow.] 7 IN WITNESS WHEREOF,the Parties have executed this MOU as of the day and yearwrittenbelowtheirsignatures.
