A RESOLUTION OF THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI,
FLORIDA, CALLING FOR A. SPECIAL ELECTION FOR
THE CITY OF SOUTH MIAMI TO BE HELD ON
NOVEMBERS, 2024, CONCURRENT WITH THE GENERAL
ELECTION, FOR THE PURPOSE OF SUBMITTING TO THE
ELECTORATE A BOND REFERENDUM REGARDING THE
ISSUANCE OF GENERAL OBLIGATION BONDS BY THE
CTY OF SOUTH MIAMI IN AN AMOUNT NOT TO EXCEED
SIXTY-FIVE MILLION ($65,000,000.00) DOLLARS FOR THE
PURPOSE OF ACQUIRING, CONSTRUCTING,
RECONSTRUCTING, IMPROVING AND EQUIPPING
VARIOUS CAPITAL IMPROVEMENTS, REAL PROPERTY,
AND INFRASTRUCTURE FOR PARKS AND RECREATION,
PUBLIC WORKS, AND PUBLIC SAFETY; PROVIDING FOR
PUBLICATION OF NOTICE OF SUCH REFERENDUM;
PROVIDING REQUISITE BALLOT LANGUAGE FOR
SUBMISSION TO THE ELECTORATE; PROVIDING FOR
THE CITY CLERK TO UTILIZE THE SERVICES OF
MIAMI-DADE COUNTY SUPERVISOR OF ELECTIONS
FOR THE SPECIAL ELECTION; PROVIDING FOR
CORRECTIONS; PROVIDING FOR IMPLEMENTATION
AND AN EFFECTIVE DATE.
WHEREAS, the City of South Miami (the "City") has determined that there is a significant
need throughout the City for capital improvements, infrastructure, real property and various
equipment; and
WHEREAS, the City Commission of the City (the uCity Commission") recognizes the
importance of upgrading, renovating, constructing and improving infrastructure and capital
improvements throughout the City, including the acquisition of real property, for Parks and
Recreation, Public Works and Public Safety, for the use and enjoyment, benefit and safety of its
residents and businesses, and for the enhancement of quality of life and property values in the City;
and
WHEREAS, the City Commission wishes to seek the approval of the electors by holding
a bond referendum for the issuance of general obligation bonds in an amount not to exceed Sixty-
five Million ($65,000,000) Dollars for the purpose of financing the costs of acquiring,·
constructing, reconstructing, improving and equipping various capital improvements, real
property, and infrastructure for Parks and Recreation, Public Works, and Public Safety
(collectively, the !,'Projects"); and
WHEREAS, in accordance with provisions of the Charter of the City and the general laws
of the State of Florida, a Special Election is hereby called and directed to be held in the City of

South Miami, Florida, from 7:00 am. to 7:00 p.m. on Tuesday, November 5, 2024, to be held
concurrently with the General Election, for the purpose of submitting to the electorate the proposed
bond referendum ballot question regarding issuance of general obligation bonds for financing the
costs of the Projects as set forth herein; and
WHEREAS, the Constitution of the State of Florida, Article VII, Section 12, as well as
Section 100.211, Florida Statutes, authorize and require a voter referendum for the approval of the
issuance of general obligation bonds by a municipality; and
WHEREAS, not less than thirty (30) days' notice of the adoption of this Resolution and
of its provisions calling for a referendum shall be given by publication in the Miami Herald, a
newspaper of general circulation in South Miami, Miami-Dade County, Florida Such publication
shall be made once in the fifth week before the election and once in the third week before the
election in accordance with the provisions of Section 100.342, Florida Statutes, and the City
Charter and Code; and
WHEREAS, the City Commission finds that this Resolution is in the best interest and
welfare of the City.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA, AS FOLLOWS:
Section 1. Recitals. The above-stated recitals are true and correct and are incorporated
herein by this reference.
Section 2. Special Election Called; Notice of Election. That a special election is
hereby called, to be held concWTently with the General Election, on Tuesday, November 5, 2024,
to hold a bond referendum and present to the qualified electors of the City, the ballot question
provided in this Resolution. Notice of said election and referendum shall be published in
accordance with Section 100.342, Florida Statutes, in the Miami Herald, a newspaper of general
circulation in South Miami, Miami-Dade County, Florida at least thirty (30) days prior to said
election, the first publication to be in the fifth week prior to the election (to-wit: during the week
commencing Sunday, September 29, 2024), and the second publication to be in the third week
prior to the election (to-wit: during the week commencing Sunday, October 13, 2024), and shall
be in substantially the following form:

for parks and recreation, public works, and public safety?

The polling place for the Special Election shall be the South Miami City Hall located at
6130 Sunset Drive South Miami, Florida 33143 and any other polling places provided for
the City election. All City electors who are timely registered shall be eligible to vote. The
enabling Resolution, including the ballot question, are available at the Office of the City
Clerk, located at the South Miami City Hall.

Section 3. Intent to Issue Bonds. Subject to a referendum provided for herein and
pursuant to subsequent proceedings of the City, the City intends to authorize the issuance of
general obligation bonds in an aggregate principal amount not exceeding $6S million dollars
issuable as tax-exempt and/or taxable bonds, in one or more series, maturing at such time or times
not exceeding thirty (30) years from their date or dates of issuance and bearing interest at a rate or
rates not exceeding the legal maximum rate of interest, in each case as shall be determined by
ordinance or resolution of the City as required by the City Charter and State law prior to the time
of sale thereof (the j,'Bonds"). Such Bonds, if issued, shall pledge the full faith and credit of the
City and be payable from ad valorem taxes levied by the City without limit as to rate or amoW1t
on all taxable property within the City. The Bonds will be issued for the purpose of providing
fWlds to finance the costs of acquiring, constructing, reconstructing, improving and equipping
various capital improvements, real property and infrastructure for Parks and Recreation, Public
Works and Public Safety (collectively, the "Projects").
Section 4. Calling of Bond Referendum. The City Commission does hereby call a
bond referendum election pursuant to Article VII, Section 12, of the Constitution of the State of
Florida, and Florida Statutes Section I 00.211, to be conducted by special election in accordance
with Florida Statutes Chapter 101 and the requirements of the Supervisor of Elections ofMiami-
Dade County ("Supervisor"), for the purpose of determining whether the qualified electors of the
City approve the issuance of the Bonds to finance the costs of the Projects. In accordance with the

Constitution and the laws of the State of Florida, all qualified electors of the City shall be entitled
and permitted to vote in the referendum. The City Clerk and City Attorney are hereby directed
and empowered to do such things as may be necessary and proper in accordance with the laws of
the City and the laws of the State of Florida to provide for such election on the proposition herein
contemplated.
Section S. Form of Ballot; Ballot Question. The form of ballot and question for the
referendum shall be substantially as follows:

The form of the ballot to be used in this bond referendum and its preparation shall be in
compliance with all statutory requirements relating to the use of mechanical or other approved
voting machines or devices.
Section 6. Conduct of Referendum. That the referendum shall be conducted
between the hours of7:00 am. until 7:00 p.m. on November S, 2024 at the regular polling place
for City elections. Vote-by-mail ballots and early voting shall be provided as authorized by law.
All qualified City electors who are timely registered in accordance with law shall be entitled to
vote. The marked ballots shall be returned to the Supervisor, who shall deliver the same to the
Miami-Dade County Canvassing Board for canvassing in the manner provided by applicable law.
Said returns shall be certified to the City Commission, which shall declare the results thereof and
record the same in its minutes along with the number of qualified electors of the City who voted
at the Referendum on the question proposed and the number of votes cast for and against approval
of the Bonds. The City Commission shall certify the results of said Referendum to the Florida
Department of State and/or other applicable entity in the manner provided by applicable law.
Section 7. Available for Public Inspection; City Qerk to Utilize the Services of
Miami-Dade County Supervisor of Elections. Copies of this Resolution providing for the
referendum are on file in the Office of the City Clerk located at 6130 SW1set Drive, South Miami,
Florida and are available for public inspection during regular business hours. Furthermore, the City
Clerk is authorized to utilize the services of Miami-Dade County Supervisor of Elections for any

assistance requir ed in the administration of th e referendum. The City s ha ll pay its prorated
expenses for conducting th e special election and refer endum concurre ntl y w ith th e general election
and wi ll pay such expenses to Miami-Dade County up o n rece ipt of in voice or statement approved
by the Supervisor of Elections of Miami-Dade County, Florida.
Section 8. Bond Authorization. If a majority of the votes cas t by qualified electors
of th e C ity at the refe rendum approves th e ba llot ques ti o n concernin g the Projects, the City shall
be authorized, but not obligated, to issue th e Bonds in th e manner provided herein. The Bonds, al
a fu ture date o r dates , may be issued all at one time or in part from time to time as th e C ity
Commission may in its di scretion thereafter determine by s ubsequen t ordinance or resolution in
accord ance ,,~th th e C ity C harte r and State law.
Section 9. Implementation. The City Manager, City Attorney and City C lerk are
he reby authori zed to tak e all s t eps necessary t o co mpl ete the execution and implementa ti on of th e
terms and purposes of this Resolution , and th e Special Election Bond Referendum if adopted and
effective.
Section 10. Corrections. Conforming lang uage or technical scrivener-ty pe corrections
may be made by the C ity Attorney for a ny conforming amendments lo be incorporate d into the
final resolution for s ignature.
Section 11. Effective Date. This Reso lution s hall be effecti ve immediately u po n its
adoption.

The accompanying Resolution was prepared and placed on the agenda at the
request of Mayor Fernández and the City Commission.
At the July 2, 2024 Commission meeting, and as addressed at previous
Commission workshops and meetings, including April 16, 2024, the Commission
addressed the City’s general obligation bond and borrowing capacity, potential debt
service limitations, and necessary and important capital improvements and beautification
projects, infrastructure, equipment purchases, and real property acquisition for Parks and
Recreation, Public Works,

and Public Safety. The Commission has recognized the importance of upgrading,
renovating, constructing and improving infrastructure and capital improvements
throughout the City, including the acquisition of real property, for Parks and Recreation,
Public Works and Public Safety, for the use and enjoyment, benefit and safety of its
residents and businesses, and for the enhancement of quality of life and property values
in the City.
Accordingly, the Commission directed the City Attorney to prepare a Resolution
calling for a special election, to be held concurrently with the General Election on
November 5, 2024, to submit a ballot question referendum to the City’s voters on whether
to approve the issuance of general obligation bonds in an amount not to exceed
$65,000,000 for the purpose of financing the costs of acquiring, constructing,
reconstructing, improving and equipping various capital improvements, real property and
infrastructure for Parks and Recreation, Public Works and Public Safety.
The attached Resolution calls a special election, to be held concurrently with the
General Election on November 5, 2024, for the purpose of submitting to the voters the
ballot question referendum on whether to approve the issuance of general obligation
bonds in an amount not to exceed $65,000,000 for the purpose of financing the costs of
acquiring, constructing, reconstructing, improving and equipping various capital
improvements, real property and infrastructure for Parks and Recreation, Public Works
and Public Safety.
In accordance with State law, the attached Resolution provides for a maximum
amount of bond(s) that may be issued, the purpose of the bonds, and the rate of interest
on the bonds that shall not exceed the maximum rate permitted by law. The Bond(s), if
approved and issued by the Commission at a future date, will pledge the full faith and
credit of the City and be payable from ad valorem taxes levied by the City.

The Board of Supervisors of the Hem-
ingway Point Community Development
District will hold a special meeting and
a public hearing on July 24, 2024, at
10:00 am at the Waterstone Bay Club-
house, 1355 Waterstone Way, Home-

the adoption of the budget(s) for the
operation and maintenance of District
facilities for Fiscal Year 2025. In addi-
tion, the Board will hear public com-
ment and objections relative to the levy
of a non-ad valorem assessment pur-

funding operations and maintenance
and principal and interest expenses of
the District. The District may also fund
various facilities through the collection
of certain rates, fees and charges,
which are identified within the bud-
get(s). A copy of the budget(s) may
be obtained at the offices of the Dis-
trict Manager, 5385 N. Nob Hill Road,
Sunrise, Florida 33351, during normal
business hours. At the Special Meet-
ing, the Board is expected to consider
and discuss the meeting minutes from
the meeting of May 22, 2024, resolu-
tions adopting the budget and levying
non-ad valorem assessments, staff
reports, the monthly financial reports
of the District, and any other business
which may lawfully and properly come
before the Board. This Notice is given
in accordance with the requirements
of Sections 189.417 and 190.008,
Florida Statutes. The meeting is open
to the public and will be conducted
in accordance with the provisions of
Florida Law for Community Develop-
ment Districts.
There may be occasions when one or
more Supervisors will participate by
telephone. At the above location there
will be present a speaker telephone so
that any interested person can attend
the meeting at the above location and
be fully informed of the discussions
taking place either in person or by
telephone communication.
