A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF SOUTH MIAMI, FLORIDA, APPROVING THE
PROPOSAL OF CALVIN GIORDANO & ASSOCIATES,
INC. TO PROVIDE PLANNING SERVICES FOR THE CITY
OF SOUTH MIAMI ANNEXATION STUDY REVISION AND
APPLICATION TO MIAMI-DADE COUNTY; PROVIDING
FOR IMPLEMENTATION, CORRECTIONS AND AN
EFFECTIVE DATE.
WHEREAS, on August I, 2023, the City Commission of the City of South Miami ("City")
adopted Resolution No. 096-23-16029 confirming the Commission's support of annexation for the
area within the SW ¼ portion of Section 36, Township 54 South, Range 40 East, generally located
between SW 62nd Avenue and SW 67 Avenue and SW 80th Street and the Snapper 10 Creek
Canal, in Miami-Dade County, as set forth in Resolution No. 005-21-15625, subject to amending
the boundaries of the annexation area to eliminate properties within the Downtown Kendall Urban
Center, and directing the City Manager to take all action necessary to move forward with an
annexation application and process with Miami-Dade County with amendments to the boundaries;
and
WHEREAS, the City previously engaged Calvin Giordano & Associates, Inc. ("CGA'') to
complete a study supporting the proposed annexation and to conduct the analysis of the area and
the costs of providing City services to the proposed neighborhood; and
WHEREAS, CGA has submitted the proposal attached hereto as Exhibit "A" ("Proposal")
to provide planning services to assist the City in updating CGA'·s previous annexation study and
application to Miami-Dade County to annex the revised annexation area with the most current data
("Services"); and
WHEREAS, Section 5.H. of Article III, of the City's Charter, provides that competitive
bids are not applicable to the purchase of expert services that are approved by the City
Commission; and

WHEREAS, CGA's Proposal attached hereto as Exhibit "A" provides for a detailed scope
of services and schedule of fees in the amount of $7,500 for the Services, plus reimbursable costs;
and
WHEREAS, the City Commission wishes to approve the Proposal attached hereto as
Exhibit "A', for the Services, and authorize the City Manager to take all action necessary to
implement the Services; and
WHEREAS, the Services shall be funded and charged to Planning Department, account
number 00 l-1620-524-3450, which has a current balance of $350,000 before the request was
made; and
WHEREAS, WHEREAS, the City Commission finds that this Resolution is in the best
interest and welfare of the City.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SOUTH MIAMI, FLORIDA:
Section 1. Recitals. The above-stated recitals are true and correct and are incorporated
herein by this reference.
Section 2. Approval. That the City Commission hereby approves the Proposal from
CGA for the Services, in substantially the form attached hereto as Exhibit "A." The Services
shall be funded and charged to the Planning Department, account number 00 l-1620-524-3450,
which has a current balance of $350,000 before the request was made or an account deemed
suitable by Finance for this purchase.
Section 3. Implementation. The City Manager is hereby authorized to take all actions
necessary to implement this Resolution and the Services.
Section 4. Cor1·ections. Conforming language or technical scrivener-type corrections
may be made by the City Attorney for any conforming amendments to be incorporated into the
final resolution for signature.
Section 5. Effective Date. This Resolution shall become effective immediately upon
adoption.

RECOMMENDATION:Staff recommends approval of the proposal provided by Calvin, Giordano,
and Associates, Inc.(CGA)
BACKGROUND:On August 1, 2023, the City Commission (City) adopted Resolution No. 096-
23-16029 confirming the Commission’s support of annexation for the area
within the SW ¼ portion of Section 36, Township 54 South, Range 40 East,
generally located between SW 62nd Avenue and SW 67 Avenue and SW
80th Street and the Snapper 10 Creek Canal, in Miami-Dade County, as set
forth in Resolution No. 005-21-15625, subject to amending the boundaries
of the annexation area to eliminate properties within the Downtown

schedule of fees includes a not-exceed fee of $7,500.
FUNDING:A maximum of $ 7,500 will be charged to Planning Department account
001-1620-524-3450, Contractual Services with a balance of $350,000
before this request was made.

I Professional Planning Services
A. Review a nd update, as necessary, the exi stin g conditions a nd cost-of-
ser vice analys is for the adjus ted annexatio n area with the most cuITent
data.
B. Coordinate w ith C ity adm ini s tration and staff to update the cost-of-
servi ce a na l ysis according to the adjusted annexation area and the effect
of the resultin g tax load on current C ity res idents and those to be
a nnexed.
C. Adjust and finali ze an updated an nexati on report for th e adjusted
a nn exation area, based on re levant data and a na lysis updates.
D . Coordin ate w ith re levant County departme nts and offices, including but
not li mited to th e Office of Budget Managem e nt, Departme nt of
Elections, De pa rtment of Reg ul atory a nd Economic Resources.

E. Obtain a new letter of certification of the land use breakdown within the
proposed annexation area from the Department of Regulatory and
Economic Resources.
F. Obtain a new letter of certification of the number ofregistered voters within
the proposed annexation area from the County Supervisor of Elections.
G. Prepare informational memos for the public, Planning Board and City
Commission, as may be needed.
H. Conduct, prepare and lead any required presentations at public meetings
including City Commission and County Commission.
I. If required by the County, assist the City in conducting a new petition
process for registered voters within the proposed annexation area and get
the petition results certified by the County Supervisor of Elections.
J. Photocopy, package and submit the final annexation application package to
the appropriate department at Miami-Dade County.
K. Confirm with the appropriate County departments and staff all relevant
filing, processing, signature verification or other required fees and
requirements.
L. Coordinate with the City the payment of all required fees directly and
timely to the appropriate departments of Miami-Dade County.
M. The City shall be responsible for confirming the accuracy of all data
collected by the City and provided to CGA and shall not hold CGA
responsible for any delays that may result from the City's failure to perform
any required task in a timely manner.
II. Professional Data Technologies & Development Services
A. Update the assessed values of properties within the adjusted annexation area
and provide their total assessed value.

• Any outside engineering services, studies, or laboratory testing not specifically
mentioned in the Scope of Services will be the responsibility of the CLIENT. All
municipal, permit, and agency fees as well as Title Certificates will be paid by the
CLIENT.
• Calvin, Giordano & Associates, Inc. is performing the consultant services set
forth in this Agreement strictly as a professional consultant to CLIENT. Nothing
contained in this Agreement shall create any contractual relationship between
Calvin, Giordano & Associates, Inc. and any contractor or subcontractor
performing construction activities on the project, or any of CLIENT's other
professional consultants.
• Calvin, Giordano & Associates, Inc. will require that all consultants carry proper
insurance, including professional liability insurance, if appropriate.
ADDITIONAL FEES
The following services are NOT anticipated or included in this proposal. If such
services are required, they will be considered Additional Services to be addressed in a
separate contractual agreement:
• Traffic data collection, traffic analysis or traffic impact study.
• Sufficiency review of Data supplied by the CLIENT (i.e., GIS data sets,
database, aerial images, etc.) required for integration into this project.
• Professional services required due to conditions different from those itemized
under the Scope of Services or due to events beyond the control of Calvin,
Giordano & Associates, Inc.
• Review of Data supplied by the CLIENT (i.e. GIS data sets, databases, aerial
images, etc.) required for integration into this project.
• Boundary surveys, site evaluations, unless specified above.
• Zoning Code text or map analyses or amendments.
REIMBURSABLE EXPENSES
Calvin, Giordano & Associates, Inc. and its consultants will be reimbursed for any
printing of drawings and specifications, deliveries, Federal Express services, required
travel time and travel expenses, long distance telephone calls, fax transmittals, postage,
fees paid for securing approval of authorities having jurisdiction over the project, filing
fees and processing fees, cost of preparing notice lists and mailing said notices (if
requested by the City), renderings, models and mock-ups required by CLIENT.
Reimbursable expenses and sub-consultant invoices will be billed directly to the
CLIENT at a multiplier of 1.25.

No meetings other than those listed in the Scope of Services are included in the
Schedule of Fees shown below. Preparation for (if needed) and meeting attendance at
meetings other than those included will be provided on a time and materials basis and
will be billed at the standard hourly rates in accordance with the attached Hourly Rate
Schedule.

exceed fee based on hourly rates, as shown in the proposed Schedule of Fees and

• All aspects of GIS data development created by Calvin, Giordano & Associates,
Inc., will be property of the CLIENT and will be given to the CLIENT at time of
project completion.
• Calvin, Giordano & Associates, Inc. and the CLIENT agree by their signatures on
this document that each party will not hire or attempt to hire any staff from the
other party while under contract together.

• CLIENT agrees to limit Calvin, Giordano, & Associates, Inc. 's liability for any
and all claims that CLIENT may assert on its own behalf or on behalf of another,
including but not limited to claims for breach of contract or breach of warranty, to
the amount of fees paid to Calvin, Giordano & Associates, Inc., pursuant to this
Agreement.
• In the event of termination in accordance with this Agreement or termination not
the fault of Calvin, Giordano & Associates, Inc., Calvin, Giordano & Associates,
Inc. shall be compensated for services properly performed prior to receipt of
notice of termination, together with Reimbursable Expenses then due.
• Invoices for work accomplished to date will be submitted monthly and are payable
within thirty (30) days. The CLIENT will pay invoices upon receipt and
understands interest charges of 1.5% per month will be applied to any unpaid
balance past thirty (30) days. Calvin, Giordano & Associates, Inc. may elect to
stop work until payment is received. If work is stopped for thirty (30) days or
more, Calvin, Giordano & Associates, Inc. may request compensation for start-up
costs when work resumes.
• PURSUANT TO SECTION 558.0035, FLORIDA ST A TUTES, AN
INDIVIDUAL EMPLOYEE OR AGENT OF CAL VIN, GIORDANO &
ASSOCIATES, INC. MAY NOT BE HELD INDIVIDUALLY LIABLE IN
NEGLIGENCE FOR ANY CLAIMS, DAMAGES, LOSSES, OR DISPUTES
ARISING OUT OF OR SUBJECT TO THE CONTRACT.
• The CLIENT or their representative shall be available to meet with Calvin,
Giordano & Associates, Inc. and provide decisions in a timely manner throughout
the course of the project. The CLIENT will provide all plans and other pertinent
information, which are necessary for Calvin, Giordano & Associates, Inc. to
provide complete professional services as outlined in this contract.
• The terms of Agreement shall be valid for the Client's acceptance for a period of
thirty (30) days from the date of execution by Calvin, Giordano & Associates,
Inc. after which time this contract offer becomes null and void if not accepted
formally (evidenced by receipt of an executed copy of this document). All rates
and fees quoted in this document shall be effective for a period of six ( 6) months,
after which time they may be renegotiated with the CLIENT.

this Agreement and to the partners, successors, ass igns, a nd l eg al represent at ives
of such other party with respect to all covenant s of thi s Ag ree ment. Ne ith er
CLIENT nor Ca lvin, Giordano & Assoc iates , Tnc. shal l assig n thi s Agreemen t
w ithout written consent of the other.
• This Agreement represent s th e entir e and inte grated agreement betwee n th e
CLIENT and Calvin , Giordano & Associates, In c. and sup e rsedes all prior
nego tiations, representation s or ag ree ments , either written o r oral. Thi s
Agree ment may be amend ed onl y by wri tte n in strument signe d by both Calv in ,
Giordano & Associates, Inc. and the CLI ENT .
• Unle ss otherwise provid ed, thi s Agree ment s hall be governed by the la w of the
plac e where the proj ect is loca ted.
TERMINATION OF THE AGREEMENT
• Either party ma y te nnin ate thi s Agreement, or any pa rt of thi s Agree ment upon
thirty (3 0) days wri tte n no tic e, with out cause an d with no penalty or ad di tional
cost beyond th e rate s stated in thi s Agreement. Add iti onally, this Ag reement
may be terminated by eith er party up on not less than seve n (7) days w ri tten
notice should th e other party fa il sub sta ntiall y to perform in acco rd ance with the
terms of this Agreement throu gh no fau lt of the party ini tiati ng the termination.
Failure of CLI ENT to make payments to Ca lvin , Giordano & Associates, In c.,
in accordance with thi s Agreeme nt, shall be considered sub stant ial
nonperformance and ca use for termin at ion .
• In th e event of te rmin at ion in accordanc e with thi s Agreement or termi natio n not
th e fault of Calvin , Giordano & Ass ociate s, In c., Ca lvin , Giord ano & Associates,
Inc. s ha ll be co mpen sa ted for se rvices prop erl y performed pri or to rece ipt of
notice of termination , to ge ther with Reimbu rsa bl e Ex pen ses then due.

Calvin, Giordano & Associates, Inc. ("CGA") is pleased to present this proposal to
assist the City of South Miami (hereinafter referred to as "the City") in updating
CGA's previous annexation study and application to Miami-Dade County to annex
land located southwest of the City.
I Professional Planning Services
A. Review and update, as necessary, the existing conditions and cost-of-
service analysis for the adjusted annexation area with the most current
data.
B. Coordinate with City administration and staff to update the cost-of-
service analysis according to the adjusted annexation area and the effect
of the resulting tax load on current City residents and those to be
annexed.
C. Adjust and finalize an updated annexation report for the adjusted
annexation area, based on relevant data and analysis updates.
D. Coordinate with relevant County departments and offices, including but
not limited to the Office of Budget Management, Department of
Elections, Department of Regulatory and Economic Resources.

Cost of these services are $7,500.00 plus hourly as noted in fee breakdown.
