of the party of the second part's commitment to. develop a park and recreational
facility on the following described land lying and being in Dade County, Florida,

THIS DEED OF•DEDICATION conveys only the interest of Dade County and the
Board of County Commissioners in the property covered herein, and shall not
warrant the title thereto.
This conveyance is made subject to the following easements and covenants
running with the land, to-wit:
GENERAL COVENANTS:
A. The covenants running with the land set forth and particularized in
the party of first part's Declaration of Restrictions, dated
December 2, , 19 74, , and recorded in the Public Records of Dade County,
Florida in the Official Record Book 8845 at Page 1166 to Page 1168.
B. The party of the second part shall commence work on the improvements
in accordance with plans approved by the party of first part not later than
six (6) months from the date of this instrument
and shalt diligently prosecute such, and shall complete the improvements of the
first stage of redevelopment within 210 consecutive calendar days from the
date of this instrument.
C. The party of the second part agrees to provide the improvements to the
laid in accordance with the Contract providing for the dedication of land in
Urban Renewal Project Florida A-I hereto executed by the parties to this Deed.
D. Promptly after completion of the improvements in accordance with
approved plans and provisions of-this instrument, the partyiof the first part
shall furnish the party of the second part an appropriate'Instrument certifying
to the satisfactory completion of thelimprovements. Such certification shall be
in a form recordable in the Office ofithe Clerk of the Circuit Court of bade
County, Fibrida, and said certification shall be conclusive determination of
satisfaction and termination of the agreements and covenants contained within
the contract providing for the dedication of this land'and within this deed with

respect to the obligations of the city, Its successors and assigns and every
successor in interest to the property; to construct the improvements and the.
dates for the beginning and completion thereof.
E. The party of the second part agrees for itself, its successors and
assigns, to or of the property or any part thereof, that the.party of the
second part and such successors or assigns shall:
(1) Not discriminate upon the baits of race, color, religion, sex or

national origin in the sale, lease or rental or in the use or occupancy of the
property or any improvements erected it to be erected hereon or on any part
thereof; and this covenant shall be binding to the fullest extent permitted by
law and equity, for the•benefit and it favor of-and enforceable by (a) the i
party of the first part, its successors and assigns, and any successor in
interest to the property, or any part thereof, (b) the owner of any -other land,
or of any interest in such land, within the Project Area which is subject to
the land use requirements and restrictions of the Urban Renewal Plan, and (c)
the United States, against the party of the seond part, its successors and

assigns and every successor in interest to the property, or any part thereof,
i
or interest therein, and any .party in possession or occupancy of the property
or any part thereof.
In amplification, and not in restriction of, the provisions of Sections A
and E(I) it is intended and agreed that the party of the first part and its
successors and assigns shall be deemed beneficiaries of the covenants provided
in Sections A and E(1) hereof, and the United States shall be deemed a beneficiary
of the Covenant provided In Section E(I) hereof,-both for and in their or its
own right and also for the purposes of protecting the interests of the community
and other parties, public or private, In whose favor or for whose benefit such
covenants shall run in favor of the party of the first part and the United
States, for the entire period during which such covenants shall be in force
and effect, without regard to whether the party of the first part, or the .
United States has at any time been, remains, or is an owner of any land or
interest therein to or in favor of which such,covenants reiate. The party
of the first part shall have the right, in the event of any breach of any
such covenants, and the United States shall have the right in the event of
any breach of the covenant provided in Section E(1) hereof, to exercise a1f
the rights and remedies; and to maintain any actions or suits at law or in
equity or other proper.proceedings to enforce the curing of such breach of
covenant, to which it or any other beneficiaries of such covenant may be
entitled.
F. Changes in application of the restrictions of any covenant.
or covenants set forth and particularized herein or made a
part of this Deed by incorporation by reference shall be made
only with the prior approval of the Board of County Commis-
stoners of Dade County, Florida.
SPECIAL COVENANTS:
A. The following Special Covenants and/or easement, to-wit:
The party of the second part agrees for itself, its successors and assigns,
to or of the property or any part thereof,that to the event that subsequent to
conveyance of the real estate or any part thereof to the party of the second
part and prior-to completion of the improvement as certified by the Dept. of HUD.
(a) The party of the second part (or successor in interest) shall default
In or violate its obligations with respect to the constructionDof the
improvements (including the nature and the dates for the beginning
and completion thereof), or shall abandon or substantially suspend
construction work, and any such default, violation; abandonment, or
suspension shall not be cured, ended, or-remedied within six (6)
months if the default is with respect to the date for completion of
the improvement after written demand by the Dept. of HUD so to do; or
(b) there is, in violation of said Contract for dedication of land, here-
tofore executed by the parties to this Deed, any transfer of the
property or any part thereof, and such violation shalt not be cured
within sixty (60) days after written demand by the Dept.. of Housing
and Urban Development, the party of the second part, the Dept. of HUD
shall have the right to re-enter and take possession of the property
and to terminate (and revest in the County) the estate conveyed by
this Deed to the party of the second part; it being the intent of
this provision, together with other provisions of the Agreement,
that the conveyance of the Property to the City shall be made upon
a condition subsequent to the effect that in the ,event of any de-
fault, •failure, violation, or other action or-inaction by the City
specified within (a) or (b) above, failure on the part of the Re-
developer to remedy, end, or abrogate such default, failure, viola-
tion or other action or inaction, within the period and'in the
manner stated in such subdivision, the County at its option may .
declare a termination in favor of the County of the title, and of -

all the rights and interests in and to the Property conveyed by
this Deed to the City, and that such .title and a.11 rights and interests
of the City, and any assigns or successors in interest to and in the
Property, shall revert to The County: Provided, that such condition
subsequent and any revesting of title as a result thereof in the County
(t) Shall not apply to indviduai parts or parcels of. the Property
(br, .in the case of parts of r leased, the leasehold interest) on
cansetrl�uitted'thereon which the improvements fio be have been completed
In accordance with the contract and for which a certificate of comple-
tion is issued therefor as provided in Section D hereof.

FLORIDA, PROVIDING THAT CERTAIN DESCRIBED
PROPERTY, WHICH IS TO BE USED AS A CITY
PARK WITHIN THE SAID CITY, SHALL BE I
DEDICATED IN HONOR OF MARSHALL WILLIAMSON
AND HEREAFTER NAMED MARSHALL WILLIAMSON

WHEREAS, Marshall Williamson has served the City of
South Miami as a dedicated, respected community leader for
many years, and
WHEREAS, it is altogether fitting and proper that
property within the City, which is to be used as a city park,
should perpetuate the name and memory of such a great person.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND
CITY COUNCIL OF THE CITY OF SOUTH MIAMI, FLORIDA:
Section 1. That the following described property:
Disposition parcels known as Lot 8, Block
33, Lots 8 and 9, Block 34. The other
parcels that will be available are part of
Lots 6 and 7 in Block 34, Lots 1, 2, 3 and
7 in Block 33, and part of Lot 2, part of

which is to be used by the City of South Miami as a city park,
be, and the same is hereby dedicated in honor of Marshall

shall be held on such day and at such time as the City Manager
shall determine.
