A Resolution authorizing the City Manager to disburse funding to the Black Cultural
Affairs Foundation in support of the two (2) Day Juneteenth event series on Friday, June
17, 2022 and Saturday, June 18, 2022.
WHEREAS, in commemoration of Juneteenth 2022, the South Miami Black Cultural Affairs
Foundation ("the applicant"), a not-for-profit organization, has submitted a Special Event
Application to host a two (2) day Juneteenth event series at Murray Park on Friday, June 17, 2022
from 6:00-8:30 PM and Saturday, June 18, 2022 from 12:00-6:00 PM; and
WHEREAS, according to its letter enclosed in the Special Event Application, the South
Miami Black Cultural Affairs is requesting $3,000 dollars in funding to support the cost for event-
related expenses such as movie equipment; and
WHEREAS, the City recommends providing funding support in the amount of $2,000
dollars for event-related expenses; and
WHEREAS, the City will not host a Juneteenth Celebration event in 2022 should this
Resolution be passed and adopted.
NOW THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSIONERS OF THE
CITY OF SOUTH MIAMI, FLORIDA:
Section 1. The foregoing recitals are hereby ratified and confirmed as being true and
they are incorporated into this resolution by reference as if set forth in full herein.
Section 2. The City Manager is hereby authorized to disburse funding in the amount of
$2,000 dollars to the Black Cultural Affairs Foundation to support the cost for event-related
expenses toward its 2022 Juneteenth Celebration. The total expenditure shall be charged to the
Parks and Recreation Special Events account number 001-2000-572-4820, which has a balance of
$55,692.64 before this request was made.
Section 3. Corrections. Conforming language or technical scrivener-type corrections may
be made by the City Attorney for any conforming amendments to be incorporated into the final
resolution for signature.
Section 4. Severability. If any section clause, sentence, or phrase of this resolution is for
any reason held invalid or unconstitutional by a court of competent jurisdiction, the holding shall
not affect the validity of the remaining portions of this resolution.
Section 5. Effective Date. This resolution shall become effective immediately upon
adoption.

INDEMINIFATION AGREEMENT

1. The above recitals are true and correct.
2 . Applicant agrees to indemnify, defen d and hold the City, its officers, affiliates, employees, successors and
assigns ( co l lecti vely "lndemn itees") harmless from and against any and all such claim s, suits, actions,
damages, or causes of action arising as resu lt of the Special Event, or of th e condition of the site on which
the Specia l Event is held including any personal injury or loss of li fe, or d amage to or loss of property, and
from and against any costs, attorney's fees, expenses or liabilities inc luded in and about the defense or
settlement of any clams, and the inve stigat ion thereof, except to the extent caused by indemn itees
n eg ligence of wil lful misconduct.
3. No Street sha ll be clos ed without approval from the City Commi ssio n.
4. Traffic sha ll be maintained in accordance with Fl orida Department of Transportation (FOOT), Miami -Dade
County standards and any additional requirements by the City of South Miami Public Works Department
and Police Department.
5. Event areas sh.i ll be restored to equal or better condition than they were before the event started .
6. Any damage to private property shall be restored to its original condition or better an d as accepted by the
Owner caused by applicant or any of its agents, servants or employees, invi tees and on lookers.
7. If all restoration work is not performed within 30 days of work completion, the City of South M ia mi Public
Works Depa rtment may restore the event area and charge the appl icant for the cost of restorat ion and
additional incidental fee s.
8 . Appl icant must pay all fees pri or to the date of the ir event(s).
9 . Appl icants shall notify the City of South Miami Special Even t Coordin ator at least forty-eight (48) hours pri or
to start of their event of any cancellations to be considered for any refunds .

INDEMINIFATION AGREEMENT
THIS AGREEMENT ("Agreement") is entered into by and between 'Sm BC, Pt E
("Applicant"), and the City of South Miami ("City") on the date on which the last of the Parties executes th is
Agreemen t.
RECITALS
WHEREAS, the Applicant has subm itted a Special Event Permit Application to1 5~e City for (event title)

Now, THEREFORE, in consideration of the matters recited above, the mutual covenants se t forth herein, and other
good consideration the receipt and suffi ciency of which is hereby acknowledged, the Parties hereby agree as follows:
1. Th e above recitals are true and correct.
2. Applicant agre es to indemn ify, defend and hold the City, its officers , affi lia tes, employees, successors and
assigns ( co ll ectively "lndem nitee s") harmless from and against any and all such claims, suits, actio n s,
damages, or causes of action arising as result of the Special Event, or of the cond ition of the site on which
the Special Event is held including any personal injury or loss of life, or damage to or los s of property, and
from and again st any costs, attorney's fees, ex pens es or liabilities includ ed in and about the defense or
settlement of any clams, and th e investigation thereof, except to the extent caused by indemnitees
negligence of willful misconduct.
3. No Street shall be clos ed without approval from the City Commission .
4. Traffic shall be maintained in accordance with Florida Department of Tra n sportation (FOOT), M ia mi-Dade
County standards and any additional requirements by the City of South Miami Public Works Department
and Police Department.
5 . Event areas shall be restored to equal or better condition than they were before the event started.
6. Any damage to priv ate property shall be re st ored to its original conditi on or b etter and as accepted by the
Owner cau se d by app licant or any o f its agents, servants or employees, i nvitees and onlookers .
7. If all restoration work is not performed within 30 days of work completion, the City of South Miami Public
Works Department may restore the event area and charge the ap p licant for the cost of restoration and
additional i n cidental fees .
8. App licant must pay all fees prior to the date of their event(s).
9 . Applicants sha ll notify t h e City of South Miami Special Event Coordinator at least forty -eight (48) hours prior
to start of their event of any cance ll ations to be considered for any refunds .
