A Resolution authorizing the City Manager to procure professional
roofing services from Advanced Builders Architectural to remove the
current roof and install a new roof at City Hall located at 6130 Sunset
Drive.
WHEREAS, the existing roof is approximately 18 years old and experiencing damage
due to numerous leaks; and
WHEREAS, the useful life of the roof has been exceeded and the roof is deteriorating
daily; and
WHEREAS, the condition of the roof has also caused interior damage due to water
intrusion; and
WHEREAS, the proposal includes the permit, inspections, removal of the existing
roof, installation and a 15-year manufacturer warranty; and
WHEREAS, the City solicited bids and Advanced Builders Architectural was the
second lowest and most responsive bidder. The lowest bidder, LG Pro Roofing Corp., was not
responsive and failed to obtain the required permits and vendor registration form; and
WHEREAS, the cost of the reroofing is not to exceed $67,473 and a 5% contingency
($3,350) has been added for any foreseen circumstances. The cost of the project will be
charged to the departmental Capital Improvements account number 301-1790-519-6450 which
has a current balance of $780,683 before this request was made.
NOW THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSIONERS OF THE CITY OF SOUTH MIAMI, FLORIDA:
Section 1. The foregoing recitals are hereby ratified and confirmed as being true and
they are incorporated into this resolution by reference as if set forth in full herein.
Section 2. The City Manager is hereby authorized to execute a contract with
Advanced Builders Architectural for the reroofing project for an amount not to exceed
$67,473. The Manager is also authorized to expend an amount not to exceed 5% ($3,350) for
in the event of any unforeseen conditions.

Section 3. Corrections. Conforming language or technical scrivener -type
corrections may be made by the City Attorney for any conforming amendments to be
incorporated into the final resolution for signature.
Section 4. Severability. If any section clause, sentence, or phrase of this resolution is
for any reason held invalid or unconstitutional by a court of competent jurisdiction, the holding
will not affect the validity of the remaining portions of this resolution.
Section S. Effective Date. This resolution will become effective immediately upon
adoption.

BACKGROUND: The existing roof is approximately 18 years old and is experiencing damage
due to numerous leaks. The useful life of the roof has been exceeded and
is deteriorating daily. The roof leaks have also caused interior damage due
to water intrusion. The proposal includes the permit, inspections, removal
of the existing roof, installation, and a 15-year manufacturer warranty.
The City obtained quotes from 5 different sources and Advanced Builders
Architectural was the most responsive bidder.
The first lowest vendor, which is LG Pro Roofing Corp. is not responsive
and has failed to obtain the required permits and vendor registration form.

- Obtain roofing permit and register a Notice of Commencement with the Clerk of Court.
- Remove existing roof down to the wood deck.
- Furnish and install All GAF 2" ISO Tapered Insulation over Flat area for ponding water.
- Furnish and install new 3" Painted Eave Drip, along roof edge mechanically fastened with 1-1/4 Ring Shark
Coil Nails.
- Prime all metals with ASTM D 41 asphalt primer to promote adhesion of roof system.
- Furnish and Install one (1) ply of GAFGLASS STRATAVENT base sheet over insulation.
- Furnish and install one (1) ply of GAFGLASS #20 Adhered in full mopping of approved asphalt applied
within the EVT.
- Furnish and install one (1) ply of GAFGLASS Mineral Cap Sheet and modified Ruberoid in parapets as
need it Adhered in full mopping of approved asphalt applied within the EVT.
- Furnish and install White Granules on laps over asphalt bleeds for complete white finish roof.
- Secure all flashing walls and parapets with GAF Elastomeric sealer and 4" white membrane.
- Owner is responsible for any wall plastering if applicable.
- Furnish and install all new lead flashing and GRV Roof Vents as per manufacture's painted to match roof
tile color.
- Haul away all roof debris, leaving premises in clean condition.

The Scope of Work is as follows:
Flat Re -Roof System: 61.000 sq. ft.................................. $ 67,473.00
• Roof to be worked on consists of 4 sections in the north-east section of the building
the lower section to drain to the west with its higher section been on the east and a
higher roof with parapets walls and two drains in the middle section of the roof one
in the north and another one in the south.
• Remove entire roof system up to the roof deck. "Roof system" is defined as the
components comprising the structure adhered or fastened directly to the deck sheathing,
from the surface of the roof deck sheathing through to the final top cap sheet layer. Wood
or metal beams, rafters, trusses, purlins and other kinds of wood or metal framing items
are structural components of the building or residence and are not part of the "roof'. We
have determined that the roof deck material consist of gypsum boards.
• The particular roof decks sections that the building have requires by code two
separate tests that have to be done prior to get the permit approved, the first test is
an uplift test to check the integrity of the deck and a moisture text to feel the
strength of the gypsum deck.
• Pictures will be provided throughout the demolition process, and a change order must be
signed prior to our company proceeds with the work of replacing damaged deck (if
necessary). We cannot install a new roofing on old, damaged roof deck, so it is
imperative for the homeowner to approve the replacement of any defective deck before
we can proceed with the re -roofing project. Be advised that the roofing project can come
to a halt until a decision is made and a Change Order is signed if required.
• Prime deck with asphalt primer if applicable depending on the roof deck material
composition (to be determine after testing).
• Remove and reinstall electrical conduit attached to the parapet wall.
• Install 75 lbs. GAF base sheet mechanically attach according to the Florida Building
Code with plates and fasteners over the gypsum decks.
• Install iso tapered insulation ''/4" slope.
• Install 20 lbs. GAF sheet with hot asphalt.
• Install all flashing as needed on walls and penetrations.
• Install cleat metal and 7" drip edge over section A and C as necessary.

(here on out referred to as "ABAG") as your roofer on the above listed project.
Per your request, a scope of work has been developed with a visual inspection on the property. All
measurements of the property have been supplied by Eagle View TechnologiesTM and verified by
our field personnel to determine existing conditions and to develop a scope of work to address
your needs at this time.
After doing a core on the roof we noticed that your roof deck is made of poured gypsum deck were
a tapered insulation was previously installed in the existing system, the system shows its age and
in our professional view it should be replaced, public records do not show any information
concerning the building details or any permit history so we can't establish when was the last roof
permit pulled at this property.

• Install GAF Modified Ruberoid Mineral Surface Cap Sheet hot mopped to the # 20
lbs. felt.
• Advanced Contractors will have a construction manager on site with a 30-hour Osha
Safety training class. (The most advanced safety training available).
• All work will be done according to the Osha safety and Florida Building Code
specifications.
• Weekly written construction progress reports with pictures will be submitted until project
is completed.
• Contractor is responsible for removing all trash and debris from premises.
• Contractor is responsible for permits and inspections, insurances, and licenses.
• If any satellite dish or antenna installation that compromises/interferes with the scope of
work is found attached to customer dwelling, said installation will be removed by
Contractor. However, the re -installation of said satellite dish, cell phone tower, or
antenna that is/was installed in, on, or above the roof system or in its perimeter will be
the sole responsibility of the owner of the property.
Total labor and materials for the scope of work:

Cash Deal Schedule
• $ 10,000.00 of the total agreed price is due with the execution of this proposal, for NOC,
logistics allocations & permits.
• Once permit has been approved, a payment of $ 25,000.00 shall be issue for material
procurement to start the job.
• Upon completion of tear -off & dry -in of sections A & B (See attached sketch) a second
payment of $ 25,000.00, is due and payable.
• A final check for the remaining of the original amount of $ 7,473.00 as payment of the total
balance owed shall be given at the completion of the job once the final inspection is completed

WARRANTY:
The type and extent of coverage of any warranty shall be in accordance with any & all

shall GUARANTEE the workmanship furnished as part of this proposal against defects in such

• I have reviewed the contract and I understand the terminology, description and
scope of work.
• I understand that I have three (3) days from the day that I accept and sign this
contract to cancel this transaction or to make any changes to it UNLESS I HAVE
WAIVED THIS RIGHT TO EXPEDITE THE PROJECT START.
• Roofing permit expediting and procurement may take longer than expected based
on Homeowners Association's approvals, reviews, comments and additional
information or changes that the building officials may require prior to permit
approval.
• Startup Date — Project commencement date is always calculated from the date of
contract signed but subject to permit approval and roofing supply distributors
delivery date which is beyond the contractor's control.

• The contractor's office will contact you to set up a startup date after permit has
been approved and we have a material delivery date. This can range from 2 to 16
weeks, depending on the material being used, after signing the contract.
• Unforeseen labor charges may be incurred once we remove the roofing system.
• Customer is responsible for removing any obstacles, furniture, vehicles in advance
of the installation date, including the removal of any items within 2" to 4' outside
around the perimeter of the working area.
• I give my permission for a lawn sign to be placed on my lawn during the project.
• Advanced Builders Architectural Group Inc. is not responsible for any exterior or
interior stucco, drywall, or plaster repair.
• Gutters and downspouts are not part of this contract. However at customer's
request an estimate will be submitted for customer's consideration.
• Advanced Builders Architectural Group Inc. is not responsible for any landscaping
damaged, though care will be taken to avoid same.
• I give permission for pictures to be taken before, during and after installation.
These pictures are property of Advanced Builders Architectural Group Inc. and
may be used for marketing.
• Advanced Builders Architectural Group Inc. will clean-up job site of any debris
daily and leave it in a neat broom -clean conditions.
Exclusions:
I -Damage to the property, building, or contents caused by fire, settling, distortions, or other
failure of building, natural causes including floods, lighting, windstorms, hail, hurricanes,
tornados, earthquakes, or other extraordinary or unusual events.
2-Damage to the roof due to foot traffic or from cracks or openings in the walls, partitions or
foundations by any other contractor or person after roof work has been completed.
3-Vandalism, penetration, damages or attacks to the roof system by third parties or foreign
objects or agents including plants or animal life or any use other than its original purpose and
covered under the Notice of Acceptance guidelines and impact values.
4- Damage to driveway due to dumpsters or dump trucks used for the demolition.
5- Paint, stucco and drywall labor and materials are not part of this proposal as well as any
interior or exterior work not included in this proposal.

ATTACHMENT "A" -- TERMS AND CONDITIONS
Owner acknowledges that the work being performed by Contractor, pursuant to this proposal, is continuous throughout the time
of this proposal. Contractor's lien rights pursuant to Chapter 713, Florida Statues, for labor and material fumished in performing
the services shall not expire until ninety (90) days after the completion of the job.
If payments are not made in accordance with the terms hereof, it is agreed that interest on any unpaid balances at the maximum
legal rate of interest prescribed by the laws of the state of Florida will become due for the period of default, and Contractor may
suspend work until such payments are made, and all costs or expenses incurred by Contractor in collecting the sum due
hereunder, whether by suit or otherwise, including reasonable attorney's fees shall be paid by Owner. No guarantee or warranty
provided by the Contractor, if any, shall be valid until full and final payment has been received by Contractor.
Owner, by signing hereunder, represents and warrants that it is the owner or duly authorized agent of the property and that it is
authorized to enter into this agreement and that Contractor is thereby permitted to enter upon the property and to perform the
services anticipated hereby. Contractor shall be permitted to use all driveways, and paved areas leading to, or adjacent to, the
project for its equipment, material storage and deliveries without liability to Contractor occasioned by the negligence of others or
by its equipment.
Contractor warrants that the work to be performed will be performed in a timely and workmanlike manner according to
tolerances and deviations customary to the building/roofmg industry. OTHER THAN WARRANTIES OF THE
MANUFACTURER AND OTHER THAN THE WARRANTIES SPECIFICALLY CONTAINED HEREIN,
CONTRACTOR MAKES NO OTHER WARRANTIES OF ANY KiND, EXPRESSED OR IMPLIED. Contractor
reserves the right to use materials of equal or similar quality to those specified herein. The following items are not included in
this scope of work unless otherwise specifically stated in writing in the proposal: repairs to the roof deck, installation of wood or
can't strips, famishing or installation of sheet metal or roof drains, repairs or alteration to the building other than the roof,
identification and/or abatement of asbestos containing material or work preparatory or incidental to the foregoing items, and
interior protection or clean up. Any testing required by local building departments including, but not limited to asbestos surveys,
moisture surveys, pull-up tests or statement of design pressure are also not included in the scope of work unless otherwise
specifically stated in writing in the proposal.
It is understood by Owner that a ponding water condition (a roof surface that is not completely drained) is not indicative of a
defective roof system. Positive drainage (a roof slope ensuring drainage of a roof area within 48 hours after rainfall) is a design
goal and is not always achievable. Contractor will not be held responsible for a ponding water condition that results from a roof
structure that is not designed to achieve positive drainage as defined by the National Roofing Contractors Association (NRCA).
Owner is solely responsible for structural suitability of the building with respect to the specifications of the roofing system to be
applied pursuant to this proposal, including, but not limited to, load bearing capacity, dew point and vapor transmission
calculations. Contractor offers no opinion on, and expressly disclaims any responsibility for, the structural soundness of any roof
deck on which roofmg products may be applied. Opinions of structural engineers should be obtained by the Owner as to the
structural soundness of the roof deck and its ability to properly support the contemplated roof installation. The Contractor
accepts no liability for any failure of the roof deck, its ability to support the contemplated roof installation, or resultant damages.
Further, Owner shall be solely responsible for any damages to any furniture, FF&E or other contents of the building during the
performance of the work, except such damages as may be caused by the sole negligence of Contractor. Owner shall secure and
pay for necessary approvals, easements, assessments and charges (other than permits) required for construction, use or occupancy
of permanent structures or permanent changes in existing facilities. In the event Contractor hereafter discovers a hidden or
unknown defect or condition which increases the cost of completing the project, Owner and Contractor shall equitably adjust the
price to reimburse Contractor for the extra costs thereby incurred. Any changes or alterations from the plans or specifications
herein noted (including those which may be required by any government or municipality) shall constitute an additional cost to
Owner and shall be performed only upon written change order from the Owner.
Once Contractor commences the work provided herein, Owner shall not modify the scope of work or interrupt or otherwise
interfere with or stop Contractor. In the event Owner modifies the scope of work, interferes with, stops, or otherwise delays the
Contractor, the price shall be equitably increased by an amount sufficient to reimburse Contractor for any additional cost and
expenses thereby incurred. Owner agrees that the direction and supervision of the work force, including subcontractors and
suppliers, rest exclusively with Contractor, or its duly designated agent, and Owner agrees not to issue any instructions or to
otherwise interfere with same and be responsible for all associated damages and additional costs.
OWNER AND ITS INSURER HEREBY RELEASE AND WAIVE ANY AND ALL CLAIMS FOR INCIDENTAL OR
CONSEQUENTIAL DAMAGES ARISING FROM ANY CAUSE WHATSOEVER.
in the event that Contractor shall be delayed, hindered in or prevented from the performance of any act required hereunder by
reason of acts of God, tires, accidents, strikes, lockouts, labor troubles, permitting delays, inability to procure materials, failure of
power, restrictive governmental laws or regulations, riots, insurrection, the act, failure to act or default of the other party, war or

any other reason beyond Contractor's reasonable control, then performance of such act shall be extended for a period equivalent
to the period of such delay, or at the election of Contractor, if the delay is for a period longer than twenty days, Contractor may
cancel this agreement and receive from Owner the reasonable costs of labor and materials rendered to the date of cancellation.
Contractor agrees to carry such worker's compensation and liability insurance as it customarily maintains. Owner agrees to look
solely to Contractor's appropriate insurance carrier for all damages including those caused by Contractor's sole negligence.
Owner agrees to provide sufficient insurance to protect Contractor against loss of materials installed or located on the premises
due to fire, windstorm, hail or flood. Owner provided property insurance shall be an all-risk policy and shall insure against the
perils of fire and extended coverage and physical loss or damage including, theft, vandalism, malicious mischief, collapse, false

requirements. The insurance shall waive rights of subrogation, if any, against Contractor. Owner shall purchase and maintain
such insurance as will insure Owner against loss of use of Owner's property due to fire or other hazards, however caused, and
Owner waives all rights of action against Contractor for loss of use of Owner's property, including consequential damages. It is
understood by Owner that Contractor and its insurer will be held harmless for alleged or actual damages/claims because of mold,
mildew, algae or fungus.
These Terms and Conditions together with the attached proposal constitute the entire agreement. Modifications to this agreement
can be made only in writing signed by Contractor. Owner permitting performance of work indicates acceptance, without
exception, of this agreement, even if this agreement is not executed. All provisions of this agreement shall be construed in accord
with the laws of the state of Florida.

4. Provide and install crickets leading water to drains and scuppers.
5. Provide and install Stratavent Eliminator base sheet.
6. Provide and install cant strip around parapet wall with hot asphalt.
7. Provide and install 1 layer of Rubberoid 20 with hot asphalt.
8. Provide and pitch pans around penetrations requiring them.
9. Provide and install all lead stacks and vents on a bed of flashing cement fastened with 12 gauge
1'/: ring shank nails 4" o.c. Then sealed with flashing cement and 4" membrane.
10. Provide and install roof primer on all eave drips, L-Flashings, valleys, lead stacks, and vents.

11. Provide and install modified wall flashing with hot asphalt and termination bar sealed with roof
cement and membrane.
12. Provide and install 26-gauge galvanized stucco stop counter flashing fastened with I %* masonry
anchors 8° o.c. then sealed with a 60 white fabric and an elastomedc coating.
13. FINAL: Provide and install Mineral Cap --sheet with hot tar.
14. Engineer Calculations, Asbestos, and Moisture test if required will be included in job cost.
15. If asbestos is found the removal will be charged additional.

8) Any interruption in the work agreed upon in this contract which is not the fault of M. Romero Roofing & Inspections, or beyond the
control of the same wM be billed according to time and material lost
9) Work done, or attempted to be done an this roof by other than M Romero Roofing & Inspections, or their authorized agent, relieve the
warrantor from any further obligation hereunder. The Tiles, Sh€rrgles, or other roof cover, may vary or change due to manufactures
produce or weather exposure. No guarantee shall apply on this.
10) We do not guarantee against leakage due to: footwear, improper burMng or rock deck construction, fine, hag, tempest, hurricanes,
punctures made to roof by fastening or wire f xtim, the erection of any hatchway, penthouse, flagpole, pipe, support or brace
subsequent to completion of our work on your property.
11) This contract cam only that work which is specifically defineated herein and does not cover arty addbonal repairs which are found
necessary aftercommencement or work.
12) This guarantee is not transferable unless mentioned in above specifications
13) If this contact has to be collected through suit or on demand of any attorney, then the owner or owners agree to pay a reasonable
attorney fee together with interest and court costs.
14) M. Romero's Roofing & Inspections Inc. Is not responsible for any damages caused to interior or exterior of home by leakage once the
roofing project has been completed.
15) M. RomenYs Roofing & Inspections Inc. cannot be held responsible for any roofing nails that penetrate through the roof sheathing and
cause damage to any water, electrical, gas or AIC lines. Roofing malls must penetrate through sheathing YV according to the Florida
Building Code.
16) M. Romero's Roofing is not responsible for any interior eeft damaged during the process of roofing due to rotten or damaged roof

17) Customer shag be responsible for cost of any stucco work that needs to be done to property due to removal of wag flashing for
replacement of new flashing.
18) Roof proposal price is based on minimum standard roofing code. Any extra layer other than specified on contract will be charged at an
additional $0.35 a square feet.

19) Quoted price to be adjusted if there is no access far the loading of materials on to roof top with conveyer belt, or access for removal of
debris.
20) Additional charges may be applied for unforeseen conditions. Such as specialty lumber products (cedar, redwood, pine, tropical
hardwoods, cede/fir timber, etc.).
21) Customer shall be responsible for cost of any stucco work that needs to be done to property due to removal of wall flashing for

ARTICLE THREE: DESCRIPTION OF WORK
3.1 CONTRACTOR agrees to commence Work herein described upon notification by OWNER, and to perform and
complete such Work in accordance with Contract Documents. This shall include all work necessary or incidental to
complete the: See Schedule "A", the Scope of Work.
3.2 CONTRACTOR shall provide all necessary services, materials and labor necessary for the completion of the
Project including, but not limited to, all building and construction materials, requisite labor and all necessary tools and
machinery needed for Project completion.
3.3 CONTRACTOR shall not be liable any HVAC curbs or stands that must be retrofitted to meet the Florida
Building Code requirements.
ARTICLE FOUR: CONTRACT PRICE & TERMS OF PAYMENT
4.1 In consideration of the performance of this Contract, OWNER agrees to pay CONTRACTOR the sum of
S 102.750.00 on the following payment schedule for the services.
4.2 Any payment and/or fees associated with permit processing and public works permit issuance shall be charged
separately from Contract Price. Fees associated with the issuance of the Manufacturer's Warranty shall be paid by
CONTRACTOR.

OWNER desires to contract the services of the above CONTRACTOR, a duly established Florida Corporation, whose
representative is Mr. Santiago Gala authorized to sign and execute this Re -Roof Contract Agreement.

ARTICLE ONE:
1.1 The Contract Documents, taken together, shall constitute the entire agreement taken between the two parties
pertaining to the subject matter hereof and supersede all other agreements, understandings, negotiations, and discussions.

connection with the subject matter of the Contract Documents except as specifically set forth therein. The contract
documents consist of the following:

deletions are effective ONLY if documented on a Change order form or other amending agreement in writing and

1.2 Discrepancies or omissions to the Contract Documents, site conditions and any work requested in variance of the
Contract Documents are considered an extra to the Contract and are not included in the Contract Price. Any additional
work required due to site conditions not disclosed to CONTRACTOR, or which could not be reasonably anticipated, are
not included in the Contract Price and shall be an extra to the Contract Price.

ARTICLE TWO: WARRANTY
2.1 CONTRACTOR warrants its work against all deficiencies and defects in materials and/or workmanship and
agrees to satisfy same without extra cost to OWNER from the date of final inspection approval from corresponding
manufacturer according to:
(a) Twenty (20) year GAF Diamond Pledge NDL Warranty (sample warranty provided)
SCHEDULE "A" SCOPE OF WORK
CONTRACTOR will supply: Installation, all labor. equipment and materials for the complete GAF Everguard 60 mil
Fleece -back TPO Roof System and shall be done according to approved Manufacturer's Specifications, Florida Building
Codes, approved Miami Dade Notice of Acceptance and Miami Dade County Building Code regulations.
The work shall include but not necessarily be limited to the following:
Remove existing roofing membrane down to concrete deck
Install GAF EnergyGuard 1 /8" tapered ISO insulation boards fastened to concrete deck with Olybond LRF-O.
Install GAF Everguard 60 mil Fleeceback TPO membrane adhered with Olybond LRF-O.
Robotically heat weld all laps a minimum of 1.75"
Install TPO boots on all penetrations
Fabricate and install pitch pockets on all irregular penetrations using TPO coaled galvanized metal
Fill all pitch pockets with single pan pourable sealer
Install 60 ml TPO flashing up vertical wall with minimum of 9"
Install GAF Water -Block between TPO membrane and parapet wall
Mechanically fasten termination bar to flashing
Mechanically fasten stucco stop as per Florida building codes
Heat weld t-patches overall t-.joints
Apply sealant to all cut edges

ARTI CLE FIVE:
5.1 Both parties are expressly prohibited from assigning this Contract or any rights or interest flowing therefrom.
5.2 This contract contains the entire agreement and understanding between the CONTRACTOR and the OWNER and
supersedes any prior or contemporaneous written or oral Contracts, representations and warranties between them
respecting the subject matter of this Contract.
5.3 This Contract will be interpreted and enforced under the laws of the State of Florida, without regard to conflict of
laws.
