A Resolution of the joint meeting of City Commission and the Marshall
Williamson Building Condominium Association, Inc. removing directors and
electing new directors of the Association, removing officers and appointing
new officers and taking all action necessary to dissolve the declaration of
condominium and to dissolve the Marshall Williamson Building
Condominium Association, Inc.
WHEREAS, Marshall Williamson Building was originally owned by the South Miami
Community Redevelopment Agency under one folio number, and
WHEREAS, Marshall Williamson Building was partially used as a business incubator
and portions were leased to non -governmental entities; and
WHEREAS, Miami -Dade County property appraiser taxed the entire Marshall
Williamson Building even though the South Miami Community Redevelopment Agency was
using some of the Marshall Williamson Building for governmental services; and
WHEREAS, South Miami Community Redevelopment Agency converted the Marshall
Williamson Building to a condominium form of ownership to reduce taxation to only those units
leased to non governmental entities; and
WHEREAS, Marshall Williamson Building Condominium Association, Inc. was formed
in accordance with Chapter 718, Florida Statute and as required by statute for the conversion of
the Marshall Williamson Building into separate units of ownership known as Condominiums;
and
WHEREAS, the South Miami Community Redevelopment Agency transferred all its
ownership in the Marshall Williamson Building to the City on or about June 1, 2020; and
WHEREAS, the original officers and directors of the Marshall Williamson Building
Condominium Association, Inc. were made up of the members of the South Miami Community
Redevelopment Agency; and
WHEREAS, the South Miami Community Redevelopment Agency authority terminated
on or about June 1, 2020; and
WHEREAS, the City, as the sole owner of all of the condominium units in the Marshall
Williamson Building Condominium, desires to remove and elect a new board of directors to the
Association and the Association desires to remove and appoint new officers and both the City
and the Association desire to taking all action necessary to dissolve the declaration of
condominium and to dissolve the Marshall Williamson Building Condominium Association, Inc.

NOW THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSIONERS OF THE CITY OF SOUTH MIAMI, FLORIDA AND THE
MARSHALL WILLIAMSON BUILDING CONDOMINIUM ASSOCIATION, INC.:
Lection 1. The foregoing recitals are hereby ratified and confirmed as being true and
correct and are hereby made a specific part of this resolution upon adoption hereof.
Section 2. The City Commission, as the lawful representatives of the sole owner of the
property known as the Marshall Williamson Building at this its annual meeting and by a
unanimous vote hereby removes the current Board of Directors of the Marshall Williamson
Building Condominium Association, Inc. (Association) and elects Mayor Sally Philips, Vice
Mayor Bob Welsh, and Commissioners Walter Harris, and Luis Gil (Commissioner Liebman
declined the nomination to the board) to the board of directors of the Association to serve until the
next annual meeting, or until their successors are duly elected.
Section 3. The currently elected Board of Directors of the Marshall Williamson
Building Condominium Association, Inc. at this its annual meeting hereby removes the current
officers of the Association and appoints Shari Kamali as president, Nkenga A. Payne as secretary
and Alfredo Riverol as treasurer to serve until the next annual meeting, or until their successors
are duly elected.
Section 4. The City Commission and the Board of Directors of the Marshall
Williamson Building Condominium Association, Inc., by a unanimous vote of each governing
body, hereby jointly authorize and instruct their respective officers to do all things, and take all
action, necessary to dissolve or terminate the Declaration of Condominium, dissolve the
Association and terminate the condominium form of ownership of the Marshall Williamson
Building, cause the taxing authority to unite the property for tax purposes under one folio
number and to sign all documents, statements, notices, articles, plans, minutes, and resolutions of
whatsoever kind or nature, to effect, ratify, or confirm the dissolution of the Association and
termination of the Marshall Williamson Building Condominium (the "Condominium"), including
but not limited to: Notices, Minutes and Resolutions relating to winding up the affairs of the
Association, Articles of Dissolution of the Association, Plan of Termination of the
Condominium, Cancelling the existing Tax Folio Numbers for all condominium units and
reinstatement of the previous Folio Number assigned to the property which was submitted to,
and comprised, the Condominium, or the assignment of a new single Folio Number to the City
for the property; to transfer of all property owned by the Association or the Condominium to the
City; to take any and all steps, and to execute and deliver any and all instruments, in connection
with the carving out of the foregoing.
Section S. Corrections. Conforming language or technical scrivener -type corrections
may be made by the City Attorney for any conforming amendments to be incorporated into the
final resolution for signature.
Section 6 Severability. If any section clause, sentence, or phrase of this resolution is for
any reason held invalid or unconstitutional by a court of competent jurisdiction, the holding shall
not affect the validity of the remaining portions of this resolution.

Section 7. Effective Date. This resolution shall become effective immediately upon
adoption.
