Ord No 20-19-2333ORDINANCE NO. 2 0 -19 - 2 3 3 3 An Ordinance amending the City of South Miami Code of Ordinances, Chapter 2 Titled "ADMINISTRATION AND CITY GOVERNMENT", Article III titled "BOARDS AND COMMITTEES", to establish an Audit Committee. WHEREAS, section 218.391, Fla. Stat., requires the establishment of an audit committee to select an individual or firm to conduct the annual audit of the City's books and records WHEREAS, approximately every three years, the Finance Department adopts a resolution creating an audit committee to establish criteria, review and assist in the process of selecting an auditor, which is around the same time that the Finance Department goes out for solicitation of audit services; and WHEREAS, establishing a permanent audit committee would save time and avoid having to a resolution every three years; and WHEREAS, the City desires to amend Chapter 2, Article III, of the Code of Ordinances to establish an audit committee. NOW, THEREFORE, BE IT ORDAINED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA: Section 1. Chapter 2 Titled "ADMINISTRATION AND CITY GOVERNMENT", Article III, titled `BOARDS AND COMMITTEES", of the Code of Ordinances, City of South Miami, Florida, is hereby amended to add Section 2-26.13 which shall read as follows: Sec. 2-26.13. Audit Committee. Purpose. The pose of the committee is to establish criteria for, and review and assist in, the selection of an auditor. Qualifications, Number, and Appointment of Members. The Audit Committee shall consist of no less than two members who are residents of, or own property in, the City and who are appointed in accordance with the City Charter. M Term of members. The committee members shall serve for a twelve-month term, or until the City Commission enters into a contract with one of the recommended auditors, whichever date is sooner. Compensation and expenses. The committee members shall serve without compensation; however, the City will reimburse reasonable expenses that are incurred in the scope and course of Audit Committee's official duties. Meetings. Meetings of the Audit Committee shall be subject to the Florida Sunshine laws, including the public meeting law and the public records law. All meetings of the committee shall be advertised and open to the public. Quorum. Two members shall constitute a quorum and all action must be taken by an affirmative vote of two members, unless the Audit Committee is comprised of three or more members and in such event all action must be taken by an affirmative vote of a malty of the members. The Audit Committee shall: (a) Establish factors to use for the evaluation of audit services to be provided by a certified public accounting firm duly licensed under chapter 473 and qualified to conduct audits in accordance with government auditing standards as adopted by the Florida Board of Accountancy. Such factors shall include, but are not limited to, ability of personnel, experience, ability to furnish the required services, and such other factors as may be determined by the committee to be aaplicable to its particular requirements. (b) Publicly announce requests for proposals. Public announcements must include, at a minimum, a brief description of the audit and indicate how interested firms can, apply for consideration. (c)Provide interested firms with a request for proposal. The request for proposal shall include information on how proposals are to be evaluated and such other information the committee determines is necessary for the firm to prepare a proposal. (d) Evaluate proposals provided by qualified firms. If compensation is one of the factors established pursuant to paragraph (1), it shall not be the sole or predominant factor used to evaluate proposals. (e)Rank and make a recommendation, in order of preference, of no fewer than three firms deemed to be the most highly qualified to perform the required services after considering the factors established pursuant to paragraph (1). If fewer than three firms respond to the request for proposal, the Audit Committee shall recommend such firms as it deems to be the most highly qualified. (f) Present to the City Commission its recommendation of no fewer than three (3) auditors, if possible, no later than September 30th of the year an Auditing Firm is required to be procured. Section 2. Codification. The provisions of this ordinance shall become and be made a part of the Code of Ordinances of the City of South Miami as amended. Section 3. Severability. If any section, clause, sentence, or phrase of this ordinance is for any reason held invalid or unconstitutional by a court of competent jurisdiction, this holding shall not affect the validity of the remaining portions of this ordinance. Section 4. Ordinances in Conflict. All ordinances or parts of ordinances and all sections and parts of sections of ordinances in direct conflict herewith are hereby repealed. Section 5.
