Resolution No CRA 13-19-1101RESOLUTION NO. CRA 13 -19 -1 101 A resolution directing the City of South Miami Community Redevelopment Agency (SMCRA) Executive Director to negotiate a draft Purchase and Sale Agreement and Land Use Restriction Agreement with Ven-Cap Ventures, Corporation to construct a new affordable home on SMCRA property located at 6008 SW 66th Street and a new affordable home on SMCRA property located at 6016 SW 661h Street, authorizing the Executive Director to advertise the opportunity to purchase or otherwise receive the properties, as required by law, and take additional steps regarding disposing of the properties. WHEREAS, in 2001, the SMCRA Board approved CRA Resolution 29-01-78 which authorized the purchase of the properties located at 6008 SW 66th Street and 6010 SW 66th Street (Properties) using the SMCRA's Single Family Infill Program; and WHEREAS, the Agency received a proposal to purchase the Properties for $5,000.00 from a church adjacent to the Properties and a proposal that the Properties be conveyed to Ven-Cap Ventures, Corporation to develop two single-family homes for $10.00 and other consideration (which includes the proposer's construction of the homes); and WHEREAS, the Executive Director commissioned appraisals for the Properties and determined that the offer from the church was inadequate and additionally, does not meet the intended use for which the Properties were originally purchased; and WHEREAS, the Executive Director is requesting authority to negotiate a draft Purchase and Sale Agreement and Land Use Restriction Agreement for the Properties with Ven-Cap Ventures, Corporation subject to compliance with applicable provisions of Florida Statute Sections 163.370 and 163.380 (applicable law), which include provisions requiring advertising the contemplated conveyance of the Properties to allow interested persons or entities to submit proposals for the conveyance or other disposition of the Properties. NOW, THEREFORE, BE IT RESOLVED BY THE CITY OF SOUTH MIAMI COMMUNITY REDEVELOPMENT AGENCY THAT: Section 1. The above recitals are incorporated in this resolution. Section 2. The City of South Miami Community Redevelopment Agency (SMCRA) Board authorizes the Executive Director to: Resolution No. CRA 13-19-1101 /C�`_`Mt�7(J� Ventures, /o/pur'chlase the Properties, subject to review and approval of such draft agreements for form and legality by the SMCRA Attorney; and (b) advertise the proposed sale of the Properties to provide an opportunity for interested persons or entities to submit proposals requesting disposition of the Properties, as required by applicable law; and (c) receive and evaluate any additional proposals received regarding disposition of the Properties, as set forth in applicable law; and make a recommendation as to how the SMCRA should proceed; and (d) place the recommendation and any executable documents that would effectuate that recommendation, along with any other proposals for disposition of the Properties, on a SMCRA Board agenda for consideration by the SMCRA Board, in accordance with applicable law; and (e) take any and all additional steps necessary to accomplish the purposes of this resolution, including ordering any property title examinations in preparation for the contemplated conveyance of the Properties. BACKGROUND: In 2001, the SMCRA purchased the properties located at 6008 SW 66th Street and 6016 SW 66th Street by tax deed. These properties are each 1,625 sq. ft and located next to a church. The properties were purchased using the Single -Family Infill housing program of the SMCRA for the purpose of constructing single-family infill homes. Since 2001, the SMCRA has been maintaining the properties and holding the liability for the properties. We pay the carrying costs. At the March SMCRA meeting, the Executive Director alerted SMCRA Board Members that the Agency staff had been approached by multiple property developers to develop single-family homes there. Board Member Kelly expressed a desire to have the Agency offer the church an opportunity to purchase the properties, as those discussions progressed. On April 09, 2019, the church was sent a letter offering them an opportunity to make an offer on the properties. The church responded on April 24, 2019 with an offer to purchase the properties for $5,000. This purchase price was well below the appraised value of the property. On June 3'd, 2019, the Agency was presented with a proposal to convey the property to Ven-Cap Ventures for $10 and other considerations, including the construction of two affordable homes to be sold at a price of $200,000.00 or below on each of the subject lots for purchase by income qualified buyers. While the church has made an offer, the original purpose for purchasing the properties was to construct single-family affordable homes. The church will have an opportunity to present their best and final offer before a selection committee that will be convened as a part of the required conveyance process. For now, because the original purpose of the property purchase was for affordable housing and the church's offer was not market -rate or above market rate and not for the purpose of constructing affordable housing, staff would like to proceed with negotiations with Ven-Cap Ventures and follow the process of property disposition as indicated by Florida Statutes, which includes bringing other offers for the use of the property, any negotiated agreement with Ven-Cap Ventures, and a final recommendation to the SMCRA Board, in accordance with the procedures required by law. Lot 09-4025-029-0100 (existing 1,625 sq. ft. lot size/vacant lot) The transfer of the property shall take place at a date to be agreed upon between Ven-Cap Ventures, LLC. and South Miami Community Development Agency (SOMICRA) after the execution of this agreement with regards to the "SOMI Bungalow" project. PERMIT FEES: (a) The City of South Miami Community Redevelopment Agency agrees to pay a negotiated amount to assist in the payment of all City related Permit Fees for all structures developed by Ven-Cap Ventures, LLC. on the transferred properties. EXPEDITED PERMITS: (a) The City of South Miami Redevelopment Agency agrees to assist in obtaining expedited permits for the subject properties to be developed by Ven-Cap Ventures, LLC. on a maximum ninety (90) day permit schedule for all City permits required. X. RESPONSIBILITIES: (a) Ven-Cap Ventures will ensure that all products/services in regard to the planning, construction, development, and completion of the project are provided in accordance with the agreed upon timeframe, four hundred (400) days from closing date, and to a professional standard. (b) Ven-Cap Ventures, LLC. will not retain and rent the subject properties. (c) Sale of the property will be conducted by Ven-Cap Real Estate in compliance with the requested original sales price of $200,000 or less. The property will be conveyed to a purchaser who meets the requirements and is classified as a low -workforce income individual. XI. TIMELINE: (a) Timeline of the proposed residences to be provided once the terms of engagement agreement is executed. XIII. CONFIDENTIALITY: (a) In conducting this engagement, information acquired by us during the engagement is subject to strict confidentiality requirements. That information will not be disclosed by us to other parties except as required or allowed for by law, or with your express consent. XIV. PROFESSIONAL FEES: (a) Ven-Cap Ventures, LLC. will be responsible for all architecture, engineering, and construction services to be provided during the development of the project. XV. OTHER TERMS OF DRAFT: (a) Deed restriction for thirty years that would require any purchaser to be low -workforce income and that any sale meet the county's price for infill housing (currently $205,000). That number is subject to change, but only by the County Commission. This would take the form of a Land Use Restriction Agreement or covenant running with the land. (b) Ven-Cap Ventures would make available a report to the South Miami Community Redevelopment Agency regarding construction progress and the sale of the home on a monthly basis. We the South Miami COGIC propose to purchase from the City of South Miami CRA all right, title and interest of the City of South Miami CRA in and to the following property of Folio: 09-4025-029-0090, as well as the property of Folio: 09-4025-029-0100. 2.) We offer the City of South Miami CRA the sum of $5000 dollars to purchase the above properties. After extensive research on the upkeep and security of these properties, we have discovered and come to the conclusion that the upkeep of these properties has been an estimated 720 dollars yearly for the last 19 years, which comes to a subtotal of 12,240 dollars. We ask that the City of South Miami CRA take this into consideration along with our proposed amount, for the outright purchase of these properties to assist the South Miami COGIC to continue to serve the community through said properties. These are the programs that the South Miami COGIC have been using these properties to serve the community: • Distribution of Farm Share goods • Yearly feedings on holiday events a Sewing Love product distribution • Yearly back -to -school drives 17 We also would like for the City of South Miami CRA to recognize that due to the upgrade of the streets, as well as the installation of sidewalk crossings that parking for the community has been diminished and this is a threat to public safety as it can hinder the accessibility to the community for emergency assistance such as the Fire Department, Police Department, as well as the Emergency Services of a hospital.
