RESOLUTION NO.: 01 1-19 -1 5 2 8 3 A Resolution authorizing the City Manager to negotiate and to enter into a multi -year contract with South Miami United F.C., Inc. for the management of youth soccer program services at South Miami Park. WHEREAS, the city issued a Request for Proposal ("RFP") #PR2018-26 on Thursday, November 15, 2018 for interested parties to provide youth co-ed soccer program management services over a five (5) year term at South Miami Park, located at 4300 SW 58 Avenue, South Miami, FL 33143. The RFP was posted on the City's website, Demand Star and advertised in the Daily Business Review; and WHEREAS, The city received two (2) proposals that were evaluated by a Selection Committee ("The Committee") on Monday, January 7, 2019. The Committee was comprised of Quentin Pough (committee chairperson), Director of Parks and Recreation; Jaime Adams, Assistant Director of Parks and Recreation; and, Robert Mattes, Parks and Recreation Director of Village of Pinecrest. Based on the final scores and rankings summarized below, the Selection Committee is recommending South Miami United F.C., Inc ("SMUFC"). MEMBER SOUTH MIAMI UNITED F.C. June 3, 2019. The term of this agreement shall be for a period of three (3) consecutive years, commencing on the contract's initial effective date. BACKGROUND: The city issued a Request for Proposal ("RFP") #PR2018-26 on Thursday, November 15, 2018 for interested parties to provide youth co-ed soccer program management services over a five (5) year term at South Miami Park, located at 4300 SW 58 Avenue, South Miami, FL 33143. The awarded contractor is responsible for organizational and administrative duties including but not limited to registration of participants, being financially responsible and accountable, coaching and mentoring within the sport of soccer, purchasing equipment, uniforms and awards, providing a high level of customer service, as well as working in partnership with the City. Furthermore, the contractor shall offer and deliver a diverse youth soccer program, including recreational, competitive travel, summer camp, and training soccer services normally associated with the youth soccer industry. The existing agreement is almost at its conclusion and the City solicited new proposals for this service. The City received two (2) proposals that were evaluated by a Selection Committee ("the Committee") on Monday, January 7, 2019. The - Committee was comprised of Quentin Pough (committee chairperson), Director of Parks and Recreation; Jaime Adams, Assistant Director of Parks and Recreation; and, Robert Mattes, Parks and Recreation Director of Village of Pinecrest. There are approximately 400 participants enrolled in the soccer program, roughly 10-15% are residents. SMUFC has been a great community resource and partner for the City of South Miami. SMUFC has contributed significantly in the community by providing numerous recreation soccer scholarships and free 'kick -it' clinics to the City's afterschool program, winter, spring and summer camps. The Founder and President of South Miami United F.C., Inc. is a resident of the City. According to the City's Finance Department, the company has made payments in full and on time. Furthermore, there are no records of late payment or other outstanding demands. REVENUE: SMUFC has proposed to pay the City $42,000 in year 1, $44,000 in year 2, $46,305 in year 3, $48,620 in year 4, and $51,051 in year 5, totally $231,976 over a five (5) year term. The incumbent is currently paying the City $185,000 over a 5-year term. The new proposal fee represents an increase of approximately 28 percent over the next five (5) years. TERM: The City anticipates the start of this program to commence Monday, June 3, 2019. The term of this agreement shall be for a period of three (3) consecutive years, commencing on the contract's initial effective date. Prior to, or upon completion, of that initial term, the City shall have the option -to -renew the contract for two (2) additional one (1) year periods for a maximum total of five (5) years. The Option -to -Renew is at the discretion of the City Manager, and shall commence on the calendar date of the month immediately subsequent to the notice of award. This prerogative may be exercised only when such continuation is clearly in the best interest of the City. END OF SECTION 14 00 V- EXHIBIT No. I SCOPEo v gl Attachment A YOUTH SOCCER PROGRAM MANAGEMENT RFP #PR2018-XX PURPOSE The City of South is requesting proposals from parties gable of providing organized youth coed soccer program management services at South Miami Park. Youth soccer program management services entail organizational and administrative duties including but Rot limited to registration of participants, being financially responsible and accountable, coaching and mentoring within the sport of soccer, purchasing of equipment and uniforms, providing a high level of customer service, and working in partnership with the City, etc. SCOPE OF SERVICES The contractor shall provide a safe, high quality and customer -oriented operation with well - maintained equipment and experienced staff. The contractor must offer and deliver diverse youth coed soccer programs, including recreational, travel, summer camp, and training soccer services normally associated with the youth soccer Industry. The contractor shall be responsible for the operation, implementation, management and promotion of youth soccer in the City of South Miami at South Miami Park., hereinafter referred to as the Soccer Complex or Complex. SITE DESCRIPTION The City has identified the following parr site for this solicitation: South Miami Park, 4300 SW S8 Avenue, South Miami FL, 33143, hereinafter referred to as Downrite/South Miami Park and/or Soccer Complex. South Miami Park; has the geographic capacity and existing infrastructure (parking and limited utilities,) in close proximity or adjacent thereto. Site maps for the above facility are included as Scope of Seivicesy Exhibit 1, Attachment 4 "Site Maps A Location." The site is provided in as4s condition. The site consists of multiple existing multipurpose fields (7 to 9 fields) that will accommodate various levels of youth and adult soccer programs. At all times, a minimum of one soccer field 80 yards long and 60 yards wide shall be reserved for City residents. All information provided (such as site maps, surveys, etc.) is for information and reference purposes only; k is the Respondents responsibility to conduct due diligence and verify field conditions for accuracy prior to proposal submission. Park hours of operation are 9 AM to 8 PM Monday thm Sunday; park hours cannot extend beyond the listed hours of operation. All activities and occupation of the park and its parking lots shall cease at the dosing of the parks operating hours. RESPONSIBILITIES OF THE PARTIES Contractor Responsibilities: The Contractor shall: a) provide continuous, scheduled soccer programming at least six (6) days per week during each year of the term of this agreement, and b) provide the Parks and Recreation Director with a written program schedule three (3) weeks prior to each season, the dates of which shall be recommended by the Contractor and approved by the City Manager, and create soccer leagues, and c) schedule, coordinate, and manage requests from outside organizations to hold soccer games and tournaments at the Complex. However, the Contractor shall be entitled to be paid a fee to cover the Contractor's costs for scheduling and coordinating such requests. While the Contractor's fee for such events shall be set by the Contractor based on the costs incurred, the activity/event and fee must first be approved by the City in writing before the activity/event is approved and fees are charged. The City is not rewired to approve the activity and fees until the Contractor provides the City with evidence of the cost of such services to the satisfaction of the City. d) inform the Parks and Recreation Director or his/her designee a minimum of ten (10) business days in advance when the fields require painting or lining for upcoming games, tournament, etc. e) ensure that employees of the Contractor are distinctively uniformed so as to be distinguishable as the selected Contractor staff' and not City employees and ensure that all personnel and volunteers wear identification approved by the City and "must" be in a position to show this identification at the request of City of South Miami personnel. f) provide adequate lighting after sunset, sufficient drinking water for the Managed Soccer Program and portable toilets, at quantities and levels sufficient for patrons of the Soccer Complex. The costs of temporary lights, drinking water and all costs associated with the portable toilets, including their maintenance and disposal of waste, shall be at the Contractor's expense. g) maintain sufficient documentation to establish that soccer programs offered by the Contractor are open to the general public and all program fees are consistently and fairly applied for the proper and efficient management and operation of the Soccer Complex. (Exception: the Respondent may charge lower rates for City residents. Proof of residence must be kept an frle by the Contractor) h) maintain the Soccer Complex in a safe, clean, sanitary, and workable condition. i) provide a qualified. full-time on -site manager or designee who shall be available during normal business hours and be on call, at all times, for emergencies or other matters related to the Complex j) offer soccer programs to non -City and City residents who shall be hereinafter referred to as Participants. k) reserve, at all times, a minimum of one soccer field; 80 yards long and 60 yards wide; for City residents in a location that is easily accessible to them. 0 N turn off all temporary and permanent lights, if any, at or before 8.:00 p.m. The Contractor may erect temporary ligft on the fields designated for soccer, however, the Contractor may not connect to the City electric power or to install anything on the property including an electrical facility, such as a power pole, without written permission from the City. The Contractor shall be required to pay, in addition to all other payments owed to the City pursuant to this Agreement, for the cost of any lighting facility or electricity as may be provided or authorized by the City. All improvements made to the premises by the contractor shall become the property of the City upon termination of the contract m) secure all necessary permits and comply with applicable Miami -Dade County and City of South Miami code requirements. n) comply with Thor Guard Lightning Prediction System at South Miami Park. The purpose of the system is to warn park visitors that conditions are favorable for a lightning strike, and a horn will sound alerting people to dear the area. o) provide a minimum of seven (7) soccer scholarships designated for South Miami residents each soccer season that shall enable the recipients to participate in the soccer program free of charge. p) provide one (1) weekly training clinic or class to participants enrolled in the city's afterschool and summer camp programs. q) maintain sufficient documentation to establish that soccer programs offered by the Contractor are open to the general public and all program fees are consistently and fairly applied for the proper and efficient management and operation of the Soccer Complex r) prevent any and all of its personnel, including volunteers, from engaging in any related activities without having passed a background screening to the satisfaction of the City; and s) ensure that the Contractor, all of its personnel and anyone affiliated with the Contractor, including but not limited to its clients, and their family and friends, shall vacate the premises, including the parking lots, after the ending of the Park's operating hour each day. t) be solely responsible for all costs and/or expenses associated with, or as a result of its operation under this Agreement including but not limited to uniforms, equipment, goals, marketing tools, tournament fees, permits, certifications, etc. Provider will also assume the cost of any damages to City property. u) stipulate and certify that he/she is qualified to teach the course he/she is hired to teach, maintains the education and required licenses or permits necessary to teach the class and shall continue to maintain such licenses or permits during the tenure of this Agreement. v) obtain the Parks and Recreation Director's approval in writing for any promotional material. flyers, and posters advertising the program prior to its release. N w) comply with all of the requirements of the RFP. x) comply with the other requirements of this contract as set forth below. CWs Responsibilities The City shall: a) furnish existing City owned storage facilities at the Soccer Complex for the purpose of accommodating Contractor's operations. b) maintain the soccer fields, and associated grounds, Including mowing, line -trimming c) paint and line the soccer fields, up to two (2) times each month. All of the forgoing "checked documents" in paragraph I and 2 above are attached hereto and made a part hereof by reference. 3) Date of Commencement: YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR shall commence the performance of the Work under this Contract on a date to be 71 CIO specified in a Notice to Proceed, or Purchase Order, (hereinafter referred to as the "Work Commencement Date"). In any event, the term shall not exceed five years. Time is of the essence. 4) Primary Contacts: The Primary Contact Person in charge of administering this Contract on behalf of the CITY is the City Manager ("Manager"), assistant Manager, or the Manager's designee, who shall be designated in a writing signed by the Manager. The Primary Contact Person for YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR and hi her contact information is as follows: Street-Addr�ess 5) Scope of Services: The goods and/or services to be provided are as set forth in the "checked documents". 6) Compensation: The YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR's compensation for YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR's performance under the terms and provisions of this Contract (hereinafter referred to as the Contract Price) shall be as set forth in YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR's response to the CITY's written solicitation. T) Hours of Work In the event that this Contract requires the performance of services, It is presumed that the cost of performing the Work after regular working hours, and on Sunday and legal holidays, is included in the Contract Price. However, nothing contained herein shall authorize work on days and during hours that are otherwise prohibited by ordinance unless specifically authorized or instructed in writing by the City Manager, the Manager's assistant or designee. 8) Time Provisions: The term of this Contract shall commence on the Work Commencement Date and shall continue for Three (3) Yearsunless earlier terminated according to the Contract Documents. Notwithstanding the foregoing, this Contract may be extended by an additional Two (2) Year period if the extension is in writing and signed by the City Manager. An extension of the term of this Contract is at the CITY's sole and absolute discretion. In any event, and notwithstanding any other provision to the contrary in this Agreement, or any attachments thereto, this Agreement shall not exceed a total term of Five Consecutive Years, including any extensions thereto. 9) Termination: This Contract may be terminated without cause by the CITY. This provision supersedes and takes precedence over any contrary provisions for termination contained In the Contract Documents. 10) Applicable Law and Venue: Florida law shall apply to the interpretation and enforcement of this Contract Venue for all proceedings shall be In Miami -Dade County, Florida. II)Duties and Responsibilities: YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR shall comply with all applicable laws, ordinances, codes, rules, regulations, and health and safety standards of any governmental body having jurisdiction over any matter related to this Contract or the goods and/or services to be performed hereunder and shall commit no trespass on any private property in performing any of the work embraced by this Contract Each and every provision and/or clause required by law to be inserted in this Contract shall be deemed to be inserted herein and this Contract shall be read and enforced as though such provisions and/or clauses were included herein. 12) Change Orders: No additional Work or extras shall be done unless the same is duly authorized in writing and in advance of the work by appropriate action by the City Manager and in accordance with the Contract Documents. 13) Licenses and Certifications: Monitoring Contractor shall secure all necessary business and professional licenses at its sole expense prior to executing this Contract or commencing the Work FIN N c'M 14) Insurance, Indemnification & Bonding: YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR shall comply with the insurance, Indemnification and bonding requirements set forth in the Contract Documents. 15) Liquidated Damages: In the event that YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR shall fail to complete the Work within the time limit set forth in the Contract Documents, or the extended time limit agreed upon, in accordance with the procedure as more particularly set forth In the Contract Documents, liquidated damages shall be paid at the rate of S NIA per da until the Work Is completed. 6) Jury Trial Waiver. The parties waive their right to jury trial. 17) Entire Agreement, Modification, and Non -waiver. The Contract Documents constitute the entire agreement of the parties and supersedes any prior agreements, written or oral. The Contract Documents may not be modified or amended except in writing, signed by both parties hereto and if this Contract is required to be approved by the City Commission, all amendments thereto must be approved in the same manner and with the same formality as this Contract The Contract Documents, in general, and this paragraph, in particular, shall not be modified or amended by any acts or omissions of the parties. No failure to exercise and no delay in exercising any right, power or privilege shall operate as a waiver. No waiver of the Contract Documents, in whole or part, including the provisions of this paragraph, may be implied by any act or omission. 18) Public Records: YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR and all of its subcontractors are required to comply with the public records law (s.119.0701) while providing goods and/or services on behalf of the CITY and the YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR, under such conditions, shall incorporate this paragraph in all of its subcontracts for this Project and shall: (a) Keep and maintain public records required by the public agency to perform the service; (b) Upon request from the public agency's custodian of public records, provide the public agency with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided In this chapter or as otherwise provided by law; (c) Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the Contract term and following completion of the Contract If YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR does not transfer the records to the public agency; and (d) Upon completion of the Contract, transfer, at no cost, to the public agency all public records in possession of YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR or keep and maintain public records required by the public agency to perform the service. if YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR transfers all public records to the public agency upon completion of the Contract, YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR keeps and maintains public records upon completion of the Contract, YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR shall meet all applicable requirements for retaining public records. All records stored electronically must be provided to the public agency, upon request from the public agency's custodian of public records, In a format that is compatible with the information technology systems of the public agency. IF YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR HAS QUESTIONS REGARDING THE APPLICATION OF CHAPTER 119, FLORIDA STATUTES, TO THE YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR'S DUTY TO PROVIDE PUBLIC RECORDS RELATING TO THIS CONTRACT, CONTACT THE CUSTODIAN OF PUBLIC RECORDS AT 305-663-6340; E-mail: mmenendez@southmiamifl.gov; 6130 Sunset Drive, South Miami, FL .33143. 19) Background Screening. All personnel and volunteers that will provide any service with vulnerable persons, as defined in Section 435.02, Fla. Stat, involving the City or Its Agency in such related activity or who may have access to secure or sensitive areas of the City, must be in compliance with Level II Background Screening and fingerprinting requirements as per, Florida Statute Ch. 435 prior 73 CM M to the scheduled start of any employee or volunteer. YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR shall prevent any and all of its personnel, including volunteers, from engaging in any such related activities without having passed a background screening to the satisfaction of the City. A violation of this requirement shall constitute a substantial breach of this Contract. 20) Drug Free Workplace. YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR shall comply with the Drug Free Workplace policy set forth in the City of South Miami's Personnel Manual which is made a part of this Contract by reference. 21)Transfer and Assignment None of the work or services under this Contract shall be subcontracted or assigned without prior written consent from the CITY which may be denied without cause. 22) Non -Appropriation of Funds. In the event that no funds or insufficient funds are appropriated and budgeted or are otherwise unavailable in any fiscal period for payments due under this contract, then the City, upon written notice to YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR or its assignee of such occurrence, shall have the unqualified right to terminate the contract without any penalty or expense. No guarantee, warranty or representation is made that any particular project(s) will be awarded to any YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR. 23) Most Favored Public Entity. YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR represents that the prices charged to City in the proposal do not exceed existing prices to other customers for the same or substantially similar items or services for comparable quantities under similar terms, conditions, wages, benefits, insurance coverage and any other material cost factors. If YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR's prices decline, or should respondent, at any time during the term of a contract entered into with City, provide the same goods or services with the same comparable quantities under similar terms, conditions, wages, benefits, insurance coverage and any other material cost factors, YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR shall immediately extend the same prices to City. 24) Notices. All notices given or required under this Contract shall be deemed sufficient if sent by a method that provides written evidence of delivery, including e-mail and facsimile transmission and delivered to YOUTH SOCCER PROGRAM MANAGEMENT CONTRACTOR or his designated contact person. Return of mail, sent to the address contained herein for the parties or their contact persons, as not deliverable or for failure to claim the mail shall be deemed received on the date that the mail is returned to sender. 25) Indemnification. We strive to provide an environment where all participants and families will have a positive experience. My name is Robert Maseri and I'm the founder and President of the club. We incorporated SMUFC in 2014, in order to formally compete for the city's prior soccer bid. Previously, I've worked with South Miami United, Coral Estates Soccer Club and The Cushman School. As a South Miami resident, I firmly believe a well -run soccer program enhances the quality of life of our city, and makes it a more attractive place to live. Our soccer club offers two distinct paths for participants. First is recreational soccer, the entry point for young kids to play soccer for the first time. Children ages 4 through 10 will step onto the fields of South Miami Park to play the sport with their neighbors, classmates and friends. Coaches are usually parents. Here, the goal is for children to have fun, to exercise, to be a part of a team, and to develop fundamental soccer skills, will learning the rules of the game. Second is travel soccer, a more competitive program for players starting at around age 7. Travel soccer is geared for children who want to play the sport at a higher level. The training is more rigorous and tactical. Teams have licensed coaches, weekly training schedules, and they play in local leagues and travel to competitive tournaments around the state. With both the recreational and travel programs, South Miami United F.C. always strives to make sure our players, parents and families enjoy their experience being a part of our soccer club. Our teams are proud to play under the SMUFC badge, they strive for excellence on and off the field. Soccer is now the most popular youth sport in America, and girls and boys participate at equal levels. Our organization worked hard to provide a quality soccer program to the community. Among our very best decisions was to have Robert Maseri run the Recreational Soccer Program for SMU. During this time, our recreational program served hundreds of children in our fall and spring leagues, fielding up to 40 teams per season. Robert was liked and respected by everyone. He was the stabilizing force in our program. He was organized and delegated responsibility. He was instrumental in recruiting parents to participate and get involved when a team was without a coach. He stepped in to resolve conflicts when they arose, and he was always good at helping others see the full picture. Perhaps most important, Robert was excellent with the youth soccer players. In addition to being a knowledgeable student of the game, kids loved working with him because was funny, even-tempered, and his training was interesting and purposeful. This teaching knowledge extended to coaches too — as our recreational program had many first-time parent coaches, Robert led "coaches clinics" to provide new parents with a strong introduction to understand how to run and organize practices. I know Robert's current club South Miami United F.C. has brought continuity and consistency to soccer in South Miami. Those who don't know the backstory of soccer in South Miami from 2009 to 2013 don't realize how tumultuous it was, when four different organizations ran the soccer program in the span of five years. The city, although it had good intentions, made a few decisions where they prioritized money and politics above the needs of children and community. Robert Maser! and his leadership of South Miami United F.C. has served as a calming presence, and he runs a terrific soccer club. I admire his dedication and his hard work. Robert's love for the game, his skill as an administrator, and his unique talent in working with kids continue to make South Miami United F.C. a destination for young families who want their children to learn and develop in the sport of soccer. SMUFC offers youth soccer players an opportunity to enhance and develop their soccer skills and build important personal traits: including sportsmanship, team building and commitment. To achieve these goals, South Miami United F.C. (SMUFC) Program has a Committee consisting of: Executive Director, Technical Director, Coaching Curriculum Advisor, Recreational Program Director and Advisory Board. This committee has been established as a means to improve the overall functioning and communication of our Program. It also serves as a disciplinary committee for the Program and is in charge of selecting, evaluating and interviewing future SMUFC coaches, trainers and staff. The SMUFC Youth Soccer Program is affiliated and complies with the authority, rules and guidelines of the United States Youth Soccer Association (USYSA) and the Florida Youth Soccer Association (FYSA). LEAGUE BYLAWS We are currently participate in the following leagues: South Florida United Youth Soccer Association (SFUYSA) and the Miami -Dade Soccer League (MDSL). The SFUYSA and MDSL leagues are affiliated with the Florida Youth Soccer Association. All FYSA and USYSA rules will apply to these leagues. For more information regarding FYSA Bylaws see the link: http://www.fysa.com/about/ruies-and-bylaws/ SMUFC adheres to the US Youth Soccer Code of Conduct and FYSA Code of Ethics. These policies are included. Code of Conduct Policy (March 10, 2018) Section 101. Introduction, Purpose, and Applicability (a) The Code of Conduct Policy of US Youth Soccer establishes the ethical standards for governance and committee volunteers and staff of US Youth Soccer (collectively referred to as "Representatives") in addition to all members and participants within any and all sanctioned programs, events, activities and competitions. (b) The Code of Conduct Policy applies to all staff, volunteers, members and participants who are involved or engage with any sanctioned US Youth Soccer program, event, activity or competition. (c) The purposes of the Code of Conduct Policy is to provide evidence of US Youth Soccer's commitment to the lawful and ethical conduct of its Representatives, members and participants and to protect those who report violations of the Code of Conduct Policy consistent with US Youth Soccer's Whistleblower Policy. (d) The Code of Conduct Policy is intended to supplement but not replace any applicable state or federal laws governing behavior. (e) Representatives, members and participants must respect and comply with US Youth Soccerrules and regulations, observe high standards of conduct, and participate in establishing and maintaining such high standards. Section 102. Zero Tolerance (a) US Youth Soccer maintains a zero tolerance regarding abuse. (b) The US Youth Soccer Zero Tolerance for abuse extends to all representatives, members and participants in any and all US Youth Soccer sanctioned programs, events, activities and competitions. (c) US Youth Soccer requires every representative, coach and volunteer to assist in creating a safe environment for participants at and during any and all sanctioned US Youth Soccer programs, events, activities and competitions. Section 103. Prohibited Substances (a) US Youth Soccer prohibits the use and possession of illegal drugs, alcohol, or, in the case of minors, tobacco for any and all coaches and participants at any and all sanctioned programs, events, activities and competitions. Section 104. Prohibited Activities (a) US Youth Soccer prohibits nudity and any indecent exposure by any representative, member or participant at any sanctioned programs, events, activities and competitions. (b) US Youth Soccer prohibits any representative, member or participant from engaging in sexually oriented conversations what at any sanctioned programs, events, activities and competitions. This includes sharing information about one's own personal relationships, dating or sexual activities. (c) US Youth Soccer prohibits the possession of any sexually oriented materials to include magazines and videos while participating at any sanctioned program, event, activity and competition. Section 105. Physical Contact (a) While appropriate physical contact taking place in public where the contact is designed for the benefit of the athlete and does not meet an emotional or other need of an adult while also not having the potential of creating a physical or sexual intimacy is common within sport, US Youth Soccer prohibits representatives, members and participants from engaging in any other form of physical contact with and or between athletes. 1. An example of prohibited physical contact include a coach asking a minor athlete to sit in their lap or cuddling during training or while on an overnight trip. Section 106. Bullying (a) US Youth Soccer prohibits representatives, members and participants from engaging in any unwanted, aggressive behavior designed to intimidate or harm another through one's superior physical strength, access to embarrassing information, popularity or influence. Section 107. Harassment (a) US Youth Soccer prohibits representatives, members and participants from engaging in any activity designed to cause fear or humiliation, reflect discriminatory bias, offend or degrade through physical or non-physical actions towards any other representatives, members or participants at any sanctioned program, event, activity or competition. Section 108. Hazing (a) US Youth Soccer prohibits representatives, members and participants from engaging in any activity that could be defined as hazing at any sanctioned program, event, activity or competition. Section 109. Mandatory Reporting (a) US Youth Soccer requires all representatives, members and participants to immediately report any violations or suspected violations of the US Youth Soccer Code of Conduct Policy during any sanctioned programs, events, activities and competitions to a team official, sanctioned program, event, activity or competition official or US Youth Soccer representative. (b) US Youth Soccer takes any and all reports of inappropriate behavior or suspicions of abuse seriously. (c) US Youth Soccer complies with all laws requiring a person to make a report to appropriate law enforcement agencies and requires all representatives, members and participants to either notify an official as indicated in Section 109. a. or report directly to law enforcement authorities. cM FYSA CODE OF ETHICS Coaches/Volunteers • 1 will never place the value of winning before the safety and welfare of all players. • 1 will always show respect for players, other coaches, and game officials. • 1 will lead by example, demonstrating fair play and sportsmanship at all times. • 1 will demonstrate knowledge of the rules of the game, and teach these rules to my players. • I will never use abusive or insulting language. I will treat everyone with dignity. • 1 will not tolerate inappropriate behavior, regardless of the situation. • 1 will not allow the use of anabolic agents or stimulants, drugs, tobacco, or alcohol by any of my players. • 1 will never knowingly jeopardize the eligibility and participation of a student -athlete. • Youth have a greater need for example than criticism. I will be the primary soccer role model. • 1 will at all times conduct myself in a positive manner. • Coaching is motivating players to produce their best effort, inspiring players to learn, and encouraging players to be winners. • My actions on sidelines during games shall be in the spirit of "good sportsmanship" at all times. Profanity, profane gestures, arguing, inciting disruptive behavior by spectators and/or players, or any conduct not in the spirit of good sportsmanship, shall require disciplinary action from the affiliate. • 1 shall not possess, consume or distribute before, during or after any game or at any other time at the field and/or game complex alcohol, tobacco, illegal drugs or unauthorized prescription drugs. • 1 will refrain from any activity or conduct that may be detrimental or reflect adversely upon FYSA, its members or its programs. • 1 will accurately and completely complete the coach/volunteer application form and by application attest to the accuracy of the information submitted. Players • I will encourage good sportsmanship from fellow players, coaches, officials and parents at all times. • 1 will remember that soccer is an opportunity to learn and have fun. • 1 deserve to play in an environment that is free of drugs, tobacco, and alcohol; and expect everyone to refrain from their use at all soccer games. • 1 will do the best I can each day, remembering that all players have talents and weaknesses the same as 1 do. • 1 will treat my coaches, other players and coaches, game officials, other administrators, and fans with respect at all times; regardless of race, sex, creed, or abilities, and I will expect to be treated accordingly. • 1 will concentrate on playing soccer. Always giving my best effort. • 1 will play by the rules at all times. • 1 will at all times control my temper, resisting the temptation of retaliation. 1 will always exercise self-control. • My conduct during competition towards play of the game and all officials shall be in accordance with appropriate behavior and in accordance with FIFA's "Laws of the Game," and in adherence to FYSA rules. Failure to comply may result in the suspension of your privilege to participate in FYSA sanctioned events, for the following periods: ist offense — suspension for a minimum of thirty (30) days to a maximum of five (S) years. 2Rd offense — suspension for a minimum of one (1) year to a maximum of ten (10) years. 31d offense — suspension for a minimum of five (5) years to a maximum of fifty (SO) years. NOTE: Any individual charged with a violation of this Code of Ethics shall be afforded due process as defined in FYSA's Rule Section 600 before the implementation of any suspension. South Miami United F.C. —Written Narrative Annual Programming provided by South Miami United F.C. includes a variety of leagues, camps, training and clinics throughout the year. The programming serves children of all ages and abilities, regardless of their ability to pay. Clinics are provided to South Miami residents who have never played soccer. Recreational soccer is offered for children who want to play soccer in an organized league. Travel soccer is a higher -level program with more rigorous training and competitive league play. A full range of training complements these different levels of participation. Here are the different programs, leagues and affiliations that South Miami United F.0 is involved in: RECREATIONAL LEAGUES / AGES 4-12 To achieve its goals of providing a safe and fun environment where kids can learn the sport of soccer in a positive atmosphere, SMUFC offers the recreational league twice yearly. This league is available to boys and girls of all ages and abilities. • U4-U6-U8-U10-U12 • Rec League on focused on core skill building and game play in a fun learning environment. • Registration is online at www.smufc.net • Fall league runs September through December / Spring league runs February through May. o Teams practice Monday thru Friday —Practice is twice a week o Games are played on Saturdays and occasionally on Friday evenings o $235 Includes uniform and participation medal. • Payments maybe submitted via check, cash, credit card online or Venmo. One of the tenets of the Recreational Program is equal playing time FOR ALL PLAYERS. To help accomplish this goal, coaches, managers, and parents are advised of this basic principal and everyone is encouraged to abide by the spirit of this rule. Scores are not kept in the recreational league in order to foster a less competitive environment, and there are no playoffs. This encourages coaches to play players equally and focus on the development of the players rather than just coaching to win. All participants in the Recreational Program receive a participation medal. All recreational schedules are posted online and in each team chat. SMUFC will provide a balanced season of play with all teams in the age division. Schedule changes will be allowed to accommodate for other activities and commitments, with time set aside for re -scheduled games. COMPETITIVE TRAVEL TEAMS With competitive teams ranging from U8 Future Stars to U18 Boys & Girls, South Miami United F.C. has established itself in the South Florida Youth Soccer Community. This program is designed for soccer players with advanced abilities who want to play the game at a competitive level. • Ages U7-U38 • Try -outs annually the first week of June. • Teams are set to practice August thru the end of May. • Teams practice Monday thru Friday — Practice is 3 or 4 times a week. • Games are played on Saturdays and/or Sundays. • Competitive teams are created to conform and play within the various guidelines of United States Soccer Association: 7 V 7, 9 V 9 or 11 V 11. o U7-U8 Future Stars: Play 7 v 7, with 12 players per team. o U9-U10: Play 7 v 7 with 12 players per team. o U11-U12: Play 9 v 9 with 14 players per team. o U13-U18: Play 11 v 11 with 16-18 players per team. Although the emphasis of training sessions varies according to age level and skill level, all players will be trained in these areas appropriate to their age and skill level. SMUFC Players are encouraged and challenged to exceed their own abilities in an environment of positive reinforcement. INC NOTES TO FINANCIAL STATEMENTS FOR THE YEAR ENDED DECEMEBER 31, 2017 1. Nature of Business and Summary of Significant Accounting Policies A. Nature of Business South Miami United F.C. Inc ("SMUFC") was incorporated in Florida on February 17. 2014. SMUFC operates a youth soccer program in South Miami, Florida. SMUFC offers a recreational program, a competitive travel program, and a training program. B. Use of Estimates The preparation of financial statements in conformity with accounting principles generally accepted in the United States of America requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosures of contingent assets and liabilities at the date of the consolidated financial statements and the reported amounts of revenues and expenses during the reporting period. Accordingly, actual results could differ from those estimates. There were significant estimates required for these financial statements. C. Cash Equivalents Cash equivalents was comprised of a bank demand deposit account balance maintained at a high credit quality financial institution. The balance was covered by the Federal Deposit Insurance Corporation (FDIC) insurance limit. D. Revenue Recognition SMUFC offers three soccer programs, a recreational program, a competitive travel program, and a training program. Each program requires a registration fee. Additional monthly fees are required if players elect personal training sessions. All fees are recognized as revenue when received. Since most programs are started and completed within the fiscal year, revenues recognized are generally earned during the year. If a program is cancelled, which is rare, the fees received are refunded by SMUFC, as applicable. Any unrefunded fees at the balance sheet date are reported as a liability. E. Subsequent Events SMUFC evaluated subsequent events through December 17, 2018, the date the financial statements were available to be issued and determined that no adjustments and/or additional disclosures were needed. 511 CD M T- SOUTH MIAMI UNITED F.C.
