Res No 169-18-15202RESOLUTION NO. 169-18-15202 A Resolution concerning a Public Private Partnership and authorizing the City Manager to enter into negotiations for a Comprehensive Agreement concerning the construction of a new City Hall and Police Station. WHEREAS, on November 8, 2016, the City's electorate were asked the following question: "Should the City use the value of the existing Library and/or City Hall and Police Station property to fully fund, at no cost to the taxpayer, the construction of an environmentally sound and more efficient City Hall, Police Station and/or Library and other possible improvements to the City, such as sewer connection for residences in low-lying neighborhoods currently on septic tanks, park improvements or tax reduction?" WHEREAS, on November 8, 2016, the electorate for the City of South Miami answer the aforementioned ballot question as follows: 72.24% Yes, and 27.76% No. WHEREAS, on September 26, 2017, the City of South Miami received an unsolicited public private partnership proposal from Oxford Group Holdings, LLC ("Oxford") to build a new City Hall and Police Station; and WHEREAS, the City hired consultants to review and evaluate the unsolicited proposal to determine if the project met the requirements of the City's public private partnership ordinance and guidelines as well as the statutory requirements; and WHEREAS, the City's consultants opined that Oxford's unsolicited proposal met the critcria for a qualified project; and WHEREAS, the City advertised a Notice of Intent to enter into a Comprehensive Agreement to build a new City Hall and Police Station pursuant to Florida Statute, Section 255.065, the Public Private Partnership Act, stating that the City had received an unsolicited proposal and that it would accept other proposals for the same project; and WHEREAS, the City received a second proposal which was submitted by Lynx Companies LLC ("Lynx"), a copy of which is attached to this resolution; and WHEREAS, the City formcd a Selection Committee and hired additional consultants to evaluatc the two proposals; and WHEREAS, the Selection Committee held several public meetings with the proposers and the consultants in order to obtained additional information, to receive evaluations from the consultants and, ultimately, to score and rank the two proposal; and Page 1 of 2 K e ~ 0 l\l U 0 I O::J - ; 0 -I :::> L, v L, WHEREAS, the Selection Committee gave the highest score to Lynx and the Lynx proposal; and WHEREAS, the next step in the statutory and City process is to negotiate a Comprehensive Agreement with Lynx; and WHEREAS, the City Attorney has been in contact with law finns that specialize in the negotiation of Comprehensive Agreements and he has been advised that it is not unusual for the private partner in a public private partnership to pay for the City's costs, including legal fees, incurred in the negotiation of a Comprehensive Agreement; and WHEREAS, in order negotiate the payment of the cost of the City's legal representation, it is important for the City Commission to give its approval for the proposed project and to authorize the City Manager to commence the negotiations of the Comprehensive Agreement. NOW THERKFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSIONERS OF THE CITY OF SOUTH MIAMI, FLORIDA: Section 1. The recitals set forth herein above are found to be true and they are adopted herein by reference as if they had been set forth in full. Section 2. The Lynx proposal that is attached to this resolution is approved for the purposes of negotiating a Comprehensive Agreement, the latter of which must be approved by a super majority of the City Commission. Section 3. Severability. If any section clause, sentence, or phrase of this resolution is for any reason held invalid or unconstitutional by a court of competent jurisdiction, the holding shall not affect the validity of the remaining portions of this resolution. The City of South Miami is known as the “City of Pleasant Living”. It combines the best features of the less urban “old South Florida” life style with its central location and connection to the major transportation corridors of the Miami-Dade area. Living in the City of South Miami affords its residents access to the best medical, retail, educational and recreational op portunities within minutes of their homes. Future development must preserve and enhance these features and provide opportunities for modernization of City facilities, reasonable growth, and increased revenues for its residents. Lynx recognizes the importance of sensitive and careful planning of development and will work tirelessly in partnership with the City to maximize the benefits to the City. i. Nature of the Proposed Project and the public benefits to be gained thereby. Our company conducted considerable due diligence within the City of South Miami community with the intent of garnering a better understanding of the overall needs of the City and how they can best be satisfied. With that in mind, we have offered this overall Public Private Partnership pro posal that we believe will benefit the City by addressing many of its current and, in our estimation, pressing needs. What clearly came to the forefront during our study period and provided us with the impetus for our proposal, are the following overriding elements:  Need for New Facilities: The City has some public facilities that have become outdated and are located on properties too valuable for their current use, including City Hall and the Police Station. Our plan addresses the replacement and upgrade of these facilities while placing them in locations more fit for the current and future needs of the City.  Provide a smooth transition of the City operations from the existing buildings into the new facilities/buildings. Our proposal will allow the City facilities to remain in their existing locations 4 FL: CGC1518484 FL: CMC1250004 45 Almeria Avenue | Coral Gables, Florida 33134 O: 305.523.6730| F: 888.499.1748 | LynxCompanies.com Page 2 of 61 City of South Miami UP no. 2018-01 until new facilities are built, without a single day of disruption to the operations of City Hall or the Police Department, throughout the implementation of this project.  Shortage of Housing: There is a tremendous need for Housing in the City, but there is very little land available to address this need. An objective in the City’s comprehensive plan states that the city “Shall support public and private efforts to provide at least 100 additional hous ing units, and aspire to the creation of 200 additional units, by 2015”. These estimates, factoring in the growth in the Greater Miami area, are extremely conservative. Our extensive research indicates there is a great need for housing in the community. Our Proposal addresses this need while maximizing the positive effects on the community.  Traffic Issues: Our proposed development takes into consideration minimizing the impact of traffic on the daily lives of the citizens in the community. Therefore, th is proposal does not recommend that the City Hall site be redeveloped to a high traffic demanding purpose such as medical facilities. Our Public Private Partnership strongly considers this issue by proposing housing products that will minimize the impact on traffic flow. Further, the plan considers locations that are accessible to public transportation, promoting overall responsible living and habits.  Implementing Efficient Use of Land: A key component of the Public Private Partnership Proposal is an effective utilization of City owned land in order to avoid burdening the taxpayers with additional costs.  Preserving History and Public Spaces: It is imperative that we protect our community’s history and preserve our public spaces. Our Public Private Partnership is extremely sensitive to this issue and, as a matter of fact, enhances these elements in a thoughtful and significant way. We plan to preserve the City’s only historic structure, the Sylva Martin Building, by keeping it in place and incorporating it into the new development and remodeling it for Community purposes.  Enhance Green Space and recreational opportunity: Provide upgrades and redevelopment to the “Underline” linear park beneath the Metrorail from the intersection of US -1 and Sunset Drive to the edge of right of way at the intersection of SW 62 Ave.  Creating New Jobs: Our proposal will undoubtedly create jobs for many members of the community, not only during the construction phase but also on a sustainable and ongoing basis.  Adding City Revenues: A conservative estimate of the City’s increase in tax revenues exceeds $1,000,000 per year as a direct result of this proposed development. Our proposal, detailed in the following sections, addresses these needs while maintaining an approach that limits negative impacts to the City. We have assembled an excellent team, each among the best in their field, to address the needs of the proposed project. ii. Private Entities who will be directly involved in the Proposed Project. WHO IS LYNX? Lynx is led by Dr. Wasim Shomar who earned a Ph. D. in Elect rical Engineering and two graduate Post- Doctoral degrees from University of Miami. He is the inventor of the technology behind digital phone systems and other well-known products. In industry, he distinguished himself quickly and rose to become the youngest head of a division of IBM. With the world of choices in front of him he chose public service over corporate success and pursued a career in public Higher Education. He started as faculty and in a few short years became the youngest College President in the United States. He served first as the President of Miami Dade College Wolfson Campus and then as the President of Miami Dade College Kendall and Homestead Campuses. The Kendall campus is the largest college by student count in the country. He was responsible for leading a 1000 person faculty. His work included not just education and innovation but also real estate development including the “Emerging Technology Center of the Americas”, the planning of the acquisition and conversion of the “Freedom Tower”, expansion of Homestead Campus and many others. As President he also managed and sponsored community activities, such as the Book Fair, Miami Film Festival, Grand Prix of Miami, Asian Festival and many others. His leadership at the College impacted the lives of almost every person in Miami Dade County. From the time he graduated from the University of Miami he has been deeply involved in developing opportunities for children, the community and the performing arts in Greater Miami. Dr. Shomar currently serves as a leader or member of many important Boards including the Mayor’s International Council, Miami History Museum, FIU Foundation Board, One Miami Foundation, Miami Music Project and Make-a-Wish Foundation. Dr. Shomar was instrumental with a group of likeminded community Leaders in the preservation and historical designation of St. Jude’s Catholic Church in the City of Miami. He overcame development interests which would have destroyed the unique archit ectural heritage of that building and site. Because of his efforts it will remain an iconic and beautiful component of Brickell Drive which is one of the most historically significant streets in Miami. Another important initiative being championed by Dr. Shomar is the Make-A-Wish Foundation’s “Wish- House”. Overview of the Proposed Project Lynx proposes to make a direct purchase for cash and services of the land and buildings currently occupied by the City of South Miami City Hall, the City of South Miami Police Station and other properties listed herein or as may be determined in the Final Comprehensive Agreement (FCA). Lynx will preserve the Sylva Martin Building in place and integrate it into a new Civic Complex un der the ownership of the City and build a new Police Station on the “Old Inspection Station” site. In addition Lynx will provide the City the option of combining the Public Library into the new City Hall building. The City Hall Property is generally bounded by the Metrorail “Underline”, SW 61 CT, Sunset Drive and the existing Library property. (Folio 09-4036-000-0030) Lynx proposes to provide services including the design, construction and turn-over of ownership of the new City Hall/Civic Center and Police Station buildings and the preservation IN-PLACE of the historic portion of the Sylva Martin Building. In addition Lynx proposes to develop other improvements on the 6130 Sunset parcel as stated below and provide other services as may be agreed in the FCA. Seamless and flexible transition In order to provide for a seamless and flexible transition for the City from the old facilities to t he new, Lynx will allow the Police Station and City Hall facilities to remain operating in their existing locations until new facilities are built for up to three years, rent free. “The City may remain in its existing location, until the new facilities are built, rent free at no extra cost and with no penalties.” This will allow City services to continue without a single day of disruption to the operations of City Hall or the Police Department at no added cost to the City. The estimated rental savings i f the City stays at the current property for the full three years will be approximately $2.5 Million (this estimate is based on $29/SF per year, escalating by 3% annually). PLANNED FEATURES OF NEW DEVELOPMENT ON 6130 SUNSET PARCEL: o Build new 30,000 SF City Hall on the most prominent and valuable Northwest corner of the 6130 Sunset Drive location with 90 dedicated parking spaces in new parking garage o Preserve in Place and incorporate the historic portion of the Sylva Martin Building as a feature of the Urban Plaza adjacent to the new City Hall on the 6130 Sunset Drive site. o Move the Police Station to the new location on the “Old Inspection Station” site. Lynx proposes to redevelop the site consistent with current zoning but also assumes qualifying for bonuses that will result from our design to be able to achieve a development, 8 stories in height at that location. o Assisted Living Facility containing 154 beds on the 6130 Sunset parcel o Approximately 312 multi-family units and approximately 7,500 SF of retail space on the 6130 Sunset parcel to serve the needs of the City. o Parking facility with 725 parking spaces and 14 on street spaces that will be sufficient to serve the City and the development. Up to 90 spaces will be dedicated to the exclusive use of the City. o LEED Silver o Environment friendly - Incorporate Solar photovoltaic panels and wind energy if appropriate on roof o Utilize Green roof technology and vertical landscaping where possible o Pedestrian friendly with landscaped sidewalks and plaza o Retail/commercial space to serve new residents and encourage pedestrian access to reduce traffic o Enhancements to the Underline creating a pedestrian corridor to the Metrorail and recreational opportunities o Streetscape enhancements to create shade and improved environment adding to the “Pleasant Living” aspects of the City ii. Lynx Design Concept: Lynx has created a design concept that addresses the issues described in our executive summary (Tab 1) and enriches the environment around the buildings and the sites currently planned for the new City buildings as well as for the new development. It is considerate of the “City of Pleasant Living”. Our proposal will re-energize both the CRA and the 6130 Sunset Parcel through new environmentally friendly development, increased parking, improved sense of security, enhanced streetscape and increased utilization of the Metro Rail and Post Office facilities proximate to the proposed City Hall and Police Station locations. We have included design concept renderings and a concept site plan and elevations that collectively illustrate the location, size, and context of the Proposed Project, see TAB 8. We have created preliminary building designs that will fit into the surrounding landscape enhancing both beauty and function. These will provide a basis to work cooperatively with the City and the CRA to develop final designs. This combined with the improvement of the “Underline” will provide pedestrians, bicyclists and citizens a path connecting mass transit, the new developments and City functions. These will also enhance recreational and business opportunities for residents. Our concept is sensitive to the need to manage traffic therefore it is based on a primarily residential use of the 6130 Sunset Parcel while keeping the civic functions on the most valuable and prominent corner of the property. This will relieve the traffic during the busy 9 to 5 business hours while encouraging residents to use public transportation to commute and access local retail services on foot. Lynx places great value on our history and significant buildings, we plan to preserve the Sylva Martin Building (SMB) in its historic context by keeping it in its existing location. The historic portion of the Sylva Martin Building will be renovated and enhanced for public purposes including community space, museum, gallery or other use determined by the City. It will be an important public component of the new Plaza planned adjacent to both the historic building and the new City Hall building. The City of South Miami will maintain control, ownership and management of the SMB. Lynx is offering the option of incorporating the Public Library into the new City Hall building. This will create an additional opportunity for the City to maximize the value of its land and the services to i ts citizens. If co-located with the City Hall access and security for library patrons will be increased and the foot traffic will contribute to the lively and inviting environment in the plaza. It will also free the City to consider other development opportunities for the high value Library site. By placing the location of the Police Station north of Sunset Drive we have relieved traffic and opened multiple paths to access those services. The Old Inspection Station site is easily approachable from all directions which will facilitate public access and rapid police response in contrast to the Police Station at the current Sunset Drive location which is difficult to access since it is blocked in by the Metrorail and the heavy traffic on Sunset drive. This will be very important tool to facilitate improved response time by the police and easier access to vital City services by the Public. iii. Preliminary Programming of Space: Lynx has developed a preliminary summary of the space allocations and programming for the new City facilities, including the mix of uses, square footage(s) and exclusive parking allocations for City as described below. See also Table 1 and Table 2 in TAB 8 for space programming concepts and the Renderings. Our concepts incorporate high-end finishes, generous design criteria and high quality construction. The tables contain ample unallocated space and sufficient core and circulation space to allow the City maximum creativity in the final decision. The result will be City facilities that will have lasting value and appeal. The concept includes high-end finishes, high quality construction, generous design criteria and LEED principles. It will be located on most prominent corner of the City owned parcel at the Northwest point of the 6130 SW 72nd street site. The new facilities will be configured to create an enhanced streetscape and urban plaza. The plaza will feature the preserved and remodeled Sylva Martin Building. The combined Civic Center will draw residents into the area and improve the value of surrounding properties. The new City Hall building will be located to allow a smooth flow of City functions. It will be provided covered access to parking exclusively for the use of the City. This will provide sufficient parking to serve the residents and the employees who visit the site, and protect the neighborhood from overflow parking and disruption. SYLVA MARTIN BUILDING Our Plan is to preserve the Sylva Martin Building in p lace, adjacent to the new City Hall and associated plaza. This will maintain its historic context and prominence as a landm ark associated with the City’s Civic C enter. Alternate - move the Sylva Martin Building Moving the building will remove it from its historic context and diminish its significance as a landmark of the City’s Civic Center. For this reason, Lynx recommends incorporating it into the new City Civic Center and the planned urban plaza. If the City prefers to move the Sylva Martin Building our detailed plan for the relocation of the Building is outlined below:  Lynx proposes to move the building to the nearby Jean Willis Park or other location as the City may deem appropriate.  The design and relocation process will start at real-estate closing or in coordination with the City’s plans to vacate the site.  Lynx will develop construction documents and obtain permits.  Lynx is already in contact with expert building movers and has obtained proposals.  Lynx will work closely with the City to develop an excellent plan for the relocation of the building and its remodeling.  The Building will be installed on a new foundation, remodeled and hooked to utilities.  Lynx will contract directly with the service providers required to perform the move at our full cost and expense.  Lynx will prepare the Building for movement including jacking, shoring, and demo of the non- historic addition.  Lynx will construct a new foundation at the new location.  Lynx will move the building, install on the new foundation.  Lynx will remodel interior to meet current code. 26 FL: CGC1518484 FL: CMC1250004 45 Almeria Avenue | Coral Gables, Florida 33134 O: 305.523.6730| F: 888.499.1748 | LynxCompanies.com Page 24 of 61 City of South Miami UP no. 2018-01  Lynx will reinstall and restore columns and exterior features.  Lynx will connect utilities.  Lynx will preserve or move any affected trees.  Lynx will restore the original site and the new site and re-landscape as necessary.  If the City insists on moving the Sylva Martin Building the cost of the relocation will be absorbed as part of the overall development cost. Lynx will move it free of charge to the City and provide the same amount for preservation and remodeling ($200,000) as planned if it is kept in place. NEW POLICE STATION The new Police Station shall be a new and separate 25,500 SF police headquarters building with adjacent parking garage and an urban parking plaza with 70 vehicle parking spaces, (see Tab 8 Table 2). The new Police Station will front on 70 St and be integrated into 5890 SW 69th St (Old Inspection Station site) with the concept of separating the high security functions from the public while further enhancing the streetscape and environment surrounding the building. PROJECT ALLOWANCE FOR FF&E Furthermore, Lynx has included an allowance of up to $800,000 in the combined project budget of the City buildings for use by the City for the purchase of Furniture Fixtures & Equipment suitable for the new Police Station and new City Hall Buildings. Lynx will facilitate the purchase and installation of this FF&E as part of the design, construction and turnover of ownership of the buildings. Both new buildings will accommodate all current needs of the City as well as all foreseeable future needs. FLEXIBILITY OF DESIGN Space and Resource Allocation Our proposal provides the City the right to modify the space and resource allocation s listed above and detailed in Option A under Tab 5. The City can reduce or increase the space assigned to the new Police Station and new City Hall. It may re-assign all or a portion of the funds allocated to the Buildings, Underline, Streetscapes and other proposal items. Savings that may result from reducing the space and amenities offered can be paid in cash or delivered in the form of other improvements and services. Library relocation Under the Flexibility in Structure provisions of the City’s procedures Lynx can incorporate space in the proposed new City Hall building to house the Miami Dade County Public Library which now encumbers a high value piece of adjacent City land. This is further described in section v. below. iv. Lynx has made efforts to remove any incompatibilities between the Proposed Project and any other existing, planned or contemplated public facility within the City. NEW RESIDENTIAL AND CITY HALL COMPLEX Lynx has chosen a design concept taking into account development options and locations adjacent to and in the area of the 6130 Sunset Drive location. The proposed new apartment buildings, ALF, garage and City buildings will be scaled to match the existing development in the adjacent properties both in terms of height and density. Our choice of residential and ALF reduces the traffic that would come from other types of development such as medical services. In addition, special attention has been given to preserving the traditional sense of location of the City Hall and the Sylva Martin Building and minimizing the impact on local traffic and congestion. We believe the location of the City Hall on the most prominent corner of the “6130” property and relocation of the Police Station will provide many benefits to the City. This includes reducing response time of the Police, re-energizing development in the CRA district, enhancing the environment of the City, reducing daytime business traffic at the old City hall location, while creating development that is compatible with the surrounding areas and the current planning objectives. We have been careful to avoid creating “concrete canyons” by designing plazas, streetscapes and building facades that create an open look and feel to the new development. NEW POLICE STATION Lynx has chosen a design concept taking into account development options and locations adjacent to the Post Office and across from the Metro Rail. Even though the development of the new Police Station at the “old Inspection Station site” may require a zoning modification, we believe the location will provide many benefits to the City. Such benefits would include reducing response time of the Police, re-energizing development in the CRA district, enhancing the environment of the City, reducing daytime business traffic at the old City hall location, while creating development that is compatible with the surrounding areas and the current planning objectives. The proposed design of the new Police Station is 4 stories and is compatible with the size and height of the Metro Rail Facility across SW 70th Street as well as the nearby Rodeway Inn and Valencia Apartments. The redevelopment of the “Sunset Shops” and the many medical buildings clos e-by also provide a backdrop of midrise buildings which blend well with the proposed City building. The new location of the Police Station will increase the sense of security in the area. This combined with the beauty of the new building and parking along with the new streetscape, will create an enhanced sense of neighborhood around the new development and beyond. The benefits will extend to adjacent properties and will become a catalyst for future improvements in the entire CRA district (See Tab 8 28 FL: CGC1518484 FL: CMC1250004 45 Almeria Avenue | Coral Gables, Florida 33134 O: 305.523.6730| F: 888.499.1748 | LynxCompanies.com Page 26 of 61 City of South Miami UP no. 2018-01 Map 1 and Map 2). The new buildings combined with the new development of the City Hall site will provide an economic bridge across US-1 and the Metrorail. This will serve to connect the prosperity of the east side of US-1 to the transportation corridor and CRA on the west side. The Combined Effect of Proposed Project also provides the following synergies:  The adjacent Underline Park will be improved to provide additional recreation al opportunities and to extend the green space around the new development. This is expected to encourage the use of the Metro Rail as a primary means of commuting and to soften the impact that the major highway “US-1” has on the area through landscape and buffering.  Encourage the use of alternative energy by demonstrating the effectiveness of photovoltaic systems and green roof technology in high visibility projects.  By preserving the Sylva Martin Building in its current location it will remain a significant landmark and be an important enhancement to the planned Plaza which will incorporate this historic community space into the new pedestrian space.  The new City Hall will be built on City property located at 6130 Sunset Drive and new Police Station will be built on City property located at 5890 SW 69 St. This will have the effect of bringing improvements into the CRA an area that has long been stagnant. The new buildings will also move the traffic generated by City activities to areas more suited for that activity.  The new location of the Police station near the Metro Rail will i mprove the sense of security in the area and enhance police response time.  The location of the new City buildings and residential development is chosen to maximize the use of public transportation and minimize the effect of traffic on the City residents. M ost traffic generated by the City Buildings occurs during normal business hours. By moving the Police functions to a location away from the new residential development it will separate the peak traffic flows to reduce the overall density of flow on the maj or traffic corridors. Property: The City will provide to Lynx a marketable Title to the following properties and assistance in obtaining and expediting approvals and permits for the development and projects Lynx is providing: o 6130 Sunset Drive with the intent of building a development including a housing project . The project is planned to consist of approximately 312 market rate multi-family apartments for above median income families, small mixed use/retail component and an Assisted Living Facility component. The project will provide sufficient parking to serve t he needs of residents and patrons as well as provide dedicated parking to the City to serve needs of the new City Hall, plaza and Sylva Martin Building. o Based on the Flexibility in Structure paragraph of the City’s Guidelines, as an option, Lynx will purchase the 5818 SW 71 ST, Parking Lot B property in exchange for services and cash. The land is currently valued by the County at approximately $2 million. After up-zoning the land will be valued at approximately $4 million. The proposed services could include the design construction and turnover of approximately 12,000 SF for the Library relocation and some or all of the 90 dedicated parking spaces in the new City Hall building or other City improvements that may be determined. This value will be used to offset the costs of Lynx’s services to design, construct and turnover for ownership the additional space. Any excess value remaining after the exchange of services and construction and ownersh ip will be paid to the City in cash. The 5818 lot will be used for future development. As part of this transaction the land is contemplated to be up-zoned to allow a height of 8 stories for a high density multi-family use. This parcel is expected to be developed at least 3 years after the execution of the FCA. Once the new multi-family project is constructed and receives a Certificate of Occupancy, the revenue forecast from ad valorem taxes is about $200,000 per year to the City in perpetuity (based on the current Millage rate). The revenue will be for the exclusive use of the City. In addition the foot traffic that would be generated in the heart of the retail district will create increased business opportunities and revenues for the local merchants. o Furthermore: based on the Flexibility in Structure paragraph of the City’s Guidelines Lynx will consider offers from the City to include additional properties in exchange for the services proposed herein or other services the City may require. Lynx will carve out the corner planned to locate the Sylva Martin Building, new City Hall and adjacent plaza and turn over its Ownership to the City a value of $4 .5 million. We will provide design-build and turnover of ownership of the new City Hall and new Police station and other improvements as previously described. These are valued at $21.5 million for a total value of $26 million paid to the City. Value of Services, Buildings and Improvements: All services are valued based on the concepts discussed in our Proposal (Tab 4) above and include, high end finishes, generous design criteria and space allocation, LEED principles, and ample parking with improvements to the streetscape and surrounding land to enhance the “City of Pleasant Living”. Remodeling and renovating it in place, free of charge to the City. $200,000  New Police Station: The construction and turnover of ownership of a new, state-of-the-art Police Station building on the City owned land located at 5890 SW 69th Street at no cost to the City. $8 Million  FFE Allowance: Lynx has included an allowance of $800,000 in the combined project budget of the City buildings for use by the City for the purchase of FF&E suitable for the new Police Station and new City Hall Buildings. Lynx will facilitate the purchase and installation of this FF&E as part of the design, construction and turnover of ownership of the buildings.  Enhanced Streetscape, Green Spaces and Recreational Opportunities: Our future development will enhance the environment of the City around the new development and encourage pedestrian and recreational use. $1 Million value.  Improvements to the “Underline” linear park beneath the Metrorail $0.5 Million value.  Transfer of ownership to the City of land occupied by the new City Hall, Plaza and Sylva Martin Site $4.5 Million. For the purpose of establishing the value of the land Lynx has used the prorated value of the overall property. This provides a significant additional benefit to the City since the value of that corner of the land is significantly higher than the less prominent balance of the site.  The areas proposed for the new Police station and new City Hall may be adjusted according to the City’s needs. Funds allocated to the Buildings, Underline, streetscape and other items may be redirected. Any excess value which may remain can be reallocated to provide alternative services in lieu of those offered above or paid to the City in cash. The City also gains the additional financial benefit of rent free facilities for up to three years. This is valued at approximately $2.5 Million based on a $29/SF per year rent escalating at 3% annually.  Added City Revenues: o City will begin to receive enhanced ad valorem tax revenue after the completion of the new development in perpetuity for the sole use and benefit of the City. A conservative estimate of the City’s increase in tax revenues (at the current millage rate) exceeds $1,000,000 ($1 Million) per year as a direct result of our planned residential development. This revenue is expected to be achieved in approximately 4 years from the execution of this proposal when the planned development is completed. This has an approximate life cycle value of $20 Million. o The planned residential development contemplates accommodating 900 residents of above average income living and consuming in the City. In some approximation, such benefit can be as high as an additional $5 million annual economic impact on t he City, resulting in improved business conditions and increased property values. Traditional and accepted economic impact models estimates would predict additional net annual revenue to the City of at least $500,000 as a result of these new additional residents. This revenue has an approximate additional life cycle value of $10 Million, actualized in approximately 4 years (upon the completion of the development). Other Benefits  The restoration/preservation of the Sylva Martin Building in its existing historic location.  Enhanced streetscape and paving around the Sunset Drive site and on SW 70th Street as part of construction of new City facilities and enhancements to the Underline Park.  Increased opportunities for housing and employment .  Improved quality of life in the City by moving high impact Police operations to the new location.  Improved response time of Police force.  Improved development potential for the transportation corridor through the Investment in new buildings and infrastructure. 33 FL: CGC1518484 FL: CMC1250004 45 Almeria Avenue | Coral Gables, Florida 33134 O: 305.523.6730| F: 888.499.1748 | LynxCompanies.com Page 31 of 61 City of South Miami UP no. 2018-01 Option B This option includes all of the benefits of Option A described above plus It will provide additional revenue to the City from the sale and redevelopment of the 5818 SW 71 St site and in ad valorem taxes. These added to the estimated $58.5 million in Option A result in a $66.5 million total. Option B real estate purchase in cash or services $ 4 Million Option B revenue increase $ 4 Million Option A total $58.5 Million Total $66.5 Million Total Purchase Price: Lynx proposes, based on the Flexibility in Structure paragraph to purchase the “City Hall Site” and the 5818 SW 71 St Site for a value in cash and services of $30 million dollars. Lynx will pay in cash and/or provide services of $4 million for the property located at 5818 SW 71 St known as “Parking lot B”. As part of this transaction the land is contemplated to be up-zoned to allow a height of 8 stories for a high density multi-family use. The services and or cash are valued at $4 million in addition to the Option A value of $26 million, for a total value of $30 million paid to the City. Added City Revenues:  Added City Revenues: Increased tax revenue of approximately $200,000 per year in perpetuity upon completion of the new development on the 5818 SW 71 ST (lot B) computed based on City’s current millage rate. No Part of the increase in tax base is intended to be used to fund any other aspect of our proposal. The revenues are fully available to the City. The life cycle value is approximately $4 Million. Other Benefits 34 FL: CGC1518484 FL: CMC1250004 45 Almeria Avenue | Coral Gables, Florida 33134 O: 305.523.6730| F: 888.499.1748 | LynxCompanies.com Page 32 of 61 City of South Miami UP no. 2018-01  The opportunity to fund the relocation of the Library and some or all o f parking into the new City Hall Building including the addition of 12,000 SF for the relocation of the Library.  Dis-encumber City Land: The relocation of the Library will free the City’s land that is currently encumbered and unusable for the City’s benefit. The land and building is currently valued at approximately $6 million. Alternative Approach to P-3: The alternative approach to using the P-3 method to procure the new City Hall, new Police Station and the other enhancements and features of this propos al is self-financing and management by the City. This procurement will cost the City approximately $21.5 million out of pocket for design and construction cost with no opportunity for revenue increase. General Plans for Financing: Terms: All proposed services and values offered to the City are not subject to financing. Escrow Deposit: Lynx will provide an initial escrow deposit of $250,000 upon selection as P-3 partner and an additional escrow deposit of $250,000 at completion of FCA. Additional payments will be paid as exchanged services or cash as agreed in the FCA. Performance Bond Lynx will provide a Performance Bond or other acceptable instrument to the City of South Miami as an Obligee/beneficiary to guarantee the completion of Design-Build of the proposed City facilities. Payment Bond Lynx will provide a Payment Bond or other acceptable instrument to the City of South Miami as an Obligee/beneficiary to guarantee the Payment of all financial responsibilities arising from Design and Build of the proposed City facilities. Investigation: An investigation period will commence upon execution of FCA and continue for a period of ninety (90) days. During this time Lynx will have access to the properties for necessary due diligence. Entitlements: Lynx is contemplating utilizing the current “City Hall Property” located at 6130 Sunset Drive consistent with TODD MU-5 but also assumes qualifying for bonuses that will result from our design to be able to achieve a development, 8 stories in height at that location. The properties that Lynx will purchase will require rezoning as mentioned above in Tab 4, if Option B is chosen this will include the property at 5818 SW 71 St “Parking Lot B”. As part of this transaction the land is contemplated to be rezoned to allow up to 120 units per acre with a height restriction not to exceed 8 stories for multi-family use. The “Old Inspection Station property” at 5890 SW 69th Street, which is the proposed site of the new Police Station (four stories) will remain in the ownership of the City and may require rezoning for the benefit of the City. The portion of the property located at the NW corner of the 6130 Sunset Drive site (approximately 23,000 SF) housing the new City Hall building, Sylva Martin building and the adjacent urban plaza will be carved out of main site, assigned a separate Folio number and turned over to ownership of the City . It may be rezoned for government purposes if required. Brokerage: Both parties agree that no brokerage fee will be part of this transaction and that the involvement of any broker would be the responsibility of the party that engaged said broker. Financing:  Lynx has secured funding through its private network. The proposal is not contingent on bank financing and is only subject to the terms and conditions set forth herein as may be modified in a future comprehensive agreement.  As a contingency, if an expected financing source is not in a position to provide its share Lynx will draw from backup investor through its private network.  Lynx has previously worked with its private network and the following banks or institutions to fund construction and development including but not limited to: (Partial list) Broad Way Bank Citi National Bank GE Capital Lynx Equity Group Mercantil Bank Optimum Evolution Fund SIF-USA Total Bank Wells Fargo See Tab 8 Table 3 and Table 4 for projects 36 FL: CGC1518484 FL: CMC1250004 45 Almeria Avenue | Coral Gables, Florida 33134 O: 305.523.6730| F: 888.499.1748 | LynxCompanies.com Page 34 of 61 City of South Miami UP no. 2018-01  Lynx proposes to make a purchase, of the land and buildings currently occupied by the City of South Miami City Hall, the City of South Miami Police Station and carve out the Sylva Martin Building, the adjacent plaza and the site of the new City Hall in exchange for offered services described in our proposal. The property is located at 6130 SW 72 Street and is generally bounded by the Metrorail “Underline”, SW 62nd Avenue, Sunset Drive and the existing Library property. As part of the direct cash and services purchase the City will transfer site control and title of the above described property, the value of the land will be used by Lynx to offset the cost of design, construction and turn-over at no cost to the City of a new City Hall building on the corner of the 6130 Sunset Drive site and new Police Station building on a City owned site known as the “Old Inspection Station”. It will also be used preserve and remodel the Historic Sylva Martin Building and for other purposes outlined in the concept above or as may be determined in the FCA.  The City will transfer site control and title of the land at 6130 SW 72 St and 5818 SW 71 ST and other sites as maybe determined to offset the costs of the design, construction and turn -over of the projects described herein. Lynx will provide Cash and Services valued more than $26 Million for Option A and $30 Million for Option B, as may be determined in the FCA. PROPOSED PAYMENTS  City to occupy existing City Hall and Police Station rent free for an estimated two years from date of the Final Comprehensive Agreement.  City will begin to receive enhanced tax revenue after completion of new development in perpetuity.  A cash payment of $2.5 million will be placed in escrow and utilized to fund the dev elopment of design for the new Police Station and City Hall, related work, and closing costs, followed by phased release in accordance with the need to fund the design and construction of the City Hall and the Police station.  When the City vacates the 6130 SW 72 Street site the balance remaining will be transferred in cash or provided in accrued services according to a schedule in the Final Comprehensive Agreement. Our Proposal addresses this while maximizing the positive effects on the community. Our Plan provides for landscape enhancements to mitigate the effects of development and the Design, Construction of a development utilizing LEED principles and solar energy technology.  Mitigating Traffic Issues: Our proposed development takes into consideration minimizing the impact of traffic on the daily lives of the citizens in the community. Therefore, this proposal does not recommend for the City Hall site to be redeveloped to a high traffic demanding project such as medical facilities. Our Public Private Partnership strongly considers this issue by proposing housing products that will minimize the impact on traffic flow. Further, the plan considers locations that are accessible to public transportation, promoting overall responsible living and habits.  Provide ample parking: Our proposal contemplates providing parking to reduce the impact on surrounding areas and provide for City functions.  Efficient Use of Land: A key component of the Public Private Partnership Proposal is an effective utilization of City owned land to avoid burdening the taxpayers with additional costs.  City Buildings location optimized: Our proposal locates the City Hall at the highest value most prominent corner of the 6130 site and utilizes the “old Inspection station site in a way that maximizes the benefits to the City and the neighborhood.  Preserving History and Public Spaces: Our Proposal provides for the preservation of the Sylva Martin Building, leaving it in its existing location and restoring it and incorporating it as a public element in the new Urban Plaza adjacent to the new City Hall. Structural systems construction, availability of major components, mechanical and conveying systems availability and suitability, building envelope, roofing and finishes are reviewed to make sure that the projec t can be efficiently built on-time and in-budget. Safety is paramount. This information is shared with the designer and the owner.  Estimating Based on the information gained during the document and site review processes our estimators prepare take-offs and solicit bids from multiple qualified subcontractors to ensure we can provide the best possible prices.  Value Engineering and Cost Benefit Analysis If the owner requires assistance in meeting budget goals Lynx implements true value engineering by ensuring that the major goals of the project are met when suggesting alternatives. The owner is involved in the decisions as to which alternates and options are selected and which construction techniques or material are recommended.  Subcontractor Pre-Qualification Prior entering into contacts with all subcontractors and suppliers we carefully pre -qualify our subs based on their prior experience, references, our experience with them and financial capabilities. All major subs are required to provide a bond  Project Closeout and Turnover Project closeout also starts at the commencement of the job. All information is gathered and organized throughout the project to ensure that a turnover of warranty and operating manuals occurs without delay at the end of the pro ject. As-built drawings are maintained throughout the project to provide record of the actual project upon completion. During closeout any formal training necessary to enable the owner to properly operate and maintain installed equipment is provided. We provide expert estimating in our pre-construction services department. Our estimators have over 30 years of local experience and know how to get the best value from our subs and suppliers. We strictly adhere to the owner’s design criteria and provide design solutions and construction options that meet the budgets. We work from our extensive database of existing and recent projects and validate u sing the actual bids provided from subcontractors. Construction Phase Lynx provides expert management of the construction phase of the project from ground breaking until occupancy. Our onsite staff will ensure that the public and construction workers are safe and that the site is kept fenced, with proper signag e, proper protection and most debris and other safety hazards are dealt with immediately. Project staff is OSHA 30 certified. Maintenance of Traffic and pedestrian traffic are of critical importance. Quality Control Quality control is integrated into the entire project. The pre-design, pre-construction, commissioning and close-out phases offer milestones to measure and report on quality control issues. However Lynx does not expect issues to arise since quality control is part of the daily activity of the staff. Lynx has assigned a project team that is fully familiar with the type and quality of product required and will work with the Owner to ensure that installations and finishes are approved to the required standard. The following Summary Memorandum of the Responsiveness of the Lynx Companies P3 proposal is provided by Marling/ACAI at the direction of the City Manager upon receipt of the unsolicited “Initial Proposal” by the Lynx Companies (Proposer) describing the Proposer’s “Proposed Project”. To gauge the merits of the Proposer’s proposal, the evaluation criteria is based on the April 2017 City of South Miami’s “Guidelines for Public/Private Partnerships, Solicited and Unsolicited Proposals and Evaluation Process” (Guidelines), revised April 10, 2017. Generally we find The Lynx Companies written proposal of April 26, 2018 and their 49 page response to review comments included in their presentation to the Selection Committee and Panel of Consultants on July 18, 2018 very responsive to the Guidelines and to the 47 separate review comments previously generated by the committee and consultants from Lynx’s initial submittal. The following items are catalogued as highlights to illustrate the nature of Lynx’s response. 1. Description of Proposed Project The Proposal identified the nature of the proposed project and the public benefit to be gained thereby. Response to Environmental design initiatives is included to include LEED Silver goal, Green Building Counsel, and various Miami Design initiatives regarding transit, resiliency and land use. The Proposal includes a description of planning, zoning and permitting processes to be anticipated as part of the project. The overall schedule for each phase of the project is outlined, including a process to maintain existing city hall and the police station in use until such time that the new city facilities are occupied. The development of the private elements of the project would follow in phase 2 to include multifamily housing, ALF and retail mixed use components of the project. The Sylva Martin facility would remain in place and become part of the community space, adjacent to the city hall complex. Parking for city hall is proposed on the first floor of the shared parking garage, to be marked for city use. The police station parking garage would be integral with the station on the north parcel of the project. The city may wish to meet with the county to discuss the inclusion of the County Library site and the replacement of the library as part of the city hall building. Cost/benefit analysis of this option would need to be studied as part of the negotiation phase of the selection process. 2. Private Entities Associated with the Proposal An organizational chart was provided in the response to comments indicating the names of firms included, with names and resumes of principal leaders of the firms. Qualifications, Experience and Financial Capacity The Proposer offered similar projects that they have developed in the Miami Market over 15 or more years. They indicated in their response comments that they have adequate construction bonding for each phase of the project. The Proposer indicates that they can fund the project out of internal financial holdings of the Lynx executive team if they should choose to do so. The Proposer also committed to providing a list of well-known investment firms who have expressed interest in this project that could be provided with some financial confidentiality at this stage of the project. 4. The Proposal with Detailed Elements in response to the Design Criteria The submittal and comment responses include detailed site development plans, conceptual floor plans, elevations and aerial renderings. The submittal indicates numbers of units and square feet sizes of each portion of the development. The areas indicated in the conceptual plans are based on the Design Criteria programs, plus some additional soft space to anticipate growth or give the city some ability to lease small suites to private entities. Conceptual Parking Garage plans are included for the various components of the project. Connectivity to the various site circulation routes is included in the proposal. An emphasis on community identity is created by the development of public courtyard spaces and the plan to maintain the Sylva Martin Building as a public amenity for education, museum and community use adjacent to a public courtyard and the entry to the new City Hall. The comment responses include planning references and some statistical research regarding the development of ALF’s and senior housing as part of the project, and the relative impact it has on meeting elder housing needs. The diversity of housing and city facilities is also described as a traffic advantage in balancing the needs of daytime destination traffic to public buildings and the peak commuter traffic to family housing before and after business hours. 5. Project Financial Analysis The Proposal includes in-depth financial discussion of the values of the properties and the financial impacts of the project. This section of the review is provided by other professionals on the consultant panel. 6. Community Impact The Proposal has a stated goal of providing a variety of scaled buildings in the development to create a more human scale and pedestrian/bicycle access to the streets scape, rather than tall building facades that create canyons around vehicular circulation against tall walls of enclosed buildings. 73 Marlin Engineering ACAI Associates Page 4 of 4 The interspersed courtyards along the street also invite residents and the public to gather near community retail establishments proposed on the street level of the residential areas. The proximity to hospitals in the area is a benefit to the Assisted Living Facility (ALF) proposed as part of the project. The existing Jean Willis Park adjacent to the project and the development of the underline greenway at the Metro Rail provide green space at two edges of the development and encourage pedestrian access to the project from multiple locations. The proposed location of the Police station on the northern inspection station site is the closest tract to the Metro Rail stop and will provide convenient access to the larger South Miami community. Locating the police station north of Sunset Drive reduces congestion on Sunset Drive and makes better use of feeder street system to relieve the concentration of local traffic on the major arterial street. 7. Conclusion For the all issues related to traffic engineering, Marlin Engineering has no further comments until the complete Traffic Impact Analysis is conducted by the awarded firm.
