A Resolution authorizing the City Manager to amend the professional services
agreement with Calvin Giordano & Associates, Inc. for additional professional services
related to the "Comprehensive Plan and Land Development Code Revision".
WHEREAS, the City of South Miami entered into a contract with Calvin Giordano &
Associates, Inc. (CGA) in 2016 for professional services related to the updating of the
Comprehensive Plan and Land Development Code; and
WHEREAS, the Mayor and City Commission have expressed an interest in additional
amendments to the Comprehensive Plan and Land Development Code related to increasing the
allowable density and intensity of the multi-family categories; and
WHEREAS, staff recommends the agreement be further amended to add a market
assessment .component to ensure that the proposed intensities and densities are in line with
realistic expectations for the redevelopment potential and that such increases do not trigger a
need for further analysis on capacity increases in services; and
WHEREAS, this initiative was not identified in the Request for Proposals (RFP) that
resulted in the contract with CGA in 2016, but the knowledge, experience and services required
. by these amendments are comparable to those called for in the RFP; and
WHEREAS, the funds to support this engagement are available in the annual fiscal year
budget (account 001-1620-524-3450 which, has a current balance of $31,438 and will receive a
transfer of $25,000 from account number 001-1770-519-1210, Public Works Office of the
Director Regular Salaries, bringing the total balance to $56,438.
NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE
CITY OF SOUTH MIAMI, FLORIDA;

shall not affect the validity of the remaining portions of this resolution.
Section 3. Effective Date: This resolution shall take effect immediately upon
enactment.

BACKGROUND:
In 2016, the City entered into a professional services agreement with Calvin Giordano &
Associates, Inc. (CGA) to update the Land Development Code (LDC) and the Comprehensive Plan
in accordance with State requirements. The scope of services for that agreement did not include
the analysis of text and map amendments for specific land use categories or anticipate that in-
depth economic and market analyses would be performed to support any changes in intensity
and density of the land use categories.
The work needed to complete these amendments includes profiling economic, demographic
and market factors that impact land use and analyzing the potential and appropriate densities
and intensities, (i.e.,_determining_the appropriate maximu m heighllimits,unitspecacrE:',etc.

lnd ADDENDUM TO CONTRACT
The City of South Miami, a municipal corporation of Slate of Florida (hereinafter referred to
as Owner) by and through its City Manager (hereinafter referred to as City) and Calvin, Giordano &
Associates, Inc. (CGA), a corporation authorized to do business in the State of Florida (hereinafter
referred to as the "CONSULTANT") entered into a Professional Service Agreement on July IS, 2016
for revisions to the Comprehensive Plan and Land Development Code of the City of South Miami
(hereinafter referred to as the "Stated Contract").
WHEREAS, the parties wish to modifY the terms of the original Stated Contract as sci forth
herein.
NOW THEREFORE, in &onsideration orlhe mutual promises sct forth herein, the pall1ies,
intend to be legally bound and hereby agree that the following shall constitute additional terms and
conditions to the Slated Contract.
Modification Item 1: The scope and compensation of the Stated Contract and the I" Addendum to
the Stated Contract shall be expanded to include the following attachments
(1) CGA Proposal No. 18-1319, dated August 3, 2018, and attacbed scope of the work, both of which
are attached to this 2nd addendum.
(2) CGA will be subcontracting the work anticipated, but not specifically agreed to in the 1 m Addendum
to Stated Contract, to Lambert Advisory and the maximum amount to be charged os as set forth iii
the Lambert Economic Analysis Proposal dated August 7, 2018, and attached 10 this 2"" addendum.
The parties reaffum the other tenns or conditions of the above mentioned original Stated
Contract and I" Addendum 10 Stated Contract not hereby otherwise modified or amended and
nothing contained herein shall negate or changed the other terms of the Stated Contract and 1 $I
Addendum to Stated Contract as a result of this addendum.

BASIS OF PROPOSAL
• Any opinion ofthe construction cost prepared by Calvin, Giordano & Associates,
Inc. represents its judgment as a design professional and is supplied for the
general guidance of the CLIENT since Calvin, Giordano & Associates, Inc. has
no control over the cost of lahor and material, or over competitive bidding or
market conditions. Calvin, Giordano & Associates, Inc. does not guarantee the
accuracy of such opinions as compared to contractor bids or actual cost to the
CLIENT.
s Any outside engineering services, studies, or laboratory testing not specifically
mentioned in the Scope of Services will be the responsibility of the CLIENT. All
municipal, permit, and agency fees as well as Title Certificates will be paid by the
CLIENT.
• Basic services outlined within this proposal shall be considered complete when the
project plans are submitted to the regulatory agencies for Certification.
o Calvin, Giordano & Associates, Inc. is pelforming the consultant services set
forth in this Agreement strictly as a professional consultant to CLIENT. Nothing
contained in this Agreement shall create any contractual relationship between
Calvin, Giordano & Associates, Inc. and any contractor or subcontractor
performing construction activities on the project, or any of CLIENT's other
professional consultants.
o Calvin, Giordano & Associates, Inc. shall not be responsible for the contractor's

REIMBURSABLE EXPENSES
Calvin, Giordano & Associates, Inc. and its consultants will be reimbursed for the
printing of drawings and specifications, deliveries, Federal Express services, required
travel tinle and travel expenses, long distance telephone calls, fax transmittals, postage,
fees paid for securing approval of authorities having jurisdiction over the project, .
renderings, models and mock-ups required by CLIENT, as required. Reimbursable
expenses and sub-consultant invoices will be billed directly to the CLIENT at a
multiplier of 1.25.

Due to the difficulties of predicting the number or dmation of meetings, no meetings
other than those listed above, are included in the Schedule of Fees shown below.
Preparation for and meeting attendance, as necessary, will be provided on a time and

Associates, Inc.' s option, defend or pay for an attorney selected by Calvin,
Giordano & Associates, Inc., to defend Calvin, Giordano & Associates, Inc., its
officers, agents, servants, and employees against any and all claims, losses,
liabilities, and expenditures of any kind, including attorney fees, any appellate
attorney costs, court costs, and expenses, caused by, arising ii'om, or related to
any acts, omissions or negligence of CLIENT or its consultants.
, CLIENT agrees to limit Calvin, Giordano, & Associates, Inc.' s liability for any
and all claims that CLIENT may assert on its own behalf or on behalf of another,
including but not limited to claims for breach of contract or breach of warranty, to
the amount of fees paid to Calvin, Giordano & Associates, Inc., pursuant to this
Agreement.
o Drawings, specifications, and other documents and electronic data furnished by
Calvin, Giordano & Associates, Inc .. in connection with this project are
instruments of service. All original instruments of service shall be retained by
Calvin, Giordano & Associates, Inc. and will remain their property, with all
common law, statutory and other reserved rights, including copyright, in those
instruments. This information provided in the instnunents of service is
proprietaIyand will not be shared with others without prior written consent. The
CLIENT may request reproducible copies, and all original documents upon
payment of all outstanding invoices, and expenses.
o In the event of termination in accordance with this Agreement 01' termination not
the fault of Calvin, Giordano & Associates, Inc., Calvin, Giordano & Associates,
Inc. shall be compensated for services properly perfo11ued prior to receipt of
notice oftermination, together with Reimbursable Expenses then due.
o Invoices for-work accomplished to date will be submitted monthly and are payable

• PURSUANT TO SECTION 558.0035, FLORIDA STATUTES, AN
INDIVIDUAL EMPLOYEE OR AGENT OF CALVIN, GIORDANO &
ASSOCIATES, INC. MAY NOT BE HELD INDIVIDUALLY LIABLE IN
NEGLIGENCE FOR ANY CLAIMS, DAMAGES, LOSSES, OR DISPUTES
ARISING OUT OF OR SUBJECT TO THE CONTRACT.
o The CLIENT 01' their representative shall be available to meet with Calvin,
Giordano & Associates, Inc. and provide decisions in a timely manner tln'oughout
the course of the project. The CLIENT will provide all plaI1S and other pertinent
information, which are necessary for Calvin, Giordano & Associates, Inc. to
provide complete professional services as outlined in this contract.

• The terms of Agreement shall be valid for the Client's acceptance for a period of
thilty (30) days from the date of execution by Calvin, Giordano & Associates,
Inc. after which time this contract offer becomes null and void if not accepted
formally (evidenced by receipt of an executed copy of this document). All rates
and fees quoted in this document shall be effective for a period of six (6) months,
after which time they may be renegotiated with the CLIENT.
• This Agreement may be terminated by either party upon not less than seven (7)
days written notice should the other party fail substantially to perform in
accordance with the tenus of this Agreement through no fault of the party
initiating the termination. Failure of CLIENT to make payments to Calvin,
Giordano & Associates, Inc., in accordance with this Agreement, shall be
considered substantial nonperfolTImnce and cause for termination.

• CLIENT and Calvin, Giordano & Associates, Inc., respectively, bind themselves,
their pmmers, successors, assigns, mld legal representatives to the other pmiy to
this Agreement and to the pmtners, successors, assigns, and legal representatives
of such other paIiy with respect to all covenants of this Agreement. Neither
CLIENT nor Calvin, Giordmlo & Associates, Inc. shall assign this Agreement
without written consent of the other.
• This Agreement represents the entire mld integrated agreement between the
CLIENT and Calvin, Giordano & Associates, Inc. and supersedes all prior
negotiations, representations or agreements, either written or oral. This
Agreement may be amended only by written instrument signed by both Calvin,
GiordmlO & Associates, Inc. and the CLIENT.
• Unless otherwise provided, this Agreement shall be governed by the law of the

• This Agreement may be terminated by either party upon not less than seven (7)
days written notice should the other party fail substantially to perform in
accordance with the tenns of this Agreement through no fault of the pmty
initiating the tennination. Failure of CLIENT to ma1ce payments to Calvin,
Giordano & Associates, Inc., in accordance with this Agreement, shall be
considered substantial nonperformance and cause for termination.
• In the event of tennination in accordance with this Agreement or termination not
the fault of Calvin, Giordano & Associates, Inc., Calvin, Giordano & Associates,
Inc. shall be compensated for services properly performed prior to receipt of
notice of termination, together with Reimbursable Expenses then due.

Scope of Work
The City desires to create opportunities for townhouse/two-family developments with densities greater
than currently allowed by the Comprehensive plan and the landDi!velopment Code. The City anticipates

ADVISORY
Lambert Advisory (Lambert) appreciates the opportunity to provide the Calvin, Giordano &
Associates (CGA) with a proposal for services related to a market assessment intended to help
CGA create development scenarios and understand the potential development incentives needed
to spur investment within the City of South Miami, FL. Accordingly, the development scenarios
will inform graphically what decisions need to be made as it relates a comprehensive plan update
and focuses specifically on the City's Transit Oriented Development District (TODD) defined by
parcels situated along the western boundary of US1-and illustrated in the Attachment herein.
The the market assessment associated with this phase of the TODD planning process is intended
to provide general insight into redevelopment opportunities and, particularly, demand by use
during a 5 to 10 year period within the TODD. Therefore, this does not include any nodal and/or
site specific programming and/or feasibility analysis. The scope of services outlined below

Task 1: Economic and Market Profile
At the outset, we will profile pertinent economic, demographic and market factors that impact
land use, business expansion, and space utilization within the TODD. We will highlight key
economic and real estate issues such as market demand and supply conditions for various
redevelopment opportunities and primarily focusing on retail, residential, and (to a lesser extent)
office. The goal is to provide an understanding of current market conditions in the market area,
as well as identify notable trends that may have an impact on the TODD plan. Importantly,
Lambert will utilize previous and current economic and market reports to effectively streamline
this component of the study's process.

Additionally, specific to the analysis of supply (by use) to support general economic and market
trends, Lambert will be conducting very limited field research and will be primarily utilizing data
from secondary sources of information (such as Costar) along with select phone interviews with
key industry professionals. The focus of key trends within the demand and supply environment
driving the TODD opportunity includes:
Demand Conditions
Our analysis of demand conditions will include economic and demographic trend and forecast
analysis, as well as an overview of key industries and cluster identification. The analysis will
detail:
Population and population characteristic trends and projections, specifically focusing
upon age cohorts;
Employment trends and labor force characteristics;
Conduct direct interviews with some of the area's major employers and business
development groups to further understand the area's propensity for employment
growth;
Analyze household trends and develop projections;
Visitor growth trends and profile and expenditure patterns; and,
Traffic patterns and trends along the major thoroughfares.
Supply Conditions
The supply conditions analysis includes an overview of existing conditions for the primary real
estate uses contemplated in the analysis, including: retail, residential, office and hotel. As
noted, the market information will be primarily based upon secondary sources of information
from credible real estate institutions including but not limited to: Costar; CB Richard Ellis and/or
JLL. We will conduct a limited profile of select existing and proposed projects by realestate

Size of retail and/or entertainment center, office building, or residential project;
Major tenants in the case of commercial space;
Age and condition of development;
Rental and occupancy rates;
Sales per square foot in retail space;
Mix of tenants, customer profile and amenities; and,
Other pertinent information including an overview of planned projects considered to
impact the Study Area.
Task 2: Estimates of Market Demand/Development Opportunity
From the economic and market analysis completed within Task 1, we will provide general
estimates of market demand for all of the uses considered for the TODD. This represents an
assessment of the market's ability to support the development of certain uses and will provide
additional information such as:

-Achievable average rental price pOints by use (or sales price points for any "for-sale"
housing or commercial uses);
Estimated demand for residential, office, retail and hotel use within the TODD within
a 5 to 10 year timeframe; and,
Recommendations for broader strategic redevelopment planning and nodal/site
programming.
Schedule, Fees and Documentation
We are prepared to begin our research and analysis immediately upon execution of this proposal.
Lambert will present its findings as a verbal presentation (with supporting PowerPoint document
with key market finding highlights) within 45 days of project commencement.
We wHI produce a brief Technical Memorandum highlighting our findings within 2 weeks of our
verbal presentation.
To complete the scope of work above, our total fee for Tasks 1 and 2 will be $16,000. If, at some
point during the course of the work, a decision is made to discontinue, our fee wHI be based upon
the actual professional time expended to date. We will invoice eGA within two cycles: 1.) 50% of
total fees upon completion of the first 30 days following project commencement; and, 2.) balance
of fees upon delivery of a Draft Technical Memorandum.

Our studies, reports and analysis are subject to the following restrictions and conditions:
• LambertAdvisory has no obligation to update our findings and conclusions for changes in

• Documents we prepare are based upon assumptions and estimates which are subject to
uncertainly and variation. These estimates are often based on data obtained in
'interviews with third parties or from third party sources and such data are not always

consumers, the general economy, and costs which are highly uncertain. Therefore, while
our estimates will be conscientiously prepared on the basis of our experience and the
data available to us, we make no warranty of any kind that the occupancy, rental rates,
user fees, revenues, or expenses estimated Will, in fact, be achieved.
