reassurance that the dtYWIII not be assuming any debts as the result of approving this
resolution.
31 The Bond Counsels also explained that the $250,000 that the City will receive
32 ·through the Authority will be used as per Chapter 154.

34 At this junction, the City Attorney recommended an amendment to Section 2 of the
35 resolution by adding the following language:

1 "The Loan Agreement shall provide for indemnification of the City and its officers,
2 employees and agents, as set forth in the last draft of that agreement that was sent to the City
3 by the Hospital and/or its legal counsel."

5 Moved by Mayor Stoddard, seconded by Vice Mayor Welsh, the motion to approve as
6 amended Resolution No. 225-17-15025 of the Mayor and City Commission of the City of South
7 Miami, Florida approving the issuance by the City of South Miami Health Facilities Authority
8 (the "Authority") of its Refunding Revenue Bonds, in an aggregate principal amount not to
9 exceed $950,000,000, passed by a 4 -0 vote:
