Res No 219-17-15020RESOLUTION NO:219-17-15020 A Resolution authorizing the City Manager to negotiate and enter into a contract with Maggolc,Inc.,for a contract for the sidewalk widening at Rok Burger located at 5800 SW 73rd Street along SW 73rd Streetbetween 58th Avenue and 58th Court WHEREAS,the Mayor and City Commission wish to widen the existing sidewalk at Rok Burger located at 5800 SW 73rd Street along SW 73rd Street between 58th Avenue and 58th Court;and WHEREAS,pursuant to a competitive selection process,four companies were solicited andMaggolc,Inc.submitted a proposal in the amount of $23,530 that was the lowest,most comprehensive and cost effective inits construction approach;and WHEREAS,the City desires to provide a10%contingency over the proposal amount of $23,530forunknown factors that mayariseduring the work,foran amount nottoexceed $25,883;and WHEREAS,the total expenditure,including the contingency amount,is not to exceed $25,883;and WHEREAS,the Mayor and City Commission desire to authorize the City Manager to negotiate and enter into a contract withMaggolc,Inc.for the sidewalk widening at RokBurger located at 5800 SW 73rd Street along SW 73rd Street between 58th Avenue and 58th Court for a total amount not to exceed $25,883. NOW THEREFORE BEIT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITYOF SOUTH MIAMI,FLORIDA; Section 1.TheCity Manager is authorized to negotiate the price,terms and conditions andto execute a contract withMaggolc,Inc.for the sidewalk widening atRokBurger located at 5800 SW 73rd Street along SW 73rd Street between 58th Avenue and 58th Court foran amount nottoexceed$23,530andheisauthorizedtoexpendupto$2,353for unforeseen conditions. WITNESETH: Thatthe Contractor,forthe consideration hereinafter fully setout,hereby agrees withtheOwneras follows: 1.The Contractor shall furnish all labor,materials,equipment,machinery,tools,apparatus,transportation andanyotheritemsnecessarytoperform all oftheworkshownonand described intheContract Documentsand shall doeverything required bythisContractandtheotherContractDocuments hereinafter referred to as the Work. 2.TheContract Documents shall include this Contract,General Conditions totheContract,if any,the drawings,plans,specifications and project manual,if any,any supplementary or special conditions,other documents referring tothiscontract and signed bythe parties,the solicitation documents ("hereinafter referred toas "Bid Documents")and any documents to which those documents refer which are used by theOwneras well as any attachments or exhibits thatare made apartof any ofthe documents described herein. 3.The Contractor shall commence theWorktobe performed underthis Contract ona date tobe specified inaNoticeto Proceed and shall complete all Work hereunderwithinthe length oftimesetforthinthe Contract Documents. 4.TheOwner hereby agrees to pay tothe Contractor forthe faithful performance of this Contract,subject to additions and deductions as provided in the Contract Documents and any properly approved,written change orders,in lawful moneyofthe United States,the Lump Sum amount of:Twenty Three Thousand Five Hundred Thirty Dollars ($23,530)("Contract Price"). 5.The expenses of performing Work after regular working hours,and on Sunday and legal holidays shall be included inthe Contract Price.TheCity may demand,at any point intime,that any part,or all,ofthe Workbe performed after regular working hours.In such event,the Contractor shall have no right to additional compensation for such work.However,nothing contained herein shall authorize workon days and during hours thatareotherwise prohibited by ordinance unless specifically authorized or instructed in writing by the City. 6.IftheWorkis expected to require more than one month,the Owner shall make monthly partial payments tothe Contractor onthe basis ofa duly certified and approved schedule of values for theWork performed during each calendar month bythe Contractor,less the retainage (all as provided for in the Contract Documents),which is tobe withheld bythe Owner until completion and acceptance ofthe complete project in accordance with this Contract and the other Contract Documents anduntil such Work has been accepted bythe City. 7.Upon submission bythe Contractor of evidence satisfactory totheOwner that all labor,material,and othercosts incurred bythe Contractor in connection with the construction oftheWork have been paid in full,and after compliance withthe terms for payment provided for in the Contract Documents,final payment on account of this Contract shall be made within sixty (60)calendar days after the completion by the Contractor of all Work covered by this Contract and the acceptance of such Workbythe Owner. 8.TheWork shall be completed in30 calendar days.In theevent that the Contractor shall fail to complete the Work within thetime limit stipulated inthe Contract Documents,ortheextendedtime limit agreed upon,in accordance with the procedure as more particularly set forth in the Contract Documents, liquidated damages shall be paid by the Contractor at the rate of $800 per dollars per day,plus any monies paid bytheOwnertothe Consultant,if any,for additional engineering and inspection services,if any,associatedwithsuchdelay. 9.It is further mutually agreed between the parties hereto that ifa Payment and/or Performance Bond ("Bond")is required and if,atanytime after theexecutionofthisContract and theBondforits faithful performance and payment,the City shall deem the Surety or Sureties upon such bond(s)tobe unsatisfactory,or if,for any reason such bond ceases tobe adequate to cover the performance ofthe Work or payment to subcontractors and suppliers,the Contractor shall,at its expense within five (S) business days after the receipt of notice from the City soto do,furnish an additional bond or bonds in 10 II. such form and amount and with such Surety or Sureties as shall be satisfactory tothe City.In such event, no further paymenttothe Contractor shallbedeemedtobedue under this Contract untilsuchnew or additional security forthe faithful performanceoftheWorkis furnished inthemannerandintheform satisfactorytotheCity. No additional Work or extras shall bedone unless the same is duly authorized in writing,and in advance ofthework,by appropriate action bytheCityandin accordance withtheContract Documents. The date that this contract was "made and entered into"andits effective date is the date that the contract is the signed by the City or,ifthecontractis required tobe approved by resolution ofthe City Commission,then the Effective Date is thedateofthe resolution approving theContract whichever isthelater date. Bid:Theofferorproposalof the Biddersubmittedontheprescribedformsetting forth thepricesand other terms for the Work to be performed. Bidder:Anyperson,firm or corporation submittingaresponse to the Owner's solicitationforproposals or bids for Work. CITY:TheCity Manager for the CityofSouth Miami,6130 SunsetDrive,South Miami,FL 33143,unlessthe context whereinthewordisusedshouldmoreappropriatelymeantheCityofSouth Miami. ConstructionObserver:Anauthorized representative ofthe CONSULTANT,if any,orotherwisea representative oftheCity assigned toobservetheWorkperformedand materials furnished bythe CONTRACTOR.The CONTRACTOR shall be notified in writing ofthe identity ofthis representative. Contract Documents:The Contract Documents shall include the Contract between the Owner and the Contractor,other documents listed in the Contract and modifications issued after execution of the Contract as wellasall Bid Documentsincludingbutnotlimitedtothesolicitationfor Bid,CONTRACTOR'S Bid,the Bonds, Insurance endorsements,InsuranceCertificatesand policies,theNoticeofAward,theNoticetoProceed,the General Conditions,Special Conditions,if any,any Supplementary Conditions,the Technical Specifications, Drawings,including any incorporated specifications,addenda tothe drawings issued priorto execution ofthe Contract,Change Orders,Construction Change Directives and any written orderfora minor change in the Work,andwritten modifications toanyofthe Contract Documents. Contract Price:Thetotal moneys payable tothe CONTRACTOR pursuant tothetermsoftheContract Documents. Contract Time:The number of calendar days stated in theContractforthe completion oftheWork. Contracting Officer:The individual who is authorized to sign the contract documents on behalf ofthe OWNER. CONTRACTOR:Theperson,firm orcorporationwith whom the OWNER hasexecutedthe Contract. CONSULTANT:The person identified asthe CONSULTANT inthe Supplementary Conditions or,if none,then CITY's designated representative as identified inthe Supplementary Conditions. Day:A period of twenty-four hours measured from the beginning ofthe day at 12:01 a.m.and it shall be presumed tobea calendar day unless specifically designated asa business day. Days:The number of twenty-four (24)hour periods following the event to which the word "days"refers commencing at 12:01 a.m.atthestartofthenext day.Therefore,in computing any period oftime prescribed or allowed bythe Contract Documents,the day ofthe act,event or default from which the designated period oftime begins torun shall notbe included.The last day ofthe period so computed shall be included unless itisa Saturday,Sunday or legal holiday,in which eventthe period shall run until the end ofthenext business day that is nota Saturday,Sundayor legal holiday. Defective Work:Work thatis unsatisfactory,faulty,or deficient inthatitdoesnotconformtotheContract Documents,or does notmeetthe requirements of any applicable inspection,reference standard,test,or approval referred to in theContract Documents,or has been damaged prior totheCONSULTANTS recommendation of final payment (unless responsibility for the protection thereof has been delegated tothe Owner);substitutions that arenot properly approved and authorized,any deficiency in theWork,materials and equipment;materials and equipment furnished undertheContractthatarenotgood quality and new unless otherwise required or permitted by the Contract Documents. Drawings:The drawings which showthe character and Scope oftheWorktobe performed and which have been prepared or approved bythe CONSULTANT,orifnone,thenby an architect or engineer hired bytheCity and are referred to in the Contract Documents. Field Order Awrittenorder issued bythe CONSULTANT which clarifies or interprets theContract Documents in accordance with Paragraph 9.3 orordersminor changes intheWorkin accordance with paragraph 10.2. Modification:(a)Awritten amendment ofthe Contract Documents signed byboth parties,(b)a Change Order signed by both parties,(c)awritten clarification or interpretation if issued bytheCONSULTANTin accordance with paragraph 9.3 or (d)awrittenorderfor minor change or alteration inthe Work issued bythe CONSULTANT pursuant to Paragraph 10.2.A modification may onlybe issued after execution ofthe Contract,it mustbeinwritingand signed bytheparty against whomthe modification issoughttobeenforced. Non-conforming Work means work that does not conform to the Contract Documents andincludes work that is unsatisfactory,faulty,or deficient orthatdoesnotmeetthe requirements ofany applicable inspection,reference standard,test,orthatdoesnotmeetany approval required by,orreferredtoin,theContractDocuments,or workthat has been damaged prior to CONSULTANTS recommendation of final payment (unless responsibility for theprotectionthereofhasbeen assumed in writing by CITY). Noticeof Award:ThewrittennoticebyCITYtothe apparent successful Bidder stating thatupon compliance with theconditionsprecedenttobe fulfilled byitwithinthetime specified,CITY will executeanddelivertheContract to him. Noticeto Proceed:Awrittennotice given byCITYtoCONTRACTOR(withcopytoCONSULTANT)fixing the dateonwhichtheContractTime shall commencetorun and on which CONTRACTOR shall starttoperformits obligationsunder the Contract Documents. Person:An individual or legal entity. Project:Theentireconstructionoperationbeingperformedas delineated intheContractDocuments. Policy:The term "policy"asusedin the Contract Documents shallmean the insurancebinder,ifitisissued,the declaration page ofthe policy andthebodyofthe policy,including all endorsements. RFP:Request forProposal. Scopeof Services.This phrase referstothescopeofthe services orworktobeperformedandithasthesame meaning asScope of the Work unlessthe context inwhichthephaseisused clearly meansotherwise. Shop Drawings:All drawings,diagrams,illustrations,brochures,schedulesand other data whichare prepared by the CONTRACTOR,aSubcontractor,manufacturer,supplier,ordistributor,andwhichillustratetheequipment, material orsomeportionofthe work andasrequiredbytheContractDocuments. Samples:Physical exampleswhichillustrate materials,equipmentorworkmanshipand establish standards bywhich the Work willbejudged. Specifications:ThoseportionsoftheContractDocuments consisting ofwritten technical descriptions of materials,equipment,constructionsystems,standards andworkmanshipas applied tothe Work. Subcontractor An individual,firm orcorporation having adirectcontractwith CONTRACTOR orwithany other Subcontractor fortheperformanceofapartofthe Work atthe construction site. Substantial Completion:Thedate,ascertifiedbythe CONSULTANT,when the construction of the Project or a certifiedpart thereof issufficiently completed,inaccordancewith the Contract Documents,so that the Project,or asubstantial part,canbeutilizedfor the purposesforwhichitwasintended without restrictionorlimitation to anydegree,other thanfor the repair of minor"punchlist"items;orif there benosuchcertification,thedate when final paymentisdueinaccordancewith paragraph 14.9.However,inno event shall theprojectorportion thereof,bedeemedtobesubstantially completed untilacertificateofoccupancyorcertificateofuseislawfully issuedbythe applicable governmental agency.Acertificateof Substantial Completion,issuedbythe CONSULTANT,shall benullandvoidifitisbasedon false,misleading orinaccurateinformation,fromanysource, or when it would not have been issue but for the consideration of Work that is thereafter found to be defective to adegreegreaterthanthatwhichwouldnormallytobeconsideredbytheCitytobeminor"punchlist"work. Supplier:Anypersonororganizationwhosuppliesmaterialsor equipment for the Work,including the fabrication ofanitem,but who does not perform laborat the siteofthe Work. Surety:The individual or entity who isanobligoronaBondandwhoisboundwith the CONTRACTOR forthe full and faithful performance of the Contract andfor the payment of all labor,services andmaterialsusedonthe project. Work:Anyand all obligations,dutiesandresponsibilitiesnecessaryforthesuccessfulperformanceandcompletion of the Contract. Notice:The term "Notice"as used herein shall mean and include all written notices,demands,instructions, claims,approvalsand disapprovals requiredtoobtaincompliancewith Contract requirements.Written notice shall be deemed tohavebeendulyservedifdeliveredinpersonto the individual or to a member of the firm orto anofficer of the corporation for whom itis intended,ortoan authorized representative ofsuch individual,firm,or corporation,or ifdeliveredator sent by registered mail to thelast known businessaddress.Unless otherwise statedinwriting,anynotice to ordemandupon the OWNER under this Contract shallbedelivered to the City Managerand the CONSULTANT. ARTICLE 2-PRELIMINARY BETTERS Award: 2.1 TheCITYreserves the right to reject amy and all Bids,at its sole discretion.Bids shall beawarded by the CITYto the lowest responsiveandresponsibleBidder.No Notice of Award shall begivenuntilthe CITYhasconcluded its investigation,asitdeemsnecessary,to establish,to the satisfaction of theCITY, whichBidderis the most responsive andresponsible of all the Bidders to complete the Work withinthe time prescribed andin accordance with the Contract Documents.The CITY reserves the right to reject the BidofanyBidderwhoisnotbelievedtobe,inthesolediscretionandsatisfactionoftheCity,to be sufficiently responsible,qualified and financial abletoperformthework.In analyzing a Bid,theCITYmay alsotakeintoconsiderationalternateandunit prices,ifrequestedbytheBidforms.Ifthe Contract is awarded,theCITY shall issuethe Notice of Awardand give thesuccessfulBiddera Contract for execution withinninety(90)dayafteropeningof Bids. Execution of Contract 2.2 At leastfourcounterpartsoftheContract,the Performance andPaymentBond,theCertificatesof Insurance,theBinderof Insurance ifissued,the Insurance Declaration Page if not includedinthe Policy of Insurance,the Policy of Insurance requiredbytheContractDocuments,the written notice of designated supervisor or superintendent as provided inSection 6.1 of the General Conditions andsuch other Documentsasrequiredbythe Contract Documents shall beexecutedanddeliveredby CONTRACTOR totheCITYwithinten (10)calendar daysofreceiptoftheNoticeofAward.AContractDocumentthat requiresthe signature of apartymaybeexecutedincounterpartsseparatelybyeachofthe parties and,in suchevent,each counterpart separately executed shall,without prooforaccountingforthe other counterpart be deemed anoriginal Contract Document. Forfeiture of Bid Security/Performance andPayment Bond,ifanyarerequiredbythe applicable RFP: 2.3Withinten (10)calendardaysofbeingnotifiedoftheAward,CONTRACTOR shall furnish a Performance Bondanda Payment Bond containing all the provisions ofthe Performance BondandPaymentBond attached. 2.3.1 Each Bond shall beintheamountofonehundredpercent (100%)oftheContract Price guaranteeing to OWNER the completion and performance of the Work covered insuch Contract aswellas full paymentof all suppliers,material man,laborers,orSubcontractoremployed pursuant tothisProject.Each Bond shall bewithaSuretycompanywhose qualifications meet the requirements of Sections 2.3.4,2.3.5,and2.3.6. 2.3.2 Each Bond shall continueineffectfor five years after final completionand acceptance ofthe Work withthe liability equaltoonehundredpercent (100%)ofthe Contract Sum. 2.3.3 Pursuant tothe requirements of Section 255.05(1),Florida Statutes,CONTRACTOR shall ensure thatthe Bond(s)referenced above shall be recorded in the public records of Miami-Dade County andprovideCITYwithevidenceofsuch recording. 2.3.4 Each Bond mustbeexecutedbyasurety company authorized todo business intheStateof Florida asasurety,having aresidentagentintheStateof Florida and having beeninbusinesswitharecord of successful continuous operation foraleast five (5)years. 2.3.5 Thesurety company shall holdacurrent certificate ofauthorityas acceptable suretyon federal bondsin accordance withthe United States Department of Treasury Circular 570,current revisions. 2.3.6 TheCITY shall onlybe required to accept a surety bondfroma company witha rating A.VII or better. 2.3.7 Failure ofthe successful Bidder toexecute and deliver the Contract,and deliver the required bonds and Insurance documents shall be cause for the CITY to annul the Notice of Award and declaretheBidandanysecurity therefore forfeited. Contractor's Pre-StartRepresentation: 2.4CONTRACTOR represents thatit has familiarized itself with,and assumes full responsibility for having familiarized itselfwiththenatureand extent oftheContractDocuments,Work,locality,andwith all local conditionsand federal,stateand local laws,ordinance,rules and regulations thatmayinanymanneraffect performance oftheWork,andrepresentsthatit has correlated itsstudy and observations withthe requirementsoftheContract Documents.CONTRACTOR also representsthatit has studied all surveys and investigations,reportsof subsurface andlatent physical conditionsreferredtointhe specifications andmadesuch additional surveysand investigations as it deemsnecessaryforthe performance ofthe Work reflected in the Contract Documents and that he has correlated the results of all such data with the requirements of the Contract Documents. Commencement of Contract Time: 2.5 The Contract Time shall commence to run on the date stated in the Notice to Proceed. Starting the Project: 2.6 CONTRACTOR shall starttoperformits obligations undertheContractDocumentsonthedatethe ContractTimecommencestorun.No Work shall bedoneatthe site (as definedinArticle I),priorto thedateonwhichtheContractTimecommencestorun,except withthewrittenconsentoftheCITY. Before Starting Construction: 2.7Beforeundertakingeachpart of the Work,CONTRACTOR shall carefully studyandcomparethe ContractDocumentsandcheckandverifypertinent figures shownthereonand all applicable field measurements andconditions.It shall atonce report inwritingto CONSULTANT any conflict,error,or discrepancy whichitmay discover.NeithertheOWNERnortheCONSULTANT shall be liable forany harm,damage orlosssufferedby CONTRACTOR asaresultofits failure todiscoverany conflict,error, ordiscrepancyintheDrawingsor Specifications nor shall the CONTRACTOR be entitled toany compensationforanyharm,damageorlosssufferedbythe CONTRACTOR due to any conflict,error, ordiscrepancyin the Contract Documents. Schedule of Completion: 2.8Within Five (5)businessdaysafter delivery oftheNoticetoProceedbyCITYto CONTRACTOR, CONTRACTOR shall submitto CONSULTANT for approval,anestimatedconstructionschedule indicatingthe startingand completion datesof the variousstagesofthe Work,andapreliminaryschedule ofShopDrawingsubmissions.The CONSULTANT shall approvethisscheduleorrequirerevisions thereto withinseven(7)calendardaysofitssubmittal.Ifthereismorethanone CONTRACTOR involvedin the Project,theresponsibilityforcoordinatingthe Work of all CONTRACTORS shall be providedin the Special Conditions. 2.9 Within five (5)businessdaysafterdeliveryofthe executed Contract byCITYto CONTRACTOR,but before starting the Work at the site,a pre-construction conference shallbeheld to review the above schedules,to establish procedures for handling Shop Drawings and other submissions,andforprocessing ApplicationsforPayment,andtoestablishaworkingunderstanding between the partiesas to the Project Presentat the conference willbetheCITY'S representative,CONSULTANT,Resident Project Representatives,CONTRACTOR andits Superintendent Qualifications of Subcontractors.Material men and Suppliers: 2.10 Within five(5)businessdaysafterbidopening,theapparent lowest responsiveandresponsibleBidder shall submitto the CITYand the CONSULTANT foracceptancealist of the namesof Subcontractors andsuchotherpersonsand organizations (including those whoaretofurnish principal itemsofmaterials orequipment)proposed for those portionsofthe Work astowhich the identityof Subcontractors and other personsandorganizations must besubmittedasspecifiedinthe Contract Documents.Within thirty(30)calendardaysafterreceivingthelist,the CONSULTANT willnotifythe CONTRACTOR in writingifeither the CITY or the CONSULTANT hasreasonable objection to any Subcontractor,person, ororganizationonsuchlistThefailure of the CITYor the CONSULTANT to make objection to any Subcontractor,person,ororganizationonthelistwithin thirty (30)calendardaysofthe receipt shall constitute anacceptanceofsychSubcontractor,personor organization.Acceptanceofanysuch Subcontractor,personororganization shall not constitute awaiverofanyrightoftheCITYor the CONSULTANT to reject defective Work,materialor equipment,orany Work,materialor equipment not in conformance with the requirements ofthe Contract Documents. 2.11 If,prior to the Notice of Award,the CITY or the CONSULTANT has reasonable objection to any Subcontractor,personororganizationlisted,theapparentlowBiddermay,priortoNotice of Award, submit anacceptable substitute without anincreaseinitsbidprice. 2.12 Theapparentsilence of the Contract Documentsastoanydetail,ortheapparentomissionfrom them of adetaileddescriptionconcerningany Work tobedoneandmaterialstobefurnished,shall beregardedas meaningthatonlybestpracticesareto prevail andonlymaterialsand workmanship ofthe best qualityare to beusedin the performance of the Work. ARTBCLE 3-CORRELATBON.BNTERPRETATBON AND INTENT OF CONTRACT DOCUMENTS 3.1 Itistheintentof the Specifications and Drawings todescribea complete Projecttobe constructed in accordancewith the Contract Documents.The Contract Documents comprise the entire Contract between the OWNER andthe CONTRACTOR.Theymaybealteredonlybyamodificationasdefinedin Article I. 3.2The Contract Documents arecomplementary;whatiscalledforbyoneisasbindingasifcalledforby all the documents.If CONTRACTOR findsa conflict,error ordiscrepancyin the Contract Documents,it shall,beforeproceedingwiththe Work affectedthereby,immediately call ittothe CONSULTANT'S attention inwriting.The various Contract Documents are complementary;incaseof conflict,error or discrepancy,the more stringentinterpretationand requirement that shall providethemaximumbenefitto the Owner shallapply 3.3Thewords"furnish"and"furnishand install","install",and"provide"or words with similar meaning shall beinterpreted,unless otherwise specifically stated,tomean"furnishandinstall complete inplaceand readyforservice". 3.4 Miscellaneous itemsandaccessorieswhicharenot specifically mentioned,butwhichareessentialto producea complete andproperlyoperating installation,orusable structure,providingtheindicated functions,shall befurnishedand installed withoutchangeintheContract Price.Suchmiscellaneousitems andaccessories shall beofthesamequality standards,including material,style,finish,strength,class, weightand other applicable characteristics,as specified forthemajor component ofwhich the miscellaneousitemoraccessoryisanessential part,and shall beapprovedbythe CONSULTANT before installation.Theabove requirement isnotintendedtoincludemajor components notcoveredbyor inferablefrom the Drawingsand Specifications. 3.5The Work of all tradesunderthis Contract shall becoordinatedbythe CONTRACTOR insucha mannerasobtain the best workmanship possiblefor the entireProject,and all components of the Work shall be installed or erected inaccordancewiththe best practices ofthe particular trade. 3.6The CONTRACTOR shall beresponsiblefor making theconstructionof habitable structuresunderthis Contract rain proof,andfor making equipment and utility installations properlyperformthe specified function.Ifthe CONTRACTOR ispreventedfromcomplyingwiththisprovisionduetothe Drawings or Specifications,the CONTRACTOR shall immediately notify the CONSULTANT in writing of such limitations before proceeding with construction inthe area wherethe problem exists. 3.7Manufacturer'sliterature,when referenced,shallbedatedand numbered andis intended to establish the minimum requirements acceptable.Wheneverreferenceis given tocodes,or standard specifications or other data published by regulating agencies or accepted organizations,including butnot limited to National Electrical Code,applicable State Building Code,Florida Building Code,Federal Specifications, ASTM Specifications,variousinstitute specifications,andthe like,it shall beunderstoodthatsuch referenceistothelatestedition including addenda in effectonthedateofthe Bid. 3.8 Brand names where used in the technical specifications,are intended to denote the standard or quality required forthe particular material or product Theterm "equal"or "equivalent",whenused in connection with brand names,shall beinterpretedto mean a material orproductthatis similar and equal intype,quality,size,capacity,composition,finish,colorandother applicable characteristics tothe material orproduct specified bytrade name,and thatis suitable forthesameuse capable of performing thesame function,inthe opinion ofthe CONSULTANT,asthe material or product so specified.Proposed equivalent itemsmustbe approved byCONSULTANTbeforetheyare purchased or incorporated inthe Work.(Whena brand name,catalog number,modelnumber,or other'identification,isused without the phrase "or equal",the CONTRACTOR shall usethe brand,makeandmodel specified). 3.9Throughoutthis agreement the male pronoun maybe substituted for female and neuter and viceversa andthe singular wordssubstitutedfor plural and plural wordssubstitutedfor singular wherever applicable. 3.10 All technical interpretations shall bemadebytheCONSULTANTasset forth inSection9.3below. 3.11 The CONTRACTOR shall have advised the CONSULTANT,prior to performing any work involving a conflict in the Contract Documents and the CONSULTANT shall make the final decision as to which of thedocuments shall take precedence.In theeventthatthereisa conflict betweenor among the Contract Documents,onlythelatest version shall apply and thelatest version oftheContract Documents.TheCONSULTANT shall usethe following listofContractDocumentsasa guide.These documentsaresetforthbelowintheorderoftheirprecedencesothat all thedocuments listed abovea given document shouldhaveprecedenceover all thedocumentslistedbelow it (h)Drawings ofalargerscale (i)Drawingsofasmallerscale (j)Drawings and Specifications aretobe considered complementary to each other ARTICLE 4-AVABB-ABBLBTY OF LANDS SUBSURFACE CQNOBTBONS REFERENCE POINTS Availability of Lands: 4.1 The OWNER shall furnish,as indicated intheContractDocuments,the lands uponwhichthe Work isto bedone,rights-of-way foraccessthereto,andsuchother lands whichare designed fortheuseofthe CONTRACTOR.Easements forpermanentstructuresorpermanent changes inexisting facilities willbe obtainedand paid forbytheOWNER,unlessotherwise specified intheContractDocuments.Other accesstosuchlandsorrights-of-wayforthe CONTRACTOR'S convenience shall betheresponsibilityof the CONTRACTOR. The CONTRACTOR shall providefor all additional landsandaccess thereto thatmayberequiredfor temporary construction facilities orstorageofmaterialand equipment 4.2TheCITY will,upon request,furnish tothe Bidders,copiesof all available boundarysurveysand subsurface tests at no cost Subsurface Conditions: 4.3The CONTRACTOR acknowledges thathehas investigated priorto bidding and satisfied himselfasto theconditionsaffectingthe Work,including butnotlimitedto those bearingupontransportation, disposal,handling andstorageofmaterials,availability oflabor,water,electricpower,roadsand uncertaintiesof weather,riverstages,tides,watertablesorsimilar physical conditionsat the site,the conformationandconditionsoftheground,thecharacterof equipment and facilities neededpreliminary toandduringprosecutionofthe Work.The CONTRACTOR furtheracknowledgesthathehassatisfied himselfastothecharacter,qualityandquantityofsurfaceandsubsurfacematerialsorobstacles to be encountered insofarasthisinformationisreasonably ascertainable fromaninspectionof the site, including all exploratory work donebythe OWNER/CONSULTANT on the siteorany contiguous site, aswellasfrominformationpresentedbythe Drawings and Specifications madepartofthis Contract,or any other informationmade available toitpriortoreceiptofbids.Any failure bythe CONTRACTOR to acquaintitselfwith the available information shall not relieveitfromresponsibilityforestimatingproperly the difficulty orcost of successfullyperforming Work.The OWNER assumesnoresponsibilityforany conclusionsor interpretations madeby the CONTRACTOR onthebasis of the informationmade availableby the OWNER/CONSULTANT. DifferingSiteConditions: 4.4The CONTRACTOR shall withinforty-eight(48)hoursofitsdiscovery,andbeforesuch conditions are disturbed,notify the CITY inwriting,of: 4.4.1 Subsurfaceorlatent physical conditionsatthesitedifferingmateriallyfrom those indicatedinthe Contract Documents,and 4.4.2Unknown physical conditions at the site,ofanunusualnature,differingmateriallyfrom those ordinarily encountered andgenerally inherent in Work ofthecharacterprovidedforinthis Contract The CITY shall promptly investigate the conditions,andifitfinds that such conditions domateriallydiffer to the extent as to causeanincreaseor decrease in the CONTRACTOR'S cost of,orthetimerequiredfor,performanceofanypartofthe Work underthisContract,an equitable adjustment shallbemadeandthe Contract modifiedinwritingaccordingly. 4.5Noclaimof the CONTRACTOR underthisclause shall beallowedunless the CONTRACTOR hasgiven the noticerequiredin4.4above;provided,however,the time prescribed therefore maybe extended by the CITY,butonlyifdoneinwritingsignedbytheCity Manager orthe CONSULTANT. ARTBCLE 5 -BNSURANCE Contractor shall complywiththeinsurance requirements setforthin the Supplementary Conditions to the Contract ARTBCLE 6 -CONTRACTOR'S RESPONSIBILITIES SupervisionandSuperintendence: 6.1 The CONTRACTOR shall superviseand direa the Work.It shall besolelyresponsibleforthemeans, methods,techniques,sequencesandproceduresofconstruction.The CONTRACTOR shall employand maintain a qualified supervisoror superintendent (hereinafterreferredtoas"Supervisor"at the Work site who shall bedesignatedinwritingbythe CONTRACTOR,before the CONTRACTOR commences the Work andwithinthetimerequiredbytheContract,asthe CONTRACTOR'S representative atthe site.TheSupervisororsodesignated shall have full authoritytoactonbehalfofthe CONTRACTOR and all communications given totheSupervisor shall beas binding asif given to the CONTRACTOR.The Supervisor(s)shall bepresentateachsiteat all timesasrequiredtoperformadequatesupervisionand coordination of the Work.(Copiesofwrittencommunications given totheSupervisor shall be mailed to the CONTRACTOR'S homeoffice). 6.1.1 The CONTRACTOR shall keeponerecordcopyof all Specifications,Drawings,Addenda, Modifications andShopDrawingsatthesiteat all timesandingood order andannotatedtoshow all changes madeduringtheconstructionprocess.These shall be available tothe CONSULTANT andanyCITYRepresentativeat all reasonable times.Asetof"As-Built"drawings,aswellasthe original Specifications,Drawings,Addenda,Modifications andShop Drawings withannotations, shall bemade available totheCityat all timesandit shall bedelivered to theCITYupon completion of the Project Labor Materials andEquipment: 6.2 TheCONTRACTOR shall provide competent,suitably qualified personnel to lay outtheWork and perform construction as required bythe Contract Documents.It shall at all times maintain good disciplineand order atthesite. 6.3 The CONTRACTOR shall furnish all materials,equipment,labor,transportation,construction equipment and machinery,tools,appliances,fuel,power,light heat,local telephone,water and sanitary facilities and all other facilities and incidentals necessary for the execution,testing,initial operation and completion of the Work. 6.4 All materials and equipment shall be new,exceptas otherwise provided in theContract Documents.When special makes or grades of material which are normally packaged bythe supplier or manufacturer are specified or approved,such materials shall be delivered tothesiteintheir original packages or containers withseals unbroken andlabels intact 6.5All materials andequipment shall be applied,installed,connected,erected,used,cleanedandconditioned in accordance withthe instructions ofthe applicable manufacturer,fabricator,or processors,exceptas otherwise providedinthe Contract Documents. Work.Materials.Equipment Products andSubstitutions: 6.6 Materials,equipment and products incorporated in theWorkmustbe approved for use before being purchasedby the CONTRACTOR.The CONTRACTOR shall submit to the CONSULTANT alist of proposed materials,equipmentor products,togetherwith such samples asmaybe necessary forthemto determine their acceptability and obtain their approval,within ninety (90)calendar days after award of Contract unless otherwise stipulated in the Special Conditions.Norequest for payment for"or equal" equipmentwillbe approved untilthislist has been received and approvedbytheCONSULTANT. 6.6.1 Whenevera material,article or piece of equipment is identified onthe Drawings or Specifications byreferenceto brand nameor catalog number,it shall beunderstoodthatthisisreferencedfor thepurposeof defining the performance orother salient requirements and thatother products of equal capacities,quality and function shall be considered.TheCONTRACTORmayrecommend the substitution ofa material,article,or piece ofequipmentof equal substance and function for thosereferredtointheContractDocumentsby reference to brand nameor catalog number,and if,inthe opinion oftheCONSULTANT,such material,article,or piece ofequipmentisof equal substanceand function tothat specified,theCONSULTANTmayapproveitssubstitutionanduse bythe CONTRACTOR.Incidental changes orextracomponent parts requiredtoaccommodate thesubstitute will bemadebythe CONTRACTOR withouta change intheContract Price orthe Contract Time. 6.6.2 Nosubstitute shall beorderedor installed withoutthewritten approval oftheCONSULTANT who shall bethejudgeof quality. 6.6.3 Delaycausedby obtaining approvals forsubstitute materials shall not beconsidered justifiable grounds foran extension of construction time. 6.6.4Shouldany Work or materials,equipmentorproductsnotconformtorequirementsofthe Drawings and Specifications orbecome damaged during theprogressofthe Work,such Work or materials shall beremovedand replaced,togetherwithany Work disarranged bysuch alterations, atanytimebeforecompletionandacceptanceoftheProjectAllsuch Work shall bedoneat the expense of the CONTRACTOR. 6.6.5No materials or supplies forthe Work shall be purchased bythe CONTRACTOR orany Subcontractorsubjecttoanychattel mortgage orundera conditional saleor other agreementby whichaninterestisretainedbythe Seller.The CONTRACTOR warrantsthattheyhavegood title to all materials andsuppliesusedbytheminthe Work. 6.6.6Non-conforming Work:TheCityofSouth Miami maywithholdacceptanceof,orrejectitems whicharefounduponexamination,not to meet thespecification requirements orconformto the plansanddrawings.Upon written notificationofrejection,items shall be removed oruninstalled withinfive(5)businessdaysbythe CONTRACTOR athisown expense andredeliveredand/or reinstalledathis expense.Rejectedgoodsleftlongerthan thirty (30)calendardays shall be regardedasabandonedandtheCITY shall havetherighttodisposeofthemasitsownproperty andthe CONTRACTOR thereby waivesany claim tothegoodortocompensationofanykind forsaidgoods.Rejectionfornon-conformanceor failure to meet deliveryschedulesmayresultin the CONTRACTOR beingfoundin default 6.6.7 In caseofdefaultby the CONTRACTOR,theCityofSouth Miami mayprocurethearticlesor servicesfrom other sources andholdthe CONTRACTOR responsible forany excess costs occasioned or incurred thereby. 6.6.8TheCITY reserves the right,in the event the CONTRACTOR cannot providean item(s)or service(s)ina timely manneras requested,toobtain the good and/or servicesfrom other sources and deducting the cost from the Contract Price without violating the intent of the Contract. Concerning Subcontractors: 6.7The CONTRACTOR shall not employanySubcontractor,against whom the CITYorthe CONSULTANT mayhavereasonableobjection,norwill the CONTRACTOR berequired to employ any Subcontractor who hasbeenacceptedbytheCITYand the CONSULTANT,unlessthe CONSULTANT determines that there isgoodcausefordoingso. 6.8 The CONTRACTOR shall be fully responsiblefor all actsandomissions of its Subcontractors and of persons andorganizationsdirecdyorindirectly employed byitandof persons andorganizationsfor whose actsany of them maybe liable to the same extent that they are responsible fortheactsand omissions of personsdirectlyemployedbythem.Nothingin the Contract Documents shall createany contractualrelationship between OWNER or CONSULTANT andany Subcontractor or other person or organization having adirectcontractwith CONTRACTOR,nor shall itcreateany obligation on the part of OWNER or CONSULTANT topayortoseetopaymentofany subcontractor or other personor organization,except asmay otherwise berequiredbylaw.CITYor CONSULTANT mayfurnish to any Subcontractoror other personor organization,tothe extent practicable,evidenceofamounts paid to the CONTRACTOR onaccountofspecified Work doneinaccordancewiththeschedulevalues. 6.9The divisions andsectionsofthe Specifications andthe identifications ofany Drawings shall not control the CONTRACTOR in dividing the Work amongSubcontractorsor delineating the Work performedby anyspecifictrade. 6.10 The CONTRACTOR agreestobind specifically everySubcontractortothe applicable termsand conditions of the Contract Documents for the benefit of the OWNER. 6.11 All Work performedforthe CONTRACTOR byaSubcontractor shall bepursuanttoanappropriate agreement between the CONTRACTOR and the Subcontractor. 6.12 The CONTRACTOR shall beresponsibleforthecoordinationofthetrades,Subcontractorsmaterialand men engagedupon their Work. 6.12.1 The CONTRACTOR shall cause appropriate provisionstobeinsertedin all subcontracts relative to the Work tobindSubcontractorstothe CONTRACTOR by the terms oftheseGeneral Conditionsand other ContractDocumentsinsofaras applicable tothe Work ofSubcontractors, andgivethe CONTRACTOR thesamepowerasregardstoterminatinganysubcontractthatthe OWNER mayexerciseover the CONTRACTOR underany provisions oftheContract Documents. 6.12.2 TheCITYorCONSULTANT will not undertake tosettleanydifferencesbetweenthe CONTRACTOR and their Subcontractors or between Subcontractors. 6.12.3 IfintheopinionoftheCONSULTANT,any Subcontractor ontheProjectprovestobe incompetentorotherwise unsatisfactory,they shall bepromptlyreplacedbythe CONTRACTOR ifandwhendirectedbytheCONSULTANTinwriting. 6.12A Discrimination:Noaction shall betakenbythe any subcontractor with regard tothe fulfilment ofthe termsofthe subcontract,including the hiring andretentionofemployeesforthe performance of Work thatwould discriminate against any person onthe basis of race,color,creed,religion,national origin,sex, age,sexual orientation,familial statusor disability.This paragraph shall bemadeapartofthe subcontractor's contract with the Contractor. PatentFeesandRoyalties: 6.13 TheCONTRACTOR shall pay all license fees and royalties and assume all costs incident totheuseof any invention,design,processordevicewhichisthe subject ofpatent rights or copyrights heldbyothers.He shall indemnify and hold harmless theOWNER and theCONSULTANTand anyone directly or indirectiy employed byeitherofthem from against all claims,damages,losses and expenses (including attorney's fees)arising outofany infringement of such rights during orafterthe completion oftheWork,and shall defend all such claims in connection with any alleged infringement of such rights. 6.14 The CONTRACTOR shall be responsible for determining the application of patent and/or royalty rights asto any materials,appliances,articles or systems prior to bidding.However,he shall notbe responsible for such determination on systems which do not involve purchase bythem of materials,appliances and articles. Permits: 6.15 The CONTRACTOR shall secure and pay for all construction permits and licenses and shall pay for all governmental charges and inspection fees necessary for the prosecution oftheWork,which are applicable atthetimeof his Bid.When such charges are normally made bythe CITY and when so stated inthe Special Conditions,there will beno charges totheCONTRACTOR.TheCITY shall assist the CONTRACTOR,when necessary,in obtaining such permits and licenses.TheCONTRACTOR shall also pay all public utility charges. Electrical Powerand Lighting: 6.16 Electrical power required during construction shall be provided by each prime CONTRACTOR as required byit.This service shall be installed bya qualified electrical Contractor approved bythe CONSULTANT.Lighting shall be provided bythe CONTRACTOR in all spaces at all times where necessary for good and proper workmanship,for inspection or for safety.No temporary power shall be usedoff temporary lighting lines without specific approval ofthe CONTRACTOR. LawsandRegulations: 6.17 The CONTRACTOR shall comply with all notices,laws,ordinances,rules and regulations applicable to theWork.If the CONTRACTOR observes thatthe Specifications or Drawings areat variance therewith, it shall give the CONSULTANT prompt written notice thereof,and any necessary changes shall be adjusted by an appropriate modification.If the CONTRACTOR performs any Work knowing ittobe contrarytosuch laws,ordinances,rules and regulations,andwithoutsuchnoticetotheCONSULTANT, it shall bear all costs arising there from;however,it shall notbeits primary responsibility to make certain thatthe Drawings and Specifications are in accordance with such laws,ordinances,rules and regulations. Discrimination: 6.17A No action shall betakenbythe Contractor with regard tothe fulfilment ofthetermsofthe Contract, including the hiring and retentionofemployeesforthe performance of Work thatwould discriminate against anypersononthe basis of race,color,creed,religion,national origin,sex,age,sexualorientation, familial statusor disability. Taxes: 6.18 Cost of all applicable sales,consumer use,and other taxesforwhichthe CONTRACTOR is liable under theContract shall be included inthe Contract Price stated bytheCONTRACTOR. SafetyandProtection: 6.19 TheCONTRACTOR shall be responsible for initiating,maintaining and supervising all safety precautions and programs in connection withtheWork.They shall take all necessary precautions forthe safety of, and shall providethe necessary protection toprevent damage,injury orlossto: 6.19.1 Allemployees and other persons,whomaybe affected thereby, 6.19.2 Allthe Work and all materials or equipment tobe incorporated therein,whetherin storage onor off the site,and 6.19.3 Other property atthesiteor adjacent thereto,including trees,shrubs,lawns,walks,pavements, roadways,structuresand utilities not designated for removal,relocation orreplacementinthe course of construction. 6.20The CONTRACTOR shall designate a responsible memberoftheir organization atthesitewhoseduty shall bethepreventionof accidents.Thisperson shall betheCONTRACTOR'SSuperintendentunless otherwise designatedinwritingbythe CONTRACTOR totheCITY. Emergencies: 6.21 In emergencies affecting the safety of persons ortheWorkorpropertyatthesiteor adjacent thereto, the CONTRACTOR,without special instruction or authorization fromthe CONSULTANT orCITY,is obligatedto act athisdiscretion,to prevent threatened damage,injuryorloss.He shall give the CONSULTANT prompt writtennoticeofany significant changesinthe Work ordeviationsfrom the Contract Documents causedthereby.Ifthe CONTRACTOR believesthat additional Work donebyhim inanemergencywhicharosefromcausesbeyondhiscontrolentitleshim to anincreasein the Contract Price oran extension of the ContractTime,hemaymakeaclaim therefore asprovidedinArticles 11 and 12. ShopDrawingsandSamples: 6.22 After checkingandverifying all field measurements,the CONTRACTOR shall submit to the CONSULTANT forreview,inaccordancewith the accepted scheduleof shop drawing submissions,six (6)copies(oratthe CONSULTANT option,onereproduciblecopy)of all Shop Drawings,which shall havebeen checked byandstampedwith the approvalof the CONTRACTOR.The ShopDrawings shall be numbered andidentifiedas the CONSULTANT mayrequire.Thedata shown on the ShopDrawings shall be complete with respect todimensions,design criteria,materialsof construction and the like to enable the CONSULTANT toreview the information without anyunnecessaryinvestigation. 6.23 The CONTRACTOR shallalso submit to the CONSULTANT forreview,with such promptness as to causenodelayin Work,allsamples required by the Contract Documents. Allsamplesshallhavebeencheckedbyandstampedwith the approvalof the CONTRACTOR,identified clearlyastomaterial,manufacturer,any pertinent catalog numbers and the useforwhich intended. 6.24 At the time of eachsubmission,the CONTRACTOR shall notify the CONSULTANT,inwriting,of any deviations between the ShopDrawingsorsamplesand the requirements of the Contract Documents. 6.25The CONSULTANT shall reviewwithresponsiblepromptnessShop Drawings andSamples,buthis review shall beonlyforconformancewiththedesign concept of the Projectandforcompliancewith the informationgivenin the Contract Documents.Thereviewofaseparateitemassuchwill not indicate reviewof the assemblyinwhichtheitemsfunctions.The CONTRACTOR shallmakeany corrections requiredby the CONSULTANT and shall returntherequired number of corrected copies of Shop Drawingsand resubmit newsamplesuntil the reviewissatisfactoryto the CONSULTANT.The CONTRACTOR shall notifythe CONSULTANT,inwriting,ofanypriorShopDrawingorrevisionsto Shop Drawings thatareinconflictwitheachsubmissionorre-submission.The CONTRACTOR'S stamp of approval onanyShop Drawings orsample shall constituterepresentationtotheCITYand the CONSULTANT that the CONTRACTOR haseitherdeterminedand/orverified all quantities,dimension, field construction criteria,materials,catalog numbersand similar dataor they assume full responsibility fordoingso,andthattheyhavereviewedorcoordinatedeachShopDrawingorsamplewith the requirements of the Work and the Contract Documents. 6.26No Work requiringasubmittalofaShopDrawingorsample shall be commenced untilthesubmissionhas beenreviewedandapprovedinwritingbythe CONSULTANT.AcopyofeachShop Drawing andeach approvedsample shall bekeptingoodorder,inabookorbinder,in chronological order orinsuch other orderrequiredbythe CONSULTANT inwriting,bythe CONTRACTOR at the siteand shall be available to the CONSULTANT. 6.27TheCONSULTANT'SreviewofShop Drawings orsamples shall notrelievethe CONTRACTOR from his responsibility foranydeviationsfromtherequirementsoftheContract Documents unlessthe CONTRACTOR hasinformedtheCONSULTANT,inwriting,toeachdeviationatthetimeof submission and theCONSULTANThas given written approval tothe specific deviation,nor shall any reviewbythe CONSULTANT relievethe CONTRACTOR from responsibility forerrorsoromissionsin the ShopDrawingsorsamples. 6.27AThe CONTRACTOR shall be liable totheOWNERforany additional costor delay thatis caused byits failure tonotifytheCONSULTANTofanyof said deviations or conflicts betweenShop Drawings ordue toerrorsintheShopDrawingsorsamples. CleaningUp: 6.28The CONTRACTOR shall clean up behind the Work asmuchasis reasonably possible asthe Work progresses.Uponcompletionofthe Work,andbeforeacceptanceof final paymentfortheProjectbythe OWNER,the CONTRACTOR shall remove all hissurplusand discarded materials,excavated material and rubbish aswellas all other material andequipmentthatdoesnotformapartofthe Work,fromthe property,roadways,sidewalks,parking areas,lawnand ail adjacentproperty.Inaddition,the CONTRACTOR shall clean hisportionof Work involved inany building underthisContract,sothatno further cleaning bytheOWNERis necessary prior toits occupancy and he shall restore all property,both public and private,whichhasbeen disturbed or damaged during theprosecutionofthe Work soas to leavethewhole Work and Work Siteinaneatand presentable condition. 6.29Ifthe CONTRACTOR does not clean the Work site,theCITYmay clean the Work Siteofthematerials referred to in paragraph 6.28andchargethe cost tothe CONTRACTOR. Public Convenience andSafety: 6.30 The CONTRACTOR shall,atall times,conduct the Work in such a manner as to insure the least practicable obstructionto public travel.Theconvenienceofthe general public andoftheresidentsalong andadjacenttotheareaof Work shall beprovidedforina satisfactory manner,consistentwiththe operationand local conditions."StreetClosed"signs shall be placed immediatelyadjacenttothe Work,in aconspicuousposition,atsuchlocationsastrafficdemands.At anytimethat streets arerequired to be closed,the CONTRACTOR shall notifylawenforcement agencies andin particular,theCityofSouth Miami Police Department,beforethestreetisclosedand again assoonasitisopened.Accessto fire hydrantsandother fire extinguishing equipment shall beprovidedand maintained at all times. SanitaryProvisions: 6.31 The CONTRACTOR shall provideon-siteoffice,and necessary toilet facilities,secludedfrom public observation,foruseof all personnelonthe Work Site,whetherornotinhisemploy.They shall bekept inacleanand sanitary conditionand shall complywiththerequirementsandregulationsofthe Public Authorities having jurisdiction.They shall commitno public nuisance.Temporary field officeand sanitary facilities shall beremoveduponcompletionofthe Work andthepremises shall beleft clean. Indemnification: 6.32Contractor shall complywiththe indemnification requirementssetforthinthe RFP andin EXHIBIT 2 of theSupplementaryConditions (Insurance and indemnification requirements). 6.33 In theeventthatanyactionor proceeding isbrought against OWNER or CONSULTANT byreasonof anysuchclaimordemand,CONTRACTOR,uponwrittennoticefromCITY shall defendsuchactionor proceedingbycounselsatisfactory to CITY.The indemnification providedabove shall obligate CONTRACTOR todefendatitsownexpenseortoprovideforsuchdefense,atCITY'Soption,anyand all claims of liability and all suitsandactionsofeverynameanddescriptionthatmaybebroughtagainst OWNER or CONSULTANT,excludingonly those claims thatallegethattheinjuriesarose out of the sole negligence of OWNER or CONSULTANT. 6.34The obligations ofthe CONTRACTOR under paragraph 6.33 shall not extend to the liability ofthe CONSULTANT,itsagents or employees arising out of (a)thepreparationorapprovalofmaps,drawings, opinions,reports,surveys,ChangeOrders,designsor specifications or(b)the giving oforthe failure to givedirectionsorinstructionsby the CONSULTANT,itsagentsor employees providedsuchactor omissionis the primarycause of injuryordamage. 6.34AAllof the forgoingindemnificationprovisions shall survivethe term of the Contract to which these General Conditions areapart.Indemnification shall notexceedan amount equal to the totalvalue of all insurancecoveragerequiredbySection 5.1 of this document.Indemnificationislimited to damagescaused in whole orinpartbyany act,omission,ordefaultof the Contractor,the Contractor's subcontractors, sub-subcontractors,materialmen,oragentsofanytierortheir respective employees to the extent caused by the negligence,recklessness,orintentionalwrongfulmisconductoftheindemnifyingpartyandpersons employedorutilizedbytheindemnifyingpartyintheperformanceof the construction contract Responsibility for Connection to Existing Work 6.35It shall be the responsibility of the CONTRACTOR to connect its Work toeachpart of the existing Work,existing building or structure or Work previously installed asrequiredbytheDrawingsand Specifications to providea complete installation. 6.36 Excavations,grading,fill,storm drainage,paving andanyotherconstructionor installations inrights-of- waysof streets,highways,publiccarrier lines,utility lines,either aerial,surfaceorsubsurface,etc.,shall be doneinaccordancewith requirements ofthe special conditions.The OWNER willberesponsiblefor obtaining all permitsnecessaryforthe Work describedinthis paragraph 6.36.Uponcompletionof the Work,CONTRACTOR shall present to CONSULTANT certificates,intriplicate,from the proper authorities,stating that the Work hasbeendoneinaccordancewith their requirements. 6.36.1 TheCITYwill cooperate with the CONTRACTOR inobtainingactionfromanyutilitiesor public authoritiesinvolvedin the above requirements. 6.36.2The CONSULTANT shall beresponsibleforobtainingelevationsofcurbsandgutters,pavement storm drainage structures,and other itemswhich must beestablishedby governmental departments assoonasgrading operations arebegunon the siteand,inanycase,sufficientlyearly in the construction period to prevent anyadverse effect onthe Project Cooperation with Governmental Departments.Public Utilities.Etc.: 6.37The CONTRACTOR shall beresponsiblefor making all necessaryarrangementswithgovernmental departments,publicutilities,publiccarriers,servicecompaniesand corporations (hereinafterreferredto as"thirdparties")owningorcontrolling roadways,railways,water,sewer,gas,electrical conduits, telephone,andtelegraph facilities suchaspavements,tracks,piping,wires,cables,conduits,poles,guys, etc.,includingincidental structures connected therewith,that are encountered in the Work in order that suchitemsareproperlyshored,supported and protected,thattheirlocationisidentifiedandtoobtain authority from these thirdpartiesforrelocationifthe CONTRACTOR desirestorelocate the item.The CONTRACTOR shall give all propernotices,shall complywith all requirementsofsuchthirdpartiesin the performance of his Work,shall permitentranceofsuchthirdpartieson the Projectin order thatthey mayperformtheirnecessary work,and shall pay all chargesandfeesmadebysuchthirdpartiesfortheir work. 6.37.1 The CONTRACTOR'S attentionis called tothefactthattheremaybedelaysontheProjectdue to work tobedonebygovernmentaldepartments,public utilities,and others inrepairingor movingpoles,conduits,etc.The CONTRACTOR shall cooperatewiththeabovepartiesinevery waypossible,sothatthe construction canbe completed intheleastpossibletime. 6.37.2 The CONTRACTOR shall have made itselffamiliar with all codes,laws,ordinances,and regulations whichinanymanneraffectthose engaged oremployedinthe Work,ormaterialsand equipment useinorupon the Work,orinanywayaffectthe conduct ofthe Work,andnopleaof misunderstandingwillbeconsideredonaccountof damage ordelaycausedbyhisignorance thereof. Use Premises: 6.38CONTRACTOR shall confine its apparatus,storage of materials,and operationsofitsworkmentothe limits indicated bylaw,ordinances,permitsanddirectionsof CONSULTANT andCITY,and shall not unnecessarily encumber anypartof the siteoranyareasoffsite. 6.38.1 CONTRACTOR shall notoverloadorpermitanypartofanystructuretobe loaded withsuch weightaswillendangeritssafety,nor shall itsubjectanyworktostressesorpressuresthat will endanger it. 6.38.2 CONTRACTOR shall enforcetherulesand regulation promulgated bythe CONSULTANT and OWNERaswellastheir instructions with regard to signs,advertisements,fires and smoking. 6.38.3 CONTRACTOR shall arrange andcooperatewithCITYinroutingand parking of automobiles of itsemployees,subcontractorsandother personnel,aswellasthatofthe material deliverytrucks and other vehiclesthatcome to theProjectsite. 6.38.4 TheCity will designate specific areas onthesitefor storage,parking,etc.and thejobsite shall be fenced toprotectthejobsiteandthe general public. 6.38.5 TheCONTRACTOR shall furnish,install and maintain adequate constructionoffice facilities for all workersemployedbyitorbyits Subcontractors.Temporaryoffices shall beprovidedand located where directedandapprovedbythe CONSULTANT.Allsuch facilities shall be furnished instrict accordance withexisting governing regulations.Field offices shall include telephone facilities. Protectionof Existing PropertyImprovements: 6.38 Any existing surface or subsurface improvements,such as pavements,curbs,sidewalks,pipes or utilities, footings,or structures (including portions thereof),trees and shrubbery,not indicated onthe Drawings ornotedinthe Specifications as being removed or altered shall beprotectedfrom damage during constructionoftheProjectAnysuchimprovements damaged during constructionofthe Project shall berestoredattheexpenseofthe CONTRACTOR toa condition equal tothat existing atthetimeof award of Contract ARTBCLE 7 •WORK BY OTHERS. 7.1 The CITY may perform additional WorkrelatedtotheProjector may letotherdirectcontractstherefor which shall contain General Conditions similar to these.The CONTRACTOR shall afford the other contractorswhoarepartiestosuchdirectcontracts(ortheOWNER,ifitis performing the additional Work itself),reasonable opportunity forthe introduction and storage of materials and equipment andthe executionofWork,and shall properlyconnectandcoordinateits Work withtheirs. 7.2 If any partofthe CONTRACTOR'S Work depends upon proper execution or results oftheWorkof any othercontractororthe OWNER,the CONTRACTOR shall promptly reporttothe CONSULTANT in writing any defects or deficienciesinsuch Work that render it unsuitable for the CONTRACTOR'S Work. 7.3 The CONTRACTOR shall do all cutting,fitting and patching oftheWorkthat may be required to make its several partscometogetherproperlyandfitto receive orbereceivedbysuch other Work.The CONTRACTOR shall not endanger any Workofothers by cutting,excavating or otherwise altering their Work andshallonlycut or alter their Work withthewritten consent oftheCONSULTANTandof the other contractor whose work will be affected. 7.4Iftheperformanceof additional Work byothercontractorsortheOWNERisnotnotedinthe Contract Documentspriortotheexecutionofthe Contract,writtennoticethereof shall be given tothe CONTRACTORpriortostartinganysuch additional Work.Ifthe CONTRACTOR believes thatthe performanceofsuch additional Work bytheOWNERorothers will causetheCONTRACTOR additional expenseorentitieshimtoanextensionoftheContractTime,he may makea claim therefore as provided in Articles 11 and 12. 7.5Where practicable,the CONTRACTOR shall build around theworkofotherseparatecontractorsor shall leave chases,slotsandholesas required to receive andtoconceal within thegeneralconstruction Work theworkofsuch other separatecontractorsasdirectedbythem.Wheresuchchases,slots,etc., are impracticable,the Work shallrequire specific approvalofthe CONSULTANT. 7.6Necessarychases,slots,andholesnotbuiltorleftbythe CONTRACTOR shall becutbytheseparate contractor requiringsuch alterations afterapprovaloftheCONTRACTOR.The CONTRACTOR shall do all patching and finishing oftheworkofothercontractorswhereitiscutbythemandsuch patching and finishing shallbeatthe expense ofCONTRACTOR 7.7 Cooperation is required in the useofsite facilities andinthedetailed execution of the Work.Each contractor shall coordinate their operationwith those ofthe other Contractors for the best interest of the Work in order topreventdelayintheexecutionthereof. 7.8 Each ofseveralcontractorsworkingontheProjectSite shall keep themselves informed oftheprogressof theworkof other contractors.Should lack ofprogressor defective workmanship onthepartof other contractors interferewiththe CONTRACTOR'S operations,theCONTRACTORshallnotifythe CONSULTANT immediately andin writing.Lack ofsuchnoticetothe CONSULTANT shall be construedasacceptancebythe CONTRACTOR ofthestatusoftheworkofothercontractorsasbeing satisfactoryfor proper coordination ofCONTRACTOR'Sown Work. 7.9Thecostofextra Work resultingfromlackofnotice,untimely notice,failure torespondtonotice, Defective Work or lack of coordination shall be the CONTRACTOR'S cost. 7.10 The CITY reservestherightintheeventtheCONTRACTORcannotprovideanitem(s)or service(s)ina timelymanneras requested,to obtainthegood and/or servicesfrom other sourcesanddeducting the costfromthe Contract Pricewithout violating theintentoftheContract. ARTBCLE 8 -CBTY'S RESPONSBBBLBTBES. 8.1 The CITY will issueallcommunicationstotheCONTRACTORthroughtheCONSULTANT. 8.2Incasesofterminationofemploymentofthe CONSULTANT,the CITY will appointa CONSULTANT whose status under the Contract Documents shall be that of the former CONSULTANT. 8.3The CITY shallpromptlyfurnishthedatarequiredofthemunderthe Contract Documents. 8.4The CITY'S dutiesin respect toprovidinglandsandeasementsaresetforthinParagraphs 4.1 and4.2. 8.5TheCITY shall have the right totake possession of and use any completed or partially completed portions ofthe Work,notwithstanding the fact thatthetimefor completing theentire Work orany portion thereof maynothaveexpired;butsuchtakingpossessionanduse shall notbedeemedan acceptanceofany Work not completed inaccordancewiththe Contract Documents. ARTICLE 9-CONSULTANTS'STATUS DURflNG CONSTRUCTBON. City's Representative: 9.1 TheCONSULTANT shall betheCITY'S representative during theconstruction period.Theduties and responsibilities and the limitations of authority oftheCONSULTANTasthe CITY'S representative during construction are set forthinArticles I through 16 of these General Conditions and shall not be extended without written consent of the CITY and the CONSULTANT. 9.1.1 The CONSULTANTS decision,inmatters relating to aesthetics,shall be final,ifwithintheterms of the Contract Documents. 9.1.2 Except asmaybeotherwise provided inthis contract,all claims,counterclaims,disputesandother mattersinquestion between theCITYandthe CONSULTANT arising out oforrelating to this Contractorthe breach thereof,shall bedecidedinacourtof competent jurisdiction withinthe State of Florida. Visits to Site: 9.2The CONSULTANT shall provideaninspectortomake periodic visitsto the siteateachphaseof construction to observe the progressandqualityof the executed Work and to determine if the Work is proceeding in accordance withtheContract Documents.His efforts shall bedirectedtoward providing assurance forthe OWNER and all applicable regulatory agencies thatconstructionisincompliancewith theConstructionDocumentsand applicable laws,rulesand regulations.Onthe basis oftheseonsite- observations asanexperiencedand qualified design professional,he shall keeptheCITYinformedofthe progressofthe Work and shall guard theOWNER against defectsand deficiencies inthe Work of CONTRACTOR. Clarifications andInterpretations: 9.3TheCONSULTANT shall issue,with reasonable promptness,suchwritten clarifications or interpretations oftheContractDocuments (in theformof Drawings orotherwise)asitmaydetermine necessary,which shall beconsistentwith,or reasonably inferable from,theoverallintentoftheContractDocuments.If the CONTRACTOR seeks an increase in the Contract Price or extension of Contract Time based ona written clarification and/or interpretation,it shall berequiredtosubmitatimely claim as provided in Articles 11 and 12. Measurement of Quantities: 9.4All Work completedundertheContract shall bemeasuredbythe CONSULTANT according tothe UnitedStates Standard Measures.All linear surface measurements shall bemade horizontally or vertically as required by the item measured. Rejecting Defective Work: 9.5The CONSULTANT shall haveauthorityto disapprove orreject Work thatis"Defective Work"as definedinArticle I.It shall alsohaveauthoritytorequire special inspectionortestingofthe Work including Work fabricated onoroffsite,installed orcompletedasprovided.In theeventthatthe CONSULTANTrequirestestingofcompletedWork,thecostof such inspectionsand/ortesting shall be approvedinwritingbytheCITY.Allconsequentialcostofsuchinspectionsandtesting,including butnot limitedtothecostoftestingandinspection,thecostof repairing anyof the Work,or the work ofothers, thecosttomove furniture andequipmentand/orthecostto provide alternative facilities until the repair work canbe completed,shall paid by the CONTRACTOR ifthe Work isfoundtobeDefective Work. Shop Drawings.Change Orders and Payments: 9.6 In connectionwiththe CONSULTANT responsibility astoShop Drawings and samples,see paragraphs 6.25 through 6.28,inclusive. 9.7 In connectionwiththeCONSULTANT'S responsibility for Change OrdersseeArticles 10,11,and 12. 9.8 In connectionwiththe CONSULTANT responsibilities withrespecttothe Application for Payment,etc., see Article 14. DecisionsonDisagreements: 9.10 The CONSULTANT shall bethe initial interpreteroftheConstructionDocuments. LimitationsonConsultant's Responsibilities: 9.11 The CONSULTANT will notbe responsible fortheconstruction means,methods,techniques,sequences orprocedures,or the safetyprecautionsandprogramsincident thereto. 9.12 TheCONSULTANT will notbe responsible fortheactsor omissions oftheCONTRACTOR,orany Subcontractors,or any oftheir agent,servants or employees,oranyother person performing any of the Work underorthrough them. ARTBCLE 10 -CHANGES BN THE WORBL 10.1 Without invalidating theContracttheCITY may,atanytimeorfromtimetotime,order additions, deletionsor revisions inortothe Work which shall onlybeauthorizedbyawrittenChange Orders.Uponreceiptofa Change Order,theCONTRACTOR shall proceedwiththe Work involved.Allsuch Work shall be performed underthe applicable conditions oftheContract Documents.Ifanyauthorizedwritten Change Order causes anincreaseordecreaseintheContract Price oranextensionor shortening oftheContract Time,an equitable adjustment will bemadeas provided inArticle 11 orArticle 12.Awritten Change Order signed bytheCITYandthe CONTRACTOR indicates their agreement tothetermsofthe Change Order.All Change Orders shall be certified bytheCONSULTANTastothe appropriateness and value ofthe change inthe Work aswell astoanychangeinthetime to complete the Work underthecircumstances.The failure toincludea timeextensioninthe Change Orderorintherequestfora change order shall resultinawaiverofany extension of timedueto the change inthe work asreflectedintheChangeOrder. 10.2 TheCONSULTANTmayauthorizeminor changes or alterations inthe Work not involving extracost and not inconsistent with the overall intent of the Contract Documents without the need for a formal written Change Order provided theCONTRACTORdoesnotrequest additional timeor additional compensation.Thesemaybe accomplished byawritten Field Order Ifthe CONTRACTOR believes thatany change or alteration authorized bytheCONSULTANTS Field Orderwouldentitlesthe CONTRACTOR to an increase in the Contract Price or extension of Contract Time,it must submit a writtennoticeofintenttodemanda Change Orderwithintwenty-four (24)hoursofthe issuance ofthe Field Order and submitawritten proposal for Change Orderwithinfour(4)days thereafter,otherwise the CONTRACTOR shall be deemed to have waived such claim. 10.3 Additional Work performed bytheCONTRACTORwithout authorization ofawritten Change Order shall notentitleittoan increase intheContract Price or an extensionoftheContractTime,exceptin the case ofan emergency as provided in paragraph 6.22 and exceptas provided in paragraph 10.2. 10.4 The CITY will execute appropriate Change Orders prepared bythe CONSULTANT covering changes in theWork,tobe performed as provided in paragraph 4.4,and Work performed inan emergency as providedin paragraph 6.22andanyother claim ofthe CONTRACTOR fora change intheContractTime ortheContract Price whichisapprovedbytheCONSULTANT. 10.5 Itisthe CONTRACTOR'S responsibility to notify its Surety of any changes affecting the general Scope of the Work or change intheContract Price orContractTimeandtheamountofthe applicable bonds shall beadjusted accordingly.The CONTRACTOR shall furnish proofofsuchanadjustmenttotheCITY before commencement ofthe Change Order Work.The Work shall bestoppeduntilthe CONTRACTOR providessuchproofofadjustmentintheBondamountandanysuch delay shall be charged to the CONTRACTOR. ARTBCLE 11 -CHANGE OF CONTRACT PRBCE. 11.1 TheContractPrice constitutes thetotalcompensation payable tothe CONTRACTOR forPerforming the Work.Allduties,responsibilitiesandobligationsassignedtoor undertaken bythe CONTRACTOR shallbeatits expense without changing the Contract Price. 11.2 The CITYmay,atanytime,without written noticeto the sureties,by written order designatedor indicated to beaChange Order,makeanychangein the Work within the generalscope of the Contract includingbut not limited to changes to orin: 11.2.1 Specifications (including drawingsand designs); 11.2.2 Methodor manner of performanceofthe Work. 11.2.3 CITY-furnished facilities,equipment materials,services,orsite;or 11.2.4 Accelerationintheperformanceofthe Work. 11.3 Except as provided inthissection,or sections referred to inthissection,noorder,statement or conduct oftheCITY shall be treated asaChange Order orentitlethe CONTRACTOR toanequitable adjustmentunlessanduntilthechangeinthe Work is specifically and expressly providedforina written Change Order,oras otherwise provided in another section of the Contract Documents. 11.4 When aChange Order isissuedbythe CONSULTANT andsignedbytheCITYorissuedbytheCITYin writing,the CONTRACTOR shall performthe Work evenif the CONTRACTOR does not agreewith thedollaramount of theChange Order.IfanyChange Order causesanincreaseordecreasein the CONTRACTOR'S costof,orthetimerequired for,theperformanceofanypartofthe Work underthis Contract forwhich the CITYandthe CONTRACTOR cannotreachatimelyagreement,anequitable adjustment basedon the cost ofthe Work shall bemadeandthe Contract modifiedaccordingly. 11.5 Ifthe CONTRACTOR intendstoasserta claim foranequitableadjustmentor contest theequitable adjustmentmadebythe CONSULTANT,it shall,withinten (10)calendardaysafterreceipt of a written ChangeOrder,submittotheCITYand CONSULTANT awrittennotice including a statement setting forththe general natureandmonetary extent ofsuchclaimforequitable adjustment time extension requested andsupportingdata.In determiningthe cost of theChange Order,thecosts shall belimitedto those listed in section 11.7 and 11.8. 11.6 No claim bythe CONTRACTOR foranequitable adjustment hereunder shall beallowedif not submitted inaccordancewiththissectionorifassertedafter final paymentunderthisContract. 11.7 Thevalueofany Work coveredbyaChangeOrderorofany claim foranincreaseordecreaseinthe Contract Price shall bedeterminedinoneofthe following ways: 11.7.1 Bynegotiatedlumpsum. 11.7.2 Onthebasisofthe reasonable costand savings thatresultsfromthe change inthe Work plusa mutuallyagreeduponfeetothe CONTRACTOR tocoveroverheadandprofitnot to exceed 15%.Ifthe CONTRACTOR disagrees withthe CONSULTANTS determinationofreasonable costs,the CONTRACT shall providealistof all costs together withbackup documentation 11.8 Thetermcostofthe Work means thesumof all directextracosts necessarily incurred and paid bythe CONTRACTOR intheproper performance ofthe Change Order Exceptasotherwisemaybe agreed toinwritingbyCITY,suchcosts shall beinamountsnohigherthan those prevailing in Miami-Dade County and shall includeonlythe following items: 11.8.1 Payroll costsforemployeesinthedirectemployof CONTRACTOR inthe performance ofthe Work describedintheChangeOrderunderschedulesofjob classifications agreeduponbyCITY and CONTRACTOR.Payroll costsforemployeesnotemployed full timeonthe Work shall be apportionedonthebasisoftheirtimespenton the Work.Payroll costs shall belimitedto: salaries andwages,plusthe costs of fringe benefitswhich shall includesocialsecurity contributions,unemployment exciseand payroll taxes,workers'compensation,healthand retirementbenefits,sick leave,vacation andholidaypay applicable thereto.Such employees shall include superintendentsandforemenatthesite.Theexpensesof performing Work after regular workinghours,on Sunday or legal holidays shall be included intheaboveonlyifauthorizedby CITY and provideditwasnotin any way,whetherinwholeorinparttheresultofthe fault ofthe CONTRACTOR dueto negligence ofthe CONTRACTOR orthose acting byorthroughhimor duein whole orinpart to Defective Work of the CONTRACTOR. I 1.8.2 Costof all materials andequipment furnished and incorporated inthe Work,including costsof transportation andstorage,andmanufacturers'fieldservices required in connection therewith.The CONTRACTOR shall notify the CITYof all cashdiscountsthatare available and offertheCITYtheopportunitytodeposit funds withthe CONTRACTOR forthepaymentfor items that offer a discount Cash discounts shall accrue to CONTRACTOR unless the CONTRACTOR fails to timely notify the CITY ofthe discounts oriftheOWNER deposits funds withCONTRACTORwith which tomake payments inwhich cases the cash discounts shall accrueto the OWNER.All trade discounts,rebatesandrefunds,and all returns fromsale of surplus materials and equipment shall accrueto OWNER,and CONTRACTOR shall make provisionssothat they maybeobtained. 11.8.3 Payments made by CONTRACTOR tothe Subcontractors for Work performed by Subcontractors.If required by CITY,CONTRACTOR shall obtain competitive bids from Subcontractorsacceptabletohimand shall deliversuchbidstoCITYwhowillthendetermine, withthe advice ofthe CONSULTANT,which Bids will be accepted.No subcontract shall bea cost plus contract unless approved inwritingbytheCITY.Ifa Subcontract provides thatthe Subcontractor istobe paid onthe basis ofCostofWork plus a fee,thecostofthe Work shall be determined in accordance this section 11.8 andinsuchcase the word "Subcontractor"shallbe substituted for the word "CONTRACTOR". 11.8.4 Rentals of all construction equipment and machinery,except hand tools,and the parts thereof whether rented from CONTRACTORorothers in accordance with rental agreements approved by CITY withthe advice of CONSULTANT,and thecostsof transportation,loading, unloading,installation,dismantling andremovalthereof-all in accordance withtermsof said rental agreements.The rental ofanysuchequipment machinery or parts shall ceasewhenthe use thereof isnolongernecessaryforthe Work. 11.8.5 Sales,useor similar taxes related totheWork,and for which CONTRACTOR is liable,imposed byany governmental authority. 11.8.6 Payments and fees forpermits and licenses.Costsforpermitsand licenses mustbeshownasa separate item. 11.8.7 Thecostof utilities,fuel and sanitary facilities atthesite. 11.8.8 Minor expenses such as telegrams,long distance telephone calls,telephone service atthe site, expressageand similar pettycashitemsinconnectionwiththe Work. 11.8.9 Costof premiums for additional Bonds and insurance required solely because of changes in the Work,nottoexceedtwopercent (2%)ofthe increase intheCostofthe Work. 11.9 ThetermCostoftheWork shall NOT include any ofthe following: 11.9.1 Payroll costs and other compensation of CONTRACTOR'S officers,executives,principals (of partnership and sole proprietorships),general managers,engineers,architects,estimators,lawyers, agents,expediters,timekeepers,clerks andother personnel employedby CONTRACTOR whetheratthesiteorinits principal ora branch office for general administration ofthe Work and not specifically included inthe schedule referred toin Subparagraph 11.5. 11.9.2 Expenses ofCONTRACTOR'S principal and branch offices other than itsofficeatthesite. 11.9.3 Any part of CONTRACTOR'S capital expenses,including intereston CONTRACTOR'S capital employedforthe Work and charges against CONTRACTORfor delinquent payments. 11.9.4 Costof premiums for all bonds and for all insurance policies whetherornotCONTRACTORis required bytheContractDocumentsto purchase and maintain thesame(exceptasotherwise providedin Subparagraph 11.8.9). 11.9.5 Costsduetothe negligence of CONTRACTOR,any Subcontractor,or anyone directly or indirectly employed byanyofthemorforwhose acts any ofthemmaybe liable,including butnot limited to,the correction of defective work,disposal of materials orequipment wrongly supplied and making goodany damage to property. 11.9.6 Other overhead or general expense costsof any kind and thecostsof any itemnot specifically andexpressly included in Paragraph 11.8. 11.10 TheCONTRACTOR'S fee which shall be allowed toCONTRACTORforits overhead and profit shall be determined as follows: 11.10.1 A mutually acceptable firm fixed price;orifnone can be agreed upon. 11.10.2 A mutually acceptable fixed percentage (nottoexceed 15%). 11.11 Theamountofcredittobe allowed byCONTRACTORtoOWNERforany such change which results in a net decrease in cost will be the amount of the actual net decrease in costs calculated in the same mannerasprovidedin 11.8.When both additions andcreditsareinvolvedinanyone change,thenet shall becomputedto include overhead and profit identified separately,forboth additions and credit providedhowever,the CONTRACTOR shallnotbeentitledtoclaimlostprofitsforany Work not performed. ARTICLE 12 -TIME FOR COMPLETION.LIQUIDATED DAMAGES AND CHANGE OF THE CONTRACT TIME. 12.1 Timeisofthe essence tothis contract andthedateof beginning andthetimeforcompletionof the Work areessentialconditionsofthe Contract.Therefore,the Work shall becommencedonthedatespecified intheNoticetoProceedandcompletedwithinthetimespecifiedforcompletionofthework. 12.2 TheCONTRACTORshallproceedwiththe Work atsuchrateofprogresstoensure full completion withinthe Contract Time.Itisexpresslyunderstoodandagreed,byandbetweenthe CONTRACTOR andtheOWNER,thatthe Contract Timeforthecompletionofthe Work describedhereinisa reasonabletime,takingintoconsiderationtheaverageclimaticandeconomicconditionsand other factors prevailing inthelocalityoftheWork.Noextensionoftime shall begranteddueconditions that the Contractor knewoforshouldhaveknownofbeforebiddingontheproject or duetoinclementweather, except as provided in section 12.7. 12.3 Ifthe CONTRACTOR shall fail to complete the Work withinthe Contract Time,or extension oftime grantedbythe CITY,thentheCONTRACTOR shall paytotheOWNER the amount ofliquidated damagesasspecifiedin the Contract Documentsforeachcalendardayafterthescheduleddatefor completionasadjustedbywrittenChange Orders that extended thecompletiondate. 12.3.1 Theseamountsarenotpenaltiesbutare liquidated damagesincurredbytheOWNERforits inability toobtain full useofthe Project Liquidated damagesareherebyfixedandagreedupon betweentheparties,recognizingthe impossibility ofpreciselyascertainingtheamountofdamages that will besustainedasaconsequenceofsuchdelay,andbothpartiesdesiringtoobviateany question or dispute concerning the amount ofsaiddamagesand the cost andeffectof the failure of CONTRACTOR to complete the Contract ontime.The above-stated liquidateddamagesshall apply separately toeachphaseofthe Project forwhichatimefor completion isgiven. 12.3.2 CITY is authorized todeducttheliquidateddamagesfrommoniesdueto CONTRACTOR forthe Work under this Contract 12.4 The Contract TimemayonlybechangedbyawrittenChange Order.Anyclaimforanextensioninthe CONTRACT TIME shall be based on written notice delivered to the CITY and CONSULTANT within five(5)businessdaysof the occurrence oftheevent giving risetotheclaimandstatingthegeneralnature ofthe claim includingsupportingdata.All claims foradjustmentinthe Contract Time shall beevaluated andrecommendedby the CONSULTANT,with final approvalbythe CITY'S representative.Anychange inthe Contract Timeresultingfromanysuchclaim shall be incorporated ina written Change Order. 12.5 All time limits stated in the Contract Documents are of the essence of the Contract 12.6 NoclaimfordelayshallbeallowedbecauseoffailuretofurnishDrawings before the expirationof fourteen (14)calendardaysafterdemandhasbeenmadeinwritingtotheCONSULTANTforsuch Drawings.Furthermore,there shall benomonetarycompensationforsuchdelayandthe CONTRACTOR'Ssoleremedy shall beanextensionoftimefortheperiodofdelay. 12.7 Extensionstothe Contract Timefordelayscausedbytheeffectsofinclement weather shall notbe grantedunlessthe weather wasunusualforSouthFloridaandcouldnothavebeenanticipated,the abnormal weather is documented by records fromthenational weather serviceandtheabnormal weather is documented to have had a substantial affected on the construction schedule. 12.8 NoDamagesforDelay:TheCONTRACTORagrees that heshallnothaveanyclaimfordamagesdueto delayunlessthedelay exceeds 6months,whether individually or cumulatively,andthenthedamagesshall belimitedtoincreased cost ofmaterials that wereunanticipatedand that wouldnothavebeenincurred butforthe delay.Other thanassetforthabove,theonlyremedyforanydelayshallbelimited to an extensionoftimeasprovidedforinSection 12.4 whichshallbethesoleandexclusiveremedyforsuch resultingdelay.Other than as set forth above,CONTRACTOR shall not be entitled to an increase in the Contract Price or payment or compensation ofanykindfrom OWNER for direct indirect consequential, impact or other costs,expenses ordamages,including but not limitedto,costs ofacceleration or inefficiency,overhead or lostprofits,arisingbecauseofdelay,disruption,interference orhindrancefrom anycause whatsoever,whether suchdelay,disruption,interference or hindrance be reasonable or unreasonable,foreseeable or unforeseeable,or avoidable or unavoidable. 12.9 TheCONTRACTOR waives all claims thatarenot presented totheCityin writing onorbeforethe 21 st day following thedateofthe event uponwhichthe claim is based. 12.10 Dispute Resolution:If anydispute concerning a question of fact arises underthe Contract otherthan termination for default or convenience,theCONTRACTOR and thecitydepartment responsible forthe administration oftheContract shall makeagood faith efforttoresolvethe dispute.Ifthe dispute cannot be resolved byagreementthenthedepartmentwiththe advice oftheCityAttorneyandthe CONSULTANT shall rule onthe disputed issue and sendawrittencopyofits decision tothe CONTRACTOR.CONTRACTOR shall comply with such decision and shall not delay the project. ARTICLE 13-GUARANTEE. 13.1 TheCONTRACTOR shall guarantee and unconditionally warrant through eitherthe manufacturer orthe CONTRACTOR directly,all materials and equipment furnished and Work performed for patent Defective Work fora period ofone(I)year from thedateof Final Acceptance as indicated intheCONSULTANT Letterof Recommendation of Acceptance,if issued,the Certificate of Occupancy,if issued,orthe Certificate of Completion,if issued bythe City,whichever is applicable and ifmorethanoneis applicable, theonethatis issued last for patent Defective Work,.The same guarantee and unconditional warranty shall beextendedforthree(3)years from thedateof Final Acceptance as indicated intheCONSULTANT Letterof Recommendation of Acceptance,if issued,the Certificate of Occupancy,if issued,orthe Certificate of Completion,if issued bythe City,whichever is applicable and ifmore than oneis applicable, theonethatis issued last,forlatent Defective Work.The CITY will give noticeof observed defects with reasonable promptness.In the event thatthe CONTRACTOR should fail to commence to correct such Defective Work within ten (10)calendar days after having received writtennoticeofthe defect,or should theCONTRACTORcommencethe corrective work,but fail to prosecute the corrective work continuously and diligently andin accordance withtheContract Documents,applicable law,rules and regulations,theCITY may declare an eventof default terminate theContract in wholeorin part and cause the Defective Work toberemovedor corrected and tocompletethe Work atthe CONTRACTOR'S expense,and theCITY shall charge theCONTRACTORthecostthereby incurred.The Performance Bond shall remain in full force and effect through the guarantee period. 13.2 The specific warranty periods listed in the Contract Documents,if different from the period oftime listed inSection 13.1,shall takeprecedenceoverSection 13.1. 13.3 CONTRACTOR shall act as agent,ona limited basis for the OWNER,atthe CRTs option,solely for the follow-up concerning warranty compliance for all items under manufacturer's Warranty/Guarantee and forthe purpose of completing all forms for Warranty/Guarantee coverage under thisContract 13.4 In case of default bythe CONTRACTOR,theCityof South Miami may procure the articles or services from other sources and hold the CONTRACTOR responsible for any excesscosts occasioned or incurred thereby. 13.5 The CITY may withhold acceptance of,or reject items which are found upon examination,nottomeet the specification requirements.Upon written notification of rejection,items shall be removed within five (5)business days bythe CONTRACTOR at his own expense and redelivered at his expense.Rejected goods left longer than thirty (30)calendar days shall be regarded as abandoned and theCity shall have the right to dispose ofthem as its own property and the CONTRACTOR thereby waives any claim tothe good orto compensation of any kind.Rejection for Non-Conforming Workor failure tomeet delivery schedules mayresultintheContract being found in default. ARTBCLE 14 -PAYMENTS AND COMPLETION. Payments to Contractor 14.1 TheContractor shall notbeentidedto any money for any work performed beforethe issuance ofa Noticeto Proceed onthe form described in the Contract Documents and the issuance bytheCityofa "purchaseorder",orany other document does not and shall not authorize the commencement of the Work.At least ten (10)calendar days before each progress payment falls due(butnotmoreoftenthan onceamonth),the CONTRACTOR shall submittotheCONSULTANTa partial paymentestimate filled out and signed bytheCONTRACTOR covering theWork performed during the period covered bythe partial paymentestimateandsupportedby such data astheCONSULTANTmay reasonably require.All progresspayment applications afterthefirstprogresspayment shall be accompanied by partial releases of lien executed by all persons,firmsand corporations who havefurnishedlabor,services ormaterials incorporated into the work during the periodoftimeforwhich the previousprogresspayment was made, releasingsuchclaimsandlienrights,ifany,of those persons.If payment is requested on the basis of materialsand equipment not incorporated in the Work but delivered andsuitably stored atornearsite, the partial payment estimate shall alsobeaccompaniedbysuchsupporting data,satisfactorytotheCITY, whichestablishes the OWNER'S titletothematerialand equipment aswellascertificatesofinsurance providingcoveragefor 100%of the valueofsaidmaterialand equipment covering the materialand equipment from all casualtiesaswellastheft,vandalism,fireandflood.The CONTRACTOR shallreplace atits expense any stored materialspaidforwhichare either damagedor stolen before installation.The CONSULTANT willwithinten (10)calendardaysafterreceipt of each partial paymentestimate,either certifyinginwritingitsapprovalofpaymentandpresentthe partial payment estimate to the OWNER,or returnthe partial paymentestimatetothe CONTRACTOR,indicatinginwritinghisreasonsforrefusing to approve payment In the lattercase,the CONTRACTOR maymake the necessary corrections and resubmit the partial paymentestimate.The OWNER,willwithinthirty(30)calendardaysof presentation toit of anyapproved partial paymentestimate,paythe CONTRACTOR aprogresspaymenton the basis oftheapproved partial payment estimate.The OWNER shall retainten (10%)percent of the amount of eachpaymentuntil Final Completion andAcceptanceof all Work covered by the Contract Documents. Any interest earnedon the retainage shall accruetothebenefitofthe OWNER. 14.2 The CONTRACTOR,beforeit shall receive final payment shall delivertotheCITYa Contractor's Final Payment Affidavit as set forthin the Florida Construction Lien Statute aswellas final releases oflien executed by all persons who have performed orfurnishedlabor,servicesormaterials,directlyor indirectly,whichwasincorporatedintothe Work.Ifanypersonrefusestoprovidesucharelease or providesaconditionalrelease,the CITY shall havetheright to issueajointcheckmade payable to the CONTRACTOR andsuchperson. Contractor's Warranty of Title 14.3 The CONTRACTOR warrantsand guarantees thattideto all Work,materials andequipmentcoveredby anApplicationforPayment whether the Work,material or equipment isincorporatedintheProjector not shall havepassedto the OWNER priortothemakingof the ApplicationforPaymentfreeandclear of all liens,claims,securityinterestand encumbrances (hereafterintheseGeneralConditionsreferredto as "Liens");andthatno Work,materials orequipmentcoveredbyan Application for Payment,will have been acquired bythe CONTRACTOR orbyanyotherperson performing the Work atthesiteor furnishing materials andequipmentforthe Project,underorpursuanttoanagreementunderwhichan interestthereinorencumbrancethereonisretainedbythesellerorotherwiseimposedbythe CONTRACTOR orsuch other person. Approval of Payment 14.4 TheCONSULTANTS approval ofanypaymentrequestedinan Application forPayment shall constitutea representation byhim to the CITY,basedon the CONSULTANT'S onsite observations of the Work in progressasanexperienced professional andonhisreviewof the Application forPaymentandsupporting data,thatthe Work has progressed tothepoint indicated inthe Application for Payment;that tothe besthisknowledge,informationand belief,the quality ofthe Work isin accordance withtheContract Documents(subjecttoan evaluation ofthe Work asa functioning Projectupon substantial completionas defined inArticle I,tothe results of any subsequent tests called forintheContract Documents and any qualifications statedinhis approval);and thattheCONTRACTORisentitledtopaymentoftheamount approved.However,by approving,anysuch payment theCONSULTANT shall nottherebybedeemed to have represented thathemade exhaustive or continuous on-site observations tocheckthe quality or the quantity oftheWork,orthathe has reviewed the means,methods,techniques,sequences and procedures of construction orthathe had made any examination to ascertain howorforwhatpurpose the CONTRACTOR hasusedthemoneys paid ortobe paid tohimonaccountoftheContract Price,or thattidetoanyWork,materials,orequipment has passed totheOWNERfreeand clear ofany liens. 14.5 TheCONTRACTOR shall makethe following certification on each requestforpayment "Ihereby certify thatthe labor and materials listed onthisrequestfor payment have been used inthe constructionofthis Work andthat all materials included inthisrequestforpaymentandnotyet incorporatedintotheconstructionarenowonthesiteor stored atanapprovedlocation,andpayment received from the last requestfor payment has been used to make payments,to all his Subcontractors and suppliers,except for the amounts listed below beside the names ofthe persons who performed work orsuppliedmaterials". In the event thatthe CONTRACTOR withholds payment from a Subcontractor or Supplier,the same amount of money shall be withheld from the CONTRACTOR'S payment until the issue is resolved by written agreement betweenthem and thena joint check shall be made payable tothe person inquestion and the CONTRACTOR in accordance withthe settlement agreement otherwise the money shall be held bytheOWNER until a judgment is entered in favor ofthe CONTRACTOR orthe person,in which case themoney shall be paid according with said judgment Nothing contained herein shall indicate an intenttobenefitanythirdpersonswhoarenot signatories totheContract 14.6 The CONSULTANT may refuse to approve the whole or any part of any payment if,in its opinion,it is unable to make such representations tothe OWNER as required this Section 14.It mayalso refuse to approve anypaymentoritmayvoidanyprior payment application certification because of subsequently discovered evidence orthe results of subsequent inspection orteststo such extent as may be necessary in its opinion to protect the OWNER fromlossbecause: 14.6.1 of Defective Work,or completed Work has been damaged requiring correction or replacement 14.6.2 the Work forwhich payment isrequestedcannotbe verified, 14.6.3 claims of Liens have been filed or received,orthereis reasonable evidence indicating the probable filing orreceiptthereof, 14.6.4 the Contract Pricehasbeenreducedbecauseofmodifications, 14.6.5 the CITY has correct Defective Work or completed theWorkin accordance withArticle 13. 14.6.6 of unsatisfactory prosecution oftheWork,including failure to clean up as required by paragraphs 6.29 and 6.30, 14.6.7 of persistent failure to cooperate withother contractors onthe Project and persistent failure to carry out the Work in accordance with the Contract Documents, 14.6.8 of liquidated damages payable bytheCONTRACTOR,or 14.6.9 of any other violation of,or failure to comply with provisions oftheContract Documents. 14.7 Prior to Final Acceptance the OWNER,with the approval ofthe CONSULTANT,may use any completed or substantially completedportionsofthe Work provided suchusedoesnotinterferewiththe CONTRACTOR'S completion oftheWork.Such use shall not constitute an acceptance of such portions of the Work. 14.8 TheCITY shall have the right toenterthe premises for the purpose of doing Work not covered bythe Contract Documents.This provision shall notbeconstruedas relieving theCONTRACTORofthesole responsibility forthecare and protection oftheWork,orthe restoration ofany damaged Work except suchasmaybecausedbyagentsoremployeesofthe OWNER. 14.9 Uponcompletionand acceptance ofthe Work theCONSULTANT shall issueaCertificateattachedto the Final Application for Payment thatthe Work has been accepted byitunderthe conditions ofthe Contract Documents.Theentire balance found tobeduetheCONTRACTOR,including the retained percentages,but except suchsumsasmaybe lawfully retained bytheOWNER,shall be paid tothe CONTRACTOR withinthirty (30)calendar days of completion and acceptance oftheWork. 14.10 UponThe awarded CONTRACTOR will be strongly encouraged toregisterasan ePayables Vendorwith theOwner.TheBankofAmerica ePayables Solution isanautomatedcardpaymentprocessthatshifts accounts payable disbursementstocorporate purchasing cards.ePayables,streamlinetheprocessof makingpaymentstoyour organization going forward,theCity will providethe CONTRACTOR witha creditcardaccountnumbertokeepon file.This card hasuniquesecurity features,with$0of available funds until an invoice is approved forpaymentAfter an invoice has receivedproperandcomplete approval,an electronic remittance advicewillbe sent viae-mail,or fax,which notifies the CONTRACTOR that the funds have been transferred in to the account linked to the card for the amount listed onthe invoice and/orremittance email.Please refertothe ePayables Questions&Answers Form containedinthis RFP orcontacttheOWNER'S Finance departmentat(305)663-6343withanyquestions. Acceptance of Final PaymentasRelease 14.11 The Acceptance by the CONTRACTOR of Final Payment shall beand shall operate asareleaseto the OWNER anda waiver of allclaimsandall liability to the CONTRACTOR other thanclaims previously filedandunresolved.The waivershallinclude all thingsdoneorfurnishedin connection with the Work andforeveryactandneglectofthe OWNER and others relatingtoorarising out ofthis Work.Any payment however,final or otherwise,shall not releasethe CONTRACTOR oritssuretiesfromany obligationsunder the Contract Documents orthePerformanceBondandPaymentBonds. 14.12 The CONSULTANT mayvoidany certification of Substantial Completionor Final Completionof the Work asmaybenecessaryinhisopinionto protect the OWNER fromlossifhe determines,becauseof subsequentlydiscoveredevidenceortheresultsof subsequent inspectionortests,that 14.12.1 the Work isdefective,orthatthecompleted Work hasbeendamageddueto the faultof the CONTRACTOR orany individual orentityoperatingunderor through itrequiring correction or replacement to the extent thattheprojectisnolongerSubstantially Completed,orin the case of Final Completion certification,isnolonger Finally Competed. 14.12.2 the Work necessary tobe completed for the purposeofcertifying the work asbeing Substantially Completed or Finally Completed cannot beverified, 14.12.3 claims or Lienshavebeenfiledorreceived,or there isreasonable evidence indicating the probable filing or receipt thereof that ifvalidandpaid,would reduce the amount owing to the CONTRACTOR BY20%inthecaseofSubstantial Completion and5%in the case of Final Completion. 14.12.4 thereisDefective Work the valueofwhich,if deducted fromthe contract price would reduce the amount owing to the CONTRACTOR BY20%in the caseofSubstantial Completion and5% inthecase of Final Completion. 14.13 If the CONSULTANT de-certifiesanyportionofthe Work thatwascertified ("Initial Certification")by the CONSULTANT,the CONTRACTOR shall repaytotheCityofSouth Miami any money paidasa resultof said Initial Certificationbeingissuedwhich shall be paid onlywhenthedecertified work isre certified. ARTBCLE 15 -SUSPENSBON OF WORBC AND TERMBNATBQN. 15.1 TheCITYmay,atanytimeand without cause,suspendthe Work oranyportion thereof foraperiodof not more than ninety (90)calendardaysbynoticeinwriting to the CONTRACTOR and the CONSULTANT,which shallfix the date on which Work shall be resumed.The CONTRACTOR shall be allowedanincreaseinthe Contract Price oranextension of the Contract Time,orboth,directly attributabletoanysuspensionandifa claim istimelymadeandifitisallowedunderthe terms of Articles II or Article 12. CityMay Terminate 15.2 Ifthe CONTRACTOR is adjudged bankruptorinsolventorifhemakesa general assignmentforthe benefitofitscreditors,orifatrusteeorreceiverisappointedforthe CONTRACTOR orforanyits property,orifhe files apetitiontotake advantage ofanydebtor'sactortoreorganizeunderbankruptcy or similar laws,orifherepeatedly fails tosupplysufficientskilled workmen orsuitablematerialsor equipment orifherepeatedly fails tomakepromptpaymentstoSubcontractorsorforlabor,materialsor equipment orhedisregards laws,ordinances,rules,regulationsororders of any public bodyhaving jurisdiction,orifhe disregards theauthorityofthe CONSULTANT,orifheotherwiseviolatesany provision of,theContractDocuments,thentheCITY may,withoutprejudicetoanyotherrightor remedyandafter giving the CONTRACTOR andtheSuretyseven(7)calendar dayswrittennotice, terminatetheservices of the CONTRACTOR andtakepossessionof the Projectandof all materials, equipment tools,constructionequipmentand machinery thereonownedbythe CONTRACTOR,and finish the Work bywhatevermethoditmaydeem expedient In such casethe CONTRACTOR shall not beentidedtoreceiveanyfurtherpayment until the Work is finished.Ifthe unpaid balance ofthe Contract Price exceeds thedirectandindirectcostsofcompletingthe Project including compensation for additional professional services,suchexcess shall be paid tothe CONTRACTOR.Ifsuchcosts exceed suchunpaid balance,the CONTRACTOR ortheSuretyonthePerformanceBond shall pay the difference totheOWNER.Such costs incurred bytheOWNER shall bedeterminedbythe CONSULTANT andincorporatedina Change Order. If after termination ofthe CONTRACTOR under this Section,itis determined byacourtofcompetent jurisdiction forany reason thattheCONTRACTORwasnotindefaultthe rights and obligations of the OWNER and the CONTRACTOR shall bethe same as ifthe termination had been issued pursuant to .Section 15.5 15.3 Wherethe CONTRACTOR'S services have beenso terminated bytheCITY said termination shall not affect any rights oftheOWNER against theCONTRACTORthen existing or which maythereafter accrue.AnyretentionorpaymentofmoneysbytheOWNERduethe CONTRACTOR shall notrelease the CONTRACTOR from liability. 15.4 Uponseven(7)calendar days'writtennoticetothe CONTRACTOR andthe CONSULTANT,theCITY may,withoutcauseandwithout prejudice toanyotherrightorremedy,electtoterminatetheContract forthe convenience ofthe OWNER.In such case,theCONTRACTOR shall be paid for all Work executed and accepted bytheCITY as ofthe date ofthe termination,minus any deduction for damage or Defective Work.No payment shall be made for profit for Work which has notbeen performed. 15.4A The CITY reserves the right in theeventthe CONTRACTOR cannot provide an item(s)or service(s)ina timely manner as requested,to obtain the good and/or services from other sources and deducting the cost from theContract Price without violating theintentoftheContract Removal of Equipment 15.5 In the case of termination ofthisContractbefore completion forany cause whatever,the CONTRACTOR,if notified todosobythe CITY,shall prompdy removeany part or all ofitsequipment andsuppliesfromthepropertyofthe OWNER.Shouldthe CONTRACTOR not remove such equipmentand supplies,theCITY shall havetherighttoremovethemattheexpenseofthe CONTRACTOR and the CONTRACTOR agrees thattheOWNER shall notbe liable for loss or damage tosuchequipmentor supplies.Equipment and supplies shall notbeconstruedto include suchitemsfor whichthe CONTRACTOR hasbeen paid inwholeorinpart Contractor May Stop Work orTerminate 15.6 If,through noactor fault oftheCONTRACTOR,the Work issuspendedforaperiodofmorethan ninety (90)calendar days bytheCITYorbyorderofother public authority,orunderanorderofcourt ortheCONSULTANT fails toartonany Application for Payment withinthirty (30)calendar days afterit issubmitted,orthe OWNER fails topaythe CONTRACTOR anysumapprovedbythe CONSULTANT, withinthirty(30)calendar days ofits approval,and presentation,thenthe CONTRACTOR may,upon twenty (20)calendardays written noticetotheCITYandthe CONSULTANT,terminate the ContractTheCITYmayremedythe delay orneglect within thetwenty(20)calendar daytime frame.If timelyremediedbythe CITY,theContract shall notbe considered terminated.In lieu of terminating the ContractiftheCONSULTANThas failed toactonan Application for Payment orthe OWNER has failed tomakeanypaymentasafore said,the CONTRACTOR mayuponten (10)calendar days'noticeto the CITYand the CONSULTANT stopthe Work untilithasbeen paid all amountsthendue. Indemnification of Independent Consultant 15.7 The CONTRACTOR andtheCITYhereby acknowledges thatiftheCONSULTANTisanindependent contractoroftheOWNER,theCONSULTANTmaybe reluctant toruleonanydisputes concerning the ContractDocumentsoron the performanceofthe CONTRACTOR orthe OWNER pursuanttothe terms ofthe Contract Documents.Therefore,the OWNER,at the CONSULTANTS request agrees to providethe CONSULTANT withawritten indemnification andholdharmlessagreementtoindemnify andholdthe CONSULTANT harmlessastoany decision inthis regard beforethe CONSULTANT makes an interpretation,de-certifiesapayment application,decertifies Substantial Completion,decertifies Final Completion,certifiesan event of default orapprovesanyactionwhichrequirestheapprovalofthe CONSULTANT. ARTBCLE 16-MISCELLANEOUS. 16.1 Whenever any provision oftheContractDocumentsrequiresthe giving ofwrittennoticeit shall be deemed tohavebeen validly givenifdeliveredinpersontothe individual ortoa member ofthe firm or toanofficerofthecorporationfor whom itisintended,orifdeliveredatorsentbyregisteredor certifiedmail,postageprepaid,to the last known businessaddress. 16.2 The Contract Documents shall remainthepropertyofthe OWNER.The CONTRACTOR and the CONSULTANT shall have the righttokeeponerecordsetoftheContract Documents upon completion of the Project 16.3 Thedutiesand obligations imposedbytheseGeneralConditions,Special ConditionsandSupplementary Conditions,ifany,andtherightsandremedies available hereunder,and,in particular but without limitation,thewarranties,guaranteesandobligationsimposedupon CONTRACTOR bythe Contract Documents and the rightsand remedies available to the OWNER and CONSULTANT thereunder,shall beinadditionto,and shall notbeconstruedinanywayasalimitationof,anyrightsandremedies available by law,by special guaranteeorby other provisionsoftheContractDocuments. 16.4 Shouldthe OWNER orthe CONTRACTOR suffer injury or damage toitspersonorpropertybecauseof anyerror,omission,oract of the other orofanyof their employees oragents or others for whose acts theyare legally liable,claim shall bemadeinwritingtothe other partywithin twenty-one (21)calendar daysof the firstobservance of suchinjuryordamage. E 17- 17.1 OWNER and CONTRACTOR knowingly,irrevocably voluntarily and intentionally waiveanyrighteither mayhavetoatrialbyjuryinStateor Federal Court proceedingsinrespecttoanyaction,proceeding, lawsuitorcounterclaim arising out ofthe Contract Documents or theperformanceofthe Work thereunder. 8-ATTORNEYS FEES BURBSDBCTBON /VENUE / 18.1 TheContract shall beconstruedinaccordancewithandgovernedbythelawoftheStateof Florida. 18.2 Thepartiessubmittothe jurisdiction ofanycourtof competent jurisdiction in Florida regarding any claim oractionarising out oforrelatingto the Contract or Contract Documents.Venue ofanyaction to enforcetheContract shall bein Miami-Dade County,Florida. 18.3 Exceptasmaybe otherwise providedintheContractDocuments,all claims,counterclaims,disputesand other mattersinquestion between the OWNER andthe CONTRACTOR arising out oforrelatingto this Contract orthebreach thereof,shall bedecidedina court of competent jurisdictionwithin the State of Florida. ARTICLE B9 •PROJECT RECORDS. 19.1 TheCITY shall haverighttoinspectandcopy during regular businesshoursat OWNER'S expense,the booksandrecordsandaccountsof CONTRACTOR whichrelateinanywayto the Project andtoany claim for additional compensationmadeby CONTRACTOR,andtoconductanauditofthe financial and accountingrecordsof CONTRACTOR whichrelatetothe Project CONTRACTOR shall retainand make available to CITY all such books and records and accounts,financial or otherwise,which relate to theProjectandtoany claim foraperiodof three (3)years following final completionofthe ProjectDuringtheProjectandthethree(3)yearperiod following final completionofthe Project CONTRACTOR shall provideCITYaccesstoitsbooksandrecordsupon five (5)businessday'swritten notice. 19.2 CONTRACTOR and all ofitssubcontractorsarerequiredtocomplywiththepublicrecordslaw (s.l 19.0701)whileprovidingservicesonbehalfofthe OWNER andthe CONTRACTOR,undersuch conditions,shall incorporate this paragraph in all ofits subcontracts forthis Project CONTRACTOR anditssubcontractorsare specifically requiredto:(a)Keepand maintain public recordsrequiredbythe public agencytoperform the service;(b)Uponrequestfrom the public agency's custodianof public records,providethe public agencywithacopyoftherequestedrecordsorallowtherecordstobe inspectedorcopiedwithinareasonabletimeatacostthatdoes not exceed the cost providedinthis chapteroras otherwise providedby law;(c)Ensurethat public recordsthatare exempt or confidential and exempt from public recordsdisclosurerequirementsare not disclosed except asauthorizedbylaw forthedurationofthecontracttermand following completionofthecontractifthecontractordoesnot transfertherecordstothe public agency;and(d)Uponcompletionofthe contract transfer,atno cost tothe public agency all public recordsinpossessionofthe contractor orkeepand maintain public records requiredbythepublicagencytoperformtheservice.If the contractor transfersallpublic records to the publicagencyuponcompletionofthecontract,the contractor shall destroyanyduplicate public records thatareexemptorconfidentialandexemptfrom public records disclosurerequirements.Ifthe contractor keepsandmaintains public records uponcompletionof the contract the contractor shallmeet all applicable requirementsfor retaining public records.All recordsstored electronically mustbeprovided to the public agency,uponrequestfromthe public agency's custodianof public records,inaformatthatis compatible with the information technology systemsofthe public agency. ARTICLE 20 -SEVERABILI1TY. 20.1 If any prpvisipn ofthe Contract orthe application thereoftoanypersonorsituation shall to any extent beheld invalid or unenforceable,theremainderofthe Contract andthe application ofsuchprovisionsto personsorsituations other thanthoseasto which it shall have beenheld invalid or unenforceableshall notbe affected thereby,and shall continue in full force and effect and be enforced tothe fullest extent permitted bylaw. ARTICLE 21 -INDEPENDENT CONTRACTOR. 21.1 The CONTRACTOR isanindependent CONTRACTOR underthe Contract Services providedbythe CONTRACTOR shall beby employees ofthe CONTRACTOR andsubjectto supervision bythe CONTRACTOR,andnotas officers,employees,oragentsofthe OWNER.Personnel policies,tax responsibilities,socialsecurityandhealth insurance,employee benefits,purchasing policies and other similaradministrative procedures,applicableto services rendered underthe Contract shallbe those of the CONTRACTOR.
