Steven Alexander, City Manager An Ordinance authorizing the City Manager to execute a Third . Amendment to the lease agreement with Miami-Dade County for. the· use of the City of South Miami building located at 6121 SW 68th Street.' . On March 15, 1983, the City of South Miami entered into an agreement with Miami-Dade . County for the use of the City building located at 6121 SW 68 th Street. The 4555 square feet space has been used by Miami-Dade County for the purpose of conducting the Headstart Program under the supervision of Miami-Dade County Community Action Agency. Since 1983, the agreement has been amended twice via resolution, with the most recent being February 13, 2004, which increased the annual lease amount to $22,000. Furthermore, on July 20, 2009, the City's Public Works Engineering Director sent a letter to the County respectfully requesting that the County pay $27,000 annually for the use of the building. Between FY 2008-2009 through FY 2013-2014, the County staff did agree and was paying the City of South Miami the annual amount of $27,000. However, on August of 2015, the County provided the City with a paymentfor$22iOOO~ leaving a balance of $5,000 due to the fact that the City and County did not have a Third Amendment to the Lease providing for the approval of County staff to make payment tothe City otan amount of $27,000. Since FY 2014-2015, the County has been paying the City the amount provided on the Second Amendment to the lease of $22,000 annually. The City and the County are in agreement of securing retroactive ~pproval for the rental payments made between FY 2008-2009 . I Attachments: and 2014-2015; and approval for an increase in the annual rental rate beginning in' 2015 to $27,000. The City and the County hereby mutually agree to the terms and conditions reflected in this Third Amendment, including that retroactively the rent for the use and occupancy of the subject property starting in FY 2008-2009 shall be $27,000. Lastly, the annual lease payment shall be adjusted on January 1 of the year following the Commencement Date,and thereafter on each successive January 1 during the balance of the Term (and any renewal thereof) by adding to the annual lease amount . payment an amount equal to the annual lease amount multiplied . . each year by the September Percentage Increase in the Consumer Price Index revision for Urban Wage Earners and Clerical Workers, as it adjusts from time-to-time. This new sum shall become the new annual lease amount. The County shall maintain and purchase the electricity, water and sewer, 17 exterminating, emergency backup lighting and cleaning supplies to be used by the 18 County. The City will provide the manpower for the jani~orial and custodial .services , 19 necessary to maintain the premises, with the County supplying all the necessary 20 cleaning supplies. The City will continue to maintain landscaping of the premises; and 21 NOW THEREFORE BE IT ORDAINED BY THE MAYOR AND CITY COMMISSION OF 22 THE CITY OF SOUTH MIAMI, FLORIDA; 23 Section 1. The City Manager is authorized to execute a Third Amendment to the 24 lease agreement with Miami-Dade County for the use of the City of South Miami 25 building located at 6121 SW 68th Street. 26 Section 2. The attached Third Amendment to the lease agreement between 27 Miami-Dade County and City be made a part of this ordinance. 28 Section 3. Severability. If any section, clause,' sentence, or phrase of this 29 ordinance is for any reason held invalid or unconstitutional by a court of competent 30 jurisdiction, this holding shall not affect the validity of the remaining portions of this 31 ordinance. 32 Section 4. Ordinances in Conflict. All ordinances or parts of ordinances and all 33 sections' and parts of sections of ordinances in direct conflict herewith are hereby 34 repealed. 35 Section 5. WHEREAS, by Resolution No. R-305-83, adopted by the Board of County Commissioners on March 15, 1983, the Landlord and Tenant entered into a Retroactive Lease Agreement ("Lease"), for a portion of the property located at 6121 S.W. 68th Street, Miami, Florida (Folio No.: 09-4025-063-0030), commencing on or about February 1, 1983, for the use of that certain property for a Head Start Program and Community Service Cente~, which Lease is incorporated herein by reference; and WHEREAS, by Resolution No. R-179-84, adopted by the Board of County Commissioners on February 2, 1984, the Landlord and Tenant entered into a First Amendment to Lease Agreement for the purpose of increasing the amount of custodial and utilities services that the Tenant was required to pay from Fifteen Thousand Six Hundred Sixty-two ($15,662.00) Dollars to Seventeen Thousand Four Hundred Seventy-five ($17,475.00) Dollars annually, and which First Amendment to Lease Agreement is incorporated herein by reference; and WHEREAS, by Resolution No. R-159-04, adopted by the Board of County Commissioners on February 3, 2004, the Landlord and Tenant entered into a Second Amendment to Lease Agreement ("Second Amendment") on or about February 13,2004, for the purpose of increasing the annual rent to Twenty-two Thousand ($22,000.00) Dollars, and requiring the Tenant to purchase (secure) and maintain the utilities at the property (including electricity, water and sewer services, emergency back-up lighting), along with extermination services, and cleaning supplies to be used by the Tenant, which Second 1 - City of South Miami -Third Lease Amendment Amendment is incorporated herein by reference; and WHEREAS, between 2009 through 2015, the Tenant has paid the Landlord the annual amount of Twenty-seven Thousand ($27,000.00) Dollars, instead of Twenty-two Thousand ($22,000.00) Dollars, resulting in an overpayment of Twenty-five Thousand ($25,000.00) Dollars; and WHEREAS, at the beginning of 2015, the Tenant stopped paying the amount of Twenty-seven Thousand ($27,000.00) Dollars annually, and instead paid the Landlord the previously agreed upon amount of Twenty-two Thousand ($22,000.00) Dollars annually, for years 2015, 2016, and 2017; and WHEREAS, the pcuiies are desirous of securing retroactive approval for the rental payments made between 2009 and 2015; and approval for an increase in the rental rate beginning in 2015 to Twenty-seven Thousand ($27,000.00) Dollars annually. NOW, THEREFORE, the Landlord and the Tenant hereby mutually agree to the terms and conditions reflected in this Amendment, including that retroactively the rent for the use and occupancy of the subject property starting in 2009 shall be Twenty-seven Thousand ($27,000.00) Dollars. WITNESSETH: 1.) The parties hereto agree that the foregoing recitals are true and correct, and are incorporated herein by reference. 2.) That the parties, for and in consideration of the restrictions and agreements herein contained, hereby issues this Third Amendment to rectify the overpayment of rental payments to the Landlord between 2009 and 2015. 3.) The parties hereby agree to amend and modify Section 2 of the Second Agreement to adjust the amount of the rent so that the annual rental rate shall be Twenty-seven Thousand ($27,000.00) Dollars, to be paid in equal monthly rental payments, due on or before the first of each month in the amount of Two Thousand Two Hundred Fifty ($2,250.00) Dollars. , 4.) The parties hereby further agree to amend and modify Section 2 of the Second Agreement to annually adjust the amount of the rent, beginning in 2018, by an additional two (2%) percent, which two 2- City of South Miami -Third Lease Amendment (2%) percent increase shall thereafter be automatically added annually to the rent. 5.) The parties hereto agree that except for the foregoing increase in rent, all other terms and conditions of the Lease, along with any and all previously amendments, shall remain in full force and in effect.
