Res No 010-17-14811RESOLUTION NO.010-17-1481 1 A Resolution authorizing the City Manager to execute a contract relating appointing Harold V.Hickey,Esquire,as Special Master for the City of South Miami. WHEREAS,the useof Special Magistratehasproventobeanexpeditious,cost effective andfairmeansof adjudicating issuesrelating to code violations;and, WHEREAS,basedonhis background,experience,and past performance the CityManager recommends HaroldV.Hickey,Esq.,to fill a term of one year to provide the SpecialMagistrate services to the CityofSouth Miami commencingFebruary7,2017,andendingFebruary6,2018; and, WHEREAS,the MayorandCity Commission accept the above recommendation. NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA; Section I.The CityManageris hereby authorized to enter intoa contract withHarold V.Hickey,Esq.,to serve asSpecialMasterfor the CityofSouth Miami pursuant to the City's Code of Ordinances at the rate of$100.00 per hour tobecharged to account No.001 -1640-524-3 III, Code Enforcement ProfessionalServicesSpecialMagistrate. Section 2.Ifany section clause,sentence,or phrase ofthis resolution is for any reason held invalid or unconstitutional bya court of competent jurisdiction,the holdingshall not affect the validityof the remaining portions ofthis resolution. HaroldV.Hickey,Esq.,maintainsaprivate practice focusedin probate, guardianshipandreal estate mattersand civil litigation.Healso presides over the OfficeofCriminalConflictandCivilRegional Counsel ThirdRegion,and isthe Special Magistrate ofthe Eleventh Judicial Circuitof Florida (December 1998-Present).Pursuanttothe above-referenced ordinance,staff recommends the re-appointment ofHaroldVHickey,Esq. HaroldV.Hickey,Esq.will beappointedtoserveforaperiodof one-year commencing February7,2017,andending February 6,2018 or until other successor isappointedbytheCityCommission.Thenegotiatedfeeto provide said services is$100.00 per hour. $2,500 (estimated expense) Funds are budgetedinaccountnumber 001-1640-524-3111 withabalanceof $3,600. Resolution Contract CONTRACT BETWEEN CITY OF SOUTH MIAMI AND HAROLD V.HICKEY,ESQUIRE This contract-is made and entered into this^_day of j_w\2017 between the City ofSouth Miami (City),aFloridamunicipalcorporation,locatedat6130Sunset Drive,South Miami,Florida 33143Harold V.Hickey,Esq.(Special Master),individually,locatedat633 NE 167th St,Miami,FL 33162. WITNESSTH: WHEREAS,the City desires toengageand retain the services oftheSpecialMaster toperform Special Masterservicesasdescribedinthis contract andthe Special Master desires to accept the engagement;and, NOW THEREFORE,in consideration ofthesumTen dollars ($10.00),the mutual promisesand covenants containedinthiscontract,andfor other goodandvaluable consideration,the receipt andlegalsufficiencyofwhichis acknowledged byboth parties, the parties agree asfollows, 1.RECITALS 1.1.The above recitals are incorporated herein and made a part of this contract by reference. 2.SCOPE OF WORK 2.1.The scope of work for this project shallbeas provided within theCity'sCodeof Ordinances,section2-24and2-25andassetforthintheSpecial Master's agendaissuedby theCity.Workshallcommenceuponthe issuance andtransmittalofanagendabytheCity totheSpecialMaster. 3.COMMENCEMENT DATE AND TERM 3.1.The term shall commence upondateofthe execution ofthis contract,butnot earlier than February 7,2017 and expires on February 6,2-0-18.^p\e**&e/\3&s ^26 )T .!f> 3.2.Workshall commence upontheissuanceofan agenda bythe City.Workshall proceed in substantial compliance withthescheduleof services contained inthescopeof workandas provided intheagendaissuedbythe City. 4.PAYMENT 4.1.TheCityshallpaytheSpecialMasteronehundredfiftydollars ($100.00)per hourasprovidedin2-24 of theCity'scodeof ordinances. 4.2.TheCityshallnotbeliabletopay,and shallnot pay,chargesfor extra work, delaycharges,or additional work,unlesstheCityManager specifically authorizes the extra or additional work,in a written order before the commencement of the work.In no event shall the total amount paid under this contract exceed the annual budgeted amount of two thousand dollars ($2,500.00)unless approved by resolution of the commission*. Page 1 of 5 5.TRANSFER AND ASSIGNMENT 5.1.Noneof the work or services under this contract shall be subcontracted unless the Special Master obtainspriorwrittenconsent from the City.Approved subcontractors shallbe subject toeach provision ofhiscontractandthe Special Master shallbe responsible and indemnify the Cityforall subcontractors'acts,errors oromissions. 5.2.The Special Master shallnot assign,transferorpledgeanyinterestinthis contract,however,claims for moneybythe Special Master from the City underthiscontract maybe assigned,transferredor pledge toa bank,trust company,orother financial institution without the City's approval.Written notice of any assignment,transfer or pledge of funds shall be furnished bythe Special Master tothe City within tendaysofthe assignment,transfer orpledge.. 6.TERMINATION 6.1.Eitherpartymayterminatethiscontractpriortothe expiration oftheinitial termoranysubsequentrenewaltermonaccountofamaterialbreachofthiscontractbythe other party.Thecontract shall notbeterminateduntilthe breaching partyis given written noticeofthe breach andten(10)daystocure the default.If the defaultiscure within ten (10)daysofthenotice,thenthecontractmaynotbeterminated. 6.2.If thedefaultisnotcuredwithintheten(10)days cure period,thenthecontract shall automatically terminate upon the expiration often (10)days following the receipt of the notice of breach. 6.3.Intheeventthatthe Special Master isunabletocompletetheservices identified in Paragraph 2.1 due to causes beyond the Special Master's control,the Special Master may terminatethiscontractpriortothe expiration ofthe initial termorany subsequent renewal termuponnotlessthanten-dayspriorwrittennoticetothe City. 6.4.The City shall have no liability tothe Special Master for consequential damages, including lost profits in the event of termination or otherwise. 6.5.Therightsand remedies ofthe City provided inthis provision shall notbe exclusive andarein addition toanyother rights and remedies provided by law or under this contract. 7.TERMINATION FOR CONVENIENCE 7.1.The City mayterminatethiscontractfor convenience atanytimeby giving ten day notice inwritingtothe Special Master.The Special Master shall complete hearings that have been commenced by the Special Master priorto notice oftermination and shall be paid forall satisfactory work completed.The City shallhaveno liability tothe Special Master for consequential damages,includinglostprofitsin the eventof termination orotherwise. 7.2.In the event that theCity improperly terminates thecontractfor cause,the terminationshallbedeemedaterminationfor convenience underthisparagraph. Page 2 of 5 8.INTEREST PAYMENTS DUE TO LATE PAYMENT 8.1.TheCityshallmake payment totheSpecialMaster within thirty(30)days of receipt ofthe original written invoice.Interest shallaccrueon unpaid invoicesas provided by Florida Statute. 8.2.TheSpecialMastershall not be entitled toany carrying chargesorfinancefee due to late payment by the City. 9.LIENS 9.1.The Special Master is prohibited from placing a lien onCity's property. •10.INDEPENDENT CONTRACTOR 10.1.The Special Master is furnishing his services as.an independent contractor and nothing inthis contract shall create any employer-employee relationships,association, partnership or joint venture between parties. 10.2.Asan Independent contractor SpecialMaster agrees and acknowledges that he is not an employee of the Cityof South Miami and therefore not entitled to participate inor benefit fromCity of South Miami Pension Plan or insurance plan. 11.INDEMNIFICATION 11.1.TheSpecialMaster shall defend,indemnify andholdtheCity harmless from anyandallclaims,liability,losses,expenses,andcauseofactionarisingoutanyofanyactor omissionbytheSpecialMaster whether negligentorintentional misconduct ormalfeasance. 12.JURISDICTION AND VENUE 12.1.For the purpose of this contract,Florida law shall govern the terms of this contract.Venue shall be inMiamiDadeCounty,Florida. 13.SOVEREIGNIMMUNITYAND NON-JURY TRIAL 13.1.TheCity does not waive sovereign immunity for any claimorforan award of prejudgment interest. 13.2.Trial byJury.The parties waive their right toa jury trial astoany matters that arise out of this agreement 14.NOTICES 14.1.All noticesgivenorrequiredunderthiscontractshallbe deemed sufficient if sentbycertifiedmail,returnreceiptrequested,orbyelectronicmail,totheaddressesofthe SpecialMasterandtotheCityatthe addresses specifiedinthiscontract,unlesseither party shallprovidenoticeinwritingtotheotherparty of adifferentaddressforthegivingofthe notices. Page 3 of 5 14.2.For the purposes ofthiscontract,the addresses of the parties forall notices are as follows: To the City:-CityofSouthMiami 6130 Sunset Drive South Miami,FL 33143 Attention:City Manager E-mail:salexander@southmiamifl.gov TotheSpecialMaster:Harold V.Hickey,Esq. 633 NE 167th Street Miami,FL 33162 15.EXAMINATION AND RETENTION OF CONTRACTOR'S RECORD 15.1.The City,oranyofitsdulyauthorized representative,shall,until3yearsafterfinal payment underthiscontract,haveaccesstoandtherighttoexamineanyoftheSpecial Master's books,ledgers,documents,papers,or other recordsinvolving transactions related tothiscontractforthe purpose of making,examination,excerpts,andcopies.All documents, reports,orother records,includingelectronicrecords,resultingfromtheservices rendered bythe Special Masterunderthiscontract shall bedeemedthepropertyoftheCityandthe Cityshallhaveallrightsincidenttothisownership.The Special Masteracknowledges that alldocuments prepared underthiscontractshallbepublicrecords,andshallbesubjectto public inspection and copying,as provided bythe Florida Statutes Chapter-119,Upon conclusionofthiscontract,alldocumentsshallbedeliveredbytheSpecialMasterto the. City.The Special Mastershallhavetherighttoretaincopiesofthedocumentsatthe Special Master's expense. 16.SEVERABILITY 16.1.Shouldanyparagraphorany part ofany paragraph ofthiscontractbe determinedtobevoid,invalidor unenforceable byanycourtofcompetent jurisdiction,for anyreason,that determination shallnotrendervoid,invalid or unenforceableanyother section or part of any section of this contract 17.ENTIRE CONTRACT 17.1.Thecontract,whensignedbyalloftheparties,constitutesthe full and complete understanding ofallpartiesandshallnotbeinanymanner interpreted in contradictionof the expresstermsofthecontract.This contract andtheincorporated attachments,ifany,constitutetheentireunderstandings,oralorwritten,betweenthe parties. 18.CONTINGENCY FEE AND CODE OF ETHICS WARRANTY 18.1.TheSpecialMaster warrants that neither he,nor anyprincipal,employee, agent,representative orfamily member ofhim,promised topay,andtheSpecialMasterhas not,andwillnot,payafeethatiscontingentuponthe City awarding this contract tothe Special Master. Page 4 of 5 18.2.The Special Master warrants that neither he nor any ofhis principals, employees,agents,representatives orfamily member has procured,or attempted to procure,this contract in violation ofanyof the provisions oftheMiami-DadeCounty or the Cityof South Miami conflict of interest code or ethics ordinances. 18.3.A violation of this section shall result in the termination of the contract for cause and forfeiture of funds paid,ortobepaid,totheSpecialMaster. 19.MISCELLANEOUS 19.1.In the event a court must interpret any word or provision of this agreement, the word or provision shallnotbe construed againstthe party who drafted this agreement.
