A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF
SOUTH MIAMI,FLORIDA,RELATING TO CONSULTANT CONTRACT,
AUTHORIZING THE CITY MANAGER TO EXECUTE A CONTRACT WITH DON
DELANEY IN AN AMOUNT NOT TO EXCEED $5,000,FOR PROFESSIONAL
SERVICES RELATED TO COMMUNITY REDEVELOPMENT AGENCY (CRA),A
REDEVELOPMENT PLAN,TAX INCREMENT FINANCING,AND ACTIVITIES
RELATED TO THE CITY OF SOUTH MIAMI CRA.THE EXPENDITURE"WILL
BE PAID FROM ACCOUNT #01-21-00-5510 "GENERAL CONTINGENCY."
WHEREAS,the Mayor and City Commission have created a Community
Redevelopment Agency in accordance with Chapter 163,Part III,Florida
Statutes;and
WHEREAS,the Mayor and City Commission wish to secure the
professional services ofa consultant to perform work necessary related
to redevelopment,tax increment financing and other related services as
requested by the city;and
WHEREAS,Don Delaney,a Consultant with office in Hobe Sound,
Florida,possesses the requisite skills,knowledge,expertise and
resources to perform these services;
NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF
THE CITY OF SOUTH MIAMI,FLORIDA:
Section 1.That the City Manager is authorized to execute a
contract with Don Delaney foran amount notto exceed $5,000 to provide
consulting services inthe manner and extent as determined bythe City
Manager.
Section 2.The terms and conditions of scope of services,
compensation and method of payment,termination,and other required
terms are contained in the agreement attached hereto.
Section 3,This resolution shall take effect immediately upon
approval.

AGREEMENT
THIS AGREEMENT,entered into on Feb.,18,1997,between:theCITYOF
SOUTH MIAMI,FLORIDA,herein after referred to as "City,"and DON DELANEY,a
redevelopment and tax increment financing consultant with office located at 8422 S.E.Royal"
Street,Hobe Sound,Florida 33455,hereinafter referred toas "CONSULTANT."
WHEREAS,the City desires the professional services of the CONSULTANT to perform
work necessary related to its redevelopment,tax increment financing and other related services as
requestedbyCity,and
WHEREAS,the CITY desires to create and implement a redevelopment plan with
supporting programs andatax increment trust fund,and
WHEREAS,the CITY desires the CONSULTANT to assist in assuring thatthe CITY
complies with all the necessary requirements asset forth in Chapter 163,PartIII,Florida Statutes
as they relate totax increment financing,redevelopment plans,and activities,and
WHEREAS,the CONSULTANT possesses the requisite skills,knowledge,expertise and
resources to perform these services.
NOW THEREFORE,in consideration ofthe mutual terms and conditions,promises,
covenants and payments hereinafter set forth,the CITY and the CONSULTANT agree as
follows:
1.SCOPE OF SERVICES
The CONSULTANT shall perform the following tasks as directed bythe City Manager:
A.The CONSULTANT shall serve asthe technical expert to review anyand all proposals
and strategies related tothe CITY's efforts.
B.The CONSULTANT shall serve ina technical capacity as required regarding the
creationandadoption of the official RedevelopmentPlan
C.TheCONSULTANT shall serveasa financial expertregardingallaspects of
redevelopmentactivitiesastheyrelatetotheestablishment of thetaxincrement
financingmechanismand trust fund.
D.The CONSULTANT shall conducta survey tosupporttheCITY's "Finding of
Necessity"aspart of thestatutorily required redevelopment process.
E.The CONSULTANT shall prepare any andall resolutions and ordinances necessary
forthe formal creation of the agency,legaladoption of theRedevelopmentPlan,and
creation of thetax increment financing mechanism for submission totheCity'slegal
counsel.
F.The CONSULTANT shall coordinate activities regarding the Interlocal Agreement
betweenDadeCountyandtheCITYaswellasotherrelevanttaxingdistricts.
G.The CONSULTANT shall conduct the statutorily required review to ensure thatthe
CITY's proposed Redevelopment Plan is in compliance with the existing
Comprehensive Plan.
H.The CONSULTANT shall take necessary steps to amend either plan as directed and
coordinate with the Florida Department of Community Affairs to ensure compliance.
I.The CONSULTANT agrees to provide additional redevelopment andtax increment
services inthe manner and extent as determined bythe City Manager.
2.TIME FOR PERFORMANCE
The CONSULTANT agrees to perform all services ina timely and diligent manner upon
execution of thisAgreement.
3.COMPENSATION AND METHOD OF PAYMENT
All payments will bemade pursuant to monthly invoices submitted bythe CONSULTANT and
will be paid ina timely fashion after receipt and approval bytheCity Manager.
A.Payment of $1,500.00shallbepaidbytheCITYpromptlyuponexecution of this
Agreement.
B.The remaining costforservicesisonehundreddollars($100.00)perhour,which
coversthecost of alltravel,lodging,andmealexpenses,forthecompletion of the
taskstobeperformedasassignedbytheCityManager.
C.Thecostforserviceswhichareperformedunderthis contract shallnotexceedfive
thousand dollars ($5,000.00)unlessamendedtoreflectan increase inthe total contract
amount.
4.OWNERSHIP OF DOCUMENTS
Reports,servicesand other dataobtainedorpreparedin connection withthe Agreement areand
shall remaintheproperty of theCITY.TheCONSULTANTshallhavetherightstoanyandall
publicationeffortsresultingfromreports,surveysandotherdataobtainedorpreparedin
connectionwiththe Agreement.
5.TERMINATION
ThisagreementmaybeterminatedbytheCITYor CONSULTANT forcauseorbytheCITYfor
convenienceuponthirty(30)dayswrittennoticebytheterminatingpartytotheotherparty of
suchterminationinwhicheventtheCONSULTANTshallbepaidits compensation forservices
performed to termination date.In the event that the CONSULTANT abandons this
AGREEMENT of causes ittobe terminated,anyapplication,maps,work products and reports
preparedby CONSULTANT pursuant tothis Agreement shall become the property of the CITY
andshallbedeliveredbythe CONSULTANT totheCITY.
6.NON-DISCRIMINATION
The CONSULTANT agrees that it will not discriminate against any of its employees or applicants
for employment because oftheir race,color,religion,sex or national origin,and to abide by all
Federal and State laws regarding non-discrimination.
7.COMPLETENESS AND ACCURACY OF WORK
The CONSULTANT shall be responsible for the completeness and accuracy of its work,plan,
supporting data,and other documents prepared and compiled under its obligation pursuant to this
Agreement and shall correct at its expense all significant errors or omissions therein which may be
disclosed.
8.PROJECT MANAGER
The CONSULTANT'S project manager under this Agreement is Don DeLaney.The CITY's
Project Manager under this Agreement isthe City Manager.
