A Resolution authorizing the City Manager to permit A. Palmer Roofing, Inc.
to repair dugout roofs located at Murray Park and Palmer Park.
Twelve (12) existing dugout roofs, located at Murray Park (2) and Palmer
Park (10), require immediate repairs to keep baseball/softball participants
safe. Time and external elements, such as storms and hurricanes, have
affected the dugout roofs. The existing roofs are in poor condition, featuring
wear and tear, rusted braces and supports, rotted wood and roof borders.
Improvements to the dugout roofs will include, but are not limited to
installation of new wood, felt paper, plywood, support braces and roof
supports, and a new paint job. The Department budgeted $15,000 for this
project. The total expense for repair and maintenance is $10,530.
Competitive proposals were sought from three (3) different sources of
supply; A. Palmer Roofing, Inc. was the lowest and most responsive vendor.
Please find below a breakdown of all proposals:

27 Park. The City Manager is also authorized to expend an additional $1,050 over the proposal

TERMS AND CONDITIONS OF THIS CONTRACT
Andrew Palmer Roofing, Inc. shall exercise reasonable care in its work however, cannot be liable in any case for
damage to shrubbery, screening, sidewalks, walkways, driveways, foliage, cables or pipes, at or below ground level.
Reasonable care will be taken when inclement weather approaches during the progress of work, however, we are not
to be held liable for damage to interior. Also, we are not responsible for damages arising from delays, strikes,
accidents, fire or other causes beyond our control. Also, for preexisting defects at premises on which work is to be
done. Reasonable care shall be taken but Andrew Palmer Roofing, Inc. must be allowed access to building and will
not be responsible for damages to pools, patios, screen enclosures, lawns, fiberglass or plastic roofs, skylights and
Sprinkler systems. Be advised that in areas where you might have open beam ceilings some debris may come
through sheathing boards. Take necessary precautions and cover all areas which need covering such as
carpeting, fish tanks, furniture, etc. Also areas that you do not want exposed during roof removal process that
may become soiled otherwise. Loose objects should be taken down as vibrations from work may cause damage.
Any structural changes involving woodwork or other unless otherwise stated would be the responsibility of property
Owner. Andrew Palmer Roofing shall not be held liable for acts of God, cracks or marks due to vibrations of work
in progress, or other casualty or theft or other causes beyond its control. Owner to provide necessary electricity
and water.
Andrew Palmer Roofing shall not be liable for damages caused by settlement, distortion, warping or failure of roof
deck, ceiling, foundation sheathing, walls, or partitions walls of said building, nor failure of any materials or integral
part of said building used as a base, attached to or for said work. Andrew Palmer Roofmg shall not be liable for
water damage or any other damage to the exterior or interior of said building, or decorations, stock, furniture,
fixtures or equipment within or such other contents thereof, due to leakage or other cause.
If contract is cancelled by Purchaser, Purchaser agrees to pay as liquidated damages a minimal amount equal to 25%
Of this proposal in addition to additional cost incurred by Andrew Palmer Roofing, Inc. provided that such damages
shall not exceed the entire proposal amount.
Property owner, grants Andrew Palmer Roofing Inc. right of access, by vehicles and all other means, for removal of
roofing and delivery of materials to edge of building, on or off driveways and roads during hours of work which will
Include written permission from neighboring property owners that shall be used to access workmen or machinery.
Andrew Palmer Roofing Inc. shall not be held responsible for damage to septic tanks, pipes or any other
underground structure unless property owner has clearly marked location of same in advance.
Length of warranty as stated is on a prorated basis for period indicated, and is not transferrable unless otherwise
stated.

All roofing work shall be performed by a qualified contractor licensed to perform roofing, iu compliance with the tolerances,
quality and methods of construction established herein or set fOl'th in the standards adopted by these high-velocity hurricane
zone requirements. Roofing assemblies detailed in the Product Approval shall be installed in strict compliance with the
method of application set forth in such Product Approval or, if not part of the product approval, in compliance with
manufacturer's published application instructions, 01' as approved by the building official. (Aesthetic issues not affecting the
performancc of the roofal'e not part of this chapter.)
Appearance. If the al'chitectural appearance is to be preserved from below, an alternate method of attachment complying with
the wind load requirements of Chapter 16 (High-Velocity Hurricane Zones) may be proposed unless othenvise addressed in
Chapter 15. The alternative attachment shall be prepared, signed and sealed by a Florida-registered architect or a Florida-
registered engineer, which architect or engineer shall be proficient in structural design.
Inspection is required to the interior of the property before start of work. Otherwise we consider these, existing damages.
Planet roofing is not responsible for existing damages.
Planet Roofing Is not responsible fOI' leaks during construction process due to waiting times for inspection in progress from the
city or other eligible consultants. It may occnr leks from exposed tin tags 01' not roof sufficient cover.
For tbl'ee days after the signing of contract you have the right to cancel tbis contract. After that cbarges related to materials,
permit process and fees, labor or anytbing else will be valid and paid by the property owner.
Please remove all your pictures, heavy objects or other valuables from walls or ceiling for protection during roof process
Planet Roofing Co. is not responsible for depressions Cl'3cks or stains in driveway or sidewalks caused by trailers and I or
dumpsters. Reasonable protection will be applied to protect the driveway.
Warranty as specified is valid if the proper maintenance in the roofing Is made as per manufacturer specification.
It is the Owner's responsibility to pick the color of the materials. If in any case the colOl' Is not to their satisfaction when the
materials' are supplied and lor installed Planet Roofing Co. is not responsible, but the Owner will be held responsible for
additional delivery, freight,labor, permit and any other charges applicable at the time.
NOTICE TO OWNER.
You, the buyer; may cancel this transaction at any time prior to the third business day the date of the transaction.
Contractor may have lien enforced against the property.
Contractor wiII use escrow or post bond for down payment. Advances and any payment received prior to substantial completion of the

Ali material is guaranteed to be as specified. All work is to be completed in aworkmanlike manner according to standard practices.
Any alteration, deviation or addition from the above wiil involve extra cost andwill be executed only upon written work order from
the owner, and you must carry fire, tornado and other necessary insurance forthe above work. GC will provide public Liability
Insurance. You, the property owner, will be responsible for ali your legal expenses that may occur or emerge in case of litigation or
dispute over any aspect of this contract. ,
Contractor is not responsible for new requirements from the city inspector at time of inspection for unforeseen conditions that may
arise due to concealed environment. This may include but it is not limited to trusses condition, ,roof deck condition, edges system,
flushing and more. If changes are required by the city inspector to satistY the Florida Building Code, changes to this contract wiII be
required and the Owner will be responsible for the additional charges.
Contractor is not responsible for any kind of deformation and breaks to the driveway due to the heavy roofing weights.
Warranty is good, as long as proper maintenance is performed and no wind storms, hurricanes or act.of god, have damaged the roof.
ACCEPTANCE OF PROPOSAL
I, the owner, understand that upon endorsement by contractor, the proposal will be considered accepted and
become binding on contractor and owner under the terms and agreements as outlined in the proposal. I
consider the above prices, specifications and conditions satisfactory. I hereby accept the proposal, you, the
contractor, are authorized do the work as specified payment will be made as outlined above. All amounts
will accrue 1 liz % interest per month.

3) A Squared Roofing Inc. will not.be held responsible for damages caused by fumes, dust and smoke that may enter the
property while the work is in progress.
4) If there is an exposed ceiling, it must be brought to our attention immediately. We are required by Florida Code to nail
deck with Yd' nail, there may be occasions where nails will go through wood and appear on the inside. We will not be held
responsible for repairing any cosmetic work on the inside.
5) A Squared Roofing Inc. will not be held responsible for sidewalks, driveways, lawns, landscape, septic tanks, awnings,
fences, screens, glass enclosures, pipes, water heaters, antennas, solar heaters, electrical wires, phone line.s or cables
above or below ground.
6) No carpentry work, wood work, painting, plastering, stucco, ceiling, soffit, siding, and metals are included in this contract
unless mentioned in specifications.
7) Owner shall be responsible for the inspecting, removal and replacing of flute pipes for natural gas fired equipment and
shall employ a licensed plumber for that work.
8) Any mechanical and electrical work needed to satisfy the Building Department will be the responsibility of the property
owner.
9) We will try to salvage existing gutters but we make no guarantees and will not be held responsible for the re-installation
of any salvageable gutters.
10) Satellite dishes will have to removed in order to work. We are not responsible for reinstalling and repositioning.
11) Owner shall provide all water and electricity that contractor will need in order to complete roof work.
12) Owner shall protect and cover pool from any debris during roof work in progress.
13) "If during tear off more than one roof is discovered there will be an additional charge.
14) If during tear off we discover that the roof has insulation and it is not included in contract, there will be an additional
charge if you want it replaced.
15) Our intention is to provide you with excellent service and complete work in prompt and timely manner. We cannot
although be held responsible for delays caused by weather conditions, inspections, inspectors, and material availability.
16) A Squared Roofing Inc. will not be held responsible for any small areas of ponding water on any flat deck.
17) The cost of engineering calculations, pull tests, moisture tests, and asbestos tests are not included in the contract price. If
any test is required to obtain a permit for the work, then such costs are the responsibility of the property owner. If test and
calculations results alter the specifications for the work, the contract price will be adjusted accordingly.
18) A Squared Roofing Inc. carries full insurance as required by Florida Law (Liability and Workman's Compensation).
19) The contract covers only that work which is specifically delineated herein and does not cover any additional work which is
detemnined necessary by A Squared Roofing Inc. and the local building department after commencement of work.
20) Work done, or attempted to be done, on this roof of any kind by others than A Squared Roofing Inc. or their authorized
agents, relieves the warrantor from any further obligation there under.
21) All work to be done or guaranteed shall be set forth in above specifications. No promises, verbal or otherwise, will be
valid.
22) In the event that owner/authorized agent fails to make payments as specified in contract, all fees incurred in collection,
such as reasonable attorney fees, court costs, claim of lien, collection agencies are to be paid by authorized agent or
owner. A Squared Roofing Inc. also reserves the right to cancel warranty and stop work.
23) It is understood and agreed that the Roofing Contractor and roofing contractors insures, will be held harmless for alleged
or actual damages/claims as a result of mold, algae or fungus. It is understood that the Roofing Contractor and the
roofing contractor's insurers will exclude all coverage, including defense, damages related to bodily injury, property
damage and clean up directly or indirectly in whole or in part for any action brought by mold, including fungus and mildew
regardless of the cost, event, material, product or workmanship that may have contributed concurrently or in any
sequence to injury or damage that occurs.
