Res No 233-16-14788RESOLUTION NO.:233-16-14788 A Resolution authorizing the City Manager to enter into a contract for aGPS Fleet Tracking and Reporting Services with Sprint Solutions by piggybacking off of Sprint's multi-year contract with the State of Florida. WHEREAS,the City entered into a piggyback agreement with Sprint Solutions for mobile phones and air card services through a State of Florida mobile communications services contract no.DMS-10/11/-008B and authorized by Resolution No.094-16-14649;and WHEREAS,the Sprint Solutions and the State of Florida mobile communications services contract no.DMS-10/11/-008B offers GPSFleetTrackingand Reporting Services identified asa Fleet Locate Asset Solution;and WHEREAS,the City desires to install the FleetLocate Asset Solution on approximately 50 vehicles in the City's fleet under asix(6)month pilot program to increase productivity of the fleet by managing vehicle performance,increased fuel savings and by promoting safer driver behavior;and WHEREAS,at the end of the six(6)month pilot program,the Citywill determine whether to terminate or continue and expand the program to additional City vehicles;and WHEREAS,Sprint's legal department has advised the City that the State ofFlorida contract no.DMS-10/11-008B terms and conditions does not require the payment of any fee for cancellation of service at any time for SUNCOM customers such as the City;and WHEREAS,the costpervehiclefor the FleetLocateAssetSolutionis$26.40per month or $1,320 per month on50 vehicles during the six(6)month pilot program and,should the City decide to install the Fleet Locate Asset Solution on the entire City fleet,the annual cost is estimated at $38,333. NOW,THEREFORE,BEIT RESOLVED BYTHE MAYOR AND CITY COMMISSION OFTHE CITYOF SOUTH MIAMI,FLORIDA: Section 1.TheCity Manager is authorized to enter into a contract foraGPS Fleet Trackingand Reporting Services with Sprint Solutions bypiggybackingoffof Sprint's contract with the State of Florida mobile communications services contract no.DMS-10/11-008B for a per vehicle cost of $26.40 per month andin accordance with the terms of the State ofFlorida contract,provided it can be cancelled at any time without penalty,fora term not to exceed five (5)consecutive years. Section 2.TheCity Manager is authorized to expend an amount not to exceed $38,333 infiscal year 2016-2017. Section 3.The City Manager is authorized to expend Sprint Solutions in future fiscal years,based on the commissions allocation for Fleet Locate Asset Solution through the annual budget process using the approved piggyback agreement. Section 4.Severability.If any section,clause,sentence,or phrase of this resolution is for any reason held invalid or unconstitutional bya court of competent jurisdiction,this holding shall not affect the validity of the remaining portions of this resolution. WITNESSETH: WHEREAS,the aState of Florida"solicited bids,pursuant to ITN #DMS-10/11-008, for Mobile Communication Services;and WHEREAS,the"State of Florida,"after completing a competitive bidding process, awarded a contract to Contractor,and WHEREAS,theCity of SouthMiamidesirestoutilizethe "State of Florida" Contractand pursuant to authority oftheCity ofSouth Miami's Charter. L25 Sprint 4G Services Means functionality provided by Service Provider that either provides datatransport on die Sprint 4GNetworkorallowsfortheuse of Applications related totheSprint4GNetwork. 1.26 Sprint Services MeanswirelessServices provided by Service Provider and authorized SprintService Provider Affiliates on die Nationwide Sprint Network or Sprint 3GNetwork usingCDMAtechnology. 1.27 Sprint Service Provider Affiliate Means anentitythathas entered intoan arrangement with Service Provider to construct wireless networkcoverage,perform operational functions in defined geographic areas,andprovide mobile wireless telecommunications products and services under the "Sprint"service marks orany other service marks subsequently usedby Service Provider."Sprint Service Provider AffiliateMarker meansthe regions ofthe United States covered by Sprint Service Provider Affiliates. L28 State Means the State ofFlorida. 1.29 SUNCOM Clients Means theentityor entities acquiring the wireless telecommunications services set forth in Exhibit 1 from the Department.SUNCOM Clients may include State agencies,the legislative and judicial branches,political subdivisions,counties,cities,municipalities,local school boards, community colleges,universities,educational institutions,certain private non-profit K-12 schools,libraries,qualified commissions and boards,water management districts,certain qualifying non-profit corporations,and other qualifying public agencies or authorities. UI Wireless Patafii^pnii Means a Sprint Network connection attempt made bya user that utilizes wireless data services and is based upon the assignment ofa dedicated IP address totherequesting access terminal (e.g., the handset,aircard,or other device).A Wireless Data Session begins when die user initiates a Sprint Network connection by attempting to access the Sprint Network and endswhenthe connection is blocked or terminated L32 Wireless Services Means Nextel Services,Sprint Services,and Sprint 4G Services. Contract 2.0 -term ofagreement 2.01 Initial Term Theinitialterm of thisAgreement shall commence ontheEffective Date.As suchthis Agreement willexpirefive(5)years after the Effective Dale ,unless sooner terminated in accordance with die provisions herein. 2.02 Renewal Term Uponmutual agreement,the parties mayrenew die Agreement,inwholeorin part,for renewal termsuptofive(5)years..Each renewal shall specifythe renewal priceasset forth inthe ITN responseasreflectedinSection4below.Each renewal must be inwritingandsignedbyboth parties,andis contingent upon satisfactory performance evaluations and subject to availability of funds. 2.03 Termination Bv the Department for Convenience Hie Department may terminate this Agreement for convenience uponone hundred eighty (180) days advance writtennoticeto Service Provider whenthe Department determines initssole discretion that his in the State's interest todoso.In die event of a termination for convenience, ServiceProvidershallnotbeentitledto recover any cancellation chargesorlostprofits. 2.04 T^in^ifr Service Prmrtder forUnforeseen Circnmgtances The Service Provider maydeemit necessary from timetotimeto change orupdate certain procedures set forth inthis Agreement in order to account for unforeseen circumstances orto more efficiently conduct its business.Ifthe Department unreasonably rejects such change or update,then Service Provider may terminate this Agreement upon onehundred eighty (180)days' prior written notice.Inthe event ofa termination for unforeseen circumstances,Service Provider shallnotbeentitledtorecoverany cancellation charges orlostprofits. 2.05 Termination for Cause This Agreement maybe terminated upon an Event of Default by either party if such Event of Default isnot cured bythe defaulting party within thirty (30)days of receipt of written notice of die Event of Default The non-defaulting party shall have die immediate rigid,without further notice or proceedings,to pursue such remedies and other actions as that party may deem appropriate. ContractNo.:DMS 10/11-008B Page9of32 2*06 Transition Service Provider willhavea period of eight(8)months from the Effective Date of this Agreement,in accordance withSection5.02 of the ITN,tocompleteall transition activitiesfor stateagenciesas described in Exhibit 2,Business Process &Operations,andtocommence providing the services as specified herein (the "Transition Period1*).Service Provider willmake commercially reasonable effortsto transition all SUNCOM Clientsandlocal government agencies currently purchasing under Alternative Source Contract No.:1523-ACS withinthe Transition Period.The parties acknowledge thatthe SUNCOM Clients andlocal government agencies maynotbe transition bytheend ofthe Transition Period. Itisthedesire of the parties that,foronlytheTransitionPeriod,the operational termsand conditionscontainedinthe earlier agreements betweenthepartiesforWirelessDataServices, ContractNo.:DMS-0304-063 (MA4440)andAlternativeSourceContractNo.:1523-ACS,will applytothis Agreement Those operations termsandconditionsarehereby incorporated intothis Agreement as Exhibit 6. Uponanytermination of thisAgreement,Service Provider shall cooperate anduse reasonable effortsto(0 assist the Department and SUNCOM Clientstominimizeanyimpactsresulting from theterminationandanytransitiontoanew vendor;and(ii)offertheServicesdirectlytoany SUNCOMClientorEndUserwhomeetsServiceProvider'scredit requirements and who enters into a contract for service with Service Provider. 2.07 Contract Pnynmgnfri This Agreement,together withthe following documents,set forth theentireunderstanding of die parties withrespecttothesubject matter.In case of conflict,die terms oftheAgreement shall control.If aconflictexistsamongany ofthese documents,thedocuments shall have priority in the order listed: A.AnyAmendmentstotheAgreement &Agreementand Exhibits 1-7. C ITN No.:DMS-10/11-008,asamended. Contract 3.0-provisionofservice 3*01 Generally Service Provider agrees to provide the Services in accordance withthe specifications and requirementssetforthinthisAgreement. 3.02 Reporting Requirements Service Provider shall provide monitoring tools with reporting functionality,if available,to the Department which monitors the defined SLA service parameters in accordance withExhibit5. The reports referenced in Exhibit 1,Exhibit 2,and Exhibit 5 (SLA Matrix)shall be provided by the Service Provider.The Service Provider shall submit reports in electronic format to die ! Other terms and conditions of this Agreement do not apply to Exhibit 7. 3*04 Customer Care Services Service Provider's enterprise customer care helpdesk resources shall be available toEnd Users andSUNCOMClients for resolution ofmost Service-related issues.In addition,the Department andSUNCOM Clients will haveaccess toahelpdeskasset forth in Section 6 below. 3.05 No Privity Wife End Uaera or SUNCOM CKente Unless otherwise provided inthis Agreement,Service Provider shall notbe contractually obligatedto die EndUsersorSUNCOMClientsfortheServiceandshallnotbeauthorizedto sendanybillsfortheServicetosuch End UsersorSUNCOMClients. 3j06 Right to Deactivation ofUnused Accounts TheparlieswillcooperatetoensurethatEndUseraccountsdonotliedormantforextended periods oftime(six months ormore).ServiceProvidershallnotdeactivatesuchaccountsuntil the Department hasbeengivenatleastsixty(60)daysto investigate andnotifytheSUNCOM ClientIf circumstances warrant,the Department may require Service Provider to postpone the planned deactivation forsome identified period oftime. 3.07 Location Baaed Services if Bid User downloads or accesses LocationBased Services through Service Provider wireless ProductsandServices,CustomeragreesthattheLocationBasedServiceprovidermayaccess,use and discloseasnecessary die geographic location ofEnd User's Produces)pursuant totheterms oftheLocationBasedService purchased by Customer.Customer mustclearly,conspicuously and regularly notify all of itsfindUsersusing Corporate-Liable ActiveUnitsuponwhichEndUser hasenabledLocation Based Servicesthat end-user locationinformationmaybe accessed,usedor disclosed in connection with the Location Based Service.ONLY TO THE EXTENT ALLOWED BY LAW,CUSTOMER WILL RELEASE SERVICE PROVIDER FROM ANY AND ALL THIRD PARTY CLAIMS,LOSSES,EXPENSES,DEMANDS,ACTIONS OR CAUSES OF ACTION ARISING OUT OF END USER'S USE OF LOCATION BASED SERVICES AND CUSTOMER'S FAILURE TO NOTIFY CORPORATE-LIABLE END USERS OF END USER'S ELECTION TO USE ANY LOCATION BASED SERVICE OR LOCATION INFORMATION ON CORPORATE-LIABLE ACTIVE UNITS.Location Based Services are notavailableontheSprint4GNetwork. 3.08 Premium Services Policies In certain instances,subject tothe terms ofthe content purchased,Service Provider may delete Premium and non-Premium items downloaded to storage areas controlled by Service Provider. 3.09 Telephone Numbers and Portabllttv Service Provider may change the telephone number assigned toeach Corporate-Liable Active Unit with reasonable prior notice for commercial reasons,such as fraud prevention,regulatory requirements and area code changes.Customer does not have any right of possession or tide to any number,e-mail address or other identifier Service Provider may assign to Customer's wireless Products or accounts.End User maynot modify,change or transfer any of these identifiers except as Service Provider allows or as allowed for by law.Service Provider will Contract Noj DMS 10/11-008B Page 11 of32 comply withany FCC-issued regulations that require Service Provider to allow End User to "port*or transfer its assigned telephone numbers upon switching wireless service to another carrier.Before a telephone number previously used with another carrier can be used onthe Sprint Networks,End User must provide information about the account withthe other carrier,such as die account number,tax identification number,telephone number,5digitzipcodeand password, if applicable,and purchase wireless Products from Service Provider.Until the port from the previous carrier is successful,the Service Provider wireless Product willonlybe able to call 911 and Sprint Customer Care.Once the port is completed,EndUser'sold device willno longer work.However,duetosystem limitations and issues outside Service Provider's control,some requests toporta telephone number from another carrier to Service Provider,or from Service Provider to another carrier,maynotbe successful.If a transfer to Service Provider isnot successful,die EndUsermay return any Service Provider wireless Products withinthe return period to receive a credit,and Customer willloseor repay to Service Provider any discounts or service credits provided witha returned Service Provider wireless Product or cancelled Nextel Service or Sprint Service.If End User does not return Service Provider wireless Products within thereturnperiodasdefinedin Exhibit 2,Section2.2 of theWirelessProduct Annex,the Department shall be responsible forthe suggested retail price oftheProduct 3.10 TTY Access TTY-capable wireless Products (also knownasTDDorText Telephone)maynot function effectivelywhenattempting 911 callsdueto die limitations ofthe answeringagency. 3.11 911or Other Fi^erfrenry Calls For 911 calls,anemergencyresponder'sabilitytolocateEndUserthroughwirelessProductsand Servicesmaybeaffectedby various factors,including butnotlimitedto,die type of wireless Product used,lack of a GPS-enabled device,geography orother factors suchasthe porting process.Insome areas and depending oil theequipmentdeployedbythelocalpublicsafety answering point ("PSAP"),911 calls maybe routed toa state patrol dispatcher instead ofdie local PSAP.Pursuant toSection 365.172(11)ofthe Florida Statutes,Service Provider isnot liable for failures or delays in connecting tothe appropriate emergency services provider.Enhanced 911 ("E91V)servicethatis compatible with FCC technical requirements isnot available inall areas duetoPSAPequipment capabilities.Customer consents toService Provider's disclosure of Customer information to governmental and public safety authorities in response to emergencies. This information may include,butisnot limited to,Customer's name,address,number,andthe location of the user of die Service atthetimeof call.Service Provider's equipment and services must allow EndUsers in Florida to dial *347 (Florida Highway Patrol)atno charge. 3.12 Use of Sprint Wireless Data Services Customer acknowledges that useof certain wireless data Services,including some messaging services,may result inthe disclosure to third parties oftheuser's email address and other information in connection withthe user's Internet usage.Asa result,End User may receive advertising,warnings,alerts and other messages,including broadcast messages.Service Provider does notdisclose such user information to third parties.Such information is collected bythethird parties based upon theEndUser's data usage. 3.13 Operational and User Guides As provided in Exhibit 5,the parties agree to begin developing an operational guide within 90 days after contract execution.The parties will mutually agree on the content of die operational guide.The Department is responsible for developing die.user guide using information derived from die operational guide.The Service Provider agrees to cooperate with the Department to ContiactNo.:DMS 10/11-008B Page 12 of32 develop content for the user guides.The Service Provider shall be permitted to review and provide comment totheuserguide prior to submission to the End Users. 3*14 Comnatibilitv ofWireless Products andServices Wireless Products may notbe compatible with services provided by other wireless carriers, except for services provided over Sprint Service Provider Affiliate networks or in connection with Roaming agreements.Service Provider does not guarantee current orfuture compatibility of wireless Products or Services with third party products or Applications.Apparent compatibility or notice from Service Provider of compatibility is not a Service Provider endorsement ofa third party product or Application.Unless otherwise stated in the Agreement,Sprint may,in its sole discretion and at any time,disable or discontinue use of any third party product or Application with the wireless ProductsorServices. Contract 4.0-pricing 4.01 Bates The full andcompleteprices forthe Services areset forth onExhibit3,attached hereto.Service Provider maymodify terms and features ofa nationally available wireless Business Plan that are not setforth m Exhibit 3 without written notice to Customer. 4.02 Rate Increases The rates set forth on Exhibft 3may nmiiKn^ase prior to January 1,2014.Beginning January 1, 2014,Service Provider may increase the pricing subject to die following limitations:(i)the Department mustbegivenat least one hundred eighty (180)days advance written noticeofthe exactamount of theprice increase;(ii)nomorethanoneprice increase maybemadeinany twelve(12)month period;and(iii)the price increase maynotexceed die most recent annual percentage increase in Consumer Price Index (CP1-W)for Urban Wage Earners and Clerical Workers.AM ^FW^So"1*1 ft1?^(using themost recent twelvemonths of Labor Department statistics available atthetimethenoticewas given).No retroactive price increases areallowed. 4.03 Internationa^nfrKnfl fftprp* Unless otherwise instructed bythe Department,End Users shall nothave die abilitytomakeany calls dial will result in international long distance charges.If international calling is enabled, Service Provider may reasonably restrict availability andmay charge the Department atService Provider's standard international long distance rates. 4.04 Metering ofVoice Usage Thelength of callsis generally measured from thetimetheEndUser presses the"SEND"key andendswhenthe phone device disconnects from Service Provider's facilities orwhentheEnd User presses die "END"key ifsooner.Thereisnocall usage for outgoing voicecallsthat reach abusy signal,a disconnected number orthatring continuously without making connection to die SprintNetworks.Thereisnocallusagefor incoming voicecallsthatEndUserdoesnot answer or that enter End User's voicemail. 4.04.1 Nextel Direct Connect Transmissions. A Nextel Direct Connect transmission begins approximately when End User presses the buttonto initiate a transmission and ends approximately 6 seconds after completion of a communication (i.e.,whenEnd User or another participant releases die button)to which no participant responds within 6 seconds.Ifa participant responds within 6 seconds,the response is calculated as part of the initial transmission.EndUser initiates anew Contract No.:DMS10/11-008B Page13 of 32 transmission if End User responds more than 6 seconds after another participant completes a communication.Airtime charges apply for the entire period of time the transmission is connected to the Sprint Networks.Service Provider will charge a minimum of6 seconds for all Nextel Direct Connect transmissions.After6 seconds, Nextel Direct Connect airtime ona Sprint Product is rounded uptothe next second for each transmission. 4.05 Mfaftfljnff ftf DataUsage Data usage is calculated from the time End User's device makes contact with the Sprint Networks or Sprint 4G Network until the respective network connection is broken or dropped,whether or notthe transmission of data isa complete endtoend transaction.Data usage may occur onany device capable of data transmission,including handheld devices and devices attached to or embedded in computers and includes sending and receiving e-mail,browsing the Internet, accessing certain applications,all complete,partial or interrupted uploads or downloads and re sent data,and unsuccessful attempts to reach websites and other applications and Services, inctuding those resulting from dropped network connections.Data usage is rounded uptothenext whole kilobyte.Rounding occurs atthe end of each separate session.Rounding of data usage charges occurs atthe end of each billing period and the total kilobyte charges are rounded upto thenextcent Additional information onthe metering ofData Usage is included inExhibit2. 4.06 MhHm^fm frlonthlv Fee (MMF) Every SUNCOM Client's Service Account will incur a minimum monthly charge (as setin Exhibit3 -Price)unlesstheServiceAccount's utilization costexceedsthe Minimum Monthly Fee's amount 4.07 Utif n^lnp rhaffii* In-state andout of statevoice rates maybesetoutinEnd User's pricing attachment inExhibit3. DomesticRoamingfordataisincludedinServiceProviderBusinessPlans.International Roaming rates forvoiceand data willvaryandare accessible through www.spriiiLcom/toternational orby contacting EndUser'sService Provider Account Representative.There may bedelaysininvoicingRoamingchargesduetothe practices of the Roamingserviceprovider.BusinessPlansthatincludeRoaming ("Roaming Included Plans")are not available with single-band phones orto users whoresideorwhose primary useis outside an area coveredbytheNationwideSprintNetwork.Service Provider maylimitor terminate Service if a Corporate-Liable ActiveUnit user moves outside of the area covered by die Nationwide Sprint Network.Service Provider may,deny,terminate,modify,disconnect or suspend Service toa Corporate-Liable ActiveUnit if Roaminginagivenmonthexceeds:(1)voice:800 minutes ora majority of minutes,or(2)data:300 megabytes ora majority of kilobytes.International calling,including in Canada,Mexico,and Guam,isnot included in Roaming Included Plans. Prior toan adverse action beingtaken against an End User,Service Provider shall notifythe Department by providing thirty (30)days prior written notification of any alleged infraction byan End User ofthe Services. 4.08 S^fa1S*rvW« As set forth inExhibit3,EndUser also may incur charges for special Services such as directory assistance,operator-assisted calls or call-forwarding,depending onEnd User's Business Plan. 4.09 Reactivation Pee If Service Provider terminates Service toa Corporate-Liable ActiveUnitas permitted under the Agreement or requested byEnd User,Service Provider may require payment of any outstanding account balance beforeService Provider reactivates Service totheaffectedActiveUnitand Sprint Contract No.:DMS 10/11-008B Page 14of32 4.10 may charge Department a reactivation charge.If Department is charged a reactivation fee on a Corporate-Liable Active Unit,Service Provider agrees to waive the reactivation fee through the application ofalocal market discretionary credit applied to the Department's invoice. Service Provider will bill Department for Wireless Services based on the Monthly Recurring Charges ("MRC")far the selected Business Plan.Customer will incur overage charges if the minutes or megabytes used exceed the minutes or megabytes allowed under the selected Business Plan. Contract 5.0-equipment 5.01 Responsibility for Ohtifainp Equipment SUNCOM Clients and End Users shall be responsible for obtaining the equipment necessary to use the Services from Service Provider or third parties.The Department may impose reasonable policies respecting suchequipment 5.02 Network Compatibility The parties will cooperate to ensure that any equipment used by End Users in connection with Service meets industry standards and any other reasonable requirements of Service Provider. Service Provider may deactivate service to any equipment used byan End User that does not meet such requirements or which is otherwise causing network inlerierence.To die extent practicable,Service Provider will advise the Department and the SUNCOM Clients in advance of such deactivations.- 5.03 Equipment Sales bv Service Provider Pursuant totins Agreement,Service Provider agrees tooffer equipment (including accessories)to SUNCOMClients onthe following basis: (i)Comparable Termsand Prices:The equipment models,standard prices and standard terms of sale shallbe comparable tothoseofferedtoServiceProvider'slargestcustomers in Florida.Service Provider willofferhighlycompetitivepricingand discounts forits servicesinamannerinwhichthe prices Service Provider charges itscustomersforthe sameservicesarenotunreasonably dissimilar forsimilarlysituatedcustomerswithlike traffic patterns,volumes,commitment levels and thelike.However,thissectionshall not inanywaybe construed as providing the Department most&voredcustomerprichig asit is against Service Provider's corporate policy asacommon carrier.Service Provider is prohibitedbylawfrom unreasonably discriminating betweensimilarlysituated customers. (ii)Minjimgn pigenynt*-Pricingshall reflect,ata minimum,thediscounts set forthon Exhibit 3 (Pricing for Equipment). (iii)Promotions:Service Provider mayoffer equipment sales promotions to SUNCOM Clientswiththe Department's consentIf requested,the Department may(butisnot required to)assistin publishing these promotions.If the Department purchases a promotional wireless Product orService,the promotional termswillcontroloverany conflictingtermsinthe Agreement forthat wireless Product or Service untilthe promotion expires or Customer selects a different Business Plan forthe Corporate-Liable Active Unitenrolledinthe promotion. (v)Warranties:Service Provider agrees to pass through to SUNCOM Clients anyand all Equipment vendor warranties (including battery)to the fullest extent allowed under applicable law.Service Provider does not manufacture Products and,except as provided in this Agreement,is not responsible for the acts or omissions of the original equipment manufacturer. (vi)Americans with Disabilities Act:Service Provider shall identify any products that may beused or adapted foruse by visually,hearing,orother physically impaired individuals. (vii)Tide to Equipment.Excluding equipment sold to Customer under this Agreement Service Provider orits suppliers retain title and property rights to Service Provider- provided equipment.Upon termination or expiration ofthe Agreement orthe applicable Service,Customer will surrender and immediately return the Service Provider-provided software to Service Provider,provided that Customer isnot required to return the softwareinstalledinProductssoldtoCustomerunderthisAgreement. Aspart of suchtechnology evolution,Service Provider mustreservetherightto migrate Customer from Products activated ontheNextel National NetworktoeitheraSprintDirect Connectpush-to-talk (TTT)Product,ora Customer-selected non-PTT Product,thatrunson die NationwideSprint Network;provided that Service Provider willnot undertake anysuch migration withlessthan12 months prior notice.Because there willbeat least 12 months prior ' notice,in almost every instance Customer will have the ability to upgrade its existing devices to newor replacement devicesunderthethen apphcable Sendee Provider handsetupgrade program. ContractNo.:DMS 10/11-008B Page21 of32 9.02 Planned outages The Service Provider (over the wireless network)shall send notifications which informs theend customer ofthe anticipated outage including date,time,and duration.Customer notification is sent viathe Enterprise Notification System (ENS)for planned and unplanned downtime onthe Sprint Network.Additional information for outages shall be provided inExhibit 5. 9.02 J Unforeseen Outages Additional information for unforeseen outages shall be provided inExhibit5 —Service Level Agreement Matrix. 9.03 Department Teat Accounts Service Provider shall furnish uptoten(10)voice and upto fen (10)data (including equipment, voice airtime,anddatatransmit)wirelessdevicesforusebytheDepartmentastestaccounts.The test accounts shall beusedto perform evaluation testing for thelife ofthe awarded contract The test accounts and devices shall be furnished at no cost 9.04 SUNCOM Client Testing and Evaluation Prior tomakingtheirinitial order for Service,SUNCOMClientsshallbe permitted toobtain wireless demonstration equipment (including airtime)for the purposes oftestingand evaluation at no additional cost.The demonstration equipment shall bemade available foraperiod of thirty 00)workingdays.Additional information is provided in Exhibit 1 -Technical Requirements. 9.05 Secnritv and Confidentiality A.TheService Provider shall complyfullywithallsecurity procedures,lawsand regulations of theUnited States,Stateandthe Department in performance of the Agreement B.TheService Provider (andany person orentity obtaining informationthroughService Provider)shallnotdivulgetoany unauthorized third parties anyconfidentialinformation obtained byService Provider orits agents,subcontractors oremployeesinthe course of performing the Services.Suchconfidentialinformationshallincludebut not be limited to,EndUserphone numbers,usage records,location information andother forms of identification of End User,security procedures,business operations information,or commercial proprietary information of die State,the Department,aSUNCOMClientor an End User.The Service Provider shall notbe required tokeep confidential any informationor material thatispublicly available through nofault of Service Provider, material that Service Provider developed independently without relying on die State's or SUNCOM Client's confidentialinformation,or materia]thatisotherwiseobtainable underStatelawasapublicrecord.To ensure confidentiality,Service Provider shall take appropriate stepsastoitspersonnel,agents,andsubcontractors.Theterms of this paragraph shallsurvivethe termination ofthisAgreement. ContractNo.:DMS10/11-008B Page23 of32 10.02 Minimize Abase TheDepartmentagreesto(i)makegood faith effortstominimizeabuseor fraudulent use,(ii) promptly report any suspected abuseor fraudulent useto Service Provider,and (hi)cooperate in any investigation or prosecution initiated by Service Provider.Service Provider may require the Department to caned the right touse Service byany of itsEnd Users or SUNCOM Clients abusingorfraudulentlymarketingorusingService. 10.03 Suspected Abase or Fraudulent Service Provider shallmake commercially reasonable effortstogivethe Department notice of suspectedabuseor fraudulent usepriortoimplementinga Fraud Intervention Measure. 10.04 Fraudulent Use of Services Ifthe Department atanytime suspects thatany Service maybe,hasbeenorisbeingusedfor abuseor fraudulent purposes,die Department shallbeliableforallcostsor charges incurred until four (4)BusinessHours afterthe Department notifies Service Provider to terminate Service under Section 2.05. 10.05 Prohibited Date Uses Prohibited DataUses.Service Provider reserves the right,withoutnoticeor limitation,tolimit diroughput speedsorquantitiesortodeny,terminate,end,modify,disconnect,orsuspend wireless Service if a wireless Product engages in prohibited voiceor data uses provided in die UserGuideandinthe Operational Guide,whichis updated from timetotime.InService Provider'ssolediscretion,ServiceProviderwilldeterminetheactionsnecessarytoprotectthe SprintNetworksorSprint4GNetworkfromharmor degradation. 10.06 Interrupt or Terminate Service Uponnoticeto Department,Service Provider may interrupt or terminate Service if Service Providerdeterminesthat die EndUser'suse ofthe Serviceinfringesintellectualpropertyrights. Contract 11.0-no warranties SERVICE PROVIDER HEREBY EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF WHATSOEVER NATURE RELATING TO THE SERVICE OR ANY EQUIPMENT PROVIDED UNDERTHIS AGREEMENT,INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR USE. TO THE EXTENT SERVICE PROVIDER PROVIDES ACCESS TO INFORMATION PROVIDED BY OTHER SOURCES,SERVICE PROVIDER ACCEPTS NO LIABILITY FOR AND MAKES NO WARRANTIES,EXPRESS OR IMPLIED,WITH RESPECT TO THE CONTENT THEREOF. Additionally,innoevent shall Service Provider be liable for direct damages asset forth in1.or3.aboveorbe required to perform asset forth in2.above,beyond thelast day of the E-Rate funding year in which Service Provider becomes ineligible asa provider under E-Rate,becomes unwilling or unable to provide E-Rate eligible services in compliance withE-Raterulesand regulations or die Agreement,or violates E-Raterulesand regulations inawaythat causes USACtodeny E-Rate SUNCOM Clients funding in wholeorinpart In addition*for purposes of clarification and toavoid confusion,die Department will not holdService Provider responsible and Service Provider willnotbe liable pursuant to subparagraph A.above,if Service Provider becomes ineligible asan E-Rate provider during theterm of the Agreement,becomes unwilling or unable to provide E-Rate eligible servicesin compliance with E-Rate rulesand regulations or the Agreement,or violates E-Rate rules and regulations inawaythat causes USACtodeny E-Rate SUNCOMClients funding inwholeorin part,dueto circumstances thatare determined tobe beyond ServiceProvider'scontrol Invoicing.The Department acknowledges thatithas posted anE-Rate Form 470in connection withthe procurement,whichisa prerequisite to E-Rate eligible entities utilizingtheAgreement awarded asa result of the procurement asthebasis of E-Rate funding applications.Additionally,the Department acknowledges thatsomeSUNCOM Clients maybeeligibleandapplyfor discounts underE-Rate.BothServiceProvider and theDepartment agree that:j ContractNo.:DMS 10/11-008B Page29 of 32 i 1.E-Rate has specific rules and regulations regarding the manner in which USAC andSLD approve funding requests,are presented billingand conducts audits in connectionswithfundingundertheE-Rate program;and 2.In order to ensure thatthe billing mechanisms and processes established pursuant tothis Agreement with respect to die applications of SUNCOM Clients for discountsunder die E-Rate program arein compliance with die E-Rate program requirements and regulations,the duties and responsibilities of each party areset forthin Section 5.07.06 (Invoicing)of theBusiness Process and Operations Exhibit 2 -Business Process and Operation. 15.11 Advertising Subject to Chapter 119,Florida Statutes,Service Provider shall not publicly disseminate any information concerning theAgreementwithout prior written approval fromthe Department, including,butnot limited tomentioningtheAgreementinapress release orother promotional material,identifying die Department orthe State asa reference,or otherwise linking Service Provider's nameand eidier a description ofthe Agreement orthename of the State,the Department oranySUNCOMClient in any material published,eitherinprintor electronically, toany entity thatisnota party to Agreement,except potential or actual authorized distributors, dealers,resellers,orservice representative. 15-12 Assignment Norightsor obligations hereunder shallbe assigned or delegated,inwholeorin part,byeither party toanyother person,firm,corporation,or other entitywithouttheother party's prior written consent,whichconsentwillnotbe unreasonably withheld.Notwithstanding the foregoing, Service Provider may assign thisAgreementtoanentitytowhomthe outstanding common stock or substantially all die assets of Service Provider are transferred afterfirst receiving FCCand othernecessary governmental approvals with notification totheDepartmentForpurposes ofthis provision,anychangein die ultimate control of a party,bystocksale,meTger,consolidation,or anyother means,shallconstituteanassignmentsubjecttowrittennotificationtotheotherparty. 15.13 Employees.Subcontractors,and Agents ADService Provider employees,subcontractors,or agents performing workundertheAgreement shallbe property trained technicians whomeetorexceedanyspecified training qualifications. Upon request,Service Provider shall furnish acopy of technical certification orotherproof of qualification.All employees,subcontractors,oragentsperformingworkundertheAgreement mustcomply with allsecurityand administrative requirements of die Departmentandshall complywithallcontrollinglawsand regulations relevanttotheservicestheyareprovidingunder the Agreement TheStatemay conduct,andServiceProvidershall cooperate in,asecurity background checkor otherwise assessany employee,subcontractor,oragent furnished by Service Provider.TheStatemay refuse accessto,or require replacement of,any personnel for cause, including,butnotlimitedto,technicalor training qualifications,qualityofwork,changein securitystatus,ornon-compliancewithaDepartment'ssecurityorother requirements.Such approval shallnotrelieveServiceProvider of itsobligationtoperformallworkin compliance withthe Agreement TheStatemayrejectandbarfromany facility forcauseany of Service Provider'semployees,subcontractors,or agents. 15.14 Govenunental Restrictions If Service Provider believesthatany governmental restrictions havebeenimposed that require alteration ofdie material,quality,workmanship or performance ofthe products offeredunderthe Agreement,Service Provider shallimmediatelynotifytheDepartmentin writing,indicating the ContractNo.:DMS 10/11-008B Page 30 of32 specific restriction.The Department reserves the right and the complete discretion to accept any such alteration orto cancel the Agreement atno further expense tothe Department 15.15 Lobbying and Integrity The Service Provider shall not,in connection with this or any other agreement withthe State, directly or indirectly (i)offer,confer,or agree to confer any pecuniary benefit on anyone as consideration forany State officeror employee's decision,opinion,recommendation,vote,other exercise of discretion,or violation ofa known legal duty,or (ii)offer,give,or agree to give to anyone any gratuity forthebenefit o£oratthe direction or request of,any State officeror employee.For purposes of clause (ii),"gratuity*'means any payment of more than nominal monetary valueinthe form of cash,travel,entertainment,gifts,meals,lodging,loans, subscriptions,advances,deposits of money,services,employment,or contracts of any kind.
