WHEREAS,the City Commission atits April 9,2005 meeting approved Ordinance No. 12-05-1834 allowing RRC 57th Avenue LLC to construct a project that includes 404 residential unitsandretailspace.The approval includedazoningmap amendment grantinga PUD-M zoning district,an approval of a master siteplan,andtheapproval of a Development Agreement;and WHEREAS,theCity Commission approved a Development Agreement forthe mixed use development project,known asRedRoadCommonsonApril9,2005viaOrdinanceNo.12-05- 1834,whichagreementwasfullyexecutedandwasrecordedintheCountyregistry of deedson March30,2007as required by Section 30 of the Agreement;and WHEREAS,theDevelopmentAgreementincludestherequirement(Section12)thatthe ApplicantsubmitanannualreporttotheCityatleast30dayspriortotheannualreviewdatewhich reportisastatusreportshowingthatobligationshavebeenmetandthattherehasbeencompliance withthe provisions of the Agreement;and WHEREAS,theAnnualreportwas submitted totheCityonFebruary 26,2016fromthe developer's attorney Jerry Proctor,said report concluding thatallofthe obligations set forth inthe Development Agreement aremet;and WHEREAS,theannualreportin accordance withtheDevelopmentAgreementmustbe reviewedbytheCityCommissionatapublicmeetingandtheCityCommissionmayacceptthe reportor if thereisafindingbythe Commission thattherehasbeena failure tocomplywiththe termsoftheDevelopmentAgreement,theAgreementmayberevokedormodifiedbytheCity. NOW,THEREFORE,BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA: Section 1.The Annual Report submitted by RRC 57th Avenue,of the property located at 6600 SW 57 Avenue asrequiredbySection 12 ofthe Development Agreement isacceptedasto compliance with the Development Agreement under the condition that RRC 57th Avenue LLC shall: (a)employasecurity firm topatrolthepremisesat6600SW57Avenuetomonitor unauthorizedbehaviorandrespondtocomplaintsorsuspiciousactivity;and (b)securityfirmtopatrolsshalloccuronfootorbygolfcarttypevehicleduringthetime periodbetween8:00p.m.and3:00a.m.,seven(7)nightsperweek;and (c)RRC 57th Avenue LLC shall work with the City Police Department to monitor crime statistics and determine thebest times to patrol the premises;and (d)Thepatrolstimesmaybeamendedbutonly if approved inwritingbytheCityManager; and (e)the acceptance of theAnnualReportshallnotbetreatedasan agreement orconsentto any request thatmaybe contained withinthereport;and (f)if RRC 57th Avenue LLC fails to comply with the foregoing conditions,the City Commission's acceptance of theAnnualReportshallbe subject revocationandtheCity Commission reserves the right to revoked or modified the Development Agreement. Background: OnApril 9,2005,the City Commission approved Ordinance No.12-05-1834 allowing fora Planned Unit Development,Mixed-Use project knownasRedRoad Commons located at 6600- 6640 SW57 Avenue,to be constructed that included upto407 multi-family residential units, retail uses,office uses and a parking garage.Pursuant to Section 12of the Development Agreement between the City of South Miami and RRC 57th Avenue LLC,executed March 29, 2007,the developer's legal counsel submitted their annual report on February 26,2016. Analysis: After review of the attached development agreement that was provided byMr.Jerry Proctor Esq.,it was noted that in January 2016,the Property was sold by RRC 57th Avenue,LLC (The "Prior Property Owner")to SCG AtlasRedRoad Commons,LLC,a Delaware limited liability company.Thelawfirm of Bilzen Sumberg BaenaPrice&Axelrod LLP will represent SCG Atlas RedRoad Commons,LLC (the "Owner")andwillbe the designated recipient ofNotices pursuant to Section 23 of the Agreement.The burdens and benefits of the Agreement inure to the Owner as successor in interest.As listed in the attached letter from Mr.Proctor,below isa summary ofhow the Development Agreement conditions have been met. 1.Permitted Uses,Densities,and Intensities In accordance with the provisions of Section 1of the Agreement,the Property was developed witha total of 404 residential units,not exceeding the maximum allowable number of407 residential units permitted by the agreement.By developing the property in accordance with the revised adopted master planas approved by the City,the owner has satisfied the condition of providing retail space,a management office,and constructing buildings that do not exceed 5 stories in height. 2.Public Facilities In accordance with Section 2 of the Agreement,water and sewer services,solid waste services,and drainage services complied withall applicable requirements of Miami-Dade County and the Florida Building Code prior to the issuance of a final Certificate of Occupancy Red Road Commons Annual Development Agreement Report November 1,2016 Page 2of3 of such buildings.The Prior Property Owner satisfied the traffic conditions listed in Section 2(e)of the Agreement by obtaining permits from the Florida Department of Transportation for roadway improvements on Red Road from US-1 to SW 66th Streetand traffic signal replacement for the intersection located atRedRoad and Levante Avenue;both of which have been completed. The required annual housing report was submitted to the Cityby letter dated January 13, 2016.As indicated in the letter,the project meets the 10%requirement that units be rented to"individualsorfamiliesin the moderate income segment of the affordable housing group/'Additionally,the Prior Property Owner made a $100,000 payment to the Cityprior to occupancy of the development on the Property to assist inlow income housing development in the CRA area. 3.Taxes Pursuant to Section2of the Agreement,the Owner paid taxes to the Cityinan amount equal to the annual Operating Millage Rate andwill continue to dosoin the future.The Prior Property Owner paid 2015ad valorem taxes to Miami-DadeCountyin the amount of $1,095,085.45. 4.Work Force .. In accordance with the provisions ofSection4of the Agreement,the Prior Property Owner gavea preference to job applicants residingin the City.ThePrior Property Owner provided those applicants withjobsduringboth the demolition and construction portions of development. 5.Site Plan TheOwnerhas abided byallsiteplanconditionsas set forthinSection5of the Agreement. In addition,the Prior Property Owner participated inajointworking group with the First Methodist Church of SouthMiamiregarding traffic improvements and committed toan improvement planfor the portionof Red Road located between the PropertyandtheFirst United Methodist Church of South Miami. 6.Security OnMay5,2014,as part of the approval of the 2014AnnualReport,the CityCommission directed stafftoreviewsecurity measures and security reports providedby management at Red RoadCommons,to address securityconcerns.By letters dated July2,2014,November 3,2014,and January 30,2015,reports describing security efforts and identifying security personnel assisting RedRoad Commons management were submitted to the City Manager, PoliceChiefandCity Attorney.In 2015,there was additional discussion by the City Commissiononthis issue.Further discussions have occurred since the Annual Report was submitted,and the Property Owner has agreed to employ a security firm to patrol the premises between 8:00 p.m.and 3:00 a.m.,seven (7)nights per week.Any change to this time frame must be approved by the City Manager.Pursuant to Section 12of the MWL Z:\Commission ltems\2016\ll-01-2016\Red Road Commons Annual Development Agreement\RRC_AnnuaI Report_CM Report_ll-01- 2016.docx Red Road Commons Annual Development Agreement Report November 1,2016 Page 3 of 3 Agreement,no written notices have been provided by the City to either the Prior Property Owner or the Owner. 7.Schools ThePrior Property Owner donated $34,800 to the Miami-DadeCountySchoolBoardon September 27,2007. 8.Unity of Title The Prior Property Owner submitted aUnityofTitle that was recorded inO.R.Book 25496 at Pages 47-51. (See Exhibit "E"fora copy of the payment). In satisfaction of the traffic conditions listed in Section 2(e)of the Agreement,the Prior Property Owner obtained permits from the Florida Department of Transportation for roadway improvements onRedRoadfrom US-1 to SW 66th Street and traffic signal replacement for the intersection located atRed Road and Levante Avenue.Both projects have been completed.ThePriorPropertyOwnerhas completed the remainder of the traffic improvements listedin the Agreement. The housing-related requirements contained in Section 2(f)of the Agreement obligates the Owner to rent 10%of the units "to individuals or families in the moderate income segment of the affordable housing group,"defined as individualsor families who are within 80%to 120%of the Area MedianIncome ("AMI")for Miami-Dade County.The 2015 AMI forMiami-DadeCountywas $49,900.Individualsorfamiliesfallingwithin80% to120%of the 2015 AMI had an annual income between $39,920 and $59,880.in compliance with the above requirement of Section 2(f),the Owner rented at least 10%of the totalunitstoindividualsorfamiliesfallingwithin that range.The Owner has established a reporting procedure with the City through which the Owner documents compliance with the requirements of Section 2(f).The required annual housing report was submitted to the Citybyletter dated January 13,2016 and has not yet come before the Mayor and City Commission forreview.Acopyof the January 13,2016reportis attached.Inaddition,the PriorPropertyOwner made a $100,000 payment to the City prior'to occupancy ofthe development on the Propertyto assist inlowincomehousing development in the CRA area. 3.Taxes:Pursuant to Section 3ofthe Agreement,the Owner haspaid taxes to the Cityin an amount equal tothe annual OperatingMillage Rate and will continue todo so in the future.The PriorPropertyOwnerpaid2015advalorem taxes toMiami-DadeCountyin the amount of $1,095,085,45.(See Exhibit "F"). 4.Work Force:In accordance with the provisions of Section 4of the Agreement,the Prior PropertyOwnergavea preference tojobapplicantsresidingin the City.ThePrior Property Owner provided those applicants with jobs during both the demolition and construction portions of development.
