A Resolution authorizing the City Manager to negotiate and enter into a contract with
Maggolc Inc.for the construction of the SwaleTrench Improvements/Repair onSW
63rd Court.
WHEREAS,the Mayor and City Commission wish to provide drainage improvements to
the swale on SW 63rd Court,and
WHEREAS,pursuant to a competitive selection process,it was determined that Maggolc
Inc.submitted a proposal in the amount of $5,490 that was the most comprehensive and cost
effective inits construction approach;and
WHEREAS,the City desires to provide a contingency of $850 over the proposal amount
for unknown factors that may arise during the work;and
WHEREAS,the total expenditure,including the contingency amount,is not to exceed
$6,340;and
WHEREAS,the Mayor and City Commission desire to authorize the City Manager to
negotiate and enter into a contract with Maggolc,Inc.for the construction of the Swale Repair
on SW 54th Streetforatotalamountnotto exceed $6,340.
NOW,THEREFORE,BEIT RESOLVED BYTHE MAYOR AND CITY COMMISSION OFTHE
CITYOF SOUTH MIAMI,FLORIDA THAT:
Section 1:The City Manager is authorized to negotiate the price,terms and conditions
and to execute acontract with Maggolc Inc.for Swale Trench Improvements on SW 63rd Court
foran amount not to exceed $5,490 and heis authorized to expend up to $850 for unforeseen
conditions.A copy of the approved form of contract is attached and the City Manager may
negotiate a lower price and more advantageous terms and conditions if approved by the City
Attorney.
Section 2:The expenditure shall be charged to the Storm water Drain Trust Fund
account number 111-1730-541-6490,whichhasa balance of $71,715.30,before this request
was made.
Section 3:Ifany section clause,sentence,or phrase of this resolution isforany reason
heldinvalid or unconstitutional bya court of competent jurisdiction,the holding shall not affect
the validity of the remaining portions of this resolution.
Section 4:This resolution shall take effect immediately upon adoption.

of 55 feet
TheCityreceived three proposalsinresponsetoasolicitation.Pursuant to
review,it was determined that Maggolc is the most responsive and responsible

"Contractor"),and the Cityx>n>outh Hiami (hereafter referred to as "Owner"),through its City Manager (hereafter
referred to as "City").
WITNESETH:
That,the Contractor,fortheconsiderationhereinafter fully setout,herebyagreeswiththe Owner as follows:
1.The Contractor shallfurnishalllabor,materials,equipment,machinery,tools,apparatus,transportation
andanyotheritems necessary toperform all ofthework shown onand described intheContract
Documentsand shall doeverythingrequiredbythis Contract andthe other Contract Documents
hereinafter referred to as the Work.
2.The Contract Documents shallincludethis Contract,General Conditions to the Contract,ifany,the

6.If the Work isexpectedtorequiremorethanonemonth,theOwner shall makemonthlypartialpayments
tothe Contractor onthe basis ofaduly certified andapprovedscheduleof values forthe Work performed
during each calendar monthbytheContractor,less the retainage (all as provided forintheContract
Documents),which istobe withheld bytheOwner until completion andacceptanceofthecomplete
projectin accordance withthisContract and theotherContract Documents and until suchWork has
been accepted by the City.
7.Upon submission bythe Contractor of evidence satisfactory totheOwnerthat all labor,material,and
other costsincurredbythe Contractor inconnectionwiththeconstructionofthe Work havebeen paid in
full,andaftercompliancewiththetermsforpaymentprovidedforinthe Contract Documents,final
paymentonaccountofthisContract shall be made withinsixty(60)calendar days afterthe completion by
the Contractor of all Work coveredbythisContractandtheacceptanceofsuchWorkbytheOwner.
8.The Work shall be completed in ht A.days.In the event that the Contractor shall fail to
completethe Work withinthetime limit stipulated inthe Contract Documents,ortheextendedtime limit
agreedupon,inaccordancewiththe procedure asmore particularly setforthinthe Contract Documents,
liquidated damages shall be paid by the Contractor atthe rate of$jfSj[4.dollars per day,plus any monies
paidbythe Owner totheConsultant,if any,foradditionalengineeringandinspectionservices,ifany,
associated withsuchdelay.
9.Itis further mutually agreedbetweentheparties hereto thatifaPaymentand/orPerformanceBond
("Bond")isrequiredand if,atanytimeafterthe execution ofthis Contract andtheBondforits faithful
performance andpayment,the City shall deem the Surety or Sureties uponsuchbond(s)tobe
unsatisfactory,or if,foranyreasonsuchbondceasestobeadequate to covertheperformanceofthe
Work or paymentto subcontractors andsuppliers,the Contractor shall,atits expense within five (5)
business days afterthereceiptofnoticefromtheCitysotodo,furnishan additional bondorbondsin
suchformand amount andwithsuchSuretyor Sureties as shall besatisfactory to the City.Insuch event,
no further payment to the Contractor shallbe deemed to bedue under this Contract until such new or
additional security for the faithful performance of the Work isfurnishedin the manner andin the form
satisfactory to the City.
10.No additional Work orextras shall bedoneunlessthesameisdulyauthorizedin writing,andinadvanceof
the work,by appropriate actionbytheCityandinaccordancewith the Contract Documents.
11.The date that this contract was "made and entered into"and its effective date is the date that the contract is
thesignedby the Cityor,ifthe contract isrequiredtobeapprovedbyresolutionof the City Commission,then
the Effective Date is the dateof the resolutionapprovingthe Contract whicheveris the laterdate.

ARTICLE I -DEFINITIONS
Whenever usedin these General Conditions or inthe other Contract Documents,thefollowing terms shallhave
the meaning indicated.These definitions shall always apply when the section ofthe Contract specifically refers to
this Article forthe purpose of interpreting a word or group of words in that section ofthe Contract Document.
However,whenthesectionoftheContract,wherethewordtobe defined isused,doesnot specifically refersto
this Article to define thewordorgroupof words,the definitions contained inthis Article shall not apply unless
the word or group of words,in the context ofitortheir use in the Contract Document in question,is/are
ambiguous andopenfor interpretation.In addition,these definitions shall alsonot apply tointerprettermsina
specific provision ofaContract Document ifthat specific provision contains a definition ofthese terms:
Addenda:Writtenor graphic documents issued priortothe Bid Opening which modify orinterprettheContract
Documents,Drawingsand Specifications,byaddition,deletions,clarifications or correction.
Application for Payment:A form approved by the CONSULTANT,if any,orthe City Manager which istobe used
by the CONTRACTOR in requesting progress payments.
Bid:Theofferor proposal ofthe Bidder submitted onthe prescribed form setting forththe prices and other
terms for the Work to be performed.
Bidder:Any person,firm or corporation submitting a response totheOwners solicitation for proposals or bids
for Work.
Bid Documents:The solicitation forbidsorproposalsand all documentsthatmakeupthe solicitation including
the instructions,form of documents and affidavits.
Bonds:Bid bond,performanceandpaymentbondsandotherinstrumentsof security,furnished bythe
CONTRACTOR anditssuretyin accordance with theContract Documents andin accordance withthe laws of
the State of Florida.
Change Order:Awrittenordertothe CONTRACTOR signed by theCity Manager authorizing an addition,
deletionor revision intheWork,oranadjustmentintheContractPriceortheContractTime issued after
execution of the Contract.
Work Order Proposals:Writtenproposalsfromthe CONTRACTOR inresponsetoordersorrequestforwork
basedontheScopeofthe Work providedbytheCitytotheCONTRACTOR.Theproposal includes lineitem
pricing,where there aremultiplelocations,andthetimeframeforcompletingthework.
CITY:TheCity Manager fortheCityofSouth Miami,6130 Sunset Drive,South Miami,FL 33143,unless the
context whereinthe word isusedshouldmoreappropriatelymeantheCityofSouth Miami.
Construction Observer:An authorized representative oftheCONSULTANT,ifany,or otherwise a
representativeoftheCity assigned toobservethe Work performedandmaterials furnished bythe
CONTRACTOR.The CONTRACTOR shallbenotifiedinwritingof the identityofthis representative.
Contract Documents:The Contract Documents shall include the Contract between the Owner and the
Contractor,other documents listed in the Contract and modifications issued after execution of the Contract as
wellasall Bid Documents including butnotlimitedtothesolicitationfor Bid,CONTRACTOR'S Bid,the Bonds,
Insurance endorsements,Insurance Certificates andpolicies,the Notice ofAward,the Notice toProceed,the
GeneralConditions,Special Conditions,ifany,anySupplementaryConditions,theTechnical Specifications,
Drawings,including anyincorporated specifications,addendatothedrawingsissuedpriortoexecutionofthe
Contract,Change Orders,Construction ChangeDirectivesandany written order foraminorchangeinthe
Work,and written modifications to anyof the Contract Documents.
Contract Price:Thetotalmoneyspayabletothe CONTRACTOR pursuant to the terms ofthe Contract
Documents.
Contract Time:The number ofcalendardaysstatedinthe Contract for the completionofthe Work.
Contracting Officer:The individual whoisauthorizedtosignthe contract documents onbehalfoftheOWNER.
CONTRACTOR:Theperson,firm or corporation withwhomthe OWNER has executed the Contract.
CONSULTANT:The person identifiedas the CONSULTANT in the Supplementary Conditions or,ifnone,then
CITY's designated representative asidentifiedin the Supplementary Conditions.
Day:Aperiodof twenty-four hours measuredfrom the beginning of the dayat 12:01 a.m.andit shall be presumed
to bea calendar dayunlessspecifically designated asabusinessday.
Days:Thenumberof twenty-four (24)hourperiods following the event towhichtheword"days"refers
commencing at 12:01 a.m.at the start of the next day.Therefore,in computing any period oftime prescribed or
allowedby the Contract Documents,the dayof the act,event or defaultfromwhich the designated period oftime

beginstorun shall not beincluded.Thelastdayof the periodso computed shall beincludedunlessitisa
Saturday,Sundayor legal holiday,inwhich event the period shall rununtiltheendof the next businessdaythatis

Defective Work:Work thatisunsatisfactory,faulty,ordeficientinthatitdoesnot conform to the Contract
Documents,ordoesnot meet therequirementsofany applicable inspection,reference standard,test,or approval
referredtointhe Contract Documents,orhasbeen damaged priortothe CONSULTANT'S recommendation of
final payment(unlessresponsibilityfortheprotection thereof hasbeendelegatedto the Owner);substitutions that
are not properly approved and authorized,anydeficiencyinthe Work,materialsand equipment;materialsand
equipment furnishedunder the Contract thatare not goodqualityandnewunless otherwise required or
permitted by the Contract Documents.
Drawings:Thedrawingswhich show the characterandScopeof the Work to be performed andwhichhavebeen
preparedor approved by the CONSULTANT,orifnone,thenbyanarchitector engineer hiredby the City and
are referred to in the Contract Documents.
Field Order:A written order issuedby the CONSULTANT whichclarifiesor interprets the Contract Documents
inaccordance with Paragraph 9.3or orders minorchangesinthe Work inaccordance with paragraph 10.2.
Modification:(a)A written amendment ofthe Contract Documents signedbybothparties,(b)aChange Order
signedbybothparties,(c)a written clarification orinterpretationifissuedbythe CONSULTANT inaccordance
with paragraph 9.3or(d)a written order forminorchangeoralterationin the Work issuedbythe
CONSULTANT pursuant to Paragraph 10.2.Amodificationmayonlybeissuedafter execution of the Contract,it
must beinwritingandsignedby the partyagainst whom the modificationissought to be enforced.
Non-conforming Work means work that does not conform to the Contract Documents andincludes work that is
unsatisfactory,faulty,or deficient or thatdoes not meet the requirements ofanyapplicableinspection,reference
standard,test,or that does not meet anyapprovalrequiredby,or referred to in,the Contract Documents,or
work thathasbeendamagedprior to CONSULTANT'S recommendation of final payment (unless responsibility for
the protection thereof hasbeenassumedinwritingbyCITY).
Notice ofAward:The written notice byCITY to the apparentsuccessfulBidderstating that upon compliance with

NoticetoProceed:A written noticegivenbyCITYto CONTRACTOR (withcopy to CONSULTANT)fixing the
dateon which the Contract Time shall commence to runandon which CONTRACTOR shall start to perform its
obligations under the Contract Documents.
Person:Anindividualor legal entity.
Project:The entire construction operationbeing performed asdelineatedinthe Contract Documents.
Policy:The term "policy"asusedintheContractDocuments shall meantheinsurancebinder,ifitisissued,the
declarationpageof the policyand the bodyof the policy,including all endorsements.
RFP:Request forProposal.
Scopeof Services.Thisphrasereferstothescopeoftheservicesor work tobeperformedandithas the same
meaningasScopeof the Work unless the context inwhichthephaseisusedclearlymeans otherwise.
Shop Drawings:All drawings,diagrams,illustrations,brochures,schedulesand other datawhicharepreparedby
the CONTRACTOR,aSubcontractor,manufacturer,supplier,ordistributor,andwhichillustrate the equipment,
materialor some portion of the work andasrequiredby the Contract Documents.
Samples:Physical exampleswhich illustrate materials,equipmentorworkmanshipand establish standardsbywhich
the Work willbejudged.
Specifications:ThoseportionsoftheContractDocuments consisting ofwritten technical descriptions of
materials,equipment,constructionsystems,standards andworkmanshipas applied tothe Work.
Subcontractor:An individual,firm orcorporation having adirectcontractwith CONTRACTOR orwithany
other Subcontractor for the performance ofapart of the Work at the construction site.
Substantial Completion:Thedate,as certified bythe CONSULTANT,whentheconstructionoftheProjectora
certified part thereof is sufficiently completed,in accordance withtheContractDocuments,sothatthe Project,or
a substantial part,canbeutilizedforthepurposesforwhichitwasintended without restrictionorlimitationto
any degree,otherthanforthe repair ofminor"punch list"items;oriftherebenosuch certification,thedate
when final paymentisdueinaccordancewith paragraph 14.9.However,innoevent shall theprojectorportion
thereof,bedeemedtobe substantially completed until a certificate of occupancy or certificate ofuseis lawfully
issuedbythe applicable governmental agency.Acertificateof Substantial Completion,issuedbythe
CONSULTANT,shall be null andvoidifitisbasedon false,misleading or inaccurate information,fromanysource,
or when it would not have been issue but for the consideration of Work that is thereafter found to be defective to
adegreegreaterthanthatwhichwould normally tobe considered bytheCitytobeminor "punch list"work.

Supplier:Anypersonororganizationwhosupplies materials orequipmentfortheWork,including thefabrication
ofanitem,butwho does not perform laborat the siteof the Work.
Surety:The individual orentitywhoisanobligoronaBondandwhoisboundwiththe CONTRACTOR forthe
full and faithful performance of the Contract andforthepaymentof all labor,servicesand materials usedonthe
project.
Work:Anyand all obligations,dutiesandresponsibilitiesnecessaryforthesuccessful performance andcompletion
of the Contract.
Notice:The term "Notice"as used herein shall mean and include all written notices,demands,instructions,
claims,approvalsand disapprovals requiredtoobtaincompliancewith Contract requirements.Written notice
shall bedeemedtohavebeendulyservedifdeliveredinpersontothe individual or toamemberofthefirmorto
anofficerofthe corporation forwhomitisintended,ortoanauthorized representative ofsuch individual,firm,or
corporation,orifdeliveredatorsentbyregistered mail tothelastknownbusinessaddress.Unlessotherwise
statedin writing,anynoticetoordemandupontheOWNERunderthis Contract shall bedeliveredto the City
Managerand the CONSULTANT.
ARTICLE 2 -PRELIMINARY MATTERS
Award:
2.1 The CITY reservesthe right to reject anyandallBids,atitssole discretion.Bids shall beawarded
bythe CITY tothelowest responsive and responsible Bidder.NoNoticeofAward shall be given until the
CITY has concluded its investigation,asitdeems necessary,to establish,tothe satisfaction ofthe CITY,
whichBidderisthemostresponsiveandresponsibleof all the Bidders tocompletethe Work withinthe
timeprescribedandinaccordancewiththeContractDocuments.The CITY reservestherighttoreject
the Bid ofany Bidder whoisnot believed tobe,inthesole discretion and satisfaction ofthe City,tobe
sufficiently responsible,qualified and financial able toperformthework.In analyzing a Bid,the CITY may
alsotakeintoconsiderationalternateandunitprices,ifrequestedbythe Bid forms.Ifthe Contract is
awarded,the CITY shall issuetheNoticeofAwardandgivethe successful Biddera Contract for
execution withinninety(90)dayafteropeningof Bids.
Execution of Contract:
2.2AtleastfourcounterpartsoftheContract,the Performance and Payment Bond,theCertificatesof
Insurance,theBinderofInsuranceifissued,theInsuranceDeclarationPageifnotincludedinthe Policy of
Insurance,the Policy of Insurance requiredbytheContract Documents,thewrittennoticeof designated
supervisororsuperintendentasprovidedinSection 6.1 oftheGeneralConditionsandsuch other
DocumentsasrequiredbytheContractDocuments shall beexecutedand delivered byCONTRACTOR
tothe CITY withinten (10)calendardaysofreceiptoftheNoticeofAward.A Contract Documentthat
requiresthe signature ofaparty may beexecutedincounterparts separately byeachoftheparties and,in
suchevent,each counterpart separatelyexecuted shall,withoutprooforaccountingforthe other
counterpart be deemed anoriginal Contract Document.
Forfeiture of Bid Security/Performance andPayment Bond,ifanyarerequiredbythe applicable RFP:
2.3Withinten (10)calendar days of being notified oftheAward,CONTRACTOR shall furnish a Performance
Bond anda Payment Bond containing all the provisions ofthe Performance Bond and Payment Bond
attached.
2.3.1 Each Bondshallbeinthe amount ofonehundred percent (100%)ofthe Contract Price
guaranteeing toOWNERthe completion andperformanceofthe Work coveredinsuchContract
as well as full paymentof all suppliers,material man,laborers,orSubcontractoremployedpursuant
tothisProject.Each Bond shall bewithaSuretycompanywhose qualifications meet the
requirements ofSections2.3.4,2.3.5,and2.3.6.
2.3.2 Each Bond shall continueineffectfor five yearsafter final completionandacceptanceofthe Work
withthe liability equaltoonehundred percent (100%)ofthe Contract Sum.
2.3.3Pursuantto the requirements ofSection255.05(1),FloridaStatutes,CONTRACTOR shall ensure
thattheBond(s)referencedabove shall be recorded inthe public records of Miami-Dade County
and provide CITYwith evidence ofsuch recording.
2.3.4 Each BondmustbeexecutedbyasuretycompanyauthorizedtodobusinessintheStateof Florida
asasurety,having aresidentagentintheStateof Florida and having beeninbusinesswitharecord
ofsuccessful continuous operation foraleastfive(5)years.

2.3.5Thesuretycompany shall holdacurrentcertificateofauthorityasacceptable surety on federal
bondsinaccordancewith the UnitedStates Department ofTreasuryCircular570,current
revisions.
2.3.6TheCITY shall onlyberequiredtoacceptasuretybondfromacompanywitharatingA.VIIor
better.
2.3.7Failure of the successful Bidder to execute and deliver the Contract,and deliver the required
bonds and Insurance documents shall be cause for the CITY to annul the Notice of Award and
declare the Bidandany security therefore forfeited.
Contractor's Pre-Start Representation:
2.4 CONTRACTOR represents that ithas familiarized itselfwith,andassumes full responsibilityfor having
familiarized itself with the natureand extent of the Contract Documents,Work,locality,and with all local
conditions andfederal,stateandlocallaws,ordinance,rulesandregulations that mayinanymanneraffect
performance of the Work,and represents thatithascorrelatedits study and observations with the
requirements of the Contract Documents.CONTRACTOR also represents that ithas studied all surveys
andinvestigations,reports ofsubsurfaceandlatent physical conditionsreferredtoin the specifications
andmadesuchadditionalsurveysandinvestigationsasitdeemsnecessaryforthe performance of the
Work reflected in the Contract Documents and that he has correlated the results of all such data with
the requirements of the Contract Documents.
Commencement of Contract Time:
2.5 The Contract Time shall commence to run on the date stated in the Notice to Proceed.
Starting the Project:
2.6 CONTRACTOR shall startto perform itsobligationsunderthe Contract Documents on the datethe
Contract Time commences torun.No Work shall bedoneatthesite(asdefinedinArticle I),prior to
the dateonwhich the Contract Time commences to run,except with the written consent of the CITY.
BeforeStarting Construction:
2.7Before undertaking eachpart of the Work,CONTRACTOR shall carefullystudyand compare the
Contract Documents and check andverify pertinent figuresshown thereon and all applicablefield
measurements andconditions.Itshallatonce report inwritingto CONSULTANT anyconflict,error,or
discrepancy which itmay discover.Neither the OWNER northe CONSULTANT shallbeliableforany
harm,damageorlosssufferedby CONTRACTOR asaresultofitsfailure to discoveranyconflict,error,
ordiscrepancyin the DrawingsorSpecificationsnor shall the CONTRACTOR be entitled to any
compensation foranyharm,damageorlosssufferedby the CONTRACTOR due to anyconflict,error,
ordiscrepancyin the Contract Documents.
Scheduleof Completion:
2.8 Within Five (5)businessdaysafterdeliveryof the Notice toProceedby CITY to CONTRACTOR,
CONTRACTOR shall submit to CONSULTANT for approval,an estimatedconstruction schedule
indicating the startingand completion datesof the variousstagesof the Work,andapreliminaryschedule
ofShopDrawingsubmissions.The CONSULTANT shall approvethisscheduleorrequirerevisions
thereto withinseven(7)calendardaysofitssubmittal.If there is more thanone CONTRACTOR
involvedin the Project,the responsibilityforcoordinatingthe Work of all CONTRACTORS shall be
providedin the Special Conditions.
2.9 Within five(5)businessdaysafterdeliveryofthe executed ContractbyCITYto CONTRACTOR,but
beforestarting the Work at the site,a pre-construction conference shall beheldto review the above
schedules,to establish procedures for handling ShopDrawingsand other submissions,andforprocessing
ApplicationsforPayment,and to establisha working understanding between the partiesasto the Project.
Presentat the conference willbe the CITY'S representative,CONSULTANT,Resident Project
Representatives,CONTRACTOR andits Superintendent.
Qualifications ofSubcontractors,Material menand Suppliers:
2.10 Within five(5)businessdaysafterbidopening,theapparentlowestresponsiveandresponsibleBidder
shall submittotheCITY and theCONSULTANTfor acceptance alistofthenamesof Subcontractors
andsuch other personsandorganizations (including those whoare to furnish principal itemsofmaterials
or equipment)proposed for those portions of the Work astowhich the identity of Subcontractors and

other persons andorganizationsmustbesubmittedas specified inthe Contract Documents.Within
thirty(30)calendardaysafterreceivingthe list,the CONSULTANT will notifythe CONTRACTOR in
writingif either the CITY or the CONSULTANThasreasonable objection toany Subcontractor,person,
or organizationon such list.ThefailureoftheCITYortheCONSULTANTtomakeobjection to any
Subcontractor,person,ororganizationonthelistwithinthirty(30)calendardaysof the receipt shall
constitute anacceptanceofsuch Subcontractor,personororganization.Acceptanceofanysuch
Subcontractor,personororganization shall not constitute awaiverofanyrightof the CITY or the
CONSULTANT to reject defective Work,materialorequipment,or any Work,material or equipment
not in conformance with the requirements of the Contract Documents.
2.1 I If,priorto the NoticeofAward,the CITY ortheCONSULTANThasreasonableobjectiontoany
Subcontractor,personororganization listed,theapparentlowBidder may,priortoNoticeofAward,
submit an acceptable substitute without an increase initsbidprice.
2.12 Theapparent silence ofthe Contract Documentsastoany detail,ortheapparent omission fromthemof
adetaileddescriptionconcerningany Work tobedoneandmaterialstobe furnished,shall beregardedas
meaning thatonlybestpracticesareto prevail andonly materials and workmanship ofthebest quality are
to beusedin the performance of the Work.
ARTICLE 3-CORRELATION.INTERPRETATION AND BNTENT OF CONTRACT DOCUMENTS
3.1 Itistheintentofthe Specifications and Drawings todescribeacompleteProjecttobeconstructedin
accordance with the Contract Documents.The Contract Documents comprise the entire Contract
betweentheOWNERand the CONTRACTOR.They may bealteredonlybya modification asdefinedin
Article I.
3.2TheContractDocumentsare complementary;whatis called forbyoneisas binding asif called forby all
the documents.If CONTRACTOR findsaconflict,error or discrepancy in the Contract Documents,it
shall,before proceeding withtheWork affected thereby,immediately call ittothe CONSULTANT'S
attentionin writing.ThevariousContractDocumentsare complementary;incaseof conflict,error or
discrepancy,themorestringentinterpretationand requirement that shall provide the maximum benefitto
the Owner shallapply
3.3Thewords"furnish"and"furnishand install","install",and"provide"orwordswithsimilarmeaning shall
beinterpreted,unless otherwise specifically stated,to mean "furnish and install complete in place and
readyfor service".
3.4 Miscellaneous itemsandaccessorieswhicharenot specifically mentioned,butwhichareessentialto
produceacomplete and properly operating installation,or usable structure,providing the indicated
functions,shallbefurnishedandinstalled without changeinthe Contract Price.Suchmiscellaneousitems
andaccessories shall beof the same quality standards,including material,style,finish,strength,class,
weight and other applicable characteristics,as specified forthemajorcomponentof which the
miscellaneous itemor accessory isan essential part,and shall be approved bythe CONSULTANT before
installation.Theaboverequirementisnotintendedto include majorcomponentsnotcoveredbyor
inferablefrom the DrawingsandSpecifications.
3.5The Work ofall trades under this Contract shall becoordinatedbythe CONTRACTOR insucha
mannerasobtainthebest workmanship possible fortheentireProject,and all componentsofthe Work
shall beinstalled or erected inaccordancewiththebestpracticesoftheparticulartrade.
3.6TheCONTRACTOR shall be responsible for making theconstructionof habitable structuresunderthis
Contract rain proof,andfor making equipment and utility installations properlyperformthe specified
function.IftheCONTRACTORispreventedfrom complying withthis provision duetothe Drawings or
Specifications,the CONTRACTOR shall immediately notify the CONSULTANT in writing of such
limitations beforeproceedingwithconstructioninthearea where theproblemexists.
3.7 Manufacturer's literature,when referenced,shallbe dated and numbered andis intended to establish the
minimum requirements acceptable.Whenever reference is given to codes,orstandard specifications or
otherdata published by regulating agencies or accepted organizations,including butnot limited to
National Electrical Code,applicableState Building Code,Florida Building Code,Federal Specifications,
ASTM Specifications,variousinstitute specifications,andthe like,it shall be understood thatsuch
reference is to the latest edition including addendaineffecton the dateofthe Bid.
3.8 Brand nameswhereusedin the technical specifications,areintendedtodenotethestandardor quality
requiredforthe particular materialorproduct.Theterm "equal"or "equivalent",whenused in
connectionwithbrandnames,shall beinterpretedtomeanamaterialorproductthatis similar andequal
intype,quality,size,capacity,composition,finish,colorand other applicable characteristicstothe material

orproduct specified bytrade name,and thatis suitable forthesameuse capable of performing the same
function,intheopinionofthe CONSULTANT,asthe material orproductsospecified.Proposed
equivalentitemsmustbeapprovedby CONSULTANT beforetheyarepurchasedorincorporatedinthe
Work.(When abrandname,catalog number,modelnumber,or other identification,isused without the
phrase"or equal",the CONTRACTOR shall usethe brand,makeandmodel specified).
3.9 Throughout thisagreementthemalepronounmaybesubstitutedfor female andneuterandviceversa
and the singular words substituted for plural and plural wordssubstitutedfor singular wherever
applicable.
3.10 Alltechnicalinterpretations shall bemadebythe CONSULTANT assetforthinSection9.3below.
3.1 I The CONTRACTOR shall haveadvisedthe CONSULTANT,priortoperformingany work involvinga
conflict in the Contract Documents and the CONSULTANT shall make the final decision as to which of
the documents shall takeprecedence.In the event that there isaconflict between oramong the
ContractDocuments,onlythelatestversion shall apply and the latestversionoftheContract
Documents.The CONSULTANT shall use the following listof Contract Documents asaguide.These
documents are set forth below in the order oftheir precedence so that all the documents listed above a
given document shouldhave precedence over all the documents listed below it.

ARTICLE 4-AVAILABILITY OF LANDS SUBSURFACE CONDITIONS REFERENCE POINTS
Availability of Lands:
4.1 The OWNER shallfurnish,asindicatedin the Contract Documents,the landsuponwhich the Work is to
be done,rights-of-way foraccess thereto,andsuch other landswhicharedesignedfor the use of the
CONTRACTOR.Easementsfor permanent structures or permanent changesinexisting facilities willbe
obtained andpaidforby the OWNER,unless otherwise specifiedin the Contract Documents.Other
access to suchlands or rights-of-way for the CONTRACTOR'S convenience shallbe the responsibility of
the CONTRACTOR.
The CONTRACTOR shallprovidefor all additionallandsandaccess thereto that maybe required for
temporary construction facilitiesorstorageofmaterialand equipment.
4.2TheCITYwill,uponrequest,furnish totheBidders,copiesof all available boundarysurveysand
subsurface tests at no cost.
Subsurface Conditions:
4.3 The CONTRACTOR acknowledges thathehasinvestigatedprior to biddingandsatisfiedhimselfasto
the conditions affecting the Work,including but not limited to those bearingupon transportation,
disposal,handlingandstorageof materials,availability oflabor,water,electricpower,roadsand
uncertainties of weather,riverstages,tides,water tablesorsimilar physical conditions atthesite,the
conformation and conditions of the ground,the characterof equipment and facilities neededpreliminary
to andduring prosecution of the Work.The CONTRACTOR further acknowledges that hehassatisfied
himselfas to thecharacter,qualityandquantityofsurfaceandsubsurfacematerialsorobstaclestobe
encountered insofarasthis information isreasonablyascertainablefroman inspection of the site,
includingall exploratory work done by the OWNER/CONSULTANT on the siteorany contiguous site,
aswellasfrominformation presented by the DrawingsandSpecificationsmadepartofthis Contract,or
any other informationmade available toitpriortoreceiptofbids.Any failure by the CONTRACTOR to
acquaintitself with the available information shall not relieveitfrom responsibility for estimating properly
the difficultyor cost ofsuccessfullyperforming Work.The OWNER assumesnoresponsibilityforany
conclusionsor interpretations madeby the CONTRACTOR onthebasisof the informationmade
availableby the OWNER/CONSULTANT.

DifferingSite Conditions:
4.4TheCONTRACTOR shall withinforty-eight (48)hoursofits discovery,andbeforesuchconditionsare
disturbed,notify the CITYinwriting,of:
4.4.1 Subsurface or latent physical conditionsatthesite differing materially fromthoseindicatedinthe
Contract Documents,and
4.4.2 Unknown physical conditions atthesite,ofan unusual nature,differing materially from those
ordinarily encounteredand generally inherentin Work ofthecharacter provided forinthis
Contract.The CITY shall promptly investigate the conditions,andifit finds thatsuchconditions
do materially differ totheextentasto cause anincreaseordecreaseinthe CONTRACTOR'S cost
of,orthetimerequiredfor,performanceofanypartofthe Work underthisContract,an
equitableadjustment shall bemadeandthe Contract modified inwriting accordingly.
4.5Noclaimof the CONTRACTOR under thisclauseshallbeallowedunless the CONTRACTOR hasgiven
thenotice required in4.4 above;provided,however,thetime prescribed therefore may beextendedby
the CITY,but only ifdonein writing signed bytheCity Manager orthe CONSULTANT.
ARTICLE 5-INSURANCE Contractor shall comply withthe insurance requirementssetforthinthe
SupplementaryConditions to the Contract.
ARTICLE 6 •CONTRACTOR'S RESPONSIBILITIES
Supervisionand Superintendence:
6.1 The CONTRACTOR shall supervise anddirecttheWork.It shall be solely responsible forthe means,
methods,techniques,sequences andproceduresof construction.The CONTRACTOR shall employ and
maintain a qualified supervisor or superintendent (hereinafter referredtoas "Supervisor"attheWork
sitewho shall be designated in writing bythe CONTRACTOR,beforethe CONTRACTOR commences
theWorkand within thetimerequiredbytheContract,asthe CONTRACTOR'S representativeatthe
site.The Supervisor orso designated shall have full authority toacton behalf ofthe CONTRACTOR and
all communications given tothe Supervisor shall beas binding asif given tothe CONTRACTOR.The
Supervisor(s)shall bepresentat each siteat all times as required toperform adequate supervision and
coordination oftheWork.(Copies ofwritten communications given tothe Supervisor shall be mailed to
the CONTRACTOR'S home office).
6.1.1 TheCONTRACTOR shall keeponerecordcopyof all Specifications,Drawings,Addenda,
Modifications andShop Drawings atthesiteat all timesandingoodorderandannotatedtoshow
all changes made during the construction process.These shall be available tothe CONSULTANT
and any CITY Representative at all reasonable times.Asetof "As-Built"drawings,as well asthe
original Specifications,Drawings,Addenda,Modifications andShop Drawings with annotations,
shall bemade available totheCityat all timesandit shall bedeliveredtothe CITY upon
completion of the Project.
Labor Materials and Equipment:
6.2The CONTRACTOR shall provide competent,suitably qualified personnelto lay outthe Work and
perform construction as required by the Contract Documents.It shall at all times maintain good
disciplineand order at the site.
6.3The CONTRACTOR shallfurnishallmaterials,equipment,labor,transportation,construction equipment
and machinery,tools,appliances,fuel,power,light,heat,local telephone,water and sanitary facilities and
all other facilities and incidentals necessaryfortheexecution,testing,initial operationand completion of
the Work
6.4 All materials and equipment shall benew,exceptasotherwise provided intheContract Documents.
When special makes or grades of material which are normally packaged bythe supplier or manufacturer
are specified or approved,such materials shall be delivered tothesiteintheir original packages or
containers with seals unbroken and labels intact.
6.5 All materials andequipment shall be applied,installed,connected,erected,used,cleaned and conditioned
in accordance withtheinstructionsofthe applicable manufacturer,fabricator,or processors,except as
otherwise provided in the Contract Documents.
Work Materials.Equipment.Products and Substitutions:
6.6 Materials,equipmentandproductsincorporated in the Work mustbeapprovedforusebefore being
purchased bythe CONTRACTOR.The CONTRACTOR shall submit tothe CONSULTANT alistof

proposed materials,equipmentor products,togetherwith such samples asmaybenecessaryforthemto
determinetheir acceptability and obtaintheir approval,withinninety(90)calendar daysafterawardof
Contractunlessotherwise stipulated inthe Special Conditions.Norequestforpaymentfor"or equal"
equipment will be approved until thislist has been received and approved bytheCONSULTANT.
6.6.1 Whenever a material,articleorpieceofequipmentis identified onthe Drawings or Specifications
byreferenceto brand nameor catalog number,it shall beunderstoodthatthisisreferencedfor
the purpose of defining the performance orother salient requirements and thatother products of
equal capacities,quality andfunction shall beconsidered.The CONTRACTOR may recommend
thesubstitutionofa material,article,orpieceofequipmentof equal substanceandfunctionfor
thosereferredtointheContractDocumentsbyreference to brandnameor catalog number,and
if,intheopinionoftheCONSULTANT,such material,article,orpieceofequipmentis of equal
substanceand function tothat specified,the CONSULTANT mayapproveitssubstitutionanduse
bythe CONTRACTOR.Incidental changes orextra component partsrequiredtoaccommodate
thesubstitute will bemadebythe CONTRACTOR withouta change inthe Contract Price orthe
Contract Time.
6.6.2No substitute shall be ordered or installed without the written approvalof the CONSULTANT
who shallbe the judgeofquality.
6.6.3Delaycausedbyobtaining approvals for substitute materials shall not beconsidered justifiable
grounds foran extension of construction time.
6.6.4Shouldany Work or materials,equipmentorproductsnotconformtorequirementsofthe
Drawingsand Specifications orbecomedamagedduringtheprogressofthe Work,such Work or
materials shall beremovedand replaced,together withany Work disarranged bysuchalterations,
atany time beforecompletionandacceptanceofthe Project.Allsuch Work shall bedoneatthe
expense of the CONTRACTOR.
6.6.5Nomaterialsorsuppliesforthe Work shall be purchased bythe CONTRACTOR orany
Subcontractor subject to anychattelmortgageorunderaconditionalsaleor other agreement by
whichan interest isretainedbythe Seller.The CONTRACTOR warrantsthat they havegood
titleto all materialsandsuppliesusedby them in the Work.
6.6.6Non-conforming Work:TheCityofSouth Miami maywithholdacceptanceof,orrejectitems
whicharefoundupon examination,notto meet the specification requirementsorconformtothe
plans and drawings.Uponwritten notification ofrejection,items shall beremovedor uninstalled
withinfive(5)businessdaysbythe CONTRACTOR athisown expense andredeliveredand/or
reinstalled athisexpense.Rejectedgoodsleftlongerthanthirty(30)calendar days shall be
regardedasabandonedand the CITY shall havetherighttodisposeof them asitsown property
and the CONTRACTOR therebywaivesany claim tothegoodortocompensationofanykind
for said goods.Rejectionfornon-conformanceor failure to meet deliveryschedulesmayresultin
the CONTRACTOR beingfoundindefault.
6.6.7 In case ofdefaultbythe CONTRACTOR,the CityofSouth Miami mayprocure the articlesor
servicesfrom other sources andholdthe CONTRACTOR responsible forany excess costs
occasioned orincurred thereby.
6.6.8TheCITYreservestheright,intheeventthe CONTRACTOR cannotprovideanitem(s)or
service(s)inatimelymannerasrequested,toobtainthegoodand/orservicesfrom other sources
anddeducting the costfromtheContract Price without violating theintentoftheContract.
Concerning Subcontractors:
6.7The CONTRACTOR shall not employanySubcontractor,against whom the CITYor the
CONSULTANT mayhavereasonable objeaion,norwillthe CONTRACTOR berequired to employany
SubcontractorwhohasbeenacceptedbytheCITYandthe CONSULTANT,unlessthe CONSULTANT
determines that there isgoodcausefordoingso.
6.8The CONTRACTOR shall be fully responsiblefor all actsandomissionsofits Subcontractors andof
personsandorganizationsdirectlyorindirectly employed byitandofpersonsandorganizationsfor
whose actsanyof them maybe liable tothesame extent thattheyareresponsiblefor the actsand
omissionsofpersonsdirectlyemployedbythem.NothingintheContractDocuments shall createany
contractualrelationship between OWNER or CONSULTANT andany Subcontractor or other personor
organizationhavingadirect contract with CONTRACTOR,nor shall itcreateanyobligationonthepart
of OWNER or CONSULTANT topayortoseetopaymentofanysubcontractoror other personor
organization,except asmayotherwisebe required by law.CITYor CONSULTANT may furnish toany

Subcontractor or other person ororganization,to the extent practicable,evidence of amounts paid to
the CONTRACTOR on account ofspecified Work done in accordance with the schedule values.
6.9 The divisionsand sections of the Specificationsand the identifications ofanyDrawingsshall not control
the CONTRACTOR individing the Work among Subcontractors ordelineating the Work performed by
anyspecific trade.
6.10 The CONTRACTOR agrees to bind specifically every Subcontractor to the applicable terms and
conditions of the Contract Documents for the benefit of the OWNER.
6.1 I All Work performed for the CONTRACTOR bya Subcontractor shall bepursuant to an appropriate
agreement between the CONTRACTOR and the Subcontractor.
6.12 The CONTRACTOR shall be responsible for the coordination of the trades,Subcontractors materialand
men engaged upon their Work.
6.12.1 The CONTRACTOR shallcause appropriate provisions to be inserted in all subcontracts relative
to the Work to bind Subcontractors to the CONTRACTOR by the terms of these General
Conditions and other Contract Documents insofarasapplicable to the Work of Subcontractors,
andgive the CONTRACTOR the same power asregards to terminating any subcontract that the
OWNER mayexerciseoverthe CONTRACTOR underanyprovisionsof the Contract
Documents.
6.12.2 TheCITYor CONSULTANT will not undertake to settle anydifferences between the
CONTRACTOR and their Subcontractors or between Subcontractors.
6.12.3 Ifin the opinionofthe CONSULTANT,anySubcontractoron the Projectprovestobe
incompetent or otherwise unsatisfactory,they shall be promptly replacedby the CONTRACTOR
ifand when directed by the CONSULTANT inwriting.
6.12A Discrimination:Noaction shall betakenby the anysubcontractorwithregardto the fulfilmentof the
terms of the subcontract,including the hiring andretentionof employees fortheperformanceof Work
that woulddiscriminateagainstanypersononthe basis of race,color,creed,religion,national origin,sex,
age,sexualorientation,familial statusor disability.This paragraph shall bemadeapartofthe
subcontractor's contract with the Contractor.
PatentFeesandRoyalties:
6.13 The CONTRACTOR shall pay all licensefeesandroyaltiesand assume all costsincident to theuse of any
invention,design,processordevicewhichis the subjectof patent rightsorcopyrightsheldby others.He
shallindemnifyandholdharmless the OWNER and the CONSULTANT andanyonedirectlyorindirectly
employedby either ofthemfromagainst all claims,damages,lossesand expenses (including attorney's
fees)arising out ofanyinfringementofsuchrightsduringorafterthecompletionof the Work and shall
defend all suchclaimsin connection withanyalleged infringement of suchrights.
6.14 The CONTRACTOR shall beresponsiblefordeterminingtheapplicationofpatentand/orroyaltyrights
astoanymaterials,appliances,articlesorsystemspriorto bidding.However,he shall not beresponsible
forsuch determination on systems whichdo not involvepurchaseby them ofmaterials/appliancesand
articles.
Permits:
6.15 The CONTRACTOR shall secureandpayfor all constructionpermitsandlicensesand shall payfor all
governmentalchargesandinspectionfeesnecessaryfortheprosecutionofthe Work,whichare
applicable atthetimeofhis Bid.When such charges arenormallymadebytheCITYandwhensostated
in the Special Conditions,there willbenochargesto the CONTRACTOR.TheCITY shall assist the
CONTRACTOR,whennecessary,in obtaining suchpermitsandlicenses.The CONTRACTOR shall also
pay all publicutilitycharges.
Electrical Power and Lighting:
6.16 Electrical power requiredduringconstruction shall beprovidedbyeachprime CONTRACTOR as
requiredbyit.Thisserviceshallbeinstalledbyaqualifiedelectrical Contractor approved bythe
CONSULTANT.Lighting shall beprovidedby the CONTRACTOR in all spacesat all times where
necessaryforgoodand proper workmanship,forinspectionorforsafety.No temporary powershallbe
usedoff temporary lighting lines without specificapprovalof the CONTRACTOR.
Lawsand Regulations:
6.17 The CONTRACTOR shall comply with all notices,laws,ordinances,rulesandregulations applicable to
the Work.If the CONTRACTOR observes that the SpecificationsorDrawingsareatvariance therewith,

itshallgive the CONSULTANT prompt written notice thereof,andany necessary changesshall be
adjustedbyan appropriate modification.If the CONTRACTOR performs any Work knowing it to be
contrary to suchlaws,ordinances,rulesandregulations,and without such notice to the CONSULTANT,
it shall bear all costs arising there from;however,it shall not beitsprimaryresponsibilityto make certain
that the DrawingsandSpecificationsareinaccordancewithsuch laws,ordinances,rulesandregulations.
Discrimination:
6.17A Noaction shall betakenby the Contractor with regard to the fulfilmentof the terms of the Contract
including the hiringand retention of employees forthe performance of Work that woulddiscriminate
againstanypersonon the basisofrace,color,creed,religion,nationalorigin,sex,age,sexual orientation,
familial statusordisability.
Taxes:
6.18 Cost of all applicablesales,consumer use,and other taxes forwhich the CONTRACTOR isliable under
theContract shall be included intheContract Price statedbythe CONTRACTOR.
SafetyandProtection:
6.19 The CONTRACTOR shall be responsible for initiating,maintaining and supervising all safety precautions
and programs inconnectionwiththe Work They shall take all necessary precautions forthesafetyof,
and shall providethenecessaryprotection to prevent damage,injuryorlossto:
6.19.1 Allemployeesandother persons,whomaybeaffectedthereby,
6.19.2 All the Work and all materials orequipmenttobe incorporated therein,whetherinstorageonor
off the site,and
6.19.3 Other propertyatthesiteor adjacent thereto,including trees,shrubs,lawns,walks,pavements,
roadways,structures and utilities not designated forremoval,relocationorreplacementinthe
course of construction.
6.20 TheCONTRACTOR shall designate a responsible memberoftheir organization atthesitewhoseduty
shall be the preventionofaccidents.Thisperson shall be the CONTRACTOR'S Superintendent unless
otherwise designatedinwritingbythe CONTRACTOR to the CITY.
Emergencies:
6.21 In emergencies affecting thesafetyofpersonsorthe Work orpropertyatthesiteor adjacent thereto,
the CONTRACTOR,without special instructionorauthorizationfromthe CONSULTANT orCITY,is
obligated toact,athisdiscretion,topreventthreatened damage,injuryorloss.He shall give the
CONSULTANT promptwrittennoticeofany significant changes inthe Work or deviations fromthe
ContractDocuments caused thereby.If theCONTRACTOR believes that additional Work doneby him
inan emergency whicharosefromcausesbeyondhis control entitleshimtoanincreasein the Contract
Price oran extension of the ContractTime,hemaymakeaclaim therefore asprovidedinArticles 11 and
12.
ShopDrawingsandSamples:
6.22 After checkingandverifying all field measurements,the CONTRACTOR shall submittothe
CONSULTANTforreview,in accordance withtheaccepted schedule ofshop drawing submissions,six
(6)copies(orattheCONSULTANToption,one reproducible copy)of all Shop Drawings,which shall
havebeencheckedbyandstampedwiththe approval oftheCONTRACTOR.TheShop Drawings shall
benumberedand identified astheCONSULTANTmayrequire.The data shownontheShop Drawings
shall becompletewithrespectto dimensions,design criteria,materials ofconstructionandtheliketo
enablethe CONSULTANT toreviewthe information without any unnecessary investigation.
6.23The CONTRACTOR shall alsosubmittothe CONSULTANT forreview,withsuchpromptnessasto
cause no delay inWork,all samples required bytheContract Documents.
Allsamples shall havebeencheckedbyandstampedwiththe approval ofthe CONTRACTOR,identified
clearly asto material,manufacturer,anypertinent catalog numbersandtheuseforwhichintended.
6.24Atthetimeofeach submission,theCONTRACTOR shall notifytheCONSULTANT,in writing,ofany
deviations between theShop Drawings orsamplesandtherequirementsoftheContractDocuments.
6.25The CONSULTANT shall reviewwithresponsiblepromptnessShop Drawings and Samples,buthis
review shall beonlyfor conformance with the design concept of the Projectandforcompliancewith the
informationgiveninthe Contract Documents.Thereviewofaseparateitemassuchwillnot indicate
review ofthe assembly in which the items functions.The CONTRACTOR shall make any corrections
requiredby the CONSULTANT and shall returntherequirednumberof corrected copiesofShop

Drawings andresubmitnew samples untilthereviewissatisfactorytothe CONSULTANT.The
CONTRACTOR shall notifytheCONSULTANT,inwriting,ofanypriorShopDrawing or revisionsto
ShopDrawingsthatareinconflictwitheachsubmission or re-submission.The CONTRACTOR'S stamp
ofapprovalonanyShopDrawingsorsample shall constitute representation tothe CITY and the
CONSULTANT that the CONTRACTOR has either determined and/or verifiedall quantities,dimension,
field construction criteria,materials,catalognumbersandsimilardataortheyassume full responsibility
fordoingso,andthattheyhavereviewedorcoordinatedeachShopDrawingorsamplewith the
requirements of the Work andthe Contract Documents.
6.26No Work requiringasubmittalofaShopDrawing or sample shall becommenced until thesubmissionhas
beenreviewedandapprovedinwritingbytheCONSULTANT.AcopyofeachShopDrawingandeach
approvedsample shall bekeptingood order,inabookorbinder,in chronological order orinsuchother
order requiredbythe CONSULTANT in writing,bytheCONTRACTORatthesiteand shall be available
to the CONSULTANT.
6.27The CONSULTANT'S reviewofShopDrawingsorsamples shall notrelievethe CONTRACTOR from
his responsibility foranydeviationsfromtherequirementsofthe Contract Documentsunless the
CONTRACTORhasinformedthe CONSULTANT,inwriting,toeachdeviationatthetimeof
submission andthe CONSULTANT has given written approval tothe specific deviation,nor shall any
reviewbythe CONSULTANT relieve theCONTRACTORfrom responsibility for errors oromissionsin
the Shop Drawings or samples.
6.27AThe CONTRACTOR shallbe liable to the OWNERforanyadditional cost ordelay that iscausedbyits
failure to notify the CONSULTANT ofanyofsaid deviations or conflicts betweenShopDrawingsordue
to errors in the ShopDrawings or samples.
CleaningUp:
6.28TheCONTRACTOR shall cleanupbehindtheWorkasmuchasisreasonably possible asthe Work
progresses.Upon completion oftheWork,andbeforeacceptanceof final paymentfortheProjectbythe
OWNER,the CONTRACTOR shall remove all hissurplusanddiscardedmaterials,excavatedmaterial
andrubbishaswellas all other materialandequipment that doesnotformapartofthe Work,fromthe
property,roadways,sidewalks,parking areas,lawn and all adjacentproperty.In addition,the
CONTRACTOR shall cleanhisportionof Work involved inany building underthis Contract,sothatno
further cleaning bytheOWNERisnecessarypriortoitsoccupancyandhe shall restore all property,both
public andprivate,whichhasbeendisturbedor damaged duringtheprosecutionofthe Work soasto
leave the whole Work and Work Siteina neat and presentable condition.
6.29Ifthe CONTRACTOR doesnotclean the Work site,the CITYmaycleanthe Work Siteof the materials
referred toinparagraph6.28andchargethecosttotheCONTRACTOR.
Public Convenience andSafety:
6.30 The CONTRACTOR shall,atall times,conduct the Work insucha manner as to insure the least
practicable obstructionto public travel.The convenience ofthe general public andoftheresidents along
andadjacenttotheareaof Work shall be provided forina satisfactory manner,consistentwiththe
operationand local conditions."StreetClosed"signs shall be placed immediately adjacenttotheWork,in
aconspicuous position,atsuch locations as traffic demands.Atanytimethat streets arerequiredtobe
closed,theCONTRACTOR shall notify lawenforcement agencies andin particular,theCityofSouth
Miami Police Department,beforethe street isclosedand again assoonasitisopened.Access tofire
hydrantsand other fire extinguishing equipment shall beprovidedand maintained at all times.
SanitaryProvisions:
6.31 TheCONTRACTOR shall provide on-site office,and necessary toilet facilities,secluded from public
observation,foruseof all personnelontheWork Site,whether ornotinhis employ.They shall bekept
ina clean and sanitary conditionand shall comply withtherequirementsand regulations ofthe Public
Authorities having jurisdiction.Theyshallcommitnopublic nuisance.Temporary field officeandsanitary
facilities shall beremoveduponcompletionofthe Work andthepremises shall beleftclean.
Indemnification:
6.32 Contractor shall complywiththe indemnification requirementssetforthinthe RFP andin EXHIBIT 2 of
theSupplementary Conditions (Insuranceandindemnification requirements).

6.33 In the event that anyactionorproceedingisbroughtagainst OWNER or CONSULTANT byreasonof
anysuchclaimordemand,CONTRACTOR,upon written noticefromCITY shall defend such action or
proceedingbycounselsatisfactory to CITY.Theindemnificationprovidedabove shall obligate
CONTRACTOR todefendatitsownexpenseorto provide forsuchdefense,atCITY'Soption,any and
all claims of liability and all suitsandactionsofeverynameanddescriptionthatmaybebrought against
OWNER or CONSULTANT,excludingonlythose claims that allege thatthe injuries arose out of the
sole negligence of OWNER or CONSULTANT.
6.34 The obligations ofthe CONTRACTOR under paragraph 6.33 shall notextendtothe liability ofthe
CONSULTANT,its agents oremployees arising outof (a)the preparation or approval of maps,drawings,
opinions,reports,surveys,ChangeOrders,designs or specifications or(b)the giving ofor the failure to
givedirectionsorinstructionsby the CONSULTANT,itsagentsoremployeesprovidedsuchactor
omissionis the primarycauseofinjuryor damage.
6.34AAllof the forgoingindemnificationprovisions shall survivethetermof the Contract to which these
General Conditionsarea part.Indemnification shall riot exceedanamount equal tothetotalvalueof all
insurancecoveragerequiredbySection 5.1 ofthisdocument.Indemnification islimited to damagescaused
in whole orinpartbyanyact,omission,ordefaultoftheContractor,the Contractor's subcontractors,
sub-subcontractors,materialmen,or agents of any tierortheirrespectiveemployeestothe extent caused
bythe negligence,recklessness,or intentional wrongful misconduct ofthe indemnifying party and persons
employedorutilizedbythe indemnifying partyintheperformanceoftheconstructioncontract.
Responsibilityfor Connection to Existing Work:
6.35 It shall bethe responsibility oftheCONTRACTORtoconnectits Work to each part ofthe existing
Work,existing building orstructureor Work previously installed asrequiredbythe Drawings and
Specifications to providea complete installation.
6.36 Excavations,grading,fill,storm drainage,paving and anyother construction or installations in rights-of-
ways ofstreets,highways,public carrier lines,utility lines,either aerial,surface or subsurface,etc.,shall be
donein accordance withrequirementsofthe special conditions.The OWNER will beresponsiblefor
obtaining all permitsnecessaryforthe Work described inthis paragraph 6.36.Uponcompletionofthe
Work,CONTRACTOR shall presentto CONSULTANT certificates,in triplicate,fromtheproper
authorities,statingthatthe Work hasbeendoneinaccordancewiththeirrequirements.
6.36.1 TheCITY will cooperatewiththeCONTRACTORin obtaining action from any utilities or public
authorities involvedin the above requirements.
6.36.2 The CONSULTANT shall be responsible for obtaining elevations ofcurbs and gutters,pavement,
storm drainage structures,andotheritemswhichmustbeestablishedbygovernmental
departments assoon as grading operations are begun onthesite and,in any case,sufficiently early
intheconstructionperiodtopreventanyadverseeffectonthe Project.
Cooperationwith Governmental Departments.Public Utilities.Etc.:
6.37The CONTRACTOR shall be responsible for making all necessary arrangements with governmental
departments,public utilities,public carriers,service companies and corporations (hereinafter referredto
as"third parties")owningor controlling roadways,railways,water,sewer,gas,electrical conduits,
telephone,and telegraph facilities such as pavements,tracks,piping,wires,cables,conduits,poles,guys,
etc.,includingincidental structures connected therewith,that are encountered in the Work in order that
suchitemsareproperlyshored,supportedandprotected,thattheirlocationisidentifiedandtoobtain
authorityfrom these thirdpartiesforrelocationif the CONTRACTOR desiresto relocate the item.The
CONTRACTOR shall give all proper notices,shall complywith all requirements ofsuchthird parties in
the performance of his Work,shall permit entrance of such third parties onthe Project inorderthatthey
mayperformtheirnecessarywork,and shall pay all charges andfeesmadebysuchthirdpartiesfortheir
work
6.37.1 The CONTRACTOR'S attentionis called tothe fact thattheremaybe delays ontheProjectdue
to work to bedonebygovernmentaldepartments,public utilities,andothersin repairing or
movingpoles,conduits,etc.The CONTRACTOR shall cooperatewiththeabove parties inevery
waypossible,sothatthe construction canbe completed intheleastpossibletime.
6.37.2 The CONTRACTOR shallhave made itself familiar with all codes,laws,ordinances,and
regulationswhichinanymanneraffect those engagedor employed inthe Work,ormaterialsand
equipment useinorupon the Work,orinanywayaffect the conduct of the Work,and nopleaof
misunderstandingwillbeconsideredonaccountof damage ordelaycausedbyhisignorance
thereof.

Use Premises:
6.38 CONTRACTOR shall confine its apparatus,storageof materials,andoperationsofits workmen tothe
limits indicated by law,ordinances,permits and directions of CONSULTANT and CITY,and shall not
unnecessarily encumber any partofthesiteoranyareasoffsite.
6.38.1 CONTRACTOR shall not overload orpermit any partofanystructuretobe loaded withsuch
weight as will endanger its safety,nor shall it subject any workto stresses or pressures that will
endanger it.
6.38.2 CONTRACTOR shall enforcetherulesand regulation promulgated bythe CONSULTANT and
OWNERas well astheirinstructionswithregardto signs,advertisements,firesand smoking.
6.38.3 CONTRACTOR shall arrange and cooperate with CITY in routing and parking of automobiles of
its employees,subcontractors and other personnel,as well asthatofthe material delivery trucks
and other vehicles that come to the Project site.
6.38.4 The City will designate specific areas onthesitefor storage,parking,etc.and the job site shall be
fencedto protect the job siteandthegeneral public.
6.38.5TheCONTRACTOR shall furnish,install and maintain adequate construction office facilities for all
workers employed byitorbyits Subcontractors.Temporary offices shall be provided and
located where directed and approved bythe CONSULTANT.All such facilities shall be furnished
instrictaccordancewith existing governing regulations.Field offices shall includetelephone
facilities.
Protection ofExisting Property Improvements:
6.38 Any existing surface or subsurface improvements,such as pavements,curbs,sidewalks,pipes or utilities,
footings,or structures (including portions thereof),trees and shrubbery,not indicated onthe Drawings
ornotedinthe Specifications as being removed or altered shall beprotectedfrom damage during
constructionofthe Project.Any such improvements damaged duringconstructionoftheProject shall
berestoredatthe expense ofthe CONTRACTOR toa condition equal tothat existing atthetimeof
award of Contract.
ARTICLE 7 -WORK BY OTHERS.
7.1 The CITY may perform additional Work related tothe Project or may letotherdirectcontractstherefor
which shall contain General Conditions similar to these.The CONTRACTOR shall afford the other
contractorswhoare parties tosuchdirectcontracts(orthe OWNER,ifitis performing the additional
Work itself),reasonable opportunityfortheintroduction and storageof materials and equipment andthe
executionof Work and shall properlyconnectandcoordinateits Work withtheirs.
7.2 If any partofthe CONTRACTOR'S Work depends uponproperexecutionorresultsoftheWorkofany
other contractor ortheOWNER,the CONTRACTOR shall promptly report to the CONSULTANTin
writing any defects or deficiencies in such Workthatrenderit unsuitable forthe CONTRACTOR'S
Work.
7.3TheCONTRACTOR shall do all cutting,fitting and patching ofthe Work thatmayberequiredtomake
its several partscometogetherproperlyandfittoreceiveorbereceivedbysuch other Work.The
CONTRACTOR shall notendangerany Work ofothersby cutting,excavating orotherwise altering their
Workand shall onlycutoraltertheirWorkwiththewrittenconsentofthe CONSULTANT andofthe
other contractor whose work will be affected.
7.4 If the performance of additional Workbyothercontractorsorthe OWNER isnotnotedintheContract
DocumentspriortotheexecutionoftheContract,writtennoticethereof shall be given tothe
CONTRACTORpriortostartinganysuch additional Work If theCONTRACTOR believes thatthe
performance of such additional Workbythe OWNER orothers will causethe CONTRACTOR
additional expenseor entitles him toanextensionoftheContract Time,he may makea claim therefore
asprovidedinArticles 11 and 12.
7.5 Where practicable,theCONTRACTOR shall buildaroundtheworkof other separate contractors or
shallleavechases,slotsandholesas required to receive andto conceal within the general construction
Work the work ofsuch other separate contractors asdirectedbythem.Where suchchases,slots,etc.,
areimpracticable,the Work shall require specific approvaloftheCONSULTANT.
7.6Necessarychases,slots,andholesnotbuiltorleftbytheCONTRACTOR shall becutbytheseparate
contractor requiringsuchalterationsafter approval oftheCONTRACTOR.TheCONTRACTOR shall
do all patchingand finishing oftheworkof other contractors whereitiscutbythemandsuch patching
andfinishingshallbeatthe expense of CONTRACTOR

7.7 Cooperation is required in the useofsitefacilitiesandinthe detailed execution of the Work.Each
contractor shall coordinate their operation with those of the other Contractors for the best interest of
the Work in order to prevent delayinthe execution thereof.
7.8 Each of several contractors working onthe Project Site shall keep themselves informed oftheprogressof
theworkof other contractors.Should lackofprogressordefectiveworkmanshiponthepartof other
contractors interferewith the CONTRACTOR'Soperations,the CONTRACTOR shall notify the
CONSULTANTimmediatelyandinwriting.LackofsuchnoticetotheCONSULTANT shall be
construedasacceptancebytheCONTRACTORofthestatusoftheworkof other contractorsasbeing
satisfactory for proper coordination of CONTRACTOR'S own Work.
7.9ThecostofextraWork resulting from lack of notice,untimely notice,failure torespondtonotice,
Defective Work or lack of coordination shall be the CONTRACTOR'S cost.
7.10 The CITY reservestherightintheeventthe CONTRACTOR cannotprovidean item(s)orservice(s)ina
timelymannerasrequested,toobtainthegoodand/orservicesfrom other sourcesanddeducting the
costfrom the Contract Price without violating theintentof the Contract.
ARTICLE 8 -CITY'S RESPONSIBILITIES.
8.1 The CITY will issue all communicationstotheCONTRACTORthroughthe CONSULTANT.
8.2Incasesofterminationofemploymentofthe CONSULTANT,the CITY will appointaCONSULTANT
whose status under the Contract Documents shall be that of the former CONSULTANT.
8.3TheCITYshallpromptlyfurnishthedata required ofthem under the Contract Documents.
8.4TheCITY'Sdutiesin respect to providinglandsand easements are set forthinParagraphs 4.1 and4.2.
8.5TheCITYshallhavetheright to takepossessionofanduseany completed orpartially completed
portions oftheWork,notwithstanding thefact that thetimeforcompleting the entire Work or any
portion thereof maynothaveexpired;butsuchtakingpossessionanduseshall not bedeemedan
acceptance ofany Work not completed in accordance with the Contract Documents.
ARTICLE 9 -CONSULTANTS'STATUS DURING CONSTRUCTION.
City's Representative:
9.1 The CONSULTANT shallbe the CITY'S representative during the construction period.The duties and
responsibilities and the limitations of authority of the CONSULTANT as the CITY'S representative during
construction are set forthinArticles I through 16 of these General Conditions andshallnotbe extended
without written consent of the CITY and the CONSULTANT.
9.1.1 TheCONSULTANT'Sdecision,in matters relating to aesthetics,shallbe final,ifwithin the terms
of the Contract Documents.
9.1.2 Exceptasmaybe otherwise providedinthis contract,allclaims,counterclaims,disputesand other
matters in question between the CITYand the CONSULTANT arising out of or relating to this
Contract or the breach thereof,shallbedecidedina court of competent jurisdictionwithin the
State of Florida.
Visits to Site:
9.2TheCONSULTANTshallprovidean inspector tomakeperiodicvisitsto the siteateachphaseof
construction to observe the progress andqualityof the executed Work and to determine if the Work is
proceeding in accordance with the Contract Documents.His efforts shallbe directed toward providing
assurancefor the OWNERandall applicable regulatoryagencies that construction isincompliancewith
the Construction Documents andapplicablelaws,rulesand regulations.On the basisof these onsite-
observations asan experienced and qualified designprofessional,heshallkeep the CITYinformedofthe
progress of the Work andshallguard the OWNER against defects anddeficienciesin the Work of
CONTRACTOR.
Clarifications and Interpretations:
9.3The CONSULTANT shallissue,with reasonable promptness,such written clarifications or interpretations
ofthe Contract Documents (intheformofDrawingsor otherwise)asitmay determine necessary,which
shallbe consistent with,or reasonablyinferablefrom,theoverall intent of the Contract Documents.If
the CONTRACTOR seeks an increase in the Contract Price or extension of Contract Time based on a
written clarification and/or interpretation,itshallbe required to submit atimelyclaimas provided in
Articles I I and 12.

Measurement of Quantities:
9.4 All Work completed under the Contract shall bemeasuredbytheCONSULTANTaccording to the
United States Standard Measures.All linear surface measurements shallbe made horizontally or vertically
as required by the item measured.
Rejecting Defective Work:
9.5The CONSULTANT shall haveauthorityto disapprove orrejectWork that is"Defective Work"as
definedinArticle I.It shall alsohaveauthoritytorequire special inspection or testingofthe Work
including Work fabricated onoroffsite,installed orcompletedas provided.In theeventthatthe
CONSULTANT requirestestingofcompletedWork,thecostofsuchinspectionsand/ortesting shall be
approvedin writing bythe CITY.All consequential costofsuch inspections and testing,including butnot
limited tothecostoftestingand inspection,thecostof repairing anyoftheWork,ortheworkofothers,
thecosttomovefurnitureandequipmentand/orthecosttoprovidealternative facilities until therepair
workcanbe completed,shall paid bythe CONTRACTOR iftheWorkis found tobe Defective Work.
ShopDrawings.Change Orders andPayments:
9.6 In connectionwiththe CONSULTANT responsibility astoShop Drawings and samples,seeparagraphs
6.25 through 6.28,inclusive.
9.7 In connectionwiththe CONSULTANT'S responsibility for Change Orders see Articles 10,II,and 12.
9.8 In connectionwiththe CONSULTANT responsibilities withrespecttothe Application for Payment,etc.,
see Article 14.
Decisions on Disagreements:
9.10 TheCONSULTANTshallbethe initial interpreter ofthe Construction Documents.
Limitationson Consultant's Responsibilities:
9.1 I TheCONSULTANT will notberesponsiblefortheconstructionmeans,methods,techniques,sequences
orprocedures,orthesafetyprecautionsandprogramsincident thereto.
9.12 The CONSULTANT will notbe responsible fortheactsor omissions ofthe CONTRACTOR,or any
Subcontractors,oranyoftheir agent,servants or employees,or any otherperson performing anyofthe
Work under or through them.
ARTICLE 10 -CHANGES IN THE WORK.
10.1 Without invalidating theContract,the CITY may,at any timeor from timeto time,order additions,
deletions or revisionsinortothe Work which shall onlybeauthorizedbyawrittenChange Orders.
Upon receipt ofa Change Order,the CONTRACTOR shall proceed with theWork involved.All such
Work shall be performed underthe applicable conditions oftheContract Documents.If any authorized
writtenChange Order causesanincreaseordecreaseintheContractPriceoranextensionor
shortening oftheContract Time,an equitable adjustment will be made as provided in Article 11 or
Article 12.Awritten Change Order signed by the CITY and the CONTRACTOR indicates their
agreement tothetermsofthe Change Order.All Change Orders shall be certified by the
CONSULTANT astothe appropriateness and value ofthe change in theWorkas well asto any change
inthetimetocompletetheWorkunderthe circumstances.The failure to include atimeextensionin
the Change Orderor in therequestfora change order shall result in a waiver of any extension.of time
duetothechangeintheworkasreflectedintheChange Order.
10.2 The CONSULTANT mayauthorizeminor changes oralterationsinthe Work not involving extracost
and not inconsistent with the overall intent of the Contract Documents without the needforaformal
written Change Order provided the CONTRACTOR doesnotrequest additional time or additional
compensation.These may be accomplished by a written Field Order.If the CONTRACTOR believes
thatany change oralteration authorized by the CONSULTANT'S Field Order would entitles the
CONTRACTOR to an increase in the Contract Price or extension of Contract Time,it must submit a
writtennoticeofintenttodemandaChangeOrder within twenty-four(24)hoursofthe issuance ofthe
Field Order andsubmitawrittenproposalfor Change Order within four(4)days thereafter,otherwise
the CONTRACTOR shall be deemed to have waived such claim.

10.3 Additional Work performed by the CONTRACTOR without authorization ofa written Change Order
shall not entitle it to an increase in the Contract Price or an extension of the Contract Time,except in
thecaseofan emergency asprovidedinparagraph6.22and except asprovidedinparagraph 10.2.
10.4 TheCITYwill execute appropriate Change Orders prepared by the CONSULTANT covering changesin
the Work,to be performed asprovidedinparagraph4.4,and Work performed inan emergency as
provided in paragraph 6.22andany other claimof the CONTRACTOR forachangein the Contract Time
or the Contract Pricewhichis approved bytheCONSULTANT.
10.5 Itis the CONTRACTOR'S responsibility to notifyitsSuretyofanychangesaffecting the generalScopeof
the Work or change in the Contract Price or Contract Timeand the amount of the applicable bonds shall
beadjustedaccordingly.The CONTRACTOR shall furnish proof ofsuchan adjustment to the CITY
before commencement of the Change Order Work.The Work shall be stopped until the
CONTRACTOR providessuch proof ofadjustmentintheBond amount andanysuchdelay shall be
charged to the CONTRACTOR.
ARTICLE I I -CHANGE OF CONTRACT PRICE.
11.1 The Contract Price constitutes thetotalcompensation payable totheCONTRACTORforPerforming
the Work All duties,responsibilitiesand obligations assignedtoor undertaken bythe CONTRACTOR
shallbeatits expense without changingthe Contract Price.
I 1.2 The CITY may,atanytime,withoutwrittennoticetothesureties,by written order designated or
indicatedtobeaChange Order,makeany change inthe Work withinthegeneralscopeof the Contract,
includingbut not limited to changes to or in:
11.2.1 Specifications (including drawings and designs);
11.2.2 Method or manner of performance ofthe Work.
11.2.3 CITY-furnished facilities,equipment,materials,services,orsite;or
I 1.2.4 Acceleration in the performance of the Work
I 1.3 Except as provided inthis section,or sections referred to inthis section,no order,statement,or conduct
ofthe CITY shall be treated asaChange Order orentitletheCONTRACTORtoanequitable
adjustmentunlessanduntilthechangeintheWorkis specifically andexpresslyprovidedforinawritten
Change Order,or as otherwise providedin another sectionofthe Contract Documents.
11.4 WhenaChange Order isissuedbythe CONSULTANT and signed bythe CITY orissuedbythe CITY in
writing,theCONTRACTOR shall performthe Work eveniftheCONTRACTORdoesnotagreewith
thedollaramountoftheChange Order.IfanyChange Order causesanincreaseor decrease inthe
CONTRACTOR'Scostof,orthetimerequiredfor,theperformanceofanypartofthe Work underthis
Contract,forwhichthe CITY andtheCONTRACTORcannotreachatimelyagreement,anequitable
adjustmentbasedonthecostofthe Work shall bemadeandthe Contract modified accordingly.
I 1.5 IftheCONTRACTORintendstoasserta claim foranequitableadjustmentorcontest the equitable
adjustmentmadebythe CONSULTANT,it shall,withinten (10)calendar days afterreceiptofawritten
Change Order,submit tothe CITY and CONSULTANT awrittennotice including astatement setting
forththegeneralnatureandmonetaryextentofsuch claim forequitable adjustment,timeextension
requestedandsupportingdata.In determiningthecostoftheChangeOrder,thecosts shall be limited to
those listed in section I 1.7 and 11.8.
11.6 No claim bytheCONTRACTORforan equitable adjustment hereunder shall beallowedifnotsubmitted
inaccordancewiththissectionorifassertedafter final paymentunderthisContract.
I 1.7 The value ofany Work coveredbya Change Orderorofany claim foranincreaseordecreaseinthe
Contract Price shall bedeterminedinoneofthe following ways:
I 1.7.1 By negotiated lumpsum.
11.7.2 Onthe basis ofthe reasonable cost and savings thatresultsfromthe change intheWork plus a
mutually agreeduponfeetothe CONTRACTOR tocoveroverheadandprofitnottoexceed
15%.If the CONTRACTOR disagreeswith the CONSULTANTS determination ofreasonable
costs,the CONTRACT shallprovidealistof all costs together withbackup documentation
11.8 Thetermcostofthe Work means thesumof all directextracosts necessarily incurredand paid bythe
CONTRACTORintheproperperformanceoftheChangeOrder.Exceptasotherwise may beagreed
toinwritingby CITY,suchcosts shall beinamountsnohigherthan those prevailing in Miami-Dade
County and shall includeonlythe following items:
I L8.1 Payroll costsforemployeesinthedirectemployofCONTRACTORintheperformanceofthe
WorkdescribedintheChange Order underschedulesofjob classifications agreeduponby CITY
andCONTRACTOR.Payroll costsforemployeesnotemployed full timeon the Work shall be

apportionedonthe basis oftheirtimespentontheWork.Payroll costs shall be limited to:
salaries andwages,plus the costsof fringe benefitswhich shall include social security
contributions,unemployment,exciseand payroll taxes,workers'compensation,healthand
retirement benefits,sick leave,vacation and holiday pay applicable thereto.Suchemployees shall
include superintendentsand foremen atthesite.Theexpensesof performing Work after regular
workinghours,on Sunday or legal holidays shall be included intheaboveonlyifauthorizedby
CITYand provided itwasnotin any way,whether in wholeorinparttheresultofthe fault ofthe
CONTRACTOR dueto negligence ofthe CONTRACTOR orthose acting byorthroughhimor
dueinwholeorinparttoDefective Work ofthe CONTRACTOR.
I 1.8.2 Costof all materials andequipment furnished and incorporated inthe Work,including costsof
transportation and storage,and manufacturers'field services requiredinconnectiontherewith.
The CONTRACTOR shall notifytheCITYof all cash discountsthatare available and offerthe
CITYthe opportunity todeposit funds withtheCONTRACTORforthe payment for itemsthat
offer a discount.Cash discounts shall accrue to CONTRACTOR unless the CONTRACTOR fails
to timely notify the CITY ofthe discounts oriftheOWNER deposits funds withCONTRACTOR
with which to make payments in which cases the cash discounts shall accrue totheOWNER.All
trade discounts,rebates andrefunds,and all returns fromsaleofsurplusmaterialsand equipment
shall accrueto OWNER,and CONTRACTOR shall makeprovisionssothattheymaybe
obtained.
11.8.3 Payments madebyCONTRACTORtothe Subcontractors for Work performed by
Subcontractors.If required by CITY,CONTRACTOR shall obtain competitive bids from
Subcontractors acceptable to him and shall deliver such bids toCITYwho will then determine,
with the adviceofthe CONSULTANT,whichBidswillbeaccepted.No subcontract shall bea
cost plus contract unless approved in writing bythe CITY.If a Subcontract provides thatthe
Subcontractor istobe paid onthe basis ofCostofWork plus a fee,thecostofthe Work shall be
determined in accordance this section I 1.8 andinsuch case the word "Subcontractor"shallbe
substituted for the word "CONTRACTOR".
I 1.8.4 Rentals of all construction equipment and machinery,except hand tools,and the parts thereof
whether rented from CONTRACTOR or others in accordance with rental agreements
approved by CITY withthe advice of CONSULTANT,and thecostsof transportation,loading,
unloading,installation,dismantling and removal thereof-all in accordance withtermsof said
rental agreements.The rental of any such equipment,machinery or parts shall cease whenthe
use thereof isnolongernecessaryfor the Work
I 1.8.5 Sales,useorsimilartaxesrelatedtothe Work,andforwhich CONTRACTOR is liable,imposed
byany governmental authority.
I 1.8.6 Payments and fees for permits and licenses.Costs for permits and licenses mustbe shown as a
separate item.
I 1.8.7 The cost ofutilities,fuelandsanitary facilities at the site.
I 1.8.8 Minor expenses such as telegrams,long distance telephone calls,telephone service atthe site,
expressage and similar petty cash itemsin connection withthe Work.
I 1.8.9 Costof premiums for additional Bonds and insurance required solely because of changes in the
Work nottoexceedtwopercent (2%)ofthe increase intheCostoftheWork.
I 1.9 The term Cost of the Work shall NOT includeanyofthe following:
I 1.9.1 Payroll costs and other compensation of CONTRACTOR'S officers,executives,principals (of
partnership and sole proprietorships),general managers,engineers,architects,estimators,lawyers,
agents,expediters,timekeepers,clerks and other personnel employed by CONTRACTOR
whetheratthesiteorinits principal ora branch office for general administration ofthe Work
and not specifically included inthe schedule referred toin Subparagraph I 1.5.
I 1.9.2 Expenses of CONTRACTOR'S principal and branch offices other than its office atthe site.
I 1.9.3 Any part of CONTRACTOR'S capital expenses,including interest on CONTRACTOR'S capital
employedforthe Work and charges against CONTRACTOR fordelinquent payments.
I 1.9.4 Costof premiums for all bonds and for all insurance policies whetherornot CONTRACTOR is
required bythe Contract Documents to purchase and maintain the same (except as otherwise
providedinSubparagraph I 1.8.9).
I 1.9.5 Costsduetothe negligence ofCONTRACTOR,any Subcontractor,oranyone directly or
indirectly employed by any ofthemorforwhose acts any ofthem may be liable,including butnot
limited to,thecorrectionofdefectivework,disposal of materials orequipmentwrongly supplied
and making good anydamage to property.

11.9.6 Other overheadorgeneralexpensecostsofany kind andthecostsofanyitemnot specifically
and expressly included inParagraph I 1.8.
11.10 The CONTRACTOR'S fee which shallbeallowed to CONTRACTOR forits overhead and profit shallbe
determined as follows:
11.10.1 Amutually acceptable firmfixedprice;or ifnonecanbeagreedupon.
11.10.2 Amutuallyacceptablefixedpercentage(nottoexceed 15%).
11.11 TheamountofcredittobeallowedbyCONTRACTORtoOWNERforanysuchchange which resultsin
a net decrease in cost will be the amount of the actual net decrease in costs calculated in the same
manner asprovidedin I 1.8.When bothadditionsandcreditsareinvolvedinanyonechange,the net
shallbe computed toinclude overhead andprofit,identifiedseparately,forbothadditionsand credit,
provided however,the CONTRACTOR shall not beentitled to claimlostprofitsforany Work not
performed.
ARTICLE 12 -TIME FOR COMPLETION.LIQUIDATED DAMAGES AND CHANGE OF THE
CONTRACT TIME.
12.1 Timeisof the essence to this contract andthedateof beginning andthetimeforcompletionof the Work
are essential conditions of the Contract.Therefore,the Work shallbe commenced on the datespecified
in the Notice to Proceed and completed within the timespecifiedfor completion of the work.
12.2 The CONTRACTOR shall proceed with the Work atsuch rate of progress to ensure full completion
withinthe Contract Time.Itisexpressly understood andagreed,byand between the CONTRACTOR
and the OWNER,that the Contract Timefor the completion of the Work described hereinisa
reasonable time,takinginto consideration the averageclimaticand economic conditions and other factors
prevailingin the localityof the Work.Noextensionoftimeshallbegranteddueconditions that the
Contractor knewof or should haveknownof before biddingon the project or due to inclement weather,
except as provided in section 12.7.
12.3 If the CONTRACTOR shallfail to complete the Work within the Contract Time,or extension of time
granted by the CITY,then the CONTRACTOR shallpayto the OWNER the amount ofliquidated
damagesasspecifiedin the Contract Documents foreach calendar dayafter the scheduled date for
completion as adjusted by written Change Orders that extended the completion date.
12.3.1 These amountsare not penaltiesbutareliquidateddamagesincurredby the OWNERforits
inability to obtain full useoftheProject.Liquidateddamages are herebyfixedandagreedupon
between theparties,recognizingthe impossibility ofpreciselyascertainingthe amount ofdamages
that willbe sustained asa consequence ofsuchdelay,and both partiesdesiring to obviate any
question or disputeconcerningtheamountofsaiddamagesandthe cost andeffectof the failure
of CONTRACTOR to complete the Contract ontime.The above-stated liquidateddamagesshall
apply separately to eachphaseof the Project forwhicha time for completion isgiven.
12.3.2 CITYis authorized to deduct theliquidateddamagesfrommoniesdue to CONTRACTOR for the
Work under this Contract.
12.4 The Contract Timemayonlybechangedbya written Change Order.Anyclaimforan extension in the
CONTRACT TIME shall be based on written notice delivered to the CITY and CONSULTANT within
five (5)businessdaysofthe occurrence oftheevent giving risetothe claim andstatingthegeneralnature
of the claimincluding supporting data.All claimsfor adjustment in the Contract Timeshallbeevaluated
and recommended by the CONSULTANT,with final approvalby the CITY'S representative.Anychange
in the Contract Timeresultingfromanysuchclaimshallbe incorporated ina written Change Order.
12.5 All time limits stated in the Contract Documents are of the essence of the Contract.
12.6 Noclaimfordelayshallbeallowedbecauseoffailure to furnishDrawings before the expiration of
fourteen (14)calendardays after demandhasbeenmadeinwritingtotheCONSULTANTforsuch
Drawings.Furthermore,there shallbeno monetary compensation forsuchdelayand the
CONTRACTOR'S sole remedy shallbean extension oftimefor the periodofdelay.
12.7 Extensions to the Contract Timefordelayscausedby the effectsofinclement weather shall not be
granted unless the weather wasunusualfor South Floridaandcould not have been anticipated,the
abnormal weather is documented by records from the national weather serviceandtheabnormal
weather is documented to have had a substantial affected on the construction schedule.
12.8 NoDamagesforDelay:The CONTRACTOR agrees that heshall not haveanyclaimfordamagesdue to
delayunless the delay exceeds 6months,whether individually or cumulatively,and then the damagesshall
belimited to increased cost ofmaterials that were unanticipated and that would not havebeen incurred
butforthedelay.Other thanas set forthabove,theonlyremedyforanydelayshallbelimitedtoan

extension oftimeas provided for in Section 12.4 which shall bethesole and exclusive remedy for such
resultingdelay.Other thanas set forthabove,CONTRACTOR shall not be entitled to an increase in the
Contract Price or payment or compensation of any kind from OWNER for direct,indirect,consequential,
impactor other costs,expensesor damages,including butnot limited to,costsofacceleration or
inefficiency,overheadorlost profits,arising because of delay,disruption,interferenceorhindrancefrom
anycausewhatsoever,whether such delay,disruption,interferenceorhindrancebereasonable or
unreasonable,foreseeable or unforeseeable,or avoidable or unavoidable.
12.9 The CONTRACTOR waives all claims thatarenot presented tothe City in writing onorbeforethe 21 st
day following thedateoftheeventuponwhichthe claim isbased.
12.10 Dispute Resolution:If any dispute concerning a question offact arises undertheContract,otherthan
termination for default or convenience,the CONTRACTOR andthe city department responsible forthe
administration oftheContract shall make agood faith effortto resolve the dispute.If thedisputecannot
be resolved by agreement,thenthedepartment with the advice oftheCityAttorneyandthe
CONSULTANT shall ruleonthe disputed issue and sendawrittencopyofits decision tothe
CONTRACTOR.CONTRACTOR shall comply with such decision and shall not delay theproject.
ARTICLE 13 -GUARANTEE.
13.1 The CONTRACTOR shall guarantee and unconditionally warrantthrougheitherthe manufacturer orthe
CONTRACTOR directly,all materials and equipment furnished and Work performed for patent
Defective Work foraperiodofone(I)yearfromthedateof Final Acceptanceas indicated inthe
CONSULTANT Letterof Recommendation of Acceptance,if issued,the Certificate of Occupancy,if
issued,ortheCertificateof Completion,if issued bytheCity,whicheveris applicable andifmorethan
oneis applicable,theonethatisissuedlast,forpatentDefectiveWork,.Thesameguaranteeand
unconditional warranty shall beextendedforthree(3)yearsfromthedateof Final Acceptanceas
indicatedintheCONSULTANTLetterofRecommendationofAcceptance,ifissued,theCertificateof
Occupancy,if issued,orthe Certificate of Completion,if issued bythe City,whicheveris applicable andif
morethanoneis applicable,theonethatis issued last,forlatent Defective Work.The CITY will give
noticeofobserveddefectswithreasonablepromptness.In theeventthat the CONTRACTORshould fail
to commence to correct suchDefective Work withinten (10)calendardaysafter having receivedwritten
noticeofthe defect,or should the CONTRACTOR commence thecorrectivework,but fail toprosecute
the corrective workcontinuouslyand diligently andinaccordancewith the Contract Documents,
applicable law,rulesand regulations,the CITY may declareaneventofdefault,terminatethe Contract in
wholeorinpartandcausethe Defective Worktoberemovedor corrected andto complete theWork
atthe CONTRACTOR'S expense,and the CITY shall charge the CONTRACTOR thecostthereby
incurred.ThePerformance Bond shall remainin full forceandeffectthroughtheguaranteeperiod.
13.2 The specific warrantyperiods listed in theContract Documents,if different fromtheperiodoftime listed
inSection 13.1,shall take precedence over Section 13.1.
13.3 CONTRACTOR shall actas agent,ona limited basis forthe OWNER,atthe CITY's option,solely for
the follow-up concerningwarranty compliance for all itemsundermanufacturer'sWarranty/Guarantee
andforthepurposeof completing all formsforWarranty/GuaranteecoverageunderthisContract.
13.4 In caseof default bythe CONTRACTOR,theCityofSouth Miami may procurethe articles or services
from other sourcesandholdthe CONTRACTOR responsibleforanyexcesscosts occasioned or
incurred thereby.
13.5 The CITY may withhold acceptance of,orreject items which are found upon examination,nottomeet
the specification requirements.Uponwritten notification ofrejection,itemsshallberemovedwithin five
(5)business days bythe CONTRACTOR at his ownexpense and redelivered at his expense.Rejected
goodsleftlongerthanthirty (30)calendar days shall beregardedasabandonedandtheCity shall have the
righttodisposeofthemasitsownpropertyandtheCONTRACTORthereby waives any claim tothe
goodorto compensation of any kind.Rejection for Non-Conforming Workor failure tomeet delivery
schedules may result in the Contract beingfoundindefault.
ARTICLE 14 -PAYMENTS AND COMPLETION.
Payments to Contractor
14.1 The Contractor shall notbeentitledtoanymoneyforanyworkperformedbeforethe issuance ofa
Noticeto Proceed onthe form described in theContract Documents and the issuance by the City ofa
"purchase order",or any other document,doesnotandshallnot authorize the commencement ofthe

Work.Atleastten (1.0)calendar days before each progress payment falls due(butnotmoreoftenthan
onceamonth),the CONTRACTOR shall submittotheCONSULTANTa partial payment estimate filled
out and signed bythe CONTRACTOR covering the Work performed during the period coveredbythe
partial payment estimate and supported by such data astheCONSULTANTmay reasonably require.All
progress payment applications afterthe first progress payment shall be accompanied by partial releases of
lienexecutedby all persons,firms andcorporationswhohave furnished labor,servicesormaterials
incorporated intothework during the period oftimeforwhichthe previous progress paymentwas made,
releasing such claims and lien rights,if any,ofthose persons.Ifpaymentisrequestedonthebasisof
materials andequipmentnot incorporated inthe Work but delivered and suitably storedatornearsite,
the partial payment estimate shall also be accompanied by such supporting data,satisfactory tothe CITY,
whichestablishestheOWNER'Stitletothe material andequipmentaswellas certificates ofinsurance
providing coverage for 100%ofthevalueof said material andequipmentcoveringthe material and
equipmentfrom all casualties aswellastheft,vandalism,fire and flood.The CONTRACTOR shall replace
atitsexpenseanystored materials paid for which areeither damaged orstolenbefore installation.The
CONSULTANT willwithinten (10)calendar days afterreceiptofeach partial paymentestimate,either
certifying in writing its approval ofpayment and presentthe partial paymentestimatetotheOWNER,or
returnthe partial paymentestimatetotheCONTRACTOR,indicating inwritinghis reasons for refusing
toapprovepayment.In thelattercase,the CONTRACTOR maymake the necessary corrections and
resubmitthe partial paymentestimate.TheOWNER,will withinthirty(30)calendar days ofpresentation
toitofanyapproved partial paymentestimate,pay the CONTRACTOR aprogresspaymentonthe basis
oftheapproved partial paymentestimate.The OWNER shall retain ten (10%)percentoftheamountof
eachpaymentuntil Final CompletionandAcceptanceof all Work coveredbytheContractDocuments.
Any interest earnedon the retainage shall accrueto the benefitof the OWNER.
14.2 The CONTRACTOR,beforeit shall receive final payment,shall deliver to the CITYa Contractor's Final
Payment Affidavit assetforthinthe Florida Construction Lien Statuteaswellas final releases of lien
executedby all personswhohaveperformedor furnished labor,servicesor materials,directlyor
indirectly,whichwasincorporatedintothe Work.Ifanypersonrefusestoprovidesuchareleaseor
providesa conditional release,theCITY shall havetherighttoissueajointcheckmade payable tothe
CONTRACTOR andsuch person.
Contractor's Warranty of Title
14.3 The CONTRACTOR warrantsandguaranteesthattitleto all Work,materialsand equipment covered by
an Application forPaymentwhetherthe Work,material orequipmentisincorporatedintheProjector
not,shall have passed tothe OWNER priortothe making ofthe Application for Payment,freeandclear
of all liens,claims,securityinterestandencumbrances(hereafterin these GeneralConditionsreferredto
as "Liens");andthatno Work,materialsorequipment,coveredbyanApplicationforPayment,willhave
beenacquiredbythe CONTRACTOR orbyany other personperformingthe Work atthesiteor
furnishing materials andequipmentforthe Project,underorpursuanttoanagreementunderwhichan
interest thereinorencumbrance thereon isretainedby the selleror otherwise imposedby the
CONTRACTOR or such other person.
Approval of Payment
14.4 The CONSULTANT'S approval ofanypaymentrequestedinanApplicationforPayment shall constitutea
representationbyhimtotheCITY,basedontheCONSULTANT'Sonsite observations ofthe Work in
progressasanexperienced professional andonhisreviewofthe Application forPaymentandsupporting
data,thatthe Work hasprogressedtothepoint indicated intheApplicationfor Payment;that,tothe
besthis knowledge,information and belief,the quality ofthe Work isin accordance withtheContract
.Documents(subjecttoan evaluation ofthe Work asa functioning Projectupon substantial completionas
definedinArticle I,to the resultsofany subsequent tests calledforin the Contract Documents andany
qualifications statedinhis approval);andthatthe CONTRACTOR isentitledtopaymentoftheamount
approved.However,by approving,anysuchpaymentthe CONSULTANT shall nottherebybedeemed
tohaverepresentedthathemadeexhaustiveorcontinuouson-siteobservationstocheckthe quality or
thequantityofthe Work,orthathehasreviewedthemeans,methods,techniques,sequencesand
proceduresofconstructionorthathe had madeany examination to ascertain howorforwhatpurpose
the CONTRACTOR hasusedthemoneys paid ortobe paid tohimonaccountoftheContract Price,or
thattitletoanyWork materials,orequipment has passed tothe OWNER free and clear of any liens.
14.5 The CONTRACTOR shall make the followingcertificationoneach request forpayment:

"1 hereby certify thatthe labor and materials listed on this request for payment have been used inthe
construction ofthis Work and that allmaterialsincludedinthis request forpaymentand not yet
incorporated intothe construction are now onthesiteor stored atan approved location,and payment
received from thelastrequestfor payment has been used to make payments to all his Subcontractors
and suppliers,except forthe amounts listed below beside the names ofthe persons who performed work
or suppliedmaterials".
In theeventthatthe CONTRACTOR withholds payment from aSubcontractoror Supplier,thesame
amount of money shall be withheld from the CONTRACTOR'S payment until the issue is resolved by
written agreement between them and thena joint check shall be made payable totheperson in question
andtheCONTRACTORinaccordancewiththesettlementagreement,otherwisethemoney shall be
held by the OWNER until a judgment is entered in favor ofthe CONTRACTOR orthe person,in which
case the money shall be paid according with said judgment.Nothing contained herein shall indicate an
intentto benefit anythirdpersonswhoarenot signatories totheContract.
14.6 The CONSULTANT may refuse to approve the whole or any partof any payment if,in its opinion,itis
unable to make such representations tothe OWNER as required this Section 14.It may also refuse to
approve any payment,orit may void any prior payment application certification because of subsequently
discovered evidence orthe results of subsequent inspection orteststo such extentas may be necessary
initsopinionto protect theOWNERfromlossbecause:
14.6.1 of Defective Work,or completed Work has been damaged requiring correction or replacement,
14.6.2 the Work for which paymentisrequestedcannotbe verified,
14.6.3 claims ofLienshavebeen filed orreceived,or there isreasonableevidenceindicatingtheprobable
filing or receipt thereof,
14.6.4 the Contract Price has been reduced because of modifications,
14.6.5 the CITY hascorrect Defective Workor completed theWorkin accordance with Article 13.
14.6.6 of unsatisfactory prosecution ofthe Work,including failure to clean up as required by paragraphs
6.29 and 6.30,
14.6.7 of persistent failure to cooperate with other contractors onthe Project and persistent failure to
carryouttheWork in accordance with the Contract Documents,
14.6.8 of liquidated damages payable bythe CONTRACTOR,or
14.6.9 of any other violation of,or failure to comply with provisions ofthe Contract Documents.
14.7 Prior to Final Acceptance the OWNER,with the approval of the CONSULTANT,may use any completed
or substantially completed portions ofthe Work provided such use does not interfere with the
CONTRACTOR'S completion ofthe Work.Such use shall not constitute an acceptance of such portions
of the Work.
14.8 The CITY shall have the right toenterthe premises for the purpose of doing Work not covered by the
Contract Documents.This provision shall notbe construed as relieving the CONTRACTOR ofthe sole
responsibility for the care and protection of the Work,or the restoration of any damaged Work except
such as may be caused by agents or employees ofthe OWNER.
14.9 Upon completion and acceptance of the Work the CONSULTANT shall issue a Certificate attached to
the Final Application for Payment that the Work has been accepted by it under the conditions of the
Contract Documents.Theentire balance found tobeduetheCONTRACTOR,including theretained
percentages,but except such sums as may be lawfully retained by the OWNER,shall be paid to the
CONTRACTOR within thirty (30)calendar days of completion and acceptance oftheWork
14.10 Upon The awarded CONTRACTOR will be strongly encouraged to register as an ePayables Vendor with
the Owner.The Bank of America ePayables Solution is an automated card payment process that shifts
accounts payable disbursements to corporate purchasing cards.ePayables,streamline the process of
making payments to your organization going forward,the City will provide the CONTRACTOR with a
credit card account number to keep on file.This card has unique security features,with $0of available
funds until an invoice is approved for payment.After an invoice has received proper and complete
approval,an electronic remittance advice will besent via e-mail,or fax,which notifies the
CONTRACTOR that thefundshavebeen transferred intothe account linkedto the cardforthe amount

Acceptance of Final Payment asRelease

14.11 The Acceptance by the CONTRACTOR of Final Payment shall be and shall operate as a release tothe
OWNERanda waiver of all claims and all liability totheCONTRACTORotherthan claims previously
filed and unresolved.Thewaiver shall include all things doneor furnished inconnectionwiththe Work
and for every act and neglect ofthe OWNER and others relating toor arising outof this Work.Any
payment,however,final or otherwise,shall not release the CONTRACTOR or its sureties from any
obligations under the Contract Documents orthe Performance Bond and Payment Bonds.
14.12 The CONSULTANT may void any certification of Substantial Completion or Final Completion ofthe
Work as may be necessary in his opinion to protect the OWNER from loss ifhe determines,because of
subsequently discovered evidence orthe results of subsequent inspection or tests,that:
14.12.1 the Work is defective,orthatthe completed Work has been damaged duetothe fault ofthe
CONTRACTOR orany individual orentity operating underorthroughit requiring correction
or replacement totheextentthatthe project isno longer Substantially Completed,orinthe
caseof Final Completion certification,isno longer Finally Competed.
14.12.2 the Work necessary tobe completed forthe purpose of certifying theworkas being
Substantially Completedor Finally Completedcannotbe verified,
14.12.3 claims orLienshave been filedor received,or there isreasonable evidence indicating the
probable filing orreceiptthereof that,if valid and paid,would reduce theamount owing tothe
CONTRACTOR BY 20%inthecaseof Substantial Completionand 5%inthecaseof Final
Completion.
14.12.4 there is Defective Work the valueofwhich,if deducted from the contract pricewould reduce
theamount owing totheCONTRACTOR BY 20%in the case of Substantial Completion and 5%
in the caseof Final Completion.
14.13 If theCONSULTANT de-certifies any portion ofthe Work thatwas certified ("Initial Certification")by
theCONSULTANT,the CONTRACTOR shall repay totheCityofSouth Miami anymoney paid asa
resultof said Initial Certification being issued which shall be paid onlywhenthe decertified workisre
certified.
ARTICLE 15 -SUSPENSION OF WORK AND TERMINATION.
15.1 TheCITY may,at any time and without cause,suspend theWorkor any portion thereof for a period of
notmorethanninety (90)calendar days bynoticein writing totheCONTRACTOR and the
CONSULTANT,which shall fix the dateonwhich Work shall beresumed.The CONTRACTOR shall be
allowed an increase in the Contract Price or an extension of the Contract Time,or both,directly
attributable toany suspension and ifa claim istimely made and ifitis allowed underthetermsof Articles
11 or Article 12.
CityMay Terminate
15.2 If theCONTRACTOR is adjudged bankrupt or insolvent,orifhe makes a general assignment forthe
benefitofitscreditors,orifatrusteeorreceiverisappointedforthe CONTRACTOR orforanyits
property,orifhe files a petition totake advantage of any debtor's act,orto reorganize under bankruptcy
or similar laws,orifhe repeatedly fails to supply sufficient skilled workmenor suitable materials or
equipment,orifhe repeatedly fails tomakeprompt payments to Subcontractors orfor labor,materials or
equipment orhe disregards laws,ordinances,rules,regulations orordersof any public body having
jurisdiction,orifhe disregards the authority ofthe CONSULTANT,orifheotherwise violates any
provision of,the Contract Documents,thenthe CITY may,without prejudice to any other right or
remedy and after giving theCONTRACTOR and the Surety seven (7)calendar days written notice,
terminatetheservicesofthe CONTRACTOR andtakepossessionoftheProjectandof all materials,
equipment,tools,construction equipment and machinery thereon owned bythe CONTRACTOR,and
finish the Work by whatever methodit may deem expedient.In such case the CONTRACTOR shall not
beentitledtoreceive any further payment until the Work is finished.Ifthe unpaid balance ofthe
Contract Price exceeds the direct andindirect costs of completing the Project,including compensation
for additional professional services,such excess shall be paid tothe CONTRACTOR.If such costs
exceed such unpaid balance,theCONTRACTORorthe Surety onthe Performance Bond shall pay the
difference totheOWNER.Suchcosts incurred bythe OWNER shall bedeterminedbythe
CONSULTANT and incorporated inaChange Order.
Ifafter termination of the CONTRACTOR under thisSection,itis determined bya court of competent
jurisdiction for any reason thatthe CONTRACTOR was not in default,the rights and obligations ofthe

OWNER and the CONTRACTOR shallbe the same asif the termination had been issued pursuant to
Section 15.5
15.3 Where theCONTRACTOR'Sserviceshavebeensoterminatedbythe CITY saidterminationshallnot
affect any rights ofthe OWNER against the CONTRACTOR then existing or which may thereafter
accrue.Any retention or payment of moneys by the OWNER due the CONTRACTOR shall not release
the CONTRACTOR from liability.
15.4 Upon seven (7)calendar days'written notice tothe CONTRACTOR and the CONSULTANT,the CITY
may,without cause and without prejudice to any other right or remedy,elect to terminate the Contract
for the convenience of the OWNER.Insuchcase,the CONTRACTOR shallbepaidforail Work
executed and accepted bythe CITY asofthedateofthe termination,minus any deduction for damage or
Defective Work.No payment shall be made for profit forWork which has not been performed.
I5.4A The CITY reserves the right in the event the CONTRACTOR cannot provide an item(s)or service(s)in a
timely manner as requested,to obtain the good and/or services from other sources and deducting the
cost from the Contract Price without violatingtheintentof the Contract.
Removalof Equipment
15.5 In thecaseofterminationofthis Contract beforecompletionforanycausewhatever,the
CONTRACTOR,if notified todoso by the CITY,shall promptly remove any partor all ofits equipment
and supplies from the property ofthe OWNER.Should the CONTRACTOR not remove such
equipment and supplies,the CITY shall have the right to remove them atthe expense of the
CONTRACTOR and the CONTRACTOR agrees thatthe OWNER shall notbe liable forlossor damage
to such equipment or supplies.Equipment and supplies shall notbe construed to include such items for
which the CONTRACTOR hasbeenpaidin whole or in part.
Contractor MayStop Work or Terminate
15.6 If,through noactor fault ofthe CONTRACTOR,theWork is suspended fora period of more than
ninety (90)calendar days by the CITY or by orderofother public authority,or under an orderofcourt
orthe CONSULTANT fails toacton any Application for Payment within thirty (30)calendar days afterit
is submitted,orthe OWNER fails to pay the CONTRACTOR any sum approved by the CONSULTANT,
within thirty (30)calendar days of its approval,and presentation,then the CONTRACTOR may,upon
twenty (20)calendar days written notice tothe CITY and the CONSULTANT,terminate the Contract.
The CITY may remedy the delay or neglect within the twenty (20)calendar day time frame.If timely
remedied by the CITY,the Contract shall notbe considered terminated.In lieu of terminating the
Contract,ifthe CONSULTANT has failed toactonan Application for Payment ortheOWNERhas failed
to make any payment as afore said,the CONTRACTOR may upon ten (10)calendar days'notice tothe
CITY andthe CONSULTANT stoptheWork until it has been paid all amounts then due.
Indemnificationof Independent Consultant.
15.7 The CONTRACTOR andthe CITY hereby acknowledges thatifthe CONSULTANT isan independent
contractorofthe OWNER,the CONSULTANT may bereluctanttoruleon any disputes concerning the
Contract Documents oronthe performance ofthe CONTRACTOR orthe OWNER pursuant tothe
terms of the Contract Documents.Therefore,theOWNER,attheCONSULTANT'S request,agreesto
provide the CONSULTANT with a written indemnification and hold harmless agreement to indemnify
and holdthe CONSULTANT harmless asto any decision inthis regard beforethe CONSULTANT makes
an interpretation,de-certifies a payment application,decertifies Substantial Completion,decertifies Final
Completion,certifies an event of default,or approves any action which requires the approval ofthe
CONSULTANT.
ARTICLE 16-MISCELLANEOUS.
16.1 Whenever any provision ofthe Contract Documents requires the giving of written notice it shall be
deemed to have been validly given if delivered in person tothe individual ortoa member ofthe firm or
toan officer ofthecorporationfor whom itis intended,orif delivered atorsentby registered or
certified mail,postageprepaid,tothelastknown business address.
16.2 TheContract Documents shall remain thepropertyofthe OWNER.The CONTRACTOR andthe
CONSULTANT shall havethe right tokeeponerecordsetoftheContract Documents upon completion
of the Project.

16.3 Theduties and obligations imposed bythese General Conditions,Special Conditions and Supplementary
Conditions,if any,andtherightsandremedies available hereunder,and,in particular but without
limitation,the warranties,guarantees and obligations imposedupon CONTRACTOR bythe Contract
Documents andtherightsand remedies available to the OWNER and CONSULTANT thereunder,shall
bein addition to,and shall notbeconstruedinanywayasa limitation of,any rights and remedies available
bylaw,by special guaranteeorby other provisionsof the Contract Documents.
16.4 Should theOWNERorthe CONTRACTOR suffer injury or damage toitspersonorpropertybecauseof
anyerror,omission,oractofthe other orofanyoftheir employees oragentsor others for whose acts
theyare legally liable,claim shall bemadein writing totheother party withintwenty-one (21)calendar
daysofthefirstobservanceofsuchinjuryor damage.
ARTICLE 17 -WAIVER OF BURY TRIAL.
17.1 OWNER and CONTRACTOR knowingly,irrevocably voluntarily and intentionally waive anyrighteither
may have toa trial by jury in State or Federal Court proceedings inrespectto any action,proceeding,
lawsuit or counterclaim arising outoftheContractDocumentsortheperformanceofthe Work
thereunder.
ARTICLE 18 -ATTORNEYS FEES IURISDBCTION /VENUE /GOVERNING LAW.
18.1 TheContract shall be construed in accordance with and governed bythe law ofthe State of Florida.
18.2 The parties submit tothe jurisdiction of any courtof competent jurisdiction in Florida regarding any claim
oraction arising outofor relating totheContractorContractDocuments.Venueofanyactionto
enforcetheContract shall bein Miami-Dade County,Florida.
18.3 Except as may beotherwise provided inthe Contract Documents,all claims,counterclaims,disputes and
other matters in question between theOWNER and theCONTRACTOR arising outofor relating to
thisContractorthe breach thereof,shall be decided inacourtofcompetent jurisdiction withintheState
of Florida.
ARTICLE 19 -PROJECT RECORDS.
19.1 TheCITY shall have right to inspect and copy during regular business hoursat OWNER'S expense,the
books and records and accounts of CONTRACTOR which relate in any waytothe Project,and to any
claim for additional compensationmadeby CONTRACTOR,andtoconductanauditof the financial and
accountingrecordsof CONTRACTOR which relatetothe Project.CONTRACTOR shall retainand
make available to CITY all such books and records and accounts,financial or otherwise,which relate to
the Project and toany claim fora period ofthree (3)years following final completion ofthe Project.
During the Project andthethree (3)year period following final completionofthe Project,
CONTRACTOR shall provide CITY access toits books and records upon five (5)business day's written
notice.
19.2 CONTRACTOR and all ofits subcontractors are required to comply withthe public records law
(s.l 19.0701)while providing servicesonbehalfofthe OWNER andthe CONTRACTOR,undersuch
conditions,shall incorporate this paragraph in all ofits subcontracts forthis Project.CONTRACTOR
and its subcontractors are specifically required to:(a)Keep and maintain public records required bythe
public agency to perform the service;(b)Upon request from the public agency's custodian of public
records,providethe public agency withacopyoftherequestedrecordsorallowtherecordstobe
inspectedor copied withina reasonable timeatacostthatdoesnotexceedthecost provided inthis
chapterorasotherwise provided by law;(c)Ensure that public records thatareexemptor confidential
and exempt from public records disclosure requirements are not disclosed except as authorized by law
forthe duration ofthecontractterm and following completion ofthecontractifthecontractordoesnot
transfertherecordstothe public agency;and (d)Uponcompletionofthe contract,transfer,atnocost,
tothe public agency all public recordsin possession ofthecontractororkeepand maintain public records
requiredbythe public agency toperformthe service.If thecontractortransfers all public recordstothe
public agency uponcompletionofthecontract,thecontractor shall destroyany duplicate public records
thatareexemptor confidential and exempt from public records disclosure requirements.Ifthe
contractor keepsand maintains public recordsuponcompletionofthecontract,the contractor shall meet
all applicable requirementsfor retaining public records.Allrecordsstored electronically mustbe provided
tothe public agency,uponrequestfromthe public agency's custodian of public records,inaformatthatis
compatiblewith the informationtechnologysystemsof the public agency.

incurredin all proceedings,whether administrative or civil courtandin all appellate proceedings.
ARTICLE 20 -SEVERABILITY.
20.1 If any provision oftheContractorthe application thereofto any personor situation shall toanyextent,
beheld invalid or unenforceable,the remainder of the Contract,and the applicationofsuchprovisions to
personsor situations otherthanthoseasto which it shall have been held invalid or unenforceable shall

ARTICLE 21 -INDEPENDENT CONTRACTOR.
21.1 TheCONTRACTORisanindependentCONTRACTORundertheContract.Services providedbythe
CONTRACTOR shall bebyemployeesofthe CONTRACTOR andsubjectto supervision bythe
CONTRACTOR,andnotas officers,employees,oragentsoftheOWNER.Personnel policies,tax
responsibilities,social security and health insurance,employee benefits,purchasing policies andother
similar administrative procedures,applicable to services renderedundertheContract shall bethoseof
the CONTRACTOR.
ARTICLE 22-ASSIGNMENT.
22.1 TheCONTRACTOR shall nottransferor assign anyofits rights orduties,obligations and responsibilities
arising under theterms,conditions and provisions ofthisContractwithoutpriorwrittenconsentofthe
City Manager.The CITY will not unreasonably withhold and/or delay its consent tothe assignment ofthe
CONTRACTOR'S rights.The CITY may,initssoleandabsolutediscretion,refusetoallowthe
CONTRACTOR to assign itsduties,obligations and responsibilities.In anyevent,the CITY shall not
consentto such assignment unless CONTRACTOR remains jointly and severally liable for any breach of
the Agreement by the assignee,the assignee meets all ofthe CITY's requirements tothe CITY's sole
satisfaction andthe assignee executes all oftheContract Documents thatwere required tobeexecuted
by the CONTRACTOR

Insurance &Indemnification Requirements
1.01 Insurance
A.Without limiting its liability,thecontractor,consultantor consulting firm(hereinafterreferredtoas
"FIRM"withregardtoInsuranceand Indemnification requirements)shallberequiredtoprocureand
maintain atitsownexpenseduringthelifeofthe Contract,insurance ofthetypesandin the minimum
amountsstatedbelowas will protectthe FIRM,from claims whichmayariseoutoforresultfrom the
contractortheperformanceofthecontractwiththeCityofSouth Miami,whether suchclaimisagainst
the FIRM oranysub-contractor,orbyanyonedirectlyor indirectly employedbyanyof them orby
anyonefor whose actsanyof them maybe liable.
B.No insurance requiredbytheCITY shall beissuedorwrittenbyasurplus lines carrierunlessauthorized
inwritingbytheCITYandsuch authorization shall beattheCITY'ssoleandabsolute discretion.The
FIRM shall purchaseinsurancefromand shall maintain the insurance withacompanyorcompanies

suchoperationsbebythe FIRM orbyaSubcontractororbyanyonedirectlyorindirectlyemployedby
anyofthem,orbyanyoneforwhose acts anyofthemmaybe liable:(a)claims under workers'
compensation,disability benefitandother similar employeebenefitactswhichare applicable tothe Work
tobeperformed;(b)claims for damages becauseofbodily injury,occupational sicknessor disease,or
deathofthe FIRM's employees;(c)claims for damages because ofbodily injury,sickness or disease,or
death ofanypersonotherthanthe FIRM's employees;(d)claims for damages insured by usual personal
injury liability coverage;(e)claims for damages,otherthantothe Work itself,becauseof injury toor
destructionof tangible property,including lossofuse resulting there from;(f)claims for damages because
ofbodily injury,deathofapersonorproperty damage arising outofownership,maintenanceoruseofa
motor vehicle;(g)claims for bodily injury orproperty damage arising outofcompleted operations;and
(h)claims involving contractual liability insurance applicable tothe FIRM's obligations undertheContract.
1.02 Firm's Insurance Generally.The FIRM shall provideand maintain inforceandeffectuntil all the Work to
beperformedunderthisContracthasbeencompletedandacceptedbyCITY(orforsuchdurationasisotherwise
specified hereinafter),the insurance coverage writtenon Florida approved forms and as setforthbelow:
1.03 Workers'Compensation Insurance atthestatutoryamountasto all employeesin compliance withthe
"Workers'Compensation Law"oftheStateof Florida including Chapter440,Florida Statutes,aspresentlywritten
orhereafteramended,and all applicable federal laws.In addition,the policy (ies)must include:Employers'Liability
atthestatutorycoverageamount.The FIRM shall furtherinsurethat all ofitsSubcontractors maintain appropriate
levelsof Worker's Compensation Insurance.
1.04 CommercialComprehensiveGeneral Liability insurancewithbroadform endorsement aswellas
automobile liability,completedoperationsand products liability,contractual liability,severability ofinterestwith
cross liability provision,and personal injury and property damage liability with limits of $1,000,000 combined single
limitper occurrence and$2,000,000 aggregate,including:
•Personal Injury:$1,000,000;
•Medical Insurance:$5,000perperson;
•Property Damage:$500,000eachoccurrence;
1.05 UmbrellaCommercial Comprehensive General Liability insurance shall be written ona Florida approved
formwiththesamecoverageasthe primary insurance policybutintheamountof$1,000,000 per claim and
$2,000,000AnnualAggregate.Coveragemustbeaffordedonaformnomorerestrictivethanthelatesteditionof
the Comprehensive General Liability policy,without restrictiveendorsements,as filed bytheInsuranceServices
Office,and must include:
(a)Premisesand Operation
(b)Independent Contractors
(c)Productsand/orCompletedOperationsHazard
(d)Explosion,Collapse and Underground Hazard Coverage
(e)BroadFormPropertyDamage
(f)Broad Form Contractual Coverage applicable tothis specific Contract,including anyhold harmless
and/or indemnification agreement.
(g)Personal Injury Coveragewith Employee and Contractual Exclusions removed,withminimumlimits of
coverage equal to those required for Bodily Injury Liability and Property Damage Liability.'
1.06 Business Automobile Liability with minimum limits ofOne Million Dollars ($1,000,000.00)plus an
additional One Million Dollar ($1,000,000.00)umbrella per occurrence combined single limit for Bodily Injury
Liability andPropertyDamage Liability.Umbrella coverage mustbe afforded onaformnomorerestrictivethan
thelatesteditionofthe Business Automobile Liability policy,withoutrestrictiveendorsements,as filed bywiththe
state of Florida,and must include:
(a)Owned Vehicles.
(b)Hiredand Non-Owned Vehicles
(c)Employers'Non-Ownership
1.07 SUBCONTRACTS:The FIRM agrees thatif any partoftheWorkundertheContractis sublet,the
subcontract shall containthesameinsurance provision as set forthinsection 5.1 aboveand5.4belowand
substitutingtheword Subcontractor fortheword FIRM and substituting theword FIRM forCITYwhere
applicable.
1.08 Fire andExtended Coverage Insurance (Builders'Risk).IF APPLICABLE:
A.In the event that this contract involves the construction of a structure,the CONTRACTOR shall
maintain,withan Insurance Companyor Insurance Companies acceptable totheCITY,"Broad"form/All
Risk Insurance on buildings andstructures,including Vandalism &Malicious Mischief coverage,whileinthe
courseof construction,including foundations,additions,attachments and all permanent fixtures belonging
toand constituting apartof said buildings or structures.The policy or policies shall alsocover
machinery,ifthecostof machinery is included inthe Contract,orifthe machinery islocatedina building
that isbeing renovated byreason of this contract The amount ofinsurancemust,atalltimes,beatleast
equal tothe replacement and actual cash value ofthe insured property.The policy shall beinthenameof
theCITYandtheCONTRACTOR,astheirinterestmay appear,and shall also coverthe interests of all
Subcontractors performing Work.
B.Allofthe provisions setforthinSection5.4hereinbelow shall apply tothis coverage unlessitwouldbe
clearly not applicable.
1.09 Miscellaneous:
A.Ifanynoticeof cancellation of insurance or change in coverage isissuedbythe insurance company or
shouldany insurance havean expiration datethat will occur during theperiodofthiscontract,the FIRM
shall be responsible for securing other acceptable insurance priortosuch cancellation,change,or
expirationsoastoprovidecontinuouscoverageas specified inthissectionandsoas to maintain
coverage during the life of this Contract.
B.All deductibles mustbe declared bythe FIRM andmustbe approved bytheCITY.Attheoptionofthe
CITY,eitherthe FIRM shall eliminateorreducesuch deductible orthe FIRM shall procureaBond,ina
formsatisfactorytotheCITYcoveringthesame.
C The policies shall contain waiverof subrogation against CITYwhere applicable,shall expresslyprovide
thatsuchpolicyor policies are primary overanyother collectible insurancethatCITYmay have.The
CITYreservesthe right atanytimetorequestacopyofthe required policies for review.All policies
shall contain a "severability ofinterest"or"cross liability"clause without obligation for premium
paymentoftheCITYaswellas contractual liability provision coveringtheContractorsdutyto indemnify
theCityasprovidedinthisAgreement.
D.Before starting the Work,the FIRM shall deliverto the CITYand CONSULTANT certificates of such
insurance,acceptabletotheCITY,aswellastheinsurancebinder,if one isissued,theinsurance policy,
including the declaration page and all applicable endorsementsandprovidethe name,addressand
telephone number oftheinsuranceagentor broker throughwhom the policywasobtained.Theinsurer
shall berated AVII orbetterperA.M.Best'sKey Rating Guide,latesteditionandauthorizedtoissue
insurancein the Stateof Florida.Allinsurancepoliciesmustbe written onformsapprovedbytheState
of Florida andtheymustremainin full forceandeffectforthedurationofthecontractperiodwiththe
CITY.The FIRM mayberequiredbytheCITY,atitssolediscretion,toprovidea"certifiedcopy"ofthe
Policy(asdefinedinArticle I ofthisdocument)which shall includethedeclaration page andall required
endorsements.In addition,the FIRM shall deliver,atthetimeofdeliveryoftheinsurancecertificate,the
following endorsements:
(1)apolicyprovisionoran endorsement with substantially similarprovisionsas follows:
"TheCityofSouth Miami isan additional insured.Theinsurer shall payallsumsthatthe City of
South Miami becomes legally obligated topayas damages becauseof 'bodily injury",'property
damage',or"personaland advertising injury"anditwillprovidetotheCity all ofthecoverage
thatistypicallyprovidedunderthestandard Florida approvedformsforcommercialgeneral
liability coverageAandcoverage B";
(2)apolicyprovisionoran endorsement with substantially similar provisionsas follows:
"Thispolicy shall notbe cancelled (including cancellation fornon-paymentof premium),
terminatedor materially modifiedwithoutfirst giving theCityofSouth Miami ten (10)days
advancedwrittennoticeoftheintenttomateriallymodifythepolicyortocancelor terminate
thepolicyforanyreason.The notification shall bedeliveredtotheCitybycertified mail,with
proof of delivery to theCity."
E.Ifthe FIRM isprovidingprofessionalservices,suchaswouldbeprovidedbyanarchitect,engineer,
attorney,oraccountant,tonameafew,theninsuch event andinadditiontotheabove requirements,
the FIRM shall alsoprovideProfessional Liability Insuranceona Florida approvedformin the amount of
$1,000,000 with deductible per claim if any,nottoexceed 5%ofthelimitof liability providing for all
sumswhichthe FIRM shall become legally obligated topayas damages for claims arising outofthe
servicesor work performedbythe FIRM itsagents,representatives,Sub Contractors or assigns,orby
any person employedor retained byhiminconnectionwiththisAgreement.This insurance shall be
maintained forfouryearsaftercompletionoftheconstructionandacceptanceofanyProjectcoveredby
thisAgreement.However,the FIRM may purchase Specific Project Professional Liability Insurance,inthe
amountandundertheterms specified above,which is also acceptable.No insurance shall beissuedbya
surplus lines carrierunlessauthorizedinwritingbythecityatthecity'ssole,absoluteandunfettered
discretion.
Indemnification Requirement
ATheContractoracceptsand voluntarily incurs all risksofany injuries,damages,orharmwhichmight
arise during theworkoreventthatis occurring onthe CITY's propertyduetothe negligence orother fault ofthe
Contractor oranyoneactingthroughoronbehalfof the Contractor.
B.The Contractor shall indemnify,defend,saveandholdCITY,itsofficers,affiliates,employees,
successors and assigns,harmless fromany and all damages,claims,liability,losses,claims,demands,suits,fines,
judgmentsorcostand expenses,including reasonableattorney'sfees,paralegal feesand investigative costs
incidental theretoandincurredpriorto,during or following any litigation,mediation,arbitration andat all
appellate levels,which maybe suffered by,or accrued against,charged toor recoverable fromtheCityofSouth
Miami,its officers,affiliates,employees,successors and assigns,byreasonofanycausesofactionsor claim ofany
kindornature,including claims forinjuryto,ordeathofanypersonorpersonsandforthelossor damage toany
property arising out ofanegligenterror,omission,misconduct,oranygross negligence,intentionalactor harmful
conduct of the Contractor,its contractor/subcontractor oranyof their officers,directors,agents,representatives,
employees,or assigns,oranyoneactingthroughoronbehalfofanyofthem,arising outofthisAgreement,
incidenttoit,orresultingfromtheperformanceornon-performanceoftheContractor's obligations underthis
AGREEMENT.
C.The Contractor shall pay all claims,lossesandexpensesofanykindornaturewhatsoever,in
connectiontherewith,including theexpenseorlossoftheCITYand/oritsaffectedofficers,affiliates,employees,
successorsand assigns,including theirattorney'sfees,inthedefenseofanyactioninlaworequitybrought against
themand arising fromthe negligent error,omission,oractoftheContractor,itsSub-Contractororanyoftheir
agents,representatives,employees,or assigns,and/or arising outof,orincidentto,thisAgreement,orincidentto
orresultingfrom the performance or non-performance ofthe Contractor's obligations under thisAGREEMENT.
D.The Contractor agreesand recognizes that neither the CITYnoritsofficers,affiliates,employees,
successorsand assigns shall beheld liable orresponsibleforany claims,including thecostsandexpensesof
defendingsuchclaimswhichmayresultfromorarise out ofactionsoromissionsoftheContractor,its
contractor/subcontractor or any oftheir agents,representatives,employees,or assigns,or anyone acting through
oron behalf ofthethem,and arising outofor concerning theworkoreventthatis occurring ontheCITY's
property.In reviewing,approving or rejecting any submissions or acts ofthe Contractor,CITY innowayassumes
orshares responsibility or liability fortheactsoromissionsofthe Contractor,itscontractor/subcontractororany
oftheir agents,representatives,employees,or assigns,or anyone acting through oron behalf ofthem.
E.The Contractor has thedutyto provide a defense with an attorney or law firm approved bytheCity
of South Miami,which approval will notbe unreasonably withheld.
F.However,asto design professional contracts,and pursuant to Section 725.08 (I),Florida Statutes,
noneofthe provisions set forth herein above that are in conflictwith this subparagraph shall apply and this
subparagraph shall setforththesole responsibility ofthe design professional concerning indemnification.Thus,
the design professional's obligations astotheCityandits agencies,as well astoits officers andemployees,isto
indemnify andholdthem harmless from liabilities,damages,losses,and costs,including,butnot limited to,
reasonable attorneys'fees,tothe extent caused bythe negligence,recklessness,or intentionally wrongful
conductofthe design professional andother persons employed or utilized bythe design professional inthe
performance of the contract.

excavated approximately 1.25feet.Theswaleadjacentto the driveways willalsoberequiredtobere-
graded to allow the water to enter into the swale trench.
