Res No 138-16-14693RESOLUTION NO:138-16-14693 A Resolution authorizing the City Manager to enter into a three-year agreement with FPL FiberNet to increase existing Internet network bandwidth capacity at City Hall. WHEREAS,the City requires internet service to enhance communications and the performance of City business;and WHEREAS,FPL FiberNet currently provides the City's internet network connection at CityHall and it was the lowest of three vendors who bid to provide the City with an increase in bandwidth;and WHEREAS,FPL FiberNet will replace the City's current 50 Mbps internet circuit with a 100 Mbps providing the City increased bandwidth for City traffic,parking meter communications and for the planned deployment of downtown WiFi for City residents and patrons to the City's business district area;and WHEREAS the expenditure will be charged to Internet Service,account no.001- 1340-513-4632 and become effective October 1,2016. NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THECITYOF SOUTH MIAMI,FLORIDA; Section 1,The City Manager is authorized to enter into a three-year agreement with FPL FiberNet to replace existing internet network connections at CityHall.A copy of the Agreement is attached. Section 2.Severability.If any section,clause,sentence,or phrase of this resolution is for any reason held invalid or unconstitutional bya court of competent jurisdiction,this holding shall not affect the validity of the remaining portions of this resolution. Background:TheCity currently hasa50Mbps internet circuit provided by FPL FiberNet for internet traffic.The current circuit does not have sufficient bandwidth capacity forCity internet trafficand the planned deployment of the City's parking meter communications,Police body camera program and downtown Wi-Fi public access for residents and patrons of the City's business district. Therefore,a 100 Mbps internet circuit is required to provide sufficient bandwidth capacity for City internet traffic,the enhancements to the parking meter credit card payment process,deployment of the Policebody camera program and the downtown public access Wi-Fi service. The increased bandwidth will facilitate credit card processing for parking meter payments when patrons utilize the parking pay stations.Moreover,Police body cameras require sufficient bandwidth for uploads and downloads of potential video evidence associated with the program.Additionally,the deployment of downtown Wi-Fi will require the Cityto increase bandwidth capacity to effectively handle the traffic. FPL FiberNet will be providing a "Performance Management Portal"that will allow the City to view real-time and past bandwidth usage allowing the City to make adjustments,if necessary,to the downtown Wi-fi traffic or,further increase the bandwidth.Increasing the bandwidth capacity however isunlikely as the 100 Mbps circuit should be sufficient to handle the increased traffic. directlyorindirectly,byreasonoforresultingfromanyCustomerfailureto performanobligationunderthisAgreementoranyactionorinactionof CustomeroritsemployeesoragentsthatIsillegalorconstitutesnegligence orintentionalmisconductInaddition,CustomeragreestoIndemnifyFN Entitlesfromanyandallthirdpartyclaimsofdamages,fiabiltty.costsand expenses(Includingreasonableattorneys'feesandexpenses)arisingfrom useofServicesbyCustomeroritsendusersand/oranyviolationofFN's AcceptableUsePolicy,regardlessofwhetherdonewithintentor knowledge. 13.FORCEMAJEURE.FN'sabilitytoprovidetheServicesmaybe ImpededbyeventsoractionsoutsideofFN'sreasonablecontrol,including, withoutlimitation,acteofGod.Roods,tires,hurricanes,earthquakes,adsof warorterrorism,fibercuts,laboractions,failureofthird-partysuppliers, criminalandunlawfulactsofthirdparties,changesinapplicablelawsand regulations,oranysimilaractionsorevents("ForceMajeure").FNshallnot beresponsibletoCustomerforanyfailuretoprovidetheServicesduetoa ForceMajeure.CustomershallnotbeliableforServiceChargesduringany ForceMajeureperiodinwhichFNisunabletoprovideServices. 14.NOTICES.NoticesrequiredbythisAgreementshallbemadein writinganddeliveredbyhanddeliveryortheUSPSaddressedtothe addressessetforthontheSO,postageordeliverychargespre-paid.Notice Shaltbedeemedgivenupondelivery,ifdeliveredbyhand;four(4)business daysafterbeingdepositedIntheU.S.Mallasfirst-class;orone(1)business dayafterdepositingwithanationallyrecognizedovernightdeliveryservice. 15.ASSIGNMENT.ThisAgreementshallbebindinguponthepartiesand theirrespectivesuccessorsandassigns.Customershallnotassignor otherwisetransferItsrightshereunderoranyinteresthereinwithoutthe priorwrittenconsentofFN,whichconsentshallnotbeunreasonably withheld;provided,however,nothingInthisparagraphshallprecludeFN fromconductingacreditreviewofanyproposedassigneeusingnon discriminatorycreditworthinesscriteria. 16.THIRDPARTYBENEFICIARIES.ExceptassetforthInSections1 and10herein,thisAgreementIsIntendedsolelyforthebenefitofthe Partiesheretoandnothingcontainedhereinshallbeconstruedtocreate anydutyto,orstandardofcarewithreferenceto,oranyliabilityto.orany benefitfor,anyPersonnotaPartytothisAgreement. 17.GOVERNINGLAW/WAIVEROFJURYTRIAL.ThisAgreementshall begovernedandconstruedInaccordancewiththelawsoftheStateof Florida,withoutgivingeffecttoItsconflictoflawprinciples.Anydisputes resultinginlitigationbetweenthePartiesshallbeconductedInthestateor federalcourtsoftheStateofFlorida.Proceedingsshalltakeplaceinthe CircuitCourtforDadeCountyorPalmBeachCounty.Florida,theUnited StatesDistrictCourtfortheSouthernDistrictofFlorida,orsuchother FloridalocationorforumallatFN'selection.INANYLITIGATIONARISING FROMORRELATEDTOTHISAGREEMENT,THEPARTIESHERETO EACHHEREBYKNOWINGLY,VOLUNTARILYANDINTENTIONALLY WAIVETHERIGHTEACHMAYHAVETOATRIALBYJURYWITH RESPECTTOANYLITIGATIONBASEDHEREON,ORARISINGOUTOF, UNDERORINCONNECTIONWITHTHISAGREEMENT.THIS PROVISIONISAMATERIALINDUCEMENTFORTHEPARTIESTO ENTERINTOTHISAGREEMENT. 18.ATTORNEYS'FEES.Intheeventofanylegalactiontiledinrelationto thisAgreement,theprevailingpartyshallbeentitledtorecoverfromthe non-prevailingpartyreasonableattorneys1feesandreasonablecourtor arbitrationcosts,andIntheeventthelegalactionwasinstitutedbyFNto collectanypast-duebalanceincurredbyCustomer,suchattorney'sfees shallbeinadditionto,andnotinlieuof,reasonablecollectioncostsas morespecificallysetforthrnSection5abovetotheextentsuchattorney's feesarenotduplicativeofanyotheramountsawarded. 19.REGULATORYCHANGES.Intheeventofanychangeinapplicable laws,regulations,decisions,rulesorordersIssuedbytheFederal CommunicationsCommission,astatePublicUtilityorServiceCommission, acourtofcompetentJurisdictionorothergovernmentalorquasi* governmentalentity(a"RegulatoryRequirement")thatmateriallyIncreases thecostsofServicesprovidedbyFN,FNreservestherighttopassany suchincreasedcoststhroughtoCustomerasarateIncrease.FNshad providewrittennoticeofanysuchratechangenolessthanthirty(30)days priortosuchratechange.IfanyRegulatoryRequirementhastheeffectof canceling,changingorsupersedinganymaterialtermwithrespecttothe deQveryofServices(otherthanchangeswhicharethesubjectofarate increaseasdescribedintheforegoingsentence),thenthisAgreementwin bedeemedmodffiedinsuchawayasthepartiesmutuallyagreeIs consistentwiththeform,intentandpurposeofthisAgreementandis necessarytocomplywiththeRegulatoryRequirement.Ifthepartiescannot agreetomodificationsnecessarytocomplywithaRegulatoryRequirement wrthlnthirty(30)daysaftertheRegulatoryRequirementIseffective,then eitherpartymayterminatethisAgreementand/oranySOimpactedbythe RegulatoryRequirementeffectiveasofthedateofsuchparty'swritten noncetotheotherparty. 20.NON-DISCLOSURE;CPNI. a.TheprovisionsofthisAgreement(Including,butnotlimitedto, pricing)areconsideredproprietaryandconfidentialbythepartieshereto, andassucharenottobereleasedtothirdpartiesexceptasmaybe requiredbylaworasmaybynecessarytopermitFNtoperformits obligationshereunder.NoParty,withouttheotherParty'sspecificprior writtenconsent,shalldisclosetoanythirdpartyanyInformationsuppliedto ItbytheotherwhichhasbeendesignatedasCONFIDENTIALor PROPRIETARYorPRIVATE(ProprietaryInformation")totheextentsuch informationisnotrequiredtobedisclosedpursuanttoanyapplicablePublic RecordsLawsoftheStateofFloridaand(I)Isnototherwisegenerally availabletothepublic.(Ii)hasnotbeenindependentlydevelopedbythe receivingParty,or(IB)hasnotpreviouslybeenknownbyordisclosedtothe receivingPartybyathirdpartynotboundbyconfidentialityrestrictions.
