WHEREAS,the City Charter requires that all contracts for goods and services in excess of $5,000shallbeapprovedby the City Commission;and WHEREAS,through the generous contribution made by Volksblast,Inc.in the amount of $9,000 dollars,City staff desires to procure Science,Technology,Mathematics,and Engineering workshop classesforthe fiscal year 2016/2017;and WHEREAS,these workshop classes will incorporate topics oftennot included in school such as aerospace,chemical,civil,environmental,industrial,marine,mechanical,software engineering,and robotics. WHEREAS,the City submitted an Invitation to Quote (ITQ)#PR2016-20 on Thursday, August 11,2016 for "STEM Program Administration Services";and WHEREAS,two (2)proposals were received;ARBE,LLC d/b/a Engineering For Kids is the lowest ($9,000)and in compliance with thetermsofthe ITQ;and WHEREAS,thetotalexpenditure shall not exceed $9,000 NOW,THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITYOF SOUTH MIAMI,FLORIDA THAT: Section 1.The City Manager is authorized to expend an amount not to exceed $9,000 to ARBE,LLC d/b/a Engineering For Kids for STEM Program Administration Services,during fiscal year 2016/2017. (a)Designation. Thissection shall be designated andknownasthe "City ofSouth Miami ConflictofInterestandCodeof Ethics Ordinance."Thissectionshallbe applicable toallcitypersonnelasdefinedbelow,and shall also constitute a standard ofethicalconductandbehaviorforallautonomouspersonnel,quasi-judicial personnel,advisory personnelanddepartmentalpersonnel.Theprovisionsofthissection shall beappliedinacumulativemanner.By wayofexample,andnotasa limitation,subsections(c)and(d)maybeappliedtothesamecontractortransaction. (b)Definitions.Forthepurposesofthissectionthe following definitionsshallbe effective: (1)Theterm "commission members"shallrefertothemayorandthemembersofthecity commission. (2)The term "autonomouspersonnel"shallrefertothemembersof autonomous authorities,boards and agencies, suchas the citycommunity redevelopment agencyandthehealth facilities authority. (3)The term "quasi-judicial personnel"shallrefertothemembersoftheplanningboard,theenvironmentalreview and preservation board,the code enforcement boardandsuch other individuals,boards and agenciesofthecityas perform quasi-judicial functions. (4)Theterm"advisorypersonnel"shall refertothemembersof those cityadvisoryboardsandagencieswhose sole or primaryresponsibilityistorecommend legislation orgiveadviceto the citycommission. (5)Theterm"departmentalpersonnel"shallrefertothecityclerk,thecitymanager,departmentheads,thecity attorney,and all assistantstothecityclerk,city manager andcityattorney,howevertitled. (6)The term "employees"shall refertoall other personnelemployedbythecity. (7)The term "compensation"shallrefertoanymoney,gift,favor,thingofvalueor financial benefitconferred,or to be conferred,in return for services rendered or to be rendered. (8)The term "controlling financial interest"shallrefertoownership,directly or indirectly,often percent ormore oftheoutstandingcapitalstockinany corporation oradirect or indirect interest oftenpercent or moreina firm, partnership,orother business entityatthetimeof transacting business withthe city. (9)The term "immediate family"shall refertothespouse,parents,children,brothers andsistersoftheperson involved. (10)The term "transactany business"shallrefertothepurchase or salebythecityof specific goodsorservices forconsiderationandtosubmittingabid,aproposalinresponsetoa RFP,a statement of qualifications inresponse toarequestbythecity,orenteringintocontract negotiations forthe provision onany goods orservices,whicheverfirstoccurs. (c)Prohibitionon transacting businesswiththecity. Noperson included intheterms defined in paragraphs (b)(1)through(6)andin paragraph (b)(9)shall enterinto any contract or transact anybusinessinwhich that personor a member of the immediate family hasa financial interest,directorindirectwiththecity or anypersonoragencyactingforthecity,andanysuchcontract, agreement orbusinessengagement entered inviolationofthissubsection shall-render thetransaction voidable.- Willful violation of this subsection shall constitute malfeasance in office and shall affect forfeiture of office or position.Nothinginthissubsection shall prohibitor make illegal: (1)Thepaymentoftaxes,special assessments or fees for services provided bythecity government; (2)The purchase of bonds,anticipation notesorother securities that may be issued bythe city through underwriters or directlyfromtimetotime. Waiver of prohibition.The requirements ofthis subsection may be waived fora particular transaction only by four affirmative votesofthecity commission,after public hearing upon finding that: (1)An open-to-all sealed competitive proposal has been submitted bya city personas defined in paragraphs (b)(2), (3)and(4); (2)The proposal has been submitted byapersonor firm offering services within thescopeofthe practice of architecture,professional engineering,orregistered land surveying,as defined bythe laws ofthestateand pursuanttothe provisions ofthe Consultants'Competitive Negotiation Act,andwhenthe proposal has been submitted bya city person defined in paragraphs (b)(2),(3)and (4); (3)Thepropertyor services tobe involved inthe proposed transaction are unique andthe city cannot avail itself ofsuchpropertyorserviceswithoutenteringatransaction which wouldviolatethissubsectionbutfor waiver of its requirements;and (4)Thatthe proposed transaction will beinthebestinterestofthe city. This subsection shall be applicable only to prospective transactions,and the city commission may inno case ratify a transaction entered in violation of this subsection. Provisions cumulative.This subsection shall be taken tobe cumulative and shall notbe construed to amend or repeal any other law pertaining tothesamesubjectmatter. (d)Further prohibition on transacting business withthe city. Thomas F.Pepe 02-23-15 |9 No person included in the terms defined in paragraphs (b)(1)through (6)and in paragraph (b)(9)shall enter into anycontractor transact any business through a firm,corporation,partnership or business entity in which that person or any member ofthe immediate family has a controlling financial interest,director indirect,with the city oranypersonor agency acting forthe city,andanysuchcontract,agreement or business engagement enteredin violation of this subsection shall renderthe transaction voidable.The remaining provisions of subsection (c)will alsobe applicable tothis subsection asthough incorporated by recitation. Additionally,no person included intheterm defined in paragraph (b)(1)shall voteonor participate in any way in any matter presented tothecity commission ifthat person has any ofthe following relationships with any ofthe personsor entities which would beor might be directly or indirectly affected by any action ofthecity commission: (I)Officer,director,partner,of counsel,consultant,employee,fiduciary or beneficiary;or (2)Stockholder,bondholder,debtor,or creditor,ifin any instance the transaction or matter would affect the person defined in paragraph (b)(1)ina manner distinct fromthe manner in which it would affect the public generally.Any person included intheterm defined in paragraph (b)(I)who has any ofthe specified relationships orwhowouldor might,directly or indirectly,realize aprofitbythe action ofthecity commission shall notvoteon or participate inanywayinthe matter. (E)Gifts. (l)Defmition.Theterm "gift"shall refertothetransferof anything of economic value,whetherintheformof money,service,loan,travel,entertainment,hospitality,itemor promise,orinanyother form,without adequate and lawful consideration. (2)Exceptions.The provisions of paragraph (e)(I)shall not apply to: a.Political contributions specifically authorizedbystate law; b.Gifts from relatives or members of one's household,unless the person isa conduit on behalf of a thirdpartyto the delivery ofagiftthatis prohibited under paragraph(3); c.Awardsforprofessional or civicachievement; d.Material suchasbooks,reports,periodicals or pamphlets which are solely informational orofan advertising nature. (I)Compulsorydisclosure by employees of firmsdoingbusinesswiththecity. Should anyperson included inthetermsdefinedin paragraphs (b)(1)through(6)be employed byacorporation, firm,partnership or businessentityinwhich that person or theimmediate family doesnothaveacontrolling financial interest,andshould the corporation,firm,partnershipor business entityhavesubstantialbusiness commitments toorfrom the cityoranycityagency,orbe.subjecttodirectregulationbythecity or acity agency, thenthepersonshall file aswornstatement disclosing suchemploymentandinterestwiththeclerkofthe city. (g)Exploitation of officialpositionprohibited. Noperson included intheterms defined in paragraphs (b)(l)through(6)shall corruptlyuseorattempttousean official positiontosecure special privileges or exemptionsforthatpersonorothers. (h)Prohibition onuse of confidential information. Nopersonincludedinthe terms definedinparagraphs (b)(1)through(6)shallacceptemployment or engage in anybusinessorprofessionalactivitywhichonemight reasonably expect would require orinduceonetodisclose confidential informationacquiredbyreasonofan official position,nor shall thatpersoninfacteverdiscloseconfidentialinformationgarneredorgainedthroughan official positionwiththecity,norshall that personeverusesuchinformation,directlyorindirectly,forpersonal gain or benefit. Noperson included inthetermsdefinedinparagraphs (b)(1)through(6)shallaccept other employmentwhich wouldimpairindependenceofjudgmentintheperformanceofany public duties. (j)Prohibitionon outside employment (1)Noperson included intheterms defined in paragraphs (b)(6)shall receiveanycompensationforservicesasan officeroremployeeofthecityfromanysourceotherthanthecity,exceptasmaybepermittedas follows: a.Generally prohibited.No full-time cityemployee shall acceptoutsideemployment,either incidental,occasionalor otherwise,wherecitytime,equipment or materialistobeused or where suchemployment or any part thereof is tobeperformedoncitytime. b.When permitted.A full-time cityemployeemayaccept incidental oroccasionaloutsideemploymentsolongas suchemploymentisnotcontrary,detrimental or adversetothe interest of the city or anyofitsdepartmentsand theapprovalrequired In subparagraphc.isobtained, c.Approvalof department headrequired.Anyoutsideemploymentbyany full-time cityemployeemustfirstbe approvedinwritingbytheemployee's department headwho shall maintain acompleterecordofsuch employment. d.Penalty.Any person convicted of violating any'provision of this subsection shall be punished as provided in section I -I I ofthe Code of Miami-Dade Countyand,inadditionshallbesubjectto dismissal bytheappointing authority.Thecitymayalsoassessagainstaviolatora fine nottoexceed$500.00andthecostsof investigation incurred bythecity. (2)Allfull-timecityemployeesengagedinanyoutsideemploymentforanyperson,firm,corporation orentity other thanthe city,or anyofitsagenciesorinstrumentalities,shall file,underoath,anannual report indicating the sourceoftheoutsideemployment,thenatureoftheworkbeingdoneandanyamountofmoney or other considerationreceivedbytheemployeefromtheoutsideemployment.Cityemployee reports shallbe filed with thecity clerk.Thereports shall be available ata reasonable timeand place for inspection bythe public.Thecity managermayrequiremonthlyreportsfrom individual employees or groupsofemployeesforgoodcause.. (k)Prohibited investments. Noperson included inthetermsdefinedinparagraphs (b)(1)through(6)or amemberoftheimmediate family shallhavepersonalinvestmentsinany enterprise which will create asubstantialconflictbetweenprivate interests andthepublicinterest. (I)Certain appearances and payment prohibited. (1)Nopersonincludedinthetermsdefinedinparagraphs (b)(1),(5)and(6)shallappearbeforeanycityboardor agencyandmakea presentation onbehalfofathirdpersonwith respect toanymatter,license,contract, certificate,ruling,decision,opinion,rateschedule,franchise,or other benefit sought bythethird person.Nor shall thepersonreceiveanycompensation or gift,direcdyorindirectly,forservices rendered toathirdperson,who hasappliedfororisseekingsomebenefitfromthecityoracityagency,inconnectionwiththeparticularbenefit sought-by thethirdperson.Nor shall theperson appear in any court or beforeanyadministrativetribunalas - counselor legaladvisortoapartywhoseeks legal relieffromthecity or acityagencythroughthesuitinquestion. (2)Nopersonincludedinthetermsdefinedinparagraphs(b)(2),(3)and(4)shallappearbeforethecity commissionoragencyonwhichthepersonserves,eitherdirectly or throughanassociate,andmakea presentation onbehalfofathirdpersonwithrespecttoanymatter,license,contract,certificate,ruling,decision, opinion,rate schedule,franchise,or other benefitsoughtbythethirdperson.Nor shallsuchpersonreceiveany compensationorgift,directly or indirectly,forservicesrenderedtoathirdpartywhohas applied fororisseeking somebenefitfromthecitycommission or agencyonwhichthepersonservesinconnectionwiththeparticular benefitsoughtbythethirdparty.Norshallthepersonappearinanycourt or beforeany administrative tribunal as counselor legal advisortoathirdpartywhoseeks legal relieffromthecitycommissionoragencyonwhichsuch person servesthroughthesuitinquestion. (m)Actions prohibited when financial interests involved. Noperson included intheterms defined in paragraphs (b)(I.)through (6)shallparticipateinany official action directlyorindirectlyaffectingabusinessinwhichthatpersonoranymemberoftheimmediate family hasa financial interest.A financial interest isdefinedinthissubsection to include,but notbelimitedto,anydirector indirect interest inanyinvestment,equity,or debt. (n)Acquiringfinancialinterests. Nopersonincludedinthetermsdefinedinparagraphs (b)(1)through(6)shallacquirea financial interest ina project,businessentity or property atatimewhenthepersonbelievesorhasreasontobelieve that the financial interestmaybedirectlyaffectedby official actionsorby official actions by thecityorcity agency of which the personisan official,officer or employee. (0)Recommending-professional services. Thomas F.Pepe 02-23-15 2| No person included in theterms defined in paragraphs (b)(1)through (4)may recommend the services ofany lawyer or law firm,architect or architectural firm,public relations firm,or any other person or firm,professional or otherwise,to assist in any transaction involving the city or any ofits agencies,provided thata recommendation may properly be made when required tobemadebythe duties of office andin advance ata public meeting attendedbyother city officials,officers or employees. (p)Continuing applicationafter city service. (1)Noperson included intheterms defined in paragraphs (b)(1),(5)and (6)shall,fora period oftwoyearsafter hisorhercityservice or employment has ceased,lobby any city official [as defined in paragraphs (b)(1)through (6)]in connection with any judicial orother proceeding,application,RFP,RFQ,bid,requestfor ruling orother determination,contract,claim,controversy,charge,accusation,arrestorother particular subject matterin which thecityoroneofits agencies isapartyorhasanyinterest whatever,whetherdirectorindirect. Nothing contained in this subsection shall prohibit any individual from submitting a routine administrative request or application toacitydepartmentor agency duringthetwo-yearperiodafterhisorher service hasceased. (2)The provisions ofthe subsection shall not apply to persons who become employed by governmental entities, 501(c)(3)non-profit entities or educational institutions or entities,and who lobby on behalf ofthose entities in their official capacities. (3)The provisions of this subsection shall apply to all persons described in paragraph (p)(l)whose city service or employment ceasedaftertheeffective date of the ordinancefromwhichthis section derives. (4)Noperson described in paragraph (p)(l)whose city service or employment ceased within two years priorto the effective dateofthis ordinance shall foraperiodoftwoyearsafter his orher service or employment enter intoa lobbying contract to lobby any city official in connection with any subject described in paragraph (p)(l)in which the city oroneofits agencies isapartyor has any direct and substantial interest;andin which heorshe participated directly or indirectly through decision,approval,disapproval,recommendation,the rendering of advice,investigation,or otherwise,during his orher city service or employment.A person participated "directly" whereheorshe was substantially involved inthe particular subject matter through decision,approval,disapproval, recommendation,the rendering of advice,investigation,or otherwise,during hisorhercityservice or employment.A person participated "indirectly"whereheorshe knowingly participated in any way inthe particular subjectmatter through decision,approval,disapproval,recommendation,the rendering of advice,investigation,or otherwise,during hisorher city service oremploymentAll persons covered bythis paragraph shall executean affidavit ona form approved by the city attorneypriorto lobbying any city,official attesting thatthe requirements ofthis subsection donot preclude the person from lobbying city officials. Notwithstanding the foregoing,thisContractmaybeextendedbyanadditional N/A periodif the extensionisinwritingandsignedbythe City Manager.An extensionofthetermofthis Contract is at the CITY's sole and absolute discretion. 9)Termination:This Contractmaybeterminatedwithoutcausebythe CITY with30 daysofadvancedwritten notice.This provision supersedesandtakesprecedenceoverany contrary provisions for termination contained in the Contract Documents. 10)ApplicableLawandVenue:Florida lawshallapplytotheinterpretationand enforcementofthisContract.Venueforall proceedings shallbein Miami-Dade County, Florida. 11)DutiesandResponsibilities:CONTRACTOR shallcomplywithallapplicablelaws, ordinances,codes,rules,regulations,and health and safety standards ofany governmental bodyhavingjurisdictionoverany matter related tothisContractor the goods and/or services tobe performed hereunder,andshallcommitno trespass onanyprivate property in performinganyof the workembracedbythisContract.Each andevery provision and/or clause required bylaw to be inserted inthis Contract shallbe deemed to be inserted herein andthis Contract shallbereadand enforced asthoughsuchprovisions and/or clauseswere included herein. Page -2-of 4 Thomas F.Pepe2016 07/29/16 12)Change Orders:No additional Work or extras shall be done unless the same is duly authorized inwritingandin advance of the workby appropriate actionby the City Manager and in accordance with the Contract Documents. 13)LicensesandCertifications:Contractor shall secure all necessary business and professional licenses atitssole expense priorto executing this Contract or commencing the Work. 14)Insurance,Indemnification &Bonding:CONTRACTOR shallcomplywith the insurance,indemnification and bonding requirements set forth in the Contract Documents. 15)Liquidated Damages:In the event that CONTRACTOR shallfail to complete the Work within the time limit set forth in the Contract Documents,or the extended time limit agreed upon,in accordance with the procedure as more particularly set forth in the Contract Documents,liquidated damages shallbepaidat the rate of $N/A dollarsperdayuntil the Work is completed. 16)JuryTrial Waiver:The parties waive their righttojury trial. 17)Entire Agreement,Modification,and Non-waiver:The Contract Documents constitute the entire agreement of the parties and supersedes any prior agreements,written ororal.The Contract Documents maynotbemodifiedor amended except inwriting,signed by both parties hereto andifthis Contract isrequiredtobe approved by the CityCommission,all amendments thereto must be approved in the same manner and with the same formality as this Contract.The Contract Documents,in general,andthis paragraph,in particular,shallnot be modified or amended byany acts or omissions of the parties.No failure to exercise and no delay in exercising anyright,power orprivilegeshall operate asa waiver.No waiver of the Contract Documents,in whole or part,including the provisions of this paragraph,may be implied by any act or omission. 18)Public Records:CONTRACTOR andallofitssubcontractorsarerequiredtocomply with the public records law (s.119.0701)whileproviding goods and/or services on behalf of the CITY and the CONTRACTOR,under such conditions,shall incorporate this paragraph inall ofitssubcontractsforthisProjectand shall:(a)Keep andmaintainpublicrecordsrequiredby the public agency to perform the service;(b)Upon request from the public agency's custodian ofpublic records,provide the public agency witha copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided in this chapter or as otherwise provided bylaw;(c)Ensure that public records that are exempt or confidential and exempt frompublic records disclosure requirements are notdisclosed except as authorized bylawfor the duration of the Contract termandfollowing completion of the Contract if CONTRACTOR does not transfer the recordsto the public agency;and(d)Uponcompletionof the Contract,transfer,atnocost,to the publicagencyall publicrecordsinpossessionof CONTRACTOR orkeepandmaintainpublicrecordsrequiredby the public agency to perform the service.If CONTRACTOR transfers allpublic records to the public agency upon completion of the Contract,CONTRACTOR shall destroy any duplicate public records that are exempt orconfidential and exempt frompublicrecords disclosure requirements.If CONTRACTOR keeps and maintains public records upon completion of the Contract,CONTRACTOR shall meet all applicable requirements for retaining public records.All records stored electronically must beprovidedto the publicagency,upon request fromthe public agency's custodian ofpublicrecords,ina format that is compatible with the information technology systems of the public agency.
