Ord No 08-16-2241ORDINANCE NO.08-16-2241 An Ordinance amending Chapter 8A and specifically Sections 8A-4 to clarify the intent and resolve an ambiguity and to amend 8A-4 to clarify and expand definitions of the City of South Miami's Code of Ordinances. WHEREAS,the City code creates assemblies of volunteers as identified variously asa "board", "committee","authority","task force",or "agency"with no formal definitions or distinctions between them;and WHEREAS,Citycoderegulatesappearances of elected officials before "boards"butnot "advisory committees"or other assemblies of citizen volunteers;and WHEREAS,theCitycode that regulates appearances of elected officials before "boards" presumes that any official so appearing hasafinancialor personal interest inanitem before theboard; and WHEREAS,a deliberative process requires independent review by members of the applicable board;therefore,members of the City Commission should not directly influence decisions bya board with jurisdiction over actions that require quasi-judicial procedures foritems that are binding ontheCity, andforwhichthe Commission couldbenextlevel of appeal,e.g.,the Environmental Preservation and Review Board and the Historic Preservation Board. WHEREAS,the City benefits fromfree interaction and exchange of ideas between elected officials and advisory committees onmatterswherethe officials'interests are purely professional and associated withthe proper carriage of their officialduties;and WHEREAS,the Miami-Dade County Commission on Ethics has asked the City to further clarify this ordinance,particularly with respect todistinctions between quasi-judicial boardsthatmake binding decisions representing 'final agency action5,versusadvisorybodies that provide non-binding recommendations to the City Commission. NOW,THEREFORE,BE IT ORDAINED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA: Section 1.Section 8A-1 of theCity of South Miami's Code of Ordinances shallbe amended to read as follows: Sec.8A-1.-Conflict of interest and code of ethics ordinance. (a)Designation.This section shallbe designated and known asthe"City of South Miami Conflict of InterestandCode of EthicsOrdinance."Thissectionshallbeapplicabletoallcitypersonnelas defined below,and shall also constitute a standard of ethical conduct and behavior for all autonomous personnel,quasi-judicial personnel,advisory personnel and departmental personnel. Theprovisions of thissectionshallbeappliedinacumulativemanner.Byway of example,and notasalimitation,subsections(c)and(d)maybeappliedtothesame contract ortransaction. (b)Definitions.Forthe purposes of thissectionthefollowing definitions shallapplybeeffective: (IX Theterm "eCommission mMembers"shallrefertothe Mmayor andthe Mmembers of the eCity eCommission. (2)Theterm "autonomous personnel"shallrefertothe members of autonomous boards and theterm "autonomous board"shallmeanautonomous agencies,boards,andauthorities,such astheSouthMiami Community Redevelopment Agency,the Pension Board,theBoard of Trustees forthe police pension,Citv of SouthMiami Police Officers'Retirement Trust Fund, the South Miami Pension Plan,and the Health Facilities Authority,authorities,boards and Ord.No.08-16-2241 agencies,suchasthecity community redevelopment agencyandthehealthfacilities authority. (3)Theterm"quasi-judicialpersonnel"shallrefertothemembers of quasi-judicialboardsfee planningboard,theenvironmentalreviewandpreservationboard,thecodeenforcement board andsuch other individuals,boards and agencies of thecityas perform quasi judicial functions,andtheterm <cquasi-judicial board"shallmeananyboardthatperformsquasi- judicial functions,includingthe Environmental Reviewand Preservation Board (ERPB)and the Historic Preservation Board. (4)Theterm "advisory personnel"shallrefertothemembers of advisory boardsor committees and those city advisory boardsand agencies whose soleor primary responsibility isto recommend legislation orgive advice tothecity commission,the term "advisory committee"or "advisory board"shall mean any board or committee whose primary responsibility istomake recommendations including recommendations astopolicy, programs,or legislation ortogiveadvicetodepartmentpersonnel,otherboards,andtheCity Commission..Advisory boards and committees include the Planning Board,the Parks and Recreation Board,the Green Task Force,andtheUrban Landscape Committee. (5)Theterm "departmental personnel"shallrefertotheeCityeClerk,the eCity mManager, department heads,the eCity aAttorney,andall assistants tothe eCity eClerk,eCity mManager and eCity aAttorney,however titled. (6)The term "employees"shall refer toall other personnel employed bythe eCity. (7)Theterm "compensation"shallrefertoanymoney,gift,favor,thing of valueorfinancial benefit conferred,or tobe conferred,in return for services rendered ortobe rendered. (8)Theterm "controlling financialinterest"shallrefertoownership,directlyorindirectly,of ten percent ormore of the outstanding capitalstockinany corporation oradirectorindirect interest often percent ormoreinafirm,partnership,or other businessentityatthetime of transacting business with the eCity. (9)Theterm "immediate family"shallrefertothespouse,parents,children,siblings,aunts and uncles,nieces and nephews,firstcousins,grandparents,grandchildren,andin-laws of the person involved. (10)Theterm "transact anybusiness"shallrefertothepurchaseorsalebytheeCity of specific goodsor services for consideration andto submitting abid,a proposal in response to aRFP,a statement of qualifications inresponsetoa request bytheeCity,orenteringinto contract negotiations forthe provision onanygoodsor services,whichever firstoccurs. (11)The terms "board"and "committee"shallmeanagroup of twoormore people whoare members of an organization created bytheCitvorbv Florida Statutes forany purpose and whose members are appointed or ratified by resolution of the City Commission. Section 2.Section 8A-4 of the City of South Miami's Code of Ordinances shallbe amended to read as follows: Sec.8A-4.-Influence of boardmembersbymayorand commissioners,appearancebefore boards. Themayorand commissioners of thecityarehereby prohibited from: (a)Attempting directlytoinfluencethedecisionorofficialact of any member of anyquasi- judicial board of the eCity. (b)Appearing beforeany sueh quasi-judicialboardexceptuponinvitation of amajority of the members of suchboard;provided,however,that if themayorora commissioner shallappear beforesuchboardconcerningaquasi-judicialmatterwithoutinvitation,heshallbepresumedto haveafinancialorpersonalinterestinthatanymatterwhichheorsheshallhaveadvocatedor Page 2 of3 Ord.No.08-16-2241 espousedbeforetheboardandshallbedisqualifiedtovotethereoninhisorherofficialcapacity. However,nothingcontainedhereinshallbeconstruedtobeanethicalviolation of thisSectionif the uninvited appearance of theMayorora Commissioner isforpersonalreasonsorduetoan application filedbyhimorherandnototherwiseaviolation of the City's EthicsCode. Commission members shall not appear before the Planning Board on a matter that will come before the Citv Commission as a quasi-judicial decision. (c)Exceptedfromtheprovisionshereofare (i)is participationbythe mMayor ormembers of the eCommission intheactsand deliberations of anyboard of whichtheyare ex officio members* and(ii)appearancesbeforeanyquasi-judicialboardconcerningmattersthatarenotquasi- judicial,(m)appearances beforeaquasi judicial boardconcerningamatterclearly identified fromthestartasone of financial or personal interest and invoking disqualification tovoteas detailed in (b)above.- Section 3:Codification.The provisions of this ordinance shallbecomeandbemadepart of the Code of Ordinances of the City of South Miami as amended;that the sections of this ordinance maybe renumbered or re-lettered to accomplish suchintention;andthattheword"ordinance"maybechangedto "section"or other appropriate word. Section 4.Severability.If anysection,clause,sentence,orphrase of this ordinance isforany reasonheldinvalidor unconstitutional bya court of competent jurisdiction,this holding shallnotaffect the validity of the remaining portions of this ordinance. Section 5.Ordinances in Conflict.All ordinances orparts of ordinances andall sections and parts of sections of ordinances in direct conflict herewith arehereby repealed.
