B,Allofthe provisions set forth in Section 5.4herein belowshall apply to this coverage unless It would be dearly not applicable. 1.09 Miscellaneous; A.Ifanynoticeof cancellation ofinsuranceor change incoverageis issued bythe insurance companyor should anyinsurance have an expiration date that will occur during the period of this contract,the FIRM shall be responsible for securing other acceptable insurance prior tosuch cancellation,change,or expiration soastoprovidecontinuous coverage as specified inthissectionandsoasto maintain coverage during thelifeofthisContract. B.All deductibles mustbe declared bythe FIRM andmustbe approved bythe CITY.Attheoptionofthe CITY,either the FIRM shall eliminate orreducesuchdeductibleor the FIRM shall procure aBond,In a formsatisfactorytotheCITYcoveringthesame. CThe policies shall contain waiverof subrogation against CITYwhere applicable,shall expressly provide that such policy or policies are primary overany other collectible insurance that CITY may have.The CITY reserves the right atanytimeto request acopyofthe required policies for review.All policies .shad containa "severability of interest"or"cross liability"clause without obligation forpremium paymentofthe QTY aswellas contractual liability provision coveringtheContractorsdutyto indemnity theCityas provided inthis Agreement D.Beforestartingthe Work,the FIRM shall deliver totheCITY and CONSULTANT certificates of such insurance,acceptabletothe CITY,aswellastheinsurancebinder,if one is issued,theinsurance policy, including the declaration page andallapplicable endorsementsandprovidethename,addressand telephonenumberoftheinsuranceagentorbrokerthroughwhomthepolicywasobtained.The Insurer shall berated A.VII orbetterper A.M.Best's Key Rating Guide,latest edition and authorized toissue insurance intheStateof Florida.Allinsurance policies mustbewrittenon forms approved bytheState of Florida andtheymust remain in full forceandeffectforthe duration ofthecontractperiodwith the CITY.The FIRM mayberequiredbytheCITY,atitssole discretion,toprovidea"certified copy"of the Policy (as defined inArticle I ofthis document)which shall indudethe declaration page andall required endorsements.!n addition,the FIRM shall deliver,atthetimeof delivery ofthe insurance certificate,the following endorsements: (1)a policy provision or an endorsement with substantially similar provisions as follows: "The City ofSouth Miami isan additional insured.The insurer shall pay all sumsthattheCityof South Miami becomes legally obligated to pay as damages because of 'bodily Injury",'property damage',or "personal and advertising injury"and it will provide totheCity all ofthe coverage that Is typically provided under the standard Horida approved forms for commercial general liability coverageAandcoverage B"; (2)a policy provision or an endorsement with substantially similar provisions as follows: 'This policy shall notbe cancelled (including cancellation for non-payment of premium), terminated or materially modified without first giving theCityof South Miami ten (10)days advanced written notice oftheintentto materially modify the policy orto cancel or terminate the policy forany reason.The notification shall be delivered totheCityby certified mail,with proofofdelivery to theCity." Ifthe FIRM is providing professional services,such aswould be provided by an architect,engineer, attorney,oraccountant,tonameafew,theninsuch event andinadditiontotheaboverequirements, the FIRM shall also provide Professional Liability Insurance ona Florida approved form inthe amount of $1,000,000 with deductible perclaim if any,notto exceed 5%ofthe limit of liability providing for all sumswhichthe FIRM shall become legally obligated to pay as damages for claims arising outofthe services orwork performed bythe FIRM its agents,representatives,Sub Contractors or assigns,orby any person employed or retained by him in connection withthisAgreementThis insurance shall be maintained tor four years after completion ofthe construction and acceptance of any Project covered by this Agreement However,the FIRM may purchase Specific Project Professional Liability Insurance,inthe amount and undertheterms specified above,which is also acceptable.No insurance shall be issued bya surplus lines carrier unless authorized in writing bythecityatthe city'ssole,absolute and unfettered discretion.
