A Resolution authorizing the City Manager to enter into anInterlocal Agreement
with Miami-DadeCountyfor IT maintenance and support servicesfora three (3)
year term,expiring September 30,2018.
WHEREAS,the Citywishesto enter intoanInterlocal Agreement with Miami-Dade
Countyfor IT maintenance and support services;and
WHEREAS,the City's current IT maintenance and support services contract expires
September 30,2015;and
WHEREAS,the City requires IT support and maintenance to support critical operations
and business of the City;and
Whereas,the County has been providing IT maintenance and support services to the
City since April 2014 providing significant enhancements and security improvements to the
City's network;and
WHEREAS,Miami-Dade County submitted an Interlocal Agreement to the Cityfor
consideration to perform various IT services,commencing on October 1,2015 and expiring
September 30,2018,which may be terminated by either party with a 120-day written notice.
NOW,THEREFORE,BEIT RESOLVED THE MAYOR AND CITY COMMISSION OFTHECITY
OF SOUTH MIAMI,FLORIDA:
Section 1.TheCity Manager is authorized to enter into an Interlocal Agreement with
Miami-Dade County,for IT maintenance and support services,fora three (3)year term
commencing on October 1,2015 andexpiring September 30,2018 for $165,500,for FY15-16;
$170,500for FY16-17;and$175,500for FY17-18.TheInterlocal Agreement maybe terminated
by either party witha 120-day written notice.Acopyof the Interlocal Agreement is attached.
Section 2.Severability.If any section,clause,sentence,or phrase of this resolution is
foranyreasonheldinvalidor unconstitutional bya court of competent jurisdiction,thisholding
shall not affect the validity of the remaining portions of this resolution.
Section 3.Effective Date:This resolution shall take effect immediately upon
enactment.

Background:Miami-Dade CountyhasbeenperformingtheCity'sITmaintenanceand
support services since April,2014.Thefirstengagementwasforasix(6)
monthtrialperiod,expiring September30,2014;followed byaone(I)
yearagreementexpiringSeptember30,2015.Based ontheperformance
ofMiami-Dade County anddeliverablestheCityhasderivedfromthis
relationship,itis recommended to enter intoa three (3)year agreement
forIT support services.
The Miami-Dade County network and infrastructure support team
successfullymaintains the City'sandPoliceIT infrastructure systems.
TheITteam members consisted ofIT Directors andmanagersover
seeing their subject matter experts in the areas ofMicrosoft,Active
Directory Services,ProxyServices,Anti-Virus,Enterprise Messaging,
Mobile Messaging,Enterprise Access,Firewalls,Data Center andVirtual
Networking Support,Routing,Wireless Broadband,Wi-Fi,Network
Hardware,Circuit Provisioning,Cabling,Server,Storage,Computer
Hardware,andSecurity.Miami-Dade Countyhandled support calls for
Policeoperations 24/7/365 and took immediatestepstoaddress all
reported issuesas high riskandpriority.The City's andPolice daily
operations enjoy availability ofallcriticalIT infrastructure systemswith
nomajorimpacts to daily operations anddeliveryofservice to the
citizens.
Miami-Dade County working withthe City,continuedtheprocessto
reviewandprovided valuable inputonrecommendednewITprojectsfor
theCitytoimprovethereliableandtimelydeliveryofservicetothe
citizens.The County provided the MIS Budget Worksheets for FY 2015-
16 to theCityofSouth Miami addressingcontinued IT service
improvements.

The delivery of IT support services by Miami-Dade County was anchored
by the on-site designated Miami-Dade County network manager.The
manager handled on average 142 IT requests for support op a monthly
bases and resolved the majority ofthe requests.Many df the requests
are received bydirectphone call orCity staff seeking immediate technical
support Miami-Dade CountyITsupportteamhasbeen effective and
efficient inthetimely delivery ofservicesas defined inthe Inter-local
Agreement.
Miami-Dade County working with the City ofSouth Miami,began new IT
projectsfortheCitytoaddress high riskandpriorityprojects.The
following aresome examples of projects and the improvements tothe
City'sIT environment:

Wi-Fi Downtown-Digital Pay Station Modems:Miami-Dade County
providedbroadband,network,security,engineering andon-sitetechnical
support forthenew Digital Pay Stationmodems communicating withthe
City'sWi-Fi network sothatthe credit carddatacanbe transmitted
wirelesslythroughthe newly installed Wi-Fi Parking system.This will
allowtheCitytodisconnectthe AIRCARDS andsaveonthemonthly
recurring cellular costs.
Community Center -Pool Payments Station andSecurity Monitoring:
Miami-Dade Countyprovidednetwork,security,engineeringandon-site
technical support for the newCommunity Center credit card payment
station and remote security monitoring system.
PoliceTwoFactor Authentication andEncryptionsystem:Miami-Dade
County provided support for the Two Factor Authentication and
Encryptionsystem successfully deployedlast year by Miami-Dade County
for the Police Department computers andlaptopsincompliancewiththe
FederalBureauof Investigation CriminalJusticeInformationServices
Security Policies to accesscriminaljusticesystems,data,and records
FDLE.

automatically deployacross the network updates.
Successfully Completed Project for Re-Design City of South
Miami IP Scheme:IP addresses where changed to use RFC 1918
ranges.This involved changeson all network devicesalongwith,servers,
firewalls,PCs,appliances,printers,etc.ontheCityofSouth Miami
network
IT Service Improvements for FY 15-16:
AT&T Switched Ethernet (ASE)network project:Miami-Dade
County performed an analysis of the City's internet circuitsand
recommend anupgrade that will leverage the scalabilityof the AT&T
SwitchedEthernet (ASE)network service,toscalebandwidthup or
down,addnewsites or changefeaturesinnearrealtime.TheCity will
benefitfrom the improved bandwidthand redundancy of the dualhub
architecture forCity Hall and the two remote sites not available with the
current serviceprovider.Miami-Dade County will coordinate,schedule
and perform network installationof the new AT&T network services that
includeactively monitoring theAT&T ASE network circuitsand
performing repairs 24/7/365.Miami-Dade County isin the process of
transitioning the City onto newvirtual server infrastructure that is
hostedatthe Miami-Dade County,Main Data Center locatedat5680
SW87Ave.Thenew network designbeing implemented byMiami-Dade
County,willprovide the CityofSouth Miami with the network
bandwidth required to accesstheCity'sIT hosted infrastructure at the
County's secure Data Center;performdatabackup's,anddeliver high
speed Internet Service to theCity seamlessly.Miami-Dade County will
establisha migration plan onto the AT&T ASE network circuits,testing

Network Modernization:The current network designis not cohesive
andlacksredundancyincertaincriticallocations.Routingis currently
static,arouting protocol shouldbeconfiguredfor more effectiveuseof
availablelinksandfasterfaultrecovery.The purchaseofnew equipment
isrequired to completethisre-design.The CityofSouth Miami would
benefitfromahigherspeed network withredundancyincriticallocations.
Additionally,useofarouting protocol will reduce fai lovertimesand
ensure the most efficient link is used for transfer of data.The voice over
IPphonesystemwouldbeintergradedwithQualityofService.The re
design will providebothemployeeand guest Wi-Fiservices to the City
andcitizens that visitCity hall.
Network Monitoring and Alerting:The Cityhasnomonitoring or
alertingwhencritical IT infrastructure fails andimpactstheCity's ability
to service the citizens.The remote monitoring systemwould benefit the
Cityby automatically alertingdesignatedstaffwhencriticalsystems failed
forexample firewall,corenetwork,internet,Pooland Parking Pay Station
systems.Miami-Dade Countywouldpurchase,setup andconfigure
24/7/365 remote monitoring,alertingandnotificationofcriticalIT
equipment.
Data Storage and Backup environment:TheCitydoesnothavean
effective andsecure disaster recovery backup plan or continuity of
operations planto operate theCityIT infrastructure incaseofan
emergency.The existing datastorageinfrastructureis local and lacks
redundancyincaseof emergency.Thenew VMware virtual server
environment hostedinthe Miami-Dade County,Data Center canbe
leveraged to allow datastorage and backup services.This will provide
theCityofSouth Miami withtherequiredsecurity,off-site disaster
management,shouldadisasteroccur,and backup neededtoensure
continuous business activity withoutever incurring abreakin service.

("Agreement")is made and entered into by and between the CITY OF SOUTH MIAMI,a
municipal corporation within the State of Florida,having its principal office at 6130 Sunset
Drive,South Miami,FL 33143,(hereinafter sometimes referred to as the "Customer"or "City")
and MIAMI-DADE COUNTY,a political subdivision ofthe State of Florida,having its principal
officeat 111 N.W.1st street,Miami,Florida 33128,(hereinafter referred toasthe "County"or
"Contractor")andis effective asof the I dayof October 1,2015 thruSeptember 30,2018.
RECITALS
WHEREAS,the County,through the Information Technology Department ("ITD"),is
the provider of information technology ("IT")services that enable and support the operations of
all County departments,external government agencies,residents and the public at large;and
WHEREAS,theCity desires thatthe County,through the ITD,provide certain services
as further described in Appendix A-Scope of Services totheCityfor maintenance and support
oftheCity's information technology systems forthe City's security firewall,exchange,network,
servers,AS400,Storage Area Networks (SANS),desktop computers,laptops,Apple products to
includeMACand IPad devicesandanyandall additional peripherals;and
WHEREAS,the County agrees to provide suchIT maintenance and support services to
the City pursuant tothe conditions set forth in this Agreement which shall commence onthe
effective date,withaone-yearoptionstorenew thatcanbeexercisedbytheCityCommission,
unless terminated withthirty(30)dayswrittennoticebyeithertheCountyorCityorunlessthe
Board of County Commissioners failsto ratify this Agreement one(1)yearfromthe effective
date;and
WHEREAS,Section2-9and2-10oftheCode of Miami-DadeCountyprovidesthatthe
County Mayor is authorized toenterinto contracts onbehalfoftheCountywithother
governmental unitsforjoint performance withtheCountyofany function or service whichthe
CountyisauthorizedordirectedtoperformsubjecttoratificationbytheBoardofCounty
Commissioners withinone(1)yearfromtheeffectivedate;and
WHEREAS,this Agreement willbe submitted tothe Board of County Commissioners
for ratification within one(1)year;

ARTICLE 1.DEFINITIONS
The following words and phrases whenusedinthis Agreement shall have the following
meanings:
"Regular Business Hours"shallmeantheCountywilldeliverservicesfrom8AMuntil
5PM,weekdays,excludingCountyholidaysobservedbyMiami-DadeCountygovernmentand
suchothertimesastheITDisnotgenerallyopenforthedelivery of servicestoitscustomers.
"User"shallmeananyCityemployeeauthorizedbytheCitytorequestservicesunder
this Agreement.
"Master System Administrator"shallmeantheCountypersonneldesignatedwiththe
toppermissionleveloverallforsystemmanagementandadministrationforCityITsystems
coveredbythisAgreement.TheMasterSystemAdministratorischargedwiththeresponsibility
of administering the proper level of permissions toall User's.
"System Administrator"shallmeantheCountypersonnel designated withalowerlevel
of system permissiontomaintain IT systemscoveredbythisAgreement.TheSystem
Administrator ischargedwithdelivery of Trier1supportforCityITsystems.
"On-Site IT Service Technician"shallmeantheperson(s)designatedbyCountywithto
be responsible forthedelivery of ITsupportservicestotheCity.TheITservice technician(s)
willhaveSystem Administrator accessfor troubleshooting reportedproblemsand coordinating
overalloperationalsupportfortheCounty,aswellasservingasVendorliaison.
"1st Tier Support"shall mean support provided by designated Onsite IT Service
Technicianandshallconsist of thefirstpoint of contactforcustomersupport of police,
supervisorsandUsers,TheOnsiteITServiceTechnicianwillhaveSystemAdministratoraccess
totriagetheissuetodeterminewhetheritistechnicaloroperational,shallresolveoperational
issuesandrespondtoquestionsconcerningtheuseofthesystem.Technicalissuesthatcannotbe
resolved bythe 1st Tier Support Person shall be reported tothe County's ITD's Help Desk which
willforwardtotheCountyMasterSystemAdministrator.
"2nd TierSupport"shall mean support provided by the County Master System
Administratorandshallconsist of technicalissuesreportedthathavebeentriagedtodetermine
root cause and resolved.All technical issue not resolved by 2nd Tier Support shall be reported to
the 3rd Tier support for vendor resolution.
"3rd TierSupport"shall mean support provided bythe hardware and software
maintenancevendorsunderservicelevelagreementswiththeCitytoprovidecustomersupport
and maintenance.

ARTICLE!.SCOPE AND TERM OF SERVICES
2,1.Inaccordancewiththeprovisions of this Agreement andinconsideration of the payment by
Customer of the price forsuch services,the County*throughits ITD,will make commercially
reasonable efforts toprovidetheCitywith tihe highe$tquality,cost effective,County Services as
setforthin Appendix A-Scope of Services and Prices pursuant tothetermsandconditions of
this Agreement.
2.2TheCountywillprovide2080hours of serviceunderthisagreement.Thesehoursinclude
designated managementandsupportto provide oversightand interface withtheCityas die need
arises,and project management hours as required.TheCountywillmeetjointlywith the Cityto
discussdeliveryservicesandanyspecial projects.TheCountywillhavesubjectmatterexperts
attendas required toprovide recommendations of newITsystemsandsolutionstotheCityatno
charge,includedinthepricequoted.The designated primary point of contactwillbethefield
supervisor and directors willserveasCity's escalation contacts.Theywillbethe primary liaisons
monitoringtheservicedeliverylevelstoensureoptimal performance.

2.3.When the County performs services at locations under City control,City agrees to provide to
County,atno charge,a non-hazardous environment for workwith shelter,heat light,and power,
and with full and free access totheIT systems tobe serviced.Citywill provide all information
pertaining tothe hardware and software necessary to enable County to perform its obligations
underthis Agreement.

2.4.TheCityherebyagreesto:
2.4.1.Maintainanyandallelectricalandphysicalenvironmentsinaccordancewiththe
manufacturer's specificationsforitsITsystems.
2.4.2.Provide standard industry precautions (e.g.back-up files)ensuring database
security,per County's recommended backup procedures.
2.4.3.Ensuresystem accessibility,which includes physical accesstobuildingsas well as
remoteelectronicaccess.Remoteaccesscanbestipulatedandscheduledwithcustomer;however,
remote accessisrequiredand will notbesubstitutedwithon-sitevisitsifaccessisnot allowed or
available.
2.4.4.ObtainandprovidetoCountyallsoftware licenses orotherauthorizationnecessary
fortheCountytoperformtheserviceslistedinAppendixA.
2.4.5.ProvideCountywithofficespace within Citypropertyuponthecommencementof
thisAgreement.TheofficespaceprovidedbyCityshouldincludeatelephoneline,network
connection,andwillbelocatedonthesecondfloor of CityHallimmediatelyabuttingthe City's
existingserverroomwhichisapproximately 10X10 andcurrentlybeingoccupiedbythe City's
existingITfirm,toenhanceCountyresponsetime.
2.4.6.Beresponsibleforallrecurringhardwareandsoftwareoperatingmaintenance
expenses.
2.4.7.Purchase and maintain itsowninternetservice provider andrelatedcosts.
2.4.8.Developadetailed continuity of operations plantodealwithbothnaturaland man-
made disaster withthe cooperation of theCounty.
2.4.9.Aspart of itsannualbudgetpreparationprocess,identifymaintenancecostsforthe
on-going system maintenance and present themtotheCountyforreview.The County's
performanceandobligationunderthisAgreementiscontingentuponanannualappropriationand
renewal of allrequiredvendorsystemmaintenanceagreementsbytheCity.Cancellation of
required vendor system maintenance agreements bytheCitywillcauseall associated expenses
associatedwiththesystemrepairsbyvendorforlabor,repairs,replacement,andpatching of such
equipment,as required tobe charged backtotheCity.The Agreement canbe cancelled atany
timebytheCountywithnotifiedinwriting,atleast(120)dayspriortocancellation.Therewillbe
noearlyterminationchargesfromtheCityforcancelingAgreementduringtheyear.
2.5.AllCityservicerequestsshallbemadeassetforthinAppendixAorasmutuallyagreedto
by the Parties.

2.6The County will meetjointlywithCityto discuss delivery services andany ongoing special
projects.The County will have subject matter experts attend as required to provide
recommendations of newITsystemsand solutions totheCity.The supervisor anddirectorwillbe
the primary liaisons monitoring the service delivery levels to ensure optimal performance.

ThecosttotheCityforthe provision of services underthis agreement areassetforthin
AppendixA.TheCountywillprovidetotheCitymonthlyinvoice,andCitywillmakepayments
totheCountywithinthirty(30)daysafterthedate of eachinvoice.Overdueinvoiceswillhear
simple interest attherate often percent(10%)per annum,unlesssuchrate exceeds the maximum
allowedbylaw,inwhichcaseitwillbereducedtothemaximumallowablerate.
Article 4.LIMITATION OF LIABILITY
Notwithstanding any other provision of this Agreement to the contrary,except for personal
injury ordeath,the County's total liability,whether for breach of contract,warranty,
negligence,strict liability in tort,or otherwise,willbe limited tothe direct damages
recoverable under law,but not to exceed the price of twelve (12)months of Basic
Maintenance and Support Service provided under this Agreement ALTHOUGH THE
PARTIES ACKNOWLEDGE THE POSSIBILITY OF SUCH LOSSES OR DAMAGES,
THEY AGREE THAT THE COUNTY WILL NOT BE LIABLE FOR ANY
COMMERCIAL LOSS;INCONVENIENCE;LOSS OF USE,TIME,DATA,GOOD
WILL,REVENUES,PROFITS OR SAVINGS;OR OTHER SPECIAL,INCIDENTAL,
INDIRECT,OR CONSEQUENTIAL DAMAGES IN ANY WAY RELATED TO OR
ARISING FROM THIS AGREEMENT OR THE PERFORMANCE OF SERVICES BY
THE COUNTY PURSUANT TO THIS AGREEMENT.No action for contract breach or
otherwise relating to the transactions contemplated by this Agreement may be brought
more than one(1)year after the accrual of the cause of action,except for money due upon
an open account This limitation of liability will survive die expiration or termination of this

ARTICLE 5.CITY WARRANTIES
TheCityrepresentsand warrants toCountyas follows:
(a)Cityhasthenecessaryrightsandlicenses,consents,permissions,waiversandreleasesto
permitthe County to perform any of theservicesas contemplated herein.
(b)None of theCitysystemsoruses(i)violate,misappropriateorinfringeanyrights of any
thirdparty,(ii)willdefameorinvadetherights of privacyorpublicityanyrights of any
thirdparty,or(iii)aredesignedforuseinanyillegalactivityorpromoteillegalactivities,
including,without limitation,inamannerthatmightbemalicious,illegalorharmfulto
anypersonorentity,or discriminatory basedonrace,sex,religion,nationality,disability,
sexual orientation,orage.
(c)TheCityhastheauthoritytoenterintothisAgreementfortheCountytoperformthese
services.
ARTICLE 6.DEFAULT/TERMINATION
6.1.If theCounty breaches a material obligationunderthis Agreement (unlessCityoraForce
Majeurecausessuchfailureofperformance);CitymayconsidertheCountytobeindefault.If
theCityassertsadefault,itwillgivetheCountywrittenanddetailednotice of thedefault.The
Countywillhavethirty(30)daysthereaftereithertodisputetheassertionorprovideawritten
plantocurethedefaultthatisacceptabletoCity.IftheCountyprovidesacureplan,itwillbegin
implementing thecureplan immediately afterreceiptof City's approval oftheplan.
6.2.IfCitybreachesamaterialobligationunderthisAgreement(unlessCountyoraForce
Majeurecausessuchfailure of performance)orifCityfailstopayanyamountwhendueunder
thisAgreement,indicatesthatitisunabletopayanyamountwhendue,indicatesitisunableto
payitsdebtsgenerallyastheybecomedue,filesavoluntarypetitionunderbankruptcylaw,orfails
tohavedismissedwithinninety(90)daysanyinvoluntarypetitionunderbankruptcylaw,County
mayconsiderCitytobeindefault.IfCountyassertsa default,itwillgiveCitywrittenanddetailed
notice of thedefaultandCustomerwillhavethirty(30)daysthereafterto(i)disputetheassertion,
(ii)cureanymonetarydefault (including interest),or(iii)providea written plan tocurethedefault
thatisacceptabletoCounty.IfCityprovidesacureplan,it will begin implementing thecureplan
immediately after receipt of County's approval of theplan.
6.3.Ifadefaultingpartyfailstocurethedefaultas provided abovein Sections 6.1 or6.2,unless
otherwiseagreedinwriting,the non-defaulting partymayterminateany unfulfilled portionofthis
Agreement andmaypursueany legal or equitable remedies available toitsubjecttothe
provisions of Article4above.

ARTICLE 9:THIRD PARTY PROPRIETARY INFORMATION
During the course of this Agreement,theCountyandtheCitymayhave access toThirdParty
Proprietary Information received by either theCountyortheCity through agreementsand
licenseswiththirdparties.TheCountyandCitymutuallyagreetoinformtheotherparty of the
requirements of suchthirdpartyagreementsandlicensesandshallmaintaintheconfidentiality of
all proprietary information as if such agreements andlicensesappliedtoboththeCountyand
City.Notwithstandingtheforegoing,thepartiesacknowledgeandagreethatasapolitical
subdivision andmunicipal corporation of theState of Florida,theCountyandCityaresubjectto
Florida'sPublicRecordsLaw,Section 119 of theFloridaStatutes.Theparties'compliancewith,
orgoodfaithattempttocomplywith,therequirementsofChapter 119 of FloridaStatuteshallnot
be considered breach of this Agreement.
ARTICLE 10.MIAMI-DADE COUNTY OFFICE OF THE INSPECTOR
GENERAL REVIEW
AccordingtoSection 2-1076 oftheCode of Miami-Dade County,asamendedbyOrdinanceNo.
99-63,Miami-Dade CountyhasestablishedtheOfficeoftheInspectorGeneralwhichmay,ona
randombasis,performauditsonallCountycontracts,throughouttheduration of saidcontracts
includingthisAgreement.TheMiami-DadeCountyInspectorGeneralisauthorizedand
empoweredtoreviewpast,presentandproposedCountycontracts,transactions,accounts,
records and programs.In addition,the Inspector General hasthepowerto subpoena witnesses,
administer oaths,require the production of records and monitor existing projects and programs.
*Monitoring ofan existing project or program may include a report concerning whether the project
ison time,within budget andin conformance with plans,specifications and applicable law.The
Inspector General is empowered to analyze the necessity ofand reasonableness of proposed
change orders tothe Agreement.The Inspector General is empowered toretainthe services of
independent privatesector inspectors general (IPSIG)to audit,investigate,monitor,oversee,
inspect and review operations,activities,performance and procurement process,including butnot
limited to project design,specifications,proposal submittals,activities ofthe City,its officers,
agents and employees,lobbyists,Countystaffand elected officials toensure compliance with
contract specifications andtodetectfraudand corruption.
Upon written notice tothe City from the Inspector General or IPSIG retained bythe Inspector
General,tothe extent provided by and subject to applicable law,the City shall make all requested
records and documents available to the Inspector General or IPSIG for inspection and copying.

The Inspector General and IPSIG shall have the right to inspect and copy all documents and
records inthe City's possession,custody or control which,tothe extent provided by and subject to
applicable law,pertain to performance of the contract,including,but not limited to original
estimate files,change order estimate files,worksheets,proposals and agreements form and which
successful and unsuccessful subcontractors and suppliers,all project-related correspondence,
memoranda,instructions,financial documents,construction documents,proposal and contract
documents,back-chargedocuments,all documents andrecordswhichinvolvecash,tradeor
volume discounts,insurance proceeds,rebates,or dividends received,payroll and personnel
records,andsupportingdocumentationfortheaforesaiddocumentsandrecords.
ARTICLE 11.GOVERNING LAW
This Agreement,including exhibits or appendices,and all matters relating tothis Contract
(whether in contract,statute,tort(suchas negligence),or otherwise)shall be governed by,and
construed in accordance with,the laws of theState of Florida.Venue shallbe Miami-Dade
County.
ARTICLE 12:INDEMNIFICATION
TheCitydoesherebyagreeto indemnify andhold harmless theCountyandits officers,employees,
agentsand instrumentalities,totheextentandwithinthelimitations of Section768.28,Fla.Stat.,
fromanyandallliability,lossesordamages,includingattorneys'feesandcosts of defense,which
theCountyorits officers,employees,agentsor instrumentalities mayincurasaresultof claims,
demands,suits,causes of actionsorproceedingsofanykindornature("Claims")arisingoutof,
relatingtoorresultingfrom,andtotheextentcausedby,City's (oritsemployees,agents,or
subcontractors)failuretoperformasrequiredbythisAgreement..Howevernothinghereinshallbe
deemedtoindemnifytheCountyfromanyClaimarisingout of thenegligentperformanceorfailure
of performance oftheCountyoranyunrelatedthirdparty.
Subjecttothelimitationssetforthin Article 4 of thisAgreement,theCountydoesherebyagreeto
indemnifyandholdharmlesstheCityanditsofficers,employees,agentsandinstrumentalities,to
the extent andwithin the limitations of Section768.28,Fla.Stat.,fromanyandallliability,losses
or damages,including attorneys'feesandcosts of defense,whichtheCountyoritsofficers,
employees,agentsor instrumentalities mayincurasaresult of claims,demands,suits,causes of
actions or proceedings of any kind ornature ("Claims")arising out of,relating toor resulting
from,andtotheextentcausedby,County's (oritsemployees,agents,orsubcontractors)failureto
performasrequiredbythisAgreement.Howevernothinghereinshallbedeemedtoindemnifythe
CityfromanyClaimarisingoutofthenegligentperformanceorfailure of performance of the
Cityoranyunrelatedthirdparty.

ARTICLE 13:TERM OF AGREEMENT
ThisAgreementshallbecomeeffectivethelater of October1,2015oruponsignaturebyall
parties(EffectiveDate)andwillremaininfullforceandeffect until September 30,2018.The
CountyandtheCitymay jointly extendthisAgreementforaone-yeartermbymutual agreement
which must be approved bythe City Commission.Uponanyextension,theCountyandCity
willreviewtheservicesandfeessetforthinAppendixAandmutuallyagreeasto whether any
amendmenttosuchservicesandfeesarenecessary.Notwithstanding theforegoing,this
Agreement mustberatifiedbytheBoard of CountyCommissioners within oneyear of the
Effective Date.Inthe event this Agreement isnot ratified within oneyear of the Effective Date
ortheBoard of County Commissioners disapproves the Agreement,this Agreement shall
terminate immediately.
ARTICLE 14:TERMINATION
Either the City or County may,atanytime,in their sole discretion,withor without cause,
terminatethisAgreementbywrittennoticetotheotherpartyandinsuchevent,theCountyor
Cityshall,onehundredtwenty(120)daysafterreceipt of suchnotice("TerminationDate"),
unless otherwise directed:
i.stopallworkas of the Termination Date;
ii.takesuchactionasmaybenecessaryfortheprotectionandpreservationofthe
other party's materialsandproperty;
iii.cancel orders;
iv.assigntotheCityand deliver toany location designated bytheCityanynon-
cancelable ordersfor Deliverables thatarenotcapableofuseexceptinthe
performance ofthis Agreement andhasbeen specifically developed forthesole
purpose of thisAgreement;and
v.takenoaction which will increase the amounts payable bytheCityunderthis
Agreement.
ARTICLE 15.COMPLIANCE WITH APPLICABLE LAWS
The Parties will atall times comply with all applicable statutes,rules,ordinances,regulations,
licenses and orders relating toor in any way affecting this Agreement andthe performance by
theParties of thisAgreement.

ARTICLE 16.SEVERABILITY
If any provision ofthis Agreement shall be held by a court ofcompetent jurisdiction to be illegal,
invalid or unenforceable,the remaining provisions shall remain in full force and effect.
ARTICLE 17.NATURE OF THE AGREEMENT
a)This Agreement incorporates and includes all prior negotiations,correspondence,
conversations,agreements,and understandings applicable tothe matters contained in this
Agreement.The parties agree that there are no commitments,agreements,or
understandings concerning the subject matter ofthis Agreement thatarenot contained in
this Agreement,and that this Agreement contains the entire agreement between the
parties astoall matters contained herein.Accordingly,itis agreed that no deviation from
the terms hereof shall be predicated upon any prior representations or agreements,
whether oral or written.Itis further agreed that any oral representations or modifications
concerning this Agreement shall be of no force or effect,and that this Agreement may be
modified,altered or amended only bya written amendment duly executed by both parties
heretoortheirauthorized representatives.
b)Neither party shall be deemed in breach hereunder for any cessation,interruption or delay
inthe performance ofits obligations dueto causes beyond its reasonable control,
including,without limitation,earthquake,flood,or other natural disaster,actof God,
labor controversy,civil disturbance,terrorism,war (whether ornot officially declared)or
the inability to obtain sufficient supplies,transportation,or other essential commodity or
service required inthe conduct ofits business,or any change inorthe adoption ofany
law,regulation,judgment or decree (each a "Force Majeure Event");provided that,(a)
theparty relying uponthis Section shall have given theother Party written notice thereof
promptlyand,inanyevent,assoonas reasonably possibleunderthe circumstances;and
(b)shalltakeallsteps reasonably necessary to mitigate the effects ontheotherParty of
the Force Majeure Event upon which such notice is based.This Agreement comprises the
entire agreement between County andCitywith respect toits subject matter,and
supersedes allpriorand contemporaneous proposals,statements,sales materials or
presentations andagreements (oral andwritten).Nooralorwritteninformationoradvice
given by Contractor,its agents or employees shall create a warranty orinanyway
increasethescope of thewarrantiesinthisAgreement.

D.Standards forProvisionofBasic Maintenance and Support Services
1.On-site IT Service Technician:
The County will provide on-site IT service technician to handle all problems reported by
City during regular business hours.The service technician would be vetted bythe city inthe same
mannerascity employees wouldbe.The County will leverage the in-station service technician
whenever possible and incorporate into new projects.The on-site IT service technician is primarily
responsible for daily IT support andinsome cases maynot have the skillset or availability tomeet
the project deliverables successfully.The County may need to dispatch special IT service
technician(s)as required for resolution of reported problem or delivery of approved service asthe
expense ofthe City.The County will provide IT service through a tiered service approach
progressing from 1st Tier Support to 2nd Tier Support to 3rd Tier Support as needed for the price
quoted.
2.SERVICE REQUESTS -
CityshallsubmitallapprovedservicerequesttotheCountyusingtheonlineService
Catalogsystem.TheCityshallbe responsible forall associated expensesandshallprovidethe
County withthelist of authorized users.The County shallsetupeachoftheUserswith accounts for
accesstotheCountyonlineServiceCatalogsystemwith7businessdaysuponreceivinglistof
authorizedUsers.Cityshallrecordtheserviceticketnumberfor reference foranyfuture service.

Agreement withMiami-DadeCounty,for IT maintenance and support services,foranannual
amount of $165,500 andexpiring September 30,2015.ThecurrentInterlocal Agreement
between the CityandMiami-DadeCountyexpires September 30,2014 and the Cityrequires IT
support and maintenance to support critical operations.The Interlocal Agreement maybe
terminated by either partywitha 120-day notice.Acopy of the agreement is attached.
Section 2.Severability.Ifanysection,clause,sentence,orphrase of this resolution is
forany reason held invalidor unconstitutional bya court of competent jurisdiction,this holding
shall not affect the validity of the remaining portions of this resolution.
