A Resolution authorizing the CityManager to enter into a Letter of
Authorization (LOA)with Sprint Solutions to piggyback onto Sprint's multi-year
agreement with the State of Floridafor communications service.
WHEREAS,the City entered intoan agreement withSprintSolutionswitha
governmental agency,Western States Contracting Alliance,(WSCA),Contract No.1907and the
State ofFlorida "Participating State"ContractNo.DMS-12/13-Q09 and,authorized byResolution
No.34-13-13852;and
WHEREAS,the State of Florida issued an Invitation to Negotiate for mobile
communication service thereby creatingthe State's ownContractNo.DMS-10/11-008B for
mobile communications service;and
WHEREAS,agencies have the option of continuing with the Western States Contracting
Alliance,(WSCA),Contract No.1907 and the State ofFlorida "Participating State"Contract No.
DMS-12/13-009 or,move to the State of Florida's Mobile Communication Services Contract No.
DMS-10/11-008B;and
WHEREAS,Sprint Solutions and the State of Florida negotiated lower rates in 2016
under Contract No.DMS-12/11-008B with the City taking advantage of lower rate plans that will
resultinasavingsof $1,000 per month foran approximate annualsavingsof $12,000;and
WHEREAS,Contract No.DMS-12/11-008BwithSprint Solutionsprovides for the useof
the contract by SUNCOM Clients,ofwhichall municipalities are included.
NOW,THEREFORE,BEITRESOLVEDBYTHE MAYOR AND CITY COMMISSION OFTHE
CITYOFSOUTH MIAMI,FLORIDA:
Section 1.TheCity Manager is authorized to enter into a Letter of Authorization with
SprintSolutionsto adopt the State ofFlorida contract no.DMS-10/11-008Bformobile
communicationsservice;including wireless telephone andairservicewiththe City taking
advantageoflowerrateplansthat will resultina savings of$1,000permonthforan
approximateannual savings of$12,000foratermnottoexceed five (5)consecutive years.
Section2.Severability.Ifanysection,clause,sentence,orphraseofthisresolutionis
foranyreason held invalid or unconstitutional by acourtofcompetent jurisdiction,this holding
shallnotaffect the validityof the remainingportionsofthisresolution.
Section 3.EffectiveDate.This resolution shall takeeffect immediately uponpassage
and approval.

Background:
A Resolution authorizing the City Manager to enter into a
Letter of Authorization (LOA)with Sprint Solutions to
piggyback onto Sprint's multi-year agreement with the State of
Florida for communications service.
The Procurement Division continually analyzesexistingprogramsfor
cost reductions andhasidentifieda cost savings opportunity for the
City's wireless telephone andaircard services.
TheCity entered intoa piggyback agreement withSprint Solutions,Inc.,
througha government agency,Western Statescontracting Alliance,
(WSCA),and the Stateof Florida "Participating State"Contract No.
DMS-I2/I3-009 forwirelesstelephoneandaircardservice,authorized
under ResolutionNo.34-13-13852.Inadditionto the WSCA agreement
offered through the Stateof Florida,the StateissuedanInvitationto
Negotiateformobileservicesandsubsequently created State Contract
No.DMS-IO-II-008B.
For those agencieslike South Miami who are contracted under the
WSCA agreement formobileservices,those agencieshavetheoptionof
continuingwithWSCAor,transfer to the StateofFlorida Contract In
2016,SprintandtheStateof Florida negotiated lower rate plans that
makeitadvantageousfortheCityto transfer to the State contract By
moving to the State contract,theCitywillsaveapproximately $1,000 per
monthrealizinganannual savings of $12,000 when compared with
current costs.
The terms andconditionsareessentiallythesame;agenciesmaycancel
service at anytime without penalty,replacement phonesevery 18
months;withtheexceptionofthe billing cycle.TheWSCA contract
invoices one month ahead whereas the State contract invoices in arrears;
thereby havingapositiveeffectoncashflow.
There areno reported serviceissues or significant interruptions to the
Sprintmobile telephone or aircardservices.

PIGGYBACK CONTRACT FOR MOBILE COMUNICATION SERVICES
THIS AGREEMENT made and entered into this^ydav of May.2016 byand between
theCityofSouthMiami,aFlorida municipal CorporationbyandthroughitsCityManager
(hereinafterreferredtoas"City")andSprintSolutions,Inc,(hereinafterreferredtoas
"Contractor").
WITNESSETH:
WHEREAS,the "State of Florida"solicited bids,pursuantto ITN #DMS-10/11-008,
for Mobile Communication Services;and
WHEREAS,the "State of Florida,"aftercompletingacompetitivebiddingprocess,
awarded a contract to Contractor,and
WHEREAS,theCity of SouthMiamidesirestoutilizethe "State of Florida"
Contract and pursuant toauthority of theCity of South Miami's Charter.
NOW,THEREFORE,theCityandtheContractor,eachthroughtheir authorized
representative/official,agreeasfollows:
1.Contractor currently offersmobilecommunicationservicesand wireless
productstotheState of Florida,Department of ManagementServices("State of Florida")
through the Mobile Communication Services Contract No.DMS-10/11-008B dated
January 13,2012 asamended(theContractand all existingandfutureAmendmentsare
collectively,the "State Contact").ThepartiesagreethattheStateContractisfully
incorporatedas Attachment A bythisreference.TheCitycertifiesthatitisaneligible
purchaserundertheStateContract.TheCitydesirestoenterintothisAgreement,underthe
samepricing,termsand conditions assetforthintheStateContract.
2.TheCityhasreviewedtheStateContractandagreestothetermsand
conditionstobeapplicabletoapurchaseordertobe issued bytheCityandfurtheragreesto
thefairand reasonableness ofthe pricing.Contractor hereby agreesto provide suchgoods
and/or services,pursuanttothe City's purchase order made duringthetermofthis Agreement
underthesame price(s),termsand conditions asfoundinState Contract;provided thatthe
termsandconditionsinany City-generated purchaseorder will havenoforceoreffectother
thanto denote quantity,thegoodsor servicespurchased or leased,delivery destinations,
requested delivery datesandanyother information required bythis Agreement.
3.AH references in the State Contract between "State of Florida,"and
Contractor,shall be assumed to pertain to,andare binding upon Contractor andtheCityof
South Miami.The term ofthis Agreement,including all extensions authorized bythe State
Contract shall not exceed five consecutive years.Inno event maythe term ofthis Agreement
extend beyond the expiration or termination oftheStateContract Notwithstanding anything
contained inthe StateContractNo.DMS-10/11-008 tothe contrary,this Agreement shall
be governed bythe laws oftheStateof Florida and venue forall dispute resolutions or
litigationshallbein Miami-Dade County,Florida.

4.Scope of GoodsandServices.Thescope of goodsand services aresetforth
inthe attached Attachment A.The Contractor has agreed to deliver,and install ina
workman like manner and in accordance with all state,county and City laws,at the locations
designated bytheCity,allofthegoodsand services reflected in Attachment A within N/A
days from thedateofthe execution ofthis Agreement.The Contractor shall obtain ail
permits required for the installation but asto permits fees charged by the City,said fees shall
be waived.
5.ContractPrice.The contract priceforthegoodand services isset forth in
theattached Attachment A.IfnototherwisesetforthintheState Contract,theContractor
shall be paid upon delivery ofallthe goods,the completion ofallthe services andafter final
inspection bythe City that approves of the goods delivered and the work performed.
6.GrantFunding:[Intentionally Omitted]
7.PublicRecords:Contractor andallofits subcontractors are required to
comply withthe public records law (s.l 19.0701)while providing goods and/or services on
behalf ofthe CITY and the Contractor,under such conditions,shall incorporate language
generally consistent with this paragraph inallofits subcontracts forthis Agreement.
8.Waiver JuryTrial:Cityand Contractor knowingly,irrevocably voluntarily
and intentionally waive anyrighteither may have toa trial byjuryin State or Federal Court
proceedings in respect toany action,proceeding,lawsuit or counterclaim arising outofthis
Agreement orthe performance of theWorkthereunder.
9.Validity of Executed Copies:ThisAgreementmaybeexecutedinseveral
counterparts,each of whichmaybe construed asan original.
10.Attorneys'Fees and Costs:Intheevent of anylitigationbetweentheparties
arisingout of orrelatinginanywaytothis Agreement orabreach thereof,eachpartyshall
bearitsowncostsand legal fees.Nothing contained herein shall prevent or prohibit theright
tobe indemnified foranyattorneyfees incurred inthedefenseofanactionbya person or
entitywhoisnotapartytothis Agreement.
11.Severability:Ifanytermorprovision of thisAgreementortheapplication
thereoftoanypersonorcircumstanceshall,toanyextent,beinvalidorunenforceable,the
remainder of this Agreement,orthe application ofsuchtermor provision to persons or
circumstances other than those towhichitisheldinvalidor unenforceable,shallnotbe
affectedtherebyandeachtermandprovision ofthisAgreementshallbevalidand
enforceabletothefullestextentpermittedbylaw.
12.Order of Precedence:Intheevent of aninconsistencyorconflictbetween
oramongtheprovisions of thisAgreementandtheStateContract,theorder of precedence
shallbethis Agreement and then theState Contract.
IN WITNESS WHEREOF,andasthedulyauthorizedact of theparties,theundersigned
representatives of thepartiesheretohavecausedthisinstrumenttobesignedintheirrespective
namesbytheirproperofficialsonorbeforethedayandyearfirstabovewritten.

MOBILE COMMUNICATION SERVICES AGREEMENT
TfflS MOBILECOMMUNICATIONSERVICESAGREEMENT("Agreement"),effectiveas of thelast
datesignedbelow(the"EffectiveDate"),is between theFlorida Department of Management Services,a
Stateagencywithitsprincipalplace of business at4050 Esplanade Way,Suite200,Tallahassee,FL
32399-0950 (the "Department"or "Customer"),andSprint Solutions,Inc.,a Delaware corporation with
its principal placeof business at 12502 Sunrise.Valley Drive,Reston,VA20196 ("Service Provider"or
"Sprint").
WHEREAS,ServiceProviderprovideswirelessvoiceanddataservicesincertainareas of Florida;and
WHEREAS,theDepartmentissuedInvitationtoNegotiate DMS-10/11-008 ("ITN"),onSeptember2,
2010,inordertoselectacompanytoprovidesuchservices;and
WHEREAS,pursuant totheITN,the Department has awarded a contract toServiceProviderbasedonthe
terms and conditions set forth herein.
NOWTHEREFORE,inconsideration of themutualcovenantsandthepromisescontainedherein,the
partiesagreeasfollows:
Contract 1.0 -definitions
The following terms when used herein shallhavethe following meanings:
1.01 Active Unit or line
Means anactivepiece of wirelessProduct.
1.02 Business Day
MeansMondaythroughFriday,excludingStateobservedholidays.
1.03 Business Hours
Means9:00A.M.to5:00P.M.ESTonanyBusinessDayattheofficeresponsibleforhandling
the pertinent interaction between Service Provider andthe Department.
1.04 Business Plans
Meanswirelessserviceplansforbusinesscustomers.CertainBusinessPlanoptionsarepricedin
the Agreement orEndUsermayselect from anyother available Business Plans,subjecttothe
Customer's writtenapproval of thetermsandpricingofthatBusinessPlan.
1.05 Corporate-Liable Active Unit or Customer Line
MeansanActiveUnit(a)activatedbyEndUserforEnd User's enduse,(b)enrolledina
Business Plan,and(c)forwhichDepartmentisfinanciallyliable.
1.06 Department
MeanstheFloridaDepartment of ManagementServices,actingthroughitsDivision of
Telecommunications ("DivTel").TheDepartmentisthecustomerofrecordunderthis
Agreement.
1.07 EndUserfsl
Meansthe individuals usingthewireless telecommunications servicessetforthinExhibit1-
TechnicalRequirements.

1.08 Events of Default
Means(i)the failure ofeitherpartytopayanysumowedtotheotherhereunderatthetimesuch
amount comesdue,(ii)the failure of eitherpartytoperformor observe anyterm,condition,or
covenant tobe performed byit under this Agreement,or(iii)an unauthorized assignment of this
Agreement.
1.09 ITN
MeanstheDepartment'sInvitationtoNegotiateidentifiedintherecitalsabove.
1.10 Location Based Service
MeansanyServiceorapplicationthatuses,accesses,tracksordisclosesthelocation of anactive
unit.
1.11 Nationwide Sprint Network
Means the Sprint-owned or controlled CDMA/1 xrtt wireless network,including network owned
or controlled bySprintServiceProvider affiliates,usedbySprintto provide Sprint Services.
1.12 Nextel National Network
Meansthe Sprint-owned or controlled iDEN wireless network,including networkownedor
controlled byNextelaffiliatesor partners,usedbySprintto provide Nextel Services.
1.13 Nextel Services
MeanswirelessServicesprovidedbySprintontheNextelNationalNetworkusingiDEN
technology.
1.14 Premium Services
MeansapproveddownloadsandapplicationsavailablethroughwirelessdataServicesthatare
aboveandbeyondbasicdatausage.
1.15 Products
Means produces)includes equipment,hardware,software,cablingorothermaterialssoldto
DepartmentbyorthroughServiceProviderasaseparateitemfrom,orbundledwith,aService.
1.16 Prohibited Data Uses
MeansdataservicesmaynotbeusedbyaWireless Data ConnectionDeviceinexcess of that
providedintheplansinExhibit3.ForadditionalProhibitedDataUsespleaseseeSection10.
1.17,Roaming
Meansvoiceordataserviceprovidedonanotherwirelesscarrier'snetworkthroughagreements
establishedbyServiceProvider.
1.18 Domestic Roaming
MeansRoamingonnetworkswithintheUnitedStates,PuertoRicoandU.S.VirginIslandswhere
ServiceProviderhasaroamingrelationshipwiththecarrier.GeographicRoaminglocationsare
subject tochangeand provided at:htto ://coverage.sprintpcs.com
1.19 Service(s>
MeanstheservicesprovidedbyServiceProvidertotheDepartmentunderthisAgreement,
including:(i)thewirelesstelecommunicationsservicesspecifiedinExhibit1(Technical
Requirements),(ii)theoperationalservicesspecifiedinExhibit2(BusinessProcessand
ContractNo.:DMS 10/11-008B Page 7 of 32
Operations),and(iii)suchother services not specifically described inthis Agreement butwhich
areinherentinthe provisioning of suchservices.
1.20 Service Account
Meansthe unique account through which services are offered andchargescanbeincurred
(withoutregardtowhopays).Service Accounts areoften associated withasingleuserandhave
one-to-one relationships withMobile Telephone Numbers,Electronic Serial Numbers,Subscriber
IdentityModules,MobileIdentificationNumbers and/or deviceserialnumber.
1.21 Service Provider
Meansthewirelesstelecommunicationscompanyidentifiedinthefirstparagraph of this
Agreement.
1.22 Sprint Networks
MeansSprintNetworks including the Nationwide Sprint Network,theSprint3G Network,and
the Nextel National Network.
1.23 Sprint 3G Network
MeanstheSprint-ownedorcontrolled CDMA/EV-DO wireless network,including network
ownedorcontrolledbySprintServiceProvideraffiliates,usedbyServiceProvidertoprovide
Sprint Services.
1.24 Sprint 4G Network
MeansthewidebandOFDMtechnology,includingWiMax,thatServiceProviderownsorresells,
includingnetworkcomponentsownedorcontrolledbyServiceProvideraffiliatesorpartners.
L25 Sprint 4G Services
MeansfunctionalityprovidedbyServiceProviderthateitherprovidesdatatransportontheSprint
4GNetworkorallowsfortheuse of ApplicationsrelatedtotheSprint4GNetwork.
1.26 Sprint Services
MeanswirelessServicesprovidedbyServiceProviderandauthorizedSprintService Provider
AffiliatesontheNationwideSprintNetworkorSprint3GNetworkusingCDMAtechnology.
1.27 Sprint Service Provider Affiliate
MeansanentitythathasenteredintoanarrangementwithService Provider toconstructwireless
networkcoverage,performoperationalfunctionsindefinedgeographicareas,andprovidemobile
wirelesstelecommunicationsproductsandservicesunderthe "Sprint"servicemarksoranyother
servicemarks subsequently usedbyService Provider."Sprint ServiceProviderAffiliateMarket"
meanstheregions of theUnitedStatescoveredbySprintServiceProviderAffiliates.
1.28 State
Means the State of Florida.
1.29 SUNCOM Clients
Meanstheentityorentitiesacquiringthewirelesstelecommunicationsservicessetforthin
Exhibit1from die Department.SUNCOMClientsmayincludeStateagencies,thelegislative
andjudicialbranches,political subdivisions,counties,cities,municipalities,localschoolboards,
communitycolleges,universities,educational institutions,certainprivatenon-profit K-12
schools,libraries,qualified commissions andboards,watermanagementdistricts,certain
qualifyingnon-profit corporations,andotherqualifyingpublicagenciesor authorities.

130 Wireless Data Connection Device
Means a mobile broadband card,USB modem,embedded modem,oraphone subscribed toa
phone as modem Business Plan.
L31 Wireless Data Session
MeansaSprintNetworkconnectionattemptmadebyauserthatutilizeswirelessdataservices
andis based upon the assignment ofa dedicated IP address tothe requesting access terminal (e.g.,
the handset,aircard,orother device).A Wireless Data Session begins whentheuser initiates a
SprintNetworkconnectionby attempting toaccesstheSprintNetworkandendswhenthe
connection is blocked or terminated.
1.32 Wireless Services
MeansNextelServices,Sprint Services,andSprint4G Services.
Contract 2.0 -term ofagreement
2.01 Initial Term
Theinitialterm of thisAgreementshallcommenceontheEffectiveDate.Assuchthis
Agreementwillexpirefive(5)yearsafter die EffectiveDate,unlesssoonerterminatedin
accordancewiththeprovisionsherein.
2.02 Renewal Term
Uponmutualagreement,thepartiesmayrenewtheAgreement,inwholeorin part,forrenewal
termsuptofive(5)years..EachrenewalshallspecifytherenewalpriceassetforthintheITN
responseasreflectedinSection4below.Eachrenewalmustbeinwritingandsignedbyboth
parties,andiscontingentupon satisfactoiy performance evaluations andsubjectto availability of
funds.
2.03 Termination Bv the Department for Convenience
TheDepartmentmayterminatethisAgreementforconvenienceupononehundredeighty(180)
daysadvancewrittennoticetoServiceProviderwhentheDepartmentdeterminesinitssole
discretion that itis in the State's interest todoso.In the event of a termination for convenience,
ServiceProvidershallnotbeentitledtorecoveranycancellationchargesorlostprofits.
2.04 Termination Bv Service Provider for Unforeseen Circnmstanees
TheServiceProvidermaydeemitnecessaryfromtimetotimetochangeorupdatecertain
proceduressetforthinthisAgreementinordertoaccountforunforeseencircumstancesorto
moreefficientlyconductitsbusiness.If theDepartmentunreasonablyrejectssuchchangeor
update,thenServiceProvidermayterminatethisAgreementupononehundredeighty (180)days'
priorwrittennotice.Intheevent of aterminationforunforeseencircumstances,ServiceProvider
shallnotbeentitledtorecoveranycancellationchargesorlostprofits.
2.05 Termination for Cause
ThisAgreementmaybeterminateduponanEvent of Defaultbyeitherparty if suchEvent of
Defaultisnotcuredbythedefaultingpartywithinthirty(30)days of receipt of writtennotice of
theEvent of Default The non-defaulting partyshallhavetheimmediate right,withoutfurther
noticeorproceedings,topursuesuchremediesandotheractionsasthatpartymaydeem
appropriate.

2.06 Transition
Service Provider willhaveaperiod of eight(8)monthsfromtheEffectiveDate of this
Agreement,inaccordancewithSection5.02 of theITN,tocompletealltransitionactivitiesfor
stateagenciesasdescribedin Exhibit 2,BusinessProcess&Operations,andto commence
providingtheservicesasspecifiedherein(the"Transition Period").ServiceProviderwillmake
commerciallyreasonableeffortstotransitionallSUNCOMClientsandlocalgovernment
agenciescurrentlypurchasingunderAlternativeSourceContractNo.:1523-ACS within the
TransitionPeriod.ThepartiesacknowledgethattheSUNCOMClientsandlocal government
agenciesmaynotbetransitionbytheend oftheTransition Period.
Itisthedesire of thepartiesthat,for only the Transition Period,theoperationaltermsand
conditionscontainedintheearlieragreementsbetweenthepartiesforWirelessDataServices,
ContractNo.:DMS-0304-063 (MA4440)and Alternative Source Contract No.:1523-ACS,will
applytothis Agreement Thoseoperationstermsandconditionsare hereby incorporatedintothis
Agreement as Exhibit 6.
Uponanytermination of thisAgreement,ServiceProvidershallcooperateanduse reasonable
effortsto(i)assistthe Department andSUNCOMClientstominimizeanyimpactsresultingfrom
theterminationandanytransitiontoanewvendor;and(ii)offertheServicesdirectlytoany
SUNCOM ClientorEndUserwho meets ServiceProvider'screditrequirementsand who enters
into a contract for service with Service Provider.
2.07 Contract Documents
ThisAgreement,togetherwiththefollowingdocuments,setforththeentireunderstanding of the
parties with respecttothesubjectmatter.Incase of conflict,the terms of the Agreement shall
control.If aconflictexistsamongany ofthesedocuments,thedocumentsshallhavepriorityin
the order listed:
A.Any Amendments tothe Agreement
B.Agreement and Exhibits 1-7.
C ITN No.:DMS-10/11-008,as amended.
Contract 3.0-provision ofservice
3.01 Generally
Service Provider agrees to provide the Services in accordance withthe specifications and
requirementssetforthinthisAgreement.
3.02 Reporting Requirements
Service Provider shall provide monitoring tools with reporting functionality,if available,tothe
Department which monitors the defined SLA service parameters in accordance withExhibit5.
The reports referenced inExhibit1,Exhibit2,and Exhibit5(SLA Matrix)shall be provided by
theService Provider.TheService Provider shallsubmit reports in electronic format tothe
Department.The reports shall beduewithinatimeframemutually agreed uponbetweenthe
parties ornolaterthan30days following the request fromthe Department.Any additional ad
hoc reports requested bythe Department shall be provided bytheService Provider upon mutual
agreement of the format andwithina timeframe mutually agreed uponbetweenthe parties.If

these reports arenot submitted inatimely manner,the Department shallseekany remedies itmay
have under Section 14.
3.03 Discounts.
See Exhibit7 for details regarding discounts available to SUNCOM Clients and employees.
Other terms and conditions ofthis Agreement donot apply to Exhibit7.
3.04 Customer Care Services
ServiceProvider's enterprise customercarehelpdesk resources shallbe available toEndUsers
and SUNCOM Clientsfor resolution ofmost Service-related issues.In addition,the Department
and SUNCOM Clients will haveaccesstoahelpdeskassetforthinSection6 below.
3.05 No Privity With End Users or SUNCOM Clients
Unless otherwise providedinthis Agreement,Service Provider shallnotbe contractually
obligated tothe End Users or SUNCOM ClientsfortheServiceandshallnotbe authorized to
sendanybillsfortheServicetosuchEndUsersor SUNCOM Clients.
3.06 Right to Deactivation ofUnused Accounts
Theparties will cooperate toensure that EndUseraccountsdonotliedormantforextended
periods of time(sixmonthsormore).ServiceProvidershallnotdeactivatesuchaccountsuntil
theDepartmenthasbeengivenatleastsixty(60)daysto investigate andnotifythe SUNCOM
ClientIf circumstances warrant,the Department may require Service Provider to postpone the
planneddeactivationforsomeidentifiedperiod oftime.
3.07 Location Based Services
If EndUserdownloadsoraccessesLocationBasedServicesthroughServiceProviderwireless
ProductsandServices,CustomeragreesthattheLocationBasedServiceprovidermayaccess,use
anddiscloseasnecessarythegeographiclocation of EndUser'sProduct(s)pursuanttotheterms
oftheLocationBasedServicepurchasedbyCustomer.Customermustclearly,conspicuouslyand
regularlynotifyall of itsEndUsersusingCorporate-LiableActiveUnitsuponwhichEndUser
hasenabled Location Based Servicesthatend-userlocation information maybe accessed,usedor
disclosed in connection with the Location Based Service.ONLY TO THE EXTENT ALLOWED
BY LAW,CUSTOMER WILL RELEASE SERVICE PROVIDER FROM ANY AND ALL
THIRD PARTY CLAIMS,LOSSES,EXPENSES,DEMANDS,ACTIONS OR CAUSES OF
ACTION ARISING OUT OF END USER'S USE OF LOCATION BASED SERVICES AND
CUSTOMER'S FAILURE TO NOTIFY CORPORATE-LIABLE END USERS OF END
USER'S ELECTION TO USE ANY LOCATION BASED SERVICE OR LOCATION
INFORMATION ON CORPORATE-LIABLE ACTIVE UNITS.Location Based Services are
notavailableontheSprint4GNetwork.
3.08 Premium Services Policies
Incertaininstances,subjecttothetermsofthecontentpurchased,ServiceProvidermaydelete
Premiumandnon-PremiumitemsdownloadedtostorageareascontrolledbyServiceProvider.
3.09 Telephone Numbers and Portability
ServiceProvidermaychangethetelephonenumberassignedtoeachCorporate-LiableActive
Unitwithreasonablepriornoticefor commercial reasons,suchasfraudprevention,regulatory
requirementsandareacodechanges.Customerdoesnothaveanyright of possessionortitleto
anynumber,e-mailaddressorotheridentifier Service Providermayassignto Customer's
wirelessProductsoraccounts.EndUsermaynotmodify,changeortransferany of these
identifiersexceptasServiceProviderallowsorasallowedforbylaw.ServiceProviderwill

carrier.Beforea telephone number previously usedwithanothercarriercanbeusedontheSprint
Networks,EndUsermustprovide information abouttheaccountwiththeothercarrier,suchas
theaccountnumber,taxidentificationnumber,telephonenumber,5digitzipcodeandpassword,
if applicable,andpurchasewirelessProductsfromServiceProvider.Untiltheport from the
previouscarrierissuccessful,theServiceProviderwirelessProductwillonlybeabletocall 911
andSprintCustomerCare.Oncetheportiscompleted,EndUser'solddevicewillnolonger
work.However,duetosystem limitations andissues outside ServiceProvider'scontrol,some
requeststoportatelephonenumberfromanothercarriertoService Provider,orfromService
Providertoanothercarrier,maynotbesuccessful.If atransfertoServiceProviderisnot
successful,theEndUsermayreturnanyServiceProviderwirelessProductswithinthereturn
periodtoreceiveacredit,andCustomerwillloseorrepaytoServiceProvideranydiscountsor
servicecreditsprovidedwithareturnedServiceProviderwirelessProductorcancelledNextel
ServiceorSprintService.If EndUserdoesnotreturnServiceProviderwirelessProductswithin
thereturnperiodasdefinedin Exhibit 2,Section2.2 of theWirelessProductAnnex,the
Department shallbe responsible forthesuggestedretailprice oftheProduct.
3.10 TTY Access
TTY-capable wirelessProducts(alsoknownasTDDorTextTelephone)maynotfunction
effectivelywhenattempting 911 callsdueto die limitations of theansweringagency.
3.11 911 or Other Emergency Calls
For 911 calls,anemergency responder's abilitytolocateEndUserthroughwireless Products and
Servicesmaybeaffectedbyvariousfactors,includingbutnotlimitedto,thetype of wireless
Productused,lack of aGPS-enableddevice,geographyorotherfactorssuchastheporting
process.Insomeareasanddependingonthe equipment deployedbythelocalpublicsafety
answeringpoint("PSAP"),911 callsmayberoutedtoastatepatroldispatcherinsteadofthelocal
PSAP.Pursuantto Section 365.172(11)of the Florida Statutes,Service Provider isnotliablefor
failures ordelaysin connecting tothe appropriate emergency services provider.Enhanced 911
("E911")servicethatiscompatiblewithFCCtechnicalrequirementsisnotavailableinallareas
duetoPSAPequipmentcapabilities.CustomerconsentstoService Provider's disclosure of
Customerinformationtogovernmentalandpublicsafetyauthoritiesinresponsetoemergencies.
This information mayinclude,butisnotlimitedto,Customer's name,address,number,andthe
location of theuser of theServiceatthetimeofcall.ServiceProvider's equipment andservices
mustallowEndUsersinFloridatodial *347 (FloridaHighwayPatrol)atnocharge.
3.12 Use of Sprint Wireless Data Services
Customer acknowledges thatuseofcertain wireless dataServices,including some messaging
services,mayresultinthe disclosure tothirdpartiesoftheuser'semailaddressandother
information inconnectionwiththeuser's Internet usage.Asaresult,EndUsermayreceive
advertising,warnings,alertsandother messages,includingbroadcastmessages.ServiceProvider
doesnot disclose suchuser information tothird parties.Such information is collected bythethird
partiesbasedupontheEndUser'sdata usage.
3.13 Operational and User Guides
As provided in Exhibit 5,theparties agree tobegin developing an operational guidewithin90
daysafter contract execution.The parties will mutually agreeonthecontentofthe operational
guide.The Department is responsible for developing the.userguideusing information derived
from the operational guide.The Service Provider agrees to cooperate withthe Department to

develop content forthe user guides.The Service Provider shall be permitted toreviewand
providecommenttotheuserguidepriorto submission totheEndUsers.
3.14 Compatibility ofWireless Products and Services
Wireless Products maynotbe compatible with services provided by other wireless carriers,
exceptforservicesprovidedoverSprintService Provider Affiliatenetworksorinconnection
with Roaming agreements.Service Provider does not guarantee current or future compatibility of
wireless Products or Services with third party products or Applications.Apparent compatibility or
notice from Service Provider of compatibility isnota Service Provider endorsement of athird
partyproductorApplication.UnlessotherwisestatedintheAgreement,Sprintmay,initssole
discretion and atanytime,disable or discontinue useofany third party product or Application
with the wireless Products or Services.
Contract 4.0-pricing
4.01 Rates
The full andcompletepricesfortheServicesaresetforthon Exhibit 3,attached hereto.Service
Provider maymodifytermsand features of a nationally available wireless Business Plan that are
not set forth in Exhibit 3 without written notice to Customer.
4.02 Rate Increases
Theratessetforthon Exhibit 3maynotincreasepriorto January 1,2014.Beginning Januaiy 1,
2014,Service Provider may increase the pricing subjecttothefollowing limitations:(i)the
Departmentmustbe given atleastonehundredeighty(180)daysadvancewrittennotice of the
exactamount of thepriceincrease;(ii)nomorethanonepriceincreasemaybemadeinany
twelve (12)month period;and(iii)thepriceincreasemaynot exceed die mostrecentannual
percentageincreaseinConsumerPriceIndex (CPI-W^forUrbanWage Earners andClerical
Workers.All Items,SouthRegion(usingthemostrecenttwelve months of LaborDepartment
statisticsavailableatthetimethenoticewasgiven).No retroactive priceincreasesareallowed.
4.03 International Dialing Charges
Unlessotherwiseinstructedbythe Department,EndUsersshallnothavetheabilitytomakeany
callsthatwillresultin international long distance charges.If international callingis enabled,
ServiceProvider may reasonablyrestrictavailabilityandmaychargetheDepartmentatService
Provider's standardinternationallongdistancerates.
4.04 Metering ofVoice Usage
Thelength of callsis generally measuredfromthetimetheEndUserpressesthe "SEND"key
andendswhenthephonedevicedisconnectsfromService Provider's facilities orwhentheEnd
Userpressesthe "END"key if sooner.Thereisnocallusageforoutgoingvoicecallsthat reach
abusysignal,adisconnectednumberorthatringcontinuouslywithoutmakingconnectiontothe
SprintNetworks.Thereisnocallusagefor incoming voice calls thatEndUserdoesnot answer or
that enter End User's voicemail.
4.04.1 Nextel Direct Connect Transmissions.
ANextelDirectConnect transmission begins approximately whenEndUser presses the
buttontoinitiatea transmission andends approximately 6secondsaftercompletion of a
communication(i.e.,whenEndUseror another participant releasesthebutton)towhich
no participant responds within6 seconds.If a participant responds within6 seconds,the
responseis calculated aspart of theinitial transmission.EndUserinitiatesanew

transmission if EndUser responds morethan6 seconds after another participant
completes a communication.Airtime charges apply for the entire period oftimethe
transmission is connected tothe Sprint Networks.Service Provider willchargea
minimum of 6 seconds forall Nextel Direct Connect transmissions.After 6 seconds,
NextelDirectConnect airtime ona Sprint Product is rounded uptothenextsecond for
each transmission.
4.05 Metering of Data Usage
DatausageiscalculatedfromthetimeEndUser'sdevicemakescontactwiththeSprintNetworks
or Sprint 4GNetworkuntilthe respective network connection isbrokenor dropped,whetheror
not die transmission of dataisacompleteendtoend transaction.Datausagemayoccuronany
device capable of data transmission,including handheld devicesand devices attached toor
embeddedincomputersandincludessendingandreceivinge-mail,browsingthe Internet,
accessing certain applications,all complete,partial or interrupted uploadsor downloads andre
sent data,and unsuccessfulattemptstoreachwebsitesandother applications andServices,
includingthoseresultingfrom dropped network connections.Datausageis rounded uptothenext
whole kilobyte.Rounding occursattheend of eachseparatesession.Rounding of datausage
chargesoccursattheend of eachbillingperiodandthetotal kilobyte chargesare rounded upto
the next cent.Additional informationonthemetering of DataUsageisincludedin Exhibit 2.
4.06 Minimum Monthly Fee (MMF)
Every SUNCOM Client's Service Account willincura minimum monthly charge(assetin
Exhibit 3-Price)unlesstheService Account's utilizationcostexceedsthe Minimum Monthly
Fee's amount
4.07 Roaming Charges
In-stateandout of statevoiceratesmaybesetoutinEndUser'spricingattachmentin Exhibit 3.
Domestic Roaming fordatais included in Service Provider Business Plans.International
Roaming rates forvoiceand data willvaryand are accessible through
www.sprintcom/internationalorby contacting EndUser'sService Provider Account
Representative.There maybe delays in invoicing Roaming charges due tothe practices ofthe
Roaming service provider.Business Plans that include Roaming ('"Roaming Included Plans")are
not available with single-band phones orto users who reside orwhose primary useis outside an
area covered bythe Nationwide Sprint Network.Service Provider maylimitor terminate Service
if a Corporate-Liable Active Unit user moves outside ofthe area covered by the Nationwide
Sprint Network.Service Provider may,deny,terminate,modify,disconnect or suspend Service
toa Corporate-Liable ActiveUnit if Roaming inagivenmonth exceeds:(1)voice:800 minutes
ora majority of minutes,or(2)data:300 megabytes ora majority of kilobytes.International
calling,including in Canada,Mexico,and Guam,isnot included in Roaming Included Plans.
Prior to an adverse action being taken against an End User,Service Provider shall notify the
Department by providing thirty (30)days prior written notification of any alleged infraction by an
End User ofthe Services.
4.08 Special Services
Asset forth inExhibit3,End User also may incur charges for special Services such as directory
assistance,operator-assisted calls or call-forwarding,depending onEnd User's Business Plan.
4.09 Reactivation Fee
If Service Provider terminates Service toa Corporate-Liable Active Unit as permitted under the
Agreement or requested by End User,Service Provider may require payment of any outstanding
account balance before Service Provider reactivates Service to the affected Active Unit and Sprint

may charge Department a reactivation charge.If Department is charged a reactivation feeona
Corporate-Liable Active Unit,Service Provider agrees to waive the reactivation fee through die
application ofa local market discretionary credit applied tothe Department's invoice.
4.10 Monthly Recurring Charges
Service Provider will bill Department for Wireless Services based onthe Monthly Recurring
Charges ("MRC")for the selected Business Plan.Customer will incur overage charges if the
minutesor megabytes usedexceedthe minutes or megabytes allowed under the selected Business
Plan.
Contract 5.0-equipment
5.01 Responsibility for Obtaining Equipment
SUNCOM Clients andEnd Users shall be responsible for obtaining the equipment necessary to
usetheServicesfromService Provider orthird parties.The Department mayimpose reasonable
policiesrespectingsuch equipment
5.02 Network Compatibility
The parties will cooperate toensurethatanyequipmentusedbyEndUsersinconnectionwith
Servicemeetsindustry standards andanyother reasonable requirements of Service Provider.
ServiceProvidermay deactivate servicetoanyequipmentusedbyanEndUserthatdoesnot
meet suchrequirementsorwhichisotherwisecausingnetworkinterference.Totheextent
practicable,ServiceProviderwilladvisethe Department andtheSUNCOMClientsinadvance of
such deactivations.
5.03 Equipment Sales bv Service Provider
Pursuanttothis Agreement,Service Provider agreestoofferequipment(includingaccessories)to
SUNCOMClientsonthefollowing basis:
(i)Comparable Termsand Prices:The equipment models,standard prices and standard
terms of saleshallbecomparabletothoseofferedtoServiceProvider'slargestcustomers
in Florida.Service Provider willofferhighlycompetitivepricinganddiscountsforits
servicesinamannerinwhichthe prices Service Provider charges itscustomersforthe
sameservicesarenot unreasonably dissimilar forsimilarlysituatedcustomerswithlike
traffic patterns,volumes,commitment levels and thelike.However,this section shall not
inanywaybe construed as providing the Department most favored customer pricing asit
is against Service Provider's corporate policy asacommon carrier.Service Provider is
prohibited bylaw from unreasonably discriminating between similarly situated
customers.
(ii)Minimum Discounts:Pricing shall reflect,ata minimum,the discounts set forth on
Exhibit 3(Pricingfor Equipment).
(iii)Promotions:Service Provider mayoffer equipment sales promotions to SUNCOM
Clientswiththe Department's consent.If requested,the Department may(butisnot
required to)assist in publishing these promotions.Ifthe Department purchases a
promotional wireless Product or Service,the promotional termswill control overany
conflicting termsinthe Agreement for that wireless Product or Service untilthe
promotion expires or Customer selects a different Business Plan for the Corporate-Liable
Active Unitenrolledinthepromotion.

(iv)Ordering Process:Service Provider may require SUNCOM Clients to follow reasonable
procedures for ordering,receiving and paying forthe equipment (e.g.,a requirement that
all orders be placed through a designated account executive or toll-free numberHn—
accordance with Exhibit 2.Service Provider willnotreceive orders directly from anEnd
User.
(v)Warranties:ServiceProvideragreestopassthroughtoSUNCOMClientsanyandall
Equipment vendor warranties (including battery)tothefullestextentallowedunder
applicable law.Service Providerdoesnot manufacture Productsand,exceptas provided
inthisAgreement,isnot responsible fortheactsoromissions of theoriginalequipment
manufacturer.
(vi)AmericanswithDisabilitiesAct:ServiceProvidershallidentifyanyproductsthatmay
beusedoradaptedforusebyvisually,hearing,orotherphysicallyimpairedindividuals.
(vii)Titleto Equipment ExcludingequipmentsoldtoCustomerunderthisAgreement
Service Provider oritssuppliersretaintitleandpropertyrightstoServiceProvider-
provided equipment.Upon terminationor expiration of the Agreement ortheapplicable
Service,Customer willsurrenderandimmediatelyreturntheService Provider-provided
softwaretoServiceProvider,providedthatCustomerisnotrequiredtoreturnthe
softwareinstalledinProductssoldtoCustomerunderthisAgreement.
(viii)U.S.Export Control:The Department is solely responsible for complying with U.S.
Export Controllawsand regulations andtheimportlawsand regulations of foreign
countries whenEnd Users are traveling internationally withthe Department's Equipment
5.04 Equipment Lists andCatalogs
The parties will cooperate in updating the equipment lists and catalogs set forth in Service
Provider's response to the ITN.These updated lists and catalogs (with applicable pricing)shall
be made available for viewing and ordering by SUNCOM Clients in accordance with Exhibit2-
Business Process and Operation.Service Provider shall provide the Department with
reasonable advanced notice (i.e.prior to the effective date)of any equipment included in the lists
andcatalogswhichwillbe discontinued
5.05 Licensing Requirements
Where software is provided with a Product or Service,Customer is granted a non-exclusive and
non-transferable license or sublicense to use the software,including any related documentation,
solely to enable Customer to use the Products and Services in accordance with the applicable
licensing requirements.Software licensing terms and conditions of Service Provider's software
vendors are provided by Service Provider or posted at www.sDrintcom/ratesandconditions or
otherwise provided to Customer through click or shrinkwrap agreements.Service Provider may
suspend,block or terminate Customer's use ofany software if Customer fails to comply with any
applicable licensingrequirement

Contract 6.0-business processand operations
6.01 Generally
The initial business processes and operational requirements applicable to this Agreement are set
forth on Exhibit 2-Business Process and Operation.The parties shall cooperate to make
reasonable clarifications,modifications,additions or deletions to these requirements from time to
time based on changing circumstances and/or the desire for better efficiencies.By theendof the
Development and Preparation Phase contemplated in Exhibit2 -Business Processand
Operation,the parties will organize and set forth the requirements ina comprehensive
Operational Guide which each party will follow in good faith.Changes in the Operational Guide
maybe accomplished and implemented by mutual agreement without a formal amendment tothe
Agreement.

6.02 Weekly Conference Calls
Service Provider shall participate ina weekly conference call with the Department to discuss and
provide statusonallopenor unresolved issues related tothe Services (including trouble tickets).
Itshallbethe responsibility of ServiceProviderto coordinate andinitiatethecallatatime
acceptable tothe Department's staff.Atthe Department's discretion,thecall frequency maybe
modified.
6.03 Helndesk
ServiceProvidershallassisttheDepartmentwiththe integration of the Helpdesk withthe
Department'sServiceDesk,ServiceDesk Express application and/or otherexistingDivTel
helpdesksystem(s).AdditionalinformationforHelpdesk information isprovidedin Exhibit 1-
Technical Specifications.
6.04 Technology Information
Inthenormalcourse of technologyevolutionand enhancement,ServiceProvidercontinually
updates and upgrades its Networks,Products and Services.Insome instances,theseeffortswill
resultintheneedto ultimately replacecertain offerings or technologies.Insuchevent,Service
Providerwillundertakesuch replacement efforts ina customer-focused and commercially
reasonable manner andwill,throughout the process,provide its customers with periodic updates
thatproviderelevantinformation.
Aspartofsuch technology evolution,Service Provider must reserve the right to migrate
CustomerfromProductsactivatedontheNextelNationalNetworktoeitheraSprintDirect
Connect push-to-talk ("PTT")Product,ora Customer-selected non-PTT Product,that runs on
the Nationwide Sprint Network;provided that Service Provider willnot undertake anysuch
migration with lessthan12 months prior notice.Because there willbeat least 12 months prior
notice,in almost every instance Customer will have the ability to upgrade its existing devices to
newor replacement devices under thethen applicable Service Provider handset upgrade program.
Ifthe Customer hasany devices thatarenot eligible for upgrade under this handset upgrade
program and the Customer must migrate its existing Products activated on the Nextel National
Network,Service Provider will permit the parties current upgrade policyto apply tosuch existing
Products and permit the Customer to upgrade atthethen existing upgrade costs to devices thatare
compatible withthe replacement technologies.If Service Provider exercises itsrightto migrate
Customer toanew technology under this provision,upon completion of such migration,the terms
and provisions ofthis Agreement related solely tothe Nextel products and service will terminate.
In addition,the parties recognize thatthey may need to amend this Agreement toadd new terms
related tosuch successor technologies.

Contract 7.0-terms of payment
7.01 Invoicing of Charges
Invoicing shall comply with the terms and conditions set forth in Exhibit 2 -Business Process
and Operation attached tothisAgreement.
7.02 Payment of Charges
Payment shall be made in accordance with State law,including Sections 215.422 and 287.0585,
Florida Statutes,which govern time limits for payment of invoices.Invoices that must be returned
to Service Provider due to preparation errors will result in a delay in payment.The Department is
solely responsible for all charges billed under this Agreement,whether ornota SUNCOM Client
has paid the Department for such charges.
7.03 Transaction Fee
The State has instituted MyFloridaMarketPlace,a statewide eProcurement System ("System").
Pursuant to Section 287.057(23),Florida Statutes,all payments shallbe assessed a Transaction
Feeofone percent (1.0%),which Service Provider shall pay tothe State,unless exempt pursuant
toRule 60A-1.032,F.A.C.The parties agree thattaxesand surcharges shallnotbeassessedin
the calculation for the Transaction Fee.
ForpaymentswithintheStateaccountingsystem(FLAIRoritssuccessor),theTransactionFee
shall,whenpossible,be automatically deducted from payments toService Provider.If automatic
deductionisnotpossible,ServiceProvidershallpaytheTransactionFeepursuanttoRule 60A-
1.031(2),F.A.C.Bysubmission of thesereportsandcorrespondingpayments,ServiceProvider
certifiestheir correctness.Allsuchreportsand payments shallbesubjecttoauditbytheStateor
itsdesignee.
ServiceProvidershallreceiveacreditforanyTransactionFeepaidbyServiceProviderforthe
purchase ofanyitem(s)ifsuch item(s)are returned to Service Provider through no fault,act,or
omission ofService Provider.Notwithstanding the foregoing,a Transaction Feeisnon
refundable whenanitemisrejectedor returned,or declined,dueto Service Provider'sfailureto
performorcomplywith specifications or requirements oftheAgreement.
Failure to comply with these requirements shall constitute grounds for declaring Service Provider
in default and recovering re-procurement costs from Service Provider in addition toall
outstanding fees.SERVICE PROVIDERS DELINQUENT IN PAYING TRANSACTION FEES
MAY BE subject to being removed from the Department's vendor listas provided inrule 60A-
1.006,FA.C.
7.04 Taxes
Service Provider will recognize and honor all validly and properly issued and executed tax
exemption certificates delivered by Customer andstatutory exemptions andwillnotbill Customer
foranysuch exempted taxes.Service Provider's rates and charges for Products and Services do
not include taxes.Customer will payanyandall taxes for which it does not have an exemption.
The only applicable FCC authorized fee,surcharge or assessment in effect asofthe date of this
Agreement areprovidedin Exhibit 3 andas updated inthe catalog.
Thesefeesmayappearon billings tothe Customer.Noother FCC orPUCfee,cost recovery fee,
surcharge or assessment applicable to wireline and/or wireless voice and/or data
telecommunications services may be imposed during the term ofthis Agreement,without the
prior amendment underthe Agreement,unless mandated bytheFCCor PUC.Service Provider
agrees tonotbillforany items which arenot mandated bytheFCCor PUC and which are

otherwise not applicable to wireline and/or wireless voice and/or data telecommunications
services.
7.05 Disputed Charges
Disputed charges shallbe handled inthe manner set forth in Exhibit2-BusinessProcessand

7.06 Proration of Charges
Monthly feesforbilling periods oflessthanone month willbeproratedbasedonthe actual
number of daysin such periods.
7.07 Charges Resulting from Lost or Stolen Devices
IntheeventanEnd User's orSUNCOM Client's voiceordatatransmittingdevice ("Device")is
lost,stolen,orotherwiseabsentfromtheEnd User's orSUNCOM Client's possessionorcontrol,
theDepartmentshallneverthelessbeliableforallchargesattributabletotheDeviceuntilitorthe
End Useror SUNCOM Client notifies Service Provider during Business Hours of such loss,theft,
orunauthorizedabsence,inwhichcasetheDepartment'sliabilitythereforeshallterminateatthe
earlier of (i)deactivation of theDevicebyServiceProvider,or(ii)theend of four(4)Business
HoursaftersuchnotificationisreceivedbyServiceProvider.ServiceProvidershalluse
reasonableefforts,taking intoaccountall circumstances whichshallinclude other operational
demandsplaceduponitsemployees,todeactivateServicetotheDeviceaffectedassoonas
practicable.
7.08 Right of Offset
Followingpriorwrittennotificationand completion of the dispute processoutlinedinSection 14,
the Department may,in addition toother remedies available atlaworequityanduponnoticeto
Service Provider,retainfrom amounts dueServiceProvidersuchmoniesasmaybe necessary to
satisfyanyclaimarisingunder(i)this Agreement,or(ii)anyotherliabilityor obUgation of
Service Provider or its affiliates to the State of Florida.
Contract 8.0-the department's obligations
8.01 Trained Staff
The Department shall provide an adequate and properly trained staffto receive and investigate
any complaints from itsEnd Users or SUNCOM Clients relating to Service,andwill report any
trouble to Service Provider with respect to Service only upon reasonable verification thatsuch
troubleisduetoreasonsotherthanthemisuseor malfunctioning oftheEndUser'sor SUNCOM
Client's equipment orthe failure ofsuch equipment tomeetthe technical standards for
compatibility withService.
8.02 Responsibility for Actions or Omissions
The Department shallbe solely responsible forall costs and expenses incurred in connection with
its actions or omissions in the saleof Service or otherwise relating to this Agreement.The
Department shall actinall respects onits own account,and shall be solely responsible for such
things as billing,collection and,exceptas provided in Section 11 and Exhibit1-Technical
Requirements,abuse or fraudulent useofany element ofthe Service,whether bythe
Department's employees or agents ofthe Department,anEndUserora SUNCOM Client,orany
third party (excepting only actions by Service Provider,Service Provider's agent or Service
Provider's employees),provided Service Provider has followed the Department's instructions
underthis Agreement withrespecttosuchuse.

8.03 Responsibility for Agents
The Department is responsible for the performance of its agents,if any,and shall ensure that its
agents are in compliance with any applicable terms of this Agreement and any other applicable
industry standards,rules and regulations.
8.04No Rights to Service Provider's Facilitiesor Intellectual Property
No provision of this Agreement shall be construed as vesting inthe Department any control,
ownership orrights inany facilities,operations or intellectual property of Service Provider.
8.05 Notice to End Users and SUNCOM Clients
The parties will cooperate in advising each End User and SUNCOM Client of the following:
(i)The availability ofdie Service isnot assured at all times or places;
(ii)The privacy ofthe Service isnot assured at all timesor places;
(iii)End Users and SUNCOM CUents have no contractual relationship with Service Provider
withrespecttotheService;and
(iv)AnyliabilityService Provider mighthavetoanEndUseroraSUNCOMClientforthe
Serviceshallnotexceed die liabilityService Provider wouldhave if theEndUseror
SUNCOMClientwasa direct customer of Service Provider andhad agreed to Service
Provider's standard terms and conditions.
The above notice requirements maybe satisfied bya reasonably placed posting onthe
Department's SUNCOM website.
8.06 Protection of Service Provider Marks
The Department recognizestheright,title,and/or interest of Service Provider (through ownership
orlicense)toallservicemarks,trademarks,andtradenamesownedbyorusedbyService
Provider (die "Marks").TheDepartmentagreesnotto,directiy orindirectly,contest orotherwise
impairsuchright,title,andinterest of Service Provider.TheDepartmenthasnorights,andshall
notacquireany right,titleorclaimtotheMarks,shallnotuseanyMarks,andshallnotuse
ServiceProvideroranytrademarksortradenames of ServiceProvider,directiyorindirectiy,
without thepriorwritten consent of Service Provider.
8.07 Acceptable Use Policy
If CustomerpurchasesProductsorServices,Customermustconformtotheacceptableusepolicy
postedat htip://www.sprintcom/legaI/agreementhtml,asreasonablyamendedfrom time totime
byServiceProvider.ServiceProviderwillprovideacopy of theacceptableusepolicytothe
Departmenteverysixmonths
Contract 9.0-service provider's obligations
9.01 Notice ofMaterial Changes in Service
ServiceProvideragreestoprovidetimelyandreasonablydetailednoticetotheDepartment
(basedon circumstances present)of anymaterialchangesinService of eitherapermanentor

TheServiceProvider(overthewirelessnetwork)shallsendnotificationswhichinformstheend
customeroftheanticipatedoutageincludingdate,time,andduration.Customernotificationis
sentviatheEnterpriseNotificationSystem(ENS)forplannedandunplanneddowntimeonthe
SprintNetwork.Additionalinformationforoutagesshallbeprovidedin Exhibit 5.
9.02.1 Unforeseen Outages

9.03 Department Test Accounts
ServiceProvidershallfurnishuptoten(10)voiceandupto fen (10)data(includingequipment,
voiceairtime,anddatatransmit)wirelessdevicesforusebytheDepartmentastestaccounts.The
testaccountsshallbeusedtoperformevaluationtestingforthelifeoftheawarded contract The
test accounts and devices shall be furnished at no cost.
9.04 SUNCOM Client Testing and Evaluation
PriortomakingtheirinitialorderforService,SUNCOMClientsshallbepermittedtoobtain
wirelessdemonstrationequipment(includingairtime)forthepurposes of testingandevaluationat
no additional cost.The demonstration equipment shallbemadeavailableforaperiodofthirty
(30)workingdays.Additionalinformationisprovidedin Exhibit 1 -Technical Requirements.
9.05 Security and Confidentiality
A.TheServiceProvidershallcomply ftdly withallsecurityprocedures,lawsand
regulations of theUnitedStates,StateandtheDepartmentinperformanceofthe
Agreement.
B.TheServiceProvider(andanypersonorentity obtaining information through Service
Provider)shallnotdivulgetoany unauthorized thirdpartiesany confidential information
obtainedbyServiceProviderorits agents,subcontractors or employees inthecourseof
performing theServices.Suchconfidentialinformationshallincludebutnotbelimited
to,EndUserphone numbers,usagerecords,locationinformationandotherformsof
identification ofEnd User,security procedures,business operations information,or
commercial proprietary information oftheState,the Department,aSUNCOMClientor
anEndUser.The Service Provider shallnotberequiredtokeep confidential any
informationormaterialthatispubliclyavailablethroughnofaultofService Provider,
material that Service Provider developed independently without relying ontheState'sor
SUNCOM Client's confidentialinformation,ormaterialthatisotherwiseobtainable
underStatelawasapublic record.Toensure confidentiality,ServiceProvidershalltake
appropriatestepsastoitspersonnel,agents,andsubcontractors.Thetermsofthis
paragraphshall survive the termination ofthis Agreement.
C.PrivacyPolicy.Sprint'sprivacy policy,asamendedfromtimetotime,isavailableat
www.snrint.com/legal/privacv.html.The privacy policy includes information about
Sprint's customer information practices and applies tothe provisioning ofthe Products
and Services.
9.06 Prison Rehabilitative Industries and Diversified Enterprises,Inc.(PRIDED
Section 946.515(2),Florida Statutes,requires the following statement tobe included inthis
Agreement:"It is expressly understood and agreed thatany articles which arethe subject of,or

performing workor providing services pursuant tothe state contract utilizetheE-Verifysystem
toverifyemployment ofall newemployees hired bythe subcontractor during the contract term.
9.09 Scrutinize Companies Lists
Inexecutingthis Agreement,ServiceProvidercertifiesthatitisnotlistedoneitherthe
ScrutinizedCompanieswith Activities inSudanListortheScrutinizedCompanieswith
Activities intheIranPetroleumEnergySectorList,createdpursuanttosection215.473,Florida
Statutes.Pursuanttosection287.135(5),FloridaStatutes,ServiceProvideragreesthe
Departmentmay immediately terminatethisAgreementforcause iftheServiceProviderisfound
tohavesubmittedafalsecertificationor if Service Provider isplacedonthe Scrutinized
CompanieswithActivitiesinSudanListortheScrutinized Companies withActivitiesinthe Iran
PetroleumEnergySectorListduringtheterm oftheAgreement.
Contract 10.0 -abusive or fraudulent use of the services
10.01 Fraud
If ServiceProviderreasonablysuspectsthatanyServiceisbeingabusedorusedfor fraudulent
purposes,ServiceProviderreservestherighttohotline,suspend,orterminatesuchServicetothe
EndUser immediately ("Fraud Intervention Measure(s)").Chargesassociatedwithfraudactivity
forwhichtheDepartmenthasbeenconfirmedashavingnoculpability will becredited.Thecredit
maytakemorethanonebidingcycletoapply.Service Provider shalluse reasonable efforts
duringBusinessHourstoprovideadvancenotice of Fraud InterventionMeasures.

10.02 Minimize Abuse
TheDepartmentagreesto(i)makegoodfaitheffortstominimizeabuseorfraudulentuse,(ii)
promptlyreportanysuspectedabuseor fraudulent useto Service Provider,and(iii)cooperatein
anyinvestigationorprosecutioninitiatedbyService Provider.ServiceProvidermayrequirethe
DepartmenttocanceltherighttouseServicebyanyofitsEndUsersorSUNCOMClients
abusingorfraudulentlymarketingorusingService.
10.03 Suspected Abuse or Fraudulent
ServiceProvidershallmakecommerciallyreasonableeffortstogivetheDepartmentnoticeof
suspectedabuseorfraudulentusepriortoimplementingaFraud Intervention Measure.
10.04 Fraudulent Use of Services
IftheDepartmentatanytimesuspectsthatanyServicemaybe,hasbeenorisbeingusedfor
abuseorfraudulentpurposes,theDepartmentshallbeliableforallcostsorchargesincurreduntil
four(4)BusinessHoursaftertheDepartmentnotifiesServiceProvidertoterminateServiceunder
Section 2.05.
10.05 Prohibited Data Uses
Prohibited Data Uses.Service Provider reservesthe right,without noticeorlimitation,tolimit
throughput speeds orquantitiesortodeny,terminate,end,modify,disconnect,or suspend
wirelessServiceifawirelessProductengagesinprohibitedvoiceordatausesprovidedinthe
UserGuideandintheOperationalGuide,whichisupdatedfromtimetotime.InService
Provider's solediscretion,ServiceProviderwilldetermine die actionsnecessaryto protect the
SprintNetworksorSprint4GNetworkfromharmordegradation.
10.06 Interrupt or Terminate Service
UponnoticetoDepartment,ServiceProvidermayinterruptorterminateService if Service
ProviderdeterminesthattheEnd User's useoftheServiceinfringesintellectualpropertyrights.
Contract 11.0-NO WARRANTIES
SERVICE PROVIDER HEREBY EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED
WARRANTIES OF WHATSOEVER NATURE RELATING TO THE SERVICE OR ANY
EQUIPMENT PROVIDED UNDER THIS AGREEMENT,INCLUDING BUT NOT LIMITED
TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
USE.
TO THE EXTENT SERVICE PROVIDER PROVIDES ACCESS TO INFORMATION
PROVIDED BY OTHER SOURCES,SERVICE PROVIDER ACCEPTS NO LIABILITY FOR
AND MAKES NO WARRANTIES,EXPRESS OR IMPLIED,WITH RESPECT TO THE
CONTENT THEREOF.
Contract 12.0 -limitations ofliability
SERVICE PROVIDER'S LIABILITY FOR DAMAGES OR COSTS ARISING FROM
ERRORS,OUTAGES,OR FAILURES OF SERVICE,LACK OF SECURITY INUSEOF
SERVICE,OR DEFECTS OR MALFUNCTIONS OF THE FACILITIES,OCCURRING IN
THE COURSE OF PERFORMING UNDER THIS AGREEMENT,REGARDLESS OF THE

LEGALBASIS FOR SUCH CLAIM,SHALL EN ANY EVENT BE LIMITED TO AN
AMOUNTEQUALTOTHEPROPORTIONATECHARGETOTHE DEPARTMENT FOR
THE PERIOD OFSERVICEDURINGWHICHSUCHERRORS,OUTAGES,FAILURES,
DEFECTS,OR MALFUNCTIONS OF EQUIPMENT OCCUR,SUBJECTTOTHE
ADDITIONAL LIMITATIONS BELOW.THE ABOVE LIMITATION DOES NOT INCLUDE
ANY POTENTIAL LIABILITY FOR INTENTIONAL TORTS.
NOPARTYSHALLBELIABLE TO ANOTHERFORSPECIAL,INDIRECT,PUNITIVE,OR
CONSEQUENTIALDAMAGES,INCLUDINGLOSTDATAORRECORDS (EXCEPT TO
THEEXTENTTHESERVICE PROVIDER IS REQUIRED TOBACK-UPDATAOR
RECORDS),EVEN IFTHE PARTY HASBEEN ADVISED THAT SUCH DAMAGES ARE
POSSIBLE.NO PARTY SHALLBELIABLEFORLOSTPROFITS,LOST REVENUE,OR
LOST INSTITUTIONAL OPERATING SAVINGS.
THE DEPARTMENT ACKNOWLEDGES THAT SERVICE IS MADE AVAILABLE TO
EQUIPMENT ONLY WHEN THE EQUIPMENT ISWITHIN OPERATING RANGE OFTHE
FACILITIES LOCATED WITHIN THE WIRELESS SYSTEM.SERVICE MAY BE
TEMPORARILY REFUSED,INTERRUPTED OR LIMITED FOR MANY REASONS.
INDIVIDUAL CONNECTIONS MAYBE "DROPPED"(I.E.,INVOLUNTARILY
DISCONNECTED)FOR A VARIETY OF REASONS AS WELL.SERVICE PROVIDER
SHALLINCUR NO LIABILITYFORITSINABILITYTOPROVIDEADEQUATE
SERVICES HEREUNDER IF SUCH INABILITY IS DUE TO THE LACK OF NETWORK
COVERAGE,NETWORK CAPACITY,OR TOCAUSES BEYOND THE SERVICE
PROVIDER'S REASONABLE CONTROL.NOR SHALL SERVICE PROVIDER BE
RESPONSIBLE FOR ANY ACT OR OMISSION RELATED TO THIRD PARTY
EQUIPMENT OR SYSTEMS USED IN CONNECTION WITH THE SERVICE.
WIRELESS SYSTEMS USE RADIO CHANNELS TO TRANSMIT VOICE AND DATA
COMMUNICATIONS OVER A COMPLEX NETWORK,AND PRIVACY CANNOT BE
GUARANTEED.SO LONG AS THE SERVICE PROVIDER HAS TAKEN REASONABLE
PRECAUTIONS AND COMPLIED WITH THE TERMSOF THIS AGREEMENT,THE
DEPARTMENT AGREES THAT SERVICE PROVIDER SHALL NOT BE LIABLE TO THE
DEPARTMENT OR TO END USERS FOR ANY SUCH LACK OF PRIVACY.
FOR ALL CLAIMS AGAINST SERVICE PROVIDER RELATING TO THE SERVICES
PROVIDED UNDER THIS AGREEMENT,AND REGARDLESS OF THE BASIS ON WHICH
THE CLAIMS ARE MADE,THE SERVICE PROVIDER'S LIABILITY FOR DIRECT
DAMAGES SHALL BE LIMITED TO$1,000,000.
THESE LIMITATIONS SHALL NOT APPLY TO CLAIMS ARISING UNDER THE
INDEMNIFICATION PROVISIONS IN THIS AGREEMENT,OR UNDER SECTIONS 15.9
(COMPLIANCEWITHLAWS)OR15.10(E-RATE)OFTHISAGREEMENT.
Contract 13.0-INDEMNIFICATION
13.01 Indemnification
SprintwillindemnifyanddefendState,the Department,theSUNCOMClientsandtheEnd
Users,andtheirofficers,agents,andemployeesagainstallthirdpartyclaimsfordamages,losses,
liabilities,orexpenses,including reasonable attorney'sfees,arisingdirectlyfrom performance of
thisAgreementandrelatingtopersonal injury,death,ordamagetotangiblepersonal property

thatisallegedtohaveresulted,inwholeorinpart,fromthenegligenceofServiceProviderorits
authorized agents,employees,partners,orsubcontractors.
13.02 Conditions to Indemnification
Service Provider's obligationsundertheprecedingparagraphwithrespecttoanylegalactionare
contingentuponthepartyseekingindemnificationgivingServiceProvider(i)writtennoticeof
anyactionorthreatened action,(ii)theopportunitytoparticipateatthe Department's expense
withService Provider maintaining controlovertheclaimoraction.Service Provider shallnot
finalizeanysettlementwithrespecttotheState,theDepartment,aSUNCOMClientoranyEnd
Userinanylegalactionwithoutthe State's priorwrittenconsent,whichshallnotbeunreasonably
withheld.
Contract 14.0 -disputes
Anydispute concerning performancearisingbetweenthepartiesrelatingtothisAgreement,
whichisnotresolvedbymutualagreementoftheparties,willbepromptlysubmittedinwritingto
theotherpartyinaccordancewiththeNoticerequirements of the contract Thepartiesshall
designateindividualswithauthoritytoresolvethedisputeandsuchindividualsshallwork
diligentlyandingoodfaithtoresolvethedisputewithinthirty(30)days.Intheeventtheparties
areunabletoresolvethedisputewithinsixty(60)days,anydisputeconcerningperformance of
the Agreement shallbedecidedbythe Department's Contract Manager,whoshallreducethe
decision to writing andserveacopyonServiceProvider.Thedecisionshallbefinaland
conclusive unless within twentyone(21)daysfromthedate of receipt,Service Provider files
withtheDepartmentapetitionforadministrativehearing.The Department's decisiononthe
petitionshallbefinal,subjecttoService Provider's righttoreview pursuant toChapter120 of the
Florida Statutes.Exhaustion of administrativeremediesisan absolute conditionprecedentto
Service Providers abilitytopursueanyotherform of disputeresolution;provided,however,that
thepartiesmayemploythealternativedisputeresolutionproceduresoutlinedinChapter120.
BillingdisputesshallberesolvedpursuanttoSection 215.422 of the Florida Statute.
Withoutlimitingtheforegoing,theexclusivevenue of anylegalorequitableactionthatarisesout
of orrelatestotheAgreementshallbetheappropriateStatecourtinLeonCounty,Florida.In
anysuch action,Floridalawshallapplyandthepartieswaiveanyrighttojurytrial.
Contract IS.0-miscellaneous
15.01 Annual Appropriations
TheState'sperformanceandobligationtopayunderthisAgreementarecontingentuponan
annual appropriation bytheLegislature.
15.02 Waiver
Thedelayorfailurebyeitherpartyto exercise orenforceanyofitsrightsunderthis Agreement
shallnot constitute orbe deemed awaiverofthatparty'sright thereafter to enforce those rights,
norshallanysingleorpartialexerciseofanysuchright preclude anyotherorfurther exercise
thereof ortheexercise of anyotherright.
15.03 Public Records
The Department may terminate this Agreement ifServiceProviderrefusestoallowpublicaccess
toalldocuments,papers,letters,orothermaterialmadeorreceivedbyServiceProviderin

conjunction withthis Agreement,unless the records are exempt from s.24(a)of Art Iofthe State
Constitution and Section 119.07(1).Florida Statutes.
15.04 Contractual Obligations
Neither party is authorized toactasan agent for,or legal representative of,the other party,nor
shall either partyhave authority to assume or create any obligation onbehalfo£inthe name of,
orthat shall be binding upon,theother party.
15.05 No Subcontracting
The Service Provider may not subcontract anyofthe Services without the Department's prior
written consent.The Service Provider shall notbe released ofits contractual obligation tothe
Department because of anysubcontract.
15.06 Notices
Exceptasotherwise provided inthis Agreement,all notices requiredorpermittedtobegiven
hereunder shallbeinwritingandshallbe delivered (a)personally;(b)bycertified mail,return
receipt requested;(c)byan overnight courier service having a record of receipt;or(d)by
facsimile,witha confirming copysentbyone of theotherthree methods described inthis
sentence.Notices shall be addressed as follows:
(a)If toDepartment,noticeshallbesenttotheContract Administrator andthe

15.08 Ethical Responsibilities
Eachpartyshallbegovernedin all itsdealingswithrespecttothisAgreementbythehighest
standards of honesty,integrity,andfairdealing.Notwithstanding,theDepartmentshallmeetthe
requirements of Chapter 112,FloridaStatuteswhereapplicable.

15.09 Compliance With Laws
ServiceProviderandthe Department shallatalltimescomplyinallmaterialrespectswithall
laws,rules,codes,ordinances,andlicensingrequirementsandregulationsapplicabletothe
performance of thisAgreementandtheconduct of theirbusiness,includingthose of federal,
State,andlocal agencies having jurisdiction andauthority.Byway of non-exhaustive example,
Chapter287,Florida Statutes,andChapters 60A-1 and60FF,Florida AdministrativeCode,
governsthe Agreement.Byway of further non-exhaustive example,Service Provider shall
complywith Section 247A(e)of theImmigrationand Nationalization Act,the Americans with
Disabilities Act,andallprohibitionsagainstdiscriminationonthebasis of race,religion,sex,
creed,national origin,handicap,maritalstatus,or veteran's status.Violation of suchlawsshall
be grounds for Agreement termination.

TheSchoolsandLibrariesProgram of thefederalUniversalServiceFund,commonlyknownas
"E-Rate,"isadministeredbytheUniversalServiceAdministrativeCompany(USAC),throughits
Schoolsand Libraries Division(SLD),underthedirection of theFederal Communications
Commission(FCC).Theprogramprovidesdiscountstoassistmostschoolsandlibrariesinthe
UnitedStatestoobtainaffordableeligibletelecommunications,Internetaccess,andinternal
connections.SUNCOMClientswhohaveappliedforE-Rate funding foreligibleservicesand
equipment from Service Provider are referred to herein as "E-Rate SUNCOM CUents."

SPIN(s)totheDepartment.ServiceProvideralsoisrequiredtosubmitaServiceProviderAnnual
Certification(SPAC)(Form473)toUSACeachfundingyeartocertifythatitwillcomplywith
E-Raterulesand regulations.ServiceProvidershallmaintaineligibilityasanE-Rateservice
providerandshallavoidbeingplacedonRedLightstatusbytheFCCfortheduration of the
Agreement.
Duringtheterm of the Agreement,Service Providershallberequiredtotakeall appropriate
actiontoprovideservicesin compliance withthetermsandconditionsoftheAgreementandE-
Raterulesand regulations.IfServiceProviderbecomesineligibleasanE-Rateservice provider
duringthetermofthe Agreement or becomes unwillingorunableto provide E-Rate eligible
servicesincompliancewiththeAgreementandE-Raterulesandregulations,theDepartmentand
its E-Rate SUNCOM Clients shall change service providers and,if applicable,seek substitute
services in accordance with applicable E-Rate rulesand procedures.If during thetermofthe
Agreement,duetocircumstanceswithinService Provider's control,Service Provider becomes
ineligible asan E-Rate service provider,becomes unwilling orunableto provide E-Rate eligible
servicesincompliancewithE-RaterulesandregulationsortheAgreement,orviolatesE-Rate
rules and regulations inawaythat causes USAC todeny E-Rate SUNCOM Clients funding in
wholeorinpart,the following shallapply:
A.Service Provider shall beliableforthe actual direct damages incurred bythe Department
andany affected E-Rate SUNCOM CUents thathave complied withthe applicable E-Rate
rulesand regulations.
1.Intheeventthatthe Department anditsE-RateSUNCOMClientschangeservice
providers andseek substitute services pursuant totheabove paragraph,direct

damagesshallincludebutnotbelimitedtoanyamountspaidtothesubstituted
service provider aboveService Provider's priceunderthis Agreement Inthe

USAC approval to change tothenew provider asa provider underE-Rate rules
andsuchUSAC denial isa result of Service Provider's intentional acts,gross
negligence or willful misconduct,Service Provider will alsobeliableforthe
amount of E-Ratefundingforfeitedasaresult.
2.Service Provider shallcontinueto provide theaffectedservicestothe
Department andany affected E-Rate SUNCOM Client untilsuch time asthe
Departmentandany affected E-Rate SUNCOM CUent obtainsservicesfroma
newserviceproviderassetforthabove(TransitionPeriod).If theDepartmentor
E-RateSUNCOM CUents areunabletoobtainE-RatefundingfortheService
Provider services for the Transition Period asa result of Service Provider's
intentionalacts,gross negUgence orwillfulmisconduct,theDepartmentandE-
Rate SUNCOM ClientwiUnotberesponsibletopayServiceProviderforthe
amounts left unfunded byE-RateforthatTransitionPeriod.
3.If Service Provider violation oftheE-Rate rules and regulations isareasonforE-
RateSUNCOMClients'lossor forfeiture of E-Rate funding,inwholeorin part,
thevalue of thelost funding associated withService Provider violationwillbe
considereddirectdamageunderthis subparagraph (i)A.
Any damagespaidfor by theServiceProviderinrelationto Sections A(1-3)above,shall
belimitedtoeachindividualSUNCOMClient'stotalnetpaymentsfortheaffected
Servicespurchasedinthe12monthspriortotheeventgivingrisetotheclaim.
AdditionaUy,innoevent shaU ServiceProviderbeliablefordirectdamagesassetforth
in1.or3.aboveorberequiredtoperformassetforthin2.above,beyond the lastday of
theE-RatefundingyearinwhichServiceProviderbecomesineligibleasaproviderunder
E-Rate,becomes unwilUngorunabletoprovideE-RateeUgibleservicesincompliance
with E-RaterulesandregulationsortheAgreement,orviolatesE-Raterulesand
regulationsinawaythatcauses USAC todenyE-Rate SUNCOM Clientsfundingin
wholeorinpart.
In addition,forpurposes of clarificationandtoavoidconfusion,theDepartmentwillnot
hold Service ProviderresponsibleandServiceProviderwiUnotbeliablepursuantto
subparagraph A.above,if ServiceProviderbecomesineUgibleasanE-Rateprovider
duringtheterm of the Agreement,becomes unwillingorunabletoprovideE-Rate
eligibleservicesincompUancewithE-RaterulesandregulationsortheAgreement,or
violatesE-Raterulesandregulationsina way thatcauses USAC todenyE-Rate
SUNCOM Clientsfundinginwholeorin part,duetocircumstancesthataredetermined
tobe beyond ServiceProvider'scontrol.
B.Invoicing.The Department acknowledges thatithaspostedanE-RateForm470in
connectionwiththe procurement,whichisa prerequisite toE-Rateeligibleentities
utilizing the Agreement awardedasaresult of theprocurementasthebasis of E-Rate
fundingapplications.Additionally,theDepartmentacknowledgesthatsomeSUNCOM
CUents maybeeligibleandapplyfordiscountsunderE-Rate.BothServiceProviderand
theDepartmentagreethat:

1.E-RatehasspecificrulesandregulationsregardingthemannerinwhichUSAC
andSLDapprovefundingrequests,arepresentedbillingandconductsauditsin
connectionswithfundingundertheE-Rateprogram;and
2.Inordertoensurethatthebillingmechanismsandprocessesestablishedpursuant
tothisAgreementwithrespecttotheapplications of SUNCOMCUentsfor
discountsundertheE-RateprogramareincompliancewiththeE-Rateprogram
requirementsandregulations,thedutiesandresponsibiUties of eachpartyareset
forthinSection5.07.06(Invoicing)of theBusinessProcessandOperations
Exhibit 2-Business Process and Operation.
15.11 Advertising
SubjecttoChapter 119,FloridaStatutes,ServiceProvidershaUnotpubliclydisseminateany
information concerning the Agreement withoutpriorwritten approval fromtheDepartment,
including,butnotlimitedtomentioningtheAgreementinapressreleaseorotherpromotional
material,identifyingtheDepartmentortheStateasareference,orotherwiselinkingService
Provider'snameandeitheradescriptionoftheAgreementorthename of theState,the
DepartmentoranySUNCOMCUentinanymaterial pubUshed,eitherinprintorelectronically,
toanyentitythatisnotapartytoAgreement,exceptpotentialoractualauthorized distributors,
dealers,resellers,orservice representative.
15.12 Assignment
NorightsorobUgationshereundershallbeassignedordelegated,inwholeorinpart,byeither
partytoanyother person,firm,corporation,orotherentitywithouttheother party's priorwritten
consent,whichconsentwillnotbeunreasonablywithheld..Notwithstanding theforegoing,
Service Provider mayassignthisAgreementtoanentitytowhomtheoutstandingcommonstock
orsubstantiaUyalltheassets of Service Provider are transferred afterfirst receiving FCCand
other necessaiy governmentalapprovalswithnotificationtotheDepartment.Forpurposes of this
provision,anychangeintheultimatecontrolofaparty,bystocksale,merger,consoUdation,or
anyothermeans,shaUconstituteanassignmentsubjecttowrittennotificationtotheotherparty.
15.13 Employees.Subcontractors,and Agents
AU ServiceProvider employees,subcontractors,oragentsperformingworkunderthe Agreement
shaU beproperlytrainedtechnicianswhomeetorexceedanyspecifiedtraining quaUfications.
Upon request,ServiceProvidershallfurnishacopyoftechnicalcertificationorotherproofof
qualification.All employees,subcontractors,oragentsperformingworkundertheAgreement
mustcomplywithaUsecurityandadministrativerequirements of theDepartmentand shaU
complywithall controlling lawsand regulations relevanttotheservicestheyareprovidingunder
the Agreement.TheStatemay conduct,and Service Provider shall cooperate in,a security
background checkorotherwiseassessany employee,subcontractor,oragentfurnishedbyService
Provider.TheStatemayrefuseaccessto,orrequirereplacement o£anypersonnelforcause,
including,butnotlimitedto,technicalortraining qualifications,quaUty ofwork,changein
security status,or non-compliance witha Department's security orother requirements.Such
approval shaU not reUeve Service Providerofits obligation toperformallworkin compliance
withthe Agreement TheStatemayrejectandbarfromany faciUty forcauseany of Service
Provider's employees,subcontractors,oragents.
15.14 Governmental Restrictions
If Service Provider believes thatany governmental restrictions havebeen imposed that require
alteration ofthe material,quality,workmanship or performance of the products offeredunderthe
Agreement,ServiceProvidershall immediately notifytheDepartmentinwriting,indicating the

specific restriction.The Department reserves the right and the complete discretion to accept any
such alteration orto cancel the Agreement atno further expense tothe Department.
15.15 Lobbying and Integrity
The Service Provider shaU not,in connection with this orany other agreement withthe State,
directly or indirectly (i)offer,confer,or agree to confer any pecuniary benefit on anyone as
consideration forany State officeroremployee's decision,opinion,recommendation,vote,other
exercise of discretion,or violation ofa known legal duty,or(ii)offer,give,or agree to give to
anyone any gratuity for the benefit of,oratthe direction or request of,any Stateofficeror
employee.For purposes of clause (ii),"gratuity"means any payment of morethan nominal
monetary valueinthe form of cash,travel,entertainment,gifts,meals,lodging,loans,
subscriptions,advances,deposits of money,services,employment,or contracts ofany kind.
Upon request of theDepartment's Inspector General,orotherauthorizedStateofficial,Service
Provider shall provideanytype of information the Inspector General deems relevant to Service
Provider's integrity or responsibUity.Such information may include,but shall notbelimitedto,
Service Provider's business or financial records,documents,or files ofanytypeor form that refer
toor relate tothe Agreement.The Service Provider shaU retain such records for the longer of(i)
three years after the.expiration of the Agreement or(ii)the period required bythe General
Records Schedules maintained bythe Florida Department of State (avaUable at:
htto://dUs.dos.state.fl.iis/barm/gensch^ules/gerisched.htm\The Service Provider agrees to
reimburse the State for the reasonable costs of investigation incurred bythe Inspector General or
other authorized State official for investigations of Service Provider's compUance withthe terms
of thisoranyotheragreementbetweenService Provider andtheStatewhichresultsinthe
suspensionordebarment of Service Provider.Suchcosts shaU include,butshallnotbelimited
to:salaries of investigators,including overtime;travelandlodging expenses;andexpertwitness
and documentary fees.TheService Provider shaU notbe responsible foranycosts of
investigations thatdonotresultinService Provider's suspension ordebarment
15.16 Warranty of Ability to Perform
TheService Provider warrants that,tothebest of its knowledge,thereisno pending or threatened
action,proceeding,or investigation,oranyother legal or financial condition,thatwouldinany
way prohibit,restrain,ordiminishService Provider's ability tosatisfyits obligations hereunder.
TheService Provider warrants thatneitheritnorany affiliate is currently ontheconvictedvendor
list maintained pursuanttoSection287.133,Florida Statutes,oronanysimilarUstmaintainedby
anyotherstateorthe federal government.TheServiceProvider shaU immediately notifythe
Departmentinwriting if itsabilitytoperformiscompromisedinanymannerduringthetenn of
the Agreement
15.17 Modification of Terms
TheAgreementcontainsallthetermsandconditions agreed uponbythe parties,whichtermsand
conditions shaU govern aU transactions betweenthe Department andService Provider.The
Agreement mayonlybe modified oramendeduponmutualwrittenagreement of theDepartment
andServiceProvider.Nooralagreementsor representations shaU bevalidorbindinguponthe
DepartmentorServiceProvider.Noalterationormodification ofthe Agreement terms,including
substitution of product,shallbe valid orbindingagainsttheDepartment.The Service Provider
may notunilaterally modify theterms of the Agreement by affixing additional terms toproduct
upondelivery(e.g.,attachmentorinclusion of standardpreprintedforms,productliterature,
"shrinkwrap"terms accompanying oraffixedtoa product,whetherwrittenorelectronic)orby
incorporatingsuchtermsontoServiceProvider'sorderorfiscalformsorotherdocuments
forwarded byService Provider forpaymentThe Department's acceptance of product or

THIS AMENDMENT ("Amendment"),to the MobBe Communication Services (MCS)Contract No.
DMS-10/11-008B,effectiveJanuary 13,2012 ("Contract"),is enteredintoasofthelastdate
signed below,byandbetweenthe parties tothe Contract,namely,theStateof Florida,
Department of Management Services ("Department"),and Sprint Solutions,Inc.,("Contractor0).

A Resolution authorizing the City Manager to enter into an agreement with
Sprint Solutions to provide the City with wireless telephone,aircard service
and for the purchase of iPad tablets.
WHEREAS,the City maymakepurchasesbyusingtheprice quotations providedby
SprintSolutions to another governmental agency pursuant toa competitive process at least as
restrictiveas that of the City,and
WHEREAS,Sprint Solutions has a contract witha governmental agency,Western States
Contracting Alliance,(WSCA),Contract No.1907 and the State of Florida "Participating State"
Contract No.DMS-12/13-009,and after reviewingthepricesin the WSCA contract,it is
recommended to change to Sprint Solutions as the wireless telephone and aircard provider for
the City;and
WHEREAS,these funds were allocated in account number ending in the number 4120 in
each department budget in the 2012/2013 fiscal year budget;and
WHEREAS,this change will benefit the Cityof South Miamiby saving the City
approximately $9,000.00 annually.
NOW,THEREFORE,BEITRESOLVEDBYTHE MAYOR AND CITY COMMISSION OFTHE
CITYOFSOUTH MIAMI,FLORIDA:
Section 1.The City Manager is authorized to terminate the agreement,at no cost,with
the City's current wireless telephone provider,T-Mobile,andto enter Into an agreement,which
canbe terminatedwithout cause or penalty,withSprint Solutions for wireless telephone,air
cards and the purchase of iPad tablets with the same pricing terms provided in WSCA Contract
No.1907 and the WSCA Master Service Agreement between Sprint Solutions and the State of
Florida No DMS-12/13-009
Section 2»Severability.Ifany section,clause,sentence,or phrase of this resolution is
foranyreasonheldinvalidorunconstitutionalbyacourtof competent jurisdiction,thisholding
shall not affect the validity of the remaining portions ofthis resolution.
Section 3.Effective Date,This resolution shall take effect immediately upon enactment
