A Resolution authorizing the City Manager to pay Total Funds by Hasler for the
City's postage meter costs through FY 2016.
WHEREAS,the City routinely process outgoing mailin the course of day to day
City business;and
WHEREAS;each piece of mail requires the appropriate postage in accordance
with the US Postal Services (USPS)rates;and
WHEREAS,Total Funds by Hasler issues a credit advance to enable the City to
apply postage and the City expenses postage into individual departments Postage
Accounts based on percentage of their postage activity;and
WHEREAS,Total Funds by Hasler manages and pays USPS for postage from the
credit advance for the City's postage which provides the City instant access to postage.
NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE
CITYOF SOUTH MIAMI,FLORIDA;
Section 1.TheCity Manager is authorized to pay Total Funds by Hasler for the
City's postage meter costs through FY 2016 foran amount not to exceed $5,010.
Section 2.Severability.If any section,clause,sentence,or phrase of this
resolution isforany reason heldinvalidor unconstitutional bya court of competent
jurisdiction,this holding shall not affect the validityof the remaining portions of this
resolution.
Section 3.Effective Date:This resolution shall take effect immediately upon
enactment.

The City's Procurement Division processes allCitymailfordistribution
by the U.S.Postal Service,(USPS).TheDivisionutilizesa postage meter
to ensure the appropriate postageisapplied to eachpieceof mail.
Varioustypeof mailings areprocessedonaregular basis,including first
class mail,bulk mail to residents/business to complywithpublicnotice
requirements or businesslicenserenewals generated by Planning,Code
and the Clerk's Officeandcertified mail when requested bythe
originating Department.
Apostage credit isdownloadedinto the postage meter by the Cityand
Hasler issuesa credit advance account to enable the City to apply
postage to eachpieceof mail.Hasleractuallypays USPS forpostageand
then waitsfor the customer (City)to pay the invoiceasare
imbursement.This process isinplace to makeusing postage meters
practical for customers (City);therefore,theCityhasinstantaccess to
postage.Haslergeneratesa small profitbycapturinglatefees,if
applicable,butthisprocessisgenerallyapass-through to USPS.
TotalFundsbyHaslerisa department of Neopost,the parent company,
that manages the postage.Neopost isthemanufacturerofthe mail
meteringequipmentandHasleris the "brand."Thepostage meter is
leasedby the Cityfrom Neopost and the Citypays the monthly meter
lease to Mail Finance/Modular Mailing Systems,the leasingdivisionof
Neopost.

WHEREAS,theCityrequiresapostagemeterandrelatedmaintenancefor the
equipment to processmail activity through the U.S.Postoffice;and
WHEREAS,ModularMailing Systems,dbaNeopostFloridais the primary vendor
on the Stateof Florida "Mail Processing Equipment/'contract no.600-760-11-1;and
WHEREAS,the digitalmail postage meter will provide the Cityanefficientand
costeffective solution for processing the various typesandquantitiesof City mail
activity;and
WHEREAS,the purchase order forthe mail processing equipment will beissued

Efa&ida,(hereinafter referred toas"Contractor").
WITNESSETH:
WHEREAS,the State ofFlorida solicited bids,pursuant to Contact no.600*76041-1-
for Mail Prcwwtoe firoipmmfc and
WHEREAS,the State ofFlorida,after completing a competitive bidding process,
awardedacontractto Contractor and
WHEREAS,the City ofSouth Miami desires to utilize the State ofFlorida
Contract and pursuant to authority oftheCity ofSouth Miami's Charter.
NOW,THEREFORE,theCity and the Contractor,each through theirauthorized
representative/official,agree as follows:
1.TheCity desires toenterintoa Contract,underthesametermsand
conditions as art forth in die solicitation and the agreement between the State of Florida

2.The Qty has reviewed the contract and agrees tothe terms and conditions and
provide such services under the same price(s).terms and conditions as found in die

Manager for theCityofSouth MiamiThe term ofthe contract,including all extensions

4.Purchase Orders;In accordance with die terms ofthe State ofFlorida
Contract no 600-7604 1-1.purchase orders for mailprocessing equipment shall be issued to
MAILFINANCE,Inc.,a leasing company owned bythe Contractor for the exclusive useof
assisting customers withthe lease ofContractor's mailing equipment
5.Public Records?Contractor andall ofits subcontractors are required to
complywiththe public records iaw (s.l 19.0701)while providing goods and/or Services on
behalf ofthe CITY andthe Contractor,undersuch conditions,shall incorporate this
paragraph inall ofIts subcontracts forthis Project.
fc WaiverJuryTrial:City and Contractor knowingly,irrevocably voluntarily
and intentionally waive any right either mayhavetoa trial byjuryin State or Federal Court
proceedings in respect toany action,proceeding,lawsuit or counterclaim arising outofthe
Contract Documents orthe performance of die Work thereunder.
7.Validity of Executed Copies:This agreement maybe executed in several
counterparts,each ofwhioh maybe construed asan original.
a.Governing Laws andVenue:ThisAgreementandthe performance of
services hereunder willbe governed bythelaws oftheState ofFlorida,withexclusivevenue
for the resolution ofany dispute beinga court ofcompetent jurisdiction in Miami-Dade
County.Florida.
9.Attorneys'Fees and Costs:In die event ofany litigation between the parties
arising out of or relating in anywayto this Agreement ora breach thereof,each party shall
bear itsowncosts and legal fees.Nothing contained herein shall prevent or prohibit die right
tobe Indemnified forany attorney foes incurred in the defense ofan action bya person or
entitywho is nota party totills Agreement
10,Severability:Ifanytermor provision ofthis Agreement or die application
thereoftoany person or circumstance shall,toany extent,be Invalid or unenforceable,the
remainder ofthis Agreement,orthe application of such termor provision to persons or
circumstances otherthanthosetowhichitisheldinvalidor unenforceable,shallnotbe
affected thereby and each termand provision ofthis Agreement shallbevalidand
enforceable to die fullest extent permitted by law.
