1010 1 ORDINANCE NO. _____ _ 2 3 An Ordinance establishing an electric franchise with Florida Power & Light 4 Company for installation and powering of city street lighting within the City of 5 South Miami. 6 7 WHEREAS, the City of South Miami (City) desires to install street lighting; and 8 9 WHEREAS, the installation of street lighting requires substantial investments of capital 10 and other resources in order to construct, maintain and operate facilities essential to the provision of 11 such service in addition to costly administrative functions, and the City of South Miami does not 12 desire to incur the cost to provide such services; and 13 14 WHEREAS, Florida Power & Light Company (FPL) is a public utility which has the 15 demonstrated ability to install street lighting and supply such services; and 16 17 WHEREAS, Florida Power & Light Company requires a 10 year agreement in order to 18 provide street lighting for the City; and 19 20 WHEREAS, the City Charter prohibits contracts that exceed five years for purchase 21 good and/or services but allows franchise agreements lasting up to 50 years; and 22 23 WHEREAS, FPL .and the City of South Miami desire to enter into installation 24 Agreements from time to time to provide for the installation and maintenance of city street lighting 25 for the City of South Miami, without charge for the installation and maintenance, other than the 26 exclusive right and privilege of supplying electricity for said facilities for a minimum of 10 years 27 following the installation of each facility pursuant to certain terms and conditions, and . 28 29 WHEREAS, the City Commission of the City of South Miami deems it to be in the 30 public interest to enter into these installation agreements defining the rights and responsibilities of 31 the parties as they relate to the installation and maintenance of new electrical facilities and the 32 exchange of other good and valuable consideration between the parties .. ; 33 34 NOW, THEREFORE, BE IT ORDAINED BY THE MAYOR AND CITY 35 COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA THAT: 36 37 Section 1. The foregoing recitals are hereby found to be true and correct, and are 38 incorporated herein and adopted and approved as if set out at length herein. 39 Section 2. There is hereby granted to Florida Power & Light Company, its successors and 40 assigns (hereinafter called the "GRANTEE"), a non-exclusive franchise to install or modifY the 41 street lighting facilities described and identified in the attached purchase order/Street Lighting 42 Agreement and hereinafter called the Street Lighting System, and the exclusive franchise to furnish 43 to the City the electric energy necessary for the operation of the Street Lighting System for a term of 44 10 years, and furnish such other services as are specified in this Agreement, all in accordance with 45 the terms ofFPL's currently effective street lighting rate schedule in existence at the time of the 46 execution of the Agreement and that are on file at the Florida Public Service Commission (FPSC) or Page 1 of2 1 any successive street lighting rate schedule approved by the FPSC. The initial tenn of the street 2 lighting franchise agreement shall be forI 0 years following the initial installation of the Street 3 Lighting System as set forth in the attached purchase order/Street Lighting Agreement. Thereafter, 4 . additional Street Lighting Systems may be ordered by the City Manager for terms of 10 years for 5 the supplying of electricity for each Street Lighting System and under terms that are substantially 6 similar to the terms in the attached Street Lighting Agreement if subsequently approved by 7 resolution of the City Commission after a public hearing. 8 Section 3. The City of South Miami agrees to the terms set forth in the attached Street 9 Lighting Agreement for now and in the future for terms that shall not exceed 10 years for the 10 installation of each new street lighting facility. 1l 12 Section 4. Severability. If any section, clause, sentence, or phrase of this ordinance is 13 for any reason held invalid or unconstitutional by a court of competent jurisdiction, this holding 14 shall not affect the validity of the remaining portions of this ordinance. 15 16 Section 5. Ordinances in Conflict. All ordinances or parts of ordinances and all 17 sections and parts of sections of ordinances in direct conflict herewith are hereby repealed. 18 19 Section 6. Effective Date. To install or modify the street llghUng facUities described and identified above (hereinafter called the Street Lighting System), furnish to the Customer the electric energy necessary for the operation of the Street lighting System, and furnish such other services as ,are specified in this Agreement, all in accordance with the terms of FPL's currently effective street IIghtfng rate schedule on file at the Florida Public ServIce CommIssion (FPSC) or any successive street lighting rate schedule approved by the FPSC. THE CUSTOMER AGREES: 2. To pay a contriblltion in the amount of $,Q priOr' to FPL's Initiating the requested installation or modification. 3. To purchase from FPL all of the electric energy used for the operation of the Street lIgh11ng System. 4. To be responsible for paying, when due, all bills rendered by FPL pursuant to FPL's curfently effective street lighting rate schedule on file at the F~SC or any successive street lighting rata schedule approved by the FPSC. for facilities and service provided In accordance with this agreement. 6. To provide access, finat grading-al'\d, when requested, good and sufficient easements, suitable construction drawings showing the location of existing and proposed structures, identification of all'non-I:;PL underground facilities within or near pole or trench locations, and appropriate plats necessary for planning the design and completIng the construction of FPL facililies assooiated with the Street Lighting System. 6. To perform anY,clearing, compacting, re'moval of stumps or other obstructions thai conflict with construction, 'and drainage of rights-of-way or easements required by FPL to accommodate the street lighting facililies. IT IS MUTUAllY AGREED THAT: 7. Modifications to the facilities provided by FPL under this agreement, other 1han for maintenance, may only be made through the execution of an add'itional street lighting agreement delineating the modlflcatlons to be accomplished. ModlficaUon of FPL street Hghtlng facHltles is defined as the following: a. the addition of street lighting facilities: b. the removal of street tighllng facilities; and c. the removal of street llghtlng facilities and the repfacement of such faclillies with new faclllties and/or additional facilities. Modifications will be subject to the costs Identified in FPL's currently effective street lighting rate schedule on fila at the FPSC, or any successive schedule approved by the FPSC. 8, FPL will, at the request of the Customer, relocate the street lightirlg facilitieS covered by this agreement, if provided suffiCient rlght-of·ways or easements to do $0. The Customer shall be responsible for the payment of all costs associated with any such Customer-requested relocation . of FPL street Ughtirlg facilities. Payment shall be made by the Customer in advance of any relocation, 9. FPL may, at any time, substitute for any lutnlnalrellamp installed hereunder another luminaire/lamp which shaD be of at least equal illuminating capacity and efficienoy. . 10. This Agreement shall be for a term often (10) years from the date of Initiation of service, and, except as provided belo~, shall extend thereafter for further successive periods of 1ive (5) years from the &xplrallon of the Inltlal ten (10) year term or from the expiration of any extension thereof. The date-of initiation of service shall be defined as the date the first lights afe energized and bUlIng begins, not the date of this Agreement. This Agr€ement shall be extended automatically beyond .the initial the (10) year term or any extension thereof, unless either party shall have given written noUce to the other of its desire to terminate this Agreement. The written notice shall be by certified mail and shall be given not less than ninety (90) days before the expiration of the Initial ten (10) yearterl')'l, or any extension thereof. . 11. In the event street lightIng facUlties covered by this agreement are removed, either at ·the request of the Customer or through termination or breach of this Agreement, the Customer shall be responsible for paying to FPL an amount equal to the original Installed cost of the facilities provided by FPL under this agreement less any salvage value and any depreCiation (based on current depreciation rates as approved by the FPSC) .plus removal cost. . 12. ShoUld th.e Customer fail to pay any bills ~ue and rendered pursuant to this agreement of otherwise fail to perfonn the obligations contained in this Agreement, said obligations being material and going to the essence of this Agreeme.nt, FPL may cease to supply electr!c energy or service untillhe Customer has paid the bills due and rendered or has fully cured such other breach of this Agreetnent. Any failure of FPL to exercise· its rights hereunder shall not be a waiver of Its rights. It is understood, however, that such discontinuance of the supplying of electric energy or service shall not constitute a breaoh of this Agreement by FPL, nor shall It relieve the Customer of the obligation to perfonn any of the terms and conditions of this Agreement. 13. The pbligalion to fumish or purchase service shaH be excused at any time that either party is prevented from complyIng wUh this Agreement by strikes, lockouts, fires, riots, acts of God, the public enemy, or by Gause or causes not under the control of the party thus prevented from . compliance and FPL shall ncit have the obligation to furnish service If it Is prevented from complying with this Agreement by reason of any partial, temporary or entire shut-down of servIce which, in the sale opinion of FPL, Is reasonably necessary for the purpose of repairing or makIng more efficient aU or. any part of its generating or other electrical equipment. 14, This.Agreement supersedes all previous Agreements or representatlons, either written, oral or olherwise between the Customer and FPL, with respeot to the facilities referenced herein and constitutes the entire Agreement between the parties, ThIs Agreement does not create any rights or provide any remedies to third parties or create any additional duly, obligation or undertakings by FPL to third parties. 15. This Agreement shall inure to the-benefrt of, and be binding uP9n the successors and assigns of the Customer and FPL. 16, This Agreement Is subject to FPL'.s Electric Tariff, including, but not Ilmited·to, the General Rules and Regulatlons for Electric Se1'\ltee and the Rules of the FPSC, as they are wlitlen! or as they may be hereafter revised, amended or supplemented. In the event of any conflict beM/ee-n the terms of thIs Agreement and the provisions of the FPL Electric Tariff or the FPSC Rules, the provisions Qf the Electric Tariff and FPSC Rules shall oontrol, as they are now written, o~ as they may be hereafter revised, amended or supplemented. APPLICATION: STREET LIGHTING Thirteenth Revised Sheet No. 8.715 Cancels Twelfth Revised Sheet No.8. 715 For lighting streets and roadways, whether public or private, which are thoroughfares for normal flow of vehicular trame. Lighting for other applications such as: municipally and privately~O\\11ed parking lots; parks and recreational areas; or any other area not expressly defined above, is not pcnnittcd under this schedule. TYPE OF INSTALL A nON: FPL·owncd tixtures nonnalIy will be mounted on poles of FPL's existing distribuHon system and served from overhead wires. On request. of the Customer, FPL will provide special poles or underground wires at the charges specified below. Customer-owned systems will be of a standard type and design, pemlitting service and lamp replacement at no abnormal cost to FPL. SERVICE: Service includes lamp renewals, patrol, energy from dusk each day until dawn the following day and maintenance of FPL-owned Street Lighting Systems. LIMITATION OF SERVICE: For Mercury Vapor, Fluorescent and Incandescent luminaires, no additions or changes in specified lumen output on existing installations will be pennitted under this schedulc aftcr October 4, 1981 except where such additional lights arc required in order to match existing installations. Stand-by or resale service is not permitted hereunder. CUSTOMER CONTRlllUTlONS: A Contribution-in-Aid-of-Construction (CIAC) will be required for: a) the diOerential cost between employing rapid construction techniques in trenching, backfilling and pole installation work where no obstructions exist, and the added cost to overcome obstructions such as sprinkler systems, paved surfaces (such as sidewalks, curbs, guttcrs, and roadways), landscaping, sodding and other obstructions encountcred along the Street Light System installation routc, including repair and replacement. If the Customer elects to perform work such as trenching and restoration, they will be reimbursed by FPL with a eredit (not to exceed the total CIAC cost) for the value of this work as determined by FPL; b) the installation cost of any new overhead distribution facilities and/or the cost of alterations to existing distribution facilities which are required in order to serve the Street Lighting System less tour (4) times the additional annual non-fuel energy revenue generated by the installation or alteration of the Street Lighting System, plus where underground facilities are installed, thc diOcrcntial installation cost bet-Neen underground and overhead distribution £'lcilities. These costs shall be paid by the Customer prior to the initiation of any construction work by FPL. On Street Lighting Systems, where the Customer elects to install Customer-owned monitoring systems, the Monthly Rate tor non-fuel energy shall be 2.652¢ per kWh of estimated usage of each monitoring unit plus adjustments. The minimum monthly kWh per monitoring device will be I kilowatt-hour per month, and the ma.ximum monthly kWh per monitoring device will be 5 kilowatt-hours per month. During the initial installation period: Facilities in service for 15 days or less will not be billed; Facilities in service for 16 days or more will be billed for a Ihllmonth. WILLFUL DAMAGE: Upon the second occurrence of willful damage to any FPL·owned facilities, the Customer will be responsible tor the cost incurred tor repair or replacement. If the lighting fixture is damaged, based on prior written instructions from the Customer, FPL will: a) Replace the fixture with a shielded cutoil' cobrahead. 111e Customer shan pay $280.00 for the shield plus all assoeiated costs. However, if the Customer chooses to have the shield installed after the first occurrence, the Customer shall only pay the $280.00 cost of the shield; or b) Replace with a like unshielded fixture. For this, and each subsequent occurrence, the Customer shall pay the costs specified under "Removal of Facilities"; or c) Tenninate service to the fLxture. Option selection shall be made by the Customer in writing and apply to all fixtures which FPL has installed on the Customer's behal( Selection changes may be made by the Customer at any time and will become ell'ective ninety (90) days after written notice is received.
