An Ordinance establishing an electric franchise with Florida Power &Light
Company for installation and powering of city street lighting within the City of
South Miami.
WHEREAS,the City of South Miami (City)desires to install street lighting;and
WHEREAS,the installation of streetlightingrequiressubstantial investments of capital
andotherresourcesinordertoconstruct,maintainandoperatefacilitiesessentialtotheprovision of
suchservicein addition tocostly administrative functions,andtheCity of South Miami doesnot
desireto incur the cost to provide such services;and
WHEREAS,Florida Power &Light Company (FPL)isa public utility which hasthe
demonstrated abilitytoinstallstreetlightingandsupplysuchservices;and
WHEREAS,Florida Power &Light Company requires a10 year agreement in order to
provide street lighting for the City;and
WHEREAS,the City Charter prohibits contracts that exceed five years for purchase
good and/or services but allows franchise agreements lasting upto50years;and
WHEREAS,FPL and theCity of South Miami desire to enter into installation
Agreementsfromtimetotimetoprovidefortheinstallationandmaintenance of citystreetlighting
fortheCity of SouthMiami,withoutchargefortheinstallationandmaintenance,otherthanthe
exclusiverightandprivilege of supplyingelectricityforsaidfacilitiesforaminimum of 10years
followingtheinstallation of eachfacilitypursuanttocertaintermsandconditions,and
WHEREAS,theCity Commission of theCity of South Miamideemsittobeinthe
publicinteresttoenterintotheseinstallation agreements definingtherightsand responsibilities of
thepartiesasthey relate tothe installation and maintenance of new electrical facilitiesandthe
exchange of othergoodandvaluable consideration betweentheparties..;
NOW,THEREFORE,BE IT ORDAINED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA THAT:
Section 1.Theforegoingrecitalsareherebyfoundtobetrueandcorrect,andare
incorporated hereinandadoptedandapprovedasifsetoutatlengthherein.
Section2.ThereisherebygrantedtoFloridaPower&Light Company,its successors and
assigns (hereinafter calledthe "GRANTEE"),a non-exclusive franchise to install or modify the
streetlightingfacilitiesdescribedandidentifiedintheattachedpurchaseorder/StreetLighting
AgreementandhereinaftercalledtheStreetLightingSystem,andtheexclusivefranchisetofurnish
totheCitythe electric energy necessary forthe operation oftheStreet Lighting System foratermof
10 years,andfurnishsuchotherservicesasarespecifiedinthisAgreement,allinaccordancewith
theterms of FPUs currentlyeffectivestreetlightingratescheduleinexistenceatthetime of the
execution ofthe Agreement andthatareonfileatthe Florida Public Service Commission (FPSC)or
anysuccessivestreetlightingratescheduleapprovedbytheFPSC.Theinitialterm of thestreet
lighting franchise agreementshallbefor10years following theinitialinstallationoftheStreet

LightingSystemassetforthintheattachedpurchaseorder/StreetLightingAgreement.Thereafter,
additionalStreet Lighting Systems maybeorderedbytheCity Manager forterms of 10yearsfor
thesupplying of electricityforeachStreetLightingSystemandundertermsthataresubstantially
similartothetermsinthe attached StreetLighting Agreement if subsequently approved by
resolution of theCity Commission afterapublichearing.
Section 3.The City of South Miami agreestothe terms set forth inthe attached Street
Lighting Agreement for now andinthefuturefor terms that shall not exceed 10 years forthe
installation of each new street lighting facility.
Section 4.Severability.If any section,clause,sentence,or phrase of this ordinance is
forany reason held invalid or unconstitutional bya court of competent jurisdiction,this holding
shallnotaffectthe validity of the remaining portions of this ordinance.
Section 5.Ordinances in Conflict.All ordinances or parts of ordinances andall
sections and parts of sections of ordinances in direct conflict herewith are hereby repealed.
Section 6.Effective Date.This ordinance shall become effective upon enactment.

FPL AGREES:
1.To install or modify the street lighting facilities described and identified above (hereinafter called the Street Lighting System),furnish tothe
Customer the electric energy necessary for the operation ofthe Street Lighting System,and furnish such other services asare specified inthis
Agreement,all in accordance with the terms of FPL's currently effective street lighting rate schedule on file atthe Florida Public Service
Commission (FPSC)oranysuccessivestreet lighting rateschedule approved bythe FPSC.
THE CUSTOMER AGREES:
2.Topaya contribution inthe amount of$0 prior to FPL's Initiating the requested Installation or modification.
3.To purchase from FPLailofthe electric energyused for the operation oftheStreet lightingSystem.
Tobe responsible for paying,whendue,all bills rendered by FPL pursuant to FPL's currently effective street lighting rate schedule on file atthe
FPSC oranysuccessivestreet lighting rate schedule approved bythe FPSC,for facilities andservice provided In accordance with this
agreemenL
To provide access,final grading and.when requested,good and sufficient easements,suitable construction drawings showing the location of
existing and proposed structures,identification of allnon-FPL underground facilities wilhln or near pde ortrench locations,and appropriate
plats necessary for planning the design and completing the construction of FPL facilities associated with the Street Lighting System.
To perform any clearing,compacting,removal of stumps orother obstructions thatconflict with construction,and drainage of rights-of-way or
easements required byFPLtoaccommodatethestreet lighting facilities.

ITIS MUTUALLY AGREED THAT:
7.Modifications tothe facilities provided by FPL under this agreement,other than for maintenance,mayonlybemade through the execution of
an additional streetlighting agreement delineating the modifications tobe accomplished.Modification of FPL street Gghftng facilities is defined
asthe following:
a-the adoptionof street lighting facilities:
b.the removal ofstreet lighting facilities;and
c.the removal ofstreet lighting facilities andthe replacement ofsuch facilities withnew facilities and/or additional facilities.
Modifications will besubjecttothecosts Identified in FPL's currently effective street lighting rate schedule on file atthe FPSC,orany
successive scheduleapprovedbytheFPSC,
8.FPL will,atthe request ofthe Customer,relocate the street lighting facilities covered bythis agreement,if provided sufficient right-of-ways or
easementstodoso.The Custcmer shall be responsible for thepaymentof all costsassociatedwith anysuch Customer-requested relocation .
ofFPLstreet lighting facilities.PaymentshallbemadebytheCustomerinadvanceofany relocation.
9.FPL may,at any time,substitute for any lumlnalre/Iamp installed hereunder another luminaire/iamp which shall beofat least equal illuminating
capacityand efficiency.
10.ThisAgreementshaH beforatermoften (10)years from thedateof Initiation of service,and,exceptas provided below,shallextend thereafter
for further successive periods of five (5)years from the expiration ofthe initial ten (10)yeartermor from the expiration ofanyextensionthereof.
Thedateof initiation of service shall be defined asthe date the first lights areenergized and billing begins,notthe date ofthis Agreement.
This Agreement shall be extended automatically beyond the initial the (10)year term orany extension thereof,unlesseither party shallhave
given written notice tothe other ofits desire to terminate this Agreement.The written notice shall beby certified mail and shall be given not
lessthan ninety (90)days before the expiration ofthe initial ten (10)yearterm,oranyextensionthereof.
11.In theevent street lighting facilities covered bythis agreement are removed,either atthe request ofthe Customer or through termination or
breach ofthis Agreement,the Customer shall be responsible for paying to FPL an amount equal tothe original installed costofthe facilities
provided by FPL under this agreement lessany salvage value and anydepreciation (baaed on current depreciation rates as approved bythe
FPSC)plus removal cost.
12.ShouldtheCustomer fail topayany bills dueand rendered pursuant tothisagreementof otherwise fail to perform the obligations contained in
.this Agreement,said obligations being material and going totheessenceofthisAgreement,FPL mayceaseto supply electric energy or
service until theCustomerhas paid thebillsdueand rendered orhas fully cured suchother breach ofthis Agreement.Any failure of FPL to
exercise its rights hereunder shaH notbea waiver ofits rights,itis understood,however,that such discontinuance ofthe supplying of electric
energyor service shallnot constitute abreachofthisAgreementby FPL,norshall it relieve the Customer ofthe obBgafion to perform anyof
thetermsandconditionsofthisAgreement.
13.The obligation to furnish or purchase service shallbeexcusedatany time thateither party is prevented from complying wilh thisAgreementby
smites,lockouts,fires,riots,actsof God,the public enemy,orbycauseorcausesnot under the control ofthe party thus prevented from
•compliance and FPL shallnothavethe obligation to furnish service if it is prevented from complying with this Agreement by reason ofany
partial,temporary or entire shut-down of service which,m thesole opinion of FPL,Is reasonably necessary for the purpose of repairing or
making more efficient allor.any part ofitsgenerating orother electrical equipment.
14.This Agreement supersedes alt previous Agreements orrepresentations,either written,oral or otherwise between me Customer and FPL,with
respecttothe facilities referenced herein and constitutes theentireAgreementbetweenthe parties.This Agreementdoesnotcreateany
rights or provide anyremediesto third parties orcreateanyadditional duly,obligation or undertakings by FPL to third parties.
15.This Agreement shall inure tothe benefit of,andbe binding upon the successors and assignsofthe Customer andFPL
16.ThisAgreementIs subjectto FPL's Electric Tariff,including,butnot limited to,the General Rulesand Regulations forElectric Serviceandthe
Rulesofthe FPSC,astheyare written,orastheymaybehereafterrevised,amendedor supplemented,intheeventofany conflict between
thetermsofthis Agreement andthe provisions ofthe FPL Electric TariffortheFPSCRules,the provisions ofthe Electric TariffandFPSC
Rules shall control,astheyarenowwritten,or.asthey maybe hereafter revised,amendedor supplemented.
INWITNESS WHEREOF,the parties herebycausedthisAgreement tobeexecutedin triplicate bytheirduly authorized representatives to
beeffectiveasofthedayandyear first written above.

AVAILABLE:
Inall territory served.
APPLICATION:
Forlightingstreetsandroadways,whetherpublicor private,whicharethoroughfaresfornormalflow of vehicular trafiic.Lighting
forotherapplicationssuchas:municipallyand privately-owned parkinglots;parksandrecreational areas;oranyotherareanot
expresslydefinedabove,isnotpermittedunderthisschedule.
TYPE OF INSTALLATION:
FPL-owned fixturesnormallywillbemountedonpoles of FPL's existing distribution system andservedfrom overhead wires.On
request,oftheCustomer,FPLwillprovidespecialpolesorundergroundwiresatthechargesspecifiedbelow.Customer-owned
systemswillbe of astandardtypeanddesign,permitting serviceandlampreplacementatno abnormal costtoFPL.
SERVICE:
Serviceincludeslamprenewals,patrol,energyfromduskeachdayuntildawnthefollowingdayandmaintenanceofFPL-owned
StreetLightingSystems.
LIMITATION OF SERVICE:
ForMercuryVapor,FluorescentandIncandescentluminaires,noadditionsorchangesinspecifiedlumenoutputonexisting
installationswillbepermittedunderthisscheduleafterOctober 4,1981 exceptwheresuch additional lightsarcrequiredinorderto
match existing installations.
Stand-by orresaleserviceisnotpermittedhereunder.
CUSTOMER CONTRIBUTIONS:
A Contribution-in-Aid-of-Construction (CIAC)willberequiredfor:
a)thedifierential costbetweenemployingrapidconstructiontechniquesintrenching,backfillingandpoleinstallationwork
wherenoobstructionsexist,andtheaddedcosttoovercomeobstructionssuchassprinklersystems,pavedsurfaces(suchas
sidewalks,curbs,gutters,androadways),landscaping,soddingandother obstructions encountered alongtheStreetLight
Systeminstallationroute,includingrepairand replacement If theCustomerelectstoperformworksuchastrenchingand
restoration,theywillbereimbursedbyFPLwithacredit(nottoexceedthetotal CIAC cost)forthevalueofthisworkas
determinedbyFPL;
b)theinstallationcostofanynewoverheaddistributionfacilitiesand/orthecost of alterationstoexistingdistributionfacilities
whicharerequiredinordertoservetheStreetLightingSystemlessfour(4)timestheadditionalannualnon-fuelenergy
revenuegeneratedbytheinstallationoralterationoftheStreetLightingSystem,pluswhereundergroundfacilitiesare
installed,the differentialinstallationcostbetweenundergroundandoverheaddistributionfacilities.
ThesecostsshallbepaidbytheCustomerpriortotheinitiation of anyconstructionworkbyFPL.TheCustomershallalsopayany
additionalcostsassociatedwithdesignmodificationsrequestedaftertheoriginalestimatehasbeenmade.

However,iftheCustomerchoosestohavetheshieldinstalledafterthefirstoccurrence,theCustomershallonlypaythe
$280.00 cost ofthe shield;or
b)Replacewithalike unshielded fixture.Forthis,andeachsubsequent occurrence,theCustomershallpaythecosts specified
under "Removal of Facilities":or
c)Terminate service tothefixture.
OptionselectionshallbemadebytheCustomerinwritingandapplytoall fixtures whichFPLhasinstalledontheCustomer's behalf.
Selection changes maybe made bythe Customer atanytimeandwill become etTective ninety (90)daysafterwrittennoticeis received.

Rules and Regulations for Electric Service"on file with the Florida Public Service Commission.Incaseof conflict between any
