RESOLUTION NO.015-16-14570 A Resolution authorizing the City Manager to purchase and finance for 5 years NICE Recording System from Word Systems,Inc. WHEREAS,the MayorandCityCommissionwishtopurchase the NICE digital voice logging system from Word Systems,Inc for the Police Department,and, WHEREAS,the current digital recording system software isyearsoldandisnolongerprovided software support;and, WHEREAS,to meet the needsofPublicSafety the Police Department needs immediateaccess to playback oncallsreceived to the Police Department andasa proper way to record and archiving;and, WHEREAS,pursuant to the City Charter andtheCity'spurchasing policy,three quotes were obtain for the equipment and Word Systems,Inc.'s quote wasthelowestand most responsive;and WHEREAS,the cost ofthis hardware and software willbefinanced over the next 5 years at an estimated amount of$2,450 per year to becharged to account 001-1910-521 -4630(MaintenanceandRepair of Communications Equipment)withanoverall cost of $10,823. B.WSIwillchargefor time andmaterialsforperforminganyservicesconnectedwithrelocationof equipment andexpansions of equipment WSI will charge time andmaterialsratesforallrepairsandsoftware support needed torepair computer virus contamination of our WSI Computer System.The Customer agreesnottoloadany software onourWSI computer without written permission from the WSIServiceManager.WSI isnotresponsiblefor telephone lines,inducednoisebyradiostationsand other equipment cablingand connections other than those items WSIsuppliestothe Customer toinstallWSI equipment. C.WSIwillchargeforanyinstallation of equipment upgradesandexpansions,software enhancements,software andrelated modifications or additional attachments andaccessories that the Customer requests but wouldnot normally be essential to keeping the equipment operational withitsthen current functionality. D.WSI willchargeforanypartsthat must bereplacedduetocauseotherthannormalwearandtearordamagescausedbyaccident, abuse,orlor work done dueto inadequate trainingor operator errors. E.Newadditional equipment orsoftwarepurchaseswillresultin adjustment ofmaintenanceandsupportcharges.Customerwillbe invoicedforsupport premiums relatedtosuchadditions.Theinvoicewillbepro-ratedtocoincidewith the term ofthis Agreement F.Servicechargesfor equipment or software ortrainingnot covered bythis Agreement willalsobeat the currentprevailingWord Systems,Inc.rates. G.WSIshallnothaveanyobligationswithrespecttoproblemsduetoanymodification of the equipment orsoftwareby anyone other than WSI,the Improper combination of equipment or software withotherproducts not providedbyWSI,or the useof the software or equipment In anunreasonablemanner.Anyservicesthat WSI agreestoperformduetotheforegoing shall be charged at then current rates. H.WSIshallnothaveanyobligationswith respect toproblemsduetoCustomer'sfailureto Install standardsoftwareupdatesor comply with the manufacturers'recommended operating environment or specifications,orduetochangesinCustomer'sownnetworkor hardware.Anyservices that WSIagreestoperformdueto the foregoingshallbechargedatthen current rates. 111.EXCLUSIONS WSIwill not provide: A.Electrical work orcables,plumbing,drillingorcarpentry work externaltoWSI equipment. B.Maintenance of accessories,attachments or other devices not furnished byWSI. C.Freeloaner equipment WSI recommends the Customerbuyspareterminalsandaccessoriestoreplacebrokenunitsuntil WSI can make repairs(if the application Is socritical that repairs can't wait). D.Freerepairsfor damages fromexternal computer virus contamination. E.Freerepair for lightningandhighvoltagepowersurgedamagetoour equipment whileat the Customer's site, F.Operatortrainingbya W51 supporttechnician.SeeWSIaccountrepresentativeforalltrainingneeds. V.LIABILITY DISCLAIMERS WSIshallnotbeliableorheld responsible foranydelayinor failure ordefectof performanceunderthisAgreement,orbeliableforanyotherconsequence,damage,injury,or loss,causedbyor resulting fromanyact, event,occurrence,orcausebeyondthereasonablecontrolof WSI,including (without limitation)actsofGod,war,fires,explosions, floods,strikes,major mechanical breakdown,system malfunctions.Interruption ofutilityservices,actsofanyunitofgovernmentor agencythereof,workstoppage,breakdown,virus contamination,theft,loss of data,lack of avai lable partsfrom the manufacturer,loss caused bypowerfailures,loss causedbylack of Customer equipment orsoftwarebackups,orworkdoneduetolackofpropertraining of Customer'spersonnel.Customeris expected tobackupalldata,voiceandvideo files andtoprotectthecomputerfromincoming virusdamage.Service calls thatarecausedbyanyoftheforegoingexclusions shall beinvoicedatthecurrentlypublishedtimeand materials rates. To the fullest extent permitted bylaw: WSIanditsofficers,directors,employees,shareholders,agents and representatives shall not beliableto customer orany other party fori nddental,spedal,exemplaryorconsequentialdamages (Including,without limitation,lossofanticipatedprofits,lossof data,andloss of goodwill}arising out ofor related to this agreement orthegoodandservicesprovided,evenIfadvisedInadvance of the possibility of such damages. Exceptwithrespecttodamagescausedby WSfs willfulmisconduct,WSI's liability(Including attorneys'fees)tocustomerorany third partyarising out oforrelatedto this agreement and the goodandservicesprovided shall,foranyandallcausesandclaims regardless of the form of action,whether based oncontract,tort,negligence,strictliability,indemnification or otherwise,in the aggregate hot exceed the price paid byresellerfor the particulargood(s)or servlce(s)involvedprior to suchclaim'saccrual under which such damages arose. VI.CUSTOMER RESPONSIBILITY Itshallbe the responsibilityoftheCustomertohave equipment protectedbyWSI approved uninterruptible PowerSupply(UPS)andtouseWSI approved storagemediaandperform preventative maintenance as describedintheOperatorsManual,It is the responsibilityofthe Customertohavetrainedpersonneloperatingthe equipment. Additionaltrainingisavailablefrom WSI foranadditionalchargeas new peoplearehiredtorunthe equipment,The Customer shall make the equipment availableto the technicalservices representative assoonasarepresentativearriveson-siteandagreestoallow the WSItechnicalservicesrepresentativeaccesstothe equipment,Immediatelyupon arrival.Access will begiventohim/herforaslong asit takes to repairand adequately test the equipment. VII.TRAINING Trainingprovided with the purchaseofasystemconsists of on-sitetraininguponcompletion of installationas agreed uponinExhibitA.Detailedtrainingshall encompass an overview ofallfunctionsandfeatures necessary to operate equipment.It istheresponsibilityoftheCustomertohavebasic PC knowledgepriortosystemtrainingonnew equipment. Upon completion of initialtraining should Customer requireadditionaltrainingofstaff,WSIwill Invoice CustomeratstandardWSI training rates. VIII.GOVERNING LAW;VENUE This Agreement andanymattersanddisputesrelated thereto shallbegovernedbyand construed In accordancewith the lawsof the Stateof Indiana without regardtothechoiceoflawprinciplesthereof.Anycauseofaction arisinghereundermayonlybebroughtinafederalorstatecourtlocated In Marlon County,Indiana.Each partyexpresslyagreesthat MarlonCountyshallbe deemed to bea county ofpreferred venue andeachsuchpartywaivesany entitlement eachmight otherwise havetoatransferofvenueout of Marlon County underanypreferredvenue requirements of Indiana Trial Rule75oranyothervenue rulesorlawswhichmaybeapplicable.Thepartieshereby submit to the exclusivejurisdiction,thosecourts.
