Res No 029-16-14584RESOLUTION NO.029-16-14584 A Resolution authorizing the City Manager to negotiate and to enter into a contract with Fast-Dry Courts,Inc.for resurfacing tennis clay courts at Dante FascellPark. WHEREAS,the city's six(6)clay surfaced tennis courts,located at Dante FascellPark, are in dire need of laser-tapered resurfacing;and WHEREAS,the contractor is responsible for laser-tapered resurfacing six(6)Har-Tru tennis courts;clean surface,apply up to 10 tons of new surface material per court using laser guided grading equipment to help reestablish the precise court slope and optimal surface depth,install new line tape,repaint net posts,furnish and install new tennis nets and custom windscreens with the city logo printed;and WHEREAS,the city submitted a Request for Proposal (RFP)#PR2015-29 on Tuesday, December 15,2015 for "Resurfacing Clay Tennis Courts".The city received one (1)proposal; Fast-Dry Courts,Inc.was the lowest bidder and isin compliance with the terms of the RFP;and WHEREAS,city staff consulted with the contractor's references as to hands on experience and received positive feedback;and WHEREAS,furthermore,city staff helda public meeting on Monday,January 25,2016 with a representative of Fast-Dry Courts to discuss the proposal and scope of work.Basedon that information,we recommend entering intoan agreement with Fast-Dry Courts,Inc.due to cost,qualification and experience. NOW,THEREFORE BEIT RESOLVED BYTHE MAYOR AND CITY COMMISSION OFTHE CITYOF SOUTH MIAMI,FLORIDA THAT: Section 1.TheCity Manager is authorized to expend an amount not to exceed $40,635 to Fast-Dry Courts,Inc.for resurfacing tennis clay courts at Dante FascellPark.To account for any unknown factors that mayarise,a $6,000 contingency over the proposal of $40,635 is requested.The total expenditure shallbe charged to the Parksand Recreation Capital Improvement account number 301-2000-572-6450,which has a balance of $314,702 before this request wasmade.Acopyof the proposed contract andcopiesofallbackup documentation are attached. complementary;what is called for by one is as binding asif called forby all thedocuments.If CONTRACTOR finds a conflict,error or discrepancy inthe Contract Documents,it shall,before proceeding with theWork affected thereby,immediately call ittothe CONSULTANTS attentionin writing.Thevarious Contract Documentsarecomplementary;incaseof conflict,error or discrepancy,themorestringent interpretation Drawings and Specifications. 35 TheWorkof all trades under this Contract shall be coordinated bythe CONTRACTOR in such a manneras obtain thebest workmanship possible fortheentire Project,and all components of die Work shall be installed orerectedin accordance withthebest practices of the particular trade. 3.6 The CONTRACTOR shafl be responsible for making the construction of habitable structuresunderthis Contractrain proof,andfor making equipment and utility installations properly perform the specified function,h*the CONTRACTOR is prevented from complying with this provision duetothe Drawings or Specifications,the CONTRACTOR shall Immediately notify the CONSULTANT in writing of,such limitations before proceeding with construction intheareawherethe problem exists. 3.7Manufacturer's literature,when referenced,shallbedatedand numbered andisintended to establish the minimum requirementsacceptable.Wheneverreferenceis given to codes,or standard specifications or otherdata published by regulating agencies or accepted organizations,including butnot limited to National Electrical Code,applicable State Building Code.Florida Building Code,Federal Specifications, CONTRACTOR,The CONTRACTOR shall submit tothe CONSULTANT alistof proposed materials,equipment or products,together with such samples as may be necessary for themto determine their acceptability and obtain their approval,within ninety (90)calendar days after award of Contract unless otherwise stipulated in the Special Conditions.No request for payment for "or equal" equipment will be approved until this list has been received and approved bythe CONSULTANT. 6.6.1 Whenever a material,article or piece of equipment is identified on the Drawings or Specifications by reference to brand name or catalog number,it shall be understood that this is referenced for the purpose of defining the performance orother salient requirements and thatother products of equal capacities,quality and function shall beconsidered The CONTRACTOR may recommend the substitution ofa material,article,or piece of equipment of equal substance and function for those referred tointhe Contract Documents by reference to brand name or catalog number,and if,In the opinion of die CONSULTANT,such material,articter or piece of equipment Is of equal substance and function tothat specified,the CONSULTANT may approve its substitution and use bythe CONTRACTOR.Incidental changes or extra component parts required to accommodate the substitute will be made bythe CONTRACTOR without a change inthe Contract rVice orthe Contract Time. 6.62 No substitute shall be ordered or installed without the written approval ofthe CONSULTANT who shall be the judgeof quality. 6.63 Delay caused by obtaining approvals for substitute materials shall notbe considered justifiable groundsforan extension of constructiontime. 6.6.4 Should any Workor materials,equipment or products not conform to requirements ofthe Drawings and Specifications or become damaged during the progress oftheWork,such Workor materials shall be removed and replaced,togetherwith any Work disarranged by such alterations, atanytimebefore completion and acceptance oftheProject AB such Work shall bedoneatthe expense ofthe CONTRACTOR. 6.65 No materials or supplies for theWork shall be purchased bythe CONTRACTOR or any Subcontractor subject to any chattel mortgage or under a conditional sale orother agreement by which aninterestis retained bythe Seller.The CONTRACTOR warrants thatthey have good tide to all materials and supplies usedbythem in theWork. 6.6.6 Non-conforming Work:TheCityof South Miami may withhold acceptance of,orrejectitems which are found upon examination,nottomeetthe specification requirements or conform tothe plans and drawings.Upon written notification of rejection,items shall be removed or unlnstalled within H^e (S)business days bythe CONTRACTOR at his own expense and redelivered andfor reinstalled at his expense.Rejected goods left longer than thirty (30)calendar days shall be regarded as abandoned and the CITY shall have the right to dispose of diem asitsown property and the CONTRACTOR thereby waives reserves therightintheevent die CONTRACTOR cannot provide anitem(s)or service(s)inatimely manner as requested,to obtain thegood and/or services fromother sources anddeducting the cost fromtheContract Price without violating die intent of the Contract Concerning Subcontractors: 6.7TheCONTRACTOR shall not employany Subcontractor,against whomtheCITYorthe CONSULTANT mayhave reasonable objection,nor wiH the CONTRACTOR be required to employ any Subcontractor whohasbeenacceptedbytheCITYandthe CONSULTANT,unless theCONSULTANT determinesthat there isgoodcausefordoingso. 6.8TheCONTRACTOR shall be folly responsible for all actsand omissions ofits Subcontractors andof persons and organizations directly or indirectly employedbyitand of persons and organizations for whoseactsanyofthemmaybe liable tothesameextentthattheyare responsible fortheactsand omissions of personsdlrecdyemployedbythem.NothingintheContractDocuments shall createany contractual relationship between OWNER or CONSULTANT andanySubcontractoror other personor organizationhavingadirect contract with CONTRACTOR,norshallitcreate any obligationonthepart of OWNERorCONSULTANTtopayortoseetopaymentofany subcontractor or other practicable,evidence of amounts paid to the CONTRACTOR onaccountof specified Work donein accordance withtheschedule values. 6.9The divisions and sections ofthe Specifications and the identifications of any Drawings shall not control the CONTRACTOR in dividing theWork among Subcontractors or delineating theWork performed by anyspecifictrade 6.10 The CONTRACTOR agrees to bind specifically every Subcontractor tothe applicable termsand conditions of the Contract Documents for the benefit of the OWNER. 6.11 All Work performed forthe CONTRACTOR bya Subcontractor shall be pursuant toan appropriate agreement between the CONTRACTOR andthe Subcono-actor. 6.12 The CONTRACTOR shall be responsible forthe coordination ofthe trades,Subcontractors material and men engaged upontheir Work. 6.12.1 TheCONTRACTOR shafl cause appropriate provisions tobeinsertedin all subcontracts relative to die Work tobind Subcontractors tothe CONTRACTOR bythe terms of these General Conditions and other Contract Documents insofar asapplicable totheWorkof Subcontractors, and give the CONTRACTOR the same powerasregards to terminating any subcontract thatthe OWNER mayexerciseoverthe CONTRACTOR underany provisions oftheContract Documents. 6.12.2 TheCITYorCONSULTANTwillnotundertaketosettleany differences betweenthe CONTRACTOR and their Subcontractors or between Subcontractors. 6.12.3 Ifintheopinion of the CONSULTANT,anySubcontractorontheProjectproves to be incompetentorotherwise unsatisfactory,they shall be promptly replaced bytheCONTRACTOR ifandwhendirectedbytheCONSULTANT Inwriting. 6.12A Discrimination:Noaction shall betakenbytheanysubcontractorwith regard tothefulfilmentofthe termsofthe subcontract,including the hiring andretentionofemployeesforthe performance of Work thatwould discriminate against anypersononthebasisof race,color,creed,religion,national origin,sex, age,sexual orientation,familial statusor disability.This paragraph shall bemadeapart of the subcontractor's contract with die Contractor. PatentFeesandRoyalties! 6.13 TheCONTRACTOR shall pay all license fees and royalties and assume ail costs incident totheuseof any invention,design,processor device which is thesubjectofpatentrightsorcopyrightsheldbyothers.He shall Indemnify and hold harmless theOWNER and the CONSULTANT and anyone directly or indirectly employed byeitherofthemfrom against all claims,damages,losses andexpenses (including attorney's fees)arising outofanyinfringement ofsuch rights during orafterthe completion oftheWork,and shall defend all such claims in connection with any alleged infringement of such rights. 6.14 The CONTRACTOR shall be responsible for determining the application of patent and/orroyalty rights astoany materials,appliances,articles orsystemspriorto bidding.However,he shall notbe responsible forsuchdetermination onsystems which donot involve purchase bythemof materials,appliances and articles. Permits: 6.15 TheCONTRACTOR shall secure and pay for ail construction permits and licenses and shall pay for ail governmental charges and inspection fees necessary forthe prosecution of the Work whichare applicable at die timeofhis Bid.When such charges are normally madebytheCITYandwhenso stated inthe Special Conditions,there will beno charges totheCONTRACTOR.The QTY shall assist the CONTRACTOR,when necessary,in obtaining such permits and licenses.The CONTRACTOR shall also pay all public utility charges. Electrical Powerand Lighting: 6.16 Hectrical power required during construction shall be provided by each prime CONTRACTOR as required by it This service shall be installed bya qualified electrical Contractor approved bythe CONSULTANT.Lighting shall be provided bytheCONTRACTORin all spaces at ail timeswhere necessary forgoodandproper workmanship,for inspection orforsafety.Notemporarypower shall be usedofftemporary lighting lines without specific approval ofthe CONTRACTOR. Lawsand Regulations: Thomas F.Pepa 02-23-IS 54 6.17 The CONTRACTOR shall comply with all notices,laws,ordinances,rules and regulations applicable to the Work.If the CONTRACTOR observes thatthe Specifications or Drawings are at variance therewith, it shafl give the CONSULTANT prompt written notice thereof,and any necessary changes shafl be adjusted byan appropriate modification.Ifthe CONTRACTOR performs anyWork knowing Ittobe contrary to such laws,ordinances,rulesand regulations,andwithoutsuchnoticetotheCONSULTANT, It snail bear all costs arising there from;however,it shafl notbeits primary responsibility to make certain thatthe Drawings and Specifications are In accordance with such laws,ordinances,rules and regulations. Discrimination: 6.17A No action shall be taken bythe Contractor with regard tothe fulfilment ofthe terms ofthe Contract, including the hiring and retention of employees forthe performance ofWorkthatwould discriminate against any person onthe basis of race,color,creed,religion,national origjn,sex,age,sexual orientation, familial statusor disability. Taxes; 6.1 BCostofallapplicable sales,consumer use,andothertaxesforwhichthe CONTRACTOR islableunder the Contract shall be included inthe Contract Price stated bythe CONTRACTOR. SafetyandProtection; 6.19 The CONTRACTOR shall be responsible for initiating,maintaining and supervising all-safety precautions and programs in connection withthe Work,They shafl take all necessary precautions forthe safety of. and shall provide the necessary protection to prevent damage,injury or loss to: 6.19.1 All employees and other persons,who may be affected thereby, 6.19.2 All theWork and all materials or equipment tobe incorporated therein,whether in storage onor offthe site,and 6.19.3 Other property atthesiteor adjacent thereto,including trees,shrubs,lawns,walks,pavements, roadways,structures and utilities not designated for removal,relocation or replacement inthe course of construction. 6.20 The CONTRACTOR shall designate a responsible member oftheirorganization atthesitewhoseduty shall bethe prevention of accidents.This person shall bethe CONTRACTOR'S Superintendent unless otherwise designated In writingbythe CONTRACTOR totheCITY. Emergencies; 6.21 In emergencies affecting the safety of persons ortheWorkor property atthe site or adjacent thereto, the CONTRACTOR,without special instruction or authorization fromthe CONSULTANT or CITY,is obligated toactat his discretion,to prevent threatened damage,injury or loss.He shall give the COhSULTANT prompt written notice of any significant changes intheWorkor deviations from the Contract Documents caused thereby.Ifthe CONTRACTOR believes thatadditional Work done byhim in anemergencywhicharosefromcausesbeyondhiscontrol entides him toan increase in the Contract Price oran extension ofthe Contract Time,hemaymakea claim thereforeas provided in Articles 11 and 12. Shop DrawingsandSamples: 6.22After checking and verifying all field measurements,die CONTRACTOR shall submit tothe CONSULTANT for review,in accordance withthe accepted schedule ofshopdrawing submissions,she (6)copies (oratthe CONSULTANT option,one reproducible copy)of all Shop Drawings,which shafl havebeen checked byand stamped withthe approval oftheCONTRACTOR.TheShop Drawings shall be numbered and identified as the CONSULTANT may require.The data shown onthe Shop Drawings shall be completewithrespectto dimensions,design criteria,materials of construction andthe like to enable the CONSULTANT toreviewthe information withoutany unnecessary investigation. 6.23 TheCONTRACTOR shall alsosubmittothe CONSULTANT forreview,with such promptness asto cause no delay inWork,all samples required bythe Contract Documents. All samples shafl havebeencheckedbyandstampedwiththe approval ofthe CONTRACTOR,identified clearly asto material,manufacturer,any pertinent catalog numbersand theuseforwhichintended. 6^4 At die time of each submission,theCONTRACTOR shall notify die CONSULTANT,in writing,of any deviations betweentheShop Drawings or samples andtherequirements ofdie ContractDocuments. 6.25 The CONSULTANT shall reviewwith responsible promptness Shop Drawings and Samples,buthis review shall beonlyforconformancewiththe design conceptoftheProjectandfor compliance withthe informationgiveninthe Contract Documents.Thereviewofaseparate item assuchwill not indicate Thomas P.Pepe 02-2MS 55 reviewofthe assembly in which theitems functions.The CONTRACTOR shall makeanycorrections required bythe CONSULTANT and shall returnthe required number ofcorrected copies of Shop Drawings andresubmitnew samples until the review is satisfactory tothe CONSULTANT.The CONTRACTOR shall notify the CONSULTANT,In writing ofanypriorShopDrawingor revisions to Shop Drawings thatare in conflict with each submission or re-submission.The CONTRACTOR'S stamp of approval on any Shop Drawings or sample shall constitute representation tothe CITY andthe CONSULTANT thatthe CONTRACTOR haseitherdeterminedand/or verified all quantities,dimension, field construction criteria,materials,catalognumbersandsimilardata or theyassume full responsibility fordoingso,andthattheyhave reviewed or coordinated eachShop Drawing or sample withthe requirementsoftheWorkandtheContract Documents. 6.26NoWork requiring asubmittalofaShop Drawing or sample shall be commenced until die submission has been reviewed and approved inwriting bythe CONSULTANT.AcopyofeachShop Drawing andeach approvedsampleshallbekeptingood order,inabook or binder,in chronological order or insuch other order requiredby the CONSULTANT in writing,bytheCONTRACTORatthesiteandshallbe available to the CONSULTANT. 6.27The CONSULTANTS reviewofShop Drawings or samples shall notrelievetheCONTRACTORfrom hisresponsibility foranydeviations from the requirements oftheContract Documents unless the CONTRACTOR has informed the CONSULTANT,In writingtoeach deviation atthetimeof submission andthe CONSULTANT has given written approval tothe specific deviation,nor shall any reviewbythe CONSULTANT relieve the CONTRACTOR from responsibility for errors or omissions in theShop Drawings or samples. 6.27A The CONTRACTOR shall be liable tothe OWNER forany addttional costordelaythat Is causedbyits failure to notify the CONSULTANT ofanyof said deviations or conflicts between Shop Drawings ordue to errors intheShopDrawings or samples. CleaningUp: 6.28 The CONTRACTOR shall clean up behind theWorkas much asis reasonably possible astheWork progresses.Upon completion ofthe Work,and before acceptance of final payment for the Projectbythe OWNER,the CONTRACTOR shall remove all his surplus and discarded materials,excavated material and rubbish as wefi as all other material and equipment thatdoesnotformapartofthe Work,fromthe property,roadways,sidewalks,parking areas,lawn and all adjacentproperty.In addition,the CONTRACTOR shall deanhis portion ofWork involved in any building underthisContractsothatno further cleaning bythe OWNER is necessary priortoits occupancy andhe shaft restore all property,both public and private,which hasbeen disturbed or damaged duringthe prosecution of die Worksoasto leavethewhole Work andWorkSiteinaneatand presentable condition. 6.29 Ifthe CONTRACTOR doesnotdeantheWork site,the CITY may deantheWorkSiteof die materials referred to in paragraph 6.28 and charge the cost to the CONTRACTOR,| Public Convenience and Safety:\ 6.30TheCONTRACTOR shall,atall times,conducttheWorkinsuchamanneras to insuretheleast i practicable obstruction to public travel The convenience ofthe general public and ofthe residents along f and adjacent totheareaofWork shall be provided for in a satisfactory manner,consistent withthe i operation and local conditions."Street Closed*signs shall be placed immediately adjacent to the Work,in j a conspicuous position,at such locations as traffic demands.At any time thatstreets are required tobe i dosed,the CONTRACTOR shall notify law enforcement agencies and in particular,the City of South Miami Police Department before the street is closed and again as soon as Itis opened.Access to fire I hydrants and other firs extinguishing equipment shall be provided and maintained at all times.j Sanitary frovisions; 6.31 The CONTRACTOR shall provide on-site office,and necessary toilet fedtldes,seduded from public observation,for use ofaB personnel on the Work Site,whether ornotin his employ.They shall be kept inadeanand sanitary condition and shall comply with the requirements and regulations ofthe Public Authorities having jurisdiction.They shafl commit no public nuisance.Temporary field office and sanitary facilities shafl be removed upon completion oftheWorkand the premises shall be left clean. Indemhificatipn; 632Contraaor shall comply with the indemnification requirements setforthinthe RFP andin EXHIBIT 2 of the Supplementary Conditions (Insurance and indemnification requirements). Thomas F.Pep* 01-23-15 56 6.33 In the event that any action or proceeding isbrought agunst OWNER or CONSULTANT byreason of any such claim or demand,CONTRACTOR,upon written notice from QTY shall defend such action or proceeding by counsel satisfactory to CITY.The indemnification provided above shall obligate CONTRACTOR to defend atits own expense orto provide for such defense,at OTY'S option,any and all claims of liability and ail suits and actions of every name and description that may be brought against OWNER or CONSULTANT,excluding onlythose claims thatallege that the injuries arose outofthe solenegligenceof OWNER or CONSULTANT. 6.34 The obligations ofthe CONTRACTOR under paragraph 633 shall not extend tothe liability ofthe CONSULTANT,its agents or employees arising outof (a)the preparation or approval of maps,drawings, opinions,reports,surveys,Change Orders,designs or specifications or (b)the giving ofortheMure to give directions or instructions bythe CONSULTANT itsagents or employees provided such actor omission isthe primary cause of injury or damage. 6.34A Allofthe forgoing indemnification provisions shall survive thetermofthe Contract to which these Genera]Conditions areapart Indemnification shall notexceedan amount equal tothetotal value of all insurance coverage requiredby Section 5.1 ofthisdocument Indemnification Is limitedto damages caused In wholeorinpartbyany act omission,ordefaultoftheContractor,theContractor'ssubcontractors, sub-subcontractors,materialmen,or agents of any tierortheir respective employees to the extent caused bythe negligence,recklessness,or intentional wrongful misconduct of die indemnifying party and persons employed or utilized bythe indemnifying partyinthe performance ofthe construction contract Responsibility for Connection to Existing Woric 635 It shall bethe responsibility oftheCONTRACTORtoconnectitsWorkto each partofthe existing Work,existing building or structure orWork previously installed as required by die Drawings and Specifications to provide acomplete Installation. 6.36 excavations,grading,fill,storm drainage,paving and any other construction or installations m rights-of- waysof streets,highways,public carrier lines,utilitylines,either aerial,surface or subsurface,etc.,shall be donein accordance with requirements ofthe special conditions.TheOWNER will be responsible for obtaining all permits necessary for theWork described in this paragraph 6.36.Upon completion of die Work,CONTRACTOR shall present to CONSULTANT certificates,intriplicate,from the proper authorities,stating thatthe Work has beendonein accordance withtheir requirements. 6.36.1 The CITY will cooperate withthe CONTRACTOR in obtaining action from any utilities or public authorities involved inthe above requirements. 6.36.2 TheCONSULTANT shall be responsible for obtaining elevations ofcurbsand gutters,pavement storm drakiaga structures,andotheritems which mustbe established by governmental departments assoonas grading operations are begun onthesite and,inany case,sufficiently early intheconstructionperiodtopreventany adverse effectontheProject Cooperationwith Governmental Departments.Pufrlic Utilities,Etc.: 6.37 TheCONTRACTOR shall be responsible for making all necessary arrangements with governmental departments,public utilities,pubic carriers,service companies and corporations (hereinafter referredto as '•third parties")owning or controlling roadways,railways,water,sewer,gas,electrical conduits, telephone,and telegraph facilities such as pavements,tracks,piping,wires,cables,conduits,poles,guys. &cH includingincidentalstructuresconnectedtherewith*that areencountered in the Work in order that such items are properly shored,supported and protected,thattheir location is identified andto obtain authorityfromthesethirdpartiesforrelocationifthe CONTRACTOR desirestorelocate die item.The CONTRACTOR shall give all propernotices,shall comply with all requirements ofsuchthird parties In the performance of his Work,shall permitentrance ofsuchthird parties on die Project inorderthatthey mayperformtheir necessary work,and shall payall charges andfeesmadebysuchthird parties fortheir work. 6.37.1 The CONTRACTOR'Sattention is called tothe feet thattheremaybe delays onthe Project due to work to be done bygovernmentaldepartments,publicutilities,and others In repairing or moving poles,conduits,etc The CONTRACTOR shall cooperatewith the abovepartiesinevery way possible,sothattheconstructioncanbecompleted in theleast possible time. 6.37.2 The CONTRACTOR shallhavemadeitself familiar with ail codes,laws,ordinances,and regulationswhichinanymanner affect those engaged or employedin the Work,or materialsand equipmentuseinoruponthe Work,or In anyway affect die conductofthe Work,andno plea of misunderstanding willbe considered on account of damage or delay causedbyhis ignorance thereof. Thomas R Peps 02-23-IS S7 Use Premises: 638 CONTRACTOR shall 'confine its apparatus,storageof materials,and operations ofits workmen to die limhs indicated by few,ordinances,permits and Erections of CONSULTANT andQTY,and shall not unnecessarily encumberanypartofthesite or anyareasoff site. 638.1 CONTRACTORshallnotoverload or permitany part ofany structure tobeloadedwithsuch weightas will endangerits safety,nor shall It subjectanyworktostresses or pressuresthatwill endanger it 6382 CONTRACTOR shall enforce therules and regulation promulgated by die CONSULTANT and OWNER as well astheir instructions with regard to signs,advertisements,fires and smoking. 638.3 CONTRACTOR shall arrange andcooperatewith CITY in routing and parking of automobiles of its employees,subcontractorsand other personnel,aswellasthatofthe material delivery trucks and other vehldes that cometo the Projectsite. 638.4TheCity wilt designate specific areasonthesitefor storage,parking,etc andthejobsite shall be fenced toprotecttheJobsiteandthe general public 638.5 TheCONTRACTOR shall furnish.Install andmaintainadequate construction officefadlities for all workers employed byitor by its Subcontractors.Temporary offices shall be provided and locatedwheredirectedandapprovedbythe CONSULTANT.All such facilities shall befurnished instrictaccordancewith existing governing regulations.Field offices shallincludetelephone futilities. Protectionof Existing Property Improvements: 638 Anyexistingsurface or subsurface improvements,suchas pavements,curbs,sidewalks,pipes or utilities, footings,or structures (including portionsthereof),treesandshrubbery,not indicated ontheDrawings ornotedinthe Specifications asbeingremoved or alteredshallbe protected fromdamageduring constructionoftheProject.Anysuch improvements damagedduringconstructionoftheProject shall berestoredat die expenseofthe CONTRACTOR toaconditionequal to that existing at the timeof award of Contract ARTICLE 7-WORK BY OTHERS. 7.1 The CITY mayperform additional WorkrelatedtotheProjectormayletother direa contractstherefor which shall contain General Conditions similar to these.The CONTRACTOR shall afford the other contractorswhoarepartiestosuchdirectcontracts(orthe OWNER,if it Is performing the additional Work itself),reasonable opportunity forthe introduction and storage of materials andequipmentandthe executionof Work,andshall properly connectandcoordinateitsWorkwith theirs. 72 Ifanypartofthe CONTRACTOR'S Work depends upon proper execution or results oftheWorkofany other contraaor orthe OWNER,the CONTRACTOR shall promptlyreporttothe CONSULTANT in writinganydefectsordeficienciesinsuch Work that render itunsuitablefor die CONTRACTOR'S Work. 73The CONTRACTOR shall do all cutting,fitting and patching oftheWorkthat may be required to make its several partscometogether properly andfitto receive or be received bysuchother Work.The CONTRACTOR shall not endanger any Workofothersbycutting excavating or otherwise altering their Work and shaH onlycutoraltertheirWorkwiththewrittenconsentofthe CONSULTANT andofthe other contractor whose work will be affected. 7.4 Iftheperformanceof additional Work fay other contractors or theOWNERisnotnotedinthe Contraa Documents priortothe execution of die Contractwrittennoticethereof shall be given tothe CONTRACTOR priortostartinganysuch additional Work.Ifthe CONTRACTOR believes that die performance ofsuch additional Workbythe OWNER orothers will cause the CONTRACTOR additional expenseorentities him toan extension ofthe Contraa Time,he may make a daim therefore asprovided In Articles 11 and 12. 7.5Where practicable,the CONTRACTOR shall build aroundtheworkofotherseparatecontractorsor shall leave chases,slots and holes as required to receive andto conceal within the general construction Worktheworkofsuch other separatecontractorsasdirectedbythem.Wheresuch chases,slots,etc., are impracticable,the Work shall require specific approval ofthe CONSULTANT. 7.6 Necessary chases,slots,and holes not built orleftbythe CONTRACTOR shall becutbytheseparate contractor requiringsuch alterations after approval of the CONTRACTOR.The CONTRACTOR shall do all patching and finishing oftheworkofothercontractorswhereitiscutbythemandsuch patching and finishing shallbeat die expenseofCONTRACTOR Thomas F.Pepe 02-23-IS 58 7.7 Cooperation isrequiredin the useofsite fatillties andinthe detailed execution oftheWork.Each contraaor shall coordinate theiroperation with those oftheother Contractors forthebest interest of the Workin order toprevent delay hi the execution thereof. 7.8 Each ofseveral contractors working onthe Project Site shall keep themselves informed ofthe progress of thework of other contractors.Should lack of progress or defective workmanship on the part ofother cdntraaors interfere with the CONTRACTOR'S operations,the CONTRACTOR shall notify the CONSULTANT immediately and in writing.Lack of such notice tothe CONSULTANT shall be construed asacceptance by the CONTRACTOR ofthe status ofthe work ofothercontractors as being satisfeaoryforproper coordination of CONTRACTORS ownWork. 73 The costof extra Work resulting from lack of notice,untimely notice,failure to respond to notice, Defective Work or Sack of coordination shaflbe the CONTRACTOR'S cost 7,10 TheCITY reserves the right in the event the CONTRACTOR cannot provide an !tem(s)or service(s)in a timely manner as requested,to obtain diegood and/or services from other sources and deducting the cost from the Contraa Price without violating theintentoftheContract ARTICi ff 8 -CITY'S RESPONSIBILITIES 8.1 The CITY will issue all communications tothe CONTRACTOR through die CONSULTANT, 8.2 Jn cases of termination of employment ofthe CONSULTANT,die CITY wiR appoint a CONSULTANT whose status under the Contract Documents shaflbe that of the former CONSULTANT. 83The CITY shall promptly furnish the data required of them under the Contraa Documents. 8.4The CITY'S duties in respect to providing lands and easements aresetforthin Paragraphs 4.1 and 43. 8JS TheCITY shall have the rig*to take possession of and use any completed or partially completed portions ofthe Work,notwithstanding thefaathatthetimefor completing theentireWork or any portionthereof may not have expired;but such taking possession anduse shall notbe deemed an acceptance ofanyWorknotcompletedin accordance withthe Contraa Documents. ARTICLE 9 -CONSULTANTS'STATUS DURING CONSTRUCTION. City's Representative: 9.1 The CONSULTANT shall bethe CITY'S representative during the construction periodThe duties and responsibilities and die limitations of authority ofthe CONSULTANT as die CITY'S representative during construction aresetforth in Articles I through 16ofthese General Conditions and shall notbeextended without written consent of theCITYand the CONSULTANT. 9.1.1 The CONSULTANTS decision,inmatters relating to aesthetics,shair be final,Ifwithin theterms of the Contraa Documents. 9.1.2 Except as may be otherwise provided in this contract all claims,counterclaims,disputes andother mattersin question betweenthe CITY andthe CONSULTANT arising outofor relating tothis Contraa orthe breach thereof,shall be decided inacourtofcompetent jurisdiction within the State of Florida. salaries and wages,plus thecostsof fringe benefits which shall includesocialsecurity contributions,unemployment exciseand payroll taxes,workers'compensation,healthand retirement benefits,sick leave,vacation and holiday pay applicable thereto.Such employees shall include superintendents and foremen atthesite.The expenses of performing Workafter regular working hours,on Sunday or legal holidays shall be included intheaboveonlyifauthorizedby Thomas F.Pepe 02-23-15 61 CITYandprovideditwasnotinanyway,whetherinwhole or inpart die resultofthe fault of the CONTRACTORdueto negligence of theCONTRACTORorthose acting byor through himor dueinwholeorinparttoDefective Work ofthe CONTRACTOR, 11.82 Costof ail materials andequipment furnished and incorporated In the Work,induding costs of transportationand storage,and manufacturers*field servicesrequiredinconnection therewith.The CONTRACTOR shall notifytheCITY of allcashdiscounts that are available and offertheCITYtheopportunitytodeposit funds with,die CONTRACTORforthe payment for items that offer a discount Cash discounts shafl accrue to CONTRACTOR unless the CONTRACTOR fails to timely notify theCITYofthe discounts orif die OWNER deposits funds with CONTRACTOR with whichtomake payments inwhich cases the cash discounts shall accrue to the OWNER.All trade discounts,rebates and refunds,and all returns fromsale of surplus materials andequipment shall accrue to OWNER,andCONTRACTOR shafl make provisionssothattheymaybeobtained. 11 .8.3 Payments madebyCONTRACTORtothe Subcontractors forWorkperformedby Subcontractors.If requiredbyCITY,CONTRACTOR shall obtaincompetitivebidsfrom Subcontractors acceptable to him and shall deliver such bids to CITYwho will then determine, withtheadviceoftheCONSULTANT,which Bids willbeaccepted.Nosubcontract shall bea costplus contraa unless approved in writingbytheCITY.If a Subcontract providesthatthe Subcontractor istobe paid onthe basis ofCostofWork plus a fee,thecostofthe Work shall be determined in accordance this section 11.8 andinsuch case the word "Subcontractor"shall be substituted for the word "CONTRACTORS 11.8.4 Rentals of all construction equipmentand machinery,excepthandtools,andthepartsthereof whether rented from CONTRACTOR or others inaccordancewithrental agreements approvedby CITY with theadvice of CONSULTANT,and the costsoftransportation,loading, unloading,installation,dismanding and removal thereof •»all in accordance withtermsof said rental agreements.The rental of any such equipment machinery or parts shall ceasewhenthe use thereof isnolonger necessary forthe Work. 11.85 Sales,useor similar taxesrelatedto the Work,andforwhich CONTRACTOR Is liable,imposed byanygovernmentalauthority. 11.8.6 Payments and feesforpermitsand licenses.Costsforpermitsand licenses mustbeshownasa separate item. 11.8.7 Thecostof utilities,feel and sanitary facilities atthesite. 11.8.8 Minor expensessuch as telegrams,long distance telephone calls,telephone service atthesite, expressageand similar pettycashitemsinconnectionwiththeWork. II .8.9 Costof premiums for additional Bonds and insurance required solely because of changes \r\the Work,not to exceedtwopercent(2%)ofthe increase intheCostofthe Work. 11.9 ThetermCostoftheWork shall NOT include any ofthe following: 11.9.1 Payroll costsandother compensation ofCONTRACTOR'S officers,executives,prindpals (of partnership andsole proprietorships},general managers,engineers,architects,estimators,lawyers, agents,expediters,timekeepers,clerks andother personnel employedby CONTRACTOR whetheratthesiteorinits principal ora branch officefor general administration ofthe Work andnot specifically indudedintheschedulereferredtoin Subparagraph 113. 11.92 Expenses ofCONTRACTOR'S prindpal and branch offices otherthan Its office atthesite. 11.9.3 Any part of CONTRACTOR'S capital expenses,including interest on CONTRACTOR'S capital employedforthe Work and charges against CONTRACTOR fordelinquent payments. 11.9.4 Costof premiums for all bonds and for ail insurance policies whether ornot CONTRACTOR is required by the Contraa Documents to purchase and maintain thesame(exceptasotherwise provided In Subparagraph 11.8.9). 11.95 Costsduetothe negligence of CONTRACTOR,any Subcontractor,or anyone directly or indirectly employed byanyofthemorforwhoseactsanyofthemmaybe liable,induding butnot limited to,the correction of defective work,disposal of materials or equipment wrongy supplied andmakinggood any damage to property. 11.9.6 Other overhead or general expensecostsofanykind andthecostsofanyitemnot specifically andexpressly included In Paragraph 11.8. 11.10 The CONTRACTOR'S feewhich shall bealbwed to CONTRACTOR foritsoverheadandprofit shall be determined as follows: 11.10.1 A mutually acceptable firm fixed price;orifnone can be agreed upon. 11.102 A mutually acceptable fixed percentage (nottoexceed 15%). ARTICLE 12 -TIME FOR COMPLETION.LIQUIDATED DAMAGES AND CHANGE OF THE CONTRACT TIMEt 12.1 Time isofthe essence to this contraa and the date of beginning and the time for completion oftheWork are essential conditions oftheContraa.Therefore,theWork shall be commenced onthedatespecified intheNoticeto Proceed and completed within thetime specified for completion ofthe work. 12.2 The CONTRACTOR shall proceed with theWorkat such rate of progress to ensure full completion withintheContraaTime.It is expressly understood and a^eed,byandbetweentheCONTRACTOR and the OWNER,that theContraa Time forthe completion oftheWork described herein isa reasonable time,taking into consideration die average climatic and economic conditions and other factors prevailing inthe locality ofthe Work.No extension of time shall be granted due conditions thatthe Contractorknewofor should haveknownofbefore bidding ontheprojeaordueto inclement weather, except asprovidedinsection 12.7. 113 Ifthe CONTRACTOR shall fell to complete die Work within theContraa Time,or extension oftime pantedbythe CITY,then die CONTRACTOR shafl pay totheOWNERthe amount of liquidated damages as specified inthe Contraa Documentsforeach calendar dayafter die scheduleddatefor completion as adjusted bywritten Change Ordersthatextendedthe completion date. 113JThese amounts arenot penalties butare liquidated damages incurred bydie OWNER for its inability to obtain full useoftheProject Liquidated damages areherebyfixedand agreed upon betweenthe parties,recognizing the Impossibility of precisely ascertaining die amount of damages that will be sustained asa consequence of such delay,and both parties desiring to obviate any questionordispute concerning theamountof said damages andthecostandeffectofthe failure of CONTRACTOR to complete theContraaon time.The above-stated liquidated damages shall apply separately toeachphaseoftheProjeafor which atimeforcompletionis given. i 232 CTTYis authorized to dedua the liquidated damages frommoniesdueto CONTRACTOR forthe Work under this Contract 114 TheContraa Time may onlybe changed byawritten Change Order.Any daim foran extension in die CONTRACT TIMEshall be based on written notice delivered to the CITY and CONSULTANT within five(5)business days ofthe occurrence oftheevent giving rise tothe claim and stating the general nature of thedaimindudingsupporting data.All daims foradjustmentin die Contraa Time shall be evaluated andrecommendedbytheCONSULTANT,with final approval bythe CITY'S representative.Anychange inthe Contraa Time resulting fromanysuchclaim shall be incorporated in awrittenChangeOrder. 125 All time limits stated in the Contraa Documents are ofthe essence of the Contract 116 No claim for delay *ha3 be allowed because of failure to furnish Drawings beforethe expiration of fourteen (14)calendar daysafter demand hasbeenmadein writing totheCONSULTANTforsuch Drawings,Furthermore,there shafl benomonetarycompensation forsuch delay andthe CONTRACTOR'Ssoleremedy shall beanextensionoftimefortheperiodof delay. 12J Extensions totheContraa Time for delays caused by the effects of indement weather shall notbe grantedunlesstheweatherwas unusual forSouth Florida andcouldnothavebeen anticipated,the abnormal weather is documented by records from the national weatherservice and die abnormal weather is documented to have hada substantial affected on the construction schedule 12,8 No Damages for Delay:TheCONTRACTORagreesthathe shall nothaveany dalm for damages due to delay unlessthe delay exceeds 6 months,whether individually or cumulatively,andthenthe damages shall belimitedto increased costof materials thatwere unanticipated andthatwouldnothavebeenincurred butforthe delay.Otherthanasset forth above,theonlyremedyforany delay shall be limited toan extension of timeasprovidedforinSection 12,4which shall bethesoleandexclusiveremedyforsuch resulting delay.Other than asset forth above,CONTRACTOR shall notbe entitled to an increase inthe Contraa Price or payment or compensation ofanykind from OWNERfordirectindirect consequential, impactor other costs,expensesor damages,including butnotlimitedto,costsof acceleration or Inefficiency,overhead orlost profits,arising becauseof delay,disruption.Interference or hindrance from anycausewhatsoever,whethersuch delay,disruption,Interference or hindrance be reasonable or unreasonable,foreseeable or unforeseeable,or avoidable or unavoidable. II10 Dispute Resolution!Ifany dispute concerning a question of feet arisesunderthe Contract,otherthan terminationfordefaultor convenience,the CONTRACTOR andthecitydepartment responsible forthe administration ofthe Contraa shafl make agood faith effortto resolve the dispute.Ifthe dispute cannot beresolvedbyagreementthenthedepartmentwiththe advice oftheCityAttorneyandthe CONSULTANT shall ruleonthe disputed issueandsendawritten copy ofits decision tothe CONTRACTOR.CONTRACTOR shall comply with such decision and shall not delay theproject ARTICLE 13-GUARANTEE 13.1 The CONTRACTOR shall guarantee and unconditionally warrantthrougheitherthe manufacturer or the CONTRACTOR directly,ail materials and equipment furnished andWork performed forpatent Defealve Work foraperiodofone(f)yearfromthedateof Final Acceptanceas Indicated inthe CONSULTANT Letterof Recommendation of Acceptance,if Issued,theCertificateof Occupancy,if issued,orthe Certificate of Completion,ifissuedbytheQty,whichever is applicable andifmorethan oneis applicable,theonethat is issuedlastforpatentDefective Work,.Thesameguaranteeand unconditional warranty shafl beextendedforthree(3)yearsfromthedateof Final Acceptanceas indicated in the CONSULTANT Letterof Recommendation of Acceptance,if issued,theCertificateof Occupancy,if issued,orthe Certificate of Completion,if issued bytheQty,whichever is applicable andif more than one is applicable,theonethat is issued last forlatentDefective Work.The CITY willgive noticeofobserveddefectswithreasonablepromptness.In theeventthatthe CONTRACTOR should fail tocommence to correa such Defective Work withinten (10)calendardaysafter having received written noticeof the defect or shouldtheCONTRACTORcommence die corrective work,but fell to prosecute thecorrective work continuously and diligently and in accordancewith the Contraa Documents, applicable law,rulesand regulations,the CITY may dedareaneventofdefaultterminate die Contraa in wholeorinpartandcausetheDefealveWorktobe removed orcorrectedandto complete theWork atthe CONTRACTOR'S expense,and die CITY shall chargethe CONTRACTOR the cose thereby incurred.ThePerformanceBond shall remainin full forceandeffectthroughtheguaranteeperiod. 13.2 The specific warrantyperiodslistedin the Contraa Documents,if different fromtheperiodoftimelisted inSection 13.1,shall takeprecedenceoverSection 13.1. 13.3 CONTRACTOR shall aa asagentona limited basis forthe OWNER,atthe CITY's option,solely for the follow-up concerning warranty compliance for all itemsunder manufacturer's Warranty/Guarantee andforthepurposeof completing allformsfor Warranty/Guarantee coverageunderthis Contract 13.4 In caseof default bythe CONTRACTOR,the City of South Miami may procurethe articles or services from other sourcesandholdtheCONTRACTORresponsibleforanyexcesscostsoccasioned or incurred thereby. 135 The CITY may withhold acceptanceof,or rejea itemswhichare found upon examination,nottomeet the specification requirements.Uponwritten notification ofrejection,items shafl beremoved within five (5)business days by the CONTRACTOR athis own expense and redelivered athis expense.Rejected goods left longer than thirty (30)calendar days shall be regarded as abandoned andthe City shafl have the righttodisposeofthemasitsownpropertyandthe CONTRACTOR thereby waives any claim to the goodorto compensation ofany kind.Rejection for Non-Conforming Work or failure to meet delivery schedules mayresultinthe Contraa being found in default ARTICLE 14 •PAYMENTS AND COMPLETION. Payments to Contraaor 14.1 TheContractor shafl notbe entitled to any money for any work performed beforethe issuance of a Notice to Proceed onthe form described intheContraa Documents and the issuance by the Qty ofa "purchase order",or any other document doesnotandshall not authorizethe commencement ofthe Work.At (east ten (10)calendar days before each progress payment fells due(butnotmoreoften than onceamonth),the CONTRACTOR shall submittothe CONSULTANT a partial paymentestimate filled outand signed bythe CONTRACTOR covering theWorkperformed during theperiod covered bythe partial paymentestimateand supported bysuchdataasthe CONSULTANT may reasonably require.All progress paymentapplicationsafterthefirstprogresspaymentshallbeaccompaniedbypartialreleasesof lienexecutedbyall persons,firms andcorporationswhohave furnished labor,servicesor materials incorporatedinto die workduringtheperiodoftimefor which thepreviousprogress payment was made, releasing such claims and fien rights,ifany,ofthose persons.Ifpayment is requested onthe bads of Thomas F,Pep© 02-23-15 64 materials and equipment not Incorporated in the Work butdelivered and suitably stored ator near site, the partial payment estimate shall also be accompanied by such supporting data,satisfactory to the CITY, which establishes the OWNER'S tidetothe material and equipment as wefl as certificates of insurance providing coverage for 100%of the value of said material and equipment covering the material and equipment from all casualties as well as theft,vandalism,fire and flood.The CONTRACTOR shafl replace atits expense any stored materials paid for which are either damaged or stolen before installation.The CONSULTANT will within ten (10)calendar days after receipt ofeach partial payment estimate,either certifying in writing its approval of payment and present the partial payment estimate tothe OWNER,or return the partial payment estimate to the CONTRACTOR,indicating in writing his reasons for refusing to approve payment In the latter case,the CONTRACTOR may make the necessary corrections and resubmit the partial payment estimate.The OWNER,will within thirty (30)calendar days of presentation toit of any approved partial payment estimate,pay the CONTRACTOR a progress payment onthe basis ofthe approved partial payment estimate.The OWNER shall retain ten (10%)percent ofthe amount of each payment until Rnal Completion and Acceptance of all Work covered bythe Contract Documents. ARTICLE 20 -SEVERABILITY, 20.1 If any provision oftheContract or the application thereofto any personor situation shall to any extent, beheld invalid or unenforceable,the remainder ofthe Contract andthe appRcation ofsuch provisions to persons or situations other than those as to which it shallhavebeenheldinvalid or unenforceable shall not beaffectedthereby,andshallcontinuein full forceand effect andbeenforcedtothefullest extent permitted bylaw.
