RESOLUTION NO.028-16-14583 A Resolution authorizing the City Manager to enter into a contract with Firepower Displays Unlimited,LLC for the City's 2016 Fourth of July fireworks display foran amount not to exceed $10,000. WHEREAS,the City of South Miami sponsors a July 4th celebration each year at Palmer Park for itscitizenswhich include fireworks displaybyaqualifiedfirm;and WHEREAS,the City issued an Invitation to Quote ("ITQ")for 2016 Fireworks Displayon Wednesday,January 6,2016;and WHEREAS,one (1)submittal was received;Firepower Displays was the lowest bidder and isin compliance with the terms of the ITQ. NOW,THEREFORE,BEIT RESOLVED BYTHE MAYOR AND CITY COMMISSION OFTHE CITYOF SOUTH MIAMI,FLORIDA THAT: Section 1.the City Manager is authorized to enter into a contract with Firepower Display Unlimited,LLC for the City's 2016 Fourth of July fireworks display for an amount not to exceed $10,000. EXHIBIT I City of South Miami Fireworks Display ITQPR20I6-0I Insurance &Indemnification Requirements 1.01 Insurance A.Without limiting its liability,thecontractor,consultant or consulting firm (hereinafterreferredtoas "RRM"with regardto Insurance and Indemnification requirements)shall berequiredtoprocureand maintain atitsownexpenseduringthe life ofthe Contract,Insurance ofthetypesandinthe minimum amountsstatedbelowas will protect the FIRM,from claims whichmayarise out of or resultfromthe contractorthe performance ofthecontract with theCityof South Miami,whethersuch claim is against the FIRM orany sub-contractor,orby anyone directly or Indirectly employed byanyofthemorby anyoneforwhoseactsanyofthem may be liable. B.Noinsurance required bythe CITY shallbeissuedor written byasurpluslines carrier unless authorized in writing bythe CITY and such authorization shall beatthe CRTs soleandabsolute discretion.The RRM shall purchase insurance fromandshall maintain the insurance withacompanyorcompanies lawfully authorized to seii insurance in theStateof Florida,on forms approved bytheStateof Rorida,as will protectthe FIRM,ata minimum,from all claims as set forth below which may arise outoforresult fromthe FIRM's operationsundertheContractandfor which the FIRM maybe legally liable,whether such operations bebythe FIRM or by a Subcontractor orby anyone directly or indirectly employed by any of them,orby anyone for whose acts any of them may be liable:(a)claims under workers' compensation,disability benefit andother similar employee benefit acts which are applicable totheWork tobe performed;(b)daims for damages because of bodily Injury,occupational sickness or disease,or deathofthe FIRM's employees;(c)claims for damages because of bodily injury,sickness or disease,or deathof any personother than the FIRM'S employees;(d)claims for damages insured by usual personal Injury liability coverage;(e)claims for damages,otherthantotheWork Itself,becauseof injury toor destruction of tangible property,including loss of use resulting there from;(f)claims for damages because of bodily injury,deathofapersonorproperty damage arising outof ownership,maintenance oruseofa motor vehicle;(g)claims for bodily injury orproperty damage arising outofcompleted operations;and (h)daims involving contractual liability insurance applicable tothe FIRM's obligations underthe Contract. 1.02 Firm's Insurance Generally.The RRM shall provide and maintain In forceand effect until all theWork to be performed under this Contract has been completed and accepted by CITY (orfor such duration asis otherwise specified hereinafter),the Insurance coverage writtenon Florida approved formsandassetforth below; 1.03 Workers'Compensation Insurance atthestatutoryamount asto all employees in compliance withthe 'Workers1 Compensation Law"oftheStateofRorida induding Chapter440,Florida Statutes,as presently written or hereafter amended,and ail applicable federal laws.In addition,the policy (ies)mustindude:Employers'Liability atthestatutorycoverage amount.The RRM shall furtherinsurethatallofitsSubcontractors maintain appropriate levds of Worker's CompensationInsurance 1.04 Commerdal Comprehensive General Liability insurance with broad formendorsement,as well as automobile Rabiltty,completed operations and products liability*contractual liability,severability ofinterest with cross liability provision,and personal injury andpropertydamage liability with limits of $1,000,000 combined single limit peroccurrenceand$2,000,000 aggregate,induding: «Personal Injury:$1,000,000; ♦Medical Insurance:$5,000perperson; •Property Damage:$500,000eachoccurrence; 1.05 Umbrella Compnerrial Comprehensive General Liability insurance shall bewrittenona Florida approved form with the same coverage asthe primary insurance policy butinthe amount of$1,000,000 per daim and $2,000,000 Annual Aggregate.Coverage mustbe afforded onaformnomorerestrictivethanthelatest edition of the Comprehensive General Liability policy,without restrictive endorsements,as filed bythe Insurance Services Office,and must include: (a)PremisesandOperation (b)Independent Contractors <c)Products and/orCompletedOperations Hazard <d)Explosion,Collapse and Underground Hazard Coverage (e)BroadFormProperty Damage (f)Broad Form Contractual Coverage applicable tothis specific Contract,including any hold harmless and/or indemnification agreement (g)Personal Injury Coverage with Employee and Contractual Exclusions removed,with minimum limitsof coverage equal tothose required for Bodily Injury Liability and Property Damage Liability. 1.06 Business Automobile Liability with minimum limits ofOne Million Dollars ($1,000,000.00)plus an additional One Million Dollar ($1.000,000X10)umbrella per occurrence combined single limit for Bodily Injury Liability and Property Damage Liability.Umbrella coverage mustbe afforded onaformnomore restrictive than thelatesteditionofthe Business Automobile Liability policy,withoutrestrialve endorsements,as filed bywiththe state of Florida,and must include: (a)OwnedVehicles. (b)Hiredand Non-Owned Vehldes (c)Employers*Non-Ownership 1-07 SUBCONTRACTS:The FIRM agrees thatifany part oftheWorkundertheContractis sublet,the subcontract shall contain thesame insurance provision asset forth in section 5.1 above and5.4below and substituting theword Subcontractor for die word FIRM and substituting theword FIRM for CITY where applicable. 1.08 Fire and Extended Coverage Insurance (Builders'Risk),IF APPLICABLE: A.In the event thatthis contract involves the construction of a structure,the CONTRACTOR shall maintain,withan Insurance Company or Insurance Companies acceptable to theCITY,"Broad"form/All Risk Insurance on buildings and structures,including Vandalism &Malicious Mischief coverage,whileinthe courseof construction,including foundations,additions,attachments and all permanent fixtures belonging toand constituting apartof said buildings or structures.The policy or policies shall also cover machinery,ifthecostof machinery is included In the Contract;or If the machinery is located ina building thatisbeingrenovatedbyreasonofthiscontractTheamountof insurance must,at all times,beatleast equal tothe replacement and actual cash value ofthe insured property.The policy shall beinthe name of theCITY and theCONTRACTOR,astheir interest may appear,and shall also coverthe interests of all Subcontractors performingWork. B.All of the provisions setforthinSection5.4 herein below shall apply tothis coverage unless itwouldbe clearly not applicable. 1.09 Miscellaneous: A.Ifanynoticeof cancellation of insurance or change in coverage is issued bythe insurance company or should any insurance have an expiration datethat will occur during the period ofthis contract,the FIRM shall be responsible for securing other acceptable insurance prior to such cancellation,change,or expirationsoastoprovidecontinuous coverage as specified inthissectionandsoasto maintain coverage during thelifeofthis Contract B.All deductibles mustbe declared bythe FIRM and mustbe approved bytheCITY.Attheoptionofthe CITY,either die RRM shall eliminate orreducesuchdeductibleorthe FIRM shall procureaBond,ina form satisfactory totheCITYcoveringthesame. C.The polides shall contain waiverof subrogation against CITY where applicable,shall expresslyprovide that such policy or policies are primary overanyother collectible insurance that CITY may have.The CITY reserves the right at any timeto request a copy ofthe required policies for review.All policies shall contain a "severability of interest**or"cross liability"clause without obligation for premium paymentoftheCITYaswellas contractual liability provision covering the Contractors dutyto indemnify the CityasprovidedinthisAgreement. D.Before starting the Work,the FIRM shall ddivertotheCITYandCONSULTANT certificates of such Insurance,acceptable totheCITY,aswellasthe insurance binder,ifoneis issued,the insurance policy, induding the declaration page and all applicable endorsements and provide the name,address and telephone number ofthe insurance agentor broker through whomthe policy was obtained.The insurer shall berated A.VII orbetterperA.M.Best'sKey Rating Guide,latesteditionandauthorizedtoissue insurance intheStateof Florida.All insurance polides mustbewrittenonformsapprovedbytheState ofRoridaandtheymustremainin full forceandeffectfortheduration of thecontractperiodwith the CITY.The FIRM mayberequiredbytheCITY,atItssole discretion,toprovidea "certified copy"of the Policy (as defined In Article I ofthisdocument)which shall Include the declaration page and all required endorsements.In addition,the FIRM shall deliver,atthetimeofdeliveryofthe insurance certificate,the following endorsements: (1)a policy provision oranendorsementwith substantially similar provisions as follows: 'The CityofSouth Miami isan additional insured.Theinsurer shall pay all sumsthattheCityof South Miami becomes legally obligated to pay as damages because of 'bodily injur/','property damage1,or"personaland advertising injur/'anditwillprovidetotheCity all ofthecoverage thatistypicallyprovidedunderthe standard Florida approvedformsforcommercialgeneral liability coverageAandcoverage B"; (2)a policy provision oranendorsementwith substantially similar provisions as follows: "This policy shall notbe cancelled (including cancellation fornon-paymentof premium), terminated or materially modified without first giving theCityofSouth Miami ten (10)days advanced written noticeoftheintentto materially modifythepolicyor to cancel orterminate the policy forany reason.The notification shall be delivered totheCityby certified mail,with proofofdeliverytotheCity." E If the FIRM is providing professional services,such aswouldbe provided byan architect,engineer, attorney,or accountant,tonameafew,thenin such eventandin addition tothe above requirements, the FIRM shall alsoprovide Professional Liability Insurance ona Florida approvedformintheamountof $1,000,000 with deductible per daim if any,nottoexceed 5%ofthelimitof liability providing for all sums which the FIRM shall become legally obligated topayas damages for claims arising outofthe services orworkperformedbythe RRM its agents,representatives,Sub Contractors or assigns,orby any person employedor retained byhimin connection withthis Agreement This insurance shall be maintained forfouryearsaftercompletionofthe construction and acceptance of any Project coveredby this Agreement.However,the FIRM may purchase Spedfic Project Professional Liability Insurance,inthe amount and under theterms specified above,which is also acceptable.No insurance shall be issued bya surplus lines carrier unless authorized in writing bythecityatthecity'ssole,absolute and unfettered discretion. Indemnification Requirement A.TheContractoraccepts and voluntarily incurs all risks of any injuries,damages,or harm which might arise during theworkoreventthatis occurring onthe CITYs propertyduetothe negtigence orother fault ofthe ContractororanyoneactingthroughoronbehalfoftheContractor. B.TheContractor shall indemnify,defend,saveand hold CITY,its officers,affiliates,employees, successors and assigns,harmless from any and all damages,claims,liability,losses,claims,demands,suits,fines, judgments orcostandexpenses,induding reasonable attorney's fees,paralegal feesand Investigative costs incidental theretoandincurredpriorto,during or following any litigation,mediation,arbitration andat all appdlate levels,which may be suffered by,or accrued against,charged toor recoverable from theCityof South Miami,its officers,affiliates,employees,successors and assigns,by reason ofany causes of actions ordaimofany kind or nature,including claims for injury to,ordeathofanypersonor persons andforthe loss or damage to any propertyarising outofa negligent error,omission,misconduct,orany gross negligence,intentional actor harmful conduct of the Contractor,Its contractor/subcontractor or any of theirofficers,directors,agents,representatives, employees,or assigns,oranyone acting through oron behalf ofanyofthem,arising outofthisAgreement, inddentto it,or resulting fromthe performance or non-performance ofthe Contractor's obligations under this AGREEMENT. C.TheContractor shall pay all claims,lossesandexpenses of anykindornaturewhatsoever,in connection therewith,including theexpenseorlossoftheCITY and/or Its affected officers,affiliates,employees, successors and assigns,including theirattorney'sfees,inthedefenseof any action inlaworequitybrought against themand arising fromthe negligent error,omission,oractofthe Contractor,its Sub-Contractor oranyoftheir agents,representatives,employees,or assigns,and/or arising out of,or inddent to,this Agreement or incident to orresultingfromtheperformanceornon-performanceof the Contractor's obligations under this AGREEMENT. D.The Contractor agrees and recognizes thatneithertheCITYnorits officers,affiliates,employees, successorsand assigns shall beheld liable or responsible for any daims,Including thecostsandexpensesof. defending suchdaimswhichmayresultfromorariseoutofactionsoromissions of theContractor,its contractor/subcontractor oranyoftheir agents,representatives,employees,or assigns,or anyone acting through oronbehalfofthe them,and arising outofor concerning theworkoreventthatis occurring onthe CITY's property.In reviewing,approving or rejecting any submissions oractsofthe Contractor,CITYinnowayassumes or shares responsibility or liability for theactsor omissions ofthe Contractor,its contractor/subcontractor or any oftheir agents,representatives,employees,or assigns,oranyone acting throughoron behalf ofthem. E.TheContractorhasthedutyto provide adefensewithanattorneyor law firm approved bytheCity ofSouth Miami,which approval willnotbe unreasonably withheld. F.However,asto design professional contracts,and pursuant to Section 725.08 (I),Florida Statutes, noneofthe provisions set forth herein above thatarein conflict with this subparagraph shall apply and this subparagraph shall setforththesole responsibility ofthe design professional concerning indemnification.Thus, the design professional's obligations astotheCityandits agendes,aswellastoits officers and employees,isto indemnify andholdthem harmless from liabilities,damages,losses,andcosts,including,butnot limited to, reasonable attorneys'fees,to the extent causedbythe negligence,recklessness,or intentionally wrongful conductofthe design professional and other persons employed or utilized bythe design professional inthe performanceof the contract. (5)Theterm "departmental personnel"shall refertothe city clerk,the city manager,departmentheads,thecity attorney,andall assistants tothecity clerk,city manager and city attorney,however titled. (6)Theterm "employees"shall referto all other personnel employed bythe city. (7)Theterm "compensation"shall referto any money,gift,favor,thing of value or financial benefit conferred,or to be conferred,in return for services rendered or to be rendered. (8)Theterm "controlling financial interest"shall referto ownership,direcdyor indirectly,often percentormore ofthe outstanding capital stockinanycorporationoradirectorindirectInterestoftenpercentormoreina firm, partnership,or other business entityatthetimeof transacting business withthe city. (9)Theterm "Immediate family"shall refertothespouse,parents,children,brothersandsistersoftheperson involved. (10)Theterm "transact any business"shall refertothe purchase orsale by the city of specific goods or services for consideration andto submitting a bid,aproposalin response toa KFP,astatementof qualifications inresponse toarequestbythe city,orenteringintocontract negotiations forthe provision onanygoodsor services,whicheverfirstoccurs. (c)Prohibitionon transacting business withthe city. No person included in theterms defined in paragraphs (b)(1)through (6)andin paragraph (b)(9)shall enterinto anycontract or transactany business in which thatpersonoramemberofthe Immediate family hasa financial interest,direct or indirect with the city oranypersonor agency acting forthe city,andanysuchcontract, agreementorbusinessengagement entered in violationofthissubsectionshallrender the transaction voidable. Willful violation of this subsection shall constitute malfeasance in office andshall affect forfeiture of office or position.Nothinginthissubsectionshall prohibitormake illegal: (1)The payment of taxes,special assessments orfeesfor services provided bythe city government; (2)The purchase of bonds,anticipation notesorother securities that may be issued bythe dty through underwritersordirectlyfromtimetotime. Waiver of prohibition.The requirements ofthis subsection may be waived fora particular transaction onlybyfour affirmative votesofthecity commission after public hearingupon finding that: (1)An open-to-all sealed competitive proposal hasbeen submitted byadtypersonasdefinedin paragraphs (b)(2), (3)and(4); (2)The proposal hasbeensubmittedbyapersonor firm offering services within thescopeofthe practice of architecture,professional engineering,or registered land surveying,as defined bythe laws ofthestateand pursuantto the provisions ofthe Consultants'Competitive Negotiation Act,andwhentheproposalhasbeen submittedbya dty persondefinedin paragraphs (b)(2),(3)and(4); (3)Thepropertyor services tobe involved intheproposedtransactionare unique andthecitycannot avail itself ofsuchproperty or services withoutenteringatransaction which wouldviolatethissubsectionbut for waiver of its requirements;and (4)Thattheproposedtransaction will beinthebestinterestofthe city. This subsection shall be applicable only to prospective transactions,andthedty commission mayinnocase ratify a transaction entered inviolation of this subsection. (E)(Sifts. (i)Defmition.Theterm "gift"shall refer tothe transfer of anything of economic value,whether inthe form of money,service,loan,travel,entertainment,hospitality,itemor promise,orin any otherform,without adequateand lawful consideration. (2)Exceptions.The provisions of paragraph (e)(l)shall not apply to: a.Political contributions specifically authorized bystate law; b.Giftsfrom relatives ormembersofone'shousehold,unlessthepersonisaconduitonbehalfofathirdpartyto the delivery ofa giftthatis prohibited under paragraph(3); c Awardsforprofessional or civicachievement; d Material such as books,reports,periodicals or pamphlets which are solely informational orof an advertising nature. (3)Prohibitions.A person described In paragraphs (b)(1)through (6)shall neither solicit nor demand any gift.It is also unlawful for any person or entity to offer,give or agree to give to any person included intheterms defined in paragraphs (b)(1)through (6),or for any person included in theterms defined In paragraphs (b)(1)through (6)to acceptoragreetoacceptfromanotherpersonorentity,anygiftforor because of: a.An official public action taken,ortobe taken,or which could beuken,oran omission or failure totakea public action; b.A legal duty performed ortobe performed,or which could be performed,oran omission or failure to perform a legal duty; c A legal dutyviolated ortobe violated,or which could be violated by any person included intheterm defined in paragraph (b)(1);or d.Attendanceorabsencefroma public meetingatwhich official actionis to betaken. (4)Disclosure.Any person induded intheterm defined in paragraphs (b)(1)through (6)shall dlsdose any gift,or series of gjfts from anyone person or entity,having a value In excess of $25.00.The disclosure shall be made by filing acopyofthe disdosure form required by chapter 112,Florida Statutes,for "local officers"withthe city derk simultaneously with the filing ofthe form with the clerk ofthe county and with the RoridaSecretaryof State* (f)Compulsorydisdosure by employees of firms doing business with the city. Should any person induded intheterms defined in paragraphs (b)(1)through (6)be employed bya corporation, firm,partnership or business entity in which that person orthe immediate femily does not have a controlling flnandal interest,and should the corporation,firm,partnership or business entity have substantial business commitments toor from thecityoranycityagency,orbe subject todirea regulation bythecityoradty agency, then the person shall file a sworn statement disclosing such employment and interest withthe clerk ofthedty. (g)Exploitation of officialpositionprohibited. No person induded In theterms defined in paragraphs (b )(l)through (6)shall corruptly useor attempt to use an official position tosecure special privileges orexemptionsforthat person orothers. (h)Prohibition on use of confidential information* No person included in theterms defined in paragraphs (b)(1)through (6)shall accept employment or engage in any business or professional activity which onemight reasonably expectwould require or induce oneto disdose confidential information acquired by reason of an official position,nor shall that person in fact ever disclose confidential Information garnered or gained throutfi an official position with thedty,nor shall that person everuse such information,directly or indirectly,for personal gain or benefit. (j)Prohibitionon outside employment (1)Noperson included intheterms defined in paragraphs (b)(6)shali receive any compensation forservicesasan officer or employee ofthe city from any source other than the city,exceptas may be permitted as follows: a.Generally prohibited.No full-time city employee shall acceptoutside employment,either Incidental,occasionalor otherwise,where city time,equipmentor material istobeusedorwheresuchemploymentoranypart thereof is tobe performed on city time. b.When permitted.A full-time dty employee may accept incidental or occasional outside employment solongas such employment isnotcontrary,detrimental oradversetotheinterestofthecityoranyofitsdepartmentsand the approval requiredinsubparagraph c is obtained. a Approval ofdepartmenthead required.Any outside employment byany full-time city employee must first be approved m writingby the employee'sdepartmentheadwho shall maintainacompleterecordofsuch employment. d.Penalty.Anyperson convicted of violating any provision ofthis subsection shall be punished as provided in section I-11 oftheCodeof Miami-Dade Countyand,in addition shall besubjectto dismissal bytheappointing authority.Thecitymayalsoassessagainstaviolatora fine nottoexceed $500.00.andthecostsof investigation incurredby the dty. (2)AH full-time city employees engaged in any outside employment forany person,firm,corporationorentity otherthanthe city,oranyofits agencies or instrumentalities,shall file,underoath,an annual report indicating the sourceoftheoutside employment,thenatureofthework being doneandanyamountofmoneyorother consideration received bythe employee fromtheoutside employment.City employee reports shad be filed with thedty clerk.Thereports shall be available ata reasonable time and place for inspection bythe public Thecity manager may require monthly reports from individual employees orgroupsof employees forgoodcause.. (k)Prohibited investments. No person included intheterms defined in paragraphs (b)(1)through (6)ora member ofthe immediate family shall havepersonalinvestmentsinanyenterprisewhich will createasubstantialconflictbetweenprivate Interests andthepublicinterest. (1)No person included intheterms defined In paragraphs (b)(1),(5)and (6)shall appear before anydtyboardor agency and make apresentationon behalf ofathirdpersonwithrespecttoanymatter,license,contract, certificate,ruling,decision*opinion,rate schedule,franchise,orotherbenefit sought bythe third person.Nor shall the person receive any compensation or gift,directly or indirectly,for services rendered toathird person,who has applied fororis seeking somebenefitfromthedtyoracityagency,in connection withthe particular benefit soughtbythethird person.Nor shall thepersonappearinanycourt or beforeany administrative tribunal as- counselor legal advisortoapartywhoseeks legal relieffromthe city or acity agency throughthesuitinquestion. Nothingcontainedinthissubsection shall prohibitany individual fromsubmittingaroutine administrative request or application toacitydepartmentor agency during thetwo-year period afterhisorherservice has ceased. (2)The provisions ofthesubsection shall not apply to persons whobecomeemployedby governmental entities, 501 (c)(3)non-profitentitiesor educational institutions or entities,and wholobbyonbehalfofthoseentitiesin their official capacities.
