In the event that expiration certificates are not replaced with new or renewed certificates that cover the Agreement period,theCountyshall suspend theAgreement until theneworrenewedcertificates arereceivedbytheCountyinthemanner prescribed inthe requirements;provided,however,that thissuspended period doesnotexceed thirty (30)calendar days.If suchsuspensionexceeds thirty (30)calendardays,theCountymay,atitssolediscretion,terminatetheAgreement.Priorto execution ofthe Agreement bytheCountyand commencement ofthecontractedservices,the AwardeeshallobtainallinsurancerequiredunderthisSectionandsubmit same totheCounty for approval.All insurance shallbemaintainedthroughoutthetermofthe Agreement. D.Indemnification TheCountyshallnot assume any liability for theacts,omissionstoactornegligenceofthe Awardee,itsagents,servantsoremployees;norshalltheAwardeeexclude liability for itsownacts, omissions toact,or negligence arisingoutofthe Awardee's performancepursuanttothis Agreement.TheAwardeeshall indemnify andholdharmlesstheCountyandits officers,employees, agents andinstrumentalitiesfromanyandall liability,losses ordamages,includingattorneys'fees andcosts of defense,whichtheCountyorits officers,employees,agentsor instrumentalities may incur as aresultofclaims,demands,suits,causes of actions orproceedingsofanykindornature arisingoutof,relatingtoorresultingfromtheperformance of this Agreement bytheAwardeeorits employees,agents,servants,partnersprincipalsor subcontractors.The Awardee shallpayall claimsand losses inconnectiontherewithandshall investigate anddefendallclaims,suitsor actionsofanykindornatureinthe name oftheCounty,where applicable,including appellate proceedings,andshallpayallcosts,judgments,andattorneysfeeswhichmayissuethereon.The Awardee expressly understands andagreesthatanyinsuranceprotection required bythis Agreement or otherwise providedby the Awardeeshallinno way limit the responsibilityto indemnify,keep and save harmlessanddefendtheCountyoritsofficers,employees,agents and instrumentalities ashereinprovided.Nothinghereinis intended to serve asawaiverof sovereign immunitybytheCountynorshallanythinghereinbeconstruedasconsentbytheCountytobesued bythirdparties in anymatterarisingout of this Agreement.Nothinghereinshallbeconstruedto extend the County's or Awardee's liability beyond that provided in section 768.28,Florida Statutes. The provisions of this section survive the terminationorexpirationofthis Agreement. E.NationalObjective inaccordancewith24CFRSection570.208ofthe federal regulations,theAwardeeshallbe requiredtoachievethenationalobjectiveof Benefitto Low and ModerateIncome Persons or Households (LMI).(See Attachment B-2).Awardeeshall execute anddelivertotheCounty, simultaneous withthis Agreement,aPromissoryNote committing torepay the fundsprovidedbythe Countypursuanttothis Agreement in the event that Awardee failsto meet the national objective,in the event the CDBG funds subject tothis Agreement aretobe used for the acquisitionor improvement of realproperty,the Awardee shallalsoberequiredto give the County amortgageor othersercurityinstrumentto be determinedattheabsoluteandsolediscretionoftheCounty Mayor or Mayor's designee in order to secure the loandescribedinthis Agreement.Titleworkandatitle insurance policy,ifsorequiredintheabsoluteandsolediscretionoftheCounty Mayor orMayor's designee inorderto adequately secure the loan set forthherein,shallbepaidforbyAwardee. Awardee understands thattheCounty may beliableto the United States DepartmentofHousing andUrban Development ("HUD")forrepaymentofthefederalfundsloanedtoAwardeepursuantto this Agreement in the event that HUD determines that Awardee has failed to meet the national Page 3 objective.AWARDEE WAIVES ANY RIGHT TO OBJECT TO THE REPAYMENT OF FUNDS, PURSUANTTOTHISAGREEMENTAND/ORTHE PROMISSORY NQTE,IN THE EVENTTHAT HUD DETERMINESTHATTHEAWARDEEHASNOTMETTHENATIONALOBJECTIVE.The County shall haveall rights and remedies in law andequitytoseek repayment offundsloanedto Awardee pursuant tothis Agreement Documents and Reporting Requirements The Awardeeshallsubmit documents toPHCDorreportonrelevantinformationtoPHCDas describedbelowandprovideanyotherdocumentsinwhateverform,manner,orfrequencyas prescribed by PHCD.These will beused for monitoring progress,performance,and compliance with this Agreement andfor compliance with applicable Countyand Federal requirements. 1.Certificates of Insurance The original certificate,asset forth in Attachment B-1(N)tobe received by PHCD within the first monthofthisAgreementperiod,andsubmittedwitheachpayment request, including any renewals,prior topaymentsmadebytheCounty.The effective dateofthe coverage must coincidewiththe beginning date of this agreement 2.Progress Reports a.The Awardeeshallsubmiteachquarterastatusreportusingtheform attached heretoas Attachment C,"Progress Report,"asit may berevisedbyPHCD,which shalldescribetheprogressmadebytheAwardeein achieving each ofthe Activities,objectivesandaction steps identifiedherein,including butnotlimitedto Attachment A and Attachment A-1. The Awardee shall ensure thatPHCD receives each reportintriplicate(or as indicated)nolaterthan 10 daysafterthequarter ends. The Awardee shall submit to PHCD a cumulative account of its activities under thisagreementbycompletingthe following portions of theProgressReportForm: Section I -General Information Section II -Financial Information: The Awardee must reportexpenditureinformation based onapproved budgeted lineitemstoreflectall costs incurredduringthereportingperiod.Inaddition,the Awardee shallreportonProgram Income,depicting the twenty percent(20%)to be paidtotheCounty quarterly aswellas Awardee's usageof Program income for each contracted activity. Section III -Status of Contracted Activities: The Awardee must reportspecificinformationregardingthe status ofthe contracted activities,including accomplishments and/or delays encountered during the implementationoftheprojectandanunduplicatedcountofclients served duringthe reporting period (ifapplicable)for each federally definedethnic category.Awardees engaged in construction and/or housing rehabilitation projects shallreportontheprogressoftheiractivitiesincludingthenumberofhousingunits completed andoccupiedbylow-moderateandlowincomeresidents.The Awardee shallalsoreportdemographicinformationoneachheadof household. Eachgoalandcorresponding objective(s)t asindicatedintheapproved Scope of Services,must be addressed as part of thisreport.Awardees engaged injob creationprojectsshallreportonthe progress oftheiractivities including the names of businesses assisted,the number of jobs createdand the incomequalificationof individualsholdingthejobscreated. 50%and 70%Benchmark Reporting:At the time Awardee has been paidor otherwise received fiftypercent (50%)and seventy percent(70%)of the Agreement Funds,Awardee mustreport -onthe next progressreport due -and submit documentation to show sufficient to show that Awardee has accomplished 50%and 70%,respectively,of the Activities described herein.For Awardees engaged in construction and/or housing rehabilitationprojects,Awardees shall Page 4 report onthe progress of their activities including thenumberofhousingunits completed and occupied by low-moderate andlow income residents.The Awardee shallalsoreportdemographicinformationon each head of household. SectionIV-NeighborhoodEmployment Opportunities: Neighborhood Employment Opportunities Reoort (First and ThirdQuarter ProgressReport)-TheAwardeeshallreporttoPHCDthenumberoftargetand service arearesidentswhohavereceived employment opportunitiesfrom federally financedandassistedprojectsandactivities. Additionally,thelisted businesses arerequiredtosign the reports,verifyingtheir participationinthecontractworkandtheirreceipt of such monies.For purposes of applicability,therequirementsofthisresolutionshallbeinadditiontoanyother reporting requirements requiredbylaw,ordinanceor administrative order. Page5 c.UnspecifiedSite(s)Objective-IftheAwardeehasnotyetidentifiedalocationto carryoutanyoftheactivitiesdescribedin Attachment A,theAwardeeshall submit,intriplicate,Progress Reports,usingtheformattached hereto aspartof Attachment C,onamonthlybasisuntilsuchtimeastheAwardee complies with theprovisionscontainedwithin Section II,ParagraphF.4.ofthis Agreement Copiesofthe above described Progress ReportshallbereceivedbyPHCDno laterthanthe tenth (10th)dayof each monthandshall address the progress undertaken bythe Awardee during the previousmonth.This Progress Report shallnotbe required ifthe Awardee is submitting the Progress Reports required by Section II,ParagraphF.2.aandParagraphF.3. 3.AnnualReport(FourthQuarterProgressReport)and Final Report -The Awardee shall submitacumulative status report(hereinafterreferredtoas"AnnualReport")using the "Progress Report"specifiedinSection II,ParagraphF.2.a.above,whichshall describe the progressmadebytheAwardeeinachieving each ofthe National Objectivesidentifiedin Attachment Aduringthepreviousyear.The "Annual Report"must cover theCD8Gfiscal yearbeginningonJanuary1andendingon December 31andshallbereceivedbyPHCD nolaterthan 10 days after the year ends.The Final Progress Report submitted by Awardee shall include a summary of services and accomplishments Awardee performed and achieved throughout the term of this Agreement andshallbe accompanied by sufficient documentation to show Awardee has met the CDBGNational Objective.For Activities wheretheNational Objective isjobcreation,theFinalProgressReportshallinclude documentation sufficient toprovetoU.S.HUD that Awardee met the National Objective. Awardee shallreportallProgramIncome earned duringtheyearandshallpaytothe County allProgram Income earned unless directed expressly,inwriting,to otherwise by the County. 4.Environmental Review -The Awardee immediately upon locatingor determining a site for eachofthe"Unspecified Site"activitiestobecarriedoutpursuantto this Agreement,shall submit informationdetailing the locationof each siteforwhichaSite Environmental Conditions Statement willbeprepared.The Environmental Review istobepreparedon information contained in Attachment D,"Information for Environmental Review Form." Notwithstanding any provision of this Agreement,the parties hereto agree and acknowledge that this Agreement does not constitute a commitment of fundsorsite approval,and that such commitment of funds orapproval may occur only upon satisfactory completion of environmental review and receipt by the County of a release of funds from the U.S.Department of Housing and Urban Development under 24 CFR Part 58.The partiesfurtheragreethattheprovision of anyfundstotheprojectisconditionedon the County's determination to proceed with,modify or cancel the project based on the results of a subsequent environmental review. 5.AuditReport-The Awardee shallsubmittoPHCDanannualauditreportintriplicateas requiredby Section II,ParagraphLofthis Agreement,as set forthbelow.The Awardee shallsubmitawritten statement fromitsauditing firm toconfirmthatithasclearedanynon compliance issues stated in the audit,and a written statement from the Auditor that the auditcomplies with allapplicableprovisionsof24CFRPart 84.26,Part 85.26 and OM8 A- 133. 6.Personnel Policies and Administrative Procedures -The Awardee shall submit detailed documents describingtheAwardee'sinternalcorporateor organizational structure,property management and procurement policies and procedures,personnel management, accountingpoliciesandprocedures,etc.Such informationshallbe submitted toPHCD within30daysofthe execution ofthis Agreement. 7.Inventory Report-TheAwardeeshallreportannually all nonexpendablepersonalandreal propertypurchasedwithCDBGfundsfromthisandprevious agreements withtheCounty asspecifiedinSection II,Paragraph Wofthis Agreement 8.AffirmativeActionPlan -The Awardee shallreporttoPHCDinformationrelativetothe equalityof employment opportunities whenever sorequestedbyPHCD. 9.DisclosureofRelatedor Affiliated Parties-Atthetimeofcontractexecution,oratanyother timeattherequestoftheCounty,AwardeeshalldisclosetotheCountyallRelatedor AffiliatedParties.Related or Affiliated Partiesshall mean persons,corporations, partnerships,orother business entities(a)whichhaveadirectorindirectownership Pages interestinAwardee,(b)whichhaveaparentor principal thereofwhichhasadirector indirect ownership interest in Awardee,(c)whosemembers appointed byAwardee,or (d) which the County deemsinits sole discretion tobea Related or Affiliated Party of Awardee.TheAwardeeshall report this information totheCountyupon forming the relationship or,if already formed,shall report it immediately.Any supplemental information shallbereported quarterly inthe required ProgressReport.Thisprovisionshallbe construed broadly tothebenefitoftheCounty.Non-compliance withthese requirements will beconsideredadefault,whichmayresultintheimmediateterminationofthe agreement therecoveryofthe entire funding award,andthe disqualification of funding through PHCD for aperiodofthreeyears. 10.Reporting onfinancial Status.Bankruptcy.Real Property,orPersonalProperty -Awardee shall notify theCounty in writing within ten (10)daysofthe occurrence ofanyofthe following astoAwardeeoranyRelatedorAffiliated Parties: a.Anyanticipatedorpendinglis pendens,foreclosureaction,arrearage,default, latepaymentregardinganypropertyofAwardeeorRelatedorAffiliatedParties, includingpropertiesnotrelatedtothis Agreement.Awardee shallalsoprovidethe Countywithacopyofallcourt filings,noticesofdefault,arrearageorlate payment,or any other documents relevant to the disclosures required herein. b.Anylegal encumbrance onthePropertynotpermittedin writing bytheCounty. c.Anydefaultorarrearageonanyloan,Noteorotherdebtor obligation forwhich the Propertyissecurity. d.Anyanticipatedorpendingbankruptcy,restructuring,dissolution,reorganization, appointment of a trustee orreceiver. e;Anyaction,activity,foots,orcircumstancesthatwouldmateriallyimpair performancebyAwardeeofall the termsandconditionsofthis Agreement. Failuretocomplywith these reporting requirementsshallconstituteadefaultandshall entitletheCountyto seek anyand all remediesavailableatlaw,equity and"pufsuant tothis Agreement. G.tobbying Prohibition 1.The Awardeeshallcertifythatnofederalappropriatedfundshave been paidor will be paid, byoron behalf ofthe undersigned,toanypersonforinfluencingorattemptingtoinfluence anofficeror employee ofanyagency,aMemberofCongress,anofficeror employee of Congress,oran employee ofaMemberof Congress inconnectionwiththeawardingof anyfederalAgreement,themakingofanyfederalgrant,themakingofanyfederalloan,the enteringintoofanycooperative Agreement,andthe extension,continuation,renewal, amendment,ormodificationofanyfederal Agreement,grant,loan,or cooperative Agreement. 2.The Awardee shall disclose toPHCDif any funds,otherthanfederal appropriated funds have been paidorwillbepaidtoanypersonforinfluencingorattemptingtoinfluencean officeror employee of anyagency,aMemberofCongress,anofficeror employee of Congress,oran employee ofa Member of Congress in connection with this federal Agreement,grant,loan,orcooperative Agreement,onaStandard Form-Ltt,"Disclosure FormtoReport Lobbying,"inaccordancewithitsinstructions. 3.The Awardee shall ensure thatthelanguageinthisSection II,Paragraph G.1.andG.2be includedintheaward documents for allsubawardsatalltiers(including subcontracts, subgrants,and Agreements under grants,loans,and cooperative Agreements)andto ensure thatallsubrecipientsshallcertifyanddiscloseaccordinglyin connection with this activity. H.Federal,State,andCountyLawsandRegulations Page7 Rules,Regulations and Licensing Requirements 1.TheAwardeeshallcomplywithalllaws,ordinancesand regulations applicabletothe services contemplated herein,especially those applicabletoconflictof interest and collusion.Awardeesare presumed to be familiar withallFederal,Stateandlocallaws, ordinances,codes,rulesandregulationsthatmayinanywayaffectthegoodsor services offered,especiallyExecutiveOrder No.11246 entitled "Equal Employment Opportunity1* andas amended byExecutiveOrderNo.11375,as supplemented bytheDepartmentof taborRegulations(41CFR,Part 60),theAmericanswith Disabilities Actof1990and implementing regulations,the Rehabilitation Actof1973.asamended,Chapter 553 of Florida Statutes andanyandallotherlocal,State andFederaldirectives,ordinances,rules, orders,and lawsrelatingto people withdisabilities.The Awardee willalso comply with OMB A-122,OMB A-110,OMB A-21,OMB A-133,andwith the applicable procedures specifiedin PHCD's PoliciesandProcedures Manual foundat http://www/miamidade.gov/housing/community-development.asp,whichareincorporated hereinbyreference,receiptofwhichisherebyacknowledged,andastheymayberevised. 2.The Awardee agrees to abide byChapter ll-A,CodeofMiami-DadeCounty("County Code"),as amended,applicabletonon-discriminationin employment,housingandpublic accommodation,and in accordane with 24 CFR 570.607. 3.Awardeeshallcomplywith,and cause all subcontracts torequire compliance with,Florida Statutes,the Miami-Dade County Code ofOrdinances,andallapplicablebuilding codes, including the Miami-Dade County Building Codeandanyapplicablemunicipalbuilding code.Failureof Awardee or any subcontractor of Awardee to so comply with these requirements,whichincludesbutisnotlimitedtoengaginginconstructionorrepairs withoutproperbuildingpermitsor unlicensed professionals engaging inworkwhich requiresalicense,shall cause this Agreement to be voidablebytheCountyatthe County's absolute and sole discretion.In the event the County voidsthis Agreement forfailureto complywiththerequirementsofthissection,Awardee shall forfeit anyrightto payment pursuanttothis Agreement,regardlessof when Awardee's orthesubcontractor's noncompliance becomes known to the County. 4.The Awardee shall comply with Section504ofthe Rehabilitation Actof 1973,as amended" whichprohibitsdiscriminationon the basis of handicap andrequiresa minimum number of unitstobe accessible to persons with disabilities;Title VI ofthe Civil RightsActof 1964,as amended,whichprohibitsdiscriminationonthe basis of race,color,ornationalorigin;the Age Discrimination Actof 1975,as amended,which prohibits discrimination onthe basis of age;TitleVIIIofthe Civil Rights Actof1968,as amended,and Executive Order 11063 which prohibits discrimination in housing on the basis of race,color,religion,sex,or nationalorigin;Executive Order 11246,as amended whichrequires equal employment opportunity;andwiththe Energy Policy,amended and Conservation Act (Pub.t 94-163) which requires mandatory standards andpoliciesrelatingto energy efficiency.The Awardeealso agrees tocomplywiththeDomesticViolenceLeavecodifiedas 11A-60 et seq.ofthe Miami-Dade County Code,whichrequiresanemployer,whointheregular course of business hasfifty(50)ormore employees workinginMiami-Dade County for each workingdayduring each oftwenty(20)ormorecalendarwork weeks toprovide domesticviolenceleavetoits employees.Failure tocomplywiththislocallawmaybe groundsforvoidingor terminating this Agreement orfor commencement of debarment proceedings against the Awardee. 5.If the amount payableto the Awardee pursuant to the terms ofthis Agreement isin excess of $100,000,the Awardee shall comply withallapplicable standards,orders,orregulations, issued pursuanttoSection 306 of the CleanAir Act of1970(42 U.S.C.7401,1857h),as amended;theFederalWaterPollution Control Act(33U.S.C.1251),asamended;Section 508oftheCleanWaterAct(33U.S.C.1368);EnvironmentalProtection Agency regulations (40CFRPart 15,50);and Executive Order 11738. 6.Assurance of Compliance with Section 504 of the Rehabilitation Act -The Awardee shall reportits compliance with Section 504oftheRehabilitationAct whenever so requested by PHCDwithintheterm of this Agreement or the AffordabilityPeriod. 7.Americans withDisabilities Act (ADA)of 1990 -The Awardee shall attest to;and submit the required Disability Non-discriminationAffidavitassuring compliance withallapplicable requirementsofthelawslistedbelowincludingbutnotlimitedto,those provisions Pages pertainingto employment,provisionsandprogram services,transportation, communications,access tofacilities,renovations,and Directorsare representative of the population make-upofthenationareexempt from thisrequirementandmustsubmit,in writing,a detailed fisting oftheirBoardsof Directors,showingtheraceorethnicityofeach boardmember,totheCounty'sRegulatoryandEconomic Resources Department.Firms claimingexemption must submit,asapartof their proposals/bidstobefiledwiththeClerk ofthe Board,an appropriately completed and signed Exemption Affidavit in accordance with Ordinance 98-30-these submittals shall be subject to periodic reviews toassure that theentitiesdonotdiscriminateintheiremploymentandprocurementpracticesagainst minorities and women-owned businesses. It will bethe responsibility ofeach firm to provide verification of theirgrossannualrevenues to determine the requirement forcompliancewiththe Ordinance.Those firmsthatdonot exceed $5 million annualgross revenues mustclearlystate so intheirbid/proposal. Anybidder/respondentwhich does notprovideanaffirmativeactionplanandprocurement policymaynotberecommendedbytheCounty Mayor forawardbythe Miami-Dade County Mayor. 9.DomesticViolence Leave Affidavit -Prior toenteringintoanycontractwiththeCounty,a firmdesiringtodo business withtheCountyshall,asaconditionofaward,certifythatitis in compliance with the Domestic Leave Ordinance,99-5 and Section 11A-60 of the Miami- DadeCountyCode.ThisOrdinanceappliesto employers that have,in the regular course of business,fifty(50)ormore employees working In Miami DadeCountyforeachworkingday duringeachoftwenty(20)ormorecalendarwork weeks inthecurrentorpreceding calendaryear.In accordancewithResolution R-185-00,theobligationtoprovidedomestic violence leave to employees shallbeacontractualobligation.The County shallnotenter intoacontractwithany firm thathasnotcertifiedits compliance with the DomesticLeave Ordinance.Failure to comply withthe requirements of Resolution R-185-00,aswellasthe DomesticLeaveOrdinancemayresultinthecontractbeingdeclaredvoid,thecontract beingterminatedand/orthefirmbeingdebarred. 10.Codeof Business Ethics-InaccordancewithSection2-8.1 (1)oftheCodeof Miami-Dade County each personorentitiythat seeks todo business withMiami-Dade County shall adopt a Code of Business Ethics ("Code*)andshall submit an affidavit stating that the Awardee has adoptedaCodethatcomplieswiththerequirementsofSection 2-8.1(A ofthe Miami-DadeCounty Code (Form A-12).Section 2*11.1(d)of Miami-DadeCountyCodeas amended byOrdinance00-1,alsorequiresanycounty employee oranymemberofthe employee's immediate familywhohasacontrolling financial interest,directorindirect,with Miami-DadeCountyoranypersonor agency actingforMiami-Dade County from competing orapplyingforanysuchcontractasitpertainstothissolicitation,must first request aconflictof interest opinionfromtheCounty'sEthic Commission priortotheiror theirimmediate family member's enteringintoanycontractortransactinganybusiness througha firm,corporation,partnershipor business entityinwhich the employee orany member of the employee's immediate family has acontrollingfinancial interest,director indirect,with Miami-Dade Countyoranypersonoragencyactingfor Miami-Dade County andthatanysuch contract,agreementorbusiness engagement entered in violation ofthis subsection,as amended,shall render this Agreement voidable.Foradditionalinformation, please contact the Ethics Commission hotlineat(305)579-9093. 11.PublicEntityCrimes-PursuanttoParagraph2(a)ofSection287.133,Florida Statutes,a person oraffiliate who has been placedon the convicted vendor listfollowinga conviction forapublicentitycrime may notsubmitaproposalforacontracttoprovideanygoodsor services toapublicentity;may notsubmitaproposalonacontractwithapublicentityfor theconstructionor repair ofapublicbuildingorpublicwork;maynot submit proposalson Page 9 leasesof real property toa public entity;maynotbe awarded or perform workasa Awardee,supplier,subcontractor,or consultant undera contract with any public entity;and. may nottransact business with any public entity inexcessofthe threshold amount provided inSection 287.017 for Category TWO ($10,000)for a period of thirty-six (36)months from the daleofbeingplacedontheconvicted vendor list.TheAwardeewarrantsand represents thatithas not been placed onthe convicted vendor list The Awardee agrees thatshould Miami-Dade Countydiscoverthatthe Awardee's representationsregardingthe listare false,thisAgreement shall be terminated onthe discretion of Miami-Dade County. Further,should the Awardeebeplacedonthelistatanytime during this Agreement Miami- DadeCountyshallhavethe right toterminatethisagreement 12.Criminal Conviction -Pursuant to Miami-Dade County Ordinance No.94-34.MAny individual whohas been convicted ofafelonyduring the past tenyearsand any corporation, partnership,joint venture orother legal entityhavingan officer,director,orexecutivewho hasbeenconvictedofafelony during thepasttenyearsshalldisclosethis information prior to entering into a contract with or receiving funding from the County.1'Failure ofthe Awardeetodisclose this information asrequiredmayleadtotheterminationofthis agreement byMiami-DadeCounty. Representativesof the Awardeeshallattendmeetingsofthe appropriate committees and citizen participation structures,uponthe request of the citizen participation officers,PHCD,ortheCounty. 6.The Awardee shall make agoodfaitheffort to address the concerns of the residents ofthe affected area.The Awardee shall cooperate withPHCDin informing theappropriate CDBG citizen participation structures,includingthe appropriate area committees,of the activitiesof the Awardee inadheringto the provisions of this Agreement.Representatives of the Awardee shall attend meetings of the appropriate committees andcitizenparticipation structures,upon the requestofthecitizen participation officers,PHCD,ortheCounty. 7.Foractivitiesinvolvingacquisition,rehabilitationand/ordemolitionofpropertyand which requirethe relocation offamilies,Individuals,businesses and/or industries, the Awardeeshallsubmitawritten notification totheCommunityPlanningand OutreachDivision of PHCD prior torelocating,evacuating,and/ordispersingany andalllegal occupants whoresideatthispropertyonthe basis ofalongorshort termlease.Whenthe legality ofanoccupant (individual,family,business,and/or Page 11 industry)isinquestion,the Awardee shallcontact the abovementioned unit prior to making a determination.Awardees receiving CDBG funds shall adhere to24 CFRpart50and/orpart58andto the rulesandregulationsof the Uniform Relocation Assistance andRealProperty Acquisition Actof 1970,as amended The Awardee shall adopt Affirmative Marketing Procedures and requirements forCDBG assisted projects.These procedures must consist of actionstoprovideinformationandattracteligible persons from all racial,ethnic and gender groupstotheavailableservices.The Awardee shall annually assess itsaffirmativemarketingprogramto determine if the procedures used to comply with the requirements specified inPublicLaw 88-352 andPublic Law 90-284 successfully meet these requirements.The Awardee shallsubmittoPHCDits Affirmative MarketingPlannolater than 60 days from the date Ihis Agreement is executed. 8.ForHousing,Rehabilitation,and Construction activities all conditions inthis section willapply throughout the regulatory periodidentifiedin the national objective.Throughout thatperiod,the Awardee willberequiredto submit an annualreportregardingtheir compliance with the nationalobjective,andPHCD will have therighttomonitor the activity. 9.The Awardee shall comply withall appficable uniform administrative requirements as described in 24 CFR 570.502 10.For Special Economic Development projects,Awardee is reponsible for understanding 24CFR570.209,which describes HUD'sunderwritingandprojectanlaysis requirements.These requirementsinclude,butarenotlimitedto,theanalysisof Awardee's financinggaporrateofreturngap,projectfeasibility,and the reasonableness of costs and Awardee's orowner'sequityreturn.Awardee agrees todefertotheCounty'sanalysisof the Activityas conducted in compliance with the CDBG Regulations,including but not limitedto24CFR 570209,including Appendix A,as wellasOMB guidance on using federalfunds.Awardee understands thatinthe event thattheActivityfailstheanalysis conducted pursuantto24CFR 570209,Awardee shall have theopportunityto renegotiate this Agreement bymodifyingtheActivityto improve the ActivitytotheCounty'ssatisfaction ortoterminatethis Agreement witheachpartypayingtheirowncosts,feesand damages (as applicable). I.Conflictswith Applicable Laws IfanyprovisionofthisAgreementconflictswithanyapplicablelaworregulationincludingbutnot limitedto,24 CFR570,onlytheconflictingprovisionshallbe deemed by the partiesheretotobe modifiedtobe consistent withthelaworregulationortobe deleted ifmodificationisimpossible. However,the obligationsunderthis Agreement asmodified,shall continue andallotherprovisions of this Agreement shallremainin full forceandeffect.The County's determinationon whether a provisionconflictsshallbe final andbinding. J.Board of Directors IftheAwardeeisa Community Development Corporation (CDC),PHCD shall havethe option to appoint a representative to the Awardee's board of directors.This representative shall not be consideredInthecountingofa quorum andshallhavenovoting privileges. K,Construction If the Awardee engages in,procures,or makes loansforconstructionwork,theAwardee shall: 1.Contactthe PHCD representative notedinSection IV,Paragraph Mofthis Agreement, prior totakingany action,toscheduleameetingtoreceivecompliance information. 2.ComplywiththeAwardee'sprocurementand pre-award requirementsandprocedures which,ataminimum,shalladheretoallapplicablefederal standards. Page 12 3.Comply with the Davis-Bacon Act;Copeland Anti-Kick Back Act(18 U.S:C.874etseq.); Contract Work Hours andSafety Standards Act(40 U.S.C.327EtSeq.);andLead-Based Paint PoisoningPreventionActasamendedon September 15,1999;andotherrelated acts,as applicable. 4,Submitto PHCD for written approval all proposed Solicitation Notices,invitations for Bids, and Requests forProposalspriorto publication. 5:Submitto PHCD all construction plans and specifications andreceive PHCD's approval priorto implementation. 6.Contact the PHCD representative notedinSection IV,Paragraph M,prior toscheduling a pre-construction conference.In accordancewithindustrystandards,PHCD will holdten percent(10%)ofthetotalgrantawardasaretaineruntiltheconstructionworkis determinedbyPHCD,initssolediscretion,tobeseventy-five percent (75%)completed.At thetimethatthe construction workis determined by PHCD tobeseventy-fivepercent complete,theretainer will bereducedto5%untiltheworkiscompleted,Completionshall occur when aCertificateof Occupancy is issued. 7.TheCountyshallhavethe right toassign Professional StaffandTechnical Assistance from thePublicHousingandCommunity Developments assist theprojectifthe County's staff determinesthattheAwardeehasbeenunabletoconsistently achieve theworkandunits describedwithinthetimeframesoftheaction step formatofthis agreement Such involvementmayresultinareductionofamaximumof5%ofthe Agreement's awardto coverthe cost of the technical assistance.The Awardee shall cooperate and comply with all requests made by such staff. 8.Executeandrecord,attheCounty'srequest,anyofthe following documents inorder to" •ensurethePropertyis used asdefinedanddescribedin Attachment AofthisAgreement: a.Promissory Note b.Mortgage c.toan Agreement d.Restrictive Covenant e.Rental Regulatory Agreement f.Collateral Assignment ofleases,rentsandContractRights g.UCC-1 Rider h.TitleInsurancePolicy Audits and Records 1.Nonprofit organizations that expend $500,000 ormoreannuallyinfederalawardsshall have a single orprogram specific audit conducted in accordance withOMB A-133. Nonprofit organizations expending federalawardsof $500,000 or more underonly one federalprogram may elect to have aprogram-specificauditperformed,inaccordancewith OMB A-133.Awardees whowillbereceiving,orwho have received,federalawardsfor loansorloan guaranteed programsmay be requiredtoconductauditsofthoseprogramsin accordancewithregulationsof the federal agencies providing thoseguaranteesorloans. 2:Nonprofit organizations that expend less than $500,000 annuallyinfederalawardsshall be exempt fromanaudit conducted in accordance withOMB A-133,although their records mustbeavailableforreview(e.g.,inspections,evaluations).Such agencies thatreceive less than $500,000 in combined Federal awards must submit tothe County annual compilationreportsthat describe theirperformance.To achieve uniformityregardingthe reporting format,such documents mustcomplywiththeaccountingindustry standards by communicatingan independent accountant's(1)expression of limited assurance on FINANCIAt STATEMENTS asaresultof performing inquiry andanalyticprocedures (ReviewReport);(2)resultsofproceduresperformed(Agreed-UponProceduresReport); (3)non-expression ofopinionoranyformof assurance ona presentation in the formof financial statements informationthatis the representationof management (Compilation Report);or(4)anopiniononan assertion madeby management in accordance withthe Statements on Standards forAttestationEngagements(AttestationReport). 3.When the requirements ofOMBA-133apply,anauditshall be conducted for each fiscal yearforwhichfederalawardsattributabletothisAgreementhave been receivedbythe Awardee.Each audit shall include afiscal review,which includes a validation of all Page 13 programgeneratedincomeanditsdisposition,especiallyattributabletoCDBGfunds,an internalcontrolreview,andacompliancereview as describedinOMB A-133.A copy ofthe auditreportin triplicate must bereceivedbyPHCDnolaterthansix months following the end of the Awardee's fiscalyear. 4.If anauditisrequiredbyParagraphLofthis Agreement,but the requirements of OMB A- 133 donotapplythe Awardee may choose to have anauditperformedeitheron the basis of the Awardee's fiscalyearoronthe basts of theperiodduringwhichPHCD-federal assistance has been received.In either case,each audit shall cover a time period of not morethantwelve(12)months andanauditshallbe submitted coveringeach assisted perioduntilallthe assistance receivedfromthis Agreement has been reportedon.Each audit shall adhere to all other audit standards of OMB A-133,as these may be limited to cover only those services undertaken pursuanttothe terms ofthis Agreement.Acopyof the audit reportintriplicate must be received byPHCDnolater than six months following each audit period. 5.The Awardee shall maintain allContract Records in accordance with generally accepted accounting principles,procedures,andpracticeswhichshallsufficientlyandproperlyreflect all revenues and expenditures offunds provided directlyorindirectlyby the County pursuant to the terms of this Agreement. 6.The Awardee shall maintain all Contract Records that document all actions undertaken to accomplish the "Scope of Services"outlined in Attachment Ainthis Agreement,in accordance with 24 CFR 570.506;570.503.. 7.The Awardee shall ensure that the Contract Records shall be atall times subject to and available forfull access and review,inspection,orauditby County andfederal personnel andanyother personnel dulyauthorizedby the County. 8.The Awardee shallincludeinallPHCD approved subcontracts used to engage subcontractors tocarry out anyeligible substantive programmatic services,as such services are described inthis Agreement and defined byPHCD,each of the record-keeping andaudit requirements detailedinthis Agreement.PHCDshall,initssolediscretion, determine when services areeligible substantive programmatic services andsubjecttothe audit and record-keeping requirements described above. 9.The County reserves the righttorequire the Awardee to submit toanauditbyAuditand Management Services orotherauditorofthe County's choosing atthe Awardee's expense. The Awardee shallprovide access toallofitsrecords,whichrelatedirectlyorindirectlyto this Agreement atits place of business during regular business hours.The Awardee shall retainallrecordspertainingtothis Agreement andupon request make them availabletothe County forfouryearsfollowingexpiration of the Agreement.The Awardee agrees to providesuch assistance asmay be necessary tofacilitate the revieworauditby the County to ensure compliance with applicable accounting and financial standards. 10.The Awardee shall ensure that its auditors share their audit results with and must submit theauditreporttoPHCDwithinsix months after the conclusion of theauditperiod. 11.Pursuant toCounty Ordinance No.03-2,the Awardee will grant access to the Commission Auditortoall financial andperformancerelatedrecords,property,and equipment purchased inwholeorinpartwith government funds.The Awardee agrees tomaintainan accounting system thatprovidesaccountingrecordsthataresupportedwithadequate documentation,and adequate proceduresfordeterminingtheallowabilityand allocability of costs. M.Protected Records and Documents Anypersonorentitythat performs orassists Miami-Dade Countywitha function or activity involving the use ordisclosureof "Individually Identifiable Health Information (IIHI)and/orProtectedHealth Information (PHI)shallcomplywiththe Health Insurance Portability and Accountability Act (HIPAA) of1996andthe Miami-Dade CountyPrivacy Standards AdministrativeOrder.HIPAA mandates privacy,securityandelectronictransferstandardsincludingbutnotlimitedto: 1.Useof information onlyfor performing servicesrequiredbytheAgreementoras requiredby law, Page 14 2.Useofappropriatesafeguardstopreventnon-permitteddisclosures; 3.Reportingto Miami-Dade Countyofanynon-permitteduseordisclosure; 4.Assurances thatany agents and subcontractors agreeto the same restrictions and conditions thatapplytotheContractorandreasonable assurances that IIHl/PHI will be heldconfidential; 5.MakingProtectedHealth Information (PHI)availabletothecustomer, 6.Making PHI availabletothe customer forreviewand amendment,and incorporatingany amendments requestedbythecustomer; 7.Making PHI availableto Miami-Dade Countyforanaccountingofdisclosures;and 8.Makinginternal practices,books andrecordsrelatedto PHI available toMiami- DadeCountyforcomplianceaudits. PHI shall maintain itsprotectedstatusregardlessofthe form andmethodoftransmission(paper records,and/or electronictransferofdata).The Contractor mustgiveitscustomerswrittennoticeof itsprivacy information practices including specifically,adescriptionofthe types of uses and disclosures that would be made with protected health information. N.Retention of Records 1.TheAwardeeshallretainallContractRecordsforaperiodofatleast seven (7)years following the final Close-Out ofthe Activity/Project (hereinafterreferredto as "Retention Period")subjecttothe limitations set forth below.The final Close-Out ofthe Activity/Project is the date when PHCDprovideswrittennotificationof such.Underno circumstances shall Awardeedisposeofany Contract Records prior toAwardee providing theCountysufficient documentationto show thatthe HOME Regulationswere fully compliedwithinAwardee's performance ofitsobligations under this Agreement and has received confirmation from PHCD thatthe Activity/Project hasbeen finally Closed-OutintheU.S.HUD IDIS system. Upon Awardee's request in writing for confirmation ofsaid final Close-Out,PHCDshall provide Awardee inwriting either confirmation of final Close-Out oralist of documentation requiredinorderto proceed towardfinal Close-Out 2.If theCountyortheAwardeehavereceivedorgivennoticeofanyland indicating any threatened orpending litigation,claimorauditarisingoutoftheservicesprovidedpursuant to the terms ofthis Agreement,the Retention Periodshall be extended until such time as the threatened or pending litigation,claimorauditis,in the sole and absolute discretion of PHCD,folly,completelyand finally resolved. 3.The Awardee shallallowtheCounty,federalpersonnel,oranypersonauthorizedbythe County full access toandtherightto examine anyofthe Agreement recordsduringthe required Retention Period. 4.TheAwardeeshallnotify PHCD inwriting,both during thependencyofthis Agreement and afteritsexpirationaspartofthe final closeoutprocedure,ofthe address whereall Agreement records will be retained. 5.The Awardee shallobtainwrittenapprovalof PHCD priortodisposingofany Agreement records withinone year afterexpirationoftheRetentionPeriod. O.Provisionof Records andProprietaryRights and Information 1.The Awardee shallprovidetoPHCD,upon request,all Agreement records.These records shall become the property of PHCD without restriction,reservation,orlimitation of their use.PHCDshall have unlimitedrightstoall books,articles,or other copyrightable materials developed forthepurposeofthis Agreement These unlimitedrightsshallinclude therightstoroyalty-fees;nonexclusive,andirrevocablelicenseto reproduce,publish,or otherwise use,and to authorize others to use,theinformationforpublic purposes. 2.If theAwardee receives fundsfrom,orisunderregulatorycontrolof,othergovernmental agencies,and those agencies issue monitoringreports,regulatory examinations,orother Page 15 simitarreports,theAwardeeshallprovideacopyofeachreportandanyfollow-up communicationsandreportsto PHCD immediatelyuponsuch issuance unless such disclosure Is aviolationoftherulesorpoliciesoftheregulatory agencies issuingthe reports. 3.Proprietary Information Asa political subdivision oftheStateof Florida,Miami-Dade County is subjecttothe stipulations of Florida'sPublic Records Law. TheAwardeeacknowledgesthatallcomputersoftwareintheCounty'spossessionmay constitute or contain information or materialswhich the County has agreed to protect as proprietary information from disclosure or unauthorized useandmayalsoconstituteor containinformationormaterialswhichtheCounty has developed atitsown expense,the disclosure of which couldharm the County's proprietary interest therein. During thetermoftheAgreement,theAwardee will notuse directly or indirectly for itselfor forothers,or publish ordisclosetoany third party,orremove from theCounty'sproperty, any computer programs,data compilations,orother software which the County has developed,hasusedorisusing,is holding foruse,orwhichareotherwiseinthe possession oftheCounty(hereinafter"Computer Software").All third-party license agreementsmustalsobehonoredbytheAwardeesandtheiremployees,except as authorizedbytheCountyand.iftheComputerSoftwarehasbeen leased orpurchasedby theCounty,allhiredpartylicense agreements mustalsobehonoredbythe Awardees' employees withtheapprovalofthelessoror Awardees thereof.Thisincludes mainframe, minis,telecommunications,personal computers and any andallinformation technology software. TheAwardee will reporttotheCountyanyinformationdiscoveredorwhichisdisclosedto the Awardee whichmayrelateto the improper use,publication,disclosure orremovalfrom theCounty'spropertyofanyinformationtechnologysoftwareandhardwareand will take such steps as are withintheAwardee'sauthoritytopreventimproperuse,disclosureor removal. 3.Proprietary Rights a)The Awardee herebyacknowledgesand agrees thattheCountyretainsallrights,title and interests inandtoall materials,data,documentation and copies thereof furnished bytheCountytotheAwardeehereunderorfurnishedbythe Awardee tothe County and/orcreatedbytheAwardeefor delivery totheCounty,evenifunfinishedorin process,asaresultofthe Services the Awardee performsinconnectionwiththis Agreement,including allcopyrightandother proprietary rightstherein,whichthe Awardeeaswellasits employees,agents,subcontractors andsuppliersmayuseonly in connection of the performance of Services under this Agreement.The Awardee shallnot,without the prior written consent of the County,use such documentation on anyotherprojectinwhichtheAwardeeorits employees,agents,subcontractorsor suppliersareormay become engaged.Submission ordistributionbythe Awardee to meetofficial regulatory requirementsorforotherpurposesinconnectionwiththe performance of Services under this Agreement shall not be construed aspublicationin derogation of the County's copyrights or other proprietaryrights. b)Allrights,titleandinterestinandtocertain inventions,ideas,designs and methods, specificationsandotherdocumentationrelatedthereto developed bytheAwardeeand itssubcontractorsspecificallyfortheCounty,hereinafterreferredtoas"Developed Works"shall become thepropertyoftheCounty. c)Accordingly,neitherthe Awardee norits employees,agents,subcontractorsor suppliersshall have any proprietary interest in such Developed Works.The Developed Works may not be utilized,reproduced or distributed byoron behalf ofthe Awardee,or anyemployee,agent,subcontractor orsupplier thereof,withoutthe prior written j consentofthe County,exceptas required for theAwardee's performance hereunder.| d)Except as otherwise provided in subsections a,b,andc above,or elsewhere herein,! the Awardee andits subcontractors and suppliers hereunder shallretainallproprietary Page 16 rightsinandtoall Licensed Softwareprovided hereunder,that have not been customized to satisfy theperformance criteria set forthin the Scope of Services. Notwithstanding theforegoing,theAwardeeherebygrants,andshallrequirethatits subcontractorsandsuppliersgrant,iftheCountyso desires,aperpetual,irrevocable and unrestricted right andlicensetouse,duplicate,disclose and/or permit anyother person(s)or entityfies)to use all such Licensed Software andthe associated specifications,technicaldataandother Documentation for theoperations of the Countyorentities controlling,controlledby,under common control with,oraffiliated withtheCounty,or organizations whichmayhereafter be formedbyor become affiliated withtheCounty.Suchlicense specifically includes,butisnotlimitedto,the rightofthe County to use and/ordisclose,in whole orinpart,the technical documentation andLicensedSoftware,including sourcecode provided hereunder,-to anypersonorentityoutsidetheCountyforsuchperson'sor entity's useinfurnishing anyand/orailpfthe Deliverables provided hereunderexclusivelyfortheCountyor entities controlling,controlled by,under common controlwith,oraffiliatedwith the County,ororganizationswhichmayhereafterbeformedbyor become affiliatedwith theCounty.No such License Software,specifications,data,documentation orrelated information shallbe deemed tohavebeengivenin confidence andany statement or legend tothecontraryshallbevoid and ofno effect P.Audits and Inspectors General Nothinginthis Agreement shallimpairanyindependentrightof the Countytoconductauditor investigate activities.The provisions ofthissectionareneitherintendednorshalltheybeconstrued to impose any liability ontheCountybytheAwardeeorthirdparties.Theprovisionsinthissection shallapplytotheAwardee,itsofficers,agents,employees,subcontractors,suppliersand Related or AffiliatedParties,The Awardee shall incorporate,theprovisionsinthissectionin all subcontracts andall other Agreements executed bythe Awardee in connection with the performance ofthe Agreement Miami-DadeCountyInspectors General Review AccordingtoSection2-1076ofthe Code of Miami-Dade County,as amended,Miami-Dade County has established theOfficeof the Inspector Generalwhichmay,onarandom basis,performaudits onallCountycontracts,throughoutthe duration of said contracts,exceptasotherwise provided below.Thecostof the auditofanyContractshallbeonequarter(1/4)of one (1)percentof the total contract amount which cost shallbeincludedin the totalproposed amount The audit cost will be deducted bytheCounty from progresspaymentstotheselectedAwardee.Theauditcostshallalso be included inall change orders andall contract renewals and extensions. Exception:Theabove application ofonequarter(1/4)ofonepercentfee assessment shallnotapply to the following contracts:(a)IPSIG contracts;(b)contracts for legalservices;(c)contractsfor financial advisory services;(d)auditingcontracts;(e)facility rentalsand lease agreements;(f) concessions and other rentalagreements;(g)insurancecontracts;(h)revenue-generatingcontracts; (I)contractswherean IPSIG is assigned atthetimethecontractisapprovedbytheCommission;(j) professionalservice agreements under$1,000;(k)management agreements;(1)small purchase orders asdefinedin Miami-Dade CountyAdministrativeOrder3-2;(m)federal,stateandlocal government-funded grants;and(n)interlocal agreements.Notwithstandingtheforegoing,the Miami-DadeCountyBoardof County Commissioners mayauthorize the inclusion of the fee assessment of one quarter(1/4)of one percent in any exempted contract at the time ofaward. Awardee consents tothepowersoftheInspectorGeneral.TheMiami-DadeCountyInspector General is authorizedand empowered toreviewpast,present and proposed Countycontracts, transactions,accounts,recordsandprograms.In addition,theInspectorGeneralhasthepowerto subpoena witnesses,administeroaths,require the production ofrecordsand monitor existing projectsandprograms.Monitoring ofanexistingprojector program mayincludeareportconcerning whether theprojectisontime,withinbudgetandincompliancewithplans,specificationsand applicable law. Uponten(10)dayspriorwrittennoticetothe Awardee fromtheInspectorGeneralorIPSIGretained by the InspectorGeneral,the Awardee shallmakeallrequestedrecordsand documents availableto the Inspector Generalor IPSIG forinspectionandcopying.The Inspector GeneralandIPSIGshall have therightto inspect andcopyall documents andrecordsinthe Awardee's possession,custody orcontrolwhich,intheInspectorGeneralor IPSIG's solejudgment,pertaintoperformanceofthe Agreement,including,butnotlimitedtooriginal estimate files,worksheets,proposalsand Agreements fromandwith successful and unsuccessful subcontractors and suppliers,allproject- Page 17 related correspondence,memoranda,instructions,financial documents,construction documents, proposaland Agreement documents,back-charge documents,all documents andrecords which involve cash,trade ov volume discounts,insurance proceeds,rebates,ordividendsreceived,payroll andpersonnelrecords,andsupportingdocumentationfortheaforesaiddocumentsandrecords. Independent Private Sector Inspector General Reviews Pursuant toMiami-Dade County Administrative Order 3-20,the Awardee is aware that the County hasthe right toretaintheservicesofanIndependentPrivateSector Inspector General(hereinafter "IPSIG-),whenever the County deems itappropriatetodoso.Uponwrittennoticefromthe County, the Awardee shall make availableto the IPSIGretained by the County,all requested records and documentationpertainingtothis Agreement forinspectionandreproduction.TheCounty shall be responsible for the payment of these IPSIG services,andunderno circumstance shallthe Awardee's pricesand any changes thereto approvedbythe County,be inclusiveofany charges relatingto these IPSIG services.The terms ofthisprovisionherein,applytothe Awardee,its officers,agents,employees,subcontractors and assignees.Nothing contained inthisprovisionshall impairany independent rightofthe County to conduct anauditor investigate the operations, activities and performance of the Awardee in connection withthis Agreement.The terms of this Articleshallnot impose any liabilityonthe County by the Awardee oranythirdparty. Commission Auditor Access to Records PursuanttoOrdinanceNo.03-2,Awardee shallgrant access totheCommissionAuditortoalt financialand performance relatedrecords,property,and equipment purchased inwholeor \n part with government funds,includingfunds awarded tp Awardee pursuant tothis Agreement Q.PriorApproval The Awardee shallobtainwrittenapprovalfromPHCDpriorto undertaking any of the following: 1.The engagement or execution of any subcontract(s)or Agreement assignments,wherein CDBGfundswillbeusedtopayforgoodsor services.The Awardee must submit all proposed agreement documents to PHCD atleastthirty(30)dayspriortothestart date,of the agreement.PHCDshall have noobligationto approve payment ofany expenditure (resulting fromanagreementor subcontract)whichwas incurred prior totheapprovatby PHCDof such agreement or subcontract 2.Theadditionofanypositionsnot specifically listedin the approvedbudget. 3.Themodificationoradditionofalljobdescriptionsforexistingstaff. 4.Thepurchaseof all nonexpendable personalpropertynotspecificallylistedintheapproved budget 5.The disposition of all real,expendable personal,andnonexpendable personal property as definedinSection II,Paragraph W.1.ofthis Agreement 6.Out-of-towntravelnotspecificallylistedintheapprovedbudget. 7.Thedispositionof Program Income notspecificallylistedintheapproved Program Income budget 8.The publication of proposed Solicitation Notices,Invitations for BidsandRequests for Proposals as providedforinSection II,ParagraphKofthis Agreement 9.The disposal of all Agreement records as provided for inSection II,Paragraph Nofthis Agreement. 10.In theeventtheAwardeewishestosubstitutepersonnelforthekeypersonnelidentified bytheAwardee's Proposal,theAwardeemustnotifytheCounty in writing andrequest written approval for the substitution atleastten (10)businessdays prior toeffectingsuch substitution. R.Monitoring Page 18 The Awardee shall permit PHCD and other persons duly authorized by PHCD toinspect all Agreement records,facilities,equipment,materials,and services ofthe Awardee which areinany wayconnectedtotheactivitiesundertakenpursuanttothe tenns of this Agreement,and/orto interview any clients,employees,subcontractors,orassigneesofthe Awardee.Following such inspectionor interviews,PHCD will delivertotheAwardeeareportofits findings,andtheAwardee will rectify all deficiencies citedby PHCD within the specified period of time set forth inthe report,or provide PHCD withareasonable justification fornot correcting the deficiencies.PHCD will determine,initssoleandabsolute discretion,whetherornotthe Awardee's justification is acceptable orifthe Awardee must,despitethe justification,rectify the deficiencies cited by PHCD in itsreport. S.Conflict of Interest TheAwardeeagreestoabidebythe provisions of24CFR84.42(24CFRPart85.36forPublic Agencies)and24CFR 570.611 with respectto conflicts of interest,andcovenantsthatitpresently has no financial interestandshallnotacquireany financial interest,direct or indirect,whichwould conflictinanymanneror degree withtheperformanceofservicesrequriedunderthis Agreement TheAwardee further covenantsthatinthe performance ofthisAgreement no personhavingsucha financial interestshallbe employed orretainedbytheAwardeehereunder.These conflict of interest provisions applytoanypersonwhoisanemployee,agent,consultant,officer,orelected official or appointed official oftheCounty,orofanydesignated public agenciesor subrecipients whichare receivingfundsundertheCDBGEntitlementprogram.The Awardeecertifiesand represents thatno officer,director,employee,agent,orotherconsultantoftheCountyora member ofthe immediate familyorhousehold of theaforesaidhas directly or indirectly receivedor been promised any formof benefit,paymentor compensation,whethertangibleorintangible,inconnection with thegrantofthis Agreement TheAwardeeshallabideandbegovernedby Miami-Dade CountyOrdinanceNo.72-82(Conflictof Interest Ordinance),as amended,which is incorporated herein by reference asif fully set forth,in connection withits Agreement obligationshereunder. TheAwardeeshalldiscloseanypossibfe conflicts ofinterestorapparent improprieties of any party thatare covered by the above standards.The Awardee shall make such disclosure inwritingto PHCDimmediatelyupontheAwardee'sdiscoveryofsuchpossible conflict.PHCD will then render anopinionwhichshallbebindingonallparties. The Awardee shall submit toPHCD,withinfive business daysof execution this Agreement,all updatedConflictofInterestaffidavits,RelatedPartyDisclosure statements,listofcurrentBoard members,andlistofall business associations with the following documents: >Original Agreement orits subsequent amendments. >Requests for budget revisions. >Requests forapprovalof subcontracts. Non-compliance withthe above requirements will be considered abreachof Agreement,which will resultintheimmediateterminationoftheagreement,therecoveryoftheentire funding award,and the disqualificationoffunding through PHCDforaperiod of three years. a)Awardee certifiesand represents that there areno undisclosed persons orentities interested withtheAwardeeinthis Agreement.This Agreement isenteredintobythe Awardeewithoutanyconnectionwithanyotherentityorpersonmakingaproposalfor the same purpose,andwithout coBusion,fraudorconflictof interest No elected or appointedofficeror official,director,employee,agentorotherconsultantoftheCounty, orof the State of Florida (including elected andappointed members ofthelegislative and executive branches of government),ora member oftheimmediatefamilyor household of any of the aforesaid: i)isinterestedonbehalfoforthroughtheAwardeedirectlyorindirectlyinanymanner whatsoever in the execution orthe performance ofthis Agreement,orinthe services, supplies orwork,to which this Agreement relates orin any portion of the revenues;or Page 19 ii)isan employee,agent,advisor,or consultant to the Awardee ortothe best of the Awardee's knowledge any subcontractor or supplier to the Awardee. b)NeithertheAwardeenorany officer,director,employee,agency,parent,subsidiary,or affiliate of the Awardee shall have an interest which is in conflict with the Awardee's faithful performance ofits obligation underthis Agreement;providedthattheCounty,in itssolediscretion,may consent inwritingtosucharelationship,providedthe Awardee provides the County withawrittennotice,in advance,which identifiesallthe individuals and entities involved and sets forthindetail the natureof the relationshipand why itisin the County's best interest to consent to such relationship. c)The provisionsofthisArticleare supplemental to,notinlieuof,allapplicablelawswith respect to conflict of interest.In the event there isa difference between the standards applicable under this Agreement and those provided by statute,thestricter standard shallapply. d)In the event Awardee has noprior knowledge of a conflict of interest as set forth above and acquires informationwhich may indicatethat there maybeanactualor apparent violationofany of theabove,Awardee shallpromptlybringsuchinformationtothe attention of the County's ProjectManager.Awardee shallthereafter cooperate with the Count/s review and investigation of such information,andcomplywiththe instructions Awardee receives fromtheProjectManagerinregardtoremedyingthesituation. T.Intentionally LeftBlank U.Publicity,Advertisements and Signage The Parties agree that the Awardee isfundedby the County forCDBG Activities.Further,the Awardee agrees thatall events funded bythis Agreement shall recognize the County and the United States Department of Housing and Urban Development (US HUD),as funding sources andthatthe Awardee shallensurethatall publicity,publicrelations,advertisements and signs recognizethe County andUS HUD forthe support ofall contracted activities.This istoinclude,butisnotlimited to,allpostedsigns,pamphlets,wallplaques,cornerstones,dedications,notices,flyers,brochures, news releases,media packages,promotions,and stationery.Theuseofthe official County logo is permissible.The Awardee shall ensure thatall media representatives,wheninquiring about the activitiesfundedbythis Agreement,areinformedthat the County andUSHUDarethefunding sources.The Awardee shallnotifytheCountyofall events andactivitiesinvolvingtheProjectten (10)days priortotheactivityor event. When the Awardee obtain(s)the buildingpermit(s),theCHMDProjectManagerat the Department, mustbenotifiedinordertorequesttheprojectsignfrom Miami-Dade County Internal Services Department (ISD).Within thirty(30)daysoftheerection of the sign,the CHMD ProjectManager will submit aninvoicetothe Awardee forpayment of theprojectsign cost The Awardee is responsible forall costs forreplacingany amended,lost,defaced or missing sign.Thesignshallremainonthe premisesatleastninety (90)daysaftertheissuanceofthe Certificate ofOccupancy (CO)or Certificate of Completion(CC). NO WORK SHALL COMMENCE UNTIL THE PROJECT SIGNS ARE SECURED IN PLACE.THE SIGNSSHALLBE IN ACCORDANCE WITH THE DETAIL SHOWN IN ATTACHMENT F.Payment for furnishing,installing and maintaining the sign shall be under the bid amount for mobilization.j V.Procurement TheAwardeemusttakeaffirmativestepstoprocuresupplies,equipment,construction,orservices to fulfill thisAgreement from minority andwomen's businesses,andto provide these sourcesthe maximum feasibleopportunitytocompetefor subcontracts tobeprocuredpursuanttothis Agreement.Tothemaximumextent feasible,these businesses shallbelocatedinorownedby residentsofthe Community Developmentareasdesignatedby PHCD intheCDBG application approved by the supervising federal agency. Pag©20 I TheAwardeeshallassurethatallsubcontractsorthirdparty agreements containprovisionswith statedgoals,thatlow-incomeresidents from Community Development Targetand Service Areas be providedwithopportunitiesfor employment andtrainingincontractedactivities. InconformancewithSection3oftheHousingandCommunityDevelopmentAct of 1968,the Awardee must directfederalfinancing assistance towardsTargetArearesidentsand ensure that employmentandeconomicopportunitiesbegiventolowandverylow income,persons,particularly thosewhoare recipients ofgovernmentassistanceforhousing according totheguidelines mentioned below: 1.The workto be performedunderthis Agreement issubjecttotherequirements of Section 3 of the Housing and Urban Development Act of 1968,as amended,12 U.S.C,1701 (Section 3).ThepurposeofSection3isto ensure that employment andother economic opportunities generated by HUD assistance or HUD-assisted projects covered by Section 3,shall,tothegreatestextent feasible,bedirectedtolow-andverylow-income persons, particularly personswhoare recipients of HUD assistance forhousing. 2.The partiestothis Agreement agreeto comply with HUD's regulationsin24CFRpart 135, whichimplementSection3.AsevidencedbytheirexecutionofthisAgreement,theparties tothis Agreement certifythattheyare under nocontractualorother impediment thatwould prevent themfrom complying withthepart136regulations. 3.The Awardee agreestosendtoeachlabororganizationorrepresentativeof workers with which the Awardee has acollectivebargaining agreement orotherunderstanding,ifany,a notice advising the labor organization or workers'representative of the Awardee's commitments underthisSection3clause,and will postcopiesofthenoticein conspicuous places attheworksitewhereboth employees andapplicantsfor training and employment positionscan see thenotice.ThenoticeshalldescribetheSection3preference,shallset forthminimum number andjobtitles subject tohire,availability of apprenticeship and trainingpositions,the qualifications foreach;andthe name and location oftheperson(s) takingapplicationsfor each ofthepositions;and the anticipateddatetheworkshallbegin. 4.TheAwardee agrees toincludethisSection3clauseineverysubcontract subject to compliance withregulationsin24CFRpart 135,and agrees totakeappropriateaction,as provided inanapplicableprovisionof the subcontract orinthisSection3 clause,upona findingthat the subcontractor isinviolation of theregulationsin24CFRpart135.The Awardee willnot subcontract withany subcontractor where the Awardee has notice or knowledge thatthe subcontractor has been foundinviolationofthe regulations in 24CFR part 135. 5.The Awardee willcertifythatanyvacant employment positions,includingtrainingpositions, that arefilled(1)after the Awardee is selected but before the Agreement is executed,and (2)withpersonsotherthanthoseto whom the regulationsof24CFRpart135require employment opportunities tobedirected,were notfilledto circumvent the Awardee's obligations under24CFRpart 135. 6.Noncompliance withHUD'sregulationsin 24 CFRpart135mayresultin sanctions, termination of this Agreement for default,and debarment or suspension fromfutureHUD assisted contracts. 7.With respect toworkperformedin connection with Section 3 covered Indian housing assistance,section7(b)ofthe Indian Self-DeterminationandEducation Assistance Act(25 U.S.C.450e)alsoappliestotheworktobeperformedunderthis Agreement Section7(b) requiresthattothegreatestextentfeasible(i)preferenceandopportunitiesfor training and employment shallbegiventoIndians,and (il)preference intheawardof contracts and subcontracts shall be giventoIndian organizations andIndian-owned Economic Enterprises.PartiestothisAgreementthataresubjecttothe provisions ofSection3and section 7(b)agreetocomply with Section3tothe maximum extentfeasible,butnotin derogation of compliance with section 7(b). 8.FairSubcontractingPolicies(Ordinance97-35) All Awardees onCountycontractsinwhich subcontractors may be used shallbe subject to and comply withOrdinance97-35as amended,requiring Awardees toprovideadetailed statement oftheirpoliciesand procedures forawarding subcontracts which: Page 21 a)notifiesthe broadest numberoflocalsubcontractorsof the opportunitytobe awarded a subcontract; b)inviteslocalsubcontractorsto submit bids/proposalsina practical,expedient way; c)provideslocalsubcontractors access toinformation necessary toprepareand formulatea subcontracting bid/proposal; d)allowslocalsubcontractorsto meet withappropriatepersonnelofthe Awardee to discuss the Awardee's requirements;and e)awardssubcontractsbasedon full andcomplete consideration ofallsubmitted proposals and in accordance with the Awardee's stated objectives. All Awardees seeking lo contract withthe County shall,asa condition ofaward,providea statement oftheir subcontracting policiesand procedures (see Attachment G).The County willnot execute this Agreement with Awardees whofailtoprovidea statement of the Subcontractors Policiesand Procedures. The County reserves the righttoeither approve orwithdrawits consent toa subcontract ifit appears to the County,in Its discretionandauthority,thatthe subcontract willdelay,prevent or otherwise impair the performance of the Awardee's obligations underthis Agreement. W.Property 1.Definitions a.Property.As defined on page 2 herein. b.RealProperty:Land,land improvements,structures,fixturesand appurtenances thereto,excluding movable machinery and equipment c.Personal Property:Personal propertyofanykind except realproperty. 1)Tangible:Allpersonal property havingphysical existence. 2)Intangible:Altpersonalpropertyhavingnophysical existence such as patents,inventions,and copyrights. d.Nonexpendable Personal Property:Tangible personalproperty of a nonconsumable nature,withavalue of $750 ormoreperitem,withanormal expected lifeof one or more years,notfixedinplace,andnotanintegralpartofa structure,facility or another pieceof equipment e.Expendable Personal Property:Alltangiblepersonalpropertyotherthan nonexpendable property. 2.The Awardee shallcomplywith the realproperty requirements asstatedbelow: a.Anyrealpropertyunderthe Awardees controlthatwasacquiredorimprovedby Awardeeor PHCD inwholeorinpartwithCDBGfundsreceivedfrom PHCD in excess of $25,000 shall be either. 1)Usedtomeetoneofthethree(3)CDBG national objectives until five(5) years after the expirationorterminationofthis Agreement,orfor such longerperiodoftimeasdeterminedby PHCD inits sole andabsolute discretion;or 2)Notusedto meet oneofthethree(3)CDBGNationalObjectives.Inthe event thepropertyisnotusedto meet one of thenational objectives for five(5)years following theexpirationorterminationofthis Agreement or such longerperiodasdeterminedbyPHCD,the Awardee shall,in the solediscretionofPHCD,eitherpaytoPHCDan amount equaltothe marketvalueof the propertyas may bedeterminedbyPHCDinitssole and absolute discretion,less any proportionate portion of the value attributable to expenditures ofnon-CDBGfundsforacquisitionof,or improvement to,the propertyor transfer the propertytoPHCDatnocost toPHCD.Reimbursement isnotrequiredafter the periodoftime specified in Paragraph W.2.a.1.,above. Page 22 b.Anyreal property undertheAwardee's control thatwasacquiredorimprovedin whole orinpartwithCDBGfundsfromPHCDfor $25,000 or less shall be disposed of,atthe expiration or termination ofthisAgreement,in accordance with instructions from PHCD. c.Ailreal property purchasedor improved inwholeorinpartwithfundsfromthis andpreviousAgreements with PHCD.or transferred totheAwardeeafterbeing purchasedin whole orin part with funds from PHCD.shall be listed inthe property records of theAwardeeandshallincludealegaldescription;size;dateof acquisition;valueattimeof acquisition;presentmarketvalue;presentcondition; address orlocation;owner's name if different fromthe Awardee;information on thetransferor disposition ofthe property;andmap indicating whether property is inparcels,lots,orblocksandshowingadjacentstreetsandroads.Theproperty recordsshall describe the programmatic purpose for whichthe property was acquired and identify the CDBG national objective that will bemet.Ifthe property was improved,therecordsshalldescribe the programmatic purposeforwhichthe improvements were made andidentify the CDBG national objectivethatwillbe met. d.Forawards involving thepurchaseorimprovementofrealproperty,the Awardee agrees to execute a mortgage,loan document,or restrictive covenant for the CDBG award with PHCD within 180daysafterthe execution ofthisagreement. FailuretocomplywiththisrequirementmayresultintheretractionoftheCDBG awardfor the projectandterminationof this agreement. e.Allreal property shall be inventoried annuallybytheAwardeeandaninventory report shall be submitted toPHCD.This report shallinclude the elements listed in Paragraph W.2.c,above. Nothing inthis section shallbeconstruedto limit the County's right tocollectfrom Awardee theentire amount ofCDBGfundsawardedpursuanttothis Agreement inthe event Awardeefailsto meet anationalobjective. 3.Inventory -CapitalEquipmentandReal Property Allcapital items acquiredfor the projectby the Awardee withfundsallocatedinthis Agreementshall be assets oftheAwardeeandmaybesecuredbyamortgagedeliveredto theCounty.Acapital Hern shallbedefinedasanitemthat(1)hasaservicelifein excess ofoneyear;(2)iseithercompletewithinitselforisamajor component ofanotheritemof property;(3)bydefinitioncannotbedescribedeitherassuppliesormaterials;(4)will notbe consumedorlose its identity;and(5)hasaunitcost of$500or more,Awardeeshallnotify theCountyimmediatelyuponacquiringanycapitalitemswith funds allocated inthis Agreement TheCountyshallallowtheAwardeeto retain possessionofcapitalequipmentafter expiration ofthis Agreement aslongasthe Awardee continuestoprovidethe service describedinthe Scope of Services (Attachment A).If the Awardeedisbands,becomes defunctorinanyway ceases toexistoriftheAwardee ceases toprovidetheservice describedinthe Scope of Services oranotherserviceofvalue,Awardee shallnotifythe County immediately andprovideinstructionsdescribinghow the Countymaytake possession of thecapitalequipment.Awardeeshalldelivertothe County all documents of titleor ownership and shall transfer or assign such ownershiprightstotheCounty. Foreclosure of the Countymortgageor enforcement ofother documents shallnot be requiredinorderfor the Countytoclaimandtake possession ofcapitalequipment. 4.TheAwardeeshallcomplywiththenonexpendablepersonalpropertyrequirementsas stated below: a.All nonexpendable personalpropertypurchasedorimprovedinwholeor In part withfundsfromthisandprevious Agreements with PHCD shallbelistedin the property records ofthe Awardee andshall include a description oftheproperty; location;modelnumber;manufacturer'sserialnumber;date of acquisition;funding source;unitcostat the time of acquisition;present market value;property inventory number,informationonits condition;andinformationon transfer, replacement,ordispositionofthe property. Page 23 b.All nonexpendable personalproperty purchased orimproved In whole orinpart withfundsfromthisandprevious Agreements withPHCDshallbe inventoried annuallybytheAwardeeandaninventoryreportshallbesubmittedto PHCD.The inventoryreportshallincludethe elements listedin Paragraph W.3.a.,above. c.Title(ownership)toall nonexpendable personal property purchased in whole orin partwithfundsgiventothe Awardee pursuant tothetermsofthis Agreement shall vest in the County andPHCD. 5.The Awardee shallobtain prior writtenapprovalfromPHCD for thedispositionofreal property,expendablepersonal property,and nonexpendable personalpropertypurchased or Improved in whole orinpartwithfundsgivento the Awardee or subcontractor pursuant to the terms of this Agreement.The Awardee shall dispose of all such propertyin accordance with instructions fromPHCD.Those instructions may require the return of all such propertytoPHCD. Program Income 1.Program Income as defined in 24 CFRPart 570.500 (a)means gross income received by theAwardee directly generated from activities supported by CDBG funds.When Program Income is generated byanactivitythatisonlypartially assisted withCDBGfunds,the income shall be proratedtoreflectthe percentage ofCDBGfunds used. 2.The Awardee shallnot,under any circumstances,use Program Income topayfor charges or expenses thatarespecificallynotallowed pursuant tothetermsofthis Agreement and applicable federalregulationsorrules,oranyCountyrules or ordinance. a.The Awardee shallcomplywiththeProgramIncomeprovisionsin PHCD's Policiesand Procedures Manual If any ProgramIncomeprovisions of the Policiesand Procedures ManualconflictwithanyProgram Income provisions of this Agreement,theprovisions of this Agreement shallrule. b.The Awardee shallreporttoPHCDall cumulative Program Income generated from activities financed in whole or in part by funds from this Agreement,for as long as if receives and/orhascontrol over ProgramIncomegeneratedfromthisandany previous Agreements withPHCD.The Awarded must submit the information for the generated Program Income to PHCD quarterly as part of the Fiscal Section of the Awardee's Progress Report as outlined in Section ll.Paragraph F.2.a. The County may expressly permit Awardee to use Prooram Income in the Scope of Services.If such permission is not expressly set forth in the Scope of Services, then Awardee must reouest permission from the County to use Program Income for eligible activities.The County may in its sole discretion grant such permission, but such permissionmayrequire the approvaloftheBoard of County Commissioners. c.Ifthe Awardee requests to use ProgramIncome,the Awardee shallprovideto PHCO awrittenexplanationoftheactivitiestobeassisted with ProgramIncome andshallobtain PHCD's writtenapprovalpriortoimplementing those activities. All provisionsofthisAgreementshallapplytoany activity performedusing Program Income d.ShouldAwardeebegrantedpermissiontouseProgramIncome,Awardee's use of ProgramIncomeshallbe subject to the limitations set forth inthis Agreement and as set forthintheCDBGregulations,24 CFRPart570.504(c)etseq.Awardee acknowledgesthatthe CDBG RegulationsrequirethatAwardee spend Program Income before furtherCDBG funds are drawn down.Therefore,in the event that theCountypermitsAwardeetouseProgramIncome,Awardeeagreesthat AwardeeshallexpendtheProgramIncomefunds prior toseekingpaymentof CDBG fundsfromtheCounty.Twentypercent(20%)oftheProgramIncome Awardeemakes,retains orreceivesshallbe paid totheCountyona quarterly basisandreportedin Awardee's quarterly Progress Report.At the conclusionof the contract periodor upon termination of this Contract,Awardee shall immediately pay/retum allContractfundsandProgramIncometotheCounty. Page24 e.Should Awardee be granted permission touse Program Income from a revolving loan activity,Program Incomemustbeusedonly for thesamerevolvingloan activity. f.ShouldAwardeebe granted permission touse Program Income,Program Income from a revolving loan activity,suchas loan repayments,interestearned,latefees, andinvestmentincome,shallbe substantially disbursed toeligibleloans,loan- related programmatic costs,and operational costs for thesame revolving loan activity beforetheAwardeemay request additional CDBG funds for that activity. g.ShouldAwardeebegranted permission touse Program Income,ail Program Income from activities other than a revolving loan activity shall be substantially disbursed to carry out other PHCD-approved CDBG eligible activities,andto coveroperationalcostsbeforerequesting additional CDBGfunds. h.Anyproceeds from thesaleof property as detailed inSection II,Paragraph W.4., above,shallbeconsidered Program Income. i.TheAwardee shall obtain,as part ofthe required audit report,validation bya certifiedauditorofallProgramIncomeanditsdisposition. 3.Upon expiration or termination ofthisAgreementorat the endofany program year,the Awardee shall transfer tothe County any Program Income funds onhand,and any Program Incomeaccountsreceivabletoany CDBG funded activities.PHCD may require remittance of all or part ofany Program Income balances (including investments thereof). 4.PHCD,initssoleandabsolutediscretion,reservesthe right topursueother courses of actionintheretentionanduse of Program Income generatedbytheAwardee,andsuch action shallnot require anamendmentto this Agreement. Y,.Travel TheAwardeeshallcomplywiththeCounty'stravel policies.Documentation oftravel expenses shall conform to the requirements of PHCD's Policies and Procedures Manual. Subcontracts and Assignments 1.Unless otherwise specified inthis Agreement,the Awardee shall not subcontract any portion oftheworkwithoutthe prior written consentoftheCounty.Subcontractingwithout the prior consentoftheCountymayresultin termination oftheAgreementfor breach. When Subcontractingisallowed,theAwardeeshallcomplywithCountyResolutionNo. 1634-93,Section10-34oftheCountyCodeandSection2-8.8oftheCountyCode, TheAwardeeshallensurethatallsubcontractsandassignments: a.Ensurethatnocontractor,subcontractoror assignee islistedon the U.S.HUD's debarred,suspended,orineligiblecontractors list;Awardee shalluse,ata minimum,USHUD'sExcludedPartiesList System toconfirmclearanceof contractors.The system may be accessed at https://www.sam.gov/Awardee shallprovidetoPHCDacopyofthesitepagethatindicatesthe name andthe dateit was checked.Awardeeshallfurther ensure thatnocontractor, subcontractor,or assignee islistedonMiami-Dade County's debarred Contractor's List Awardee shall,ata minimum,check at http://www.miamidade.gov/business/smatl-business.asp to determine ifa personorentityisonMiami-DadeCounty'sdebarredcontractor'slist.Awardee shaH provide PHCD witha printout copyofthesitepagethatindicatesthename and the date it was checked. b.Comply withallCDBG requirements,asapplicable,as wellastheregulations specified inPHCD's Policies and Procedures Manual. c.Identify the full,correct,andlegalnameoftheparty. d.Describe the activitiestobeperformed. Page 26 e.Present a complete and accurate breakdown ofitsprice component f.Incorporate aprovisionrequiring compliance withall applicable regulatory and other requirementsofthis Agreement andwithanyconditionsofapprovalthat the County orPHCD deem necessary. This appliesonlyto subcontracts and assignments in which partiesare engaged tocarryoutanyeligible substantive programmatic service,as maybe defined by PHCD,set forthinthis Agreement PHCDshallinitssolediscretion determine when services areeligible substantive programmatic services and subject tothe audit andrecord-keeping requirements described above,and; Result froman open competitivebid process generatingaminimumof three bids. Such competitive process shallbe described inwriting,approvedby the Board of Directorsanda copy ofwhich submitted toPHCD.In such circumstances that open,competitive bids arenot feasible or that a minimum of three bids are unobtainable,permission to use other methods ofaward must be requested in writingand approved byPHCDpriortothe assignment orawardof subcontract. The Awardee agrees thatno assignment or sub-contract willbe made orletin connection withthe Agreement withoutthepriorwrittenapproval of PHCD,which approval shallnotbe unreasonably withheld,and thatall such sub-contractors or assignees shall be governed bythe terms andintentofthis Agreement. g.Incorporatethelanguageof Attachment E,"CertificationRegarding tobbying." h.IncludelanguagestatingthattheSubcontractor understands andagreesthatthe County isnotapartytothe subcontract and hasnoobligationtothe subcontractor. i.The Awardee shall maintain,and shall require that its subcontractors and suppliersmaintain,complete and accurate recordsto substantiate compliance withtherequirementsset forth inthe Scope of Services.The Awardee andits subcontractorsandsuppliers,shallretainsuchrecords,andallother documents relevanttotheServices furnished underthisAgreement for a period ofthree(3) years from the expiration dateofthis Agreement andanyextensionthereof. 2.The Awardee shall incorporate inallconsultant subcontracts thisadditional provision: The Awardeeisnotresponsible for anyinsuranceorother fringe benefits,e.g.,social security,incometaxwithholdings,retirementorleavebenefits,fortheConsultantor employees oftheConsultant normally available to direct employees oftheAwardee.The Consultant assumes full responsibility for the provision of all insuranceand fringe benefits for himselforherselfandemployees retained bythe Consultant in carrying outtheScope of Services providedinthis subcontract. 3.TheAwardee shall beresponsiblefor monitoring the contractual performanceof all subcontractsand their progress toward meetingthe approved goalsandobjectives indicated inthe attached ScopeofServices.Regardlessofany approvals by PHCD of subcontracts orsubcontractors,the Awardee shallbearallrisks associated with subcontracting performanceof the Activitiestoa subcontractor. 4.TheAwardee shall receive from PHCD written prior approval for any subcontract engaging anypartywhoagreesto carry outanysubstantive programmatic activities asmaybe determinedby PHCD as described inthisAgreement.PHCD's approval shall beobtained priortothe release ofanyfundstothesubcontractor. 5.TheAwardee shall receive written approval from PHCD prior to either assigning or transferring any obligations or responsibility set forth in this Agreement orthe right to receive benefitsor payments resulting from thisAgreement 6.Approval by PHCD ofany subcontract orassignmentshallnotunderany circumstance be deemedto provide for the incurrence ofany obligation by PHCD inexcessofthe total dollar amount agreed uponinthis Agreement Page 26 7.Ifthe subcontract involves $100,000 ormoreto provide serviceslistedinthe Scope of Servicesorsupplierstosupply the materials,theAwardeeshallprovidethe names ofthe subcontractorsandsupplierstoPHCD (Attachment H). 8.TheAwardeeagreesthatit will notchangeorsubstitute subcontractors orsuppliers from thelist (Attachment H)without prior written approval from PHCD. 9.TheAwardee shall nothireanyofthe Awardee's staffmembersor employees as subcontractors. AA.Additional Funding TheAwardee shall notify PHCD ofany additional funding received forany activity describedinthis Agreement.Such notification shallbein writing and received by PHCD within thirty (30)daysofthe Awardee's notificationbythefunding source. BB.Method of Payment The Awardee shallbepaid as described below: 1.TheAwardeeshall be paidforthose expenses allowed pursuanttotheprovisionsprovided belowonlywhentheAwardeesubmitsto PHCD adequate proof,asdeterminedby PHCD initssoleandabsolutediscretion,thattheAwardeehasincurredthe expenditures.Itshall bepresumedthatthe Awardee hasprovidedadequateproofofhavingincurred expenses if theAwardeesubmitsto PHCD canceledchecksor original invoicesapprovedbythe Awardee's authorized representative which show performance ofthe Activities described in Attachment Aand conformance withthelaws,rulesandregulations set forthinthis Agreement.When original documentscannotbepresented,theAwardeemustadequately justifytheir absence in writing andfurnishcopiesof those documents toPHCD.The Awardeeshallbepaidonlyforthoseexpenditurescontainedwithin Attachment B, "Budget"tothisAgreementasitmayberevised with the prior written approvalby PHCD. 2.Requests for payment (reimbursement)shallbeassembledbycalendarmonthand submittedto PHCD nolessfrequentlythanmonthly.Expendituresincurredby the Awardee mustbesubmittedtoPHCD,alongwithall original invoices,copiesoffrontandbackof cancelledcheckspaidtoallsubcontractorsandsuppliers,ailreleaseofliensfrom aHI subcontractorsandsuppliers,andall final approved permits,for payment within30days afterthemonthinwhichtheexpenditureswere incurred.Failureto comply willresultin rejectionofinvoices.In noeventshalltheCountybeobligatedtopayanyinvoices for expenses whichwereincurredmorethan60days prior tothedatetherequestforpayment is submitted to PHCD. 3.Inno event shall the County provide advance CDBGfundingto the Awardee ortoany subcontractorhereunder,norshallthe Awardee advance CDBGfundstoanyparty. 4.Any payment due under the terms ofthis Agreement may be withheldpending the receipt andapprovalbyPHCDofallreportsand documents whichthe Awardee isrequiredto submittoPHCDpursuanttothetermsofthisAgreementor any amendments thereto, 5.All payments willbelimitedto the quarterlypayment schedule that accompanies theaction stepchartinthe scope ofservices.Payment iscontingentonthe achievement bythe Awardee ofthequarterly accomplishment levels identifiedinthe scope of services portion ofthisagreement -Attachment A,whichshallbesubmittedwithall payment requests andshallclearlyidentify the completed level of accomplishments met This shallalsoapply tosoftcosts associated withprojectdelivery. 6.No payment(s)will bemade without evidenceof appropriate insurance required bythis Agreement Such evidence must be onfilewithPHCDand the County's internal Services Department PHCD must receive the final request for payment from the Awardee nomore thanthirty(30)calendardaysaftertheexpirationorterminationofthis Agreement.Ifthe Awardeefailstocomplywiththisrequirement,the Awardee will forfeitallrightsto payment(s)ifPHCD,in its sole discretion,so chooses. 7.All monies paidto the Awardee which have not been used toretire outstanding obligations ofthis Agreement must berefundedtoPHCDin accordance withPHCD'sPoliciesand Procedures Manual, Page 27 8.Any unexpended funds remaining after the completion ofthe services under this Agreement,or after termination of this Agreement,shall be recaptured in full bythe County. 9.IntheeventtheCountydeterminesthattheAwardeehasbreachedthetermsofthis agreement andthatthe County is entitled to return ofanyor all ofthe funds awarded under this Agreement,Awardeeagreestoand shall assignanyproceedstotheCounty from any Agreementbetweenthe County,itsagenciesor instrumentalities andthe Awardee orany firm,corporation,partnership or joint venture inwhichtheAwardeehasa controlling financial interestinordertosecurerepaymentofthisaward."Controlling financial interest" shall mean ownership,directly or indirectly totenpercentormoreofthe outstanding capital stockinany corporation ora direct or indirect interestoftenpercentormore in a firm, partnershipor other business entity. CC.Reversion of Assets The Awardee shallreturntoPHCD,upontheexpirationorterminationofthis Agreement,alt assets ownedorheldbyAwardeeasaresultofthisAgreement,including,butnot limited toanyCDBG fundsonhand,anyaccountsreceivable,anyoverpaymentsduetounearnedfundsor costs disallowed pursuant tothetermsofthisAgreementthatweredisbursedtotheAwardeebythe County,otherthanreasonableoperating and deficit reservesestablishedbyAwardeeand which are connected withtherealproperty.In the case ofactivitiesinvolvingreal property,suchreservesshall notbedistributedtoanypartneror subcontractor prior torepaymentto PHCD ofthe CDBG toan: TheAwardee shall attherequestoftheCountyexecuteanyand all documents,indudingbutnot limitedlo,mortgagessecuringtheproperty,UCC financing statements,andrestrictivecovenants,as requiredbytheCountyto effectuate thereversionof assets. DD.Restriction on the Use of Funds ThefundsreceivedpursuantthisAgreementshallbe used forthepurposes set forth hereinand shallnot be usedtosupplantotherfunds.Inno event shallfunds received pursuanttothis Agreement be used for. 1.Adverse Actionsor Proceedings.The Awardeeshallnotutilize County fundstoretainlegal counsel for any actionorproceedingagainst the Countyor any ofitsagents, instrumentalities,employees or officials.The Awardee shallnotutilizeCountyfundsto provide legal representation,adviceorcounseltoanyclientinanyactionorproceeding againsttheCountyoranyofits agents,instrumentalities,employees or officials. 2.Religious Purposes.County fundsshallnotbe used forreligious purposes. 3.ComminglingFunds.TheAwardeeshallnot commingle fundsprovidedunderthis Agreement withfundsreceivedfromanyotherfundingsources,butmaybe included ina Development Bank Account permittedbythefirst mortgage lenderatthe discretion ofthe County. III.THE COUNTY AGREES: Subject totheavailabilityoffunds,topayfor contracted Activitiesaccordingtothe terms andconditions containedwithinthis Agreement inan amount notto exceed theappropriated amount asstatedonpage1ofthis contract. IV.THE AWARDEE AND PHCD AGREE: A.Effective Date 1.This Agreement shallbeginon the effectivestart date as stated on page 1ofthis contract. Any costs incurredby the Awardee priortothisdatewillnotbe reimbursed bytheCounty. 2.This Agreement shallexpireonthe end dateas stated onpage1ofthis contract.Any costs incurredby the Awardee beyond thisdatewillnot be reimbursed bytheCounty.The termofthis agreement and theprovisionsherein may be extended by the Countyto cover any additonaltimeperiodduringwhichthe Awardee remains incontroloftheCDBGfunds or other assests,includingProgram Income to support CDBGeligibleactivites.Any Page28 extensionmade pursuant to this paragraph shallbe accomplished bya writing bythe CountytotheAwardee.Suchnotice shall automatically becomeapartofthis Agreement 3.ThisAgreementmay,atthesoleand absolute discretion ofthe County and PHCD,remain in effect during any period that the Awardee has control over Agreement funds,including Program Income.However,the County shall haveno obligation or responsibility tomake any payment,exceptthose described within Section II,Paragraph Y,or provide anytypeof assistanceorsupporttotheAwardeeifthisAgreementhasexpiredorbeenterminated. 4.Management Evaluation and Performance Review TheDepartmentmayconducta formal management evaluation andperformancereviewof theAwardee,ifinthe Department's sole discretion itisdeemednecessaryand applicable. The management evaluation shall reflect theAwardee'scompliancewithgenerally acceptedfiscaland organizational standardsand practices.Theperformancereview should reflectthe quality ofservice provided andthevaluereceivedusing monitoring data, suchasprogress reports,sitevisits,and client surveys. B.Default or Breach 1.TheAwardeeshallbeindefaultor breach ofthisAgreementifanyofthe following acts, omissions or conditions occur a.TheAwardee fails to fulfill eachandevery provision ofthis Agreement andthe Attachments andfailstoprovidethe services outlinedinthe Scope of Services (Attachment A)withintheeffectivetermofthis Agreement,includingbutnot limited to failure to meet the National Objective,asdeterminedbytheCountyand U.S.HUD. b.Awardee fails todiscloseallRelatedor Affiliated Partiesandallmattersrequired tobedisclosedastoRelatedor Affiliated PartiestotheCountyasrequriedherein. c.Filing ofalispendens,foreclosure action,orotherlegalactionagainstthe Property,any property of Awardee or Related or Affiliated Party,or"against Awardee orRelatedor Affiliated PartywhichtheCounty determines,initssole discretion,threatensthe Property ortheabilityofAwardeeto fulfill theprovisions of this Agreement andtheservicesoutlinedinthe Scope ofServices. d.Anyarrearage,default,orlate payment onanyloan,Noteorotherdebtor obligation forwhichthe Property issecurityor regarding any property ofAwardee orRelatedor Affiliated Party,including propertiesnotrelatedtothisAgreement. e.Anylegal encumbrance onthePropertynotpermittedin writing bytheCounty. f.Any anticipatedorpendingbankruptcy,restructuring,dissolution,reorganization, appointment of a trustee orreceiver. g.Anyaction,activity,facts,orcircumstancesthattheCountydeterminesinitssole discretionwould materially impair performancebyAwardeeofallthetermsand conditions of this Agreement h.Awardee fails toreporttotheCounty within ten(10)daysanybankruptcy, reorganziation,dissolution,liquidation,appointmentofatrusteeorreceiver,lis pendens,foreclosureactionorlegal encumberance relatedtotheAwardee, Relatedor Affiliated PartyortheProperty,oranyaction,activity,facts,or circumstances thatwould materially impairperformancebyAwardee of altthe terms andcoditions of this Agreement, i.Failure tocomplystrictlywithSectionW(2)(a)(1)-(2)of this Agreement, j.Failureto meet thefiftypercent(50%)or seventy percent(70%)Benchmarks,as set forthinthis Agreement,ortosubmitdocumentation(viaProgress Reports and applicablesupportingdocumentation)sufficienttoshowAwardeehas met said Benchmarks. Page 29 C.Suspension 1.TheCountymay suspend paymentinwholeorinpartunderthis Contract by providing writtennoticetothe Awardee ofsuch suspension andspecifyingthe effective date thereof, atleastten(10)daysbeforetheeffectivedateof suspension.Ifpaymentsare suspended, theCountyshall specify in writing the actions that must betakenbythe Awardee as conditions precedent toresumptionof payments andshall specify a reasonable date for compliance.The County may also suspend any payments inwholeorinpart under any other Agreements entered into between the County andthe Awardee.The Awardee shall be responsible forits own directandindirect costs associated withsuch suspension, includingattorney'sfees.Reasonable cause shallbedeterminedby PHCD,in itssoleand absolute discretion,and may include,butis not limitedto: a.Ineffectiveorimproper use of these Agreement fundsbythe Awardee orany of its subcontractors; b.Failure bythe Awardee tomateriallycomplywithanytermorprovisionofthis Agreement; c.Failure bythe Awardee tosubmit any documents requiredbythis Agreement;or d.The Awardee's submittal of incorrect or incomplete reportsor other required documents. e.Failure to meet the fifty percent (50%)or seventy percent(70%)Benchmarks,as set forthin this Agreement,orto submit documentation (via Progress Reports and applicable supporting documentation)sufficientto show Awardee has met said Benchmarks. 2.In the event ofa default bythe Awardee,PHCDmayat any time suspend the Awardee's authoritytoobligatefunds,withhold payments orboth.These actions may apply toonly partorall of theactivitiesfundedbythis Agreement 2.PHCDwillnotify the Awardee of the type of actiontobe taken inwritingbycertifiedmail, returnreceipt requested,orinpersonwithproofofdelivery.Thenotificationwillincludethe reason(s)for such action,the conditions oftheaction,andthe necessary corrective action(s). D.Termination 1.Termination at Will This Agreement,inwholeorinpart,may be terminatedbyPHCDuponno less thanten (10)workingdaysnotice when PHCD determines thatitwouldbeinthe best interestof PHCDandtheCounty.Saidnoticeshallbedeliveredbycertifiedmail,returnreceipt requested,orinpersonwithproofofdelivery.In the event oftermination,the County may: (a)requestthereturnofall finished orunfinisheddocuments,datastudies,surveys, drawings,maps,models,photographs,reportsprepared,and capital equipmentsecuredby the Awardee withCountyfundsunderthis Agreement;(b)seek reimbursement ofCounty funds allocated to the AwardeeunderthisAgreement;and/or(c)terminateorcancelany otherAgreementsenteredintobetweentheCountyandtheAwardee.TheAwardeeshall be responsible foritsowndirectandindirect costs associated with such termination, includingattorney's fees. 2.Termination for Convenience PHCDmayterminatethis Agreement,in whole part,in accordance with24CFRPart85.44, whenbothpartiesagreethatthecontinuationoftheactivitieswouldnotproducebeneficial results commensurate withthe further expenditureoffunds.Bothpartiesshallagreeupon theterminationconditions.PHCD,atits sole discretion,reserves therightto terminate this Agreement without cause uponthirty(30)days writtennotice.Uponreceiptof such notice, the Awardee shallnotincurany additional costs underthis Agreement 3.Termination Because of tack of Funds Page 30 In the event ofa funding short-fall,ora reduction in federal appropriations,orshouldfunds tofinancethisAgreementbecome unavailable,PHCD mayterminate this Agreementupon no less than twenty-four (24)hours writtennotificationtothe Awardee.Said notice shall be delivered by certified mail,return receipt requested,orin person with proof of delivery. PHCDshallbethefinalauthorityto determine whether ornotfundsareavailable.PHCD mayatitsdiscretionterminate,renegotiateand/oradjusttheAgreementawardwhichever isinthebestinterestofthe County. 4.TerminationforSubstantial Funding Reduction In theeventofa substantial funding reduction ofthe allocation tothe Awardee through Board ofCounty Commissioners'action,theAwardeemay,atits discretion,requestin writing from the Director of PHCD a release from its contractual obligations tothe County. The Director of PHCD will reviewtheeffectoftherequestonthecommunityandthe County priortomakingafinaldetermination. 5.Termination for Default or Breach PHCD may terminatethisAgreementuponnolessthantwenty-four(24)hourswritten notification to the Awardee for breach or default 6.Terminationfor Failure toMakeSufficientProgress. PHCD may terminate this Agreement,inwholeorin part,when PHCD determines,inits soleandabsolute discretion,thattheAwardeeisnotmaking sufficient progressthereby endangering ultimate Agreement performance,orisnotmateriallycomplyingwithanyterm orprovisionofthis Agreement,PHCD maytreatsuch failure tocomplyasarepudiationof this Agreement; 7.TerminationforBankruptcy C The County reserves the right to terminate this Agreement,if,during the term of any Agreement theAwardeehaswiththeCounty,theAwardee becomes involvedasadebtor inabankruptcyproceeding,or becomes involvedina reorganization,dissolution,or liquidation proceeding,orifa trustee orreceiverisappointedoverallorasubstantial portion ofthepropertyoftheAwardeeunder federal bankruptcylaworanystateinsolvency law. 8.General to Termination and Breach Unless the Awardee'sbreachiswaivedbytheCountyin writing,theCountymay,by written noticeto the Awardee,terminatethisAgreementuponnolessthantwenty-four(24)hours notice.Saidnoticeshallbe defivered bycertifiedmail,returnreceiptrequested,orinperson with proof of delivery. Waiver ofbreachofanyprovisionofthis Agreement shall not be deemed tobeawaiverof any other breach and shall not be construed to be a modification of the terms of the Agreement Theprovisionshereindonot limit theCounty'srighttolegalorequitable remedies.TheCountymayresorttoanyremedy for breach provided hereinorat law, including butnot limited to,taking overthe performance oftheServicesorany part thereof either by itself orthrough others. In the event theCountyshallterminatethis Agreement fordefaultorbreach,theCountyor its designated representatives,mayimmediatelytake possession ofallapplicable equipment,materials,products,documentation,reportsanddata. 9.Penalties forFraud Misrepresentation orMaterial Misstatement In accordance withtheCodeofMiami-DadeCounty,Section2-8.4.1,anyindividualor corporationorotherentitythatattemptsto meet itscontractual obligations withtheCounty throughfraud,misrepresentation ormaterial misstatement,shall have its Agreement with Page 31 theCountyterminated,whenever practicable,asdeterminedbytheCounty,TheCounty may terminate orcancelanyotherAgreementswhichsuch individual orother subcontracted entity has withtheCounty.Such individual orentityshallbe responsible for itsowndirect and indirect costs associated with such termination or cancellation,including attorney'sfees.The foregoingnotwithstanding,any individual orentitywho attempts to meet itcontractualobligationswiththe County throughfraud,misrepresentation ormaterial misstatementmaybe disbarred from County contracting foruptofive(5)years. E.Other Remedies In additiontootherprovisionsset forth herein,inthe event ofdefaultbytheAwardee,the County shallhavetherighttoexerciseanyandallofthefollowingremedies: 1.Awardee shall beliableforalldamages,includingbutnotlimitedto: a.the difference between the cost associated withprocuring Services hereunder andthe amount actually expended bythe County for reprocurement of Services,including procurement and administrative costs;and b.such other direct damages. 2.The Awardee shall remain liablefor any liabilitiesand claims relatedto the Awardee's performance ofthis Agreement orany breach or default,notwithstanding the expiration or termination of this Agreement. 3.Seek enforcement ofthis Agreement,in accordance with24CFRPart 85.43 et.seq includingbutnotlimitedto filing anactionwithacourtofappropriatejurisdiction.The Awardee shall be responsible forits own direct and indirect costs associated with such enforcement,includingattorney'sfees. 4.Debar the Awardee fromfutureCounty contracting. 5.Any other remedy available atlawor equity. Damages Sustained.Notwithstandingtheabove,the Awardee shallnotberelievedof liability tothe County for damages sustained bytheCountybyvirtueofanybreachofthe Agreement,andthe Countymaywithholdany payments totheAwardeeuntilsuchtimeastheexactamountof damages due the County is determined.The Countymay also pursue any remedies availableatlaworequity to compensate forany damages sustained bythebreach. Payment Settlement.If termination occurs for reasons other than breach or default,Awardee shall bepaidonlyforreasonable,allowablecostsincurredbyAwardee prior tonoticeoftermination. "Reasonable,allowablecosts"arethosecostswhichare necessary inordertoperformAwardee's obligationsunderthis Agreement andspecifically exclude expenses incurred prior totheexecution dateofthisAgreement,personal expenses,travel expenses,expenses relatedto additional phases oftheProjectnotspecificallyandexpresslyincorporatedintothis Agreement PHCD shallbethe solejudgeof"reasonable,allowablecosts."Allcompensationpursuanttothis Article issubjecttoan auditat the County's discretion.Awardeeshall not receive payment forlost future revenues,lost developer fees orlostprofits, E-1.timitationof Liability andLimitationof Remedies Awardee acknowledges thattheCountyisprovidingsubstantialfundstoAwardeeatlowornocost toAwardee,andthatthese CDBG funds are for thepurposeof providing abenefittothe community health and welfare. Therefore,notwithstandinjg anyother provision herein,the Parties agreetothe following limitations on liabilities foranyandallclaimsofanykindarisingfromorinconnection with performanceor breachofthisAgreement,which limitations shallapplyequallytoboth Parties: 1.Both Parties'cumulative liability for damages,ifany,islimitedtotheamountofthe CDBG funds set forthin Section III,above.
