WHEREAS,theMayorandCityCommissiondesiretoacceptthegrantfromtheFlorida
Department of Environmental Protection;and
WHEREAS,theAgreementwillprovidefundingforthePalmerParkImprovements
project;and
WHEREAS,theAgreementrequiresthattheCitydedicatedtheparklandinperpetuity
asan outdoor recreational siteandto execute a restrictive covenant that prevents theCity from
usingthelandin question forany other purpose;and
WHEREAS,theCity Manager is authorized to execute the grant agreement inan amount
of $50,000;and
WHEREAS,the grant Agreement shall become effective upon execution by both parties
andthe grantee shall complete construction of all project elements onor before April 30,2018.
NOW,THEREFORE,BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA THAT:
Section 1:TheCity Manager ishereby authorized to execute thegrant agreement with
theFloridaDepartment of EnvironmentalProtectionforthePalmerParkImprovementsproject
inthe amount of $50,000.Thegrant agreement isattachedtothis resolution.
Section 2:Thisresolutionshallbeeffectiveimmediatelyaftertheadoptionhereof.

This grant does not require matched funds from the Cityof South
Miami.The grant contractshall become effectiveuponexecutionby
both parties and the grantee shall complete construction ofall
project elements onor before April 30,2017.
ItshouldbenotedthattheCityAttorney,Thomas Pepe,approves
the attached resolution as to form,but will onlysignthecontract
under the condition that the following is added:"*City isnotSelf
Insured"on the signature page.
Furthermore,FDEPhasa form (attached)tobecompletedpriorto
actualfundingand final contractexecution,whichallows the City to
state that they have contracted forsufficient liability insurance,

DEVELOPMENT OF LAND FOR PUBLIC RECREATION PURPOSES
TfflS AGREEMENT is entered into between the STATE OF FLORIDA DEPARTMENT OF
ENVIRONMENTAL PROTECTION,whose address is 3900 Commonwealth Boulevard,Tallahassee,Florida
32399-3000 (hereinafter referred toasthe "Department")andthe CITY OF SOUTH MIAMI,whose address is 6130
Sunset Drive,South Miami,Florida 33143 (hereinafter referredtoas "Grantee"),a local government,in furtherance
of anapprovedpublic outdoor recreation projectknownas Palmer Park Improvements,Project Number A16097.
Collectively,the Department andtheGranteeshallbereferredtoas "Parties"or individually asa "Party".For
purposes ofthis Agreement,theterms "Grantee"and"Recipient"areused interchangeably.
In consideration of themutualcovenantscontainedhereinand pursuant to Florida Statute,section375.075,
OUTDOOR RECREATION;FINANCIAL ASSISTANCE TO LOCAL GOVERNMENTS,and Florida
Administrative Code,chapter 62D-5,thepartiesheretoagreeasfollows:
1.TERMS OF AGREEMENT:
TheGranteedoesherebyagreetoperforminaccordancewiththetermsandconditionssetforthinthis
Agreement,morefullydescribedin "Attachment A,Grant Work Plan",includingall attachments and
exhibitsnamedherein,whichare attached heretoand incorporated by reference.
Administrative Formsand Reimbursement Forms referenced inthis Agreement maybe found at
www.dep.state.fl.us/parks/oirs/orby contacting theDepartment'sGrant Manager.
Prior to commencement of project,the Grantee shall submit to Department for approval all documentation
andcompletionofresponsibilitieslistedon "Attachment B,Commencement Documentation Checklist"
attached hereto and incorporated by reference.Upon satisfactory approval bythe Department,the
Department will issue written notice to Grantee to commence the project.Unless and until the Department
issues written notice of approval authorizing Grantee to commence the project,Grantee shall not incur nor
charge,and the Department shall not be obligated to pay or reimburse Grantee for fees,cost,or general
expenses of any kind,which incurred during the commencement approval period.
Land owned bythe Grantee,which is developed oracquired with grant funds shall bededicated in perpetuity
asan outdoor recreation site by the Grantee for the use and benefit ofthe public as stated in Florida
Administrative Code,section 62D-5.059(1).Land under control other than by ownership of the Grantee,
such as by lease,shall be dedicated as an outdoor recreation area for the use and benefit of the public for a
minimum period of twenty-five (25)years from the completion date set forth in the project completion
certificate.The project site(s)shall be open at reasonable times and shall be managed ina safe and attractive
manner.This Agreement isnot transferable.
2.PERIOD OF AGREEMENT:
This Agreement shall become effective upon execution by both parties and the Grantee shall complete
development ofthe project siteby April 30,2018 and shall remain in effect until,inclusive.

FUNDING/CONSIDERATION/INVOICING:
The Grantee shall be eligible for authorized reimbursement,in whole orinpart,for cost pursuant to FRDAP
guidelines regarding approved pre-agreement costs,through the expiration date ofthis Agreement,provided
that the cost(s)meet all requirements and financial reporting of the FRDAP program and,rules and
regulations applicable to expenditures of State funds,hereby adopted and incorporated by reference.
A.As consideration for satisfactory performance rendered by the Grantee under FRDAP guidelines
and the terms ofthis Agreement,the Department shall pay the Grantee on a reimbursement basis up
toa maximum of$50,000.00.It is understood that any additional funds necessary for the completion
ofthis project are the responsibility ofthe Grantee.It is further understood that grant funds may be
revised by the Department due to the availability of program funds.Grant awards are contingent
upon appropriation bythe Legislature.The parties hereto understand and agree thatthis Agreement
doesnotrequireamatchonthepartofthe Grantee.
B.Prior written approval from the Department's Grant Manager shall be required for changes to this
Agreement.Changes to approved budget categories within a single deliverable that are less than
10%ofthe total approved deliverable budget amount will require a formal Change Order tothe
Agreement.Changes thatare10%or greater ofthetotal approved deliverable budget amount,or
changes thattransfer funds from one deliverable to another deliverable,or changes thatincreaseor
decrease theproject'stotal funding amount will require a formal Amendment tothe Agreement.
C.The Grantee shall be reimbursed ona cost reimbursement basis for all eligible project costs upon
the completion,submittal and approval ofeach deliverable identified inAttachmentA,in
accordance withthe schedule therein.Reimbursement shallbe requested utilizing Attachment C,
"Payment Request Summary Form".Tobe eligible for reimbursement,costsmustbein
compliance with laws,rulesand regulations applicable to expenditures ofState funds,including,
butnotlimitedto,the Reference Guide forState Expenditures,whichcanbe accessed atthe
following web address:http://www.mvfloridacfo.com/aadir/reference_guide/.All invoices for
amountsdueunderthisAgreementshallbesubmittedindetailsufficientforaproperpre-auditand
post-auditthereof.AfinalpaymentrequestshouldbesubmittedtotheDepartmentnolaterthan
sixty(60)calendardaysfollowingthecompletiondateoftheAgreement,toassuretheavailability
offundsforpayment.Allwork performed pursuantto Attachment Amustbeperformedonor
beforethe completion dateofthe Agreement,and/or pursuanttotheFRDAP guidelines.
D.TheStateChiefFinancialOfficer requires detailedsupportingdocumentationofallcostsundera
costreimbursementagreement.TheGranteeshallcomplywiththeminimumrequirementssetforth
in Attachment D,Contract Payment Requirements.The Payment RequestSummaryFormshall
beaccompaniedbysupportingdocumentationandotherrequirementsasfollowsforeach

b.Indirect Cost -Shallbe calculated atthe rate of 15%of direct cost.Shall not be
iii.Contractual (Subcontractors)-Reimbursement requestsfor payments to subcontractors
mustbe substantiated bycopiesofinvoiceswithbackup documentation identicaltothat
required from the Grantee.Subcontracts whichinvolve payments fordirect salaries shall
clearlyidentifythe personnel involved,salaryrateperhour,andhoursspentontheproject.
All multipliers used(i.e.,fringe benefits,overhead,indirect,and/or general and
administrativerates)shallbesupportedbyaudit.If theDepartmentdeterminesthat
multipliers chargedbyany subcontractor exceededtherates supported byaudit,the
GranteeshallberequiredtoreimbursesuchfundstotheDepartmentwithinthirty(30)
calendardays of writtennotification.Interestontheexcessivechargesshallbecalculated
basedontheprevailingrateusedbytheStateBoard of Administration.Forfixed-price
(vendor)subcontracts,the following provisions shall apply:
a.TheGranteemayaward,ona competitive basis,fixed-price subcontracts to
consultants/contractors in performing the work described in Attachment A.
Invoicessubmittedtothe Department forfixed-price subcontracted activities
shallbesupportedwithacopy of the subcontractor's invoiceandacopy of the
tabulation formforthe competitive procurement process(i.e.,Invitation to Bid
or Request for Proposals)resultinginthe fixed-price subcontract.
b.TheGranteemayrequestapprovalfromtheDepartmenttoawardafixed-price
subcontract resultingfrom procurement methods otherthanthoseidentified
herein.Inthisinstance,theGranteeshallrequesttheadvancewrittenapproval
fromtheDepartment'sGrantManager of thefixedpricenegotiatedbythe
Grantee.TheletterofrequestshallbesupportedbyadetailedbudgetandScope
ofServicestobeperformedbythesubcontractor.Uponreceipt of the
DepartmentGrant Manager's approval of thefixed-priceamount,theGrantee
mayproceedinfinalizingthefixed-pricesubcontract.
c.All subcontracts aresubjecttothe provisions of paragraph 12andanyother
appropriate provisions ofthisAgreementwhichaffectsubcontractingactivities.
iv.Rental/Lease of Equipment -Include copies of invoices or receipts to document charges.
E.In addition to the invoicing requirements contained herein,the Department will periodically request
proofofa transaction (invoice,payroll register,etc.)to evaluate the appropriateness of costs tothe
Agreement pursuant to State and Federal guidelines (including cost allocation guidelines),as
appropriate.This information,when requested,must be provided within thirty (30)calendar days of
such request.The Grantee may also be required to submit a cost allocation plan to the Department
in support of its multipliers (overhead,indirect,general administrative costs,and fringe benefits).

F-i-The accounting systems for all Grantees must ensure that these funds are not commingled
with funds from other agencies.Funds from each agency must be accounted for separately.
Grantees are prohibited from commingling funds on either a program-by-program ora
project-by-project basis.Funds specifically budgeted and/or received for one project may
not be used to support another project.Where a Grantee's,or subrecipient's,accounting
systemcannot comply withthis requirement,theGrantee,or subrecipient,shall establish a
systemtoprovide adequate fund accountability foreachprojectithasbeen awarded.
ii.If the Department finds that these funds have been commingled,the Department shall have
the right to demand a refund,either in whole orinpart,ofthe funds provided to the Grantee
under this Agreement for non-compliance with the material terms ofthis Agreement.The

Grantee,upon such written notification from the Department shall refund,and shall
forthwith pay to the Department,the amount of money demanded by the Department.
Interest on any refund shall be calculated based on the prevailing rate used by the State
Board of Administration.Interest shall be calculated from the date(s)the original •
payment(s)are received from the Department bythe Grantee to the date repayment is made
bytheGranteetothe Department.
iii.Inthe event that the Grantee recovers costs,incurred under this Agreement and reimbursed
by the Department,from another source(s),the Grantee shall reimburse the Department for
all recovered funds originally provided under this Agreement.Interest on any refund shall
be calculated based onthe prevailing rateusedbythe State Boardof Administration.
Interest shall be calculated from the date(s)the payment(s)are recovered bythe Grantee to
thedaterepaymentismadetothe Department bythe Grantee.
G.Ifthetotal cost of the project exceeds thegrant amount,and/or the required match,as applicable,the Grantee
must pay the excess cost.
4.ANNUAL APPROPRIATION:
The State of Florida's performance and obligation to pay under this Agreement is contingent upon an
annual appropriation bythe Legislature.The parties hereto understand thatthis Agreement isnota
commitment of future appropriations.Authorization for continuation and completion of work and payment
associated therewith maybe rescinded with proper notice atthe discretion ofthe Department if Legislative
appropriations are reduced or eliminated.
5.REPORTS:
A.TheGranteeshallutilize Attachment E,"Project Status Report",todescribetheworkperformed
duringthereportingperiod,problems encountered,problem resolution,schedule updatesand
proposedworkforthenextreportingperiod.The Project StatusReportsshallbesubmittedtothe
Department's GrantManagernolaterthantwenty(20)calendardaysfollowingthecompletion of
thereportingperiod.Itisherebyunderstoodandagreedbythepartiesthattheterm"reporting
period"shall reflect thereportingperiodendingMay5,September5andJanuary5.The
Department's Grant Manager shallhavethirty(30)calendar daysto review the required reports and
deliverables submitted bythe Grantee.
6.RETAINAGE:
The Department shall retain ten percent of thegrantuntiltheGranteecompletestheprojectandthe
Department approvesthecompletiondocumentation,pursuanttoFRDAPrequirementsandadditionallyset
forthin paragraphs 62D-5.058(6)(g)and(7)(d),Florida Administrative Code.
7.INDEMNIFICATION:
Each partyheretoagreesthatitshallbesolelyresponsibleforthenegligentorwrongfulacts of itsemployees
andagents.However,nothing containedhereinshallconstituteawaiverbyeitherparty of its sovereign
immunityortheprovisions of Section768.28,FloridaStatutes.Further,nothinghereinshallbeconstruedas
consent byastateagencyor subdivision of theStateof Florida tobesuedbythirdpartiesinany matter
arisingout of any contract orthis Agreement.
8.DEFAULT/TERMINATION/FORCE MAJEURE:
A.The Department may terminate thisAgreementatanytime if any warranty orrepresentationmade
byGranteeinthisAgreementorinitsapplicationforfundingshallatanytimebefalseormisleading
inanyrespect,orintheevent of thefailure oftheGranteetofulfillany of itsobligationsunderthis
Agreement.Prior totermination,theDepartmentshallprovidethirty(30)calendardayswritten
noticeofitsintenttoterminateandshallprovidetheGranteeanopportunitytoconsultwiththe
Department regarding the reason(s)for termination.

B.The Department may terminate this Agreement for convenience by providing the Grantee with thirty
(30)calendar day's written notice.Ifthe Department terminates the Agreement for convenience,the
Department shall notify the Grantee of such termination,with instructions as to the effective date of
termination or specify the stage of work at which the Agreement is to be terminated.If the
Agreement is terminated before performance is completed,the Grantee shall be paid only for that
work satisfactorily performed for which costs canbe substantiated.
C.Records made or received in conjunction with this Agreement are public records.This Agreement
may be unilaterally canceled by the Department for unlawful refusal by the Grantee to allow public
access toall documents,papers,letters,or other material made or received by the Grantee in
conjunction with this Agreement and subject to disclosure under Chapter 119,Florida Statutes
(F.S.),and Section 24(a),Article I,Florida Constitution.
D.Ifa force majeure occurs that causes delays orthe reasonable likelihood of delay inthe fulfillment
ofthe requirements of this Agreement,the Grantee shall promptly notify the Department orally.
Within seven (7)calendar days,the Grantee shall notify the Department in writing ofthe anticipated
length and cause ofthe delay,the measures taken ortobe taken to minimize the delay andthe
Grantee'sintended timetable for implementation ofsuch measures.If the parties agreethatthe
delayor anticipated delaywas caused,orwillbecausedbyaforce majeure,the Department may,
atits discretion,extend thetimefor performance underthis Agreement foraperiodoftimeequalto
the delay resulting from the force majeure upon execution ofan amendment tothis Agreement.
Such agreement shallbe confirmed byletterfromthe Department accepting,orif necessary,
modifying the extension.Aforce majeure shallbeanactofGod,strike,lockout,orother industrial
disturbance,actofthepublicenemy,war,blockade,publicriot,lightning,fire,flood,explosion,
failuretoreceivetimelynecessarythirdpartyapprovalsthroughnofault of theGrantee,andany
othercause,whetherofthekindspecificallyenumeratedhereinorotherwise,thatisnotreasonably
withinthecontroloftheGrantee and/or theDepartment.TheGranteeisresponsibleforthe
performance of allservicesissuedunderthisAgreement.FailuretoperformbytheGrantee's
consultant(s)or subcontractor(s)shallnot constitute aforce majeure event.
9.REMEDIES/FINANCIAL CONSEQUENCES:
No payment will be made for deliverables deemed unsatisfactory bythe Department.Inthe event thata
deliverable isdeemed unsatisfactory bytheDepartment,theGranteeshall re-perform theservicesneededfor
submittal of a satisfactory deliverable,atnoadditionalcosttothe Department,within ten(10)calendar days
of being notified of the unsatisfactory deliverable.If a satisfactory deliverable isnotsubmitted within
the specified timeframe,the Department may,initssole discretion,either:1)terminate this Agreement for
failuretoperform,or2)theDepartmentGrantManagermay,byletterspecifyingthefailureofperformance
under this Agreement,request mat a proposed Corrective Action Plan(CAP)be submitted bythe Grantee to
theDepartment.AllCAPsmustbeabletobeimplementedandperformedinnomorethansixty(60)calendar
days.
A.ACAPshallbesubmittedwithinten (10)calendardays of thedate of theletterrequestfromthe
Department.TheCAPshallbesenttotheDepartmentGrantManagerforreviewandapproval.
Withinten (10)calendardays ofreceiptofaCAP,theDepartmentshallnotifytheGranteeinwriting
whethertheCAPproposedhasbeenaccepted.If theCAPisnotaccepted,theGranteeshallhave
ten (10)calendar daysfromreceiptoftheDepartmentletterrejectingtheproposaltosubmitarevised
proposedCAP.FailuretoobtaintheDepartmentapprovalofaCAPasspecifiedaboveshallresult
inthe Department's,termination ofthisAgreementforcauseasauthorizedinthisAgreement.
B.Upon the Department's notice of acceptance of a proposed CAP,theGranteeshallhaveten(10)
calendardaystocommenceimplementationoftheacceptedplan.Acceptance oftheproposedCAP
bythe Department doesnotrelievetheGrantee of any of its obligations undertheAgreement.In
theeventtheCAPfailstocorrectoreliminateperformancedeficienciesbyGrantee,theDepartment
shallretaintherighttorequireadditionalor further remedialsteps,ortoterminatethisAgreement
forfailuretoperform.NoactionsapprovedbytheDepartmentorstepstakenbytheGranteeshall
precludethe Department fromsubsequentlyassertinganydeficienciesinperformance.TheGrantee

shall continue to implement the CAP until all deficiencies are corrected.Reports on the progress of
the CAP will be made tothe Department as requested bythe Department Grant Manager.
C.Failure to respond toa Department request fora CAP or failure to correct a deficiency inthe
performance ofthe Agreement as specified bythe Department may result in termination ofthe
Agreement.
The remedies set forth above arenot exclusive andthe Department reserves the right to exercise other
remedies in addition toorinlieuof those set forth above,as permitted bythe Agreement.
10.RECORD KEEPING/AUDIT:
A.TheGranteeshallmaintainbooks,recordsand documents directlypertinenttoperformanceunder
this Agreement in accordance with generally accepted accounting principles consistently applied.
TheDepartment,theState,ortheirauthorizedrepresentativesshallhaveaccesstosuchrecordsfor
auditpurposesduringthetermofthis Agreement andforfive(5)yearsfollowingthecompletion
date of theAgreement.Intheeventanyworkissubcontracted,theGranteeshallsimilarlyrequire
eachsubcontractortomaintainandallowaccesstosuchrecordsforauditpurposes.
B.The Grantee understands itsduty,pursuanttoSection 20.055(5),F.S.,to cooperate withthe
Department's Inspector General inany investigation,audit,inspection,review,or hearing.The
Granteewill comply withthisdutyandensurethatits subcontracts issued underthisGrant,if any,
impose this requirement,inwriting,onits subcontractors.
11.SPECIAL AUDIT REQUIREMENTS:
A.Inadditiontotherequirementscontainedherein,theGranteeshallcomplywiththeapplicable
provisionscontainedin Attachment F,"Special Audit Requirements",attachedheretoandmade
aparthereof.Exhibit 1 to Attachment F summarizesthefundingsourcessupportingthe
Agreementforpurposes of assistingtheGranteeincomplyingwiththerequirementsof Attachment
F.Arevisedcopy of Exhibit 1 mustbeprovidedtotheGranteeforeachamendmentwhich
authorizesafundingincreaseordecrease.If theGranteefailstoreceivearevisedcopyof Exhibit
1,theGranteeshallnotifytheDepartment'sGrantsDevelopmentandReviewManagerat850/245-
2361torequestacopy of theupdatedinformation.
B.TheGranteeisherebyadvisedthattheFederal and/or FloridaSingleAuditActRequirementsmay
further applytolowertier transactions thatmaybearesultofthis Agreement.The Grantee shall
consider thetypeof financial assistance (federal and/or state)identified in Attachment F,Exhibit
1 whenmakingits determination.Forfederal financial assistance,the Grantee shallutilizethe

includedinanysubcontractandagreestoberesponsibleforthepayment of allmoniesdueunder
any subcontract.ItisunderstoodandagreedbytheGranteethattheDepartmentshallnotbeliable
toanysubcontractorforanyexpensesorliabilitiesincurredunderthesubcontractandthatthe
Granteeshallbesolelyliabletothesubcontractorforallexpensesandliabilitiesincurredunderthe
subcontract.
B.The Department of EnvironmentalProtectionsupportsdiversityinitsprocurementprogramand
requeststhatallsubcontractingopportunitiesaffordedbythisAgreementembracediversity
enthusiastically.Theaward of subcontracts should reflect the full diversity of the citizens of the

13.PROHIBITED LOCAL GOVERNMENT CONSTRUCTION PREFERENCES:
A.Pursuant toSection 255.0991,F.S.,foracompetitive solicitation for construction servicesinwhich
50 percent ormore of thecostwillbepaidfrom state-appropriated fundswhichhavebeen
appropriatedatthetime ofthecompetitivesolicitation,astate,college,county,municipality,school
district,orotherpoliticalsubdivision of thestatemaynotusealocal ordinance orregulationthat
provides a preference basedupon:
i.Thecontractor's maintaining anofficeorplaceof business withina particular local
jurisdiction;

14.SIGNAGE:
Grantee must erect a permanent information sign on the project site which credits funding ora portion
thereof,tothe Florida Department of Environmental Protection and the Florida Recreation Development
Assistance Program.Thesighmustbe made of appropriate materials,which will be durable fora
minimum of twenty-five (25)years after the project is complete.The sign must be installed on the project
site and approved bythe Department before the final project reimbursement request is processed.
15.LOBBYING PROHIBITION:
In accordance with Section 216.347,Florida Statutes,the Grantee is hereby prohibited from using funds
provided bythis Agreement for the purpose of lobbying the Legislature,the judicial branch ora state agency.
Further,in accordance with Section 11.062,F.S.,no state funds,exclusive of salaries,travel expenses,and
per diem,appropriated to,or otherwise available for use by,any executive,judicial,or quasi-judicial
department shall be used by any state employee or other person for lobbying purposes.
16.COMPLIANCE WITH LAW:
The Grantee shall comply with all applicable federal and state laws,and local rules and regulations in
providing services tothe Department under this Agreement.The Grantee acknowledges thatthis
requirement includes,butisnot limited to,compliance with all applicable federal and state laws,and local
health and safety rules and regulations.The Grantee further agrees to include this provision in all

17.NOTICE:
All notices and written communication between the parties shall be sent by electronic mail,U.S.Mail,a

19.INSURANCE:
Totheextentrequiredbylaw,theGranteewillbeself-insuredagainst,orwillsecureandmaintainduringthe
life of thisAgreement,Workers'CompensationInsuranceforallofitsemployeesconnectedwiththework

Plan.QuestionsconcerningrequiredcoverageshouldbedirectedtotheU.S.Departmentof

20.CONFLICT OF INTEREST:
The Grantee covenants thatit presently hasno interest andshallnot acquire anyinterestwhich would conflict
inany manner or degree withthe performance of services required.
21.UNAUTHORIZED EMPLOYMENT:
Theemploymentofunauthorizedaliensbyany Grantee/subcontractor isconsideredaviolationofSection
274A(e)of the Immigration and Nationality Act.Ifthe Grantee/subcontractor knowingly employs
unauthorized aliens,such violation shall be cause for unilateral cancellation ofthis Agreement.The Grantee
shall be responsible for including this provision inall subcontracts with private organizations issued asa
result ofthis Agreement.
22.EQUIPMENT:
Reimbursement for equipment purchases isnotauthorized under the terms and conditions ofthis Agreement.

23.CHANGE ORDERS:
TheDepartmentmayatanytime,bywrittenChangeOrder,makeanychangeintheGrantManager
information,tasktimelineswithinthecurrentauthorizedAgreement period,ormakechangesthatareless
than10%of thetotal approved deliverable budget.AllChangeOrdersaresubjecttothe mutual agreement
of bothpartiesasevidencedinwriting.Anychangewhichcausesan increase ordecreaseintheAgreement
amount,expirationdate of theAgreement,ordeliverablecoststhatareequaltoorgreater than 10%ofthe
totalapproved deliverable budget,shallrequireformalAmendmenttothisAgreement.
24.QUALITY ASSURANCE:
FRDAPfundswillnotbeusedfor environmentally-related measurementsordatagenerationonlandunder
controlofGrantee,whichisbeingdevelopedpursuanttothisAgreement.TheGranteeandsubcontractors
areexclusivelyresponsibleforqualityassurancepractices consisting ofpolicies,procedures,specifications,
standards,anddocumentationsufficienttoproducedataofqualityadequatetomeetprojectobjectives.All
samplingandanalysesperformedunderthedirection of Granteeorsubcontractormustconformtothe
requirementssetforthinChapter 62-160,FloridaAdministrativeCode(F.A.C.).
Granteeandsubcontractorsaresolelyresponsibleforthequalityassurancepractices,compliance,reporting,
negligenceorwrongfulactsofits employees and agents regarding the environmentally-related
measurements,sampling,analyses and/ordatagenerationonland developed pursuanttothis
Agreement.NOTE:"Sample"refersto samples thathavebeeneithercollectedoranalyzedonland
developed pursuant tothis Agreement.
25.DISCRIMINATION:
A.No person,onthe grounds of race,creed,color,religion,national origin,age,gender,,or disability,
shallbe excluded from participation in;be denied the proceeds or benefits of;orbe otherwise
subjectedtodiscriminationinperformance of thisAgreement.
B.An entity or affiliate whohasbeen placed onthe discriminatory vendor list pursuant to section
287.134,F.S.,maynot submit abidona contract to provide goods or services toa public entity,
may not submit abidona contract with a public entity for the construction or repair ofa public
building or public work,maynot submit bidson leases ofreal property toa public entity,may
not award or perform workasa contractor,supplier,subcontractor,or consultant under contract
with anypublic entity,andmaynot transact business with any public entity.The Florida
Department of Management Services is responsible for maintaining thediscriminatory vendor list
and posts thelistonits website.Questions regarding the discriminatory vendor list may be
directed tothe Florida Department of Management Services,Office of Supplier Diversity,at (850)
487-0915.
26.LAND ACQUISITION:
Grantee has acquired an interest and/or right to real property,described in Attachment A.Such interest
and/or right is subject to use in perpetuity for.the purposes described in this Agreement.The following
language shall be included ina Lease and/or other legal instrument regarding the Grantee's interest and/or
right to real property.Any applicable recording fees arethe sole responsibility ofthe Grantee:
"Grantee hereby agrees thatthe use of the property described herein (the "Property")shall be subject
tothetermsandconditionscontainedinacertainGrantAwardAgreement(DEPAgreementNo.
A6097),which is attached hereto as Exhibit and by reference made a part hereof (hereinafter
referred toasthe "Restrictive Covenants").TheseRestrictive Covenants shallrunwiththe interests
and/or rights tothe Property in perpetuity andbe binding upon Grantee and all successive owners

ofEnvironmental Protection ("DEP")shallbedeemeda third-party beneficiary of these Restrictive

Restrictive Covenants inany judicial proceeding seeking any remedy recognizable at law orin
equity,including anactionorlawsuitseekingdamages,injunction,specific performance,orany
other form of relief,against anyperson,firmorentity violating or attempting to violate any ofthese
Restrictive Covenants.The failureby DEP to enforce any covenant or restriction contained herein
shallinno event be deemed awaiver of such covenant or restriction or of theright of DEPto
thereafter enforce suchcovenantorrestriction.The invalidation of anyone of the provisions of
these Restrictive Covenants byacourt of competent jurisdiction shallinnowayaffectany of the
other provisions of these Restrictive Covenants,whichshall remain infullforceandeffect.Venue
for enforcement actionsregardingtheseRestrictive Covenants shallbeintheCircuitCourt of
County,Florida.Granteeagreesto incorporate these Restrictive Covenantsinany
subsequent Leaseorotherwrittenlegalinstrumentby which Grantee transfers orconveys interest
and/orrightsoranyotherlesserestateinthePropertyoranypart thereof toathirdpartyeither
verbatimorbymakinganexpressreferencetotheseRestrictiveCovenants.Grantee further agrees
togivewrittennoticetoDEPofachangeortransferofanyinterestinthePropertyatleast20
calendar dayspriortothedateofsuchchangeortransfer."

Iffor any reason the above language isnot incorporated into the Lease or legal instrument by which the
Grantee obtained an interest and/or rights tothe Property,the Grantee shall execute a separate Declaration
of Restrictive Covenant (using a template obtained from the Department of Environmental Protection)that
shallrunwiththeinterestand/or rights tothe Property.Requests forthe Declaration of Restrictive
Covenant template shall be directed to the DEP Office of General Counsel,Institutional Control Attorney,
3900 Commonwealth Boulevard,Mail Station 35,Tallahassee,Florida 32399-3000.Prior to recording,
such Declaration of Restrictive Covenant shall be reviewed,approved,and counter-signed bythe
Department.Any applicable recording fees arethesoleresponsibility ofthe Grantee.
27.PHYSICAL ACCESS AND INSPECTION:
Department hasthe right to inspect the project and any and all records related thereto at any reasonable time.
Department personnel shall be given access to and may observe and inspect work being performed under this
Agreement,includingbyanyofthe following methods:'
A.Grantee shall provide access to any location or facility on which Grantee is performing work,or
storingorstaging equipment,materials or documents;
B.Grantee shall permit inspection of any facility,equipment,practices,or operations required in
performance ofanywork pursuant tothis Agreement;and
C.Grantee shall allow and facilitate sampling and monitoring of any substances,soils,materials or
parameters at any location reasonable or necessary to assure compliance with any work or legal
requirementspursuanttothisAgreement.
28.EXECUTION IN COUNTERPARTS.
This Agreement may be executed in two or more counterparts,each of which together shall be deemed an
original,but all ofwhich together shall constitute one and the same instrument.Inthe event that any signature
is delivered by facsimile transmission or by e-mail delivery ofa ".pdf format data file,such signature shall

create a valid and binding obligation ofthe party executing (or on whose behalf such signature is executed)

29.SEVERABILITY CLAUSE:
This Agreement hasbeen delivered intheStateof Florida andshallbe construed in accordance withthelaws
ofFlorida.Wherever possible,each provision of this Agreement shall be interpreted in such manner astobe
effective and valid under applicable law,but if any provision of this Agreement shall be prohibited or invalid
under applicable law,such provision shall be ineffective to the extent of such prohibition or invalidity,
without invalidating the remainder of such provision or the remaining provisions of this Agreement.Any
action hereon orin connection herewith shall be brought inLeon County,Florida.
30.ENTIRE AGREEMENT:
This Agreement represents the entire agreement ofthe parties.Any alterations,variations,changes,
modifications or waivers of provisions ofthis Agreement shallonlybevalidwhentheyhavebeen reduced
to writing,duly signed by each ofthe parties hereto,and attached tothe original ofthis Agreement,unless
otherwise provided herein.
