WHEREAS,the Mayor andCity Commission desireto accept thegrantfromthe Florida
Department of Environmental Protection;and
WHEREAS,the Agreement willprovidefundingfortheDante Fascell Parkproject;and
WHEREAS,theAgreementrequiresthattheCitydedicatedtheparklandinperpetuity
asan outdoor recreational siteandtoexecutea restrictive covenant that prevents theCityfrom
usingthelandin question foranyotherpurpose;and
WHEREAS,theCity Manager isauthorizedtoexecutethegrant agreement inanamount
of $50,000;and
WHEREAS,thegrantcontractshallbecomeeffectiveuponexecutionbybothparties
andthegranteeshallcomplete construction ofallproject elements onorbeforeApril30,2018.
NOW,THEREFORE,BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA THAT:
Section 1:TheCityManagerishereby authorized toexecutethegrant agreement with
the Florida Department of Environmental Protection fortheDante Fascell projectinthe amount
of$50,000.Thegrantagreementisattachedtothisresolution.
Section 2:This resolution shallbeeffectiveimmediatelyaftertheadoptionhereof.

The Cityof South Miami applied fora $50,000 Florida Recreation
Development Assistance Program grant from the Florida
Department of Environmental Protection for the Dante Fascell Park
project.
The funds will be used for the following:
-Tennis Court Upgrade (tennis nets,wind screens)
-Demolition and installation oftrail fitness equipment
-Demolition and installation of water fountain
-Picnic Facilities (tables and grills)
This grant does not require matched funds from the Cityof South
Miami.The grant contract shall become effective upon execution by
both parties and the grantee shall complete construction ofall
project elements onor before April 30,2017.
Itshould be noted that the CityAttorney,Thomas Pepe,approves
the attached resolution as toform,but will onlysign the contract
under the condition that the followingis added:"*Cityisnot Self
Insured"on the signature page.
Furthermore,FDEPhasaform (attached)tobecompletedpriorto
actual fundingand final contract execution,whichallows the Cityto
state that they have contracted for sufficient liability insurance,
which also remedies Mr.Pepe's concerns.

DEVELOPMENT OF LAND FOR PUBLIC RECREATION PURPOSES
TfflS AGREEMENT is entered into between the STATE OF FLORIDA DEPARTMENT OF
ENVIRONMENTAL PROTECTION,whose address is 3900 Commonwealth Boulevard,Tallahassee,Florida
32399-3000 (hereinafter referred toasthe "Department")andthe CITY OF SOUTH MIAMI,whose address is 6130
Sunset Drive,South Miami,Florida 33143 (hereinafterreferredtoas "Grantee"),alocalgovernment,infurtherance
of anapprovedpublic outdoor recreation project knownas Dante Fascell Park,Project Number A16102.
Collectively,the Department andthe Grantee shallbereferredtoas "Parties"or individually asa "Party".For
purposes ofthis Agreement,theterms "Grantee"and"Recipient"areused interchangeably.
In consideration of the mutual covenants containedhereinandpursuantto Florida Statute,section375.075,
OUTDOOR RECREATION;FINANCIAL ASSISTANCE TO LOCAL GOVERNMENTS,and Florida
Administrative Code,chapter 62D-5,the parties heretoagreeasfollows:
1.TERMS OF AGREEMENT:
TheGranteedoes hereby agreetoperforminaccordancewiththetermsandconditionssetforthinthis
Agreement,morefully described in "Attachment A,Grant Work Plan",including all attachments and
exhibits named herein,whichare attached heretoand incorporated by reference.
Administrative Forms and Reimbursement Forms referenced inthis Agreement maybefoundat
www.dep.state.fl.us/parks/oirs/orbycontactingthe Department's Grant Manager.
Prior to commencement of project,theGranteeshallsubmitto Department forapprovalall documentation
andcompletion of responsibilities listedon "Attachment B,Commencement Documentation Checklist"
attachedheretoand incorporated byreference.Uponsatisfactoryapprovalbythe Department,the
Department will issue writtennoticetoGranteetocommencetheproject.Unlessanduntilthe Department
issueswrittennotice of approvalauthorizingGranteetocommencetheproject,Granteeshallnotincurnor
charge,andthe Department shallnotbeobligatedtopayorreimburseGranteeforfees,cost,orgeneral
expenses of any kind,which incurred duringthe commencement approvalperiod.
.LandownedbytheGrantee,whichisdevelopedoracquiredwithgrantfundsshallbededicatedinperpetuity
asanoutdoor recreation sitebytheGranteefortheuseandbenefit of thepublicasstatedinFlorida
AdministrativeCode,section62D-5.059(1).Landundercontrolotherthanbyownership of theGrantee,
suchasbylease,shall be dedicated asan outdoor recreation areaforthe use and benefit of the public fora
minimum period of twenty-five (25)yearsfromthe completion datesetforthinthe project completion
certificate.The project site(s)shallbeopenatreasonabletimesandshallbemanagedinasafeandattractive
manner.This Agreement isnot transferable.
2.PERIOD OF AGREEMENT:
This Agreement shall become effective uponexecutionbybothpartiesandtheGranteeshallcomplete
development of the project siteby April 30,2018 andshall remain in effect until,inclusive.

FUNDING/CONSIDERATION/INVOICING:
The Grantee shall be eligible for authorized reimbursement,in whole orin part,for cost pursuant to FRDAP
guidelines regarding approved pre-agreement costs,through the expiration date ofthis Agreement,provided
that the cost(s)meet all requirements and financial reporting ofthe FRDAP program and,rules and
regulations applicable to expenditures of State funds,hereby adopted and incorporated by reference.
A.As consideration for satisfactory performance rendered bythe Grantee under FRDAP guidelines
and the terms ofthis Agreement,the Department shall pay the Grantee ona reimbursement basis up
toa maximum of $50,000.00.Itisunderstood that any additional funds necessary for the completion
of this project are the responsibility ofthe Grantee.Itis further understood that grant funds may be
revised bythe Department due to the availability of program funds.Grant awards are contingent
upon appropriation bythe Legislature.The parties hereto understand and agree thatthis Agreement
doesnotrequireamatchonthepartofthe Grantee.
B.Prior written approval from the Department's Grant Manager shall be required for changes to this
Agreement.Changes to approved budget categories within a single deliverable thatarelessthan
10%ofthe total approved deliverable budget amount will require a formal Change Order tothe
Agreement.Changes thatare 10%or greater ofthe total approved deliverable budget amount,or
changes thattransfer funds from one deliverable to another deliverable,or changes that increase or
decrease the project's total funding amount will require a formal Amendment tothe Agreement.
C.The Grantee shall be reimbursed on a cost reimbursement basis for all eligible project costs upon
the completion,submittal and approval of each deliverable identified inAttachmentA,in
accordance with the schedule therein.Reimbursement shall be requested utilizing AttachmentC,
"Payment RequestSummaryForm".Tobeeligiblefor reimbursement,costsmustbein
compliance with laws,rules and regulations applicable to expenditures of State funds,including,
butnot limited to,the Reference Guide for State Expenditures,which can be accessed atthe
following web address:http://www.mvfloridacfo.com/aadir/reference guide/.All invoices for
amounts due under this Agreement shall be submitted in detail sufficient for a proper pre-audit and
post-audit thereof.A final payment request should be submitted tothe Department no later than
sixty (60)calendar days following the completion date of the Agreement,to assure the availability
of funds for payment.All work performed pursuant to Attachment A must be performed onor
before the completion date of the Agreement,and/or pursuant tothe FRDAP guidelines.
D.The State ChiefFinancial Officer requires detailed supporting documentation ofall costs under a
cost reimbursement agreement.The Grantee shall comply with the minimum requirements set forth
in Attachment D,Contract Payment Requirements.The Payment Request Summary Form shall
be accompanied by supporting documentation and other requirements as follows for each

Contractual (Subcontractors)-Reimbursement requests for payments to subcontractors
must be substantiated by copies of invoices with backup documentation identical to that
required from the Grantee.Subcontracts which involve payments for direct salaries shall
clearly identify the personnel involved,salary rate per hour,and hours spent on the project.
All multipliers used (i.e.,fringe benefits,overhead,indirect,and/or general and
administrative rates)shall be supported by audit.If the Department determines that
multipliers charged by any subcontractor exceeded the rates supported by audit,the
Grantee shall be required to reimburse such funds to the Department within thirty (30)
calendar days of written notification.Interest on the excessive charges shall be calculated
based on the prevailing rate used by the State Board ofAdministration.For fixed-price
(vendor)subcontracts,the following provisions shall apply:
a.The Grantee may award,ona competitive basis,fixed-price subcontracts to
consultants/contractors in performing thework described in Attachment A.
Invoices submitted tothe Department for fixed-price subcontracted activities
shall be supported with a copy of the subcontractor's invoice and a copy of the
tabulation form for the competitive procurement process (i.e.,Invitation to Bid
or Request for Proposals)resulting inthe fixed-price subcontract.
b.The Grantee may request approval from the Department to award a fixed-price
subcontract resulting from procurement methods otherthanthose identified
herein.In this instance,the Grantee shall request the advance written approval
from the Department's Grant Manager of the fixed price negotiated by the
Grantee.The letter ofrequest shall be supported by a detailed budget and Scope
of Services to be performed by the subcontractor.Upon receipt of the
Department Grant Manager's approval ofthe fixed-price amount,the Grantee
mayproceedinfinalizingthefixed-price subcontract.
c.All subcontracts are subject to the provisions of paragraph 12 and any other
appropriate provisions ofthis Agreement which affect subcontracting activities.
iv-Rental/Lease ofEquipment -Include copies ofinvoices or receipts to document charges.
E.In addition to the invoicing requirements contained herein,the Department will periodically request
proof ofa transaction (invoice,payroll register,etc.)to evaluate the appropriateness of costs to the
Agreement pursuant to State and Federal guidelines (including cost allocation guidelines),as
appropriate.This information,when requested,must be provided within thirty (30)calendar days of
such request.The Grantee may also be required to submit a cost allocation plan to the Department
in support ofits multipliers (overhead,indirect,general administrative costs,and fringe benefits).

F-*•Tne accounting systems for all Grantees must ensure that these funds are not commingled
with funds from other agencies.Funds from each agency must be accounted for separately.
Grantees are prohibited from commingling funds on either a program-by-program or a
project-by-project basis.Funds specifically budgeted and/or received for one project may
not be used to support another project.Where a Grantee's,or subrecipient's,accounting
system cannot comply with this requirement,the Grantee,or subrecipient,shall establish a
system to provide adequate fund accountability for each project ithas been awarded.
ii.If the Department finds that these funds have been commingled,the Department shall have -
the right to demand a refund,either in whole orin part,ofthe funds provided to the Grantee
under this Agreement for non-compliance with the material terms of this Agreement.The

Grantee,uponsuchwrittennotificationfromtheDepartmentshallrefund,andshall
forthwithpaytotheDepartment,theamountofmoneydemandedbytheDepartment.
InterestonanyrefundshallbecalculatedbasedontheprevailingrateusedbytheState
Board of Administration.Interestshallbecalculatedfromthedate(s)theoriginal
payment(s)arereceivedfromtheDepartmentbytheGranteetothedaterepaymentismade
bythe Grantee tothe Department.
iii.IntheeventthattheGranteerecoverscosts,incurredunderthisAgreementandreimbursed
bytheDepartment,fromanothersource(s),theGranteeshallreimbursethe Department for
allrecoveredfundsoriginallyprovidedunderthisAgreement.Interestonanyrefundshall
becalculatedbasedontheprevailingrateusedbytheStateBoard of Administration.
Interestshallbecalculatedfromthedate(s)thepayment(s)arerecoveredbytheGranteeto
thedaterepaymentismadetotheDepartmentbytheGrantee.
G.Ifthetotalcostoftheproject exceeds thegrant amount,and/or the required match,as applicable,the Grantee
must pay the excess cost.
4.ANNUAL APPROPRIATION:
TheStateof Florida's performance and obligation topayunderthis Agreement is contingent uponan
annualappropriationbythe Legislature.ThepartiesheretounderstandthatthisAgreementisnota
commitment of future appropriations.Authorization for continuation and completion ofworkand payment
associated therewith maybe rescinded withpropernotice atthe discretion ofthe Department if Legislative
appropriations are reduced or eliminated.
5.REPORTS:
A.The Grantee shallutilize Attachment E,"ProjectStatusReport",to describe theworkperformed
duringthe reporting period,problems encountered,problem resolution,schedule updatesand
proposedworkforthenextreportingperiod.The Project StatusReportsshallbesubmittedtothe
Department'sGrantManagernolaterthan twenty (20)calendar days following the completion of
the reporting period.Itis hereby understood andagreedbythe parties thattheterm"reporting
period"shallreflectthe reporting period ending May5,September 5andJanuary5.The
Department's Grant Manager shall have thirty (30)calendar days toreviewthe required reportsand
deliverables submitted bytheGrantee.
6.RETAINAGE:
The Department shallretainten percent ofthegrantuntilthe Grantee completes theprojectandthe
Department approves the completion documentation,pursuant to FRDAP requirements and additionally set
forthin paragraphs 62D-5.058(6)(g)and(7)(d),FloridaAdministrative Code.
7.INDEMNIFICATION:
Each party hereto agrees thatit shall be solely responsible forthe negligent or wrongful acts ofits employees
and agents.However,nothing contained herein shall constitute a waiver by either party ofits sovereign
immunity orthe provisions of Section 768.28,Florida Statutes.Further,nothing hereinshallbe construed as
consent byastate agency or subdivision oftheStateofFloridatobesuedbythird parties inanymatter
arisingoutofanycontractorthis Agreement.
8.DEFAULT/TERMINATION/FORCE MAJEURE:
A.TheDepartmentmayterminatethis Agreement atanytime if anywarrantyorrepresentationmade
by Grantee inthis Agreement orinits application for funding shallatanytimebe false or misleading
inany respect,orintheeventofthe failure oftheGranteetofulfillanyofits obligations underthis
Agreement.Priorto termination,the Department shallprovidethirty (30)calendardayswritten
noticeofitsintenttoterminateandshallprovidetheGranteeanopportunitytoconsultwiththe
Department regarding thereason(s)fortermination.

B.TheDepartmentmayterminatethisAgreementforconvenienceby providing theGrantee with thirty
(30)calendar day's writtennotice.If theDepartmentterminatestheAgreementfor convenience,the
DepartmentshallnotifytheGranteeofsuchtermination,withinstructionsastotheeffectivedateof
terminationorspecifythestageofworkatwhichtheAgreementistobeterminated.If the
Agreementisterminatedbeforeperformanceiscompleted,theGranteeshallbepaidonlyforthat
work satisfactorily performedforwhichcostscanbesubstantiated.
C.Recordsmadeorreceivedin conjunction withthisAgreementare public records.This Agreement
maybeunilaterallycanceledbytheDepartmentforunlawfulrefusalbytheGranteetoallowpublic
accesstoalldocuments,papers,letters,orothermaterialmadeor received bythe Grantee in
conjunctionwiththisAgreementandsubjecttodisclosureunder Chapter 119,FloridaStatutes
(F.S.),and Section 24(a),Article I,Florida Constitution.
D.If aforcemajeureoccursthatcausesdelaysorthereasonablelikelihoodofdelayinthefulfillment
oftherequirementsofthisAgreement,theGranteeshallpromptlynotifytheDepartmentorally.
Withinseven(7)calendardays,theGranteeshallnotifytheDepartmentinwritingoftheanticipated
lengthandcause of thedelay,themeasurestakenortobetakentominimizethedelayandthe
Grantee's intendedtimetableforimplementation of suchmeasures.If thepartiesagreethatthe
delayoranticipateddelaywascaused,orwillbecausedbyaforce majeure,theDepartmentmay,
atitsdiscretion,extendthetimeforperformanceunderthisAgreementforaperiodoftimeequalto
thedelayresultingfromtheforcemajeureuponexecutionofanamendmenttothisAgreement.
SuchagreementshallbeconfirmedbyletterfromtheDepartmentaccepting,orifnecessary,
modifyingthe extension.AforcemajeureshallbeanactofGod,strike,lockout,orotherindustrial
disturbance,actofthepublicenemy,war,blockade,publicriot,lightning,fire,flood,explosion,
failuretoreceivetimelynecessarythirdpartyapprovalsthroughnofault of theGrantee,andany
othercause,whetherofthekindspecificallyenumeratedhereinorotherwise,thatisnotreasonably
withinthecontroloftheGranteeand/ortheDepartment.TheGranteeisresponsibleforthe
performance of allservicesissuedunderthisAgreement.FailuretoperformbytheGrantee's
consultant(s)orsubcontractor(s)shallnotconstituteaforcemajeureevent.
9.REMEDIES/FINANCIAL CONSEQUENCES:
Nopaymentwillbemadefordeliverablesdeemedunsatisfactorybythe Department.Intheeventthata
deliverableisdeemedunsatisfactorybytheDepartment,theGranteeshall re-perform theservicesneededfor
submittal of asatisfactorydeliverable,atnoadditionalcosttotheDepartment,withinten (10)calendardays
ofbeingnotifiedoftheunsatisfactorydeliverable.Ifasatisfactorydeliverableisnotsubmittedwithin
thespecifiedtimeframe,theDepartmentmay,initssolediscretion,either:1)terminatethisAgreementfor
failuretoperform,or2)theDepartmentGrantManagermay,byletterspecifyingthefailureofperformance
underthisAgreement,requestthataproposedCorrectiveActionPlan(CAP)besubmittedbytheGranteeto
theDepartment.AllCAPsmustbeabletobeimplementedandperformedinnomorethansixty(60)calendar
days.
A.ACAPshallbesubmittedwithinten (10)calendar days of thedate of theletter request fromthe
Department.TheCAPshallbesenttotheDepartmentGrantManagerforreviewandapproval.
Withinten(10)calendardays ofreceiptofaCAP,theDepartmentshallnotifytheGranteeinwriting
whethertheCAPproposedhasbeenaccepted.If theCAPisnotaccepted,theGranteeshallhave
ten(10)calendardaysfromreceiptoftheDepartmentletterrejectingtheproposaltosubmitarevised
proposedCAP.FailuretoobtaintheDepartmentapprovalofaCAPasspecifiedaboveshallresult
inthe Department's termination of thisAgreementforcauseasauthorizedinthisAgreement.
B.Upon the Department's notice of acceptance of a proposed CAP,the Grantee shall have ten(10)
calendar daysto commence implementation of the accepted plan.Acceptance ofthe proposed CAP
bythe Department doesnot relieve the Grantee of any of its obligations under the Agreement.In
theeventtheCAPfailstocorrectoreliminate performance deficiencies byGrantee,the Department
shallretaintherighttorequireadditionalorfurtherremedialsteps,orto termhiate thisAgreement
forfailuretoperform.NoactionsapprovedbytheDepartmentorstepstakenbytheGranteeshall
preclude the Department from subsequently asserting any deficiencies in performance.TheGrantee

shallcontinuetoimplementtheCAPuntilalldeficienciesarecorrected.Reportsonthe progress of
theCAPwillbemadetotheDepartmentasrequestedbytheDepartmentGrantManager.
C.FailuretorespondtoaDepartmentrequestforaCAPorfailuretocorrecta deficiency inthe
performance of the Agreement asspecifiedbythe Department mayresultin termination of the
Agreement.
TheremediessetforthabovearenotexclusiveandtheDepartmentreservestherighttoexerciseother
remediesinadditiontoorinlieu of thosesetforthabove,aspermittedbytheAgreement.
10.RECORD KEEPING/AUDIT:
A.TheGranteeshallmaintainbooks,recordsanddocumentsdirectlypertinenttoperformanceunder
thisAgreementin accordance with generally accepted accounting principles consistently applied.
TheDepartment,theState,ortheirauthorizedrepresentativesshallhaveaccesstosuchrecordsfor
auditpurposesduringthetermofthis Agreement andforfive(5)yearsfollowingthecompletion
date of theAgreement.Intheeventanyworkissubcontracted,theGranteeshallsimilarlyrequire
eachsubcontractortomaintainandallowaccesstosuchrecordsforauditpurposes.
B.TheGranteeunderstandsitsduty,pursuanttoSection20.055(5),F.S.,tocooperatewiththe
Department'sInspectorGeneralinanyinvestigation,audit,inspection,review,orhearing.The
Granteewillcomplywiththisdutyandensurethatits subcontracts issuedunderthisGrant,ifany,
imposethisrequirement,inwriting,onitssubcontractors.
11.SPECIAL AUDIT REQUIREMENTS:
A.Inadditiontotherequirements contained herein,theGranteeshallcomplywiththeapplicable
provisionscontainedin Attachment F,"Special Audit Requirements9',attachedheretoandmade
aparthereof.Exhibit 1 to Attachment F summarizesthefundingsourcessupportingthe
Agreement forpurposes of assistingtheGranteeincomplyingwiththerequirements of Attachment
F.Arevisedcopyof Exhibit 1 mustbeprovidedtotheGranteeforeachamendmentwhich
authorizesafundingincreaseor decrease.IftheGranteefailstoreceivearevisedcopyof Exhibit
1,theGranteeshallnotifytheDepartment'sGrantsDevelopmentandReviewManagerat850/245-
2361torequestacopy of theupdatedinformation.

12.SUBCONTRACTS:

includedinanysubcontractandagreestoberesponsibleforthepayment of allmoniesdueunder
anysubcontract.ItisunderstoodandagreedbytheGranteethattheDepartmentshallnotbeliable
toany subcontractor foranyexpensesorliabilitiesincurredunderthe subcontract andthatthe
Granteeshallbesolelyliabletothesubcontractorforallexpensesandliabilitiesincurredunderthe
subcontract.
B.TheDepartmentofEnvironmentalProtection supports diversityinitsprocurementprogramand
requeststhatallsubcontractingopportunitiesaffordedbythisAgreementembracediversity
enthusiastically.Theaward of subcontractsshouldreflectthefulldiversity of thecitizens of the

minimum of twenty-five (25)yearsaftertheprojectis complete.Thesignmustbeinstalledontheproject
siteandapprovedbytheDepartmentbeforethefinal project reimbursement requestis processed.
15.LOBBYING PROHIBITION:
In accordance with Section 216.347,Florida Statutes,the Grantee isherebyprohibitedfromusing funds
provided bythis Agreement forthe purpose of lobbying the Legislature,thejudicialbranchora state agency.
Further,in accordance withSection 11.062,F.S.,nostate funds,exclusive of salaries,travel expenses,and
per diem,appropriated to,or otherwise available foruseby,any executive,judicial,or quasi-judicial
department shallbeusedbyanystate employee orother person for lobbying purposes.
16.COMPLIANCE WITH LAW:
TheGranteeshallcomplywithall applicable federalandstatelaws,andlocalrulesandregulationsin
providing servicestotheDepartmentunderthis Agreement.TheGrantee acknowledges thatthis
requirement includes,butisnotlimitedto,compliance withall applicable federal andstatelaws,andlocal

19.INSURANCE:
Tothe extent required by law,the Grantee will be self-insured against,or will secure and maintain during the
lifeofthis Agreement,Workers'Compensation Insurance forallofits employees connected with the work
of this project and,in case any work is subcontracted,the Grantee shall require the subcontractor similarly
to provide Workers'Compensation Insurance for all ofits employees unless such employees are covered by
the protection afforded bythe Grantee.Such self-insurance program or insurance coverage shall comply
fullywiththeFlorida Workers'Compensation law.Incaseanyclassof employees engaged in hazardous
workunderthis Agreement isnot protected under Workers'Compensation statutes,the Grantee shall provide,
and causeeachsubcontractor to provide,adequate insurance satisfactory tothe Department,forthe protection

A.The Grantee shall secure and maintain Commercial General Liability insurance including bodily injury «-
and property damage.The minimum limits of liability shall be $200,000 each individual's claim and
$300,000 each occurrence.This insurance will provide coverage for all claims that may arise from the
services and/or operations completed under this Agreement,whether such services and/or operations are C>\/^
by the Grantee or anyone directly or indirectly employed by the Grantee.Such insurance shall include «^,.r?£<
the State ofFlorida as an Additional Insured for the entire length of the Agreement.
B.The Grantee shall secure and maintain Commercial Automobile Liability insurance for all claims <*-
which may arise from the services and/or operations under this Agreement,whether such services
and/or operations are by the Grantee or by anyone directly,or indirectly employed by the Grantee.

C.If any work proceeds over or adjacent to water,the Grantee shall secure and maintain,as
applicable,any other type of required insurance,including but not limited to Jones Act,
Longshoreman's and Harbormaster's,or the inclusion of any applicable rider to worker's
compensation insurance,and any necessary watercraft insurance,with limits ofnot less than
$300,000 each.In addition,the Grantee shall include these requirements in any sub grant or
subcontract issued for the performance ofthe work specified in Attachment A,Grant Work
Plan.Questions concerning required coverage should be directed to the U.S.Department of

D.Ail insurance policies shall bewith insurers licensed or eligible to do business in the State of Florida.
The Grantee's current certificate of insurance shall contain a provision that the insurance will not be
canceled for any reason except after thirty (30)calendar day's written notice (with the exception of
non-payment ofpremium which requires a 10-calendar-day notice)to the Department's Procurement
Administrator.

allowable under Florida law,and that such self-insurance offers protection applicable to the

20.CONFLICT OF INTEREST:
The Grantee covenants that it presently has no interest and shall not acquire any interest which would conflict
in any manner or degree with the performance ofservices required.
21.UNAUTHORIZED EMPLOYMENT:
The employment of unauthorized aliens by any Grantee/subcontractor is considered a violation of Section
274A(e)of the Immigration and Nationality Act.If the Grantee/subcontractor knowingly employs
unauthorized aliens,such violation shall be cause for unilateral cancellation ofthis Agreement.The Grantee
shall be responsible for including this provision in all subcontracts with private organizations issued as a
result of thisAgreement.
22.EQUIPMENT:
Reimbursement for equipment purchases is not authorized under the terms and conditions ofthis Agreement.

23.CHANGE ORDERS:
TheDepartmentmayatanytime,bywrittenChangeOrder,makeanychangeintheGrantManager
information,task timelines within the current authorizedAgreement period,ormake changes thatareless
than10%of thetotalapproved deliverable budget.AllChangeOrdersaresubjecttothemutualagreement
of both parties as evidenced in writing.Anychangewhichcausesan increase ordecreaseinthe Agreement
amount,expiration date of the Agreement,or deliverable coststhatare equal toor greater than 10%of the
totalapproved deliverable budget,shallrequireformalAmendmenttothisAgreement.
24.QUALITY ASSURANCE:
FRDAP funds will notbe used for environmentally-relatedmeasurements ordata generation on land under
control of Grantee,which is being developed pursuant tothis Agreement.TheGranteeand subcontractors
areexclusively responsible forqualityassurancepracticesconsisting of policies,procedures,specifications,
standards,and documentation sufficienttoproducedataofqualityadequatetomeetprojectobjectives.All
samplingand analyses performed under thedirectionofGranteeor subcontractor mustconformtothe
requirements setforthinChapter 62-160,Florida Administrative Code(F.A.C.).
Granteeand subcontractors aresolelyresponsibleforthequalityassurancepractices,compliance,reporting,
negligenceorwrongfulacts of itsemployeesandagentsregardingtheenvironmentally-related
measurements,sampling,analyses and/or data generation on land developed pursuant tothis
Agreement.NOTE:"Sample"refers tosamplesthathavebeen either collected or analyzed onland
developed pursuant to this Agreement.
25.DISCRIMINATION:
A.No person,onthegrounds of race,creed,color,religion,national origin,age,gender,,ordisability,
shall be excluded from participation in;bedeniedthe proceeds or benefits of;orbe otherwise
subjected to discrimination inperformance of thisAgreement.
B.Anentityoraffiliatewhohasbeenplacedonthe discriminatory vendorlistpursuanttosection
287.134,F.S.,maynot submit abidona contract to provide goods or services toa public entity,
maynotsubmitabidonacontractwithapublicentityforthe construction or repair of apublic
buildingorpublicwork,maynotsubmitbidsonleases of real property toapublicentity,may
notawardorperform work asacontractor,supplier,subcontractor,orconsultantundercontract
withanypublicentity,andmaynottransactbusinesswithanypublicentity.TheFlorida
DepartmentofManagementServicesisresponsibleformamtainingthe oUscriminatory vendorlist

26.LAND ACQUISITION:
Granteehas acquired aninterest and/or righttorealproperty,describedin Attachment A.Suchinterest
and/or rightissubjecttouseinperpetuityforthepurposesdescribedinthisAgreement.Thefollowing
language shallbe included ina Lease and/or otherlegalinstrument regarding the Grantee's interestand/or
righttoreal property.Any applicable recording feesarethesole responsibility of the Grantee:
"Grantee herebyagrees that theuse ofthepropertydescribed herein (the "Property")shallbesubject
tothe terms and conditions contained ina certain Grant Award Agreement (DEP Agreement No.
A6102),whichis attached heretoasExhibitandby reference madeapart hereof (hereinafter
referredtoasthe "Restrictive Covenants").TheseRestrictive Covenants shallrunwiththeinterests
and/orrightstothePropertyinperpetuityandbebindinguponGranteeandallsuccessiveowners

Restrictive Covenants.ThefailurebyDEPto enforce any covenant or restriction contained herein
shallinno event be deemed awaiver of such covenant or restriction or of the right of DEP to
thereafter enforce such covenant or restriction.The invalidation of anyone of the provisions of
these Restrictive Covenants byacourt of competent jurisdiction shallinnowayaffectany of the

27.PHYSICAL ACCESS AND INSPECTION:
Departmenthastherighttoinspecttheprojectandanyandallrecordsrelatedtheretoatanyreasonabletime.
Departmentpersonnelshallbegivenaccesstoandmayobserveandinspectworkbeingperformedunderthis
Agreement,including byany of thefollowingmethods:
A.GranteeshallprovideaccesstoanylocationorfacilityonwhichGranteeisperformingwork,or
storingorstagingequipment,materialsordocuments;
B.Granteeshallpermit inspection ofany facility,equipment,practices,or operations required in
performance of anyworkpursuanttothisAgreement;and
C.Granteeshallallowandfacilitatesamplingandmonitoring of anysubstances,soils,materialsor
parametersatanylocationreasonableornecessarytoassurecompliancewithanyworkorlegal
requirements pursuanttothisAgreement.
28.EXECUTION IN COUNTERPARTS.
ThisAgreementmaybeexecutedintwoormore counterparts,eachofwhichtogethershallbedeemedan
original,butallofwhichtogethershall constitute oneandthesame instrument.Intheeventthatany signature
is delivered byfacsimile transmission orbye-mail delivery ofa ".pdf formatdatafile,such signature shall

29.SEVERABILITY CLAUSE:
This Agreement has been delivered intheState ofFlorida and shall be construed in accordance with thelaws
ofFlorida.Whereverpossible,eachprovisionofthisAgreementshallbeinterpretedinsuchmannerastobe
effectiveandvalidunderapplicablelaw,butifanyprovisionofthisAgreementshallbe prohibited orinvalid
underapplicablelaw,suchprovisionshallbeineffectivetotheextent of suchprohibitionorinvalidity,
withoutinvalidatingtheremainderofsuchprovisionortheremainingprovisionsofthisAgreement.Any
action hereon orin connection herewithshallbebroughtinLeonCounty,Florida.
30.ENTIRE AGREEMENT:
ThisAgreementrepresentstheentireagreementoftheparties.Anyalterations,variations,changes,
modificationsorwaivers of provisionsofthisAgreementshallonlybevalidwhentheyhavebeenreduced
towriting,dulysignedbyeach of thepartieshereto,andattachedtotheoriginal of thisAgreement,unless
otherwise provided herein.

MONITORING
