If this minimum number of bids is not achieved in the initial bidding process, the project will be re -bid. The base bids shall reflect the work as shown on drawings and as listed herewith. Any alternates, proposed, either additions or subtractions shall be submitted as an alternate price to the base bid This includes, but is not limited to, including less duet seven weeks for the superintendent being at the job site, reusing any item the drawings indicate as being new, leaving any item the drawings indicate as being relocated, the superintendent naming multiple projects, etc. Again, cost savings suggestions are encouraged but must be presented at bid time and be included in the construction contraacL 1.12 Contractor shall include Performance plus Material and Labor Construction Surety Bonds equal to the contract price. There bonds shall be security for the faithful performance and payment of all obligations under the contract for one -year maintenance for defective material and workmanship. The enactment period of the Bonds must be immediate with no negotiation or arbitration periods as specified in our construction contract. 1.13 The owner has the right to know the exact price of the j ob and therefore allowance amounts for any item is not acceptable and will not be allowed into the final contract sum regardless of statements listed on the bid summary sheet I - Completed bid summary sheeL - The wet Seal delivery schedule. - Any issued addendum issued prior to bids due date. - Any other document as listed in the Contract 2.30 Any interpretation or correction of any ambiguity, inconsistency or error in the bidding documents or contract documents must be made by the contractor in writing to The Wet Seal prior to submitting base bid. Only a written intepretation or cmmdion by addendum shall be binding. 231 Each bidder, if requested by Wet Seal, shall submit evidence of the contractors' experience, qualifications and financial ability to carry out the terns of the contract utilizing Contractor's Qualification statement (AIA Document A305). Contractor shall furnish, if requested, current financial statements providing ability for contractor to perform said project. Contractors refusing to provide said current financial statements within 24 hours of request will not be considered 232 Bid opening shall be privates 233 Wet Seal reserves the right to waive any irregularities or formalities in a bid, to accept any bid or to negotiate contract terns with the various bidden, when such is deemed desirable. 234 By submitting a bid, contractor represents the following: - That he and his major subcontractors have visited and familiarized themselves with the job site and its' conditions. - Examined the bidding documents and contracts thoroughly - Familiarized himself with the all applicable codes for both construction and taxes. - Familiarized himself with all of Landlords requirements, rules, charges and regulations. the contractor is licensed in the state the project shall occur. 235 Contractor shall include all He safety and or energy systems as required by the Landlord. 236 Contractor shall famish the name, contact and telephone number of contractors bonding agent with submitted bid. Bids will not be accepted without this information. 237 Contractor shall not be allowed to commence any part of construction until contractor has received a fully executed copy of the contract. Owner - furnished. Materials 3.1 The Wet Seal shall supply the following materials: Receiving, inventorying, assembly and installation is by contractor. - Wall standards. - Front and rear cashwrap - Display niches. - Rear eashwrap sign - HVAC unit *e - All wood and laminate floor base. - Rear egress door Detex. - Fatuilim - Safe - Fitting room doors, frames and hardware - Mannequins - Stockroom standards 8u: shelves - Floor fixtures - Storefront signs - Stockroom lockers - Lighting fixtures and lamps *c - Sensormatic tag removers. - Interior fitting room wall hooks and bars - Window grids and brackets *b Grout, mortar and mall file shall be by contractor. *c Unistrut structural supports shall be by contractor. *e This is only if the unit is specified as new. If the unit is being reused, contractor shall furnish a new thermostat M 1.14 The owner has the right to know the exact price of the job and therefore exclusions for any part of the listed scope of work are not acceptable and will not be allowed into the final contract sum regardless of statements listed on the bid summary sheet 1.15 All line items on the Bid Summary Sheet must be filled out in order for your bid to be considered. Leaving a line item blank does not eliminate the contractor scope of work as listed in the plans, specifications and these bidding documents. 1.16 The contractor must pay for all state and local sales and use taxes. A taxable amount must be broken out on the bid summary sheet Miscellaneous Ldormation 2.1 The superintendent must remain at the job site until the punch list is completed and signed off by an authorized wet seat representative. 22 Should the project be completed early, the contractor shall have personnel at the project site for the punch list walk through. Should the project and punch list be completed early, personnel shall be available for minor adjustrgents during tenants merchandising. 23 The contractor shall field measure and lay out the job site the first week of construction. Any discrepancies in layout or ceiling height clearances shall be reported to Wet Seal immediately during this first week. 24 The representative of The Wet Seal will punch out the store on the completion date. Punch lists that are `completion items' shall be re- punched at a later date. For example, `install tile'. All costs associated with the rr -punch will be charged back to the General Contractor. 25 Construction time is six weeks plus five days unless otherwise noted on invitation to bid sheet Contactor to furnish all labor and overtime required to meet this schedule in his base bid 2.6 Include in your base bid that the store shall be professionally cleaned before merchandising. If additional work is performed after the store is professionally cleaned, the store will have to be re- cleaned at the discretion of The Wet Seal. Having the superintendent clean the store is unacceptable. A separate cleaning professional subcontractor must be used. 27 The contractor shall provide an independent. job site telephone or cell phone within three days of construction start Contractor is to have access to email or a fax machine at the job site at all tines. 28 Refer all questions during the construction process directly to The Wet Seal's construction department Information obtained through other persons (Vendors, Operations Staff District or Store Managers, Your Office, Landlord, Tenant's Architect, etc) shall he only an opinion and mayor may not be allowed If items are revised from the existing drawings that are not approved by The Wet Seal's construction department, these items shall be disassembled and rebuilt to The Wet Seal's satisfaction at contractor's expense. 2.9 There shall be a quality superintendent, skirled in similar types of projects, dedicated to this project The superintendent may coordinate additional projects within the mall but only within the mall This must be presented at bidding time and must be pre - approved by Wet Seal in writing and shall be, if approved, included in the construction contract. Additional coordination of projects outside of the mall is not allowed Wet Seal reserves the right to approve contractors' superintendent to be used on Wet Seal's projects. Contractor must fax Wet Seal superintendents resume upon request within 24 hours of request- Z10 All questions during bidding shall be submitted to Wet Seal by the general contractor, not the subcontractors. 2 3.2 The following items shall be supplied and installed by tenanL Coordination is by contractor.: • Semormatic System *Overhead grille - if applicable • Audio System 3.3 All items not listed above are supplied and installed by contractor. 3.4 The Sensornatic system shall be supplied and installed by Tenant Contactor shall perform saw cuts, and electrical connections. All concrete work over the sensormatle pads shall be in Latapoxy. latapoxy is by contractor. 3.5 The following is the standard shipping schedule: - Overhead grille week 1 - HVAC Unit week 2 - Lighting fixtues week 2 - Wall standards week 6 - Millwork week 4 - Storefront sign week 5 - Sensor atic week 4 - Fitting room hooks week 6 - Interior sign week 6 - Deter alarm and safe week 6 - Stockroom standards and shelves week 6 - Show window grids week 6 - Furniture week 6 - Audiolvideo system week 5 - Safe, lockers, logo's mannnequins etc week 6 - Floor fixtures week 6 3.5 Mthe contactor wishes to revise the tenants' delivery schedule, he may reasonably do so at the time the contract is awarded; however, this is providing materials are not yet shipped Delivery revisions shall not be honored for requests to push delivery dates farther back All requests shall be received in a timely manor. 3.6 The contractor shall accept tenant material arriving at the project site during construction at any standard working hoots. Failure to do so will result in a back - charge to the contractor for storage and additional delivery charges. Any additional re- delivery or storage charges that ace billed to The Wet Seal due to contactor rejecting tenants' deliveries, or not being available daring standard working hours 7:00 AM- 4:00 PM, Monday through Friday, shall be charged to contractor. 3.7 All shipments are on common courier. The common courier shipments may not hit an exact date. Pro tacking numbers for shipments may be obtained by contacting The Wet Seal's suppliers. 3.8 Coordination of all owner- furnished materials is the responsibility of the general contractor_ Any materials signed for and lost or damaged at the job site will hem- supplied at the expense of the general contactor. The contactor will have to file a claim against their insurance company for these items. Damaged material mast be presented to the tuclang company and to Wet Seal's representative in writing within 24 hours of receipt. 3.9 The contractor shall be responsible for receipt; unloading, storage and subsequent protection of all items furnished by tenant during construction that is to be installed by the contractor. Items provided by The Wet Seal shall be as listed in these drawings, as listed in time bidding instructions or as presented 3.10 Procedures for receiving tenant -supplied materials and filing freight claims are listed in the drawing specifications general conditions. 3.11 If any materials received from vendors are defective or otherwise unusable, contact the supplying vendor immediately upon the discovery. Have the vendor send you a replacement via ground transportation. At the vendors' option, return the defective part via freight collect or third party billing to the vendor. Do not discard the damaged or unusable item until approved by The Wet Seal. If the contractor discards the item and 6 2.11 Any long lead items furnished: by contractor shall be ordered the week the project is awarded. Substitutions and time extensions shall not be allowed because orders were not placed in a timely manna. This includes, but is not limited to, circuit breaker locking clips, ducts, tempered glass, HVAC unit, hardware, eta Substitutions for cost savings are encouraged but must all be pre - approved by The Wet Seal prior to bidding and included in the construction contract 2.12 All items must be warranted for a period of one year. This includes all labor on the installation of owner furnished materials. Should the contractor or subcontractors be negligent in the assembly, building or installation of any construction, this warranty period will be void and the warranty period will began at the tirria such work is made correct 213 Minimum insurance amounts are as set forth in the contract. Use the more stringent requirements as set forth by the Landlord or The Wet Seal's contract 2.14 Contractor shall contact all applicable governmental agencies having jurisdiction over this project to determine taxable items. The base bid shall include any applicable state and local taxes associated with new construction in the particular area. The contractor shall be responsible for all applicable taxes whether or not the "Tax" line of the bid summary sbect has been accurately filled in by the contactor. 2.15 Tenant will submit for permit The contractor shall include in their base bid the cost of picking up and paying for the permit. An exact amount is required An allowance amount is not acceptable. 2.16 Temporary utilities shall be included in the base bid If the Landlord supplies these temporary utilities, the general contactor shall include the cost to reimburse the Landlord. The GC is responsible for contacting the Landlord to determine the costs. Please verify costs with the Tenants Representative as these fees are often negotiated down. I 2.17 Trash dumpsters throughout the project through and including merchandising shall be included in the base bid If the Landlord supplies these facilities, the general contractor shall include the cost to reimburse the landlord. Provide one empty dumpster for The Wet Seal's use during the merchandising period The GC is responsible for contacting the Landlord to determine the costs. Please verify costa with the Tenants Representative as these fax are often negotiated down. 2.18 The owner's standard contract shall be utilized "as is" to the awarded contractor. No changes are allowed Please contact The Wet Seal if you want a blank copy seat to you prior to bidding. The contract shall be directly with, and administrated by, The Wet Seal The payment terms are net 30 days on all invoices. The first invoice may be submitted at the start of construction. It shall be for 50% of the contact total minus 10% and shall only be considered if all required paperwork is submitted simultaneously. The next invoice may be submitted at the time of substantial completion. It shall be for 50% mares 10% and shall only be considered if all contractually specified paperwork is submitted simultaneously. The retainage may be invoiced upon completion of the punch list and submitting all required paperwork as listed in the contract and as directed by landlord. Change Orders with attached written approval from The Wet Seal may be invoiced at the end of the project Change Orders without written approval by an officer at The Wet Seal shall not be honored. 219 The general contractor shall visit and totally familiarize himself with the job site before submitting this bid. This includes, but is not limited to, demolition mqukements, obstructions that will affect store layout or ceiling heights, fire sated walls, utility nuns to space, existing panel boxes, demising wall condition, electrical conduit to the space, 3 The Wet Seal is billed for the replacement part, the contractor will be back charged for the item and freight at the discretion of the tenant Items can not simply be left in the store after constructions. The contactor must return them. 3.12 Screws, bolls, adhesive and grout shall be by contractor. 3.13 Contractor cannot revise tenants shipping dates without prior consent from tenant's project manager. 3.14 Contractor cannot order additional materials from Wet Seal's vendors with prior consent from Wet Seal's project manager. Unauthorized orders from the contractor shall be charged back to the contractor. 3.15 A full set of prints shall always be available at the jot+ site. This set shall be refereed to as the "project set' . This set shall never be puffed apart All notations between the Wet Seal's prr ject manager and the contractor's superintendent shall be written on the project set The contractor shall list all as built revisions on this project set The set shall be given to Wet Seal at the completion of the project 3.16 The contractor shall always maintain a full set of Landlord approved prints at the job site. 'r] telephone conduit to the space, sewer to the space, water to the space, demising wall gypsum board extent, floorpreparation requirements, etc. Extras will not be allowed because the contractor did not familiarize himself with the job site. The Wet Seal's sole opinion will determine what should have been reasonably discoveed. 22D The general contractor shall familiarize hitn&crself with the landlord's requirements prior to submitting bids. This includes but is not limited to working conditions, shipping and receiving conditions, allowable working hours, documentation requirements, required subcontradors, noise requirements, meeting requirements, insurance requirements, energy system requirements, etc. 221 The general contractor shall furnish and install a temporary barricade across the entire storefront of the store. The barricade shall be in a design and form as is approved by the mall. The general contractor shall remove the barricade only after the Landlord and The Wet Seal's representative gives approval. If the Landlord supplies the barricade, contractor shall include the cost to reimburse Landlord. The GC is responsible for contacting the Landlord to determine the costs. Please verify costs with the Tenants Representative as these fees are often negotiated down. 222 All bids shall be held open for at least thirty days after the bids due date. 223 One set of plans will be sent under separate cover either 24 x 36 prams or electronically. Additional sets requested by the contractor, unless they are new updated revisions, shall be at the contractors' expense. All documents are available from the architects websites, also available are survey notes and pictures. The bidders are encouraged to familiarize themselves with all the available information. 224 Change orders are not approved unless requested and approved in writing as per contract Contractor shall anticipate any required cost or time revisions. Tenant shall require seven days to approve change orders for cost or time changes after receipt of Change Order form. Project time extensions shall not be allowed to compensate for a Change Order requests not submitted in a timely manor. Change Orders not properly processed and approved by an Officer of Wet Seal shall not be honored 225 Photographs will be required from the superintendent every seven calendar days. These photographs shall be of all major subcontractors' progress. Photos may be sent electronically, on disc or in prints. If photographs are not received every seven days, it will constitute default in the contract by the contractor at which time a Wet Seal construction representative will visit the site to verify progress. These visits will be charged back to the Contactor. 226 Contractor shall fax or email a project schedule to The Wet Seal at the beginning of the project listing all major trades. This schedule shall be in the form of a bar schedule. A single page progress report outlining adherence to schedules shall be sent electronically or faxed to tenant's project manager by the contractor every week to be received by 8:00 am Tuesday PDST. This report shall list all applicable trades and their percentage of completion on the project Faihme to submit updated schedules may result in a site visit to verify progress. All concrete work over the sensormatle pads shall be in Latapoxy. latapoxy is by contractor. 3.5 The following is the standard shipping schedule: - Overhead grille week 1 - HVAC Unit week 2 - Lighting fixtues week 2 - Wall standards week 6 - Millwork week 4 - Storefront sign week 5 - Sensor atic week 4 - Fitting room hooks week 6 - Interior sign week 6 - Deter alarm and safe week 6 - Stockroom standards and shelves week 6 - Show window grids week 6 - Furniture week 6 - Audiolvideo system week 5 - Safe, lockers, logo's mannnequins etc week 6 - Floor fixtures week 6 3.5 Mthe contactor wishes to revise the tenants' delivery schedule, he may reasonably do so at the time the contract is awarded; however, this is providing materials are not yet shipped Delivery revisions shall not be honored for requests to push delivery dates farther back All requests shall be received in a timely manor. 3.6 The contractor shall accept tenant material arriving at the project site during construction at any standard working hoots. Failure to do so will result in a back - charge to the contractor for storage and additional delivery charges. Any additional re- delivery or storage charges that ace billed to The Wet Seal due to contactor rejecting tenants' deliveries, or not being available daring standard working hours 7:00 AM- 4:00 PM, Monday through Friday, shall be charged to contractor. 3.7 All shipments are on common courier. The common courier shipments may not hit an exact date. Pro tacking numbers for shipments may be obtained by contacting The Wet Seal's suppliers. 3.8 Coordination of all owner- furnished materials is the responsibility of the general contractor_ Any materials signed for and lost or damaged at the job site will hem- supplied at the expense of the general contactor. The contactor will have to file a claim against their insurance company for these items. Damaged material mast be presented to the tuclang company and to Wet Seal's representative in writing within 24 hours of receipt. 3.9 The contractor shall be responsible for receipt; unloading, storage and subsequent protection of all items furnished by tenant during construction that is to be installed by the contractor. Items provided by The Wet Seal shall be as listed in these drawings, as listed in time bidding instructions or as presented 3.10 Procedures for receiving tenant -supplied materials and filing freight claims are listed in the drawing specifications general conditions. 3.11 If any materials received from vendors are defective or otherwise unusable, contact the supplying vendor immediately upon the discovery. Have the vendor send you a replacement via ground transportation. At the vendors' option, return the defective part via freight collect or third party billing to the vendor. Do not discard the damaged or unusable item until approved by The Wet Seal. If the contractor discards the item and 6 2.11 Any long lead items furnished: by contractor shall be ordered the week the project is awarded. Substitutions and time extensions shall not be allowed because orders were not placed in a timely manna. This includes, but is not limited to, circuit breaker locking clips, ducts, tempered glass, HVAC unit, hardware, eta Substitutions for cost savings are encouraged but must all be pre - approved by The Wet Seal prior to bidding and included in the construction contract 2.12 All items must be warranted for a period of one year. This includes all labor on the installation of owner furnished materials. Should the contractor or subcontractors be negligent in the assembly, building or installation of any construction, this warranty period will be void and the warranty period will began at the tirria such work is made correct 213 Minimum insurance amounts are as set forth in the contract. Use the more stringent requirements as set forth by the Landlord or The Wet Seal's contract 2.14 Contractor shall contact all applicable governmental agencies having jurisdiction over this project to determine taxable items. The base bid shall include any applicable state and local taxes associated with new construction in the particular area. The contractor shall be responsible for all applicable taxes whether or not the "Tax" line of the bid summary sbect has been accurately filled in by the contactor. 2.15 Tenant will submit for permit The contractor shall include in their base bid the cost of picking up and paying for the permit. An exact amount is required An allowance amount is not acceptable. 2.16 Temporary utilities shall be included in the base bid If the Landlord supplies these temporary utilities, the general contactor shall include the cost to reimburse the Landlord. The GC is responsible for contacting the Landlord to determine the costs. Please verify costs with the Tenants Representative as these fees are often negotiated down. I 2.17 Trash dumpsters throughout the project through and including merchandising shall be included in the base bid If the Landlord supplies these facilities, the general contractor shall include the cost to reimburse the landlord. Provide one empty dumpster for The Wet Seal's use during the merchandising period The GC is responsible for contacting the Landlord to determine the costs. Please verify costa with the Tenants Representative as these fax are often negotiated down. 2.18 The owner's standard contract shall be utilized "as is" to the awarded contractor. No changes are allowed Please contact The Wet Seal if you want a blank copy seat to you prior to bidding. The contract shall be directly with, and administrated by, The Wet Seal The payment terms are net 30 days on all invoices. The first invoice may be submitted at the start of construction. It shall be for 50% of the contact total minus 10% and shall only be considered if all required paperwork is submitted simultaneously. The next invoice may be submitted at the time of substantial completion. It shall be for 50% mares 10% and shall only be considered if all contractually specified paperwork is submitted simultaneously. The retainage may be invoiced upon completion of the punch list and submitting all required paperwork as listed in the contract and as directed by landlord. Change Orders with attached written approval from The Wet Seal may be invoiced at the end of the project Change Orders without written approval by an officer at The Wet Seal shall not be honored. 219 The general contractor shall visit and totally familiarize himself with the job site before submitting this bid. This includes, but is not limited to, demolition mqukements, obstructions that will affect store layout or ceiling heights, fire sated walls, utility nuns to space, existing panel boxes, demising wall condition, electrical conduit to the space, 3 The Wet Seal is billed for the replacement part, the contractor will be back charged for the item and freight at the discretion of the tenant Items can not simply be left in the store after constructions. The contactor must return them. 3.12 Screws, bolls, adhesive and grout shall be by contractor. 3.13 Contractor cannot revise tenants shipping dates without prior consent from tenant's project manager. 3.14 Contractor cannot order additional materials from Wet Seal's vendors with prior consent from Wet Seal's project manager. Unauthorized orders from the contractor shall be charged back to the contractor. 3.15 A full set of prints shall always be available at the jot+ site. This set shall be refereed to as the "project set' . This set shall never be puffed apart All notations between the Wet Seal's prr ject manager and the contractor's superintendent shall be written on the project set The contractor shall list all as built revisions on this project set The set shall be given to Wet Seal at the completion of the project 3.16 The contractor shall always maintain a full set of Landlord approved prints at the job site. 'r] telephone conduit to the space, sewer to the space, water to the space, demising wall gypsum board extent, floorpreparation requirements, etc. Extras will not be allowed because the contractor did not familiarize himself with the job site. The Wet Seal's sole opinion will determine what should have been reasonably discoveed. 22D The general contractor shall familiarize hitn&crself with the landlord's requirements prior to submitting bids. This includes but is not limited to working conditions, shipping and receiving conditions, allowable working hours, documentation requirements, required subcontradors, noise requirements, meeting requirements, insurance requirements, energy system requirements, etc. 221 The general contractor shall furnish and install a temporary barricade across the entire storefront of the store. The barricade shall be in a design and form as is approved by the mall. The general contractor shall remove the barricade only after the Landlord and The Wet Seal's representative gives approval. If the Landlord supplies the barricade, contractor shall include the cost to reimburse Landlord. The GC is responsible for contacting the Landlord to determine the costs. Please verify costs with the Tenants Representative as these fees are often negotiated down. 222 All bids shall be held open for at least thirty days after the bids due date. 223 One set of plans will be sent under separate cover either 24 x 36 prams or electronically. Additional sets requested by the contractor, unless they are new updated revisions, shall be at the contractors' expense. All documents are available from the architects websites, also available are survey notes and pictures. The bidders are encouraged to familiarize themselves with all the available information. 224 Change orders are not approved unless requested and approved in writing as per contract Contractor shall anticipate any required cost or time revisions. Tenant shall require seven days to approve change orders for cost or time changes after receipt of Change Order form. Project time extensions shall not be allowed to compensate for a Change Order requests not submitted in a timely manor. Change Orders not properly processed and approved by an Officer of Wet Seal shall not be honored 225 Photographs will be required from the superintendent every seven calendar days. These photographs shall be of all major subcontractors' progress. Photos may be sent electronically, on disc or in prints. If photographs are not received every seven days, it will constitute default in the contract by the contractor at which time a Wet Seal construction representative will visit the site to verify progress. These visits will be charged back to the Contactor. 226 Contractor shall fax or email a project schedule to The Wet Seal at the beginning of the project listing all major trades. This schedule shall be in the form of a bar schedule. A single page progress report outlining adherence to schedules shall be sent electronically or faxed to tenant's project manager by the contractor every week to be received by 8:00 am Tuesday PDST. This report shall list all applicable trades and their percentage of completion on the project Faihme to submit updated schedules may result in a site visit to verify progress.
