(b)Hiredand Non-Owned Vehicles (c)Employers'Non-Ownership 1.07 SUBCONTRACTS:The FIRM agrees thatifanypartoftheWorkundertheContractissubletthe subcontract shall contain thesame insurance provision assetforthinsection 5.1 aboveand5.4belowand substituting theword Subcontractor fortheword FIRM and substituting theword FIRM forCITYwhere applicable. 1.08 RreandExtendedCoverage Insurance (Builders'Risk).IF APPLICABLE: A.In the event that this contract Involvesthe construction of a structure,the CONTRACTOR shall maintain,withan Insurance Companyor Insurance Companies acceptable totheCITY,"Broad"form/All Risk Insurance on buildings and structures,including Vandalism &Malicious Mischief coverage,whileinthe course of construction,including foundations,additions,attachments and all permanent fixtures belonging toand constituting apartof said buildings or structures.The policy or policies shall also cover machinery,ifthecostof machinery is included intheContractorifthe machinery is located ina building thatisbeingrenovatedbyreasonofthis contract Theamountofinsurance must at all times,beatleast equalto the replacementand actual cashvalueofthe insured property.The policy shall beinthenameof theCITYandthe CONTRACTOR,astheirinterestmay appear,and shall alsocovertheinterestsof all Subcontractorsperforming Work B.Allofthe provisions setforthin Section 5.4hereinbelow shall apply tothis coverage unlessitwouldbe clearly not applicable. 1.09 Miscellaneous: A.If anynoticeof cancellation of insurance or change in coverage isissuedbythe insurance company or shouldany insurance haveanexpirationdatethatwilloccur during theperiod of this contract the FIRM shall beresponsibleforsecuring other acceptable insurance prior to such cancellation,change,or expiration soas to provide continuous coverageasspecifiedinthissectionandsoas to maintain coverageduring the life of this Contract B.Alldeductibles must bedeclaredbythe FIRM and must beapprovedby the CITY.At the optionof the CITY,eitherthe FIRM shall eliminate orreducesuch deductible orthe FIRM shall procurea Bond,ina form satisfactory totheCITY covering the same.I C.Thepolicies shall containwaiver of subrogation against CITYwhere applicable,shall expresslyprovide j that such policy or policies are primary over any other collectible insurance that CITY may have.The j CITYreservestherightatanytimetorequestacopyoftherequired policies forreview.All policies shall contain a "severability of interest"or "cross liability"dause without obligation for premium payment of the CITYaswellas contractual liability provision coveringtheContractorsdutyto indemnify : theCityas provided in thisAgreement j D.Beforestartingthe Work,the FIRM shall delivertotheCITYand CONSULTANT certificatesofsuch insurance,acceptable tothe CITY,as well as the insurance binder,ifoneis Issued,the insurance policy,j including the declarationpageand all applicable endorsements andprovide the name,addressand telephone number ofthe insurance agent or broker through whom the policy was obtained.The insurer j shall berated A.VII or better per A.M.Best's KeyRatingGuide,latesteditionandauthorizedtoissue j insurance in the State of Florida.All insurance policies must be written on forms approved bythe State j of Florida and they must remainin full forceandeffectfor the duration of the contract periodwith the \ CITY.The FIRM mayberequiredbytheCITY,atitssolediscretion,toprovidea"certified copy"of the i Policy (as defined inArticle I ofthisdocument)which shall include the declaration page and ail required endorsements.Inaddition,the FIRM shall deliver,atthe time of deliveryof the insurancecertificate,the following endorsements: (1)a policy provision oranendorsement with substantially similar provisions as follows: "The City ofSouth Miami isan additional insured.Theinsurershall pay all sumsthattheCityof South Miami becomes legally obligated to pay as damages because of "bodily injury",'property damage',or "personal and advertising injury"and itwill provide totheCity all ofthecoverage thatis typically providedunderthe standard Rorida approvedformsfor commercial general liability coverageAandcoverage B"; (2)apolicy provision oranendorsementwith substantially similar provisionsas follows: "This policy shall notbe cancelled (including cancellation fornon-paymentof premium), terminatedormateriallymodified without first giving the CityofSouth Miami ten (10)days advanced written noticeofthe intent to materially modify the policy or tocancelor terminate thepolicyforanyreason.The notification shall bedeliveredtotheCitybycertified mail,with proof of deliverytotheCity." Waiver of prohibition.The requirements ofthis subsection may be waived fora particular transaction only by four affirmative votesofthe city commission after public hearing upon finding that: (1)An open-to-all sealed competitive proposal has been submitted bya city person as defined in paragraphs (b)(2), (3)and (4); (2)The proposal hasbeen submitted byapersonor firm offering services within thescopeofthe practice of architecture,professional engineering,or registered land surveying,as defined bythe laws ofthestateand pursuanttothe provisions ofthe Consultants'Competitive Negotiation Act,andwhenthe proposal hasbeen submitted bya cityperson defined in paragraphs (b)(2),(3)and (4); (3)The property or services tobe involved inthe proposed transaction are unique and the city cannot avail itself of such property or services without entering a transaction which would violate this subsection butfor waiver of its requirements;and (4)Thatthe proposed transaction will beinthebestinterestofthe city. This subsection shall be applicable only to prospective transactions,and thecitycommission may inno case ratify a transaction entered in violation of this subsection. Provisions cumulative.This subsection shall be taken tobe cumulative and shall notbe construed to amend or repeal any other law pertaining tothesamesubjectmatter. (d)Further prohibition on transacting business wHh thecity. Additionally,no person included in the term defined in paragraph (b)(1)shall vote on or participate in any way in any matter presented tothe city commission ifthat person has any ofthe following relationships with any ofthe persons or entities which would beor might be directly or indirectly affected by any action ofthe dty commission: (I)Officer,director,partner,of counsel,consultant,employee,fiduciary or beneficiary;or (2)Stockholder,bondholder,debtor,or creditor,if In any instance the transaction or matter would affect the person defined in paragraph (b)(1)in a manner distinct from themanner In which it would affect the public generally.Any person included in the term defined in paragraph (b)(I)who has any ofthespecified relationships or who would or might,directly or Indirectly,realize a profit bythe action ofthe city commission shall notvoteon or participateinanyway in thematter. (E)Gifts. (l)Defn'ition.The term "gift"shall refer tothe transfer of anything of economic value,whether in the form of money,service,loan,travel,entertainment,hospitality,item or promise,orin any otherform,without adequateand lawful consideration. (2)Excepthn$.The provisions of paragraph (e)(1)shall not apply to: a.Political contributions specifically authorized bystate law; b.Gifts from relatives or members of one's household,unless the person Is aconduit on behalf ofathird party to the delivery ofa gift thatis prohibited under paragraph(3); cAwardsfor professional orcivicachievement; d.Material such as books,reports,periodicals or pamphlets which are solely informational orof an advertising nature. (0 Compulsory disclosure by employees of firms doing business with the cfty. (1)Noperson included inthetermsdefinedin paragraphs (b)(6)shall receiveanycompensationforservicesasan officer or employeeofthecityfromanysource other thanthecity,exceptasmaybepermittedas follows: a.Generally prohibited.No full-time cityemployee shall acceptoutside employment,either incidental,occasional or otherwise,wherecitytime,equipment or materialistobeused or wheresuchemploymentoranypart thereof is to be performed oncitytime. b.When permitted.A full-time cityemployeemayaccept incidental or occasional outsideemploymentsolongas suchemploymentisnotcontrary,detrimental or adversetotheinterestofthecity or anyofitsdepartmentsand theapproval required in subparagraph c.isobtained. c.Approvalofdepartmentheadrequired.Anyoutsideemploymentbyany full-time cityemployeemustfirstbe approvedinwritingbytheemployee'sdepartmentheadwho shall maintain acompleterecordofsuch employment d.Penalty.Anypersonconvictedof violating anyprovisionofthissubsection shall bepunishedasprovidedin section I-I I of the Code of Miami-Dade Countyand,inadditionshallbesubjectto dismissal bytheappointing authority.Thecitymayalsoassessagainstaviolatorafinenottoexceed$500.00andthecostsof investigation incurred by the city. (2)All full-time cityemployeesengagedinanyoutsideemploymentforanyperson,firm,corporation or entity other thanthe city,or anyofitsagencies or instrumentalities,shall file,under oath,anannual report indicatingthe source of the outside employment,the nature of the work being done andany amount ofmoney or other considerationreceivedby the employeefromtheoutsideemployment.Cityemployee reports shall be filed with thecity clerk.The reports shallbe available atareasonabletimeandplaceforinspectionby the public.Thecity managermay require monthly reports from individual employees or groupsof employees forgood cause.. (k)Prohibited investments. Noperson included inthetermsdefinedinparagraphs (b)(1)through(6)or amemberoftheimmediate family shall havepersonalinvestmentsinany enterprise which will create asubstantialconflictbetweenprivate interests and the public interest (I)Certain appearances and payment prohibited. (1)No person included intheterms defined in paragraphs (b)(1),(5)and (6)shall,fora period oftwo years after hisorhercity service oremployment has ceased,lobby any city official [as defined in paragraphs (b)(1)through (6)]in connection with any judicial orother proceeding,application,RFP,RFQ,bid,requestfor ruling orother determination,contract claim,controversy,charge,accusation,arrestorother particular subject matterinwhichthecityoroneof its agencies isapartyor has anyinterest whatever,whetherdirectorindirect Nothing contained inthis subsection shall prohibit any individual from submitting aroutine administrative request or application toadtydepartmentor agency during thetwo-year period afterhisorher service has ceased. (2)The provisions ofthe subsection shall not apply to persons whobecome employed by governmental entities, 501(c)(3)non-profit entities or educational institutions or entities,and who lobby on behalf ofthoseentitiesin their official capacities. (3)The provisions ofthis subsection shall apply to all persons described in paragraph (p)(l)whosecityserviceor employment ceasedafter the effectivedateof the ordinancefromwhichthissection derives. (4)Noperson described in paragraph (p)(l)whosecity service or employment ceased withintwoyearspriorto the effective dateofthis ordinance shall fora period oftwo years after his orher service or employment enter intoa lobbying contracttolobbyanycity official in connection withany subject described in paragraph (p)(l)in whichthe city oroneofits agencies isa party orhasanydirectand substantial interest;andinwhichheorshe participated directlyorindirectlythrough decision,approval,disapproval,recommendation,therendering of advice,investigation,orotherwise,during his orher city service oremploymentAperson participated "directly" whereheorshewas substantially involved inthe particular subjectmatter through decision,approval,disapproval, recommendation,therendering of advice,investigation,orotherwise,during hisorhercityserviceor employmentA person participated "indirectly"whereheorshe knowingly participated inanywayinthe particular subjectmatterthroughdecision,approval,disapproval,recommendation,the rendering of advice,investigation,or otherwise,during hisorhercityserviceor employment Allpersonscoveredbythis paragraph shall execute an affidavit onaformapprovedbythecityattorneypriorto lobbying anycity official attestingthatthe requirements of thissubsectiondonotprecludethepersonfrom lobbying city officials. (5)Any person who violates this subsection shall be subject tothe penalties provided in section 8A-2(p).
