RESOLUTION NO.:195-15-14534 A Resolution authorizing the City Manager to enter into a three-year agreement with an option to renew with Southern Waste Systems for the removal and disposal of non-hazardous waste. WHEREAS,itisa requirement to inform the National Pollutant Discharge Elimination System (NPDES),the amount of non-hazardous debris collected by the Street Sweeper on an annual basis. WHEREAS,the annual report form for Individual NPDES Permits for Municipal Separate Storm Water Sewer Systems must be submitted to the Florida Department of Environmental Protection per the Interlocal Agreement.Part of this form includes Section VII Part III.A.3,which requests an estimate of the quantity of sweeping collected. WHEREAS,three quotes were obtained and Southern Waste Systems was the most responsive and responsible bidder;and WHEREAS,the 14-yard container willbe used to temporarily store non-hazardous waste collected by the Street Sweeper;and WHEREAS,Southern Waste Systems will provide on-call disposal of the debris collected in the container foraflat rate amount of $275.00 per 14-yard haul during the three-year agreement,aswellas the two-year option;and NOW,THEREFORE,BEITRESOLVEDTHE MAYOR AND CITY COMMISSION OFTHECITYOF SOUTH MIAMI,FLORIDA: Section 1.TheCity Manager is authorized to enter into a three-year agreement with an option to renew for a maximum of five consecutive years,with Southern Waste Systems for the removal and disposalof non-hazardous waste collectedby the Street Sweeper foraflatrateof$275.00perhaul, during the term of the agreement,including any renewal and charged to account number 001-1720- '534-4340,PublicWorksRefuseDisposalandwhichshallnot exceed $25,000. Company reserves the rightto increase the Charges payableby Customer during the Term:(a)for any changes or modifications to,or differences between,theactual equipment and services providedby Company to Customer andthe agreed upon Equipment/Service specificationsonthefirstpage,(b)any change inthecomposi tion of the Waste Materialsorifthe average weightperyardof Customer's Waste Materials exceeds theamountspecifiedonthefirstpage;(c)foranyincreaseinor other modificationstoitsfuelor environment costrecoverycharges;(d)tocoverany increase indisposal and/or thirdpartytransportationcosts;(e)tocoverincreased costs due touncontrollable circumstances,including,withoutlimitation,changes in local,state orfederallawsorregulations,impositionof taxes,feesorsurchargesor acts of Godsuchasfloods,fires,hurricanes,andnaturaldisasters;and(f)nomore oftenthanannually from the Effective Date (or ifspecified onthe first page,Custom er's last APIDate)for increases in the Consumer Price Index plusfour percent of the then current Charges.Any increase inCharges enumerated in clauses (a) through (e)above may includean amount for Compan/s operatingor gross profit margin.Company also reserves the rightto charge Customer additional fees if the followingadditional services are provided to Customer Administrative Fee, Enclosure Charge,Services onHighDemandDays,Pull/PushOut Services, ContainerRelocationFee,or Seasonal RestartFee.Inthe event Companyadjusts the Charges asprovidedinthisSection4,CustomerandCompanyagreethatthis Agreement assoadjusted wiH continuein full forceand effect fortheremaining Term. Any Customer invoice balance notpaidwithinthirty(30)days of the date ofinvoice is subject toalatefee,and any Customer check returnedfor insufficient fundsis subject toaNSFfee,bothto the maximum extent allowedbyapplicablelaw.In the event that payment isnot made when due,Company retainstherightto suspend service untilthe past due balance ispaidinfoil.Inthe event that service is suspend edin excess of fifteen(15)days,Company may terminate this Agreement for such default and recover any equipment. 5.CHANGES.Changes in the frequency ofcollection service,schedule,number, capacity and/or type of equipment must be agreedtoinwriting,orbytheactions and practices of the contractor. 6.EQUIPMENT,ACCESS.All equipment furnishedbyCompanyshallremainthe propertyof Company,however,Customer snail have care,custody andcontrolof the equipment andshall bear responsibilityand liability foralllossor damage to the equipment andforits contents whileat Customer's location.Customer shallnot overload,move or after the equipment andshall use the equipment onlyforits intended purpose.At the termination of this Agreement,Customer shallreturn the equipment to Company in the condition inwhichft was provided,normal wear and tear excepted.The equipment described hereinshallremain the propertyof Company whoshallbeentitledto enter upon myproperty and remove the same. Customer shallprovide unobstructed access to the equipment onthe scheduled collectionday.Customer shallpay,if charged by Company,anadditionalfeefor any service modifications caused byor resulting from Customer's failuretoprovide access.Company shallnotbe responsible for any damage to Customer's property, including pavement,subsurface orcurbing,resultingfrom Compan/s provisionof services hereunder.Customer warrants that Customer's rightof way is sufficient to bear the weight of Compan/s equipment and vehicles. 7.LIQUIDATED DAMAGES.In the event customer terminates this agreement prior totheexpirationof any termforany reason other then a default by company Customer shallPaythe company the current monthly rate multiplied by the amount of months remainingonthetermorany renewal termplus any attorney fee'swhich the company should incurto enforce this agreement In the event of a breach ofthis agreement by company the customer will be entitledto reasonable fee's plusany applicableattorney costs they may incur.Customer acknowledges thattheactual damage to company inthe event of breach isdifficulttofixorprove,andthe foregoingliquidated damage amount is reasonable and commensurate withthe anticipatedlossto company resultingfrom such termination and isan agreed upon feeandisnot imposed asa penalty.Company shallnot be liable under anycircum stance forany special,incidental or consequential damages arisingoutoforin connection with performance of the agreement 8.INDEMNITY.The Company agrees to indemnify,defend and save Customer harmless fromand against any andallliabilitywhich Customer may be responsible fororpayoutasaresultofbodilyinjuries(includingdeath),property damage,orany violationorallegedviolationoflaw,to the extent caused by negligent act negligent omission orwillful misconduct ofthe Company orits employees,which occurs (1) duringthecollectionor transportation of Customer's Waste Materials,or(2)asa resultofthe disposal of Customer's Waste Materials,after the date ofthis Agreement,inafacility owned bya subsidiary of Southern Waste Systems, providedthat the Compan/s indemnificationobligationswillnotapplytooccurrenc es involving Excluded Materials.
