WHEREAS,three quotes were obtained and ARCO Electronics was the most responsive and responsible bidder;and WHEREAS,ARCO Electronics will provide maintenance and monitoring to the Fire Alarm System at Gibson-Bethel Community Center;and WHEREAS,they will provide Monitoring &Maintenance Services for the amount of $3,000 per year,during the three-year agreement,aswellas the two-year option. Agreement CONTRACT COMPLIES WITH MIAMIDADE COUNTY CODE This agreement made this25 day of November 2015by and between ARCOELECTRONICS,INC., hereinafter called the Contractor and Gibson-Bethel Community thesystemisprovidedwithallofthedevicesandequipmentandwire facilities necessary totransmitalarmsignals,the Contractor will monitorsignalsfromthisdeviceand equipments ona 24-hour basis.The Subscriber agrees tofurnishtheContractora listof names and telephone numbersof persons whoshallbe notified bythecontractorintheeventthealarmsignalisreceivedatthe Contractor'sCentralStation.The subscriber agrees that thislistmustbeposted near the FireAlarmPanel.Contractor notifies promptly the appropriate policeorfire department and designated representative of the Subscriber. 3.TheSubscriber will periodically test thesystemandshall notify theContractor promptly ofany condition requiring theContractor's attention.In addition,theSubscriberagreesthatthesystemmustnotbealteredinanywaythat will preventit from complying with NFPA and the AHJ. 4.The Contractor agreestoservicethesystem according totheserviceagreementselectionaboveand corresponding executed serviceagreementmadeparthere,ofwhencalledbytheSubscriberandtomakeallrepairstothesystems,whichareneeded as the resultsof normal andproperuse.Outsideofthestandard manufacturer warranty,parts,equipment,andcomponentsusedinservice shall be billed accordingly. 5.It rs mutually agreedthatail work shallbe performed during the Contractor's standard working daysandhours only,unlessthe Subscriber directsotherwise,in which casethe Subscriber herebyagreestopaytothe Contractor any resulting increasedcost, includingthe response to service related issues by the contractor's runners.Additional services shallincur and additional cost. 6.The Contractor will exercise reasonable efforts in rendering service under this agreement,but shall notbe liable for any damages arisingoutofdelaysandinno event shallbeliableforconsequential damages. 7.Service performed hereundershallconsistoflaborcoveredbytheagreementand furnishing oftheparts,at additional cost, necessary torestore the system tonormaloperatingcondition.Thereisnoobligationtofurnishservice rfthe need thereforehas been resultedfromabnormal usage of the system orfromitsoperationsunderabnormalconditions. 8.This agreement doesnotcover service,repair or replacement necessitated byanylossor damage resulting from anycause beyond our control,including butnot limited tolossor damage dueto fire ofany origin,water,windstorm,hail,lighting,earthquake, theft,negligence,riot,misuse oranyother peril or unauthorized repairs by others.The Contractor isinno way obligated to service or repairany device not installed by the Contractor. 9.The Contractor assumesno liability or responsibility in anyway for interruptions ofserviceduetostrikes,riots,floods,fires,actsof God,oranycause beyond the control ofthe Contractor and will notbe required to supply service tothe Subscriber while interruption of service due to any cause shall continue. 10.In the event the Contractor representative is sent to the Subscriber premises in response toa service issue caused by the Subscriber improperlyfollowing operating instructions,oranalarmortroublecondition as a result of a received signalorcalledinby the subscriber,its agents,ora tenant,there shall be a service charge to the Subscriber. 11.in the event that ARCO ELECTRONICS,INC.,prevails in any litigationarising as a result of this contract,Subscriber shall pay any andall attorney's foes incurred by ARCO in defending said litigation,it is understood and agreed by the parties hereto that Contractor is not an insurer and that insurance,if any,covering personal injury and property loss or damage on Subscriber's premises shall be obtained by the Subscriber;that the Contractor is being paidfor the Service of a system designed to reduce certain risks of loss and that the amounts being charged by the Contractor arenot sufficient to guarantee that no loss will occur;that the Contractor isnot assuming responsibilityfor any losses which may occur even if due toContractor's negligent performance orfailuretoperformany obligation under this Agreement.THE CONTRACTOR DOES NOTMAKE ANY REPRESENTATION OR WARRANTY,INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS,THAT THE SYSTEM OR SERVICE SUPPUED MAY NOT BE COMPROMISED,OR THAT THE SYSTEM OR SERVICES WILL IN ALL CASES PROVIDE THE PROTECTION FOR WHICH ITIS INTENDED.Sinceitis impractical andextremely difficult tofixactual damages whichmayariseduetothefaultyoperationofthe systemor failure of services provided,if,notwithstandingtheaboveprovisions,thereshouldariseany liability onthepart of the Contractor,such liability shallbelimitedtoan amount equalto one halftheannualservicechargeprovidedhereinor$250,whichever isgreater.Thissumshallbe complete and exclusive andshallbepaidandreceivedas liquidated damages andnotasapenalty. 12.TheSubscriberagreestopayinadditiontothechargesaboveanyfalsealarm assessments,taxes,feesorchargesthatare imposedbyanygovernmentalbody,relating tothe installation orserviceprovidedunderthis agreement andany telephone company wire facilities necessary totransmitalarmsignalstoandoff premises pointlocatedatARCOELECTRONICS,INC.The Contractor reserves therightto have the telephone company bill subscriber directlyfor these facility charges. 13.BUYER'SRIGHTTO CANCEL This isahome solicitation sale,andifyoudonotwantthegoodsorservices,youmaycancelthis agreementby providing writtennoticetothesellerinperson,bytelegram,orbymail.Thisnoticemustindicatethatyoudonotwant thegoodsorservicesandmustbedeliveredorpostmarkedbeforemidnightofthethird business dayafteryousignthis agreement If youcancelthisagreement,thesellermaynot keep allorpartofany,cashdown payment.' 14.Itisunderstoodandagreedbythepartiesheretothatanysuitagainst Contractor (Central Monitoring Company)hastobe filled within one (1)year after accrual of action. 15.TRANSMISSION FACILITIES:Customer acknowledges thattheContractorutilizes telephone line,radiotransmissionorsatellite transmission to transmit the signals from customers alarm system to the CONTRACTOR'S CENTRAL STATION.In the event of customer'stelephoneserviceisoutoforder,disconnectedoranyofthetransmissionservicesare malfunctioning orotherwise interrupted,or radio wavetransmissionsarenotreceiveddueto interference oriftheantennaofthe transmitter are inoperative, signalsfromcustomer'salarm system will notbereceivedbythe Contractor,during anysuch interruption. 16.It is understood andagreedbythe parties thatthe responsibilities ofthe Contractor are limited tocommunicateorrespondtoan alarm signal. 17.THIRD PARTY INDEMNIFICATION:In theeventany person nota party tothisagreement shall makeany claim or file any lawsuit againstcompany for anyreason relating to Company's dutiesand obligations pursuant tothisagreement including,butnot limited to, the design,installation,Service,monitoring,operation or non-operation ofthe alarm system,Customer agreesto defend,indemnify and hold Company harmless from anyand ail such claims,injuries,damages and lawsuits including the payment of all damages, expenses,costsand attorneys'fees.This provision shall applyto all claims,lawsuits,injuries ordamages resulting there from, including thosebased upon.The active orpassive negligence ofthe Company,itsagents,servants and employees;any alleged breach of warranty or contract onthe part ofthe Company;orany allegation of strict or product liability relating tothe alarm systemor its component parts.This paragraph shall not apply to claims for loss,injuries ordamages which loss,injury ordamageoccurs while an employee ofthe Company is present on Customer's premises and which damage orlossis caused solely and directly bythe employee of the Company at that time. 18.ACCELERATION CLAUSE:The failure topaythreeormore monthly paymentsonthisagreementshallresultinadefaultunder this contract and all presentand future payments due under this agreement shall immediately becomedueand payable.All sumsdue andpayableshallbearinterestatthemaximumrateallowedbythelaw. 19.This Service Agreement isnot binding unless approved in writing byan authorized representative ofthe Company described above as the Contractor. 20.Thisagreementmaybeterminatedattheoptionofthe Contractor atanytimeinthe event thatthe Contractor's Central Stationis destroyedor substantially damagedby fire orothercatastrophewhere it is impractical tocontinueservice,orintheeventthatthe Contractor is unable either to secure or retain the connections or privileges necessary for the transmission of signal bymeansof conductor between the Subscriber's premises and the Contractor's Central Station,and the Contractor shall notbe liable for any damages or subject toany penalty as aresult of such termination. 21.This agreement shall supersede and cancel all previous agreements between the Contractor and the Subscriber and any modification hereofmustbein writing andsignedbythepartieshereto. 22.Thereareno verbal understandings or modifying anyofthetermsofthis agreement. 23.Subscriber agrees to provide foil accesstothe fire alarm equipment,including gate access code,meter room keys,and lobby access. 24.Subscriber further agreesand authorizes Arco to perform the necessary services tothe fire alarm systemin compliance with Miam'h DadeCountycodewith regards torunnersorservicemen dispatched inresponseto alarm conditions within 2hoursand trouble conditions within 4 hours.
