9THE CITY OF PLEASANT LIVING To: FROM: DATE: SUBJECT: BACKGROUND: CITY OF SOUTH MIAMI OFFICE OF THE CITY MANAGER INTER-OFFICE MEMORANDUM The Honorable Mayor & Members of the City Commission Steven Alexander, City Manager November 17, 2015 Agenda Item NO.:~ A Resolution authorizing the City Manager to enter into an agreement with Granicus, Inc., through a City of Delray Beach piggyback agreement, RFP #2015-27, to enable the public to view public meetings. The City has been utilizing the Granicus webcasting service for public meetings since February, 20 II. The agreement was amended on Resolution 126-15-14465, dated August 18, 2015, which upgraded the Granicus analog server to enable Google Chrome web browser users to view City Meetings. The City expended $3,500 for the upgrade and, an additional on-going fee of $100 per month. The amended monthly service fee is $1 150.00 per month The amendment also reduced the termination date of the current agreement by one-year, to February, 2016. The current agreement executed in February, 20 I I originally terminated February, 2017. However, this would have resulted in a contract encompassing six (6) consecutive years; clearly not in compliance with the City Charter's maximum term for contracts of five (5) consecutive years. Since the City recently expended funds for the upgrade, it is in our best interest to continue the relationship with Granicus for the webcasting of public meetings and not pursue a Request For Proposal that, could result in a replacement vendor. In addition, maintaining the agreement with Granicus will ensure the City continues to provide webcasting of public meetings without any interruption or loss of service during a potential transition to another provider. Lastly, the City evaluated multiple options and reviewed numerous existing government agreements and determined the City of Delray Beach's effective contract to be the City's best solution. This agreement will expire June 26, 2018. The monthly service fee will remain at $1,150 which is the same as what the City currently pays monthly, for the duration of the agreement. WHEREAS, the City provides webcasting and archive videos of City public meetings via Granicus, a webcasting provider of public meetings; and WHEREAS, on February 3, 2011 the City entered Into a contract with Granicus as a sole source of supply; and WHEREAS, at the request of the City, an audit of the City's recording transmission equipment revealed the encoder that delivers public meetings via the web will not be compatible with Google Chrome users beginning in September, 2015; and WHEREAS, according to the Federal Government's Digital Analytics Program, Google Chrome is the most popular of all internet users; and WHEREAS, an upgrade of the City's encoder is recommended to provide broad public access and a seamless user experience when viewing public meetings; and WHEREAS, Granicus has represented to the Ciiy's purchasing department that the addition of the MBX Encoder is a modification to the existing proprietary software to enable Google Chrome web browsers to view public meetings and that any modification would void any warranty and any modification of the software by a third party is a violation of Section 2.4 of the licensing agreement. Severability: If any term or provision of this Agreement or the application thereof to any person or circumstance shall, to any extent, be invalid or unenforceable, the remainder of this Agreement, or the application of such term or provision to persons or circumstances other than those to which it is held invalid or unenforceable, shall not be affected thereby and each term and provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law. CONTRACTOR agrees that negligent, reckless or intentional wrongful misconduct includes, but is not limited to, use of any improper materials or liabilities, damages, losses or costs caused by or on account of the use of any improper materials. CONTRACTOR agrees that negligent, reckless or intentional wrongful misconduct also includes but is not limited to the violation of any Federal, State, County or City laws, by-laws, ordinances or regulations by the CONTRACTOR, his subcontractors, agents, servants or employees. This Agreement shall be considered null and void unless signed by both the CONTRACTOR and the CITY. 11. PUBLIC RECORDS LAWS: CONTRACTOR shall comply with all public records laws in accordance with Chapter 119, Fla. Stat. In accordance with state law, CONTRACTOR agrees to: a) Keep and maintain all records that ordinarily and necessarily would be required by the City. b) Provide the public with access to public records on the same terms and conditions that the City would provide for the records and at a cost that does not exceed the costs I provided in Chapter 119, Fla.
