A Resolution authorizing the City Manager to enter into
an agreement with Granicus, Inc., through a City of
Delray Beach piggyback agreement, RFP #2015-27, to
enable the public to view public meetings.
The City has been utilizing the Granicus webcasting service for public
meetings since February, 20 II. The agreement was amended on
Resolution 126-15-14465, dated August 18, 2015, which upgraded the
Granicus analog server to enable Google Chrome web browser users to
view City Meetings. The City expended $3,500 for the upgrade and, an
additional on-going fee of $100 per month. The amended monthly
service fee is $1 150.00 per month
The amendment also reduced the termination date of the current
agreement by one-year, to February, 2016. The current agreement
executed in February, 20 I I originally terminated February, 2017.
However, this would have resulted in a contract encompassing six (6)
consecutive years; clearly not in compliance with the City Charter's
maximum term for contracts of five (5) consecutive years.
Since the City recently expended funds for the upgrade, it is in our best
interest to continue the relationship with Granicus for the webcasting of
public meetings and not pursue a Request For Proposal that, could result
in a replacement vendor. In addition, maintaining the agreement with
Granicus will ensure the City continues to provide webcasting of public
meetings without any interruption or loss of service during a potential
transition to another provider.
Lastly, the City evaluated multiple options and reviewed numerous
existing government agreements and determined the City of Delray
Beach's effective contract to be the City's best solution. This agreement
will expire June 26, 2018. The monthly service fee will remain at $1,150
which is the same as what the City currently pays monthly, for the
duration of the agreement.

14 webcasting providers through RFP #2015-27 and awarded a contract to Granicus; and
15 WHEREAS, maintaining the agreement with Granicus, Inc., will ensure the City
16 continues to provide webcasting of public meetings without any interruption or loss of
17 service during a potential transition to another provider; and
18 WHEREAS, the City desires to piggyback off of the Delray Beach contract with
19 Granicus, as allowed by the City Charter; and
20 WHEREAS, the expense for this service will be charged to the City Clerk
21 Contractual Account 001-1200-521-3450.
22 NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF
23 . THE CITY OF SOUTH MIAMI, FLORIDA;
24 Section 1. The City Manager is authorized to enter into an agreement with
25 Granicus, Inc., through a City of Delray Beach piggyback agreement RFP#2015-27, for
26 webcasting public meetings and related web hosting services, expiring June 26, 2018. A
27 copy of the Granicus, Inc., agreement is attached.
28 Section 2. Severability. If any section, clause, sentence, or phrase of this
29 resolution is for any reason held invalid or unconstitutional by a court of competent
30 jurisdiction, this holding shall not affect the validity of the remaining portions of this
31 resolution.
32 Section 3. Effective Date: This resolution shall take effect immediately upon
33 enactment.

After looking everything over, we revised your quote according. Since the Miami Beach contract was executed, our quoting changed
from line item pricing to BOM pricing. For your convenience, we created a comparison of the old pricing model (Exhibit A of Miami
Beach Contract) and our new pricing model (your quote). As you will see, the pricing balances to your new quote. Somethings to
note are as follows:
• We matched the WI-FI Modem you are going to use in South Miami to your quote. The new WI-FI modems are the same cost
as the GSM set up so it does not change the overall pricing.
• Although the spreadsheet only highlights the cost of a meter, we included spare canisters in your quote. You will need them for
collection of the new pay stations.
• Miami Beach uses electronic locks. You do not so we will match your key codes for these new meters.

A Resolution authorizing the City Manager to amend the agreement
with Granicus adding the Granicus Analog Server to enable Google
Chrome web browser users to view City meetings on the City's
streaming media archive service.
WHEREAS, the City provides webcasting and archive videos of City public
meetings via Granicus, a webcasting provider of public meetings; and
WHEREAS, on February 3, 2011 the City entered Into a contract with Granicus as
a sole source of supply; and
WHEREAS, at the request of the City, an audit of the City's recording
transmission equipment revealed the encoder that delivers public meetings via the web
will not be compatible with Google Chrome users beginning in September, 2015; and
WHEREAS, according to the Federal Government's Digital Analytics Program,
Google Chrome is the most popular of all internet users; and
WHEREAS, an upgrade of the City's encoder is recommended to provide broad
public access and a seamless user experience when viewing public meetings; and
WHEREAS, Granicus has represented to the Ciiy's purchasing department that
the addition of the MBX Encoder is a modification to the existing proprietary software to
enable Google Chrome web browsers to view public meetings and that any modification
would void any warranty and any modification of the software by a third party is a
violation of Section 2.4 of the licensing agreement.
WHEREAS, the expense for this project, after a budget transfer, will be charged
to the City Clerk Contractual Account 001-1200-521-3450.
NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF
THE CITY OF SOUTH MIAMI, FLORIDA;
Section 1. The City Manager. is authorized amend the Granicus agreement
replacing the Granicus Analog Encoder expending an upfront cost of $3,500, and an
increase of $100 per month, beginning October 1, 2015, enabling web users with a
seamless experience when viewing public meetings. All other terms and conditions of
the Granlcus Service Agreement shall remain the same. A copy of the Granicus Service
Agreement and Amendment is attached.

TIDS AGREEMENT made and entered into this _ day of , 20-,
by and between the City of South Miami, a Florida municipal Corporation by and through its
City Manager (hereinafter referred to as "City") and Granicus, Inc" (hereinafter referred to as
"Contractor").
WITNESSETH:
WHEREAS, the City of Delray Beach solicited bids, pursuant to RFP #2015-27, for
Video Streaming. Paperless Agenda. civic Engagement File Conversion; and
WHEREAS, the City of Delray Beach, after completing a competitive bidding
process, awarded a contract to Contractor, and
WHEREAS, the City of South Miami desires to utilize the City of Delray Beach
Contract and pursuant to authority of the City of South Miami's Charter.
NOW, THEREFORE, the City and the Contractor, each through their authorized
representative/official, agree as follows:
I. The City desires to enter into a Contract, under the same terms and
conditions as set forth in the solicitation and the agreement between City of Delray Beach
and Contractor, pursuant RFP #2015-27.
2. The City has reviewed the contract and agrees to the terms and conditions and
further agrees to the fair and reasonableness of the pricing. Contractor hereby agrees to
provide such services under the same price( s), terms and conditions as found in the
solicitation documents and the response to the solicitation, pertinent copies of which are
attached hereto as Exhibit A and made a part hereof by reference, and the agreement and/or
the award between City of Delray Beach and Contractor., pursuant RFP #2015-27, a copy of
which, including any amendments and addendums thereto, is attached hereto and made a part
hereof by reference.
3. All references in the contract between City of Delray Beach and Contractor,
shall be assumed to pertain to, and are binding upon Contractor and the City of South Miami.
All decisions that are to be made on behalf of the City, as set forth in the City of Delray
Beach's RFP #2015-27 and its agreement with Contractor, shall be made by the City
Manager for the City of South Miami. The term of the contract, including all extensions
authorized by the contract shall not exceed five years. Notwithstanding anything contained
in the RFP #2015-27 or the City of Delray Beach contract to the contrary, this agreement
shall be governed by the laws of the State of Florida and venue for all dispute resolutions or
litigation shall be in Miami-Dade County, Florida.
4. Public Records: Contractor and all of its subcontractors are required to
comply with the public records law (s.119.0701) while providing goods and/or Services on
behalf of the CITY and the Contractor, under such conditions, shall incorporate this

paragraph in all of its subcontracts for this Project.
s. Waiver Jury Trial: City and Contractor Imowingly, irrevocably voluntarily
and intentionally waive any right either may have to a trial by jury in State or Federal Court
proceedings in respect to any action, proceeding, lawsuit or counterclaim arising out of the
Contract Documents or the performance of the Work thereunder.
6. Validity of Executed Copies: This agreement may be executed in several
counterparts, each of which may be construed as an original.
7. Governing Laws and Venue: This Agreement and the performance of
services hereunder will be governed by the laws of the State of Florida, with exclusive venue
for the resolution of any dispute being a court of competent jurisdiction in Miami-Dade
County, Florida.
8. Attorneys' Fees and Costs: In the event of any litigation between the parties
arising out of or relating in any way to this Agreement or a breach thereof, each party shall
bear its own costs and legal fees. Nothing contained herein shall prevent or prohibit the right
to be indemnified for any attorney fees incurred in the defense of an action by a person or
entity who is not a party to this Agreement.
9. Severability: If any term or provision of this Agreement or the application
thereof to any person or circumstance shall, to any extent, be invalid or unenforceable, the
remainder of this Agreement, or the application of such term or provision to persons or
circumstances other than those to which it is held invalid or unenforceable, shall not be
affected thereby and each term and provision of this Agreement shall be valid and
enforceable to the fullest extent permitted by law.

representatives of the parties hereto have caused this instrument to be signed in their respective
names by their proper officials and to be attested by their respective Clerks the day and year first

7. The CONTRACTOR shall not, without prior written consent of the CITY, assign
any portion of its interest under this contract and, specifically, the CONTRACTOR shall not
assign any moneys due or to become due without the prior written consent of the CITY.
8. The CITY and the CONTRACTOR each binds himself, his partners, successors,
assigns and legal representatives to the other party hereto in respect to all covenants,
agreements and obligations contained in the contract documents.
9. In consideration of ten dollars ($10.00) and other valuable consideration, the
CONTRACTOR shall defend, indemnify and save harmless the CITY, its officers, agents and

employees, from or on account of any liabilities, damages, losses and costs received or
sustained by any person or persons by or in consequence of any negligence (excluding the
( soJe negligence of the CITY), recklessness or intentional wrongful misconduct of the
CONTRACTOR and any persons employed or utilized by the CONTRACTOR in the
performance of this Project. CONTRACTOR agrees that negligent, reckless or intentional
wrongful misconduct includes, but is not limited to, use of any improper materials or liabilities,
damages, losses or costs caused by or on account of the use of any improper materials.
CONTRACTOR agrees that negligent, reckless or intentional wrongful misconduct also
includes but is not limited to the violation of any Federal, State, County or City laws, by-laws,
ordinances or regulations by the CONTRACTOR, his subcontractors, agents, servants or
employees. CONTRACTOR further agrees to defend, indemnify and save harmless the CITY
from all such claims and fees, and from any and all suits and actions of every name and
description that may be brought against the CITY on account of any claims, fees, royalties, or
f costs for any invention or patent, and from any and all suits and actions that may be brought ,

against the CITY for the infringement of any and all patents or patent rights claimed by any
person, firm, or corporation.
The indemnification provided above shall obligate the CONTRACTOR to defend at his
own expense or to provide for such defense, at the CITY'S option, any and all claims or liability
and all suits and actions of every name and description that may be brought against the CITY
which may result from the operations and activities under this Contract whether the
construction operations be performed by the CONTRACTOR, his subcontractor or by anyone
directly or indirectly employed by either. This indemnification includes all costs and fees
including attorney's fees and costs at trial and appellate levels.

The CITY will pay to the CONTRACTOR the specific consideration of ten dollars and

( provided herein. Furthermore, the CONTRACTOR acknowledges that the bid price includes
said consideration for the indemnification provision.
10. This Agreement shall be considered null and void unless signed by both the
CONTRACTOR and the CITY.
11. PUBLIC RECORDS LAWS: CONTRACTOR shall comply with all public records
laws in accordance with Chapter 119, Fla. Stat. In accordance with state law, CONTRACTOR
agrees to:
a) Keep and maintain all records that ordinarily and necessarily would be required by
the City.
b) Provide the public with access to public records on the same terms and conditions
that the City would provide for the records and at a cost that does not exceed the costs
I provided in Chapter 119, Fla. Stat. or as otherwise provided by law.

c) Ensure that public records that are exempt or confidential and exempt from public
records disclosure are not disclosed except as authorized by law.
d) Meet all requirements for retaining public records and transfer, at no cost, to the City
all records in possession of the CONTRACTOR at the termination of the contract and destroy
any public records that are exempt or confidential and exempt from public records disclosure
requirements. All records stored electronically must be provided to the City in a format that is
compatible with the information technology systems of the City. All records shall be
transferred to the City prior to final payment t being made to the CONTRACTOR.
e) If CONTRACTOR does not comply with this section, the City shall enforce the
contract provisions in accordance with the contract and may unilaterally cancel this contract in
accordance with state law.

12. INSPECTOR GENERAL: Contractor is aware that the Inspector General of
Palm Beach County has the authority to investigate and audit matters relating to the
negotiation and performance ofthis contract, and may demand and obtain records and
testimony from Contractor and its subcontractors and lower tier subcontractors. Contractor
understands and agrees that in addition to all other remedies and consequences provided by
law, the failure of Contractor or its subcontractors or lower tier subcontractors to fully
cooperate with the Inspector General when requested maybe deemed by the City to be a
material breach of this Agreement justifying its termination.
13. FORCE MAJEURE: No party shall be obligated to perform any duty, requirement or
obligation under this Agreement if such performance is prevented by fire, hurricane,
,earthquake, explosion, wars, sabotage, accident, flood, acts of God, strikes, or other labor
disputes, riot or civil commotions, or by reason of any other matter or condition beyond the
I control of any party, and which cannot be overcome by reasonable diligence and without , ,
unusual expense ("Force Majeure"). In no event shall a lack of funds on the part of any party·
be deemed Force Majeure.
14. The contract documents constitute the entire agreement between the CITY and
the CONTRACTOR and may only be altered, amended or repealed by a duly executed written
instrument.
