The City's Procurement Division process all City mail for disposition by the U.S. Post Office. The division currently utilizes an analog postage meter to ensure the appropriate postage is applied to each piece of mail. The process to assure postage is applied to each piece of mail is labor intensive and time consuming since the current meter, which is approaching the end of its 5-year lease, is older technology with minimal features. The proposed meter is a "state of the art" technology that enables the processing of mixed size and able to weigh mail without the need to sort by category. An automatic mail feeder is standard equipment that securely seals each piece of mail quickly with a hands free batch processing approach. The scale is integrated to ensure the City is paying the correct postage each time which will eliminate potential delays in the delivery of critical mail and, additional postage costs. The lease for the current meter, also with the same vendor, expires in April, 2016. However the current lease will cancel, without penalty, and the new lease will commence upon delivery and installation of the new equipment. The new lease payment is $242.00 per month, for sixty months. Pricing includes installation, training and on-going maintenance. Pricing is in accordance with the State of Florida Contract No. 600- 760-11-1, "Mail Processing Equipment." The new lease payment represents an increase of $118.00 per month over the current lease payment of $124.00 per month. The features and options equipped on the new meter will enable the Procurement Division to process mail efficiently with minimal labor. Waiver Jury Trial: City and Contractor knowingly, irrevocably voluntarily and intentionally waive any right either may have to a trial by jury in State or Federal Court proceedings in respect to any action, proceeding, lawsuit or counterclaim arising out of the Contract Documents or the performance of the Work thereunder. 7. Validity of Executed Copies: This agreement may be executed in several counterparts, each of which may be construed as an original. 8. Governing Laws and Venue: This Agreement and the performance of services hereunder will be governed by the laws of the State of Florida. with exclusive venue for the resolution of any dispute being a court of competent jurisdiction in Miami-Dade County, Florida. 9. Attorneys' Fees and Costs: In the event of any litigation between the parties arising out of or relating in any way to this Agreement or a breach thereof, each party shall bear its own costs and legal fees. Nothing contained herein shall prevent or prohibit the right to be indemnified for any attorney fees incurred in the defense of an action by a person or entity who is not a party to this Agreement. to.
