A Resolution pursuant to Ordinance No.23-11-2096,authorizing the City Manager
to enter into an agreement with Bicycle Action Committee,Inc,a not for profit
coporation,to use the City of South Miami's logoon bicycle clothing to be sold on
a not for-profit basis and to pay a portion of the net proceed to the City.
WHEREAS,BicycleAction Committee,Inc.(BAC)isa nonprofit corporation and a certified
501 (c)(3)charitable organization;
WHEREAS,BAC sellsbicycle clothing including jersey and shorts ("kits")to promote bicycling
asa healthy activity;and
WHEREAS,the City desires to engage the contractor to perform the services as specifically
described herein without insurance and the contractor desires to provide the services;and
WHEREAS,BAC has represented its intention to pay the City for the use of the City's logo
and to donate all surplus from the sale of the clothing to a charity.
NOW,THEREFORE,BEIT RESOLVED BY THE MAYOR AND CITY COMMISSION OFTHE CITY
OF SOUTH MIAMI,FLORIDA,THAT:
Section 1.The Mayor and City Commission hereby authorizes the City Manager to enter
into a licensing agreement with Bicycle Action Committee,Inc.for the use of the City's logo,in
according to Ordinance No.23-11-2096 adopted August 16,2011,and in accordance with the intent
set forth in the above recitals for a period of two years.
Section 2.Severability.If any section,clause,sentence,or phrase of this resolution is for
any reason held invalid or unconstitutional bya court of competent jurisdiction,this holding shall
not affect the validity of the remaining portions of this resolution.
Section 3.Effective Date:This resolution shall take effect immediately upon enactment.

AGREEMENT FOR USE OF CITY NAME AND LOGO
THIS AGREEMENT,madeandenteredintoonthis JW day of July,2015,byand
betweentheCity of SouthMiami,Miami-Dade County,Florida,party ofthefirstpart (hereinafter

RECITALS:
WHEREAS,the CITY desires to engage the Contractor to perform certain servicesas
specifically described hereinandthe Contractor desires toprovidesuchservicesfortheCity of
South Miami.
NOW THEREFORE,in consideration ofthe mutual covenants set forthin this
Agreement,thepartiesagreeasfollows:
1.Scope of ServicesThe following outlines the arrangement betweenthe
CITY andthe Contractor for fund-raising forthebicycle initiatives:
•The CITY willallowthenon-exclusiveuse of the CITY nameandlogoto
beusedon jersey andshorts("kits")tobemanufacturedlocallyby
VeLOtt ("Mfg").
•Allproceedsraisedinexcess of theamountneededtoproducethekitswill
be paid tothe CITY andtothe Contractor in equal shares.
•Contractor shallprovide CITY withamonthly detailed list of monies raised from the
sale of thejerseysaswellasadetailedlist of all of thedisbursementsinvolvedinthe
matter.
•Contractor iscertifiedasa 501(c)(3)organization underthe internal revenueservice
codeandBicycleActionCommittee shall bethe fiscal agentforthese sales.Acopy of
theIRScertification of 501(c)(3)status is attached.
•Contractor shall donate all of itsnet income from the sale ofthekitstoa charity agreed
uponinwritingbyContractorandtheCity Manager.
•Contractor anticipatesraisingsufficientfundssothatapproximately $1,000 willbe
paidtotheCity of SouthMiamifromsales.
•CONTRCTOR shallhavethe limited,non-exclusive right touse ofthe CITY's name
andlogofor imprinting onthekits solely during theterm ofthis agreement.
2.Compensation .There areno fees orcoststobepaidbythe CITY tothe Contractor for
the specified services.Contractor shall pay all income asset forth above.All proceeds duetothe
CITY shall be delivered tothe Finance Director for CITYatCity Hall inSouth Miami,Florida.
3.TermTheterm ofthis Agreement shall commence onthe date of this Agreement and
continueforaperiod oftwoyearscommencingonthedatefirstabovewritten.
4.Assignment ThisAgreement shall notbe assignable bythe Contractor.
5.Prohibition Against Contingent Fees The Contractor,warrantsthathehas not
employedor retained anycompanyor person,other thanabonafideemployeeworkingsolely for
theContractor,to solicit or secure this Agreement,andthathehasnotpaidoragreedtopayany
person(s),company,corporation,individualorfirm,otherthanabonafide employee working
solelyfortheContractoranyfee,commission,percentage,gift,oranyotherconsideration,
continentuponorresultingfromtheawardormaking of this Agreement unlessapprovedbythe
Manager of the CITY.
6.Termination This Agreement maybeterminated by either partyupon30days written
noticewithor without cause.If this Agreement isterminated,theContractorshall immediately
ceaseusingthe CITY nameandlogo,shall providewrittennoticetohisvendorsor
subcontractors thatthe CITY nameandlogomaynolongerbeusedandshall,contemporaneously
provide CITY with a copy of thenotice.
7.Nonexclusive Agreement Theservicestobe provided bytheContractorpursuantto
thisAgreementshallbe nonexclusive andnothinghereinshallprecludethe CITY engagingother
personsorfirmstoperformthesameorsimilarservicesforthe benefit of the CITY withinthe
CITYS sole and absolute discretion.
8.Entire Agreement This agreement,togetherwithallpertinentdocumentationshall
constitutetheentireagreementwhichmayonlybe amended,modifiedorextendeduponwritten
agreement between theparties.
9.Warranties Of Contractor Contractor andanycompaniesworkingwithhimassub
contractors,hereby warrants and represents that atalltimes during theterm of thisAgreementhe
shall maintain ingood standing all required licenses,certifications and permits required under
Federal,Stateand local laws necessary to perform thespecified services.
10.Notices:Anynotice,demand,offerorotherwritteninstrument required or
permitted tobe given,madeorsent (hereinafter referred toas "Notice")shall bein writing,
signed bythe party giving or making it and shall besentby facsimile transmission,e-mail,courier,
Federal Express,andanyother means that provides forproofof delivery.TheNotice shall be
senttothe facsimile telephone number,e-mail address,street address orpost office box as set
forth herein below and hereinafter referred to as a "Party's Address"for the purposes of this
paragraph.Refusal to accept delivery or failure to pick-up a Notice within ten (10)after the first
notification bythe delivery service is sent ("First Notification"),shall be construed as receipt of
same.Any Notice given orsenttothe estate of any deceased person shall be signed and sent in
a like manner,addressed tothe personal representative ofthe deceased person atthe personal
representative's address,or,ifthereisno personal representative ofthe estate,thenit shall be
sent to the decedent Party's Address.The parties shall have the right to change the place to
which the Notice shall besentto them by giving Notice as required for all other Notices and
sentto all ofthe parties to this Agreement The date of delivery ofthe Notice,the date of
refusal to accept delivery orthe date following 10 days from the date of First Notification shall
be deemed to be the date of the offer,demand,notice or other writing for the purpose of
enforcingthisagreementandit shall beeffectivefromthatdate.

Allnotices shall bedeemedtobe delivered uponreceiptor refusal ofreceipt..It isthe
obligation of eachparty who changesits address to keep all other partiestothisagreement
apprisedofeachchange of address.Noparty shall berequired to sendanoticetoanaddress
for which mail has been returned undeliverable.All notices and other communications under
this Agreement shall beinwriting.Allwrittennoticesandcommunications shall besentby
registeredorcertified mail,postage prepaid,returnreceiptrequested,or byreputableovernight
courier,freight prepaid,deliveredbyhandorbyelectronicmeans (including e-mail or facsimile
transmission)providedthatthemeansof delivery ineverycasemust include writtenorprinted
evidence of thedeliveryinorderforthe delivery tobe valid forthepurposeof enforcing this
agreement.
11.LicensesandCertifications:Contractor shallsecureallnecessarybusinessand
professional licenses atitssoleexpense prior to executing theAgreementor commencing the
Work.
12.Taxes:Contractorshallbe responsible forallpayments of federal,state,and/orlocal
taxesrelatedtotheOperations,inclusive of salestax if applicable.
13.Independent Contractor;Contractor isanindependententityunderthisAgreementand
nothing herein shall be construed to create a partnership,joint venture,or agency relationship
between theparties.
14.Entire Agreement.Modification.And Binding Effect:ThisAgreement constitutes the
entire agreement of the parties,incorporates all the understandings of the parties and supersedes
any prior agreements,understandings,representation or negotiation,written or oral.This
Agreement maynotbemodifiedor amended except in writing,signed by both parties hereto.
This Agreement shall be binding upon and inure tothe benefit of theCity and Contractor and to
their respective heirs,successors and assigns.No modification or amendment of any terms or
provisions of this agreement shall be valid or binding unless it complies with this paragraph.This
agreement,in general,and this paragraph,in particular,shall notbe modified or amended by acts
oromissions oftheparties.
15.Non-Waiver:City and Contractor agree that no failure to exercise and no delay in
exercising any right,power or privilege under this Agreement on the part of either party shall
operate asawaiver of any right,power,or privilege under this Agreement.Nowaiver of this
Agreement,in whole or part,including the provisions of this paragraph,maybe implied byany
act or omission and willonlybe valid and enforceable if in writing and duly executed by each of
the parties to this agreement.Any waiver of any term,condition or provision of this Agreement
will not constitute a waiver of any other term,condition or provision hereof,nor willa waiver of
any breach of any term,condition or provision constitute a waiver of any subsequent or
succeeding breach.The failure to enforce this agreement astoany particular breach or default
shall not act asa waiver of any subsequent breach or default..No delay or omission to exercise
any right or power accruing uponany default shall impair anysuch right or power or shall be
construed tobea waiver thereof,butany such right and power maybe exercised from timeto
timeasoftenasmaybedeemed expedient.
16.Rules of Interpretation:Throughout thisagreementthemalepronounmaybe
substitutedforfemaleandneuterandthe singular wordssubstitutedfor plural and plural words
substitutedforsingularwherever applicable.The parties tothis agreement havehadan
opportunity toseek legal counsel andto draft this agreement ina manner toavoidany ambiguity.
TTie parties alsoacknowledgethatalltermsofthisAgreementwere negotiated atarm'slength
andthatthis Agreement andalldocumentsexecutedinconnectionherewithwere prepared and
executedwithoutundueinfluenceexertedbyanypartyoronanyparty.Further,thisAgreement
was drafted jointlybyall parties,andno party isentitledtothebenefit of anyrules of
constructionwithrespecttothe interpretation of anyterms,conditionsorprovisions of this
Agreement infavor of oragainstanypersonorpartywhodraftedthis Agreement.
17.Cumulative Remedies:Thedutiesand obligations imposed bythecontract
documents,if any,andtherightsandremediesavailablehereunder,and,in particular butwithout
limitation,the warranties,guarantees and obligations imposedupon Contractor bytheContract
Documentsandtherightsandremedies available totheCityhereunder,shallbeinadditionto,
andshallnotbeconstruedinanywayasalimitationof,anyrightsandremediesavailableatlaw
orinequity,byspecial guarantee orbyother provisions of theContractDocuments.Inorderto
entitleanypartyto exercise any remedy reservedtoitinthis Agreement,or existing inlaworin
equity,itshallnotbenecessarytogivenotice,otherthansuchnoticeas maybe herein expressly
required.Noremedyconferreduponorreservedtoanypartyhereto,orexistingatlaworin
equity,shallbe exclusive of anyotheravailable remedy or remedies,buteachand every such
remedyshallbe cumulative andshallbeinadditiontoeveryother remedy givenunderthis
Agreementorhereafter existing atlaworinequityorbystatute
18.WaiverJuryTrial:Cityand Contractor knowingly,irrevocablyvoluntarilyand
intentionallywaiveanyrighteithermayhavetoatrialbyjuryinStateor Federal Court
proceedings inrespecttoanyaction,proceeding,lawsuitor counterclaim arising out of the
ContractDocumentsortheperformance of theWorkthereunder.
19.Indemnification:The Contractor acceptsandvoluntarilyincursallrisks of any
injuries,damages,orharmwhichmight arise during theworkoreventthatis occurring onthe
CITY's propertyduetothenegligenceorother fault of theContractororanyoneactingthroughor
onbehalf of the Contractor.The Contractor shall indemnify,defend,saveandhold CITY,its
officers,affiliates,employees,successors and assigns,harmless from any and all damages,
claims,liability,losses,claims,demands,suits,fines,judgmentsorcostand expenses,including
reasonable attorney'sfees,paralegal feesandinvestigativecostsincidentaltheretoand incurred
prior to,during or following any litigation,mediation,arbitration andatall appellate levels,
whichmaybesufferedby,or accrued against,charged toor recoverable from theCity of South
Miami,its officers,affiliates,employees,successors and assigns,by reason of any causes of
actions orclaim of anykindor nature,including claims for injuryto,or death of any person or
persons and for thelossor damage toany property arising out of a negligent error,omission,
misconduct,oranygrossnegligence,intentional actorharmfulconduct of the Contractor,its
contractor/subcontractor orany of their officers,directors,agents,representatives,employees,or
assigns,or anyone acting through oron behalf of any of them,arising out of this Agreement,
incident toit,or resulting from the performance or non-performance of the Contractor's
obligations under this AGREEMENT.The Contractor shall pay all claims,losses and expenses
of any kind or nature whatsoever,in connection therewith,including the expense or loss ofthe
CITY and/or its affected officers,affiliates,employees,successors and assigns,including their
attorney's fees,inthe defense of any action in law or equity brought against them and arising
from the negligent error,omission,or act of the Contractor,its Sub-Contractor orany of their
agents,representatives,employees,or assigns,and/or arising outof,or incident to,this
Agreement,or incident toor resulting fromthe performance or non-performance of the
Contractor's obligations under this AGREEMENT.The Contractor agrees and recognizes that
neither theCITYnorits officers,affiliates,employees,successors and assigns shallbeheldliable
or responsible forany claims,including thecostsand expenses of defending such claims which
may result fromor arise out of actions or omissions of the Contractor,its contractor/subcontractor
orany of their agents,representatives,employees,or assigns,or anyone acting through oron
behalf of thethem,andarisingout of orconcerningtheworkoreventthatisoccurringonthe
CITY'sproperty.In reviewing,approving orrejectingany submissions oracts of the Contractor,
CITYinnoway assumes orsharesresponsibilityorliabilityfortheactsoromissions of the
Contractor,itscontractor/subcontractororany of theiragents,representatives,employees,or
assigns,oranyoneactingthroughoronbehalf of them.TheContractorhasthedutytoprovidea
defensewithanattorneyorlawfirmapprovedbytheCity of South Miami,whichapprovalwill
notbe unreasonably withheld.
20.Severability:IfanytermorprovisionofthisAgreementortheapplicationthereofto
anypersonor circumstance shall,toanyextent,be illegal,invalid,againstpublicpolicyor
otherwiseunenforceable,theremainderofthis Agreement,orthe application ofsuchtermor
provision to persons or circumstances otherthanthosetowhichitisheldinvalidor
unenforceable,shallnotbeaffected thereby and eachtermand provision ofthis Agreement shall
bevalidandenforceabletothefullestextentpermittedbylaw.
21.Governing*LawsandVenue:ThisAgreementandtheperformance of services
hereunderwillbegovernedbythelaws of theState of Florida,withexclusivevenueforthe
resolution of anydisputebeingacourt of competentjurisdictioninMiami-DadeCounty,Florida.
