Res No 133-15-14472RESOLUTION NO.:133-15-14472 A Resolution authorizing the City Manager to negotiate and enter into a contract with Maggolc,Inc.for the construction ofthe SW 42nd Street Roadway Improvements WHEREAS,the Mayor and City Commission wish to provide roadway improvements to SW 42nd Street,from SW 65th Avenue to 6451 SW 42nd Street,and WHEREAS,pursuant to a competitive selection process in accordance with the City Charter,it was determined that Maggolc,Inc.submitted a quote in the amount of $18,905 that was the most comprehensive and cost effective inits construction approach;and WHEREAS,the City desires to provide a contingency of $2,800 over the quote amount for unknown factors that may arise during the work;and WHEREAS,the total expenditure,including the contingency amount,is not to exceed $21,705; and WHEREAS,the Mayor and City Commission desire to authorize the City Manager to negotiate and enter into a contract with Maggolc,Inc.forthe construction ofthe SW 42nd Street Roadway Improvements for a total amount not to exceed $21,705 NOW,THEREFORE,BEIT RESOLVED BYTHE MAYOR AND CITY COMMISSION OFTHECITYOF SOUTH MIAMI,FLORIDA THAT: Section 1:TheCity Manager is authorized to negotiate the price,terms and conditions and to execute a contract with Maggolc,Inc.for SW 42nd Street Roadway Improvements foran amount notto exceed$18,905,andheisauthorizedtoexpendupto$2,800for unforeseen conditions.Acopyofthe approved form of contract is attached and the City Manager may negotiate a lower priceand more advantageous terms and conditions if approved by the CityAttorney. Section 2:The expenditure shallbe charged $21,705 to the People's Transportation PlanTax Fund account number 124-1730-541-6490,whichhasabalanceof$1,570,313,before this request was made. (b)Hiredand Non-Owned Vehicles (c)Employers'Non-Ownership 1.07 SUBCONTRACTS:The FIRM agrees thatifanypartofthe Work undertheContractis sublet,the subcontract shall containthesame insurance provision assetforthinsection 5;I aboveand5.4belowand substituting theword Subcontractor fortheword FIRM and substituting theword FIRM forCITYwhere applicable. 1.08 Fire andExtended Coverage Insurance (Builders'Risk).IF APPLICABLE: A.In the event that this contract involves the construction ofa structure,the CONTRACTOR shall maintain,withan Insurance Companyor Insurance Companies acceptable totheCITY,"Broad"form/All Risk Insurance on buildings and structures,including Vandalism &Malicious Mischief coverage,whileinthe courseof construction,including foundations,additions,attachments and all permanent fixtures belonging toandconstitutingapartof said buildings orstructures.The policy or policies shall alsocover machinery,ifthecostof machinery is included inthe Contract,orifthe machinery is located in a building thatisbeingrenovatedbyreasonofthis contract The amount ofinsurancemust,at all times,beatleast equal tothereplacementand actual cash valueoftheinsuredproperty.Thepolicy shall beinthenameof theCITYandthe CONTRACTOR,astheirinterestmay appear,and shall also covertheinterestsof all Subcontractors performing Work. B.Allofthe provisions setforthin Section 5.4hereinbelow shall apply tothiscoverageunlessitwouldbe clearly not applicable. 1.09 Miscellaneous: A.Ifanynoticeof cancellation of insurance or change in coverage is issued bythe insurance companyor shouldany insurance haveanexpirationdatethat will occurduringtheperiodofthiscontract,the FIRM shall beresponsibleforsecuring other acceptable insurance prior to such cancellation,change,or expiration soas to provide continuous coverage asspecifiedinthissectionandsoastomaintain coverage during the life of this Contract B.Alldeductiblesmustbedeclaredbythe FIRM andmustbeapprovedbytheCITY.At theoptionofthe CITY,eitherthe FIRM shall eliminateorreducesuchdeductibleorthe FIRM shall procureaBond,ina formsatisfactoryto the CITYcoveringthesame. C.Thepolicies shall containwaiverofsubrogation against CITY where applicable,shall expresslyprovide thatsuchpolicyor policies are primary overanyothercollectible insurance thatCITYmayhave.The CITYreservestherightatanytimetorequestacopyof the required policies forreview.All policies shall containa"severabilityofinterest"or"cross liability"clause without obligation forpremium paymentof the CITYaswellascontractual liability provisioncoveringthe Contractors dutytoindemnify theCityasprovidedinthis Agreement. D.Before starting the Work,the FIRM shall deliver to the CITY and CONSULTANT certificates of such insurance,acceptable to the CITY,aswellas the insurancebinder,if one is issued,the insurancepolicy, including the declarationpageand all applicable endorsements andprovide the name,addressand telephone numberof the insuranceagentor broker through whom the policywasobtained.Theinsurer shall beratedA.VIIor better perA.M.Best'sKey Rating Guide,latesteditionandauthorized to issue insurancein the State of Florida.Allinsurancepolicies must be written onformsapprovedby the State ofFloridaand they must remainin full forceand effect for the durationof the contract periodwith the CITY.The FIRM mayberequiredbytheCITY,atitssolediscretion,toprovidea"certifiedcopy"ofthe Policy (asdefinedinArticle I ofthisdocument)which shall includethedeclaration page and all required endorsements.Inaddition,the FIRM shalldeliver,at the time ofdeliveryof the insurance certificate,the following endorsements: (1)apolicyprovisionoran endorsement withsubstantiallysimilarprovisionsasfollows: "The City of South Miami isanadditionalinsured.Theinsurer shall pay all sums that the City of South Miami becomes legally obligatedtopayasdamagesbecauseof'bodily injury",'property damage',or"personalandadvertisinginjury"anditwillprovidetotheCity all ofthecoverage that istypicallyprovided under thestandard Florida approvedformsforcommercialgeneral liability coverage Aand coverage B"; (2)apolicyprovisionoran endorsement withsubstantiallysimilarprovisionsasfollows: "Thispolicyshall not becancelled(includingcancellationfor non-payment of premium), terminated ormateriallymodified without firstgivingtheCityofSouth Miami ten (10)days advanced written notice of the intent to materiallymodify the policyortocancelor terminate the policyforanyreason.The notification shall bedelivered to the Citybycertifiedmail,with proofofdeliveryto the City." E.If the FIRM isprovidingprofessionalservices,suchas would beprovidedbyanarchitect,engineer, attorney,or accountant,to nameafew,then insuch event andinaddition to the above requirements, the FIRM shallalso provide Professional Liability Insuranceona Florida approved formin the amount of $1,000,000 with deductible perclaimifany,not to exceed 5%of the limit of liability providingfor all sumswhich the FIRM shall become legally obligatedtopayasdamagesforclaimsarising out of the servicesor work performed bythe FIRM itsagents,representatives,Sub Contractors or assigns,orby anyperson employed orretainedbyhimin connection withthis Agreement.Thisinsuranceshallbe maintained forfouryearsaftercompletionoftheconstructionandacceptanceofanyProjectcoveredby this Agreement However,the FIRM maypurchaseSpecificProject Professional Liability Insurance,inthe amountandunderthe terms specifiedabove,whichisalsoacceptable.Noinsurance shall beissuedbya surpluslinescarrierunlessauthorizedinwritingbythecityat the city'ssole,absoluteand unfettered discretion. Indemnification Requirement A.TheContractoraccepts and voluntarily incurs all risksofany injuries,damages,or harm whichmight ariseduringthe work oreventthatisoccurringontheCITY'spropertyduetothe negligence or other fault ofthe Contractor oranyoneactingthroughoronbehalfoftheContractor. This section shall be designated and known asthe "City of South Miami Conflict ofInterestandCodeof Ethics Ordinance."This section shall be applicable to all city personnel as defined below,and shall also constitute a standard of ethical conduct and behavior for all autonomous personnel,quasi-judicial personnel,advisory personnel and departmental personnel.The provisions of this section shall be applied in a cumulative manner.By way of example,andnotasa limitation,subsections (c)and (d)may be applied tothesamecontractor transaction. (b)Definitions.Forthe purposes ofthis section the following definitions shall be effective: (1)Theterm "commission members"shall refertothe mayor and the members ofthe city commission. (2)The term "autonomous personnel"shall refer tothe members of autonomous authorities,boards and agencies, such asthe city community redevelopment agency and the health facilities authority. (3)Theterm "quasi-judicial personnel"shall refer tothe members ofthe planning board,the environmental review and preservation board,thecode enforcement boardandsuch other individuals,boardsand agencies ofthecityasperform quasi-judicial functions. (4)Theterm "advisory personnel"shall refertothe members ofthose city advisory boards and agencies whose soleor primary responsibility isto recommend legislation or give advice tothe city commission. (5)Theterm "departmental personnel"shall refer tothe city clerk,the city manager,department heads,the city attorney,and all assistants tothecityclerk,city manager andcityattorney,howevertitled. (6)Theterm "employees"shall referto all other personnel employed bythe city. (7)Theterm "compensation"shall referto any money,gift,favor,thingof value or financial benefit conferred,or to be conferred,in return for services rendered or to be rendered. (8)Theterm "controlling financial interest"shall referto ownership,directly or indirectly,often percentormore ofthe outstanding capital stock in any corporation oradirector indirect interest often percentormoreina firm, partnership,orother business entityatthetimeof transacting business with the city. (c)Prohibitionontransactingbusinesswiththe city. Noperson included intheterms defined in paragraphs (b)(1)through(6)andin paragraph (b)(9)shall enter into any contract or transact anybusinessinwhichthatpersonoramemberoftheimmediate family hasa financial interest,directorindirectwiththecityoranypersonoragencyactingforthecity,andanysuchcontract, agreement or business engagement entered inviolationofthis subsection shall render the transaction voidable. Willful violation of this subsection shall constitute malfeasance in office and shall affect forfeiture of office or position.Nothinginthissubsection shall prohibit or make illegal: (1)Thepaymentoftaxes,special assessmentsorfeesforservicesprovidedbythecitygovernment; (2)Thepurchaseofbonds,anticipation notesor other securitiesthatmaybeissuedbythecitythrough underwriters or directlyfromtimetotime. Waiver of prohibition.Therequirementsofthissubsectionmaybe waived foraparticulartransactiononlybyfour affirmative votesofthecitycommissionafter public hearingupon finding that: (1)Anopen-to-allsealedcompetitiveproposalhasbeensubmittedbyacitypersonasdefinedin paragraphs (b)(2), (3)and(4); (2)Theproposalhasbeensubmittedbyaperson or firm offering serviceswithinthescopeofthepracticeof architecture,professional engineering,orregisteredland surveying,asdefinedbythelawsofthestateand pursuantto the provisionsoftheConsultants'CompetitiveNegotiationAct,andwhentheproposalhasbeen submittedbyacitypersondefinedinparagraphs(b)(2),(3)and(4); (3)The property or servicestobeinvolvedinthe proposed transaction areuniqueandthecity cannot avail itself ofsuch property or services without entering atransactionwhichwouldviolatethissubsectionbutforwaiverof its requirements;and (4)Thatthe proposed transaction will beinthebest interest ofthecity. This subsection shallbeapplicableonlyto prospective transactions,andthecitycommissionmayinnocaseratifya transaction entered in violation of this subsection. Provisions cumulative.This subsection shallbetaken to becumulativeandshall not be construed to amend or repeal any other law pertaining to the same subject matter. 25 (d)Further prohibition on transacting businesswiththecity. No person included intheterms defined in paragraphs (b)(1)through(6)andin paragraph (b)(9)shall enter into any contractortransact any business through a firm,corporation,partnership or business entity in which that personoranymemberofthe immediate family hasa controlling financial interest,director indirect,withthecity oranypersonor agency acting forthe city,andany such contract,agreementor business engagement entered in violationofthissubsectionshallrenderthetransaction voidable.The remaining provisionsofsubsection(c)will alsobe applicable tothissubsectionasthough incorporated byrecitation. Additionally,nopersonincludedinthetermdefinedinparagraph (b)(1)shall voteon or participateinanywayin anymatterpresentedtothecity commission ifthatpersonhasanyofthe following relationships withanyofthe personsorentitieswhichwouldbeormightbedirectlyor indirectly affected byanyactionofthecitycommission: (I)Officer,director,partner,ofcounsel,consultant,employee,fiduciary or beneficiary;or (2)Stockholder,bondholder,debtor,orcreditor,ifinanyinstancethetransaction or matter wouldaffect the person defined in paragraph (b)(1)inamannerdistinctfromthemannerin which itwouldaffectthe public generally.Anyperson included intheterm defined in paragraph (b)(I)whohasanyofthe specified relationships orwhowouldor might,directlyor indirectly,realizeaprofitbytheactionofthecitycommissionshallnotvoteon or participate inanywayin the matter. (E)Gifts. (I)Defmition.The term "gift"shallrefertothe transfer ofanythingofeconomicvalue,whether intheformof money,service,loan,travel,entertainment,hospitality,item or promise,or inany other form,without adequate andlawful consideration. (l)Exceptions.Theprovisionsofparagraph(e)(I)shall not applyto: a.Political contributions specifically authorized by state law; b.Giftsfromrelatives or members ofone'shousehold,unlessthe person isaconduitonbehalfofathirdparty to the deliveryofagiftthatis prohibited underparagraph(3); c.Awardsforprofessional or civic achievement; d.Materialsuchasbooks,reports,periodicals or pamphletswhicharesolelyinformational or ofanadvertising nature. (3)Prohibitions.Apersondescribedinparagraphs (b)(1)through(6)shallneithersolicit nor demandanygift.Itis also unlawful foranyperson or entitytooffer,giveoragreetogivetoanypersonincludedinthe terms definedin paragraphs (b)(1)through(6),or foranypersonincludedinthe terms definedinparagraphs (b)(1)through(6)to accept or agree to acceptfrom another person or entity,anygiftfor or becauseof: a.An official public actiontaken,ortobetaken,or which couldbetaken,oranomissionor failure totakea public action; b.A legal dutyperformedortobeperformed,or which couldbeperformed,oranomissionor failure toperform alegalduty; c.A legal dutyviolatedortobeviolated,orwhichcouldbeviolatedbyanypersonincludedinthe term definedin paragraph (b)(1);or d.Attendanceorabsencefroma public meetingat which official actionistobetaken. (4)Disclosure.Anyperson included intheterm defined in paragraphs (b)(1)through(6)shall disclose any gift,or seriesof gifts fromanyonepersonor entity,having a value in excessof $25.00.The disclosure shall bemadeby filing acopyofthedisclosureformrequiredbychapter 112,FloridaStatutes,for"local officers"with the city clerk simultaneously with the filing oftheform with theclerkofthe county andwiththe FloridaSecretaryofState. (f)Compulsory disclosure byempioyees of firms doing business withthecity. Should any person included intheterms defined in paragraphs (b)(1)through (6)be employed bya corporation, firm,partnership or business entity in which that person orthe immediate family doesnot have a controlling financial interest,and should the corporation,firm,partnership or business entity have substantial business commitments toor from thecityor any city agency,orbesubjecttodirect regulation bythe city oracity agency, thenthe person shall file a sworn statement disclosing such employment and interest with the clerk ofthe city. (g)Exploitation of official position prohibited. Noperson included intheterms defined in paragraphs (b)(l)through(6)shall corruptlyuseorattempttousean official position tosecure special privileges or exemptions forthatpersonorothers. (h)Prohibitiononuse of confidential information. No person included in theterms defined in paragraphs (b)(1)through (6)shall accept employment or engage in any business or professional activity which one might reasonably expect would requireor induce oneto disclose confidential information acquired by reason ofan official position,nor shall that person in fact ever disclose confidential information garnered or gained through an 26 official position with the city,nor shall that person ever use such information,directly or indirectly,for personal gain or benefit. (i)Conflicting employment prohibited. No person included in the terms defined in paragraphs (b)(1)through (6)shall accept other employment which would impair independence of judgment in the performance of any public duties. (j)Prohibitionon outside employment. (1)No person included in theterms defined in paragraphs (b)(6)shall receive any compensation for services asan officer or employee ofthe city from any sourceother than the city,except as may be permitted as follows: a.Generally prohibited.No full-time city employee shall acceptoutside employment,either incidental,occasional or otherwise,where city time,equipment or material is tobe used or where such employment or any partthereofis tobe performed oncitytime. b.When permitted.A full-time city employee may accept incidental or occasional outside employment so long as such employment isnot contrary,detrimental or adverse totheinterestofthe city or any ofits departments and theapprovalrequiredinsubparagraphc.isobtained. c.Approval ofdepartmenthead required.Any outside employment by any full-time city employee mustfirstbe approvedin writing bythe employee's department head who shall maintain acompleterecordofsuch employment d.Penalty.Any person convicted of violating any provision ofthis subsection shall be punished asprovidedin section I-11 oftheCodeof Miami-Dade County and,in addition shall besubjectto dismissal bythe appointing authority.Thecity may alsoassess against aviolatorafinenottoexceed$500.00andthecostsof investigation incurred bythecity. (2)All full-time city employees engaged inanyoutside employment foranyperson,firm,corporationorentity otherthanthe city,oranyofits agencies or instrumentalities,shall file,underoath,an annual report indicating the sourceoftheoutsideemployment,thenatureoftheworkbeingdoneandanyamountofmoney or other considerationreceivedbytheemployeefromtheoutside employment.Cityemployeereportsshallbe filed with thecityclerk.The reports shall be available atareasonabletimeandplaceforinspectionbythe public.Thecity managermayrequiremonthly reports from individual employees or groupsofemployeesforgood cause.. (k)Prohibited investments. Nopersonincludedin the terms definedinparagraphs (b)(1)through(6)ora member of the immediate family shallhavepersonalinvestmentsinany enterprise which will create asubstantialconflict between private interests and the public interest (I)Certain appearances and payment prohibited. (1)No person includedin the terms definedinparagraphs (b)(1),(5)and(6)shallappearbeforeanycityboardor agencyandmakea presentation onbehalfofathirdpersonwith respect to any matter,license,contract, certificate,ruling,decision,opinion,rateschedule,franchise,or other benefit sought bythethird person.Nor shall the person receiveany compensation or gift,directly or indirectly,forservices rendered to athird person,who hasappliedfor or isseeking some benefitfromthecity or acityagency,in connection withthe particular benefit soughtby the third person.Nor shallthe person appearinany court or beforeanyadministrativetribunalas counselor legaladvisor to apartywho seeks legalrelieffrom the city or acityagency through the suitinquestion. (2)No person includedin the terms definedinparagraphs(b)(2),(3)and(4)shallappearbefore the city commission or agencyonwhich the person serves,either directly or throughanassociate,andmakea presentationonbehalfofathirdpersonwithrespecttoanymatter,license,contract,certificate,ruling,decision, opinion,rateschedule,franchise,or other benefitsoughtbythethirdperson.Nor shallsuch person receiveany compensationor gift,directlyorindirectly,forservices rendered toathirdpartywhohasappliedfor or isseeking somebenefitfromthecitycommission or agencyonwhichthepersonservesinconnectionwith the particular benefitsoughtbythethirdparty.Nor shallthepersonappearinany court orbeforeanyadministrativetribunalas counselor legal advisortoathirdpartywhoseeks legal relieffromthecity commission oragencyonwhichsuch person servesthrough the suitinquestion. (m)Actions prohibited when financial interests involved. Nopersonincludedinthe terms definedinparagraphs(b)(I)through(6)shallparticipateinany official action directly or indirectlyaffectingabusinessinwhichthatpersonoranymemberoftheimmediate family hasa financial interest.A financial interest isdefinedinthis subsection toinclude,but not belimitedto,any direct or indirect interest inany investment,equity,or debt (n)Acquiring financial interests. Nopersonincludedinthe terms definedinparagraphs(b)(1)through (6)shallacquirea financial interest ina project,businessentity or property atatimewhentheperson believes orhasreasontobelieve that the financial 27 interest may be directly affected by official actions or by official actions by the city or city agency of which the personisan official,officer or employee. (0)Recommending professional services. No person included intheterms defined in paragraphs (b)(1)through (4)may recommend the services ofany lawyer or law firm,architector architectural firm,public relations firm,or any other person or firm,professional orotherwise,toassistinany transaction involving thecityoranyofits agencies,provided thata recommendation mayproperlybemadewhenrequiredtobemadebythedutiesof office andin advance ata public meetingattendedby other city officials,officersoremployees. (p)Continuing application after city service. (1)Noperson included intheterms defined in paragraphs (b)(1),(5)and (6)shall,foraperiodoftwoyearsafter his orhercityserviceor employment hasceased,lobby anycity official [as defined in paragraphs (b)(1)through (6)]in connection with any judicial orother proceeding,application,Solicitation,RFQ,bid,request for ruling orother determination,contract,claim,controversy,charge,accusation,arrestor other particular subjectmatter in which thecityoroneofits agencies isapartyorhas any interest whatever,whetherdirector indirectNothingcontainedinthissubsection shall prohibitany individual from submitting aroutine administrative requestor application toacitydepartmentor agency during thetwo-yearperiodafter his orher service has ceased. (2)The provisions ofthe subsection shall not apply topersonswhobecome employed by governmental entities, 501 (c)(3)non-profitentitiesoreducationalinstitutionsorentities,andwholobbyonbehalfofthoseentitiesin their official capacities. (3)The provisions ofthis subsection shall apply to all persons described in paragraph (p)(l)whosecityserviceor employmentceasedafterthe effective dateoftheordinancefromwhichthissectionderives. (4)Nopersondescribedinparagraph (p)(l)whosecityserviceoremploymentceasedwithintwoyearsprior to the effectivedateofthisordinanceshallforaperiodoftwoyearsafterhis or her serviceoremployment enter intoa lobbying contract tolobbyanycity official inconnectionwithanysubjectdescribedinparagraph(p)(l)in whichthecityoroneofitsagenciesisapartyorhasanydirectandsubstantialinterest;andinwhichheorshe participateddirectly or indirectlythroughdecision,approval,disapproval,recommendation,the renderingof advice,investigation,or otherwise,duringhisorhercityserviceor employment Apersonparticipated "directly" where he or shewassubstantiallyinvolvedin the particularsubject matter through decision,approval,disapproval, recommendation,the rendering ofadvice,investigation,or otherwise,duringhis or her city service or employment A person participated"indirectly"where he or she knowingly participated inanywayintheparticular subject matter through decision,approval,disapproval,recommendation,the rendering ofadvice,investigation,or otherwise,duringhis or hercityservice or employment All persons covered bythisparagraphshall execute an affidavit onaform approved bythecity attorney priortolobbyinganycity official attesting that the requirements ofthis subsection do not preclude the person fromlobbyingcity officials. Whenever any person includedin the terms definedinparagraphs (b)(1)through (6)andparagraph(b)(9)isin doubt asto the proper interpretation or applicationofthisconflictof interest andcodeofethicsordinance,or whenever any person who renders services to thecityisin doubt asto the applicabilityof the ordinance that person,maysubmit to the city attorney a full written statement ofthefactsand questions.The city attorney shall then render anopinion to such person andshallpublish these opinions without useofthenameofthe person advisedunless the person permits the useofaname. Schedule of Completion: 2.8 Within Five (5)businessdaysafterdeliveryoftheNoticetoProceedbyCITYto CONTRACTOR, CONTRACTOR shall submitto CONSULTANT forapproval,anestimatedconstructionschedule indicating thestartingandcompletiondatesofthevariousstagesofthe Work,andapreliminaryschedule ofShop Drawing submissions.The CONSULTANT shall approvethisscheduleorrequirerevisions thereto withinseven(7)calendardaysofitssubmittal.If there ismorethanone CONTRACTOR involvedinthe Project,the responsibilityforcoordinating the Work of all CONTRACTORS shall be providedin the Special Conditions. 2.9Within five (5)businessdaysafterdeliveryofthe executed ContractbyCITYto CONTRACTOR,but before starting the Work atthesite,apre-construction conference shall beheldtoreview the above schedules,to establish procedures for handling ShopDrawingsand other submissions,andforprocessing Applications forPayment,and to establisha working understanding between the partiesas to the Project Presentatthe conference willbetheCITY'Srepresentative,CONSULTANT,ResidentProject Representatives,CONTRACTOR andits Superintendent Qualifications ofSubcontractors.Material menand Suppliers: 2.10 Within five (5)businessdaysafterbidopening,theapparentlowestresponsiveandresponsibleBidder shall submit to the CITY and the CONSULTANT foracceptancealist of the namesof Subcontractors andsuch other persons andorganizations (including those who are to furnish principal items ofmaterials or equipment)proposed for those portionsofthe Work as to which the identityof Subcontractors and other personsandorganizations must be submitted asspecifiedin the Contract Documents.Within Page6of 28 ©ThomasF.Pepe2014. 4/17/14 thirty(30)calendardaysafterreceivingthe list,the CONSULTANTwillnotifythe CONTRACTOR in writingif either the CITY or the CONSULTANT has reasonable objection to any Subcontractor,person, or organization onsuchlistThefailureoftheCITY or the CONSULTANT to make objection toany Subcontractor,person,or organizationonthelistwithinthirty(30)calendardaysof the receipt shall constitute an acceptance ofsuch Subcontractor,person or organization.Acceptance of any such Subcontractor,person or organizationshallnot constitute awaiverofanyrightoftheCITY or the CONSULTANTto reject defective Work,material or equipment or any Work,material or equipment not in conformance with the requirements ofthe Contract Documents. 2.11 If,prior to the Notice ofAward,the CITY or theCONSULTANThas reasonable objection to any Subcontractor,person or organizationlisted,the apparent lowBiddermay,priortoNoticeofAward, submitan acceptable substitute without anincreaseinitsbidprice. 2.12 Theapparentsilenceofthe Contract Documentsastoanydetail,orthe apparent omissionfromthemof adetaileddescriptionconcerningany Work tobedoneandmaterials to befurnished,shallbe regarded as meaningthatonlybestpracticesareto prevail andonlymaterialsandworkmanshipofthebestqualityare to beusedin the performance of the Work. ARTICLE 3-CORRELATION.INTERPRETATION AND INTENT OF CONTRACT DOCUMENTS 3.1 Itistheintentofthe Specifications and Drawings todescribeacompleteProjecttobe constructed in accordancewiththe Contract Documents.The Contract Documentscomprisethe entire Contract betweentheOWNERandthe CONTRACTOR.Theymaybealteredonlybya modification as defined in Article I. 3.2TheContractDocumentsare complementary;whatis called forbyoneisas binding asif called forby all thedocuments.IfCONTRACTORfindsaconflict error ordiscrepancyinthe Contract Documents,it shall,beforeproceedingwiththe Work affected thereby,immediately call ittothe CONSULTANT'S attention inwriting.Thevarious Contract Documentsarecomplementary;incaseofconflict,error or discrepancy,themorestringentinterpretationandrequirementthat shall providethe maximum benefitto the Owner shallapply 3.3 Thewords "furnish"and "furnish and install","install",and "provide"orwords with similar meaning shall beinterpreted,unless otherwise specifically stated,to mean "furnish and install completein place and readyfor service". 3.4 Miscellaneous itemsandaccessories which arenot specifically mentioned,but which are essential to produceacompleteandproperlyoperating installation,or usable structure,providing the indicated functions,shall be furnished and installed without change inthe Contract Price.Such miscellaneous items and accessories shall beofthesame quality standards,including material,style,finish,strength,class, weightand other applicable characteristics,as specified forthemajorcomponentofwhichthe miscellaneous itemoraccessoryisan essential part,and shall beapprovedbythe CONSULTANT before installation.Theaboverequirementisnot intended to include major components not covered byor inferable fromthe Drawings and Specifications. 3.5TheWorkof all tradesunderthisContract shall be coordinated bythe CONTRACTOR In such a mannerasobtainthebest workmanship possible fortheentireProjectand all componentsoftheWork shall be installed orerectedinaccordancewiththebest practices ofthe particular trade. 3.6The CONTRACTOR shall be responsible for making theconstructionof habitable structuresunderthis Contract rain proof,andfor making equipment and utility installations properly perform the specified function.If the CONTRACTOR is prevented from complying with this provision duetothe Drawings or Specifications,the CONTRACTOR shall immediately notify the CONSULTANT in writing of such limitations before proceeding with construction intheareawheretheproblem exists. 3.7 Manufacturer's literature,when referenced,shallbe dated and numbered andis intended to establish the minimum requirements acceptable.Wheneverreferenceis given tocodes,orstandard specifications or otherdata published by regulating agencies or accepted organizations,including butnot limited to National Electrical Code,applicable State Building Code,Florida Building Code,Federal Specifications, ASTM Specifications,variousinstitute specifications,andthe like,it shall beunderstoodthatsuch referenceistothelatestedition including addendaineffectonthedateofthe Bid. 3.8 Brand names where used in the technical specifications,are intended todenotethe standard or quality required forthe particular material orproductTheterm "equal"or "equivalent",when used in connection with brand names,shall be interpreted to mean a material orproductthatis similar and equal intype,quality,size,capacity,composition,finish,color and other applicable characteristics tothe material orproduct specified bytrade name,and thatis suitable forthe same use capable of performing the same function,in the opinion ofthe CONSULTANT,asthe material orproductso specified.Proposed equivalent itemsmustbe approved by CONSULTANT beforetheyare purchased orincorporatedinthe Page7of28 ©ThomasF.Pepe2014. 4/17/14 Work.(Whenabrandname,catalog number,modelnumber,or other identification,isused without the phrase"or equal",the CONTRACTOR shall usethe brand,make and model specified). 3.9Throughoutthisagreementthe male pronoun may be substituted for female andneuterand vice versa andthe singular wordssubstitutedfor plural and plural wordssubstitutedfor singular wherever 3.10 All technical interpretations shall be made bythe CONSULTANT assetforthinSection9.3below. 3.11 The CONTRACTOR shall advised the CONSULTANT,priorto performing any work involving a conflict in the Contract Documents and the CONSULTANT shall make the final decision as to which of the documents shall takeprecedence.In theeventthatthereisa conflict between or among theContract Documents,onlythelatestversion shall apply andthelatestversionofthe Contract Documents.The CONSULTANT shall usethe following listofContract Documents asa guide.Thesedocumentsareset forthbelowintheorderoftheir precedence sothat all the documents listed above a given document shouldhave precedence over all the documents listedbelow it (a)Change Orders (b)Amendments/addenda to Contract (c)Supplementary Conditions,ifany (d)Contract withallExhibits thereto (e)General -AVAILABILITY OF LANDS SUBSURFACE CONDITIONS REFERENCE POINTS AvailabilityofLands: 4.1 TheOWNER shall furnish,as indicated intheContract Documents,the lands uponwhichthe Work isto bedone,rights-of-wayforaccess thereto,andsuch other landswhicharedesignedfortheuseof the CONTRACTOR.Easementsforpermanent structures orpermanent changes inexisting facilities willbe obtainedandpaidforbytheOWNER,unless otherwise specified inthe Contract Documents.Other accesstosuchlandsor rights-of-way forthe CONTRACTOR'S convenience shall bethe responsibility of the CONTRACTOR. The CONTRACTOR shallprovidefor all additionallandsandaccess thereto that mayberequiredfor temporary construction facilities or storageofmaterialand equipment 4.2TheCITY will,upon request furnishtotheBidders,copiesofall available boundarysurveysand subsurface tests at no cost Subsurface Conditions: 4.3TheCONTRACTORacknowledgesthathehas investigated priorto bidding and satisfied himself asto theconditions affecting the Work,including butnot limited to those bearingupon transportation, disposal,handlingand storage of materials,availability oflabor,water,electricpower,roadsand uncertaintiesof weather,riverstages,tides,water tablesorsimilar physical conditionsatthesite,the conformationandconditionsoftheground,thecharacterofequipmentand facilities needed preliminary to andduring prosecution of the Work.TheCONTRACTOR further acknowledges that hehassatisfied himself astothecharacter,qualityandquantityofsurfaceandsubsurfacematerialsorobstaclestobe encountered insofarasthisinformationisreasonablyascertainablefromaninspectionofthesite, including all exploratory work donebytheOWNER/CONSULTANTonthe site or anycontiguoussite, aswellasfrominformation presented bytheDrawingsand Specifications madepartofthis Contract or any other informationmadeavailabletoitpriortoreceiptofbids.Anyfailureby the CONTRACTOR to acquaintitselfwith the availableinformationshall not relieveit from responsibilityforestimating properly the difficulty or cost ofsuccessfullyperforming Work.The OWNER assumesnoresponsibilityforany conclusions or interpretations madebythe CONTRACTOR on the basisoftheinformationmade availableby the OWNER/CONSULTANT. DifferingSite Conditions: 4.4TheCONTRACTOR shall withinfortyeight(48)hoursofitsdiscovery,andbeforesuchconditionsare disturbed,notify the CITYinwriting,of: 4.4.1 Subsurfaceorlatent physical conditionsat the site differing materiallyfrom those indicatedinthe Contract Documents,and Page8of 28 ©ThomasF.Pepe2014. 4/17/14 4.4.2 Unknown physical conditions atthe site,of an unusual nature,differing materially from those ordinarily encountered and generally inherent in Workofthe character provided for in this Contract.The CITY shall promptly investigate the conditions,and ifit finds that such conditions do materially differ tothe extent asto cause an increase or decrease in the CONTRACTOR'S cost —of,orthetimerequired for,performance of any partoftheWorkunderthisContractan ^ equitable adjustment shall be made and theContract modified in writing accordingly. 4.5Noclaimofthe CONTRACTOR underthisclauseshallbeallowedunless the CONTRACTOR hasgiven the notice required in 4.4 above;provided,however,the time prescribed therefore may be extended by the CITY,but only ifdonein writing signed by the City Manager orthe CONSULTANT. ARTICLE 5 -INSURANCE Contractor shall comply with the insurance requirements setforth in the SupplementaryConditionsto the Contract ARTICLE 6-CONTRACTOR'S RESPONSIBILITIES Supervisionand Superintendence: 6.1 The CONTRACTOR shall supervise anddirecttheWork.It shall be solely responsible forthe means, methods,techniques,sequences and procedures of construction.The CONTRACTOR shall employ and maintain a qualified supervisor or superintendent (hereinafter referred toas "Supervisor"attheWork sitewho shall be designated in writing bythe CONTRACTOR,beforethe CONTRACTOR commences theWorkand within thetime required bythe Contract asthe CONTRACTOR'S representative atthe site.The Supervisor orso designated shall have full authority toacton behalf ofthe CONTRACTOR and all communications given tothe Supervisor shall beas binding asif given tothe CONTRACTOR.The Supervisor(s)shall bepresentat each siteat all times as required to perform adequate supervision and coordination oftheWork.(Copies ofwritten communications given tothe Supervisor shall be mailed to the CONTRACTOR'S home office). 6.1.1 TheCONTRACTOR shall keeponerecordcopyof all Specifications,Drawings,Addenda, Modifications andShop Drawings atthesiteat all timesandingood order andannotatedtoshow all changes made during the construction process.These shall be available tothe CONSULTANT and any CITY Representative at all reasonable times.Asetof "As-Built"drawings,as well asthe original Specifications,Drawings,Addenda,Modifications andShop Drawings with annotations, shall bemade available totheCityat all timesandit shall be delivered tothe CITY upon completion of the Project. Labor.Materialsand Equipment: 6.2TheCONTRACTOR shall provide competent suitably qualified personnelto lay outthe Work and performconstructionasrequiredbytheContractDocuments.It shall at all times maintain good disciplineand order at the site. 6.3The CONTRACTOR shallfurnishall materials,equipment labor,transportation,construction equipment and machinery,tools,appliances,fuel,power,lightheat local telephone,waterand sanitary facilities and all other facilities and incidentals necessaryfortheexecution,testing initial operationandcompletionof the Work. 6.4 All materialsandequipment shall benew,exceptasotherwiseprovidedinthe Contract Documents. When special makes or gradesof material whichare normally packaged bythesupplierormanufacturer arespecified or approved,suchmaterials shall be delivered to thesitein their original packages or containers with seals unbroken and labels intact. 6.5 All materialsand equipment shall beapplied,installed,connected,erected,used,cleanedandconditioned in accordance with the instructions of the applicablemanufacturer,fabricator,or processors,except as otherwise provided in the Contract Documents. Work.Materials.Equipment Products andSubstitutions: 6.6Materials,equipment andproducts incorporated inthe Work mustbeapprovedforusebeforebeing purchasedbytheCONTRACTOR.TheCONTRACTOR shall submittothe CONSULTANT alistof proposed materials,equipmentorproducts,togetherwithsuch samples asmaybenecessaryforthemto determine their acceptabilityandobtain their approval,withinninety(90)calendardaysafterawardof Contract unless otherwise stipulatedinthe Special Conditions.No request forpaymentfor"orequal" equipment will be approved untilthislisthasbeenreceivedandapprovedbytheCONSULTANT. 6.6.1 Whenever amaterial,article or pieceofequipmentisidentifiedon the Drawings or Specifications byreferencetobrandnameorcatalognumber,itshallbe understood that thisisreferencedfor the purposeofdefiningthe performance or other salient requirements and that other products of Page9of28 ©Thomas F.Pepe2014. 4/17/14 equal capacities,quality and function shall be considered.The CONTRACTOR mayrecommend the substitution ofa material,article,or piece ofequipmentof equal substance andfunctionfor thosereferredtointheContractDocumentsbyreferencetobrandnameor catalog number,and if,intheopinionofthe CONSULTANT,such material,article,orpieceofequipmentisof equal substanceand function tothat specified,the CONSULTANTmayapprove itssubstitutionanduse bythe CONTRACTOR.Incidental changes orextracomponentpartsrequiredtoaccommodate thesubstitutewillbemadebythe CONTRACTOR without achangeintheContractPriceorthe Contract Time. 6.6.2Nosubstitute shall beorderedor installed without thewritten approval ofthe CONSULTANT who shall be the judgeofquality. 6.6.3 Delay causedby obtaining approvals forsubstitute materials shall notbe considered justifiable grounds foran extension of construction time. 6.6.4 Should any Work or materials,equipmentorproductsnotconformtorequirementsof the Drawings and Specifications orbecome damaged duringtheprogressofthe Work,such Work or materials shall beremovedandreplaced,together withany Work disarranged bysuchalterations, atany time before completion andacceptance of the Project Allsuch Work shall be done at the expense of the CONTRACTOR. 6.6.5No materials or supplies forthe Work shall be purchased bythe CONTRACTOR orany Subcontractorsubjecttoanychattel mortgage orundera conditional saleorotheragreementby whichan interest isretainedbythe Seller.The CONTRACTOR warrantsthattheyhavegood title to all materialsandsuppliesusedby them in the Work. 6.6.6Non-conforming Work:TheCityofSouth Miami maywithholdacceptanceof,orrejectitems whicharefounduponexamination,notto meet the specification requirements or conform tothe plansanddrawings.Upon written notification of rejection,items shall be removed or uninstalled within five (5)businessdaysby the CONTRACTOR athisown expense andredeliveredand/or reinstalledathisexpense.Rejectedgoodsleftlongerthanthirty(30)calendardays shall be regardedasabandonedand the CITY shall have the right to disposeof them asits own property and the CONTRACTOR thereby waivesanyclaimtothegoodortocompensationofanykind forsaid goods.Rejectionfor non-conformance or failure to meet deliveryschedulesmayresultin the CONTRACTOR beingfoundindefault 6.6.7 In caseofdefaultbythe CONTRACTOR,theCityofSouth Miami mayprocurethearticlesor servicesfrom other sourcesandhold the CONTRACTOR responsibleforany excess costs occasioned or incurred thereby. 6.6.8TheCITY reserves the rightin the event the CONTRACTOR cannot providean item(s)or service(s)ina timely manneras requested,to obtain the goodand/orservicesfrom other sources and deducting the cost from the Contract Price without violating the intent of the Contract. Concerning Subcontractors: 6.7 The CONTRACTOR shall not employanySubcontractor,against whom the CITYor the CONSULTANT mayhavereasonableobjection,norwill the CONTRACTOR berequired to employ any Subcontractor who hasbeenacceptedbytheCITYandthe CONSULTANT,unlessthe CONSULTANT determines that there isgoodcausefordoing so! 6.8The CONTRACTOR shall be fully responsiblefor all actsandomissions of itsSubcontractorsandof personsandorganizationsdirectlyorindirectlyemployedbyitandofpersonsandorganizationsfor whose actsany of them maybe liable to thesame extent that they areresponsiblefortheactsand omissionsofpersonsdirectlyemployedby them.Nothingin the Contract Documents shall createany contractualrelationship between OWNER or CONSULTANT andany Subcontractor or other personor organization havingadirectcontractwith CONTRACTOR,nor shall itcreateany obligation onthepart of OWNER or CONSULTANT topayortoseetopaymentofanypersonsduesubcontractororother personororganization,except asmay otherwise berequiredbylaw.CITYor CONSULTANT may furnish to anySubcontractoror other personor organization,tothe extent practicable,evidenceof amounts paid to the CONTRACTOR onaccountofspecified Work doneinaccordancewith the schedule values. 6.9Thedivisionsandsectionsofthe Specifications and the identificationsofanyDrawings shall not control the CONTRACTOR in dividing the Work amongSubcontractorsor delineating the Work performedby anyspecific trade. 6.10 The CONTRACTOR agreestobind specifically everySubcontractortothe applicable terms and conditions of the Contract Documents for the benefit of the OWNER. Page 10 of 28 ©Thomas F.Pepe2014. 4/17/14 6.11 All Work performed for the CONTRACTOR bya Subcontractor shallbe pursuant toan appropriate agreement between the CONTRACTOR andthe Subcontractor. 6.12 The CONTRACTOR shall be responsible for the coordination of the trades,Subcontractors materialand menengaged upon their Work. 6.12.1 The CONTRACTOR shallcause appropriate provisionstobe inserted inall subcontracts relative tothe Work tobind Subcontractors to the CONTRACTOR bythe terms of these General Conditions and other Contract Documents insofaras applicable to the Work of Subcontractors, andgive the CONTRACTOR the same power asregards to terminating any subcontract that the OWNER may exercise over the CONTRACTOR underanyprovisionsof the Contract Documents. 6.12.2 The CITY or CONSULTANT will not undertake tosettleanydifferences between the CONTRACTOR and their Subcontractors or between Subcontractors. 6.12.3 Ifin the opinionofthe CONSULTANT,anySubcontractoron the Projectprovestobe incompetent or otherwise unsatisfactory,they shall bepromptlyreplacedbythe CONTRACTOR ifand when directedby the CONSULTANT inwriting. 6.12A Discrimination:Noaction shall betakenby the any subcontractor withregard to the fulfilmentof the terms of the subcontract including the hiringand retention of employees for the performance of Work that woulddiscriminateagainstanypersonon the basisofrace,color,creed,religion,nationalorigin,sex, age,sexual orientation,familial statusor disability.This paragraph shallbemadeapart of the subcontractor's contract with the Contractor. PatentFeesandRoyalties: 6.13 The CONTRACTOR shall pay all licensefeesandroyaltiesandassume all costsincident to theuseofany invention,design,processordevicewhichis the subject ofpatentrightsorcopyrightsheldby others.He shall indemnifyandholdharmlessthe OWNER andthe CONSULTANT andanyonedirectlyorindirectly employedby either ofthemfrom against all claims,damages,lossesand expenses (including attorney's fees)arising out ofanyinfringementofsuchrightsduringorafter the completionofthe Work,and shall defend all suchclaimsinconnectionwithany alleged infringement of suchrights. 6.14 The CONTRACTOR shall beresponsiblefordeterminingthe application ofpatentrightsandroyalties materials,appliances,articles orsystemspriorto bidding.However,he shall notberesponsibleforsuch determinationonsystemswhichdonotinvolvepurchasebythemof materials,appliances and articles. Permits: 6.15 The CONTRACTOR shall secureandpayfor all constructionpermitsand licenses and shall payfor all governmentalchargesandinspectionfeesnecessaryfortheprosecutionofthe Work,whichare applicable atthetimeofhis Bid.When such charges are normally madebytheCITYandwhenso stated inthe Special Conditions,there willbeno charges to the CONTRACTOR.TheCITY shall assistthe CONTRACTOR,when necessary,in obtaining suchpermitsandlicenses.The CONTRACTOR shall also pay all publicutilitycharges. Electrical Powerand Lighting: 6.16 Electrical power required during construction shall be provided byeachprime CONTRACTOR as required by it This service shall be installed bya qualified electrical Contractorapprovedbythe CONSULTANT.Lighting shall be provided bythe CONTRACTOR in all spaces at all timeswhere necessary forgood and proper workmanship,for inspection orfor safety.Notemporarypower shall be usedofftemporary lighting lines without specific approval ofthe CONTRACTOR. LawsandRegulations: 6.17 TheCONTRACTOR shall comply with all notices,laws,ordinances,rules and regulations applicable to theWork.IftheCONTRACTOR observes thatthe Specifications or Drawings areat variance therewith, it shall give theCONSULTANTpromptwrittennotice thereof,and any necessary changes shall be adjusted byan appropriate modification.IftheCONTRACTORperformsany Work knowingittobe contrarytosuchlaws,ordinances,rulesand regulations,and without suchnotice to the CONSULTANT, it shall bear all costs arising there from;however,it shall notbeits primary responsibility to make certain thatthe Drawings and Specifications are in accordance with such laws,ordinances,rulesand regulations. Discrimination: 6,17A No action shall betakenbytheContractorwith regard tothe fulfilment ofthetermsoftheContract including the hiring andretentionofemployeesforthe performance of Work thatwould discriminate Page 11 of 28 ©ThomasF.Pepe2014. 4/17/14 against anypersononthebasisofrace,color,creed,religion,national origin,sex,age,sexualorientation, familial statusor disability. Taxes: ..—0.I8 Cost of alLapplicable sales,consumer use,andother-taxes forwhich the CONTRACTOR isliable under - theContract shall be included intheContract Price statedbytheCONTRACTOR. SafetyandProtection: 6.19 The CONTRACTOR shall be responsible for initiating maintaining and supervising all safety precautions and programs inconnectionwiththeWork.They shall take all necessary precautions forthesafetyof, and shall providethe necessary protectiontoprevent damage,injury orlossto: 6.19.1 Allemployeesandother persons,whomaybe affected thereby, 6.19.2 Allthe Work and all materials orequipmenttobe incorporated therein,whetherin storage onor off the site,and 6.19.3 Otherpropertyatthesiteor adjacent thereto,including trees,shrubs,lawns,walks,pavements, roadways,structures andutilitiesnotdesignatedforremoval,relocationorreplacementin the course of construction. 6.20The CONTRACTOR shall designate a responsible memberoftheir organization atthesitewhoseduty shall be the preventionofaccidents.Thisperson shall bethe CONTRACTOR'S Superintendent unless otherwise designatedinwritingby the CONTRACTOR totheCITY. Emergencies: 6.21 In emergencies affecting thesafetyofpersonsorthe Work orpropertyatthesiteor adjacent thereto, the CONTRACTOR,without specialinstructionorauthorizationfrom the CONSULTANT orCITY,is obligatedto act athisdiscretion,toprevent threatened damage,injuryorloss.He shall givethe CONSULTANT promptwrittennoticeofany significant changes inthe Work ordeviationsfrom the Contract Documentscausedthereby.Ifthe CONTRACTOR believesthat additional Work donebyhim inan emergency whicharosefromcausesbeyondhiscontrolentitleshimtoanincreasein the Contract Price oran extension of the Contract Time,hemaymakeaclaim therefore asprovidedinArticles 11 and 12. ShopDrawingsandSamples: 6.22 After checkingandverifying all field measurements,the CONTRACTOR shall submit to the CONSULTANT forreview,inaccordancewiththeacceptedscheduleofshopdrawing submissions,six (6)copies(oratthe CONSULTANT option,onereproduciblecopy)of all Shop Drawings,which shall havebeen checked byand stamped with the approval of the CONTRACTOR.The ShopDrawingsshall be numbered andidentifiedas the CONSULTANT mayrequire.The datashownon the ShopDrawings shall be complete with respect todimensions,designcriteria,materialsof construction and the like to enablethe CONSULTANT to reviewtheinformation without anyunnecessaryinvestigation. 6.23The CONTRACTOR shall alsosubmittothe CONSULTANT forreview,withsuch promptness as to causenodelayin Work,allsamplesrequiredbythe Contract Documents. Allsamples shall havebeen checked byandstampedwiththeapprovalofthe CONTRACTOR,identified clearlyastomaterial,manufacturer,any pertinent catalognumbersand the useforwhichintended. 6.24 At the timeofeachsubmission,the CONTRACTOR shall notifythe CONSULTANT,in writing ofany deviations between theShopDrawingsorsamplesandthe requirements ofthe Contract Documents. 6.25 The CONSULTANT shall reviewwithresponsiblepromptnessShop Drawings andSamples,buthis review shall beonlyfor conformance withthedesign concept oftheProjectandforcompliancewith the informationgiveninthe Contract Documents.Thereviewofaseparateitemassuchwillnotindicate review of the assemblyinwhich the itemsfunctions.The CONTRACTOR shall makeany corrections requiredby the CONSULTANT and shall returntherequirednumberof corrected copiesofShop Drawingsand resubmit new samplesuntil the reviewissatisfactory to the CONSULTANT.The CONTRACTOR shall notify the CONSULTANT,inwriting,ofanypriorShopDrawing or revisions to ShopDrawingsthatareinconflictwitheachsubmissionorre-submission.The CONTRACTOR'S stamp of approvalonanyShopDrawingsorsample shall constitute representationto the CITYandthe CONSULTANT that the CONTRACTOR has either determined and/or verifiedall quantities,dimension, field construction criteria,materials,catalognumbersand similar dataor they assume full responsibility fordoingso,andthat they havereviewedorcoordinatedeachShopDrawingorsamplewiththe requirements of the Work and the Contract Documents. Page 12 of 28 ©Thomas F.Pepe2014. 4/17/14 6.26No Work requiringasubmittalofaShopDrawingorsample shall becommenceduntilthesubmissionhas been reviewed and approved inwritingby the CONSULTANT.AcopyofeachShopDrawingandeach approved sampleshallbe kept ingood order,inabook or binder,inchronological order or insuch other order required bythe CONSULTANT inwriting,bythe CONTRACTOR at the siteandshallbeavailable tothe CONSULTANT 6.27 The CONSULTANT'S reviewofShopDrawingsorsamples shall notrelieve the CONTRACTORfrom hisresponsibilityforanydeviationsfrom the requirements ofthe Contract Documents unless the CONTRACTORhasinformedtheCONSULTANT,inwriting,toeachdeviationatthetimeof submission andtheCONSULTANThas given writtenapprovaltothe specific deviation,nor shall any reviewby the CONSULTANTrelievethe CONTRACTOR fromresponsibilityfor errors oromissionsin the ShopDrawings or samples. 6.27ATheCONTRACTOR shall be liable totheOWNERforany additional costordelaythatiscausedbyits failure to notifytheCONSULTANTofanyofsaiddeviations or conflicts between ShopDrawings or due to errors in the ShopDrawings or samples. CleaningUp: 6.28The CONTRACTOR shallcleanupbehindthe Work asmuchasisreasonablypossibleasthe Work progresses.Upon completion ofthe Work,andbefore acceptance of final payment forthe Project by the OWNER,the CONTRACTOR shall remove allhissurplusanddiscardedmaterials,excavatedmaterial andrubbishaswellasall other materialand equipment that does not forma part of the Work,from the property,roadways,sidewalks,parkingareas,lawnandall adjacent property.Inaddition,the CONTRACTOR shall cleanhisportionof Work involved inany building underthis Contract so that no further cleaningbythe OWNER isnecessarypriortoitsoccupancyandheshall restore all property,both publicandprivate,whichhasbeen disturbed or damagedduringthe prosecution of the Work soas to leave the whole Work and Work Siteina neat and presentable condition. 6.29 If the CONTRACTOR doesnotclean the Work site,theCITYmayclean the Work Siteofthematerials referred toinparagraph6.28andcharge the cost tothe CONTRACTOR. Public Convenience andSafety: 6.30 The CONTRACTOR shall,at all times,conduct the Work in such a manner as to insure the least practicable obstruction topublictravel.Theconvenienceof the generalpublicandof the residents along and adjacent tothe area of Work shallbeprovidedforinasatisfactorymanner,consistent with the operation andlocal conditions."Street Closed"signsshallbeplacedimmediately adjacent to the Work,in a conspicuous position,atsuchlocationsastrafficdemands.Atanytime that streets are required tobe closed,the CONTRACTOR shallnotifylaw enforcement agenciesandinparticular,theCityofSouth Miami Police Department beforethe street isclosedandagainassoonasitis opened.Access to fire hydrantsand other fireextinguishing equipment shallbeprovidedandmaintainedatalltimes. SanitaryProvisions: 6.31 TheCONTRACTOR shall provideon-site office,andnecessarytoilet facilities,secludedfrompublic observation,foruseofall personnel on the Work Site,whether or not inhisemploy.Theyshallbekept inacleanandsanitaryconditionandshallcomplywiththe requirements andregulationsofthePublic Authorities havingjurisdiction.Theyshall commit nopublicnuisance.Temporary fieldofficeandsanitary facilities shallbe removed uponcompletionofthe Work and the premisesshallbeleftclean. Indemnification: 6.32 Contractor shallcomplywiththe indemnification requirements setforthin the RFP andin EXHIBIT I of theSupplementary Conditions (Insuranceandindemnification requirements). 6.33Intheevent that anyactionorproceedingisbroughtagainstOWNERorCONSULTANTbyreasonof anysuchclaim or demand,CONTRACTOR,upon written noticefromCITYshalldefendsuchaction or proceeding by counsel satisfactory toCITY.The indemnification provided above shallobligate CONTRACTOR todefendatitsown expense or toprovideforsuchdefense,at CITY'S option,anyand allclaimsof liability andallsuitsand actions ofeverynameand description that maybe brought against OWNER or CONSULTANT,excludingonly those claims that allege that the injuries arose outofthe solenegligenceof OWNER or CONSULTANT. 6.34Theobligationsofthe CONTRACTOR underparagraph6.33 shall not extend to the liability ofthe CONSULTANT,itsagents or employeesarising out of(a)thepreparation or approvalofmaps,drawings, opinions,reports,surveys,Change Orders,designs or specifications or (b)the givingof or thefailureto Page 13 of28 ©ThomasF.Pepe2014. 4/17/14 givedirectionsorinstructionsbythe CONSULTANT,itsagentsoremployeesprovidedsuchact or omissionistheprimarycauseofinjuryor damage. 6.34AAllofthe forgoing indemnificationprovisions shall survivethe term ofthe Contract towhich these GeneralConditionsareapart.Indemnification shall notexceedanamountequaltothetotalvalueof all insurancecoverage required bySection 5;I of this doctimentvlndemnificationis-limited to damages-caused in whole orinpartbyany act,omission,ordefaultof the Contractor,the Contractor's subcontractors, sub-subcontractors,materialmen,oragentsofanytierortheirrespectiveemployeestothe extent caused bythe negligence,recklessness,or intentional wrongful misconductofthe indemnifying partyandpersons employedor utilized bythe indemnifying partyinthe performance oftheconstructioncontract Responsibilityfor Connection toExisting Work: 6.35it shall bethe responsibility ofthe CONTRACTOR to connea its Work toeachpartoftheexisting Work,existing building orstructureor Work previously installed asrequiredbythe Drawings and Specifications toprovidea complete installation. 6.36 Excavations,grading,fill,storm drainage,paving and anyotherconstructionor installations in rights-of- waysofstreets,highways,public carrier lines,utility lines,either aerial,surface or subsurface,etc.,shall be donein accordance withrequirementsofthe special conditions.The OWNER willberesponsiblefor obtaining all permitsnecessaryforthe Work described inthis paragraph 6.36.Uponcompletionofthe Work,CONTRACTOR shall presenttoCONSULTANT certificates,in triplicate,from theproper authorities,stating thatthe Work hasbeendonein accordance withtheir requirements. 6.36.1 TheCITY will cooperatewiththeCONTRACTORin obtaining action from any utilities or public authoritiesinvolvedintheaboverequirements. 6.36.2TheCONSULTANT shall be responsible for obtaining elevations ofcurbs and gutters,pavement storm drainage structures,and other itemswhichmustbe established by governmental departments assoonas grading operations are begun onthesite and,inany case,sufficiently early intheconstructionperiodtopreventanyadverseeffectontheProject. Cooperation withGovernmentalDepartments.Public Utilities.Etc.: 6.37The CONTRACTOR shall be responsible for making all necessary arrangements with governmental departments,public utilities,public carriers,service companies and corporations (hereinafter referredto as"third parties")owningor controlling roadways,railways,water,sewer,gas,electrical conduits, telephone,and telegraph facilities such as pavements,tracks,piping,wires,cables,conduits,poles,guys, etc.,includingincidental structures connected therewith,that are encountered in the Work in order that suchitemsareproperlyshored,supportedandprotected,thattheir location is identified andtoobtain authorityfrom these thirdpartiesforrelocationifthe CONTRACTOR desirestorelocatetheitem.The CONTRACTOR shall give all proper notices,shall comply with all requirements of such third parties in the performance of his Work,shall permit entrance of such third parties onthe Project inorderthatthey may perform their necessary work,and shall pay all charges and fees madeby such third parties fortheir work. 6.37.1 The CONTRACTOR'S attention is called tothe fact thatthere may be delays onthe Project due toworktobedoneby governmental departments,public utilities,andothersin repairing or moving poles,conduits,etc.TheCONTRACTOR shall cooperatewiththe above parties inevery way possible,sothattheconstruction can becompletedintheleast possible time. 6.37.2The CONTRACTOR shall havemadeitself familiar with all codes,laws,ordinances,and regulations whichinanymanneraffectthose engaged oremployedintheWork,or materials and equipmentuseinoruponthe Work,orinanywayaffecttheconductoftheWork,andno plea of misunderstanding will be considered on account of damage or delay caused byhis ignorance thereof. Use Premises: 6.38 CONTRACTOR shall confineits apparatus,storage of materials,andoperationsofitsworkmentothe limitsindicatedbylaw,ordinances,permitsanddirectionsof CONSULTANT andCITY,and shall not unnecessarily encumberanypartof the siteoranyareasoffsite. 6.38.1 CONTRACTOR shall not overload or permit any part ofanystructuretobe loaded with such weightas will endangeritssafety,nor shall itsubjectany work tostressesorpressuresthat will endanger it 6.38.2 CONTRACTOR shall enforcetherules and regulation promulgated bytheCONSULTANT and OWNER aswellastheirinstructionswith regard to signs,advertisements,fires and smoking. Page 14 of 28 ©Thomas F.Pepe2014. 4/17/14 6.38.3CONTRACTOR shall arrangeand cooperate with CITY inroutingand parking ofautomobilesof itsemployees,subcontractors and other personnel,aswellas that ofthematerialdelivery trucks and other vehicles that come totheProjectsite. 6.38.4TheCitywilldesignatespecificareason the siteforstorage,parking,etc.and the jobsiteshallbe fenced to protect thejobsiteandthegeneral public.._..._.. 6.38.5TheCONTRACTOR shall furnish,install and maintain adequateconstructionoffice facilities forall workers employedbyit or byits Subcontractors.Temporary offices shall beprovidedand located where directed andapprovedby the CONSULTANT.Allsuch facilities shallbefurnished in strict accordance withexistinggoverningregulations.Fieldofficesshallinclude telephone facilities. Protection of Existing Property Improvements: 6.38Anyexistingsurface or subsurfaceimprovements,suchaspavements,curbs,sidewalks,pipes or utilities, footings,or structures (including portions thereof),trees and shrubbery,not indicatedon the Drawings or notedin the Specificationsasbeing removed or alteredshallbe protected fromdamageduring construction of the Project Anysuch improvements damagedduring construction of the Project shall be restored at the expense of the CONTRACTOR to a condition equal to that existingat the timeof award of Contract. ARTICLE 7 -WORK BY OTHERS. 7.1 TheCITYmay perform additional Work relatedtotheProject or maylet other direct contracts therefor which shall contain General Conditions similar to these.The CONTRACTOR shall afford the other contractors whoarepartiestosuchdirectcontracts(ortheOWNER,ifitisperformingthe additional Work itself),reasonable opportunity forthe introduction and storage ofmaterialsand equipment and the execution of Work,andshall properly connect and coordinate its Work with theirs. 7.2Ifanypartof the CONTRACTOR'S Work dependsupon proper execution or resultsof the Work ofany other contractor or the OWNER,the CONTRACTOR shallpromptly report to the CONSULTANTin writinganydefects or deficienciesinsuch Work that render itunsuitablefortheCONTRACTOR'S Work. 7.3The CONTRACTOR shalldoallcutting,fittingandpatchingofthe Work that maybe required tomake itsseveralparts come together properly andfit to receive or bereceivedbysuch other Work.The CONTRACTOR shall not endanger any Work of others bycutting,excavating or otherwise altering their Work andshallonlycutor alter their Work with the written consent oftheCONSULTANTandofthe other contractor whose work will be affected. 7.4If the performance ofadditional Work by other contractors or the OWNER isnot noted inthe Contract Documents prior to the executionofthe Contract,writtennotice thereof shallbegiventothe CONTRACTOR priortostartinganysuchadditional Work.Ifthe CONTRACTOR believesthatthe performanceofsuchadditional Work bytheOWNERorothers will cause the CONTRACTOR additional expense or entitleshimtoanextensionofthe Contract Time,hemaymakeaclaim therefore asprovidedinArticles 11 and 12. 7.5 Where practicable,the CONTRACTOR shallbuildaroundthe work of other separate contractors or shallleavechases,slotsandholesasrequiredtoreceiveandtoconcealwithin the general construction Work the work ofsuch other separate contractors asdirectedbythem.Where suchchases,slots,etc., areimpracticable,the Work shall require specificapprovalofthe CONSULTANT. 7.6Necessarychases,slots,andholes not builtorleftby the CONTRACTOR shallbe cut bytheseparate contractor requiringsuchalterationsafterapprovaloftheCONTRACTOR.TheCONTRACTOR shall doallpatchingand finishing ofthe work of other contractors whereitiscutbythemandsuch patching and finishing shallbeat the expense of CONTRACTOR 7.7 Cooperation isrequiredintheuseofsite facilities andinthedetailedexecutionofthe Work.Each contractor shallcoordinatetheiroperationwith those ofthe other Contractors forthebestinterestof the Work in order to prevent delayin the execution thereof. 7.8Eachofseveral contractors workingontheProjectSiteshallkeep themselves informedoftheprogressof theworkof other contractors.Shouldlackofprogressordefectiveworkmanshipon the partof other contractors interfere withtheCONTRACTOR'S operations,the CONTRACTOR shallnotifythe CONSULTANTimmediatelyandinwriting.Lackofsuchnoticeto the CONSULTANTshallbe construed as acceptance by the CONTRACTOR of the statusof the work of other contractors asbeing satisfactory for proper coordination of CONTRACTOR'S own Work. 7.9The cost of extra Work resultingfromlackof notice,untimelynotice,failure to respond to notice, Defective Work or lack of coordination shall be the CONTRACTOR'S cost Page 15 of 28 ©Thomas F.Pepe2014. 4/17/14 7.10 TheCITY reserves therightintheeventtheCONTRACTOR cannot provideanitem(s)or service(s)ina timelymanneras requested,to obtainthegoodand/orservicesfrom other sources anddeducting the cost from the Contract Price without violating the intent of the Contract ARTICLE JU CITY'S RESPONSIBILITIES. 8.1 The CITY willissueall communications to the CONTRACTOR through theCONSULTANT. 8.2Incasesofterminationofemploymentofthe CONSULTANT,the CITY will appointaCONSULTANT whose status under the Contract Documents shall be that of the former CONSULTANT. 8.3TheCITYshallpromptlyfurnishthedatarequiredofthemunder the Contract Documents. 8.4The CITY'S dutiesin respect to providinglandsandeasementsare set forthinParagraphs 4.1 and4.2. 8.5TheCITYshallhavetherighttotakepossessionofanduseany completed or partiallycompleted portions of the Work,notwithstanding thefact that thetimeforcompleting the entire Work or any portion thereof maynothaveexpired;butsuchtakingpossessionanduseshall not bedeemedan acceptance ofany Work not completed in accordance withthe Contract Documents. ARTICLE 9-CONSULTANTS'STATUS DURING CONSTRUCTION. City's Representative: 9.1 TheCONSULTANT shall be the CITY'S representativeduring the construction period.Thedutiesand responsibilitiesandthelimitationsofauthorityoftheCONSULTANTasthe CITY'S representative during construction aresetforthinArticles I through 16 oftheseGeneralConditionsand shall not be extended without written consent of the CITY and the CONSULTANT. 9.1.1 The CONSULTANT'S decision,in matters relatingtoaesthetics,shallbe final,ifwithinthe terms of the Contract Documents. 9.1.2 Exceptasmaybe otherwise providedinthiscontract,allclaims,counterclaims,disputesand other matters in question between theCITYandthe CONSULTANT arising out of or relating to this Contract or thebreachthereof,shall bedecidedina court of competent jurisdictionwithin the State of Florida. Visits to Site: 9.2TheCONSULTANTshallprovideaninspector to makeperiodicvisitstothesiteateachphaseof construction to observe the progressandqualityofthe executed Work andto determine ifthe Work is proceedinginaccordancewiththe Contract Documents.Hisefforts shall bedirectedtowardproviding assurancefortheOWNERand all applicable regulatory agencies thatconstructionisin compliance with the Construction Documentsand applicable laws,rulesandregulations.Onthebasisof these onsite- observationsasanexperiencedand qualified design professional,heshallkeepthe CITY informedofthe progressof the Work andshallguardtheOWNERagainstdefectsand deficiencies inthe Work of CONTRACTOR. Clarificationsand Interpretations: 9.3The CONSULTANT shall issue,with reasonable promptness,suchwritten clarifications orinterpretations oftheContract Documents (intheformof Drawings orotherwise)asit may determine necessary,which shall beconsistentwith,or reasonably inferable from,theoverallintentofthe Contract Documents.If the CONTRACTOR seeks an increase in the Contract Price or extension of Contract Time based on a written clarification and/orinterpretationit shall berequiredtosubmita timely claim as provided in Articles 11 and 12. Measurement of Quantities: 9.4 All WorkcompletedundertheContract shall be measured bythe CONSULTANT according tothe United States Standard Measures.All linear surface measurements shall be made horizontally or vertically as required by the item measured. Rejecting Defective Work: 9.5The CONSULTANT shall haveauthoritytodisapproveorreject Work thatis"DefectiveWork"as defined inArticle I.It shall alsohaveauthoritytorequire special inspection ortestingoftheWork including Work fabricatedon or offsite,installed orcompletedasprovided.Intheeventthatthe CONSULTANT requirestestingofcompletedWork,thecostofsuchinspectionsand/ortesting shall be approvedinwritingby the CITY.All consequentialcostofsuchinspectionsand testing including but not limited to the cost oftestingandinspection,thecostofrepairinganyofthe Work,or the work of others, Page 16 of28 ©Thomas F.Pepe2014. 4/17/14 thecosttomovefurnitureandequipmentand/orthecosttoprovidealternative facilities until therepair work canbe completed,shallpaidbythe CONTRACTOR if the Work isfound to beDefective Work. ShopDrawings.Change Orders and Payments: 9.6 In connectionwiththe CONSULTANT responsibility astoShop Drawings and samples,see paragraphs 6.25 through 6.28,inclusive. 9.7 In connectionwiththe CONSULTANT'S responsibility forChange Orders seeArticles 10,II,and 12. 9.8 In connectionwiththe CONSULTANT responsibilities withrespecttothe Application for Payment,etc., see Article 14. Decisions on Disagreements: 9.10 TheCONSULTANTshallbethe initial interpreter ofthe Construction Documents. Limitationson Consultant's Responsibilities: 9.11 TheCONSULTANTwillnotberesponsibleforthe construction means,methods,techniques,sequences or procedures,or the safety precautions andprograms incident thereto. 9.12 TheCONSULTANTwillnotberesponsiblefortheactsoromissionsoftheCONTRACTOR,or any Subcontractors,oranyof their agent servants or employees,or any other person performinganyofthe Work under or through them. ARTICLE 10 -CHANGES IN THE WORK. 10.1 Without invalidating the Contract theCITYmay,atanytime or fromtime to time,order additions, deletions or revisionsin or tothe Work whichshallonlybe authorized bya written Change Orders. Upon receipt ofaChange Order,theCONTRACTOR shall proceed with the Work involved.Allsuch Work shallbe performed under theapplicableconditionsof the Contract Documents.Ifany authorized written Change Order causes an increase or decrease in the Contract Price or an extension or shortening of the Contract Time,anequitable adjustment willbemadeas provided inArticle 11 or Article 12.A written Change Order signedbytheCITYand the CONTRACTOR indicates their agreement to the terms of the Change Order.AllChange Orders shallbe certified by the CONSULTANTasto the appropriateness andvalueofthechangeinthe Work aswellastoanychange in the time to complete the Work under the circumstances.The failuretoincludea time extension in theChange Order or in the request forachange order shall resultinawaiverofanyextensionoftime due to the changein the work as reflected in the Change Order. 10.2 The CONSULTANT may authorize minorchanges or alterations in the Work not involving extra cost and not inconsistent with the overall intent of the Contract Documents without the need for a formal written Change Order providedthe CONTRACTOR does not request additionaltime or additional compensation.Thesemaybeaccomplishedbyawritten Field Order.Ifthe CONTRACTOR believes that anychange or alteration authorizedbytheCONSULTANT'S Field Order wouldentitles the CONTRACTOR to an increase in the Contract Price or extension of Contract Time,it must submit a written noticeofintent to demandaChange Order within twenty four(24)hoursoftheissuanceofthe Field Order andsubmita written proposalforChange Order withinfour(4)days thereafter,otherwise the CONTRACTOR shall be deemed to have waived such claim. 10.3 Additional Workperformedbythe CONTRACTOR without authorization ofawritten Change Order shall not entitle it to an increase in the Contract Price or an extension of the Contract Time,except in thecaseofanemergencyasprovidedinparagraph6.22and except asprovidedin paragraph 10.2. 10.4 The CITY will execute appropriate Change Orders preparedbytheCONSULTANTcoveringchangesin the Work,tobe performed asprovidedinparagraph4.4,and Work performed inanemergencyas providedinparagraph6.22andany other claim oftheCONTRACTORforachangeinthe Contract Time or the Contract Pricewhichis approved by the CONSULTANT. 10.5 ItistheCONTRACTOR'S responsibility to notify itsSuretyofany changes affecting thegeneralScopeof the Work or changein the Contract Price or Contract Timeand the amount of the applicable bondsshall beadjustedaccordingly.The CONTRACTOR shallfurnish proof ofsuch an adjustment totheCITY before commencement of the Change Order Work.The Work shallbe stopped untilthe CONTRACTOR providessuchproofofadjustmentintheBondamountandanysuchdelayshallbe charged to the CONTRACTOR. ARTICLE 11 -CHANGE OF CONTRACT PRICE. Page 17 of28 ©Thomas F.Pepe 2014. 4/17/14 11.1 TheContract Price constitutesthetotalcompensation payable tothe CONTRACTOR forPerforming the Work.Allduties,responsibilitiesand obligations assigned toorundertakenbythe CONTRACTOR shallbeatits expense without changing the Contract Price. 11.2 The CITYmay,atanytime,without written noticeto the sureties,by written order designatedor indicated to be aChangeOrder,make anychangein the Work withinthegeneraLscope_ofthe_Contract,—. including but not limited to changes to orin: 11.2.1 Specifications (including drawingsand designs); 11.2.2 Methodor manner of performance of the Work. 11.2.3 CITY-furnished facilities,equipment materials,services,orsite;or 11.2.4 Accelerationin the performanceof the Work. 11.3 Except as provided inthissection,or sections referred to inthis section,no order,statement or conduct oftheCITY shall betreatedasaChangeOrderorentitlethe CONTRACTOR toanequitable adjustmentunlessanduntilthechangeinthe Work is specifically andexpresslyprovidedforina written ChangeOrder,oras otherwise providedinanothersectionofthe Contract Documents. 11.4 When a Change Order isissuedbythe CONSULTANT and signed bytheCITYorissuedbytheCITYin writing,the CONTRACTOR shall performthe Work evenifthe CONTRACTOR does not agreewith thedollaramount of theChangeOrder.IfanyChange Order causesanincreaseordecreasein the CONTRACTOR'S costof,orthetimerequiredfor,theperformanceofanypartofthe Work underthis Contract forwhichtheCITYandthe CONTRACTOR cannotreachatimelyagreementanequitable adjustmentbasedonthecostofthe Work shall bemadeandtheContractmodified accordingly. 11.5 If the CONTRACTOR intendstoasserta claim foran equitable adjustmentorcontesttheequitable adjustmentmadebytheCONSULTANT,it shall,withinten (10)calendar days afterreceiptofawritten Change Order,submittotheCITYandCONSULTANTawrittennotice including astatementsetting forththe general natureandmonetary extent ofsuch claim for equitable adjustmenttimeextension requestedandsupporting data.In determiningthecostoftheChangeOrder,thecosts shall belimitedto those listed in section 11.7 and 11.8. 11.6 No claim bythe CONTRACTOR foranequitableadjustmenthereunder shall beallowedif not submitted in accordance withthissectionorifassertedafter final paymentunderthisContract. 11.7 Thevalueofany Work coveredbya Change Orderorofany claim foran increase ordecreaseinthe Contract Price shall bedeterminedinoneofthe following ways: 11.7.1 Bynegotiatedlumpsum. 11.7.2 Onthe basis ofthe reasonable cost and savings thatresultsfromthe change inthe Work plus a mutually agreeduponfeetothe CONTRACTOR tocoveroverheadandprofitnottoexceed 15%.If the CONTRACTOR disagrees withtheCONSULTANTSdeterminationof reasonable costs,the CONTRACT shall provide alistof all coststogetherwith backup documentation 11.8 ThetermcostoftheWork means thesumof all direct extracosts necessarily incurred and paid bythe CONTRACTORinthe proper performance ofthe Change Order.Except as otherwise maybe agreed toinwritingbyCITY,suchcosts shall beinamountsno higher thanthose prevailing in Miami-Dade Countyand shall include onlythe following items: 11.8.1 Payroll costs for employees in the direct employ of CONTRACTOR in the performance ofthe Work described in the Change Order under schedules of job classifications agreed upon by CITY and CONTRACTOR.Payroll costsfor employees not employed full timeonthe Work shall be apportioned onthe basis oftheirtimespentontheWork.Payroll costs shall be limited to: salaries and wages,plus thecostsof fringe benefits which shall include social security contributions,unemploymentexcise and payroll taxes,workers'compensation,health and retirement benefits,sick leave,vacation and holiday pay applicable thereto.Such employees shall include superintendents and foremen atthe site.The expenses of performing Work after regular working hours,on Sunday or legal holidays shall be included in the above onlyif authorized by CITY and provided it was notin any way,whetherinwholeorinpartthe result ofthe fault ofthe CONTRACTORdueto negligence oftheCONTRACTORorthose acting byor through him or duein whole orinparttoDefective Work of the CONTRACTOR. 11.8.2 Costof all materials and equipment furnished and incorporated intheWork,including costsof transportationandstorage,and manufacturers'field servicesrequiredinconnectiontherewith. The CONTRACTOR shall notifytheCITYof all cashdiscountsthatare available andofferthe CITYtheopportunitytodeposit funds withthe CONTRACTOR forthepaymentforitemsthat offer a discount.Cash discounts shall accrue to CONTRACTOR unless the CONTRACTOR fails totimelynotifytheCITYofthediscountsorif the OWNER depositsfundswith CONTRACTOR withwhichtomakepaymentsinwhichcases the cashdiscounts shall accrueto the OWNER.All trade discounts,rebatesand refunds,and all returnsfrom sale of surplus materials andequipment Page 18 of 28 ©ThomasF.Pepe2014. 4/17/14 shall accrueto OWNER,and CONTRACTOR shall make provisions sothatthey may be obtained. 11.8.3 Payments madeby CONTRACTOR totheSubcontractorsforWork performed by Subcontractors.Ifrequiredby CITY,CONTRACTOR shall obtaincompetitivebidsfrom Subcontractors acceptabletohimandshalldeliversuchbids toCITY who will then determine, with the adviceoftheCONSULTANT,which Bids will beaccepted.No subcontract shallbea costpluscontractunlessapprovedinwritingbythe CITY.IfaSubcontractprovidesthatthe Subcontractoristobepaidonthe basis ofCostofWorkplusafee,thecostofthe Work shall be determined in accordance this section 11.8 and in such case the word "Subcontractor"shall be substituted for the word "CONTRACTOR". 11.8.4 Rentalsofallconstructionequipmentand machinery,excepthandtools,andtheparts thereof whether rented from CONTRACTOR or others in accordance withrental agreements approvedbyCITYwith the adviceofCONSULTANT,andthecostsof transportation,loading unloading,installation,dismantlingandremoval thereof -allin accordance with terms ofsaid rentalagreements.Therentalofanysuchequipment,machinery or parts shall ceasewhenthe use thereof isnolongernecessaryforthe Work. 11.8.5 Sales,use or similartaxesrelatedtothe Work,andforwhichCONTRACTORis liable,imposed byany governmental authority. 11.8.6 Paymentsandfeesforpermitsandlicenses.Costs forpermitsandlicensesmustbeshownasa separate item. I 1.8.7 The cost ofutilities,fuelandsanitary facilities atthesite. 11.8.8 Minor expenses suchastelegrams,longdistance telephone calls,telephone serviceatthesite, expressage andsimilar petty cashitemsin connection with the Work. 11.8.9 Cost ofpremiumsforadditionalBondsandinsurancerequiredsolelybecauseofchangesinthe Work,not to exceed two percent (2%)oftheincreasein the Cost ofthe Work. 11.9 Theterm Cost of the Work shallNOTincludeanyofthe following. 11.9.1 Payroll costs and other compensationofCONTRACTOR'Sofficers,executives,principals(of partnership andsole proprietorships),generalmanagers,engineers,architects,estimators,lawyers, agents,expediters,timekeepers,clerksand other personnel employedby CONTRACTOR whether at the site or initsprincipal or abranchofficefor general administration ofthe Work and not specifically includedin the schedule referred to inSubparagraph 11.5. 11.9.2 Expensesof CONTRACTOR'S principal andbranchoffices other thanitsofficeatthe site. 11.9.3 Any part ofCONTRACTOR'Scapitalexpenses,including interest onCONTRACTOR'Scapital employed for the Work andchargesagainst CONTRACTOR for delinquent payments. 11.9.4 Cost ofpremiumsfor all bondsandforallinsurancepolicies whether or notCONTRACTORis required bythe Contract Documents topurchaseandmaintain the same (except as otherwise provided inSubparagraph 11.8.9). 11.9.5 Costs due to thenegligenceofCONTRACTOR,any Subcontractor,or anyonedirectlyor indirectlyemployedbyanyof them or for whose actsanyof them maybeliable,includingbut not limitedto,the correction ofdefective work,disposalofmaterials or equipment wronglysupplied andmaking good any damage to property. 11.9.6 Other overhead or generalexpensecostsofanykindand the costsofanyitem not specifically and expressly includedinParagraph 11.8. 11.10 The CONTRACTOR'S feewhichshallbeallowedto CONTRACTOR forits overhead andprofitshallbe determined as follows: 11.10.1 Amutuallyacceptablefirmfixedprice;or ifnonecanbeagreedupon. 11.10.2 Amutuallyacceptablefixedpercentage(not to exceed 15%). 11.11 The amount of credit tobeallowedby CONTRACTOR to OWNER foranysuchchangewhichresultsin a net decrease in cost will be the amount of the actual net decrease in costs calculated in the same manneras provided in 11.8.When bothadditionsand credits areinvolvedinanyonechange,the net shallbe computed to include overhead and profit identifiedseparately,forbothadditionsand credit provided however,the CONTRACTOR shall not be entitled toclaim lost profitsforany Work not performed. ARTICLE 12 -TIME FOR COMPLETION.LIQUIDATED DAMAGES AND CHANGE OF THE CONTRACT TIME. 12.1 Timeisoftheessencetothis contract andthedateof beginning andthetimeforcompletionofthe Work areessential conditions of the Contract Therefore,the Work shallbe commenced on the datespecified intheNotice to Proceedand completed withinthetimespecifiedforcompletionof the work. Page 19 of 28 ©ThomasF.Pepe2014. 4/17/14 12.2 The CONTRACTOR shall proceed withthe Work atsuch rate of progress to ensure full completion within the Contract Time.Itisexpressly understood andagreed,byandbetween the CONTRACTOR andtheOWNER,thatthe Contract Timeforthecompletionofthe Work describedhereinisa reasonabletime,takinginto consideration theaverageclimaticandeconomicconditionsand other factors prevailing in theTocalityof-the-Work.No extensionoftime shallbe granted dueconditions-that the — Contractor knewoforshouldhaveknownofbefore bidding ontheprojectorduetoinclement weather, except as provided in section 12.7. 12.3 If the CONTRACTOR shall fail to complete the Work withinthe Contract Time,or extensionof time grantedbythe CITY,then the CONTRACTOR shall paytotheOWNERtheamountof liquidated damages as specified inthe Contract Documentsforeachcalendardayafterthescheduleddatefor completionasadjustedby written Change Orders thatextended the completiondate. 12.3.1 Theseamountsarenotpenaltiesbutare liquidated damagesincurredbytheOWNERforits inability toobtain full useoftheProject.Liquidated damagesarehereby fixed andagreedupon betweenthe parties,recognizing the impossibility of precisely ascertaining theamountofdamages that will be sustained asaconsequenceof such delay,andbothparties desiring to obviate any question or disputeconcerningtheamountofsaiddamagesandthe cost andeffectofthefailure ofCONTRACTORtocompletetheContractontime.Theabove-stated liquidated damages shall applyseparatelytoeachphaseoftheProjectforwhichatimeforcompletionis given. 12.3.2 CITYisauthorizedtodeductthe liquidated damages frommoniesduetoCONTRACTORforthe Work under this Contract. 12.4 TheContractTime may onlybe changed byawritten Change Order.Any claim foranextensioninthe CONTRACT TIMEshall be based on written notice delivered to the CITY and CONSULTANT within five (5)business days oftheoccurrenceoftheevent giving risetothe claim and stating the general nature ofthe claim including supportingdata.All claims foradjustmentinthe Contract Time shall beevaluated andrecommendedbythe CONSULTANT,with final approval bythe CITY'S representative.Any change inthe Contract Time resulting fromanysuch claim shall beincorporatedinawritten Change Order. 12.5 All time limits stated in the Contract Documents are of the essence of the Contract. 12.6 No claim for delay shall be allowed because of failure to furnish Drawings beforethe expiration of fourteen (14)calendardaysafter demand hasbeen made inwritingtothe CONSULTANT forsuch Drawings.Furthermore,there shall benomonetary compensation forsuch delay andthe CONTRACTOR'S soleremedy shall bean extension oftimeforthe period of delay. 12.7 Extensions totheContractTimefor delays causedbytheeffectsof inclement weather shall notbe grantedunlesstheweatherwas unusual forSouth Florida andcouldnot have been anticipated,the abnormal weather isdocumentedbyrecordsfromthe national weather serviceandtheabnormal weather is documented to have hada substantial affected on the construction schedule. 12.8 No Damages for Delay:The CONTRACTOR agrees thathe shall not have any claim for damages dueto delay unless the delay exceeds6 months,whether individually or cumulatively,andthenthe damages shall be limited toincreasedcostof materials thatwere unanticipated andthatwouldnothavebeenincurred butforthe delay.Otherthanassetforth above,the only remedy for any delay shall be limited toan extension oftimeas provided forin Section 12.4 which shall bethesoleand exclusive remedy forsuch resultingdelay.Other thanas set forthabove,CONTRACTORshallnotbeentitledtoanincreasein the Contract Price or payment or compensation of any kind from OWNER fordirect indirect consequential, impact or other costs,expenses or damages,including butnot limited to,costsofaccelerationor inefficiency,overhead orlost profits,arising because of delay,disruption,interference or hindrance from anycausewhatsoever,whether such delay,disruption,interference or hindrancebereasonable or unreasonable,foreseeable or unforeseeable,or avoidable or unavoidable. 12.9 The CONTRACTOR waives all claims thatarenot presented tothe City in writing onor before the 21 st day following thedateoftheeventuponwhichthe claim isbased. 12.10 Dispute Resolution:If any dispute concerning a question offactarisesunderthe Contract otherthan terminationfordefault or convenience,theCONTRACTORandthecity department responsibleforthe administration ofthe Contract shall makeagood faith efforttoresolvethedispute.Ifthedisputecannot be resolved byagreementthenthedepartment with the advice oftheCityAttorneyandthe CONSULTANT shall ruleonthe disputed issue and sendawrittencopyofits decision tothe CONTRACTOR.CONTRACTOR shall comply with such decision and shall not delay theproject ARTICLE 13-GUARANTEE 13.1 The CONTRACTOR shall guaranteeand unconditionally warrantthrougheitherthe manufacturer orthe CONTRACTOR directly,all materials andequipment furnished andWorkperformedforpatent Defective Work foraperiodofone(I)yearfromthedateof Final Acceptanceas indicated inthe Page20 of 28 ©ThomasF.Pepe2014. 4/17/14 CONSULTANT Letterof Recommendation ofAcceptanceorfromthedatewhenthedefectwasfirst observable,whicheverislater.Thesameguaranteeandunconditionalwarrantyshallbeextendfor five (5)yearsfromthedateof Final Acceptanceas indicated inthe CONSULTANT Letterof RecommendationofAcceptanceforlatentDefectiveWork.The CITY will givenoticeof observed defectswithreasonable promptness.In theeventthattheCONTRACTOR-should fail-to commence to correct such Defective Work within ten (10)calendardaysafter having receivedwrittennoticeof the defect or shouldthe CONTRACTOR commence the corrective work,butfail to prosecute the correctiveworkcontinuouslyand diligently andinaccordancewiththe Contract Documents,applicable law,rulesand regulations,the CITY may declareaneventofdefaultterminatethe Contract inwholeor inpartandcausetheDefective Work toberemovedor corrected andtocompletethe Work at the CONTRACTOR'S expense,andthe CITY shall chargetheCONTRACTORthecosttherebyincurred. The Performance Bondshallremainin full forceandeffect through the guarantee period. 13.2 The specific warrantyperiods listed intheContract Documents,if different fromtheperiodoftime listed in Section 13.1,shall take precedence over Section 13.1. 13.3 CONTRACTOR shall actasagentona limited basis fortheOWNER,atthe CITY's option,solelyfor the follow-up concerning warranty compliance for all itemsunder manufacturer's Warranty/Guarantee andforthepurposeof completing all formsforWarranty/Guaranteecoverageunderthis Contract 13.4 In caseofdefaultbythe CONTRACTOR,theCityofSouth Miami may procurethe articles orservices from other sourcesandholdtheCONTRACTORresponsibleforanyexcesscostsoccasionedor incurred thereby. 13.5 TheCITYmaywithholdacceptanceof,or rejectitemswhicharefounduponexamination,not to meet the specification requirements.Upon written notification of rejection,items shall be removed within five (5)business days bythe CONTRACTOR at his ownexpenseand redelivered at his expense.Rejected goods left longerthanthirty (30)calendar days shall beregardedas abandoned andtheCity shall havethe righttodisposeofthemasitsownpropertyandthe CONTRACTOR thereby waives any claim tothe goodorto compensation ofany kind.Rejection for Non-conforming Workor failure tomeet delivery schedulesmayresultinthe Contract beingfoundindefault. ARTICLE 14 -PAYMENTS AND COMPLETION. Paymentsto Contractor 14.1 The Contractor shall notbeentitledtoanymoneyforanyworkperformedbeforethe issuance ofa Notice to Proceed on the form described in the Contract Documents and the issuanceby the Cityofa "purchaseorder",oranyotherdocumentdoesnotand shall notauthorizethecommencementofthe Work.Atleastten (10)calendar days beforeeachprogress payment falls due(butnotmoreoftenthan onceamonth),the CONTRACTOR shall submittothe CONSULTANT a partial payment estimate filled outand signed bythe CONTRACTOR covering theWork performed during theperiod covered bythe partial payment estimate and supported by such dataasthe CONSULTANT may reasonably require.All progress payment applications afterthefirst progress payment shall be accompanied by partial releases of lien executedby all persons,firms andcorporationswhohave furnished labor,servicesor materials incorporatedintothework during theperiodoftimefor which the previous progress payment was made, releasing such claims and lien rights,if any,ofthose persons.If payment isrequestedonthe basis of materials andequipmentnotincorporatedintheWorkbut delivered and suitably storedatornearsite, the partial payment estimate shall also be accompanied by such supporting data,satisfactory tothe CITY, which establishes theOWNER'Stitletothe material andequipmentas well ascertificatesofinsurance providing coverage for 100%ofthe value of said material and equipment covering the material and equipment from all casualties as well as theft,vandalism,fireand flood.The CONTRACTOR shall replace atitsexpense any stored materials paid for which areeither damaged orstolenbefore installation.The CONSULTANT will withinten (10)calendardaysafterreceiptofeachpartialpaymentestimate,either certifying in writing its approval of payment and presentthe partial payment estimate tothe OWNER,or returnthe partial payment estimate tothe CONTRACTOR,indicating in writing hisreasonsfor refusing toapprove payment.Inthelattercase,theCONTRACTORmaymakethenecessarycorrectionsand resubmitthe partial paymentestimate.TheOWNER,will withinthirty(30)calendardaysofpresentation toitofanyapproved partial paymentestimate,paytheCONTRACTORaprogresspaymentonthe basis ofthe approved partial payment estimate.The OWNER shall retain ten (10%)percentoftheamountof eachpayment until Final Completion and Acceptance of all Work coveredbytheContract Documents. Any interest earnedon the retainage shall accruetothebenefitoftheOWNER. 14.2 TheCONTRACTOR,beforeit shall receive final payment shall delivertotheCITYa Contractor's Final Payment Affidavit assetforthinthe Florida Construction Lien Statuteaswellas final releasesof lien executedby all personswhohaveperformedorfurnishedlabor,services or materials,directlyor Page 21 of 28 ©Thomas F.Pepe2014. 4/17/14 indirectly,whichwas incorporated into the Work.Ifanypersonrefuses to providesucharelease or providesaconditionalrelease,the CITY shall havetherighttoissueajointcheckmadepayable to the CONTRACTOR andsuchperson. Contractor's Warranty of Title , 14.3 The CONTRACTOR warrantsandguaranteesthattitle to all Work,materialsand equipment covered by anApplicationforPayment whether the Work,materialor equipment isincorporatedin the Projector not shall havepassedtothe OWNER priortothemakingoftheApplicationforPaymentfreeandclear of all liens,claims,securityinterestand encumbrances (hereafterintheseGeneralConditionsreferredto as "Liens");and that no Work,materialsor equipment coveredbyanApplicationforPaymentwillhave beenacquiredbythe CONTRACTOR orbyanyotherpersonperformingthe Work atthesite or furnishingmaterialsand equipment for the Project,underorpursuant to an agreement under whichan interest therein or encumbrance thereon isretainedby the selleror otherwise imposedby the CONTRACTOR orsuch other person. Approval of Payment 14.4 The CONSULTANT'S approval ofanypaymentrequestedinanApplicationforPayment shall constitute a representation byhim to the CITY,basedon the CONSULTANT'S onsite observations of the Work in progressasan experienced professionalandonhisreview of the ApplicationforPaymentand supporting data,thatthe Work hasprogressed to thepointindicatedin the Applicationfor Payment;that to the besthisknowledge,informationandbelief,the quality ofthe Work isinaccordancewith the Contract Documents (subjecttoan evaluation ofthe Work asafunctioningProjectupon substantial completionas definedinArticle I,to the resultsofanysubsequent tests called forin the Contract Documents andany qualifications statedinhis approval);andthatthe CONTRACTOR isentitled to payment of the amount approved.However,byapprovinganysuchpayment the CONSULTANT shall not thereby be deemed tohaverepresentedthathemadeexhaustiveorcontinuouson-siteobservationstocheck the qualityor thequantityof the Work,orthathehasreviewedthemeans,methods,techniques,sequencesand proceduresofconstructionorthathehadmadeanyexaminationtoascertainhoworforwhatpurpose the CONTRACTOR hasusedthemoneys paid ortobe paid to himonaccountoftheContract Price,or thattitletoany Work,materials,or equipment haspassedtothe OWNER freeandclear of anyliens. 14.5 The CONTRACTOR shall make the followingcertificationoneach request for payment "Iherebycertify that thelaborandmaterialslistedonthis request forpaymenthavebeenusedinthe construction ofthis Work andthat all materialsincludedinthis request forpaymentand not yet incorporatedinto the constructionarenowonthesiteorstoredatanapprovedlocation,andpayment receivedfromthelastrequestforpaymenthasbeenusedtomakepaymentsto all hisSubcontractors and suppliers,except fortheamountslistedbelowbesidethenamesof the personswhoperformed work orsuppliedmaterials". In theeventthatthe CONTRACTOR withholdspaymentfromaSubcontractoror Supplier,thesame amountofmoney shall bewithheldfromtheCONTRACTOR'Spaymentuntiltheissueisresolvedby written agreement between them andthenajointcheck shall bemadepayable to thepersoninquestion andthe CONTRACTOR in accordance withthesettlementagreementotherwisethemoney shall be heldbythe OWNER untilajudgmentisenteredinfavorofthe CONTRACTOR ortheperson,inwhich case the money shall be paid accordingwithsaidjudgment.Nothingcontainedherein shall indicatean intent tobenefitanythirdpersonswhoarenot signatories to the Contract 14.6 TheCONSULTANTmayrefusetoapprovethewholeoranypartofanypayment if,inits opinion,itis unabletomakesuchrepresentationsto the OWNER asrequiredthisSection 14.Itmayalsorefuseto approveany payment oritmayvoidanypriorpayment application certificationbecause of subsequently discoveredevidenceor the results of subsequent inspectionor tests to such extent asmaybenecessary inits opinion to protect the OWNER fromlossbecause: 14.6.1 ofDefective Work,or completed Work hasbeen damaged requiringcorrectionor replacement 14.6.2 the Work forwhichpaymentisrequestedcannotbeverified, 14.6.3 claims of Lienshavebeenfiledorreceived,or there isreasonableevidenceindicatingthe probable filing or receipt thereof, 14.6.4 the Contract Pricehas been reduced because of modifications, 14.6.5 theCITYhas correct Defective Work orcompleted the Work inaccordancewithArticle 13. 14.6.6 ofunsatisfactory prosecution of the Work,including failure to cleanupasrequiredby paragraphs 6.29 and 6.30, Page22 of 28 ©Thomas F.Pepe2014. 4/17/14 14.6.7 of persistent failure to cooperate with other contractors on the Project and persistent failureto carry out the Work in accordance with the Contract Documents, 14.6.8 ofliquidateddamagespayablebytheCONTRACTOR,or 14.6.9 ofany other violationof,or failuretocomplywithprovisionsofthe Contract Documents. Acceptance of Final Payment asRelease 14.11 TheAcceptanceby the CONTRACTOR of Final Paymentshallbeandshall operate asarelease to the OWNER andawaiverofallclaimsandall liability to the CONTRACTOR other thanclaimspreviously filed andunresolved.Thewaiver shall include all thingsdone or furnishedin connection withthe Work andforeveryactandneglectof the OWNERand others relating to or arising out ofthis Work.Any payment however,final or otherwise,shallnotreleasethe CONTRACTOR or its sureties fromany obligations under the Contract Documents or the Performance BondandPaymentBonds. 14.12 TheCONSULTANTmayvoidanycertificationofSubstantialCompletion or Final Completion ofthe Work asmaybenecessaryinhisopinionto protect theOWNERfromlossifhe determines,becauseof subsequently discovered evidence or theresultsof subsequent inspection or tests,that: 14.12.1 the Work isdefective,or thatthecompleted Work hasbeendamageddue to thefaultofthe CONTRACTOR or any individual orentity operating under or throughitrequiring correction or replacement to the extent that the project isnolongerSubstantially Completed,or inthe caseofFinal Completion certification,isnolonger Finally Competed. 14.12.2 the Work necessarytobecompletedforthe purpose ofcertifyingtheworkasbeing Substantially Completed or Finally Completed cannot beverified, 14.12.3 claims or Lienshavebeenfiled or received,or there is reasonable evidenceindicating the probable filing or receipt thereof that ifvalidandpaid,would reduce the amount owingtothe CONTRACTOR BY 20%inthecaseofSubstantial Completion and5%in the caseof Final Completion. 14.12.4 there isDefective Work the valueofwhich,if deducted from the contract price would reduce the amount owingto the CONTRACTOR BY 20%inthecaseof Substantial Completionand5% in the caseof Final Completion. 14.13 If the CONSULTANT de-certifies any portion of the Work that wascertified("Initial Certification")by the CONSULTANT,the CONTRACTOR shall repaytotheCityofSouth Miami anymoneypaidasa resultofsaid Initial Certificationbeingissuedwhichshallbepaidonlywhen the decertified work isre certified. Removal of Equipment 15.5 In thecaseof termination ofthisContractbefore completion for any cause whatever,the CONTRACTOR,if notified todosobythe CITY,shall promptly remove any part or all ofits equipment andsuppliesfromthepropertyofthe OWNER.Shouldthe CONTRACTOR notremovesuch equipmentand supplies,theCITY shall have therighttoremovethemattheexpenseofthe CONTRACTOR and the CONTRACTOR agrees thattheOWNER shall notbe liable for Ibss or damage tosuch equipment orsupplies.Equipmentandsupplies shall notbeconstruedtoincludesuchitemsfor whichthe CONTRACTOR hasbeen paid inwholeorin part. ARTICLE 16-MISCELLANEOUS. 16.1 Whenever anyprovisionof the Contract Documents requires the giving of written noticeitshallbe deemed tohavebeenvalidlygivenifdeliveredinperson to the individual or to a member of the firm or to anofficerof the corporation forwhomitisintended,or ifdeliveredat or sent by registered or certifiedmail,postage prepaid,to the lastknownbusiness address. 16.2 The Contract Documents shallremainthepropertyoftheOWNER.The CONTRACTOR and the CONSULTANTshallhave the righttokeepone record set of the Contract Documents upon completion of the Project. 16.3 Thedutiesandobligationsimposedby these General Conditions,Special Conditions and Supplementary Conditions,ifany,and the rightsand remedies available hereunder,and,in particular but without limitation,the warranties,guarantees andobligationsimposedupon CONTRACTOR bythe Contract Documentsandtherightsandremedies available to the OWNER andCONSULTANT thereunder,shall beinadditionto,andshall not be construed inanywayasalimitationof,anyrightsandremedies available bylaw,byspecial guarantee or by other provisionsof the Contract Documents. 16.4 Shouldthe OWNER or the CONTRACTOR sufferinjury or damagetoits person or property becauseof any error,omission,or actof the other or ofanyoftheiremployees or agents or others for whose acts theyare legally liable,claimshallbemadeinwriting to the other partywithin twenty one (21)calendar daysofthefirst observance ofsuchinjury or damage. ARTICLE 17 -WAIVER OF JURY TRIAL. 17.1 OWNERand CONTRACTOR knowingly,irrevocablyvoluntarilyandintentionallywaiveanyright either mayhavetoatrialbyjuryinState or Federal Court proceedingsin respect to anyaction,proceeding, lawsuit or counterclaim arising out of the Contract Documents or the performance ofthe Work thereunder. ARTICLE 18 -ATTORNEYS FEES JURISDICTION /VENUE /GOVERNING LAW. 18.1 The Contract shall be construed in accordance withand governed bythelawoftheStateofFlorida. 18.2 Thepartiessubmit to the jurisdictionofany court of competent jurisdictioninFloridaregardinganyclaim or actionarising out of or relatingto the Contract or Contract Documents.Venueofanyaction to enforce the Contract shallbeinMiami-DadeCounty,Florida. 18.3 Exceptasmaybe otherwise providedin the Contract Documents,allclaims,counterclaims,disputesand other matters in question between the OWNER and the CONTRACTOR arising out of or relating to this Contract or the breach thereof,shallbedecidedina court of competent jurisdictionwithin the State of Florida. ARTICLE 19 -PROJECT RECORDS. 19.1 The CITY shallhaverighttoinspectandcopyduringregularbusinesshoursatOWNER'Sexpense,the booksand records and accounts of CONTRACTOR which relate inanyway to the Project andtoany claimforadditional compensation madebyCONTRACTOR,andto conduct anauditofthe financial and accounting records of CONTRACTOR which relate to the Project CONTRACTOR shall retain and make available to CITY all such books and records and accounts,financial or otherwise,which relate to Page25of28 ©Thomas F.Pepe2014. 4/17/14 the Project and to any claim for a period ofthree (3)years following final completion ofthe Project During the Project and the three (3)year period following final completion ofthe Project, CONTRACTOR shall provide CITY access to its books and records upon five (5)business da/s written notice. 19.2"CONTRACTOR and all of its subcontractors are r^ (s.119.0701)while providing services on behalf ofthe OWNER and the CONTRACTOR,under such conditions,shall incorporate this paragraph in all of its subcontracts for this Project CONTRACTOR and its subcontractors are specifically required to:(a)Keep and maintain public records that ordinarily and necessarily would be required by the public agency in order to perform the service;(b)Provide the public with access to public records on the same terms and conditions that the public agency would provide the records and ata cost that does not exceed the cost provided in this chapter or as otherwise provided by law;(c)Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements arenotdisclosed except as authorized by law;and (d)Meet all requirements for retaining public records and transfer,at no costto the public agency all public records in possession ofthe contractor upon termination ofthe contraa and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements.All records stored electronically must be provided to the public agency in a format that is compatible with the information technology systems ofthe public agency. 19.3 If CONTRACCTOR or its subcontractor does not comply with a public records request the CITY shall have the right to enforce this contraa provision by specific performance and the person who violates this provision shall be liable to OWNER for its costs ofenforcing this provision,including attorney fees incurred in all proceedings,whether administrative or civil court and in all appellate proceedings. ARTICLE 20 -SEVERABILITY 20.1 If any provision of the Contraa or the application thereof to any person or situation shall to any extent, be held invalid or unenforceable,the remainder of the Contract,and the application ofsuch provisions to personsorsituationsotherthanthoseasto which it shall havebeen held invalid or unenforceable shall notbe affected thereby,and shall continue in full force and effect,and be enforced tothe fullest extent permitted bylaw. ARTICLE 21 -INDEPENDENT CONTRACTOR 21.1 The CONTRACTOR is an independent CONTRACTOR under the Contraa.Services provided by the CONTRACTOR shall be by employees ofthe CONTRACTOR and subject to supervision by the CONTRACTOR,and not as officers,employees,or agents ofthe OWNER.Personnel policies,tax responsibilities,social security and health insurance,employee benefits,purchasing policies and other similar administrative procedures,applicable to services rendered under the Contraa shall bethoseof the CONTRACTOR.
