RESOLUTION NO:126-15-14465 A Resolution authorizing the City Manager to amend the agreement with Granicus adding the Granicus Analog Server to enable Google Chrome web browser users to view City meetings on the City's streaming media archive service. WHEREAS,the City provides webcasting and archive videos of Citypublic meetings via Granicus,a webcasting provider of public meetings;and WHEREAS,on February 3,2011 the City entered into a contract with Granicus as a sole source of supply;and WHEREAS,at the request of the City,an audit of the City's recording transmission equipment revealed the encoder that delivers public meetings via the web will not be compatible with Google Chrome users beginning in September,2015;and WHEREAS,according to the Federal Government's Digital Analytics Program, Google Chrome is the most popular of all internet users;and WHEREAS,an upgrade of the City's encoder is recommended to provide broad public access and a seamless user experience when viewing public meetings;and WHEREAS,Granicus has represented to the City's purchasing department that the addition of the MBX Encoder isa modification to the existing proprietary software to enable Google Chrome web browsers to view public meetings and that any modification would void any warranty and any modification of the software bya third party isa violation of Section 2.4 of the licensing agreement. WHEREAS,the expense for this project,after a budget transfer,willbe charged to the CityClerk Contractual Account 001-1200-521-3450. NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THECITYOF SOUTH MIAMI,FLORIDA; Section 1.TheCity Manager is authorized amend the Granicus agreement replacing the Granicus Analog Encoder expending an upfront cost of $3,500,and an increase of$100per month,beginningOctober1,2015,enabling webuserswitha seamless experience when viewing public meetings.All other terms and conditions of the Granicus Service Agreement shall remain the same.A copy of the Granicus Service Agreement and Amendment is attached. Section 2.Severability.If any section,clause,sentence,or phrase of this resolution isforany reason heldinvalidor unconstitutional bya court of competent jurisdiction,thisholdingshallnotaffect the validityof the remaining portions ofthis resolution. (b)Online Training.Forany cancellations within twenty-four (24)hours of the scheduled online training,Granicus,atits sole discretion,mayinvoicetheClientfor fifty (50)percent of the purchased training costs>including any incurred third party cancellation fees,Subsequent training will need tobe purchased and scheduled atthe previouslyquoted pricing. 3.6 Additions.Granicus,atits'sole discretion,mayadd features or functionality to existing productsuite bundles for various reasons,including to enhance Granicus9 offerings,or improve user satisfaction.Duringthe initial periodofthis Agreement,the customer understands thattheuse ofthese additional products is included inthe originally agreed uponmonthly managed services fees. Page 2 At contract renewal,thecustomeracknowledgesthatthisaddedfunctionality may have additionalmonthlymanagedservicecharges associated withitandthat monthly managedservices ratesonrenewalsmay have ahigherratethanprecedingyears. 4.CONTENT PROVIDED TO GRANICUS 4.1Responsibilityfor Content.TheClientshallhavesolecontroland responsibility over the determination ofwhich data and information shall be included in the Content that is to be transmitted,including,if applicable,the determination of which cameras and microphones shallbe operational atany particular timeandatany particular location.However,Granicus hastheright (butnot die obligation)toremoveanyContentthat Granicus believesviolatesanyapplicablelaw orthis Agreement 4.2Restrictions.ClientshallnotprovideGranicus withanyContentthat:(i)infringes anythird parly's copyright,patent,trademark,tradesecretorotherproprietaryrights;(ii)violates anylaw,statute,ordinanceor regulation,including without limitationthe laws andregulations governingexportcontrolande-mail/spam;(iii)is defamatory ortradelibelous;(iv)is pornographic or obscene,or promotes,solicits or comprises inappropriate,harassing,abusive,profkne, defamatory,libelous,threatening,indecent,vulgar,orotherwiseobjectionableorconstitutes unlawfulcontentoractivity;(v)containsany viruses,oranyothersimilar software,data,or programs thatmay damage,detrimentally interfere with,intercept,or expropriate anysystem,data, information,orproperty of another. 5.TRADEMARK OWNERSHIP.Granicus and Client's Trademarks are listed in the Trademark Information exhibit attached as Exhibit D. 5.1EachPartyshall retain all right,titleandinterestinandtotheirown Trademarks* includinganygoodwill associated therewith,subjecttothelimitedlicense granted totheClient pursuant toSection6hereofUponany termination ofthisAgreement,eachParty'srighttouse die other Party's Trademarks pursuant tothisSection5 terminates. 5.2 Each party grants totheothera non-exclusive,non-transferable (other thanas provided in Section 5 hereof),limited Ucense tousethe other party's Trademarks asis reasonably necessary to perform its obligations under this Agreement,provided thatany promotional materials containing theotherparty's trademarks shallbe subject tothe prior written approval of suchother party,which approval shallnotbe unreasonably withheld. 6.LIMITATION OF LIABILITY 6.1WarrantyDisclaimer.Except asexpresslyprovidedherein,Granicus'services, software and deliverables are provided "as is"and Granicus expresslydisclaims anyand all express orimplied warranties,includingbutnotlimitedtoimplied warranties of merchantability,non infringement of thirdparty rights,andfitnessfora particular purpose;Granicusdoesnot warrant that acoess tooruse of itssoftwareorservices will be uninterrupted orerror free.Intheevent of any interruption,Granicus7 soleobligation shall betousecommercially reasonable effortsto restore access. 62 Limitation of Liabilities.Tothemaximumextentpermitted by applicable law, Granicusanditssuppliersandlicensorsshallnotbeliableforanyindirect,special,incidental, consequential,orpunitive damages,whether foreseeable or not,includingbutnotlimitedto:those arisingout of accesstoorinabilitytoaccesstheservices,software,content,orrelatedtechnical Page 3 support;damages orcosts relating tothe loss of:profits or revenues,goodwill,data (including loss of useor of data,lossorinaccuracyor coiruption ofdata);orcost of procurement of substitute goods,servicesortechnology,even if advised of thepossibility of suchdamagesandeveninthe eventofthefailureofanyexclusive remedy.InnoeventwillGranicus'andits suppliers*and licensors'liabilityexceedthe aimounts paidbyclientunderthisagreementregardlessofthefonn of theclaim(includingwithoutlimitation,any contract,productliability,or tort claim(including negligence,statutory or otherwise). 7.CONFIDENTIAL INFORMATION &OWNERSHIP. 7.1Confidentiality Obligations.ConfidentialInformationshallmean all proprietaryor confidential informationdisclosedormade available bytheotherpartypursuanttothisAgreement thatisidentifiedasconfidentialorproprietaryatthetime of disclosureoris of anaturethatshould reasonablybeconsideredtobeconfidential,andincludesbutisnotlimitedtothetermsand conditions of thisAgreement,andall business,technicalandotherinformation (including without limitation,all product,services,financial,marketing,engineering,researchanddevelopment information,product specifications,technical data,data sheets,software,inventions,processes, trainingmanuals,know-howandanyother information ormaterial),disclosedfromtimetotimeby the disclosing partytothereceivingparty,directlyorindirectlyinanymannerwhatsoever (includingwithout limitation,in writing,orally,electronically,orby inspection);provided, however,thatConfidentialInformationshallnot include theContentthatistobe published onthe website(s)of Client 7.2Eachpartyagreestokeep confidential andnotdisclosetoanythirdparty,andto useonlyforpurposes of performingoras otherwise pennittedunderthis Agreement,any Confidential Information.The receiving partyshallprotectthe Confidential Information using measures similartothoseittakestoprotectitsown confidential and proprietary information ofa similarnaturebutnotlessthan reasonable measures.Eachpartyagreesnotto disclose the Confidential Information toany of its Representatives exceptthosewhoarerequiredtohavethe Confidential Informationinconnectionwiththis Agreement andthenonly if such Representative is eithersubjecttoawritten confidentiality agreement orotherwisesubjecttofiduciary obligations of confidentiality that cover the confidential treatment ofdie Confidential Information. 7.3 Exceptions.The obligations ofthis Section 7 shall not apply if receiving partycan provebyappropriatedocumentationthatsuchConfidentialInformation(i)wasknowntothe receiving partyas shown bythe receiving party's files atthetime of disclosure thereof;(ii)was alreadyin die publicdomainatthetimeofthe disclosure thereof (iii)enteredthepublicdomain through noaction ofdie receiving party subsequent tothetime ofthedisclosure thereof or(iv)is required by law or government order to be disclosed bythe receiving party,provided thatthe receiving partyshall(i)notifythe disclosing partyinwriting of suchrequired disclosure assoonas reasonably possible priortosuch disclosure,(ii)useits commercially reasonable efforts atits expensetocausesuchdisclosed Confidential Information tobetreatedbysuch governmental authorityastradesecretsandasconfidential. 8.TERM 8.1 The term of this Agreement shall commence on the date hereof andshall continue infullforceandeffectforeighteen(18)monthsthree (3)yearsafterthedatehereof.This Agreementshallautomaticallyrenewforanadditionalthree(3)terms of one(1)yeareach,unless eitherpartynotifiestheotherinwritingatleastthirty(30)dayspriortosuchautomaticrenewalthat the party does not wishto renew this Agreement. P3ge4 8.2RightsUpon Termination.Uponanyexpirationortermination of thisAgreement, andunlessotherwiseexpressly provided inanexhibittothis Agreement (a)Client'srighttoaccessorusetheGranicusSolution,includingGranicus Software,terminatesandGranicushasnofurtherobligationtoprovideanyservices; (b)Clienthastherighttokeepany purchased hardware,provided thatClient removes and/oruninstallsanyGranicusSoftwareonsuchhardware.However,if Client hasreceived hardware as part of a Granicus Open Platform Suitesolution("Open Platform Hardware"X Client understands thattheyare leasing theOpen Platform Hardware.Upon termination of thisAgreement,Clientshallimmediately return theOpenPlatform Hardware toGranicus,Inc.TheOpenPlatformHardwaremustbereturnedwithinfifteen (15)days of termination,andmustbeinsubstantiallythesameconditionaswhen originallyshipped,subjectonlytonormalwearand tear;and (c)Clientshallimmediately return theGranicusSoftwareandallcopies thereof to Granicus,andwithinthirty(30)days of termination,Clientshalldelivera writtencertificationtoGranicuscertifyingthatitnolongerhascustody ofanycopies of the Granicus Software. 8.3 Obligations Upon Termination.Uponany termination ofthis Agreement, (a)the parties shallremain responsible foranypaymentsthathavebecome dueandowinguptotheeffectivedate oftermination; (b)theprovisions of 2.1,2.4,3,4,5,6.1>62,7,8.3,and10 of theagreement, andapplicableprovisions of theExhibitsintendedtosurvive,shallsurvivetermination of this Agreement andcontinueinfullforceandeffect; (c)pursuanttotheTerminationorExpirationOptionsRegarding Content, GranicusshallallowtheClientlimitedaccessto die Client's Content,including,but not limitedto,allvideo recordings,timestaraps,indices,andcross-referenceddocumentation.
